New HBA Initiative to Promote Your Company
The HBA is creating a branding campaign aimed to connect you with potential customers and build your business image. Additionally, the campaign lets you “tie down” to messaging in a way that is free to you. We are phasing out the orange logo
of the Registered Builders, the green logo of the Registered Remodelers, the older blue logo of our Associates, and the separate logo of the HBA. All new logos will have a blue field with an updated roofline. The logo text will change for what type of member you are (Builder, Remodeler or Associate) and the HBA will simply have a logo that says “Member”. We are
doing this so we can effectively market our brand and raise the awareness of the professionalism of HBA members in the eye of your potential customer. At the same time the HBA is developing collateral for you to use in your business, on your vehicles, homes and signage.
You may have seen full page print ads in NKY Magazine (opposite page), articles in the HBA show guides, television messages on Fox 19 or information about the HBA and its membership on the Fox 19 “Home Pros” website. This is all part of our new promotion and branding initiative. We have three messages that encourage the public to use Registered Builders, Registered Remodelers and hire a professional from our association for any of your prospect’s home’s needs.
So where does the “free” part come in? In the coming weeks the Membership Committee will be calling on companies with large fleets of vehicles to send out logos, brochures, table tents and adhesive window signage. We will also provide the collateral free to be picked up at the HBA office or at HBA events. The signage is meant to indicate that a new home is being built by a Registered Builder or an existing home is being remodeled by a Registered Remodeler. Other signage is intended to be used in showrooms. Three separate brochures will be supplied that explain the virtues of the Registered Builder program, the Registered Remodeler program and the benefits of hiring an HBA Associate member for home needs. Table tents are intended to be used to call attention to the printed materials. By using the collateral we send out your company can “tie down” to the increased awareness of the professionalism of the HBA’s membership at no cost.
In the coming weeks we hope to see thousands of logos on the back of the HBA member’s vehicles, in the windows of the homes you are constructing or remodeling and brochures and table tents on the counters of all HBA members businesses. We hope that you participate in the effort to better promote your business as an HBA member and to brand you as a true professional in the eye of your potential client. In today’s competitive world every bit of clout helps you create comfort with your prospect and the HBA’s leadership understands that and is working to connect you with your customer in new and inventive ways.

Most purchase agreements require deposits to accompany offers to buy property. The deposit demonstrates to the seller
that the buyer is serious about his offer. Purchase agreements generally will provide for the purchaser to lose his deposit if he defaults on the deal. Will Kentucky courts enforce such a provision? The answer
depends on whether the court views the deposit as a penalty or liquidated damages. Liquidated damages are usually an amount of money designated by the parties. This amount represents money owed to the nonbreaching party in the event the other party defaults. Liquidated damages are especially helpful when the actual damages are difficult to calculate.
While Kentucky courts will uphold liquidated damages provisions, they will carefully scrutinize them to ensure that they are not disguised penalties. If the amount of liquidated damages is unreasonably large, the court considers it a penalty and will not enforce it. The money should put you in the same position you were before the agreement, not punish the breaching party.
So how do you know if your earnest money deposit will be considered liquidated damages or an unenforceable penalty? Unfortunately, the law is unclear. The law does not provide ratios (of earnest money deposit to the contract price) that are automatically considered a penalty.
Instead, Kentucky courts ask whether the earnest money deposit could reasonably put the nonbreaching party into the position it was in before the agreement. In making this determination, the court looks at both the past and the present to determine reasonableness. First the court looks
to see whether the earnest money deposit was a reasonable figure at the time the contract was signed given the breaches that could have occurred. Second the court looks at whether the deposit is a reasonable figure now given the losses actually incurred as a result of the breach. An unreasonably large or grossly disproportionate earnest money deposit is an unenforceable penalty. In this case, the non-breaching will be limited to recovering actual damages suffered that it is able to prove.
As an example, consider the case of a purchaser who offers to buy a house for $450,000.00, and places $125,000.00 in escrow as an earnest money deposit. The purchaser is unable to secure adequate financing to close, and the seller seeks to retain the $125,000.00 as liquidated damages. The parties’ agreement provides that the deposit will be refunded to the purchaser as long as the purchaser’s default does not prevent closing. The trial court granted summary judgment in favor of the seller keeping the earnest money, and the purchaser appealed. The Kentucky Supreme Court overturned the trial court’s judgment and gave instructions to the trial court to consider the reasonableness of using the deposit as liquidated damages. Only then, according to the Court, would the trial court reach the “correct” decision.
We can infer what we want from the Supreme Court’s decision. But one fact that remains clear: Sellers and buyers alike should consider the amount of an earnest money deposit carefully. Get Ready for the Tour of Remodeled Homes! It is that time of year to start thinking about which project you will showcase in the Tour of Remodeled Homes. With over 1,000 people attending the event it is your company’s biggest opportunity to market your trade in the most affordable manner. The 2013 Tour of Remodeled Homes will run October 5-6 and will last from Noon until 5pm.
This year your project will be featured on our newly upgraded website. Home description, your company logo, and your contact information are but a small part of the website experience. We will invest in $20,000 worth of media and combine that effort with an expanded public relations initiative that will result in greater exposure for the Tour of Remodeled Homes. The show guide will be distributed through Cincy Magazine.

This summer the HBA Northern Kentucky teamed with businesses and professional organizations to help raise the overall quality of the roofing trade in
Northern Kentucky. Sponsored by Any Weather Roofing, ABC Supply, The Northern Kentucky Chamber of Commerce and many local businesses, HBA Northern Kentucky hosted students for 6 weeks to not only learn the skills of the trade but to have real hands on experiences in the field through Any Weather Roofing’s “Extreme Roof Makeover.” Four needy families were given a new roof while the students practiced their skill and learned quality roofing techniques.
This is the first of many projects HBA Northern Kentucky will be undertaking to raise the quality of the trades in our area!

HBA Northern Kentucky Why are some businesses still struggling during this Economic Re-growth?
In the last few years we have seen a great deal of recovery and growth in the Building Industry and the Related Trades. We are seeing home sales skyrocket and remodeling in this area is at an all time high. On the trades side, we see contractors and sub contractors alike busy every day and hiring new staff. We’ve come a long way in a very short time toward real economic recovery.
Since my tenure began here at HBA, we have also strived to change our education program to meet the constantly changing needs of our members to better appreciate and thrive in the changing economic climate in Northern Kentucky. In that vein, some common themes have come out that effect our members and their business.
The greatest problem that many of our members still face is changing their way of doing business from a model that was built just to stay afloat during the recession, to a more normalized model with potentials for expansion and growth. It’s very hard to move from that ‘safe mode’ of doing business into the more risky ventures that come with a more aggressive approach. The fact is, the market is recovering and the companies that are sticking their neck out are coming up ahead.
We have also seen a remarkable growth in startup businesses over the last year, especially in remodeling, but also new trades based companies are coming into the market to take advantage of the potential for economic growth. These young businesses never operated in a holding pattern and are aggressively approaching the market without the trepidation that many long standing businesses still feel. As such, these upstart businesses are grabbing the market share of work in many areas. They are fast becoming the movers and shakers of the Industry. What these newer companies lack in experience, they make up for in versatility and ingenuity.
In the Education Department, we are looking to even the playing field and bring together the exuberance and ingenuity with the experience and high quality of our members. I have always believed that the key to any crisis is education and people who commit and believe in what they are learning are the ones who will succeed.
Over this summer, in conjunction with other HBA’s nationally and locally, we have begun setting up a professional development track we are calling, “Entrepreneurship Bootcamp.” This set of classes will run from September 2013 through March 2014 and will contain 12 courses (6 in 2013 and 6 in 2014) that will focus on not only the day to day operational procedures of a business in the new economy, but will also look at new avenues in marketing, media exposure, occupational health and well being and how to once again enjoy what you do.
This set of classes is not built just for the new business, but for any and all businesses that are looking to update their approach to business and stop just surviving!

JERRY DETERs, 1961 HBA PREsIDENT & CHARTER MEMBER PAssEs
Jerry Deters, Deters Brothers Builders passed on July 5, 2013. Jerry served as a director and Charter Member in 1962
when the Home Builders Association was incorporated in the Commonwealth of Kentucky. He served as the 1961 HBA President and was also president of the Home Builders Association of Kentucky in1973.. He was the son of a former Times Star Newspaper editor, Clement (Bud) Deters. Jerry learned about community issues and politics while at the kitchen table. Throughout his professional career, he would lead many initiatives, always pushing to advance the Northern Kentucky area through new investment and community cooperation. He was most known as the developer and operator of the Drawbridge Inn and Convention Center from 1970 through 2001.
Jerry was born in Cincinnati, raised in Taylor Mill and graduated from Holy Cross High School and Villa Madonna College. At 17 he built and sold his first home, which was the genesis of Deters Brothers Builder, his company that later developed a large subdivision in Lakeside Park. He founded and served as the first Chair of the Northern Kentucky Convention and Visitors Bureau. He tirelessly worked to see his vision of Main Strausse become a reality. He was instrumental in forming and served on the board of the Tri County Economic Development Corporation (TRI-ED).
As a boxer in his youth, Jerry won a Cincinnati Golden Gloves Championship. After being selected for a top secrete Army cryptography unit, he was stationed in Paris in 1951 where he personally decoded messages for General Eisenhower.
Jerry was preceded in death by his loving wife of 55 years, Marge (Bacovcin) Deters. He is survived by his six children: Margo Willman ( Jim), Lori Simendinger (Mark), Paula Heidrich, (David), Monica Lautz (Andrew), Josh Deters, and Gretchen Slagle (Todd). He also leaves behind brothers Charlie and Jim Deters and sisters Joan Maus and Kathy Lonneman, 17 grandchildren and 7 great grandchildren.
Donations are encouraged to Tri-State Parkinson’s Wellness Chapter, Cincinnati, Ohio; Redwood School, Ft. Mitchell, Kentucky or the St. Elizabeth Hospice program, Edgewood, Kentucky.
