1.1 PurposeThis deed sets out:a) thedefinitionoftheIwiofNgātiPaoaagreedto

bythemandatingcommunityoftheIwiofNgātiPaoaforthepurposesofthisdeed;

b) the mandate received by the Ngāti Paoa IwiTrustfromtheIwiofNgātiPaoatocontinueandcompletenegotiationswithTheCrownandotherinterested parties on behalf of the Iwi of NgātiPaoainrespectofthecomprehensivesettlementof all Ngāti Paoa Treaty of Waitangi historicalclaimsandfutureclaims;

c) the powers, duties and accountabilities of theNgātiPaoaIwiTrusttotheIwiofNgātiPaoawhileexercisingthemandatereceivedfromthe IwiofNgātiPaoa;

d)thedelegatedpowers,dutiesandaccountabilitiesof the negotiators appointed from time totime by the Ngāti Paoa Iwi Trust (“MandatedNegotiators”) toacton itsbehalf inaccordancewiththemandatereceivedfromtheIwiofNgātiPaoa;

e) theappointmentandreplacementprocessfortheMandatedNegotiators;

f) amendment and dispute resolution rights inrespectofthisdeed;and

g)relateddocumentscontained intheAppendicesto this deed.

1.2 LimitationThisdeeddoesnotdescribespecificdetails,eitherinpartorfull,ofanyTreatyofWaitangiclaim,orofanysettlementtobesoughtinrespectofthatclaim.Rather, these are significant matters (oftencommercial inconfidence) that are intended tobefurther discussed, negotiated and communicateddirectly between the Crown and the MandatedNegotiators acting with the delegated authorityof theNgātiPaoa IwiTrust inaccordancewith themandatereceivedfromtheIwiofNgātiPaoaassetoutinthisdeed.

1.3 Without prejudiceThe contents of this deed are without prejudice,andshouldinnowaydisadvantageorjeopardiseorlimitorotherwiserestrainanyindividualclaimantorclaimantgroupfromtheIwiofNgātiPaoainrespectof individual rights they may claim in disclosinginformation in relation to Treaty negotiations orsettlements. That is the right of each individualclaimantorclaimantgroupattheappropriatetimeto disclose such information to The Crown and/orNgātiPaoaIwiTrustastheyseefit.

1.4 Replacement of May 2011 Deed of Mandate

Thisdocumentoverrides,terminatesandreplacesinitsentirety,witheffectfromthedateofthisdeed,theearlieroriginalNgāti PaoaDeedofMandatedatedMay2011thatgavethemandateforTreatysettlementnegotiationstotheNgātiPaoaTrustBoard.AcopyoftheoriginallyNgātiPaoaDeedofMandate2011isattachedasAppendix1.

2.1 Definition of Iwi of Ngāti PaoaFor the purposesof thisdeed, the claimantgroupcomprising the Iwi of “Ngāti Paoa” has the samemeaningasspecifiedinclauses10.5and10.6oftheDeedofSettlementofHistoricalClaimsinitialedon18August2017(“NgātiPaoaSettlementDeed”)andattached at Appendix 2 between the Iwi of NgātiPaoa and theTrusteesof theNgāti Paoa Iwi TrustandTheCrown.For thepurposesof thisdeed,and for the sakeofclarification,clauses10.5and10.6oftheNgātiPaoaSettlementDeedarerepeatedandincorporatedintothisdeedasfollows:10.5 In this deed, Ngāti Paoa means –10.5.1 the collective group composed of individuals

who descend from a Ngāti Paoa tupuna or ancestor; and

10.5.3 every individual referred to in clause 10.5.1.10.6 For the purposes of clause 10.5.1 –10.6.1 a person is descended from another person

if the first person is descended from the other by –(a) birth;(b) legal adoption; or(c) whāngai (Māori customary adoption)

in accordance with Ngāti Paoa tikanga (Māori customary values and practices of Ngāti Paoa); and

10.6.2 Ngāti Paoa tupuna or ancestor means an individual who–(a) Exercised customary rights by virtue of

being descended from:(i) Paoa; or(ii) a recognized tupuna or ancestor

of any of the groups referred to in clause 10.5.2; and

(b) exercised customary rights predominantly in relation to the area of interest after 6 February 1840; and

10.6.3 customary rights means rights in accordance with tikanga Māori (Māori customary values and practices), including –(a) rights to occupy land;(b) rights in relation to the use of land or

other natural or physical resources.

2.2 Definition of Historical ClaimsForthepurposesofthisdeed,“historicalclaims”hasthesamemeaningasspecified inclauses 10.2, 10.3and10.4oftheNgātiPaoaSettlementDeed.For thepurposesof thisdeed,and for the sakeofclarification,clauses10.2, 10.3and10.4oftheNgātiPaoaSettlementDeedarerepeatedandincorporatedintothisdeedasfollows:10.2 In this deed, historical claims means –10.2.1 means every claim (whether or not the claim

has arisen or been considered, researched, registered, notified, or made by or on the settlement date) that Ngāti Paoa, or a representative entity, had at, or at any time before, the settlement date, or may have at any time after the settlement date, and that –a) is, or is founded on, a right arising –

i) from Te Tiriti o Waitangi/the Treaty of Waitangi or its principles; or

ii) under legislation; oriii) at common law, including

aboriginal title or customary law; oriv) from fiduciary duty; orv) otherwise; and

b) arises from, or relates to, acts or omissions before 21 September 1992 –i) by, or on behalf of, the Crown; orii) by or under legislation; and

10.2.2 includes every claim to the Waitangi Tribunal to which clause 10.2.1 applies that relates exclusively to Ngāti Paoa or a representative entity, including the following claims:a) Wai 10 - Waiheke Island claim:b) Wai 72 - Ngāti Paoa Lands and Fisheries

10.3.2 a claim that a representative entity may have to the extent the claim is, or is founded, on a claim referred to in clause 10.3.1.

10.4 To avoid doubt, clause 10.2.1 is not limited by clauses 10.2.2 or 10.2.3.

3.1 MandateTheNgātiPaoaIwiTrusthasreceivedthemandateauthorityfromtheIwiofNgātiPaoainaccordancewiththetermsofthisdeedtobetheirrepresentativebodyforthepurposesofcontinuingandcompletingnegotiations with The Crown and other interestedpartiesonbehalfoftheIwiofNgātiPaoainrespectof thecomprehensive settlementof allNgāti PāoaTreatyofWaitangihistoricalclaimsandfutureclaimsincluding,withoutlimitation:a) theNgātiPaoaSettlementDeed,b)participation by Ngāti Paoa in the Maurutūāhu,

HaurakiandTamakiCollectivesettlements,c) otherhistoricalclaims,andd)any prospective future collective and/or Ngāti

Paoa-specificclaimsincluding,withoutlimitation,in relation to the Manukau and Waitemata

Harboursandanyotherclaimscoveringintereststhat the Iwi of Ngāti Paoamay claim thatmayarise for negotiation and agreement with TheCrownatanytimeinthefuture.

3.2 Mandate ProcessThe mandate of the Ngāti Pāoa Iwi Trust wasreceived from the Iwi of Ngāti Pāoa pursuant tothecomprehensive,rigorousandinclusivemandatevotingprocessbytheIwiofNgātiPaoaundertakenbytheNgātiPāoa IwiTrustandformallyapprovedbytheCrownduringtheperiodDecember2019toMarch2020.This process and its outcome has been endorsedby Te Puni Kōkiri (“TPK”) pursuant to itsmandateletterofendorsement,acopyofwhich isattachedasAppendix9.

3.0 MANDATE RECEIVED BY NGĀTI PAOA IWI TRUST

4.0 POWERS OF NGĀTI PAOA IWI TRUST

4.1 Specific PowersSubject to clause 5.1 below, the Ngāti Paoa IwiTrust has the following specific powers in relationtoexercisingthemandatereceived fromthe IwiofNgātiPaoainaccordancewiththisdeed:a) the power to negotiate, complete and enter

into and authorize and participate in initialsing,ratificationandfinalsigningofanycollectiveand/orNgātiPaoa-specificsettlementwithTheCrownfortheIwiofNgātiPaoainaccordancewiththerequirementssetoutinclause5.2below;

b) the power to agree asset allocation andapportionment arrangements with The Crownand interested third parties in respect of anycollectivesettlements;

c) the power to agree governance arrangementswith The Crown and interested third parties inrespectofanycollectivesettlements;

d)the power to prepare and implement a “TreatyNegotiation Strategic Plan” to achieve a fair,robustandenduringTreatysettlementsonbehalfoftheIwiofNgātiPaoa;

e) thepowertoappoint,removeandreplacepersonstoactasnegotiatorsonbehalfoftheNgātiPaoaIwiTrustinexercisingthemandatereceivedfromthe IwiofNgātiPaoa (“MandatedNegotiators”)in accordancewith clause 6 below and in priorconsultation with the Iwi of Ngāti Paoa andrelevantcrownofficials;

f) the power to delegate any one ormore of thepowerscontained inthisclause,subject tosuchconditionsastheNgātiPaoaIwiTrustconsidersappropriateinitsdiscretion,topersonsappointedtoactasMandatedNegotiators;

g)thepowertoagreethescopeofauthorityoftheMandated Negotiators and the terms on whichthatauthoritycanbeexercisedbytheMandatedNegotiators;

h) the power to provide appropriate support(whether financial or otherwise) and expertexternalassistancetotheMandatedNegotiatorsas may be needed to assist the MandatedNegotiatorstoperformtheirduties;

i) the power to make strategic governancedecisionsrelatingtothesettlementprocessandcommunicatethosedecisionsastheNgātiPaoaIwiTrustconsidersappropriateinitsdiscretion;

j) the power to convene and manage a specialgeneralmeetingorhui-a- iwiorratificationvoteof the Iwi ofNgāti Paoa at any time in relationtoanymatterthatthetrusteesoftheNgātiPaoaIwiTrustconsiderrequirestheinputordecision-makingof,ortoupdateandprovideinformationto,theIwiofNgātiPaoa;

k) thepowertoestablish,manageandresourcesub-committees,projectteams,staffoftheNgātiPaoaIwi Trust or expert external assistancewith thenecessaryskillstoundertakekeytasksassociatedwiththesettlementprocess;

l) thepowertoagreeandpayreasonablefinancialremuneration to theMandatedNegotiators, andmake reimbursement of reasonable expensesincurred by the Mandated Negotiators, inundertaking their roleasMandatedNegotiators,whichremunerationandaggregatepaidexpensesmust be disclosed in theMandateMaintenanceReportreferredtoinclause5.4(a)below;

m)thepowertoundertakeandmanage,inconjunctionwith appropriate Crown representatives andtheIwiofNgātiPaoa,anyratificationprocess inrespectofanycollectiveandNgātiPaoa-specificsettlements with The Crown including, withoutlimitation,theNgātiPaoaSettlementDeed;and

n) thepower tootherwise act as a natural personinrelationtothematterssetoutinthisdeedandexercise such powers in accordance with thetermsofthisdeed.

5.0 DUTIES & ACCOUNTABILITIES OF NGĀTI PAOA IWI TRUST

5.1 Overriding Duties & AccountabilityAtalltimes,theNgātiPaoaIwiTrust:a)mustexerciseitspowersinthebestinterests,and

forthebenefit,oftheIwiofNgātiPaoa;b) is subject and accountable to the hapū and

whanauoftheIwiofNgātiPaoaintheexerciseofitspowers;

c) will be responsible for and oversee the overallsettlement process and ensure that Treatysettlement negotiations are carried out withintegrityandinthemostappropriatemannerandwith respect formanaof thehapūandwhanauofNgātiPāoa;willobservetheoverridingprinciplethat themajority-held viewsof the Iwi ofNgātiPaoamustbetakenintoconsiderationassetoutinclause9.3below;

d)will follow the process in relation to initialing,ratification and final signing of any Treatysettlementand/oragreement inprinciplethat issetoutinclause5.2below;and

e) isboundbythetermsofthisdeed.

5.2 Process for Initialing, Ratification an/or Final Signing of a Deed of Settlement and/or Agreement in Principle

Subject toclause5.3, theNgāti Paoa Iwi Trustwilladopt the following processes with respect toinitialing,ratificationand/orfinalsigningofanydeedof settlement or agreement in principle in respectof any Treaty settlement towhichNgāti Paoa is asignatory,unlessotherwiseagreedonapriorbasisbytheIwiofNgātiPaoabywayofafiftypercent(50%)orgreatermajorityvoteofthenumberofmembersregisteredontheNgātiPaoaIwiTrusttribalregisteratthedateofthevote:a) Initialing:

i) Can only be consideredwhen theMandatedNegotiatorsandtheCrownandanyadditionalparties (as the case may be) have reachedagreementastoalltermsofanydraftdeedofsettlementand/ordraftagreementinprinciple(“Draft DoS and/or Draft AiP”) that will besubject to ratification by the Iwi of NgātiPaoa, the Draft DoS and/or Draft AiP mustbe ‘initialled’byoneormoredulyauthorisedmembers of the board of trustees of theNgāti Paoa Iwi Trust and by the MandatedNegotiators.

ii) TheMandatedNegotiatorsmayonly initial aDraft DoS and/or Draft AiP once they havebeen approved to do so by way of dulyapprovedwrittenresolutionbytheNgātiPaoaIwiTrust.

b)Ratification:i) Can occur following the initialing of a Draft

DoS and/or Draft AiP in accordance withclause5.2(a),

ii) theNgātiPaoaIwiTrustmustmakeavailableto the Iwi ofNgāti Paoa full copiesof thosedocuments,and

i) conduct a round of hui involving the Iwi ofNgātiPaoatoprovidetheclaimantcommunitywith the opportunity to ask questions andmakecommentonthosedocumentsandtheirsignificance,

ii) TheNgatiPaoaIwiTrustmustensuretheIwiofNgāti Paoa receive a reasonableopportunitytomakeaninformeddecisionwhenvotingastowhetherornottoratifytheproposedtermsofaDraftDoSand/orDraftAiP.

iii)RatificationofaDraftDoSand/orDraftAiPistobeundertakenbytheNgātiPaoaIwiTrustbywayofconductingaballotvoteofallpersonsovertheageof18yearswhohaveregisteredon the Ngāti Paoa Iwi Trust tribal registersubject to any prior review and approval ofprocessthat may be reasonably required bytheCrown.

iv)Ratificationwill be treated as “approved” bytheIwiofNgātiPaoawhereasimplemajority“yes”or“Iagree”or“Isupport”voteisachievedfromthatballotvotethatexceedsfiftypercent(50)ofthenumberofmembersregisteredontheNgātiPaoa IwiTrusttribal registeratthedateofthevote.

c) FinalSigning:i) Can occur following an approved ratification

ofaDraftDoSand/orDraftAiPinaccordancewith clause 5.2(b), the Ngāti Paoa Iwi Trustand theMandatedNegotiatorsmaysignanyfinalbindingand/orunconditionalsettlementagreementwith theCrown representedby acompleteandfinalizedDoSorAiPwhere:

ii) the Ngāti Paoa Iwi Trust has approved sucha signingbywayof adulyapprovedwrittenresolutionoftheboardoftrusteesoftheNgātiPaoa Iwi Trust, which resolution must alsoappointoneormorenamedpersons to signonbehalfof theNgātiPaoa IwiTrustandasrepresentativesoftheIwiofNgātiPaoa;and

iii)theNgātiPaoaIwiTrusthasapprovedsuchasigningby theMandatedNegotiatorsalsoasrepresentatives of the Iwi of Ngāti Paoa bywayofadulyapprovedwritten resolutionofthe board of trustees of the Ngāti Paoa IwiTrust.

5.3 Mandate for Agreeing Binding Settlement Obtained on Ratification

Forthesakeofclarification,theNgātiPaoaIwiTrusthas the authority to complete and enter into anybindingand/orunconditionalsettlementagreementwith the Crown represented by a complete andfinalized DoS or AiP on behalf of the Iwi of NgātiPaoaonce ithasobtainedanapproved ratificationfrom the IwiofNgātiPaoa inaccordancewith theprocesses set out in clause 5.2(b) above and hasapproved the resolutions set out in clause 5.3(c)above.

5.4 Post-Settlement ArrangementsFurthermore, decisions as to the post-settlementarrangements for the management of assetsreceived frombinding settlement agreementswiththeCrownarematterstobedecidedbyNgātiPāoaIwi Trust in its role as the duly constituted postsettlement governance entity for the Iwi of NgātiPaoa inaccordancewith theDeedofTrust for theNgātiPāoaIwiTrustDeedandfollowingappropriatepriorconsultationwiththeIwiofNgātiPaoaasmayberequiredbythatDeedofTrust.

5.5 Specific Duties & AccountabilitiesTheNgātiPaoa IwiTrusthas the followingspecificduties andaccountabilities in relation toexercisingthemandatereceivedfromtheIwiofNgātiPaoainaccordancewiththisdeed:a) thedutytoprepare,provideandmakeavailable

totheIwiofNgātiPaoaacomprehensivewrittenannualmandatemaintenance, performance andupdatereport(“MandateMaintenanceReport”);

b) the duty to present that Mandate MaintenanceReportonanannualbasistotheIwiofNgātiPaoaatoneormorehui-a-iwispecificallycalledforthatpurpose;

c) the duty to develop, manage and maintain theoperational relationship with the MandatedNegotiators in accordance with this deed,including:i) ensuring that the Mandated Negotiators

are fulfilling their duties and meeting theiraccountabilities;

ii) establishingandmanagingtheirperformanceandaccountabilitymeasures;

iii)providing for their appropriate ongoingsupport;and

iv)managingtheprocessesfortheirreplacementandremoval;

d)thedutytoprovidetimelyandsufficientprogressandinformationupdatesandreportingtotheIwiofNgātiPaoainrelationtoanysettlementmattersthat are of such significance or importancethat the IwiofNgātiPaoawould reasonablybeexpected to have an interest in receiving suchupdatesandreportsandknowingsuch,includingby:i) the annual hui-a-iwi in connection with the

MandateMaintenanceReport;ii) specialgeneralmeetingsand/orhui-a-iwithat

maybecalledbytheNgātiPaoaIwiTrustfromtimetotime;

iii)pānuiandtribalnewsletters;iv)NgātiPaoawebsiteandfacebookpage;v)Marae committee executive meetings and

othercommitteemeetings;vi)otherappropriatetribalforumsandmeetings;vii)reportsbytrusteesoftheNgātiPaoaIwiTrust

totheirrespectivehapuandcommunities;

e) thedutytoregularlyconsultwithhapuatwānangaoftheIwiofNgātiPaoaIwiTrusttogainfeedbackaboutissuesarisingfromtheinformationupdatesandreportingbytheNgātiPaoaIwiTrust;and

f) the duty to respond on a prompt, reasonableandadequatebasistoanydisputesorconcernsraisedbyanymemberoftheIwiofNgātiPaoainaccordancewithclause9below.

5.6 Additional Dutiesa) Thefollowingprocessesrelatingtothegovernance

oftheboardoftrusteesreoutlinedintheDeedofTrustfortheNgātiPāoaIwiTrust,including:i) appointment, replacement and removal of

trusteestotheNgātiPāoaIwiTrust,ii) regularreportingtotheIwiofNgātiPaoa,andiii)expectations of the performance standards

andaccountabilityoftrustees,b) Indischargingitsdutiesandaccountabilitiesunder

thisdeed,theNgātiPāoaIwiTrustanditstrusteeswillotherwisehaveaduty toact inaccordancewith their respectiveduties andaccountabilitiesunder theDeedof Trust for theNgāti Pāoa IwiTrustDeed.

c) AcopyoftheDeedofTrustfortheNgātiPāoaIwiTrustDeedisattachedasAppendix3.

6.0 APPOINTMENT & REMOVAL OF MANDATED NEGOTIATORS

6.1 Appointment & RemovalAstherecipientofthemandateauthorityfromtheIwiofNgātiPāoa,andsubjecttoclauses6.2below,theNgātiPaoa IwiTrusthas thepower toappointpersonstoactasMandatedNegotiatorsandremoveor replace those persons in its discretion, actingreasonably.

6.2 Minimum & Maximum Number of Mandated Negotiators

Atanytimetheremaybenolessthantwo(2)andnomorethanfour(4)dulyappointedpersonsactingastheMandatedNegotiators.

6.3 Appropriate Skills RequiredTheboardmustappointsuitablyqualifiedMandatedNegotiators.Atalltimes,atleastoneormoreofthepersons appointed as Mandated Negotiatorsmusthaveprofessional legaloraccountingqualificationsand be current members of the appropriateprofessionalbody.

6.4 Separation of DutiesIn line with good governance practice, to ensureeffective separation of the trustees and thenegotiators,acurrentorprevioustrusteecannotbeappointedasanegotiator.

6.5 Exclusion ApersonwhohaspreviouslybeenappointedasaNegotiator under this deed or any previous deedon behalf of Ngāti Paoa cannot be reappointed iftheyhavepreviouslybeenremovedorresignedasanegotiatorforNgātiPaoa.

7.0 DELEGATED POWERS OF MANDATED NEGOTIATORS

8.0 DUTIES & ACCOUNTABILITIES OF MANDATED NEGOTIATORS

7.1 Delegated PowersSubject to clause 7.2, the following powers aredelegated by the Ngāti Paoa Iwi Trust to theMandatedNegotiatorsforthepurposesofthisdeed:a) the power to negotiate with The Crown and

interestedthirdpartiesinrelationtoanycollectiveand Ngāti Paoa-specific Treaty settlementproposals with The Crown in its own right orin conjunction with interested third parties(“settlementproposals”);

b) thepowertoproposetotheNgātiPaoaIwiTrustsettlement proposals for conclusion, agreement(on a conditional, non-binding basis) and/orauthorization by the Ngāti Paoa Iwi Trust ofinitialingbytheMandatedNegotiators;

c) thepowertomanagetheday-to-dayrelationshipwithTheCrownanditsrepresentatives,interestedthirdparties,otherIwiandrelevantstakeholdersin connection with their role as MandatedNegotiators;

d)thepowertoactonbehalfoftheNgātiPaoaIwiTrust with such delegated powers of the NgātiPaoaIwiTrustasthatentitymay

e) determine in its discretion are necessary ordesirable for the Mandated Negotiators toundertaketheirrole;and

f) subject to the limits of their delegated powers,thepowertorepresenttheNgātiPaoaIwiTrustandtheIwiofNgātiPaoaatanyandallrelevantandappropriatemeetings,hui, negotiationsandotherpublicorprivateeventsinconnectionwiththeirroleasMandatedNegotiators.

7.2 Best InterestsAtalltimes,theMandatedNegotiators:a)mustexercisetheirdelegatedpowersinthebest

interests,andforthebenefit,ofthe IwiofNgātiPaoa;and

b)aresubjectandaccountabletotheNgātiPaoaIwiTrustintheexerciseoftheirdelegatedpowers.

7.3 Sub-DelegationNoneofthedelegatedpowerslistedinclause7.1canbe sub-delegatedby theMandatedNegotiators toanyotherpersonwithout theexpresspriorwrittenconsentoftheNgātiPaoaIwiTrust.

8.1 Duties & AccountabilitiesThe Mandated Negotiators have the followingspecific duties and accountabilities in relation toexercising their delegated powers in accordancewiththisdeed:a) the duty to provide ongoing comprehensive

and timely disclosure and regular reportingof settlement proposals and the progress ofsettlementproposalsandnegotiationsinrespectofthesettlementproposalstotheNgātiPaoaIwiTrust;

b) the duty to provide appropriate input into theMandateMaintenanceReport andparticipate inpresentationofthatreportonanannualbasistotheIwiofNgātiPaoa;

c) thedutytoactatthedirectionoftheNgātiPaoaIwiTrust,andbeaccountabletotheNgātiPaoaIwi Trust, in relation to settlement proposalsand negotiations in respect of the settlementproposals;

d)the duty to take decisions on an unanimousconsensus basis with all Mandated Negotiatorsinagreementand, if suchunanimousconsensuscannot be achieved, to request the NgātiPaoa Iwi Trust to determine the decision inconsultationwithandonbehalfoftheMandatedNegotiators;the duty to develop, manage andmaintain the operational relationship with theNgātiPaoaIwiTrustinaccordancewiththisdeed;

e) the duty to arrange and attend regular updateandreportingmeetingswith theNgātiPaoa IwiTrust;

f) thedutytoactappropriatelyandwithrespectonall occasions atwhich they represent theNgātiPaoaIwiTrustandtheIwiofNgātiPaoaatrelevantandappropriatemeetings,hui, negotiationsandotherpublicorprivateeventsinconnectionwiththeirroleasMandatedNegotiators;

g)the duty to provide timely and sufficientinformationupdatesand reporting to the IwiofNgātiPaoa,inconjunctionwiththeNgātiPaoaIwiTrust, in relation to any settlementmatters thatare of such significance or importance that theIwiofNgātiPaoawouldreasonablybeexpectedtohaveaninterestinreceivingsuchupdatesandreportsandknowingsuchinformation;

h) the duty to take responsibility for reporting totheNgātiPaoaIwiTrustonaregularandtimelybasisonprogress,financialmatters,timelinesandmilestones in connection with the settlementproposals and such other matters as may berequiredbytheNgātiPaoaIwiTrustfromtimetotime;

i) thedutytoinputinto,implementandfollowany“TreatyNegotiationStrategicPlan”developedbyNgātiPaoaIwiTrust;and

j) thedutytoensurethat,inanysituationwheretheMandatedNegotiators are not able to attend ameeting,huiorevent,prudentstepsaretakentoensurethattheinterestsoftheIwiofNgātiPaoawillnotbedisadvantagedbynon-attendance.

9.0 DISPUTE RESOLUTION9.1 Dispute Processa) If an individual member or group from the Iwi

of Ngāti Paoa has a concern regarding therepresentation of their interests during Treatysettlement negotiations and/or in relation tosettlementproposals,thatpersoncanatanytimeinformthetotheNgātiPaoaIwiTrustinwriting.

b)The Ngāti Paoa Iwi Trust will then be requiredto seek all relevant information it determines isnecessary fromthatpersonorotherpersonsorgroup toensure it hasaclearunderstandingofthenatureoftheconcern.

c) Once the information has been obtained, ora decision has been made by the Ngāti PaoaIwi Trust on reasonable grounds that it is notpracticabletoobtainsuchinformation,theNgātiPāoaIwiTrustwillthenconsideriftheconcernisvalidand requires furtheraction.TheNgātiPaoaIwi Trust must act reasonably in making anydecisionaboutwhethertheconcernisvalidandshouldbeaddressedandrequiresfurtheraction.

d)TheNgātiPāoaIwiTrustwillpromptlyadvisethepersonwiththeconcernofitsdecisioninwritingandwillprovideaclearexplanationofthereasonsforitsdecision.

9.2 Dispute Resolutiona) If the Ngāti Paoa Iwi Trust determines that the

concern is valid and should be addressed andrequires further action, no less than 3 (three)representatives of the Ngāti Paoa Iwi Trust willmeet with the person/group in question andproceed into a dispute resolution process asoutlinedinclause30oftheDeedofTrustoftheNgātiPaoaIwiTrust.

b) If unable to resolve theconcernby thisdisputeresolutionprocess,orifconsiderednecessaryordesirablebytheNgātiPaoaIwiTrust,theviewsoftheIwiofNgātiPāoawillbesoughtataspeciallyconvenedhui-a-iwitoconsidertheconcern.

c) A decision made by a majority of the Iwi ofNgāti Paoa at any such hui-a- iwi in relation totheconcernwillbedeemedasfinal,bindingandconclusive in relation to the concern with thesole exceptionofwhere that concern relates toremoving themandate from theNgāti Paoa IwiTrust.

d) In thecaseof suchexception, clause 3.4 abovewillapply.

9.3 Overriding PrincipleIt is of the utmost importance, and an overridingprincipletobeappliedbytheNgātiPaoaIwiTrust,thatthemajority-heldviewsoftheIwiofNgātiPaoamustbetakenintoconsiderationbytheNgātiPaoaIwiTrustandtheMandatedNegotiatorswhenmakingdecisionsrelatingtothesettlementandnegotiationsofallhistoricalclaimsandanyfutureclaimsoftheIwiofNgātiPaoa.

10.0 RIGHT TO AMEND DEED10.1 Right to Amenda) The Ngāti Paoa Iwi Trust reserves the right to

amendthisdeedatanytimeinthefuturefollowingmutualagreementbyballotvoteoftheIwiofNgātiPaoawherethatagreementexceedsfiftypercent(50%)of thenumberofmembers registeredontheNgātiPaoaIwiTrusttribalregisteratthedateofthevotewherethoseamendments:i) areagreedby the IwiofNgātiPaoa tobe in

theirbestinterests;andii) arenotinconsistentwiththeoverridingduties

andaccountabilityoftheNgātiPaoaIwiTrustsetoutinclause5.1andtheoverridingprinciplesetoutinclause9.3above.

b)Anyproposedamendmentswillbecommunicatedto theCrownandpubliclynotified to the IwiofNgātiPaoaonapriorbasissothattheyeachhaveadequatetimetorespondandmakesubmissions,formviewsorraiseenquiries.
