Our Ask - PI/NewCo seeks Strategic Partners (SP):

SP cost includes:✓ NewCo Beta Cav-Unit (for testing and positioning to scale)✓ Feasibility Study & Implementation Plan to co-develop a 1,000 Kgal Investment Portfolio✓ Expected ROI of 25%+

SP’s Investment Portfolio Development:

❑ At initiation (Year 1): SP 49%. NewCo H2O will control the unified message during year 1 of the company’s global technology launch with NewCo H2O (25.5%) and PI (25.5%) to own 51%.

❑ At Day 366 (day 1 of the end of year 1): SP 60%, given annual benchmarks having been met, NewCoH2O (5.5%) and PI (5.5%) will transfer 11% equity interest to SP, NewCo H2O (20%) and PI (20%) 40%.

❑ At Day 731 (day 1 of year 3): SP 70%, given annual benchmarks having been met, NewCo H2O (5%) and PI (5%) will transfer a final 10% equity interest to SP, NewCo H2O (15%) and PI (15%) 30%.
