NetflixCloudPrizeContest

OfficialRules

1. DESCRIPTION:NOPURCHASEORPAYMENTNECESSARYTOENTERORWIN.The NetflixCloudPrize(theContest")willgiveeachparticipantwhoprovidesaSubmission(definedbelow)and

whomeetstherequirementsofSection3( Participantoryou)anopportunitytocompete

forthebestopensourcecontributionstotheNetflixOSSplatform(the Submission).The

sponsorofthisContestisNetflix,Inc.,100WinchesterCircle,LosGatos,California95032,

U.S.A.(Sponsor).

2. TheContestwilloperateasfollows:2.1. SubmissionPeriod: TheSubmissionPeriodbeginsonWednesday,March13th,2013

(8:00p.m.U.S.PacificDaylightTime(PDT))andendsonSunday,September15,2013at

11:59p.m.PDT)(SubmissionPeriod).

2.2. SubmissionReview,Evaluation&Judging: ConcurrentwithandfollowingtheSubmissionPeriod,eligibleSubmissionswillbeevaluatedandjudgedaccordingtothe

criteriainSection7oftheseOfficialRulesbyanominatingcommitteeconsistingof

Sponsorsengineersandmanagers(NominatingCommittee).Basedoninitialreview

andevaluationoftheSubmissions,theNominatingCommitteewillselectuptofifty(50)

potentialFinalists.

2.3. FinalistNotification: OnoraboutMonday,September30,2013,uptofifty(50)potentialFinalists,asdeterminedbytheresultsofthejudging,willbecontactedvia

emailtoconfirmeligibilityandagreementtoaSubmissionverificationaccordingto

Sections3.8oftheseOfficialRules.

2.4. WinnerNotification:OnoraboutWednesday,October16,2013,uptoten(10)potentialGrandPrizeWinners,willbenotifiedviaemail,accordingtoSection9of

theseOfficialRules.

3. ELIGIBILITY:Toparticipate,ParticipantsmustmeetthefollowingeligibilitycriteriaandaffirmativelyaccepttheseOfficialRules:

3.1. ParticipantmustNOTbeunderanycontractualorotherlegalobligationthatwouldconflictwiththisContestortheseOfficialRules;

3.2. Participantmaybeanindividualorateam,withanaccountatgithub.com;3.3. ParticipantmusthavetherighttoentertheSubmissionandtheSubmissionmustbe

licensedunderApacheLicense,Version2.0( ApacheLicense),andincludeParticipants

originalcreationandfullycomplywiththeseOfficialRules;

3.4. ParticipantmustnotbearesidentofCuba,Iran,NorthKorea,SudanorSyriaoranyotherjurisdictionontheU.S.DepartmentofTreasurysOfficeofForeignAssetsControl

sanctionslist.TheContestisalsovoidwhererestrictedorprohibitedbylaw;

3.5. Participantmustbeatleasteighteen(18)yearsofageandtheageoflegalmajorityinhisorherstateorjurisdictionofprimaryresidenceattimeofSubmission;

3.6. GrandPrizeWinnerswillbepresentedwiththeirawardsattheAWSRe:Inventevent(AWSRe:Invent)inLasVegas,Nevada,U.S.A.duringNovember2013(exactdatesof

AWSRe:InventwillbecommunicatedtoFinalists);

3.7. ParticipantmustNOTbeanemployee,owner,officerordirectorofSponsororAmazonWebServices,Inc.,andeachoftheiraffiliatesoranyotherperson/companydirectly

involvedwiththeContestoranImmediateFamilyMemberorHouseholdMemberof

anysuchperson.ForpurposesoftheContest," HouseholdMembers"shallmeanthose

peoplewhosharethesameresidenceatleastthreemonthsayear;" ImmediateFamily

Members"shallmeanparents,step-parents,legalguardians,children,step-children,

siblings,step-siblings,orspouses;and

3.8. Participant,ifselectedasapotentialFinalist,mustconsenttoaverificationoftheSubmissionasaconditionofeligibilityandasaconditionofbeingdesignatedasan

actualFinalist.Suchverificationmayinclude(butisnotlimitedto)confirmationthatParticipantisthesourceoftheSubmission,confirmationthatParticipantsentryand

participationintheContestandagreementtotheseOfficialRulesdoesnotviolatethe

policiesofhisorherschooloremployerandthatParticipanthasallrightsnecessaryto

grantthelicensetoSponsorassetforthinSection6.1oftheseOfficialRules,andany

otherfactordeemedrelevantbySponsortohelpensurethataFinalistsparticipationin

theContestwillnot,inSponsorssolediscretion,bringSponsorintopublicdisrepute,

contempt,scandalorridiculeorreflectunfavorablyonSponsor.Ifrequested,each

Finalistagreestosignwaiverformsauthorizingthereleaseofinformationrelevantto

theverificationprocess.

4. HOWTOENTER4.1. Participantmustcreateanaccountatgithub.com.Participantmaysign-upforthefree

plan.ToenterasanindividualParticipantmustforkthehttps://github.com/Netflix/Cloud-Prize(the ContestSite)repositorytoParticipants

individualaccount.ToenterasateamParticipantmustfork

thehttps://github.com/Netflix/Cloud-Prizetoafreeorganizationaccount.Theownerofthegithub.comaccountthatforkedtheContestwillbedesignatedastheteamleader

(theTeamLeader)forpurposesofenteringtheteamintotheContest,agreeingto

theseOfficialRulesandanyotherrequiredagreements,affidavitsandreleases,and

acceptinganyprize,eachonbehalfoftheteam.Eachmemberofateamisa

ParticipantforpurposesoftheseOfficialRules.IfyouareaTeamLeader,youare

enteringintotheContestandagreeingtotheseOfficialRulesonbehalfofyourselfandeachmemberofyourteam,andwillbesolelyresponsibleforreceivingcommunications

fromandcommunicatingwithNetflix.Limit:one(1)SubmissionperParticipant.

4.2. AllSubmissionsmustbedocumentedinEnglish,softwarecodemaybewritteninanylanguagethathasafreelyavailableimplementationandSubmissionsmustnotrequire

paymentforcommerciallicensestobebuiltoroperated-thesourcecodemustbe

hostedongithub.com,eithermadeavailableonyourfork,ordocumentedandlinkedto

fromyourSubmission.

4.3. ParticipationintheContestconstitutesyourfullandunconditionalagreementtoandacceptanceoftheseOfficialRulesandthedecisionsofSponsor,whicharefinaland

binding.

5. REPRESENTATIONSANDWARRANTIES:EachParticipantrepresentsandwarrantsasfollows:(i)theSubmissionislicensedundertheApacheLicense,includesoriginalworkthathasnot

beforebeenenteredintoanyothercontest,promotionorexhibition;(ii)theSubmissiondoes

notcontainanycomputervirus,worm,orotherharmfulorpotentiallyharmfulcode,fileor

program,isotherwiseuncorrupted,iswhollyoriginalwithParticipant,andasofthedateof

submission,isnotthesubjectofanyactualorthreatenedlitigationorclaim;(iii)the

SubmissionanditsusethereofbySponsoranditsdesigneesdoesnotandwillnotviolateor

infringeupontheintellectualpropertyorotherrightsofanypersonorentity;(iv)Participant

andallmembersofParticipantsteam(ifapplicable)andtheSubmissiondonotandwillnot

violatetheseOfficialRulesoranyapplicablelawsinconnectionwiththisContest,andthe

Submissionisnotandwillnotbedefamatoryorlibelous;(v)Participantisatleasteighteen(18)yearsofageandtheageoflegalmajorityinParticipantsstateorjurisdictionofprimary

residenceattimeofSubmission;(vi)allinformationthatParticipantprovidestoSponsorin

connectionwiththeContestisandwillremainaccurateandcomplete;(vii)ifyouareaTeam

Leader,youhavetheauthoritytoagreetotheseOfficialRulesonbehalfofeachmemberof

yourteam;and(viii)theSubmissionandParticipantsparticipationintheContestand

agreementtotheseOfficialRulesdonotviolateanyapplicablepoliciesofParticipantsschool

and/oremployer.

6. MATERIALS/RIGHTSINSUBMISSIONS:6.1. Participant(andallmembersofyourteam,ifapplicable)granttoSponsoranon-

exclusive,worldwide,royalty-free,perpetual,irrevocable,fullysublicensable(through

multipletiers)andtransferablelicense,withoutadditionalconsiderationtoyou(orany

membersofyourteam,ifapplicable)orthirdparties,to(a)reproduce,distribute,

performanddisplay(publiclyorotherwise),adapt,modify,edit,translate,make

availabletothepublic,make,sell,offertosell,importandotherwiseuseandexploit

(andhaveothersexercisesuchrightsonbehalfofSponsor,throughmultipletiers)your

Submission(theLicensedWork)andanyideas,trademarks,patentsandother

intellectualpropertyaccompanying,relatedtoorembodiedintheLicensedWork,and

anymaterialsembodying,incorporatingorderivedfromtheLicensedWork,inany

formatormedianowknownorhereafterdeveloped;(b)createderivativeworksfrom

andincorporatetheLicensedWorkintootherworksorintoSponsorsoritsdesignees

productsorservices;(c)usetheLicensedWorkforSponsorsadvertisingandpromotionalpurposes;and(d)exceptwhereprohibitedbylaw,usethename,

photograph,portrait,picture,voice,likeness,statements,andbiographicalinformation

ofyou(andallmembersofyourteam,ifapplicable)forSponsorsadvertisingand

promotionalpurposes,whetherornotinconnectionwithyourSubmission,ineachcase

forthepurposeofadministeringandpromotingtheContest,anyfutureSponsor

promotions,and/orSponsor.Participant(andallmembersofyourteam,ifapplicable)

herebywaiveanyandallrightsthatyoueachmayhaveunderlawsworldwidethat

concernmoralrightsordroitmoralinconnectionwiththeLicensedWork,orwhere

suchwaiverisnotpermissible,Participantwarrantsnottoenforceitsmoralrights

againstSponsor.Yourepresentthatyouarelegallyentitledtogranttheabovelicense

totheLicensedWork.Ifyouremployerorschoolhasintellectualpropertyrightsinorto

theLicensedWork,yourepresentthatyouhavereceivedpermissiontogranttheabove

licenseonbehalfofyouremployerorschoolwithrespecttoallsuchintellectual

propertyrightsorthatyouremployerorschoolhaswaivedallsuchintellectualproperty

rightssoastoallowyoutogranttheabovelicense.Sponsorreservestheright(but

doesnothavetheobligation)toverifyatanytimethatallnecessaryrights,clearances,

consents,releasesandotherpermissionsinorrelatingtotheLicensedWorkhavebeen

validlyobtained(includinganysuchpermissionsfrommembersofanyteams,or

applicableschooloremployer).You(andallmembersofyourteam,ifapplicable)agree

tofullycooperatewithSponsorinanysuchverificationinquiries.

6.2. ParticipantherebyagreesandacknowledgesthatbyenteringyourSubmission,andbySponsorconsidering,reviewing,orevaluatingyourSubmission:(i)youandSponsorhave

NOTreachedanagreement,understanding,orpromise(written,oralorimplied)that

SponsorwillpayyouorprovideyoucreditorattributionfortheuseofyourSubmissionoranyportionthereof;(ii)youwaiveanyandallrightsandclaimstocompensation

and/orcreditforanyandallusesoftheSubmissionbySponsororanyelementofyour

prizepackage;(iii)youareagreeingtotheforegoinginexchangefortheopportunityto

haveyourSubmissionconsidered,reviewed,orevaluatedfortheContest,andthatthe

onlyconsiderationyouwillreceiveintheeventthatanyContestEntityelectsto,and

doesinfact,useyourSubmissionisthatyoumaybeconsideredfortheContestprize;

and(iv)youhavenoexpectationofemploymentbySponsor.

7. CONTESTJUDGING:TheNominatingCommitteewillselectuptofifty(50)potentialfinalists(each,aFinalist)fromthepoolofeligibleSubmissionsbasedonthecriteriasetoutbelow.

Apanelofuptosix(6)judgesconsistingofone(1)representativefromSponsoranduptofive

(5)independentjudges( JudgingPanel)willselectuptoten(10)potentialGrandPrize

Winners(each,aWinner).AlldecisionsoftheNominatingCommitteeandJudgingPanelare

finalonallaspectsoftheContest.Submissionswillbescoredbasedonthefollowingcriteria.

Intheeventofatie,theWinnerwillbeselectedbythemajorityoftheindependentmembers

oftheJudgingPanelbaseduponthefollowingcriteria.

10. Judgeschoiceaward AnawardgivenbytheJudgestothebestSubmissionthatdoesn'tfitinasinglecategory,perhapsstraddlingseveralorinventinga

newcategory.

8. FINALISTNOTIFICATION:ThepotentialFinalistswillbenotifiedbyemailonoraboutMonday,

September30,2013andwillberequiredtorespond(asdirected)tothenotificationattempt

withinforty-eight(48)hours(orashortertimeifrequiredbyexigencies).Thefailuretorespond

timelytothenotificationmayresultinforfeitureofthepotentialFinaliststanding,insuchcase,

SponsormayselectanalternateFinalistaccordingtotheNominatingCommitteeresults.

9. WINNERDETERMINATION&NOTIFICATION:Uptoten(10)potentialWinnerswillbedeterminedbytheJudgingPanelbaseduponthecriteriasetforthintheContestJudging

section.ThepotentialWinnerswillbenotifiedbyemailonoraboutWednesday,October16,

2013.EachpotentialWinnerwillberequiredtorespond(asdirected)tothenotificationattempt

withinforty-eight(48)hoursofnotificationandwillberequiredtosignandreturna Prize

AcceptanceForm.Inaddition,eachpotentialWinnerwillberequiredtoexecuteandreturnan

TOTAKEPLACEDURINGNOVEMBER2013(EXACTDATESTOBEANNOUNCED).ActualGrand

PrizevaluewillvaryandwilldependonwhetherWinnerwillattendAWSRe:Invent,Winners

placeofresidence,exchangerates,costandavailabilityofairfareandhotelattimeofbooking

andtravelandmaybesubstantiallyhigherorlowerthanestimatedvalue.Winnerandhis/her

guestareresponsibleforobtaininganynecessarytraveldocuments,includinganydocuments

necessarytoentertheUnitedStates.SponsorisnotresponsibleifWinnerorguestisdenied

accesstoanyaircraftorentry/re-entryintodestinationcountry.Insuchevent,Winnerand/or

vouchersorcertificates.Oncetravelcommences,nounscheduledstopoversarepermitted;ifan

unscheduledstopoveroccurs,Winnerwillbesolelyliableforanycostsorchargesincurredin

connectiontherewith.Sponsorisnotliableforanyexpensesincurredasaconsequenceofflight

cancellation/delayoranychangestotheflightitineraryinitiatedbyWinnerorhis/herguest.All

airtransportationticketsaresubjecttothevagariesofflightvariation,workstoppagesand

scheduleorroutechanges.Winnerwillnotreceivecashoranyotherformofcompensationif

tostructurethetravelrouteandselectcarriersandhotelsinitssolediscretion.Tripmaynotbe

guestmustbeatleast18yearsofageandnotaminorinhis/herstateorjurisdictionofresidenceandmustsignandreturnaLiability/PublicityReleasepriortotravel,exceptwhere

prohibitedbylaw.IfWinnerelectsnottotraveltoAWSRe:Invent,WinnerwillforfeittheAWS

Re:InventTrip,orifWinnerelectstotravelwithoutaguest,nocompensationwillbeawardedin

lieuthereof.WinnercannotassignortransferanyportionoftheGrandPrizetoanotherperson,

exceptatdiscretionofSponsor.IfanyportionoftheGrandPrizecannotbeawardeddueto

circumstancesbeyondthecontrolofSponsor,asubstituteprizeofcomparableorgreater

monetaryvalue,incashorotherwise,willbeawarded;provided,however,thatiftheGrand

Prizesareawardedbutifanyportionofitisunclaimed/forfeitedbyrecipient,suchportionof

theGrandPrizemaynotbere-awarded,inSponsorssolediscretion.IfAWSRe:Inventis

cancelledorotherwiseunavailableforanyreason,theportionoftheGrandPrizeconstituting

12. TRIPCONDUCT:Winnersandtheirguestsshallconductthemselveswithdueregardtopublicconventionsandmorals.TheWinnersandguestsshallnot,whilerepresentingSponsorduring

thetrip,commitanoffenseinvolvingmoralturpitudeunderlocallawsorordinances.The

WinnersandguestsshallnotcommitanyactthatwilltendtodegradeSponsorinsocietyor

bringSponsorintopublichatred,publicdisrepute,contempt,scorn,orridicule,orthatwilltend

toshock,insultoroffendthecommunityorpublicmoralsordecencyorprejudiceSponsor.In

theeventanyWinnerorguestengagesinbehaviorthat(asdeterminedbySponsorinitssole

discretion)isobnoxiousorthreatening,illegalorthatisintendedtoannoy,abuse,threatenor

harassanyotherperson,Sponsorreservestherighttoterminatethetripearlyandsendthe

WinnerandguesthomewithnofurtherobligationrelatedtotheGrandPrize.

13. NATUREOFRELATIONSHIP/WAIVEROFEQUITABLERELIEF:EachParticipantunderstandsandacknowledgesthatSponsorhaswideaccesstoideas,designs,andothermaterials,andthatnew

ideasareconstantlybeingsubmittedtoitorbeingdevelopedbyitsownemployees.Each

Participantalsoacknowledgesthatmanyideasmaybecompetitivewith,similaroridenticalto

theSubmissionand/oreachotherintheme,idea,formatorotherrespects.EachParticipant

acknowledgesandagreesthatsuchParticipantwillnotbeentitledtoanycompensationasa

resultofSponsorsuseofanysuchsimilaroridenticalmaterial.EachParticipantacknowledges
