At this time, the Executive Director introduced Michelle Cunningham, auditor, to the Commission Members and Ms. Cunningham presented the audit report in details and responded to the questions posed by the Commission Members. Additionally, Ms. Cunningham explained to the Commission Members the contents of the questionnaire and stated that this questionnaire has to be completed and approved by the Commission Members each year prior to the completion of fiscal audit report. The Executive Director presented to the Commission Members for their review the completed questionnaire. After a brief discussion, Commissioner Hocevar made a motion to approve Fiscal Audit Compliance Questionnaire. The Executive Director advised the Commission Members the Commission the Louisiana Legislative Auditor was assigneda new auditor, Duplantier, Hrapmann, Hogan & Maher, LLP, for the next three fiscal years and the 2013 fiscal audit hasbeen completed. At this time, the Executive Director introduced Michelle Cunningham, auditor, to the CommissionMembers and Ms. Cunningham presented the audit report in details and responded to the questions posed by theCommission Members.

Additionally, Ms. Cunningham explained to the Commission Members the contents of the questionnaire and stated that thisquestionnaire has to be completed and approved by the Commission Members each year prior to the completion of fiscalaudit report. The Executive Director presented to the Commission Members a Position Statement from Jeanne Comeaux, attorney forMusson-Patout Automotive, on September 6, 2013, requesting approval for using the tag line, “Musson-Patout AutomotiveCentral” in its advertising:

“Musson-Patout GMC-Buick, Musson-Patout Chrysler-Dodge-Jeep-RAM, Musson-Patout Toyota-Scionand Musson-Patout Used Cars of New Iberia (collectively referred to in this Position Statement as “Musson-Patout”) seek the guidance of the Commission on an issue that arose in the course of an advertisinginvestigation.

BACKGROUND

Musson-Patout currently holds four licenses with the Commission:

1. Musson-Patout Automotive Group, Inc. which holds the license for the GMC and Buickfranchises;

2. MP-CDJ, LLC DBA Musson-Patout Chrysler-Dodge-Jeep which holds the license for theChrysler, Dodge, Jeep and RAM franchises;

3. DK, L.L.C. which holds the license for the Toyota and Scion franchises; and

4. Musson-Patout Automotive Group, Inc. DBA Musson-Patout Used Cars of New Iberia

All four facilities are located on te same campus or parcel of land in New Iberia, each having a differentaddress. The three new car stores face Highway 90 Frontage Road and are adjacent to each other. The usedcar facility is located in the back corner of the property and faces Highway 14, which is parallel to Highway 90Frontage Road.

At times, Musson-Patout advertises each of these dealerships separately in stand-alone ads, and atother times, it finds it beneficial to advertise the entire campus in one advertisement. Approximately six monthsago, Musson-Patout’s advertising agency came up with a tag line or slogan to use when advertising the groupof dealerships together. It basically reads:

Musson-PatoutAutomotive Central

Musson-Patout was contacted by a Commission investigator, who informed it that it could not use“Automotive Central” in its advertising. Essentially, the investigator was of the opinion that an dealer could claimto be “automotive central.” She said Musson-Patout was free to say it is “centrally located” instead.Subsequently, one of the advertising investigators questioned whether this slogan implies that Musson-Patoutcould meet all automotive needs, any and all consumers. Musson-Patout disagrees with these assessmentsand asks this Commission for an opinion.

MUSSON-PATOUT’S IMMEDIATE SOLUTION

When reviewing the Commission’s advertising regulations, it became apparent that one of the problemswith Musson-Patout’s group or campus advertising is the fact that the three new car dealerships’ licenses havedifferent named licensees and d/b/a’s. This was done in order to accommodate the requirements of the variousmanufacturers. Section 701 of LAC, Title 46, Part V, however, mandates that dealers only advertise under thename that appears on the dealer license issue by the Commission. In order to comply with Section 701,Musson-Patout intends to add “Musson-Patout Automotive” as an additional d/b/a to each entity. Thus, whenusing the group or campus name, Musson-Patout Automotive, Musson-Patout will be in compliance withSection 701.

“AUTOMOTIVE CENTRAL”

Musson-Patout submits that, for purpose of group or campus advertisements only, “Automotive Central”would be appropriate, as it denotes a multi-line shopping opportunity. If Musson-Patout sought to use the tagline, “all things automitive” or “we have it all,” it could understand the current stated concern. Musson-Patout

does not seek to use prohibited superlatives such as “biggest” or largest” either.

To be perfectly clear about why Musson-Patout chose “Automotive Central” as its tag line, DianeMusson and Kelly Patout-Romero want the Commission to know that the slogan embodies the heritage andcommitment of the people at Musson-Patout, as well as conveying some broad sense of the dealerships’location in the region. The Musson-Patout dealerships have stood the test of time with decades of sales andservice, and this commitment is “central” to who they are and what they do - day after day, year after year - forgenerations. This slogan, like all effective slogans, is a positioning statement that says something specialabout the company. It is not a representation of exclusivity, and Musson-Patout is not claiming that itsdealerships are the only dealerships with a convenient and central location. Musson-Patout is simply saying,in two words, it is committed, that is has been and will be there for automotive customers, and that customerscan find multiple options at a central location in the region.

CONCLUSION

It is the goal of the Louisiana Motor Vehicle Commission to apply its laws and regulations to all of its licenseesconsistently and evenly. A cursory review of the various tag lines and slogans used by the dealers in the Stateof Louisiana reveals that “Automotive Central” does not offend the advertising rules promulgated by theCommission, and is mild in comparison to some of the clearly prohibited slogans currently being usedthroughout the State. Musson-Patout respectfully requests that this Commisison approve its use of the tag line“Automotive Central” when referring to Musson-Patout Automotive in its campus advertising. It will not be usedin conjunction with Musson-Patout’s separate promotion of its individual dealerships.”

After a brief discussion, Commissioner Fabre made a motion to approve Musson-Patout’s request for using “Musson-Patout Automotive Central” in its advertising. Commissioner Ryan seconded this motion and it was unanimously approved.

The Executive Director presented to the Commission Members correspondence from James Lauderdale, Partner of BillHood Ford, L.L.C. DBA Bill Hood Ford Lincoln, received by the Commission on July12, 2013, requesting approval fora DBA, “Bill Hood Certified Pre-Owned Megastore”, for his used motor vehicle dealership:

“In the attachment you will see a new Preowned marketing concept that we would like to launch at Bill HoodFord Lincoln and Hood Auto Group of Hammond (Nissan, Mazda, Hyundai) here in Hammond. I would like toapply for an additional DBA, (if that is what is necessary), have a pylon sign made for the Ford location, (notthe Nissan location), and use this logo in our advertising and on our website. Neil tells me we need to applyfor an additional DBA and obtain factory (franchise) approval for the DBA.My questions are:-Can I apply and receive the same DBA at both locations (BHFord and Hood Auto Group)?-WE have our own certification process (26 point inspection). Every used vehicle goes through this certificationprocess in order to receive the warranty which we offer. Not every vehicle will pass the certification. Can we not,based on this process, use the word “Certified” in our new DBA (as shown)?”

A brief discussion ensued after the Commission Members reviewed James Lauderdale’s request and the approval of FordMotor Company. Chairman Brandt suggested that for an individual dealership to use the word “certified” is misleadingbecause only manufacturers certified the inspections of used motor vehicles. Commissioner Hicks made a motion to denyBill Hood Ford, L.L.C. DBA Bill Hood Ford Lincoln’s request for using “Bill Hood Certified Pre-Owned Megastore” inits DBA. The Executive Director announced that this committee meeting is to discuss the issue of warranty work as it pertains to Fleetsand LSA-R.S. 32:1261A.(1)(t). And continued to announced that Commission Duhon was in California for business and was notable to attend this meeting. But he had e-mail some questions to the Executive Director to read during the meeting and to beanswered by the manufacturers. He questions would be part of this minutes.

The Executive Director turned the meeting to Commission Counsel Reggie to address the purpose of this committee meetingwhich was to discuss how fleet vehicle manufacturer warranty repair being done by non-franchised dealers. Licensed dealersexpressed to Commission Duhon that they are losing business when warranty repair were done by others. And licensed dealershave to meet regulations to certified their technicians but their certified technicians leave them to be hired by fleet companies.

The Executive Director read Commissioner Duhon’s questions and the Committee Members, Counselors and attendees wentinto a series of discussion.

Below is the list of questions from Commissioner Duho to the manufacturers and some of the manufacturers’ answers:

Q. 1. Do they require the same training for their rental technicians as they require for their dealerships?

A. GM’s answer is no. Fleets technicians do not required the same training as dealer’s for the resean that fleets do not repairbig items, like transmission and engine.

Q. 2. When a vehicle is sold to a rental company in a dealer’s PMA, does that unit count in that dealers’ UIOcalculation?

A. Chrysler: they do not use UIO. They use other but will check. Ford: maybe no but will check. GM: maybe no but will check.

Q. 3. Do rental car companies get parts return? If so, what is program?

A. Ford: they return parts through dealer. Rental companies do not required stock parts. GM: Fleets do not order parts. They buy parts from dealers.

Q. 4. Do rental car companies have the same equipment requirement as a dealer?

A. Ford: No. They only do minor fleet repairs. Order only basic tools. Technicians do training online. GM: no differentiate. Let fleets decide. Chrysler: All minor repairs. No differentiate.

Q. 5. What is the labor rate and parts mark-up percentage the rental car companies are receiving?

A. Ford: 80% of market rate; 20% parts mark-up. Same claim requirements. GM: 60% labor; dealers 40% parts mark-up; fleets 20% parts mark-up. Chrysler: do not have the numbers.

Q. 6. Are you considering this arrangement with other retailers who decide to get in the rental car business? Likeif Walmart forms a rental company would you entertain the same structure?

A. GM: only reimburse claims to cars which owned by rental fleet companies.

At this time Eric Henning of General Motors provide a copy of their proposed language amendment to LSA-R.S. 32:1261A.(1)(t)on the fleet warranty issue:

“(1) To operate a satellite warranty and repair center, to authorize a person to perform warranty repairs who is not a motor vehicledealer, or to authorize a motor vehicle dealer to operate a satellite warranty and repair center within the community or territoryof a same line or make motor vehicle dealer. This Subparagraph shall not apply to recreational product manufacturers nor shallit prohibit a motor vehicle manufacturer from authorizing employees of a fleet owner or governmental entity toperform warranty repairs on vehicles owned by the fleet owner or governmental entity. For purposes of thissubparagraph, “fleet owner or governmental entity” means a person or unit of government who owns for its own useor for the use of others 10 or more motor vehicles of the current or preceding model year manufactured or slod bythe manufacturer, importer or distributor who is authorizing the warranty work to be performed.”

After a lengthy discussion, all parties agreed to draft their proposed language to circulate through each then have anothermeeting after that.

At this time, Commissioner Hocevar and Counselor Reggie summarized the meeting for to the Commission Members thatthere are more issues to discuss with the involved industries, i.e., how big truck companies sell trucks to fleet account, howwarranty repair claims for leasing and rental vehicles are paid, etc. After a brief discussion, Commissioners Duhon andTimmons stated that they will have meeting with LADA representing themselves as dealers and not as CommissionMembers.

With regard to the Emergency Rule which was adopted on July 15, 2013, the Executive Director and Counselor McCranieaddressed the Commission that upon further consideration and discussions with legislative staff of the oversight committee,the Executive Director had prepared a resolution to rescind the above-mentioned Emergency Rule and requested anapproval from the Commission to cancel the July 15, 2013 Emergency Rule, effective September 9, 2013. After adiscussion, Commissioner Hocevar made a motion to approved the resolution and rescind the July 15, 2013 EmergencyRule, effective September 9, 2013. Commissioner Duhon seconded this motion and it was unanimously approved.
