The Annual General Meeting was convened as per the Notice to general membership signed by the Hon Secretary dated 10th February, 2007. The meeting started at 11:00a.m with prayers by Lucy Mwangi from ICRAF. MIN 1 – Confirmation of Minutes for 2006 Annual General Meeting held on 17th February, 2006 The minutes were proposed by Abdulrahman Munyendo from IOM and seconded by Camlus Owino from MSF – Spain, Busia. MIN 2 ‐ Matters arising there from Maximum Loan Repayment Period Christopher Mugue from JBIC suggested an increase in maximum loan repayment periods so as to enable members to take bigger loans as follows:

• Emergency Loan repayment period increases from 12 months to be 18 months • Refinancing Loan repayment period increases from 18 months to 24 months • Normal Loan and Special Development Loan repayment periods increase from 48 months to 60

months KUSCCO Housing Fund Contributions Ronald Ajengo from ACTS pointed out there was an omission on the 1st paragraph. It should read, “Stallon Kamau from IIRR enquired about KUSCCO contributions.” Disposal of Surplus for the year 2006 The Management Committee paid out Ksh.14 million as interest on member’s deposits (dividends) and paid members of the Management Committee Ksh.336,000 as Honorarium. Maximum Loan Ceiling The Hon. Chair reported that the resolution to increase the maximum loan ceiling from Ksh.1.7 million to Ksh.3.5 million was implemented and so far only one member out of a total of 1,700 had taken a loan of Ksh.3.5 million. Maximum Loan Repayment Period The Hon. Chair reported that the resolution to increase the maximum loan repayment period from 36 months to 48 months was implemented. It has been noted that very few members are applying to repay their loans within the 48 months with most opting to go for 24 months. Increase multiplier for taking loans from three times (x3) to four times (x4) Peter Mbatha from IOM enquired if the Management Committee (MC) had looked into the implications of implementing the proposed multiplier of four times the share value. KIMISITU Sacco Strategic Plan 2006 to 2010 A Member’s Education Day was held in May 2006 to educate members on the KIMISITU Sacco Strategic Plan 2006 to 2010. The plan was approved for implementation by the Management Committee. The Strategic Plan will be launched in May 2007 and members will be invited to witness.

Susan Ondeche Not from MSF ‐Spain MIN 3 ‐ Report from the Hon. Chairman The Hon. Chairman’s Report was proposed by Peter Muyekho from SAHC and seconded by Lucy Mwangi from ICRAF. The Hon. Chair clarified that the new member organizations listed in his report are those which are additional to the 57 already members as at last AGM. Boaz Waruku from Shelter Forum pointed out that differentiation of shares from members’ deposits is not done on the Chair’s report. The Hon. Chair responded that another phrase for dividends is interest on member’s deposits. Olad Farah from Emack asked about selection criteria for institutions to which the Sacco makes donations as part of its corporate social responsibility. The Chair responded that the MC started by selecting those from Nairobi but in future will move to all communities where members are based. Referring to the former staff member’s debt, Kenneth Amunga from Rockefeller Foundation enquired whether the MC has taken action to ensure there is fiduciary insurance cover should a similar situation arise again. The Chair responded that in 2003 the Sacco took Director’s Indemnity for Board Members and Fidelity Insurance for the staff through CIC Insurance. MIN 4 – Minister’s Key Note Address The Provincial Cooperatives Officer (PCO) read the Key Note Speech on behalf of the Minister. See Annex 2 for Minister’s Key Note Speech. The PCO then added the following remarks: Emergency Loan The PCO noted that the policy of keeping the maximum repayment period for Emergency Loans at 12 months was developed in the 1980s and is outdated. The maximum repayment period can be extended for any period of time even upto 10 years depending on the liquidity of the Sacco but it is more efficient to keep the period less as this allows member to borrow another loan in case of another emergency. Corporate Social Responsibility The PCO noted that KIMISITU is one of the few Saccos which acknowledge Corporate Social Responsibility. He also suggested that the Sacco also identify needy cases and set aside funds to support them.

MIN 5 ‐ Presentation of the 2006 Audited Financial Statements The Audited Financial Statements for the year 2006 were presented by Ben Mbai from Mbai Ndeteni and Associates. The Audited Financial Statements were proposed by George Kariuki from IDRC and seconded by Esther Nyamwati from FTC. Salaries and Wages Walter Karungari from JICA asked for justification for the increase in the Salaries and Wages line items from Ksh.1,394,499 and Ksh.2,424,392. The Hon. Chair responded that it was combined factors of annual increment in salaries of 10% Cost of Living and between 2% to 4% for merit. The number of staff in 2006 also rose from 3 to 5. A certified public accountant, Alex Marige, was hired as well as a Manager at a higher scale. Staff Training, Staff Travel, Committee Travel and Amortization Florence Miruka from Goal Kenya requested explanation on the above mentioned line items. The Hon. Chair responded that staff Travel was bus fare used by staff when visiting the 84 member institutions as well as allowance paid when attending monthly MC meetings which are held on Saturdays. If they drive mileage is paid at a rate of Ksh.30 per km. Committee Travel is paid to the MC and Supervisory Committee (SC). The Credit Committee meets weekly, the Executive Committee also meets weekly for cheque signing and the MC monthly. They are reimbursed bus fare or mileage. Staff Training is money invested in human resources for staff to attend courses relevant to their areas of work or KUSCCO trainings to interact with staff from other Sacco. Amortization is closely related to depreciation. This applies to intangible assets which cannot be touched such as computer software. The Auditor added that it is depreciation for non‐physical items. Dormant Shares and Ex‐members shares Rose Thuo from ICRAF commended the MC for a good job which is well done. She requested for clarification on the item Dormant Shares and Ex‐members shares. The Hon. Chair responded as follows: Dormant Shares represents members who are no longer making any contributions to KIMISITU and have neither claimed their balance nor stated that they want to withdraw. In 2006, seven of them re‐surfaced. Some of these members are based out of the country and want to continue when they come back. Ex‐members shares are for members who quit KIMISITU and are refunded their money. This represents Ksh.1,000 for every member i.e. 95 members. In 2005 we changed the By‐Laws where there are 50 non‐refundable shares of Ksh.20 when you enroll. When leaving the Sacco a member can only transfer to another member. We are waiting for these members to sell their shares to existing members. Mr. Kahutu added that members are the owners and customers of the Sacco. As customers, they can only get interest on deposits (dividends). Mr. Kagiri of Digital Process Works asked about dormant shares treatment in regards to dividends. The Hon. Chair responded that in 2006, the MC agreed that nothing will be paid on Dormant Shares. The dividend is paid to active deposits. Mr. Kahutu added that most Saccos are paying only interest on deposits.

Abdulrahman Munyendo from IOM noted current assets reduced and working capital is KSh.10million on page 1 of the audited financial statements. Are we fairing on well? The Hon. Chair responded in reference to page 7 that working capital means if we were to pay the current debts today, we would pay from the current assets meaning we would not have enough money to pay immediately. The Auditor added that prudent business people like to trade using other people’s money. Current liabilities do not attract interest. If current liabilities are more than current assets, it may not be bad as long as we do not loose credit facilities. If we are getting credit but not paying interest then it is efficient financial management. The figure represents a spot in time i.e. as at 31‐Dec‐2006 and this figure may have changed. Paul Mureria from PSF is it possible to buy land and sell to members. The Hon. Chair said it is possible but will be discussed under agenda item AOB. Collins Bonyo from WVI Somalia asked about interest on members’ deposits pg 3 and pg 13 item 14 why is the balance of 2005 added as opening balance in 2006 yet it is assumed it has been paid. Financial charges: the same line was expensed on page 14. The auditor responded that the statement on page 3 is from the MC and the word used should have been payable and not “paid”. The Chair added explained about the dividends. To show growth, it has been separated to show receipts. Gezete Abraham commented that payables of 2005 should not be reflected in 2006. The Hon. Chair responded that the auditor has shown the increase of Ksh.6.7million. The Cooperatives Officer asked if the members were paid dividends and they confirmed payment. Joseph Okutoyi of MSF‐France asked about continuation of membership of national staff who leave employment and expatriates. The Chair responded that individual members and members residing outside Kenya are requested to make standing orders through their local bank accounts. There are currently members who are remitting monthly through their local bank. Some members residing outside Kenya send their contributions for the whole year and pay the transfer cost once instead of paying the monthly charge of USD30. MIN 6 ‐ Report from the Supervisory Committee The Supervisory Committee Report was proposed by John Langali Mwaengo from SAHC and seconded by James Kagiri from Digital Processing Works. Walter Karungari from JICA commented that the report is very abstract and theoretical. Esther Ng’ethe from IOM based on last line, “save more, borrow more and invest prudently”. What can be attached to the salary so as to enjoy higher loans i.e. other income. The CO explained the restriction is on salary is to make sure that you can service your loan. Dennis Moogi from Goal Kenya commented about Education Committee in the two areas. What is being done about it? Grace of Goal Kenya: If only 5% of members attend Members Education Day, is it worth to spend on it yet members are not interested? Damaris Kanana from Goal Kenya said it is important and very educational for members to attend. Emanuella Olesambu from Coopi said the topics should be very attractive for members to attend. Get views from members and package it. The Chair said that the Education Committee will do a needs assessment before the next day. We will have two education days in 2007. James Odhaimbo from MSF Spain‐Busia said Busia is not far away and should not be used as an excuse in terms of Education Day and receipt of cheques.

Dennis Moogi from Goal Kenya: Reconsider strategies being used considering diverse membership to reach all people e.g. outsource services. Many issues raised in the AGM are being are same as was discussed during Member’s Education Day. Use website to disseminate information to members. MIN 7 ‐ Presentation of the year 2007 Budget The Hon. Treasurer’s Report was proposed by Lucy Mwangi from ICRAF and seconded by Bernard Siro from Rockefeller MIN 8 ‐ Reports from the Education & Credit Committees Education Committee Report The Education Committee Report was proposed by Pius Kasusya from Resource Projects and seconded by Christine Wabala from MSF‐Spain. Credit Committee Report The Credit Committee Report was proposed by Edith Mbigi of IUCN seconded by Abdulrahman Munyendo Muyendo. Recommendations to Education Committee Gilbert Osano of GTZ recommended the Education Committee to categorize members’ training by regions based on where members are from so as to have 2 different approaches. One can be held in Nairobi and the other in the remote areas. Regarding Credit Committee Report, members should ensure they put more of their shares so that they can borrow. We have low income earners and high income earners, look at what is your objective and not the objective of the majority. It’s not only what we input from our pay slip but also from other sources. Let us think beyond our pay slips. Interest Bernard Siro from Rockefeller Foundation: Receipt of interest in the society. The 1st interest captured is 1% of the loan and receive higher interest. On accounting policies, interest is captured when received and accounting standards is accrued when earned. Budget trend Olad Farah from EMACK Project: The budget shows there is an upward trend in the total expenditure. Where are the budget notes to explain why there are increases? James Wagura responded, that indeed there should be notes so as to understand the increase. Some of these items are not really expenditure and should be reclassified. One large amount is interest on member’s deposits. Another is salaries and this is expected to continue depending on inflation rate and as the society grows we may hire more members. Maryanne Godia of Goal Kenya had the following suggestions:

1. Have emergency loans offered twice with a given period of time to pay the loan because this is a country of emergencies and emergencies occur more than once a year. James responded that the CC has been thinking about it and have realized there are those who go to shylocks to get loans to clear emergencies. That’s why the Sacco has come up with the top up loan product. It is still an experiment to see how it will impact our cash flow to avoid queues. Also looking at ways of not tying loans to pay slips and members suggestions are most welcome. The ways must not increase defaulters. Florence Oile said 12 months is the max in which emergencies but one can take as many as 12 depending on how fast they can pay

2. Organizations here work for stigmatized, marginalized or less fortunate and wondered on criteria for selecting the other organization. Donations go organization within the Sacco. The Vice Chair said we start somewhere and it is a good suggestion that we begin from home and the point is well taken.

Florence Waiyaki also encouraged members to give suggestions to the office esp. for charitable institutions.

3. International Aids Run should fight aids and not just sending members to attend the run. We want to see how the Sacco will fight aids.

4. Most members are field workers and want energizers and sweets in between the reports. Inflation rates Esther Wahome of CDTF suggested inflation rate be pegged at a rate of 10% maximum. If the actual is higher e.g. 15% then the office should award 10%, if it is lower like 8% then give the actual of 8%. The Chair responded the Inflation rate was 15% but we gave 10%. This is determined by the annual budget. The MC awards within the approved budget. We are in the market and we want to attract and retain the best employees. New products Esther Nge’the of IOM suggested a new product to avoid going to shylocks which gives 2 cheques. Any product must be well researched to ensure it does not increase default and that the administrative costs will not increase. The CO said that area of new products needs extensive brainstorming and research. A member asked for justification on the following budget items:

- Committee training - Members Education - Advertising, Marketing and Publicity - Cooperative Annual Events

Hon. Chair responded we are discussing the 2008 budget not 2007. We are seeking adjustment for the items under Amendments for 2007. Restrict questions to the 2008 budget. David Makio from Coopi asked for justification on the Ksh.3 million expenditure on software. Is it new software or upgraded software? Can members have a demonstration done? The Chair explained that we are currently using Smart Sacco which is now fully amortized. The initial cost was Ksh.250,000 with only 600 members, and Ksh.56million in deposits. The Sacco has grown three times and deposits are currently at Ksh.330 million. The current software is not serving us at optimum as it is not calculating dividends based on number of days the shares have been in the Sacco. Other banks, dividend is calculated every month. Between September and December 2006 members boosted shares by Ksh.24 million. This Ksh.3million is 1% of the 330 million we are managing. If we invest 1% of our deposits in getting a good software, members will get more dividend individually in the future. Another limitation is interest on loans. Currently it is spread over the period of the loan. As at December 2006 there was 13 million interest in loans which was not received and thus could not be recognized as income. If this had been recognized the total revenue would have been Ksh.42 million would be paying Ksh.33 million to members. We have seen 5 demos of new softwares in the market. The new procurement and disposal act that become law, we cannot invite bids from software suppliers until the budget is approved. The good softwares range from Ksh1 million to Ksh3.5 million. If capital budget is approved then we can go to market and ask for bids. Laban Musundi commented on advertising and marketing saying there is an increase in members located in remote areas who need to be visited and thus the budget increases. The amendments of the 2007 budget was approved a majority vote. Only 3 members opposed.

MIN 9 ‐ Appointment of Auditors Ben Mbai of Mbai Ndeteni & Associates indicated that they are willing and able to continue. The Hon. Chair explained that in the 2006 AGM the MC was mandated to shortlist 3 auditors. The criteria to be a Sacco auditor is to be registered with ICPAK and Ministry of Cooperative Development. The MC advertised in the ICPAK e‐newsletter circulated to 2,800 members. It costs us 3,000. We received about 10 applications, 5 were interviewed and 3 were shortlisted. Each auditor confirmed being interviewed by the MC. Kahuthia from the PCO’s office led the voting and the results were as follows: Mbai Ndeteni & Associates: 34 votes Theuri Ndegwa & Associates: 75 votes Tela Alusala & Company: 42 votes Muchungi & Associates: 7 votes Theuri Ndegwa & Associates: were appointed as KIMISITU Sacco’s auditors for the 2007 financial year. MIN 10 ‐ Disposal of Surplus for the year 2006 The process of disposing the 2006 Surplus was led by Mr. Kabuthi from the PCO’s office. Interest on Member’s Deposits: Members unanimously agreed to pay members interest on their deposits at a rate of 6.55%. This was proposed by Pauline Sisa from CCF and seconded Lucy Mwangi MSF France. Honorarium: Members unanimously agreed to pay the Committee honoraria of Ksh.403,000. This was proposed by Lucy Mwangi of ICRAF and seconded by Peter Muyekho of SAHC. MIN 11 ‐ Elections Management Committee Elections The MC elections were conducted by the CO. Collins Odongo resigned from the MC as he relocated to another country. Pamela Mokaya was co‐opted into the MC during 2006 in the Education Committee and offered herself for election. The criteria used for co‐opting her was the MC went back to the record of last year’s elections and noted that Edith Rotich from IIRR was 2nd. However, Edith did not attend 4 meetings and she was replaced by Janerose who had come in 3rd during the same elections. Janerose had no opponent during these elections. It was agreed the election method to be used is show of hands as proposed by Beatrice Wandera from MSF France and seconded by Mohamed Sabur from IMA project. Pamela Mokaya was proposed by Emanuella Olesambu and seconded by Donald Osunga from IOM. The vote count was unanimous. There was no opponent.

Collins Bonyo was elected into the Supervisory Committee MIN 12 ‐ Any Other Business (AOB) The CO encouraged members to register a housing cooperative to own properties through the Sacco. He also pointed out that the Sacco needs to come up with a strategy to improve attendance at members’ education days using positive and negative reinforcement. E.g. monetary incentives or deduct from those who don’t attend. He added that quarterly reports from SC need to be sent to the Ministry. The members of SC must have accounting or auditing knowledge. The CO said the SC report criticized but should have also given solutions. John Langali of SAHC: Auditors report showed loans to members brings more investment. He proposed that lending loans to members be increased to four times their shares (x4). Majority of member organizations are donor funded with short contracts. If you borrow x4 then you have to have a 4 year contract so as to minimize default. Also the office needs to do research to see how it will affect cash flow. The computations can be done and presented in next AGM. David Mumo from EMACK Mombasa asked if there is discrimination against people residing outside Nairobi sitting on committees. The MC responded is no discrimination but one has to avail themselves for meetings. Ireri Penda from IDRC: Suggested better time management in the next AGM. The MC responded that the notice for meeting will be issued for an early start so that members come early. Githinji Gachunga from Goal Kenya: Asked about SC Report on Committee allowances being awarded. The Hon. Chair responded that 2 proposals have not been tabled by SC to MC in quarterly meetings. Committee

expenses are expended within the budget. The budget has not been blown. MC members have paid an indemnity of a surcharge of Kh.100,000 per member with the Ministry of Cooperatives. Regarding savings, we cannot ask members for gross salary to monitor the percentage and cannot force a member to give that minimum percentage. The CO commented that both SC and MC Chairs are right. During the joint meetings these things have to be fleshed out. There being no other business the meeting ended at 5:20p.m with prayers by Rose Thuo of ICRAF.
