The Board of Directors of Merged Area (Education) V Community College District (IOWA CENTRAL COMMUNITY COLLEGE) met in regular session at 5:00 p.m., Tuesday, September 8, 2020, via Zoom and in Student Support Services Room 104, One Triton Circle, Fort Dodge, Webster County, Iowa.
I. Call to Order The meeting was called to order by the President of the Board. The following members were found to be present: Tom Chelesvig, Mark Crimmins, Larry Hecht, Deb Loerch, Doug McDermott, Bennett O’Connor, Connie Smith, and Brandon Wessels. Absent: Darrell Determann. Also present for the meeting were President, Dr. Dan Kinney; Vice Presidents, Dr. Stacy Mentzer, Jim Kersten, and Angie Martin, Mary Ludwig, and Secretary, Ally Walter.

RESOLUTION DECLARING AN OFFICIAL INTENT UNDERTREASURY REGULATION 1.150-2 TO ISSUE DEBT TO REIMBURSE THE COMMUNITY COLLEGE FOR CERTAIN ORIGINAL EXPENDITURES PAID IN CONNECTION WITH SPECIFIED PROJECTS
WHEREAS, the Community College anticipates making cash expenditures for one or more capital improvement projects generally described below (each of which shall hereinafter be referred to as a "Project"); and WHEREAS, the Community College reasonably expects to issue debt to reimburse the costs of a Project; and WHEREAS, the Board believes it is consistent with the Community College's budgetary and financial circumstances to issue this declaration of official intent. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF IOWA CENTRAL COMMUNITY COLLEGE, STATE OF IOWA: Section 1. That this Resolution be and does hereby serve as a declaration of official intent under Treasury Regulation 1.150-2. Section 2. That it is reasonably expected that capital expenditures will be made in respect of the following Project(s), from time to time and in such amounts as this Board determines to be necessary or desirable under the circumstances then and there existing.

RESOLUTION DIRECTING THE ADVERTISEMENT FOR SALE OF NOT TO EXCEED $9,000,000 GENERAL OBLIGATION SCHOOL BONDS, SERIES 2020B AND SERIES 2020C, APPROVING ELECTRONIC BIDDING PROCEDURES AND APPROVING OFFICIAL STATEMENT
WHEREAS, at a special election of the qualified electors of Iowa Central Community College in the Counties of Boone, Buena Vista, Calhoun, Carroll, Cherokee, Clay, Crawford, Franklin, Greene, Hamilton, Hancock, Humboldt, Ida, Kossuth, Palo Alto, Pocahontas, Sac, Webster and Wright, State of Iowa, held on February 6, 2018, the voters authorized the issuance of $25,500,000 of General Obligation School Bonds for the Community College for the purpose of providing funds to remodel, improve, repair, construct, erect, furnish, and equip buildings and additions to buildings, to make improvements to sites; and WHEREAS, this Board finds it advisable and necessary that bonds authorized at the election be offered for sale for the purpose authorized at the election; and WHEREAS, the Board deems it in the best interests of the Community College and the residents thereof to receive bids to purchase such General Obligation School Bonds by means of both sealed and electronic internet communication; and WHEREAS, the Board has received information from its Financial Advisor, recommending the procedure for electronic bidding to provide for the integrity of the competitive bidding process and to facilitate the delivery of bids by interested parties:
NOW, THEREFORE, IT IS RESOLVED BY THE BOARD OF DIRECTORS OF IOWA CENTRAL COMMUNITY COLLEGE IN THE COUNTIES OF BOONE, BUENA VISTA,

That the Secretary of the Board of this Community College publish notice of the sale of bonds at least once, the last one of which is not less than four days nor more than twenty days before the date of the sale. Publication will be in The Messenger, a legal newspaper published wholly in the English language, published within the County in which the bonds are to be offered for sale or an adjacent County. Notice is given pursuant to Iowa Code chapter 75 that bids will be received and acted upon by this Board at a meeting to be held at 5:00 P.M. on November 10, 2020; the notice must be in substantially the following form:

NOTICE OF BOND SALE Time and Place of Sale: Sealed bids or electronic bids for the sale of General Obligation School Bonds, Series 2020B, of the Iowa Central Community College, in the Counties of Boone, Buena Vista, Calhoun, Carroll, Cherokee, Clay, Crawford, Franklin, Greene, Hamilton, Hancock, Humboldt, Ida, Kossuth, Palo Alto, Pocahontas, Sac, Webster and Wright, State of Iowa (the "Issuer"), will be received in the office of the Board Secretary/Treasurer of the Community College until 10:30 A.M. for the 2020B Bonds and until 11:00 A.M for the 2020C Bonds, on November 10, 2020. The bids will be publicly opened at that time and evaluated by the Vice President of Finance and Operations, Board Secretary and Financial Advisor and referred for action at the meeting of the Board of Directors. Sale and Award: The sale and award of the bonds will be held at the Board meeting scheduled at 5:00 P.M. on the same date. The Bonds. The bonds to be offered are the following:
GENERAL OBLIGATION SCHOOL BONDS, SERIES 2020B, in the principal amount of not to exceed $7,000,000 to be dated December 8, 2020 (the "2020B Bonds").
TAXABLE GENERAL OBLIGATION SCHOOL BONDS, SERIES 2020C, in the principal amount of not to exceed $2,000,000 to be dated December 8, 2020 (the "2020C Bonds").
The Issuer may increase or decrease each maturity, but the total amount of bonds issued will not exceed $9,000,000.
Manner of Bidding: Open bids will not be received. No bid will be received after the time
specified above for receiving bids. Bids will be received by any of the following methods:
• Sealed Bidding: Sealed bids or electronic proposals may be submitted and will be received in the office of the Board Secretary/Treasurer, Iowa Central Community College, Fort Dodge, Iowa.
• Electronic Bidding: Electronic bids via SpeerAuction® will be received in the office

Electronic Bidding Procedures Electronic facsimile bids must be delivered according to the following procedures: 1) A fax number and a telephone number will be provided to potential bidders in the Official
Terms of Offering and in the Official Bid Form included in the Official Statement. 2) On or before the day bids are to be taken, potential bidders may fax signed Official Bid
Forms, without price or coupons, to the fax number included in the Official Statement. 3) Prior to the deadline for receiving bids:
a. Bidders may fax a completed and signed Official Bid Form to the number provided in the Official Terms of Offering; or
b. Bidders by fax or phone may provide the final price and coupons to be inserted in
the previously provided signed Official Bid Form; or
