WHEREAS, Korea Trade - Investment Promotion Agency (hereinafterreferred to as "KOTRA") having its registered Indian office at #2, 12th Fir,Bldg SA, DLF Cyber Terraces, DLF Cyber City, Gurgaon, Haryana, wasestablished in 1962 as a national trade and investment promotion organizationof the Government of Korea. KOTRAhas played a significant role in supportingKorean companies' overseas direct investments. KOTRA also assists bothdomestic and overseas companies for professionals' recruitment andemployment. With its experience and expertise, KOTRA assists interestedparties worldwide to do business with Korea. KOTRA via its extensiveworldwide network of overseas Korea Trade Centers (KTC) promotes bilateraltrade and investment in the countries of operation.

WHEREAS, EEPC India (hereinafter referred to as "EEPC India"), having itsregistered office at 'Vandhna', 4th Floor, 11, Tolstoy Marg, New Delhi110001, was set up in 1955 under the sponsorship of Ministry of Commerce &Industry, Govt. of India, for export promotion of engineering goods, projectsand services from India. It has grown to be the largest Export PromotionCouncil having membership from amongst large Corporate Houses, StarTrading Houses, Small & Medium Scale Units (SME), Trading Houses, etc. Out ofthe total membership of the Council, 60% constitutes the SMEs.

WHEREAS, Confederation of Indian Industry (hereinafter referred to as"CII"), a body registered under the Societies Registration Act, 1860 havingits principal office at 23, Lodhi Institutional Area, New Delhi - 110003, isa non-government, not-for-profit, industry-led and industry-managedorganization, playing a proactive role in India's development process, foundedover 118 years ago. CII charts change by working closely with Government onpolicy issues, interfacing with thought leaders, and enhancing efficiency,competitiveness and business opportunities for industry through a range ofspecialized services and strategic global linkages. It also provides a platformfor consensus-building and networking on key issues.

This Memorandum of Understanding (hereinafter referred to as "MOU") isentered into between KOTRA, EEPC India & CII hereinafter referred toindividually and collectively as "Party" or "Parties", under the terms andconditions set forth in the following paragraphs.

Now, therefore, the Parties hereto agree as follows:

ARTICLE I: OBJECT

1.1 The MOU being a broad understanding among the Parties confirms thecommon desire of the Parties to maintain and further mutual co-operation and understanding for the purpose of promoting the developmentof business opportunities between India and Republic of South Korea.

1.2 The Parties recognize the importance of trade and investmentpromotion and cooperation to stimulate business activities between thetwo countries that will result in increased prosperity for both countries;

ARTICLE II: SCOPE AND AREAS OF COOPERATION

2.1 The Parties shall actively encourage the following activities:

a) The KOTRA, EEPC India and CII agree to establish and developcommercial links between the business communities of both countriesin general and their respective members in particular

b) To promote trade and investment relations between India and SouthKorea and to constantly endeavor to improve co-operation between thetwo countries

c) To assist in organizing trade and market research missions, businessdelegation, and other methods of trade promotional activity in eachother's country and in relevant third country markets

d) To organize seminars, conferences, exhibitions, trade fairs and otherpromotional activities to further business relations between the twocountries and in relevant third country markets

e) CII and EEPC India will help KOTRA in organizing B2B meetings withvisiting Korean companies in various industry sectors and engineeringsector in specific and KOTRA will assist CII and EEPC India in bringingdelegation and exhibitors from South Korea for their events

f) The organization and participation in trade and investment missions,visits, seminars, business meetings and workshops

g) To create and maintain a continuing exchange of information abouteconomic developments and other matters affecting the businessinterests of their members

h) To identify and establish contacts between organizations and encouragereciprocal visits of official businesspersons and technical specialists

i) To pro actively exchange the information on trade and investmentregulations, policies and opportunities for the respective countries andof relevant third country markets and to update each other of theevol ution of these markets

j) The exchange of publications and other relevant literature to help eachParty stay abreast of latest trade and investment developments andprojects in each country

k) To arrange visits of officials of the Parties from time to time with a viewto foster co-operation for improved business relations and rendering ofbetter services to their respective members

I) For the purpose of fulfilling this Agreement, to undertake joint periodicreviews of this Agreement at the request of either party

m) Each party shall designate its respective representative to follow-up onthe implementation of this MOU

ARTICLE III: FINANCIAL PROVISIPNS

3.1 Each Party shall be responsible for their respective operationalexpenditures connected with the activities and administration of thisMemorandum at their headquarters, and for all expenses connectedwith the attendance at any meeting concerned with activities resultingfrom this Memorandum.

3.2 The Parties agree that nothing in this Memorandum shall be legallybinding, enforceable, or impose any financial obligation on either Party.

ARTICLE IV: AMENDMENTS AND RESOLUTION OF DIFFERENCES

4.1 This MOU shall be amended in writing by mutual consent between theParties. Such amendment or revision shall come into force on such dateas may be determined by the Parties and shall be regarded as anintegral part of this MOU.

4.2 Any difference between the Parties arising from the interpretation orimplementation of this MOU shall be settled amicably throughconsultations and / or negotiations.

ARTICLE V: ENTRY INTO FORCE, DURATION AND TERMINATION

5.1 This MOU shall enter into force on the date of its signing by the Parties,and shall remain in force for a period of three (3) years.

5.2 This MOU shall be extended for successive periods of three (3) yearsunless either Party notifies prior to its termination.

5.3 The termination of this MOU shall not affect the completion of anyprogramme or project undertaken under this MOU.

IN WITNESS WHEREOF, the Parties hereto, acting through its duly authorizedrepresentatives have affixed their signatures on this MOU in two originalcounterparts in English language in New Delhi on the 16th of January, 2014.
