This Certificate shall be attached to the Board's Report.
Your company has faUs under this category, as the paid-up capital of the Company has been more than Rs.10 Lacs and for that the Company have to obtain the Compliance certificate for the current ftnanctat year. Mr. Tapan Shah has carried out the same for the financial year Z011-12.

To, The Shareholders, Transweld Mechanical Engineering Works Ltd. Ahmedabad.
We have audited the attached Balance Sheet of Transweld Mechanical Engineering Works. Ltd., as at 31!' Mareh, 2011, the Profit and Loss Account for the year ended on that date annexed thereto. These fmaneial statements are the responsibility of the Company's Management. Our responsibility is to express an opinion on these financial statements based on our audit.
We conducted our audit in aecordanee with auditing standards generally accepted in India. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit ineludes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also ineludes assessing the accounting prineiples used and signifieant estimates made by management, as well as evaluating the overall financial statement presentation. We believe that our audit provides reasonable basis for our opinion.
As required by The Companies (Auditor's Report) Order, 2003 issued by the Central Government of India in terms of sub section (4A) of section 227 of the Companies Aet, 1956, we enclose in the Annexure a statement on the matters specified in paragraph 4 and 5 of the said order.
Fwther to our comments in the Annexure referred to above, we report that:
1. We have obtained all the information and explanations, which to the best of our knowledge and belief were necessary for the purpose of our audit;
2. In our opinion, proper books of aecounts as required by law have been kept by the company so far as it appears from our examination of those books;

ANNEXURE TO THE AUDITOR'S REPORT
STATEMENT REFERRED TO IN PARAGRAPH ABOVE OF OUR REPORT OF EVEN DATE
1. a) The Company has maintained proper records showing full particulars including quantitative details and situation of fixed assets on the basis of information available.
b) According to the information and explanations given to us, the fixed assets have been physically verified by the management during the year in a phased periodical manner which, in our opinion. is reasonable having regard to the size of the Company and nature of the assets. No material discrepancies were noticed on such verification.
c) None of the-fixed assets have been disposed off during the year.
2. a) As explained to us, the inventories have been physically verified by the management at reasonable intervals during the year. In our opinion, the frequency of such verification is reasonable having regard to the size of the Company and the nature of its business.
b) In our opinion and according to the information and explanations given to us, the procedures of physical verification of inventories followed by the management are reasonable and adequate in relation to the size of the company and the nature of the business.
c) The company has maintained proper reeords of inventory. As explained to us, there was no material discrepaneies noticed on physical verification of stocks, as compared to book records.
3. The company has neither granted nor taken any loans, secured or unsecured to I from companies, firms or other parties covered in the register maintained under Section 301 of the Act.
4. In our opinion, and according to the information and explanation given to us, there are adequate internal control procedures commensurate with the size of the Company and the nature of its business for the purchase of inventory and fixed assets and for the sale of goods. In our opinion and according to the information and explanations given to us, there is no continuing failure 10correct major weakness in internal control.

5. a) According to the information and explanations given to us, we are of the opinion that the transactions that need to be entered into the register maintained under section 301 of the Companies Aet, 1956 have been so entered.
b) In OUf opinion and according to the information and explanations given to us, the transactions made in pursuance of contracts or arrangements entered in the register maintained under seetion 301 of the Companies Aet, 1956 and exeeeding the value of rupees five Iakhs in respect of any party during the year have been made at prices at which are reasonable having regards to prevailing market prices at the relevant time.
6. According to the information and explanations given to us, the Company has nol accepted deposits from the public. Accordingly the requirement of clause (vi) of paragraph 4 of The Companies (Auditor's Report) Order 2003 is not applicable to the company.
7. In our opinion, the internal audit system is commensurate with the size of the company and the nature of its business.
8. As informed to us the company is not required to maintain the cost records pursuant to rules made by the Central Government for the maintenanee of cost reeords under Section 209 (1) (d) of the Companies Act, 1956 in respect of product produced by the company.
9. a) Thc eompany is regular in depositing with appropriate authorities undisputed statutory dues including provident fund, employees' state insurance, income tax, sales tax, wealth tax, cusLom duty, excise duty, cess and other material statutory dues applicable to it.
b) According to the information and explanations given to us , there are no undisputed statutory dues payable in respect of provident fund, employees state insuranee, incometax, sales - tax, wealth tax, custom duty, excise duty, eess whieh are outstanding as at 31-03-2011 for a period ofmore than six months from the date they became payable.
c) According to the infonnation and explanations given to us, there are no dues of of sales tax , income tax, eustoms duty, wealth tax, excise duty and cess which have not been deposited on account of any dispute.

10. In our opinion, the accumulated losses of the company are not more than fifty percent of its net worth. The company has not incurred cash losses during the financial year covered by our audit and the immediately preeeding financial year.
t 1. According to the information and explanations given to us the company has not defaulted in repayment of dues to a financial institution or bank or debenture holder.
12. The company has not granted any loans and advances on the basis of security by way of pledge of shares, debentures and other securities. Accordingly the requirement of elause (xii) ofparagraph 4 of the The Companies (Auditor's Report) Order 2003 is not applicable to the company.
13. The company is not a Chit Fund, Nidhi or Mutual Benefit Society. Accordingly the requirements of item (xiii) of paragraph 4 of The Companies ( Auditor's Report) Order 2003 is not applicable to the company.
14. [0 our opinion, the company is not dealing or trading in shares, securities. debentures and other investments. Accordingly, the provisions of clause 4 (xiv) of The Companies (Auditors Report) Order. 2003 are not applicable to the company.
1S. According to the information and explanations givea-te us, the company has not given any guarantee for loans taken by others from bank: or financial institutions.
16. As per information and explanations given to us, term loans were applied for the purpose of which loans were obtained.
17. According to the information and explanations given to us, no funds raised on short-term basis have been used for long-term investment. Similarly, no funds raised on long term basis have been used for short-term investment.

18. According to the information and explanations given to us no preferential allotment of shares has been made by the company to companies, firms or other parties listed in the register maintained under section 301 of the Companies Act, 1956.
19. The company has not issued any debentures. Accordingly the requirements of clause (xix) of paragraph 4 of The Companies(Auditors Report) Order 2003 is not applicable to the company.
20. The company has not raised any money by publie issue. Accordingly the requirements of elause (xx) of paragraph 4 of The Companies (Auditor's Report) Order 2003 is not applicable to the company.
