    CATALOGUE TERMS & CONDITIONS

    1. DISCLAIMER 1.1 To the extent permitted by the Trade Practices Act and relevant state legislation, the sole obligation of Motorcycle Specialties (Australia) Pty Ltd ACN 106 329 702 (MCS) is to use its best endeavours to publish a Catalogue which is correct and accurate as to the product description and product compatability with relevant manufacturers' standards and in no event shall MCS be liable for any other claims or damages including, but not limited to, claims for faulty design, negligent or misleading advice, damages arising from loss or use of the products, and any indirect, special or consequential damages or injury to any person, corporation or other entity. 1.2 If the product is a product not ordinarily acquired for personal, domestic or household use or consumption pursuant to section 68A of the Trade Practices Act and similar provision of relevant state legislation, MCS limits its liability to payment of an amount equal to the lowest of: 1.2.1 the cost of replacing the goods; 1.2.2 the cost of repairing the goods. 1.3 MCS is not responsible for any loss caused by an error or defect in the products or errors or faults caused by any attempt to use and/or attach the products to any motorcycle, other vehicle and or device supplied by any person.

    2. LIMITATION ON PRICE OF PRODUCTS MCS' total liability for loss or damage of every kind out of or in relation to the products, their sale, delivery or the way they behave, in tort or contract or in any other cause of action, or in any other way whatsoever, is limited to the amount paid by the buyer to MCS under this agreement at the date when such liability arises.

    3. EXCLUSION OF IMPLIED TERMS 3.1 The customer acknowledges that: 3.1.1 prior to purchasing the products, the customer had an opportunity to conduct a thorough examination of the goods; and 3.1.2 no warranty, condition, description or representation in relation to the goods is given by MCS, expressly or impliedly by this Catalogue or outside of this Catalogue; and 3.1.3 all warranties, terms and conditions in relation to the state, quality or fitness of the goods and of every other kind whether expressed or implied by use and including anything relating to whether the product will be compatible with the manufacturers standards, statute or otherwise is excluded.

    4. QUALIFIED EXCLUSION 4.1 The law implies terms, conditions and warranties ('prescribed terms') into contracts for the supply of goods and services and prohibits the exclusion, restriction or modification of certain terms, conditions and warranties. Some prescribed terms permit a supplier to limit its liability for a breach of the prescribed terms. Except as provided by prescribed terms: 4.1.1 the liability of MCS in respect to a breach of a prescribed term relating to the products or any part of the products is limited at the option of MCS to the replacement or repair of the products part thereof or payment of the cost of repairing or replacing the products or any part of the products; 4.1.2 in these conditions the buyer does not have under any circumstances any cause of action against or right to claim or recover from the MCS for, or in respect of, any loss or damage of any kind whatsoever, caused directly or indirectly by: 4.1.3 any defect in material or workmanship of, or any other defect whatsoever in, or unsuitably for, any purpose of the products or any part of the products; or 4.1.4 by default or negligence on the part of MCS or of any employee, contractor or agent of MCS or of any person for whom MCS has legal responsibility relating to the supply of, or otherwise concerning products or any part of the products.

    5. EXCLUSION OF NEGLIGENCE 5.1 MCS is not liable to the customer in contract or in tort arising out of, or in connection with, or relating to: 5.1.1 the performance of the products or any breach of these conditions; or 5.1.2 any fact, matter or thing relating to the products; or 5.1.3 any error (whether negligent or in breach of contract or not) in information supplied to the customer or a user before or after the date of the customer's use of the products.

    6. EXCLUSION OF REPRESENTATIONS AND ARRANGEMENTS 6.1 The clauses in this Catalogue supersede and exclude all prior and other discussions, representations (contractual or otherwise) and arrangements relating to supply of the products or any part of the products including, but without limiting the generality of the foregoing, those relating to the performance of the products or any part of the products or the results that ought to be expected from using the product.

    7. INDEMNITY 7.1 The buyer indemnifies on a continuing basis on a fully indemnity basis MCS from and against any liability, loss, expense or demand for or arising from any false, misleading, deceptive or misdescriptive representation or statement made by the buyer in respect to the products to any person. This indemnity survives termination of this agreement by either party for any reason. 7.2 MCS indemnifies the buyer on a continuing basis on a fully indemnity basis from and against any liability, loss, expense or demand for or arising from any false, misleading, deceptive or misdescriptive representation or statement made by the MCS to the buyer for or in respect of products.

    8. COPYRIGHT 8.1 MCS, as publisher, is the owner of the Catalogue and the copyright subsisting in this publication. This Catalogue, as well as any futher or other Catalogue revising or based upon this Catalogue and which has been published by or at the direction of Motorcycle Specialties (Australia) Pty Ltd ACN 106 329 702 is and are original works in which copyright subsisted and continues to subsist. Motorcycle Specialties (Australia) Pty Ltd ACN 106 329 702 is the owner of all and any such copyright, as recognised in the courts of Australia and any reciprocal jurisdiction. 8.2 Subject to the Copyright Act (Cth) 1968 (as amended), no part of this Catalogue may be reproduced in any way including, but not limited to photocopying, transcribing, publishing, either manually or electronically, nor deal with the Catalogue in any way which would constitute an act comprised of the copyright held by MCS in the Catalogue without prior written permission of MCS which shall be given at its sole discretion. 8.3 MCS will take all necessary steps to vigorously protect and defend the copyright it owns with respect to this and any future Catalogue. 8.4 MCS does not assert any right of ownership over any Trademarks appearing in the Catalogue, which are registered trademarks belonging to parties other than MCS.

    9. RETURNS 9.1 MCS will only provide a refund and/or credit of any product sold, in accordance with the conditions of sale found on the MCS invoice and as amended from time to time, if that product is returned to MCS in its full original packaging. If the packaging shows signs of tampering or is any way damaged or alterered any refund and/or credit shall be at the sole discretion of MCS.

    10. PRICING 10.1 MCS reserves its right to change the price of any product it stocks for sale at any given time, whether in this Catalogue or not, to an amount to be determined in its sole discretion.

    11. OWNERSHIP OF THIS CATALOGUE 11.1 MCS will loan this Catalogue to the customer for the customer's use only. 11.2 MCS remains the owner of the Catalogue (including the copyright in the Catalogue) at all times. 11.3 The customer must return this Catalogue (and any updates to it or copies of it) to MCS upon demand by MCS. 11.4 The customer must: 11.4.1 keep the Catalogue confidential; 11.4.2 keep the Catalogue in a secure place at the customer's business premises; 11.4.3 only use the Catalogue in the conduct of the customer's business; 11.4.4 not copy the Catalogue; and 11.4.5 use its best endeavours to ensure that its employees and agents comply with this Clause.
