Terms & Conditions

In these terms and conditions ‘we’ or ‘our’ meansMayfair Brassware Ltd and ‘you’ or ‘your’ meansthe individual, firm, company or other party withwhom we contract.

1 Orders1.1 All prices quoted exclude VAT (unlessotherwise stated). VAT will be charged at the timeof delivery. Rates of tax and duties on the goodswill be those applying at the time of delivery.1.2 Our quotations lapse after 30 days (unlessotherwise stated).1.3 Unless otherwise stated, the price quoted is anillustrative estimate only and the price charged willbe our price current at the time of delivery.1.4 At any time before the date of despatch wemay adjust the contract price to reflect anyincrease in the costs of manufacturing or our costsof supplying the goods.1.5 Unless we agree otherwise in writing, theseterms and conditions apply to our quotation, yourorder and the contract between us. Onceaccepted by us, neither your order nor the contractcan be varied in any way without our writtenconsent.1.6 Verbal orders are not accepted. All orders mustbe made in writing (sent via post, fax or email).1.7 All orders over the value of £60 (excluding VAT)will be delivered carriage paid within the UK. In allother cases, carriage will be charged extra.

2 Delivery2.1 All delivery times quoted are estimates only.Delivery will be made to the address quoted onyour order or other communication.2.2 We will use all reasonable efforts to dispatch ordeliver the goods within the period quoted, buttime for delivery will not be of the essence and wewill not be liable for any loss, expense or claimwhatsoever caused by late delivery.2.3 We may deliver the goods in instalments. Eachinstalment is treated as a separate contract.

3 Delivery & Safety3.1 We may decline to deliver if:3.1.1 we believe that it would be unsafe, unlawfulor unreasonably difficult to do so; or3.1.2 the premises (or the access to them) areunsuitable for our vehicle.

4 Risk4.1 The goods are at your risk from the time of delivery.4.2 Delivery takes place either:4.2.1 at our premises (if you are collecting them orarranging carriage); or4.2.2 at your premises (if we are arrangingcarriage).4.3 You must inspect the goods on delivery. Wewill not be liable for any shortage unless we arenotified in writing within 3 working days of delivery.If any goods are damaged (or not delivered), youmust write to tell us within three working days ofdelivery (or the expected delivery time). You mustgive us (and any carrier) a fair chance to inspectthe damaged goods.

5 Payment Terms5.1 You are to pay us in cash or otherwise incleared funds on delivery, unless you have anapproved credit account.5.2 If you have an approved credit account,payment is due no later than the end of the monthfollowing the month of the invoice unless otherwiseagreed in writing.5.3 If you fail to pay us in full on the due date:5.3.1 your account will automatically be placed onhold and we may suspend or cancel futuredeliveries, suspend or cancel spare part requestsand suspend or cancel collection of goods until theaccount has cleared;5.3.2 we may cancel any discount offered to you;5.3.3 you must pay us interest at the rate setunder s.6 of the Late Payment of CommercialDebts (Interest) Act 1998 a. calculated (on a daily basis) from the date of ourinvoice until payment;b. compounded on the first day of each month; andc. before and after any judgment (unless a courtorders otherwise);5.3.4 we may claim fixed sum compensation fromyou under s.5A of that Act to cover our creditcontrol overhead costs; and5.3.5 we may recover (under clause 5.7) the costof taking legal action to make you pay.5.4 If you have an approved credit account, wemay withdraw it or reduce your credit limit or bringforward your due date for payment. We may doany of those at any time without notice.5.5 You do not have the right to set off any moneyyou may claim from us against anything you mayowe us.5.6 You are to indemnify us in full and hold usharmless from all expenses and liabilities we mayincur (directly or indirectly including financing costsand including legal costs on a full indemnity basis)following any breach by you of any of yourobligations under these terms.

6 Title6.1 Until you pay all debts you may owe us:6.1.1 all goods supplied by us remain our property;6.1.2 you must store them so that they are clearly

identifiable as our property;6.1.3 you must insure them (against the risks forwhich a prudent owner would insure them) andhold the policy on trust for us;6.1.4 you may use those goods and sell them inthe ordinary course of your business, but not if:a. we revoke that right (by informing you in writing);orb. you become insolvent.6.2 You must inform us (in writing) immediately ifyou become insolvent.6.3 If your right to use and sell the goods ends youmust allow us to remove the goods.6.4 We have your permission to enter anypremises where the goods may be stored:6.4.1 at any time, to inspect them; and6.4.2 after your right to use and sell them hasended, to remove them, using reasonable force if necessary.6.5 Despite our retention of title to the goods, wehave the right to take legal proceedings to recoverthe price of goods supplied should you not pay usby the due date.6.6 You are not our agent. You have no authority tomake any contract on our behalf or in our name.

7 Warranties7.1 We warrant that the goods:7.1.1 comply with their description on ouracknowledgement of order form; and7.1.2 are free from material defect at the time ofdelivery (as long as you comply with clause 7.3).7.1.3 are guaranteed againstmaterial defects in manufacturing or workmanshipfor a period of 10 years (unless otherwise stated)and showers carry a 5 year guarantee.Purchase receipt must be available as proof. This does not apply to goods that have not beenproperly installed, used, and maintained under normal domestic conditions in accordance with ourinstructions.7.2 We give no other warranty (and exclude anywarranty, term or condition that would otherwisebe implied) as to the quality of the goods or theirfitness for any purpose.7.3 If you believe that we have delivered goodswhich are defective in materials or workmanship,you must:7.3.1 inform us (in writing), with full details, as soonas possible; and7.3.2 allow us to investigate (we may need accessto your premises and product samples).7.4 If the goods are found to be defective inmaterial or workmanship (following ourinvestigations), and you have complied with thoseconditions (in clauses 7.1.3 and 7.3) in full, we will,at our option, replace the goods or refund thepurchase price.7.5 We are not liable for any other loss or damage(including indirect or consequential loss, financialloss, loss of profits or loss of use) arising from thecontract or the supply of goods or their use, even ifwe are negligent.7.6 For all other liabilities not referred to elsewherein these terms our liability is limited in damages tothe price of the goods.7.7 Nothing in these terms restricts or limits our liability for death or personal injury resultingfrom negligence.

8 Specification8.1 If we supply the goods in accordance with yourspecifications or instructions:8.1.1 you must ensure that the specifications orinstructions are accurate and8.1.2 you must ensure that goods supplied inaccordance with those specifications orinstructions will be fit for the purpose for which youintend to use them.8.2 We reserve the right to make any changes inthe specifications of our goods which arenecessary to ensure they conform to anyapplicable safety or other statutory requirements.8.3 We also reserve the right to make withoutnotice any minor modifications in our specificationswe think necessary or desirable.

9 Return Of Goods9.1 We will accept the return of goods from you only:9.1.1 by prior arrangement (confirmed in writing) andwhen you follow our standard returns procedure.9.1.2 on payment of an agreed handling charge(unless the goods were defective when delivered);and9.1.3 where the goods are as fit for sale on theirreturn as they were on delivery.9.1.4 Any costs relating to the re-fit of productsmust be agreed in writing before any work iscarried out.9.2 The return of good stock will result in 20%re-stocking charge.9.3 No goods will be accepted for return morethan 3 months after the delivery date unless foundto be faulty.

10 Export Terms10.1 Where the goods are supplied by us to youby way of export from the United Kingdom Clause10 of these terms applies (except to the extent thatit is inconsistent with any written agreementbetween us).10.2 The ‘Incoterms’ of the International Chamber of Commerce which are in force at thetime when the contract is made apply to exports,but these terms prevail to the extent that there is

any inconsistency.10.3 Unless otherwise agreed, the goods aresupplied ex works - Sherburn in Elmet, nearLeeds.10.4 Where the goods are to be sent by us to youby a route including sea transport we are under noobligation to give a notice under section 32(3) ofthe Sale of Goods Act 1979.10.5 You are responsible for arranging testing andinspection of the goods at our premises beforeshipment (unless otherwise agreed). We are notliable for any defect in the goods which would beapparent on inspection unless a claim is madebefore shipment. We are not liable for any damageduring transit.10.6 We are not liable for death or personal injuryarising from the use of the goods delivered in theterritory of another State (within the meaning ofs.26 (3) (b) Unfair Contract Terms Act 1977).

11 Cancellation11.1 If the order is cancelled (for any reason) youare then to pay us for all stock (finished orunfinished) that we may then hold (or to which weare committed) for the order.11.2 We may suspend or cancel the order, bywritten notice if:11.2.1 you fail to pay us any money when due(under the order or otherwise);11.2.2 you become insolvent;11.2.3 you fail to honour your obligations underthese terms.11.3 You may not cancel the order unless weagree in writing (clause 11.1 then applies) and youthen can have no further claim against us.

12 Waiver & Variations12.1 Any waiver or variation of these terms isbinding in honour only unless:12.1.1 made (or recorded) in writing;12.1.2 signed on behalf of each party; and12.1.3 expressly stating an intention to vary theseterms.12.2 All orders that you place with us will be onthese terms (or any that we may issue to replacethem). By placing an order with us, you areexpressly waiving any printed terms you may haveto the extent that they are inconsistent with ourterms.

13 Force Majeure13.1 If we are unable to perform our obligations toyou (or able to perform them only at unreasonablecost) because of circumstances beyond ourcontrol, we may cancel or suspend any of ourobligations to you, without liability.13.2 Examples of those circumstances include act of God, accident, explosion, war,terrorism, fire, flood, transport delays, strikes and other industrial disputes and difficulty inobtaining supplies.

14 General14.1 English law is applicable to any contractmade under these terms. The English and Welshcourts will have exclusive jurisdiction.14.2 If you are more than one person, each of youhas joint and several obligations under these terms.14.3 If any of these terms are unenforceable asdrafted:14.3.1 it will not affect the enforceability of anyother of these terms; and14.3.2 if it would be enforceable if amended, it willbe treated as so amended.14.4 We may treat you as insolvent if:14.4.1 you are unable to pay your debts as theyfall due; or14.4.2 you (or any item of your property) becomethe subject of:a. any formal insolvency procedure (examples ofwhich include receivership, liquidation,administration, voluntary arrangements (including amoratorium) or bankruptcy);b. any application or proposal for any formalinsolvency procedure; orc. any application, procedure or proposal overseaswith similar effect or purpose.14.5 All brochures, catalogues and otherpromotional materials are to be treated asillustrative only. Their contents form no part of anycontract between us and you should not rely onthem in entering into any contract with us.14.6 Any notice by either of us which is to beserved under these terms may be served byleaving it at or by delivering it to (by first class postor by fax) the other’s registered office or principalplace of business. All such notices must be signed.14.7 No contract will create any right enforceable(by virtue of the Contracts (Rights of Third Parties)Act 1999) by any person not identified as the buyeror seller.14.8 The only statements upon which you may relyin making the contract with us, are those made inwriting by someone who is our authorisedrepresentative and either:14.8.1 contained in our estimate (or any coveringletter) and not withdrawn before the contract ismade; or14.8.2 which expressly state that you may rely onthem when entering into the contract.14.9 Nothing in these terms affects or limits ourliability for fraudulent misrepresentation..

WATER REGULATIONSADVISORYSCHEME (WRAS)A large number of Mayfairproducts are either fully WRASapproved or compliant to WRASregulations. This means that theywill undergo rigorous testing bythe WRC-NSF to ensure completecompliance with all the UK waterregulations. Please contact thesales office for further details.

RETURNED GOODSGoods may only be returned forcredit by prior arrangement whenyou follow our standard returnsprocedure. A Mayfair returns notemust be provided, clearly statingwhich goods are being returnedand the reasons for return.Collections will be arranged onreceiving the fully completedreturns authorisation sheet. Allunauthorised returns will berefused by our goods indepartment.

If a product is found to be goodstock a 20% restocking charge willbe issued.

Goods no longer required orsurplus to requirements must be inperfect re-saleable condition andin their original packaging.Damaged goods will not beaccepted.No goods will be accepted forreturn more than 3 months afterthe delivery date unless found tobe faulty.

If the goods, are not availablewhen we attempt collection, acharge of £10 will be made to re-collect.

CANCELLED ORDERSCancellation of orders must be inwriting only. We do not acceptverbal cancellations. If your orderhas already been dispatched andyou wish to cancel, a 40%restocking charge will be applied ifwe collect from you or a 20%restocking charge if you send theproduct back to us via your owntransport.

GUARANTEEAll taps are guaranteed againstcasting defects for 10 years.This includes a 1 year parts only.Our Thermostatic showers comewith a 5 year Guarantee. This includes 1 year parts only.(The guarantee does not coverdamage caused by hard water,limescale, waterborne debris,inappropriate cleaning methods).

Decorative surface finishes andO-rings are guaranteed for oneyear from the date of purchaseprovided that our adviseconcerning care has beenobserved and no scouring orchemical agents have been used.

*Should any part prove faulty,simply return it to us with proof ofpurchase and we will send youthe replacement part free ofcharge. Please contact ourCustomer Care team for moreassistance. If for any reasonproof of purchase cannot beprovided then our spare partsmay be available to purchase.

RE-FITTING COSTIn the rare event of amanufacturing default, Mayfair willpay reasonable re-fitting costswithin 12 months of the productbeing purchased. Subject to theproduct being proven as faulty andproof of purchase provided.

Mayfair must agree in writing to are-fitment cost before any work iscarried out. Otherwise noreimbursement costs will beissued.

CLEANING& CAREProducts should be cleanedregularly using a clean dampcloth, abrasive or cream cleaners should not be usedunder any circumstances.
