Terms & ConditionsThe Terms and Conditions of Sale & Supply outlined below represent the only Terms and Conditions authorised and accepted by Engineered Hardware Products, trading as Dunnings Engineering Hardware Supplies, Suite 8, 2/51 Stephen Terrace, St Peters, Adelaide, South Australia 5069 (ABN 94 159 918 126,) and shall apply to form part of any contract arising from acceptance in writing by Seller of any order placed by buyer.

1. Definitions“Seller” means Dunnings Engineering Hardware Supplies.

“Buyer” means any person to whom Seller has agreed to supply Goods.

“Goods” means the goods which Seller has agreed to supply to Buyer.

“Services” means any services requested by the Buyer in an order.

2. Price/Paymentsa. Unless otherwise expressly agreed by Seller in writing beforehand all

Goods will be charged for at, and Buyer will pay, Seller’s prices ruling for such Goods at the date or dates of order. Buyer shall make payment to Seller within thirty (30) days after the end of the month in which the Goods are delivered, unless expressly agreed otherwise.

b. Finance charges at the current ‘National Australia Bank Business Overdraft Prime Rate’ may be charged as monthly late fees to any account over thirty (30) days overdue without validity of lateness and at discretion of Dunnings Engineering Hardware Supplies. Dunnings Engineering Hardware Supplies also reserves the right to on-charge any proven additional fee as occurred by them in relation to the collection of overdue accounts.

3. Credit termsa. All prices quoted in Australian Dollars.

b. Payment within thirty(30) days from the end of the month in which goods are purchased - unless otherwise stated.

c. Title of goods delivered will only pass to the customer when payment in full has been received by Dunnings Engineering Hardware Supplies Pty. Ltd.

4. Property and Riska. Legal and equitable title in all Goods supplied by Seller to Buyer shall

remain vested in Seller until Seller has received payment for all moneys outstanding due to the Seller for Goods supplied.

b. Goods supplied by Seller to Buyer in which title remains vested in Seller shall be held by Buyer as a fiduciary bailee of Seller and shall be stored so that the same are identifiable as Seller’s property and are not commingled with the other property of Buyer or a third party.

c. Seller shall have the right to repossess at any time Goods in which title remains vested in the Seller, and to enter the premises of Buyer for such a purpose without liability and without prejudice to the pursuit of any other legal remedy available to Seller.

d. The risk of loss or damage to the Goods shall pass to Buyer on delivery to or collection by the Buyer of the Goods.

e. The Seller shall be entitled without notice to the Customer to register a Security Interest on the Personal Properties Securities Register (PPSR) as constituted and maintained in connection with the PPSA by an appointed regulatory authority.

5. QuantityThe quantity of Goods supplied will be those contracted for supply by Buyer and Seller as confirmed in Seller’s acceptance of Buyer’s order. Where quantities to be supplied are outside standard packaging requirements, specific quantities will be agreed to in writing by the parties.

6. Deliverya. Seller will make all reasonable efforts to deliver the Goods to Buyer on

the agreed date(s), but shall be under no obligation or liability to Buyer for any delays in or failing to comply with delivery dates if such delay or noncompliance is due to causes or events referred to in Clause 16(a).

b. Delivery shall be effected upon physical delivery of the Goods to the address of Buyer specified in Buyer’s order as confirmed in Seller’s acceptance of Buyer’s order. Notation by Seller’s carrier on Seller’s delivery docket shall

be conclusive evidence of delivery. Buyer shall be responsible for any loss or damage occurring during unloading of the Goods at Buyer’s premises.

c. If Buyer refuses to accept delivery of the Goods then the risk in the Goods shall, unless otherwise determined by Seller, pass to Buyer from the time of such refusal. In such an event, Seller shall be entitled to payments for the Goods as if they were delivered and in addition to any of its rights and remedies (including its right to sell the Goods). Seller may arrange to store the Goods at Buyer’s expense.

d. Seller shall not be liable for any losses however caused arising directly or indirectly or consequentially from Seller’s performance of this contract.

e. Seller’s liability for faulty workmanship or defective Goods is limited to Goods.

7. Packaging / LabellingSeller will comply with applicable weight and packaging legislation and will conform to Australian packaging Standards. Additional costs resulting from non standard packaging will be borne by Buyer, unless expressly agreed otherwise by Seller.

8. ToolingAny tooling associated with the supply of Goods remains the sole property of Seller unless otherwise agreed in writing. Seller agrees that specialised tooling used in the manufacture of Goods against a Buyer part number will not be used for the manufacture of Goods not intended for Buyer without Buyer’s consent.

9. Off-Tool Samples Prototypes and Pilot BuildDunnings Engineering Hardware Supplies reserves the right to charge differently from the price referred to in Clause 2 for Off-Tool samples, Prototypes and Pilot Build Goods. These charges will be quoted to Buyer at the time when the order is placed by Buyer.

10. Description and Specificationa. Whilst every effort is made to ensure their accuracy, the descriptions,

illustrations and materials contained in any catalogues, price lists, brochures, leaflets or other descriptive matter provided by or on behalf of Seller represents the general nature of the item described therein and shall not form any part of any order or agreement or amount to any representation or warranty.

b. Buyer warrants that any of the Goods manufactured, constructed or supplied by Seller which are based in whole or in part upon designs, drawings or specifications supplied to Seller by or on behalf of Buyer shall not infringe any letters patent or registered designs or any other intellectual property rights of any third party. Buyer shall indemnify and keep indemnified Seller, its servants and agents against any action, loss, cost, claim, damage or liability of any nature that may be brought against or suffered by Seller, its servants or agents for any breach of this warranty.

c. Seller does not warrant or guarantee and it shall not be a term of any agreement between Seller and Buyer that any Goods manufactured constructed or supplied by Seller which are based in whole or in part upon any designs or drawings or specifications supplied to Seller by or on behalf of Buyer will achieve any standard of performance or any capacity whatsoever.

11. WarrantySeller warrants the Goods delivered by Seller conform to buyer’s written specifications as stated in Buyer’s order and confirmed by Seller in Seller’s acceptance of Buyer’s order.

a. Where any applicable legislation implies any term, condition or warranty into the relationship between Seller and Buyer or into a contract of sale between Seller and Buyer in relation to the sale or supply of Goods, or otherwise gives buyer a particular remedy against Seller, and the legislation or any legislation avoids or prohibits provisions excluding or modifying the application of, or exercise of, or liability under, such term, condition, warranty or remedy, then that term, condition, a warranty or remedy shall be deemed to be included in these Terms & Conditions, or, as the case may be, apply to the relationship. However, Seller’s liability for any breach of such term, condition or warranty or under such remedy shall be limited, at

Terms & ConditionsSeller’s option, in any one or more of the ways permitted by the legislation including, where so permitted:

1. If the breach relates to any Goods to:

i. the replacement of those Goods or the supply of equivalent goods;

ii. the repair of those Goods;

iii. the payment of the cost of replacing those Goods or acquiring equivalent goods; or

iv. the payment of the cost of having those Goods repaired

12. AcceptanceExamination of the Goods shall be made by or on behalf of Buyer, and unless within seven days of delivery of the Goods, Buyer gives written notice that the Goods are not in accordance with Buyer’s order(s) and the contract, the Buyer shall be bound to accept and pay for the same accordingly. If the Goods are made to suit specifications provided by Buyer, an error in the specifications will not entitle Buyer to reject the Goods and Buyer shall be liable for the full price of the Goods and any costs involved in altering the Goods.

13. Claims and ReturnsClaims by Buyer for credit, other than claims in respect of return of Goods, will not be valid unless made in writing prior to end of the payment period referred to in Clause 2. Claims by Buyer for credit in respect of Goods which are defective or have not been supplied in accordance with these Terms and Conditions of Sale must first have prior written approval of Seller’s authorised representative and will not be valid unless made within seven days of delivery of the Goods. Seller is under no obligation to accept claims for Goods returned which have been used, damaged or altered in any way. All Goods must be returned in their original packaging. A handling fee will be charged.

14. Order handling policyThe following outlines Dunnings Engineering Hardware Supplies Order Handling Policy in addition to suggestions which will aid Dunnings Engineering Hardware Supplies in expediting your orders. Your cooperation in adhering to this policy and following these suggestions will be mutually beneficial. Dunnings Engineering Hardware Supplies Pty. Ltd. accepts orders using the following methods;

a. Fax - Order Forms are to be manually completed with all relevant details marked clearly and distinctly.

b. On-Line Ordering - Available only to authorised customers who have requested access to this password protected site.

c. Telephone - Telephone orders will be accepted however Dunnings Engineering Hardware Supplies Pty. Ltd. cannot assume responsibility for shipping errors unless a confirming purchase order is faxed to Dunnings Engineering Hardware Supplies office within 1 business day of the telephoned order.

d. Other Electronic means as agreed between buyer and seller

Dunnings Engineering Hardware Supplies endeavours to ship customer orders within requested delivery dates. Ordered quantities will be shipped in even cartons or bundles as specified on the packaging lists. Although we maintain a large inventory of building and hardware products, there are times when stock runs low. Therefore, orders should be placed with as much lead time as possible. All claims for shortages in any shipment or incorrect product supply must be made to Dunnings Engineering Hardware Supplies orders.

15. CancellationThere shall be no cancellation of any order placed by Buyer after Seller’s acceptance of Buyer’s order except where written notice of application for cancellation is made by Buyer and agreed in writing by Seller. In such event, unless otherwise expressly agreed by Seller, Buyer shall reimburse and indemnify Seller for tooling costs, materials purchased for supply against such order and partly completed Goods. If an order provides for delivery by instalments, the agreed cancellation of any instalment shall not affect the remainder of the order, each instalment being deemed to be a separate contract except in the case of cancellation for failure on Buyer’s part to pay for Goods delivered in which case Seller shall have the right to suspend or cancel deliveries or to treat such failure as repudiation of the order by Buyer and terminate the order as herein provided.

16. Excusable Delaysa. Seller shall not be liable for any failure to comply with these Terms and

Conditions when such failure is caused by or arises out of any of the following:

1. Fire, storm, tempest, earthquake, inevitable accident or any other Act of God.

2. Any act of public enemy.

3. Any act of the Government of the Commonwealth of Australia or any State or Territory thereof or any instrumentality created thereby, which has the necessary power to prevent or delay the due performance of any or all of the requirements and/or terms and conditions of any order placed by Buyer.

4. Any act of any person engaged in subversive activity or sabotage.

5. Epidemic or quarantine restrictions.

6. Strikes, slow-downs, lockouts or Labour stoppages or disputes of any kind or freight embargoes.

7. Any shortfall, delay or failure to supply by any of Seller’s suppliers.

8. Any other cause or event whatsoever which is beyond the control and without the fault or negligence of Seller.

17. Scheduled RequirementsWhen components are required to be delivered against a schedule then Seller requires minimum firm three (3) month requirements, which cannot be cancelled without prior written agreement and a minimum additional two (2) month outlook for material and tooling requirements. Any schedule changes by Buyer must be agreed to in writing by Seller.

18. Terminationa. Without prejudice to any of its other rights, Seller may at its option without

liability or notice require payment in cash before delivery notwithstanding the terms of payment specified herein or agreed or may terminate an order or suspend further deliveries:

1. If Buyer shall commit any breach of this or any other contract with Seller including failure to make any payments on the due dates;

2. if being an individual Buyer shall die or have a receiver appointed over his assets;

3. if being a company, Buyer is or becomes an externally administered body corporate (within the meaning of the Corporations Law) or a controller (within the meaning of the Corporations Law) enters into possession or takes control of all or any of Buyer’s assets or undertaking or if Buyer is or becomes insolvent (within the meaning of the Corporations Law) or ceases or threatens to cease carrying on business;

4. if Buyer compounds with or negotiates for any composition with its creditors or permits any judgment against it to remain unsatisfied for 7 days.

5. If any distress execution or other legal process shall be levied upon Buyer.

b. Upon termination or suspension of deliveries Seller may recover and resell the Goods and Buyer hereby grants to Seller a licence for access to Buyer’s premises for the purposes of such recovery and to examine Goods.

19. TaxesThe Buyer must in addition to the price, pay any value added, consumption turnover, GST or similar tax, impost or duty on the Goods introduced by the Commonwealth and/or State or Territory government after the date of the order to the intent that the prices for the Goods are paid to the Seller as net amounts clear of such tax.

20. Governing LawAll contracts shall be governed by and construed in accordance with the laws in force in South Australia, Australia.
