    PREAMBLE

    We, the administrative employees of the Universityof the Philippines, in all campuses, hereby constituteourselves as the ALL U.P. WORKERS UNION (UP

    UNION).

    We are aware of our role in the pursuit of themission of the University, as a sacred trust of the Filipinopeople. We are also conscious of the need toconsolidate our collective strength as a means towardseffective participation in decision making on mattersaffecting our interests and welfare.

    We commit ourselves to protect our rights and toadvance our interests towards decent work, underconditions which enhance creativity, excellence,freedom, justice, dignity, security and equity withoutdiscrimination for all administrative employees in theUniversity. We fully realize that our effort to enhance thequality of our life forms part of the general movement toachieve a just and democratic social order, and a betterstandard of living. We affirm our responsibility tocontribute to the unity and well-being of all Filipinoworkers and other disadvantaged members of Philippine

    Introduction

    There are only four (4) majoramendments:

    Why these amendments?

    These amendments arenecessary in order to align ourorganizational structure, andfunctions with the structure and

    functions (especially with thefunctions and position titles ofPresident, Vice President andGeneral Secretary), of almostall of our mass organizationsboth here and abroad,especially those that are

    Article I. NAME AND ADDRESS

    Section 1 . This Organization shall be known as the ALLU.P. WORKERS UNION (UP UNION), hereafter referredto as the UNION, with address at the University of thePhilippines, Diliman, Quezon City, Metro Manila,Philippines.

    Section 1 . The UNION shall devote itself to thepromotion and protection of the economic anddemocratic rights and the general welfare of allemployees, especially the administrative sector, in theUniversity. The UNION shall secure for its members themost just and reasonable terms of employment, andeliminate oppressive features of employment. To thisend, it shall engage in collective negotiations andbargaining, and undertake concerted activities.

    Section 2 . Through appropriate educationprograms, the UNION shall provide the fullestopportunity for its members to enhance their social andpolitical awareness, to the end that they become militantin the defense and advancement of their interests andrights in the University and in Philippine society ingeneral.

    Section 1 .     Section 4 . The UNION shall strive for the adoptionof legislative policies and other government measuresthat will promote the well-being of its members and theworking people in general. It shall continuously inform itsmembers about critical public issues and shall undertakea united stand on these questions, in the interest of theircollective concerns in common with the rest of theworking people.

    Section 5. The UNION shall establish close

    relations with other labor organizations and centers inthe University and in national and international arenaparticular with those which share its principles andobjectives.

    These amendments areneeded immediately in order forthe union to be moreresponsive, and all the neededreforms of the union,implemented immediately bythe incoming set of officers,under the new structure.

    Section 4 . Application for membership shall be ona prescribed form properly accomplished by theapplicant. Membership shall be subject to approval bythe Executive Board.

    Section 5 . Any member who resigns or retires fromwork or whose employment is in any way terminatedmay retain membership together with appropriate rightsand prerogatives, provided payment of dues and specialassessment is sustained.

    Section 6 . (a) Membership maybe terminated bythe National Council, upon recommendation by the

    Executive Board, after appropriate hearing and dueprocess, on any of the following grounds:

    1. Disloyalty to the UNION;2. Non-payment of dues for six (6) months;3. Culpable violation of the Constitution, policies

    and decisions of the UNION.

    (b) Membership maybe suspended on similar oranalogous grounds, by the same procedure. (c) TheNational Council shall provide the appropriate procedurefor appeal in cases of termination or suspension of

    Section 4 . The General Assembly shall be called toa regular session by the National Council once everythree (3) years, after the Founding Assembly, at suchdate, time and place as the National Council maydetermine. Notice to the regular session of the General

    Assembly together with a proposed agenda, shall beappropriately issued by the Executive Vice President notlater than fifteen days (15) before the date of the

    session.Section 5 . By a vote of at least two thirds of its

    members, the National Council may call the General Assembly to a special session to take up such mattersas maybe specified by the National Council.

    Section 6 . Delegates in chapters wherein at leastone fourth (25 percent) of the total number of membershave failed to pay union dues shall not be allowed tovote. They may however participate in the deliberations.

    Article V. NATIONAL COUNCIL

    Section 1 . The National Council shall be thehighest governing body of the UNION in betweensessions of the General Assembly. It has the power toformulate and implement the plans of the UNION, basedon the direction, resolutions, and guidelines set by theGeneral Assembly.

    Section 2 . The National Council shall be composedof the members of the Executive Board, the fivemembers elected at large by the General Assembly, andthe President and Vice-President of all the chapters.

    Section 3 . The National Council shall have theauthority to:

    a) Approve the operational budget, sources offunds and financial plans of the UNION, asrecommended by the Executive Board.

    b) Authorize the President and the Executive VicePresident, upon recommendation by theExecutive Board, to undertake the following:

    1. Enter into contracts, including

    employment contracts to support.2. The operations of the UNION.3. Borrow money and execute mortgage or

    pledge of UNION property.4. Buy, sell, exchange, rent or otherwise

    acquire or dispose property in the interestof the UNION.

    5. Appoint officers of the UNION, in case of

    into an Executive Committee and decide matters withinits competence, as specified in the agenda. Suchdecisions shall be binding on the National Councilprovided that due notice together with the proposedagenda had been served on the members of theNational Council at least eight days before the date fixedfor the meeting. The President, or the presiding officerdesignated in case of his/ her absence, shall report to allmembers who were absent the decisions taken by theExecutive Committee not later than five days followingthe meeting.

    Section 3 . Committee Chairs maybe invited asresource persons in the meetings of the Executive Boardbut they have no voting power.

    Article VI. NATIONAL EXECUTIVE BOARD

    Section 1 . The National Executive Board shall be

    the executive authority of the UNION, and act as itsgoverning body in between meetings of the NationalCouncil. It shall adopt and implement a program of actionbased on resolutions, decisions and policies of theGeneral Assembly and the National Council.

    Section 2 . The National Executive Board shall becomposed of the following officers: (a) National President; (b) National Vice President; (c) General Secretary; (d) National Treasurer; (e) National Auditor; (f)Nationa l Public Relations Officer; and such additionalmembers as the National Council may deem necessary.

    Section 3 . Committee Chairs maybe invited asresource persons in the regular meetings of the National Executive Board but they have no voting power.

    Section 4 . The Executive Board shall convene in aregular meeting at least once a month in a day, time andplace specified in a resolution by the Board. Specialmeetings maybe called by the National President, inconsultation with the Executive Vice President andSecretary.

    Section 5 . Notices of meetings for the ExecutiveBoard shall be signed by the National President, andcertified and circulated by the National Secretary at leastfive (5) days before each meeting, with a specifiedagenda, time and venue.

    Section 6 . In all meetings, a majority of themembers of the Executive Board shall constitute aquorum.

    Section 7 . The Executive Vice President shallpreside over the meetings of the Executive Board.

    Section 8 . The Executive Board shall, in aresolution, specify, establish, and maintain the nationaloffices of the UNION; define the job titles, qualifications,duties, and responsibilities, employment duration andstatus, compensation and benefits, discipline and

    grievance procedure for the union staff. It shall alsodiscuss and approve the performance evaluation of eachunion staff, as undertaken by the Executive VicePresident.

    Section 9 . The Executive Board, through thePresident and certified by the Secretary shall report andcommunicate its decisions to the National Council atregular intervals.

    Article VII. DUTIES OF NATIONALOFFICERS

    Section 5 . The National Secretary shall:

    a) Issue, certify and circulate notices of meetingscalled by the National President. These includemeetings of the Executive Board, the NationalCouncil, the General Assembly, and theUNION committees.

    b) Consult with the National President and theExecutive Vice Presidents on the agenda aswell as the date, time, and place of themeetings.

    c) Maintain and act as custodian of the records ofthe UNION, such as membership, resolutions,decisions, and related records. Supervise ordelegate the recording of the proceedings of all

    meetings (General Assembly, NationalCouncil, Executive Board); write and edit theminutes, check, verify, and certify to theiraccuracy, and ensure reproduction anddissemination of the same. The Secretary isentitled to staff support to undertake thesetasks. Assist and coordinate with the NationalPresident in the preparations for the General

    Assembly, the National Council or NationalExecutive Board may specify or assign.

    Section 5. The General Secretary shall:

    a) Maintain the Secretariat to provide for anefficient system of administrative facilities andmanagement services.

    b) Head and manage the Union Secretariat orNational Office, specify the job titles, duties,employment conditions and compensation ofeach union staff, undertake their performanceevaluation, and ensure adequate and efficientservices that may be assigned by the General

    Assembly or the National Council.c) Provide support necessary for the continued

    operation of all National Committees.d) Issue, certify and circulate notices of meetings

    called by the National President. These includemeetings of the National Executive Board, theNational Council, the General Assembly, andthe UNION committees.

    e) Consult with the National President and theNational Vice President on the agenda as wellas the date, time, and place of the meetings.

    f) Maintain and act as custodian of the records ofthe UNION, such as membership, resolutions,

    decisions, and related records.g) Supervise or delegate the recording of theproceedings of all meetings (General Assembly,National Council, National Executive Board);write and edit the minutes, check, verify, andcertify to their accuracy, and ensurereproduction and dissemination of the same.

    h) The General Secretary is entitled to staff supportto undertake these tasks. Assist and coordinate

    e) Recommend an operating budget for theUNION, in consultation with the President,Secretary, the Executive Vice President, other

    officers, and Committee chairs.f) Sign checks for and in behalf of the UNION,subject to countersignature by the NationalPresident or the Executive Vice President.

    Section 7 . The Auditor shall:

    Section 8 . Additional or special committees andsubcommittees maybe constituted by the NationalCouncil, as recommended by the Executive Board andthe Chapter Presidents. The composition and the work ofeach committee shall be duly reported in the meetings ofthe Executive Board, the National Council and theGeneral Assembly and published in the UNIONs officialnewsletter.

    Section 9. The Executive Vice President as head ofthe UNION secretariat shall coordinate and supervise

    the work of the UNION committees. Appropriateresources shall be provided, depending on theavailability of UNION funds.

    Section 10. Each Committee shall be headed by aCommittee Chair, assisted by a Vice-President and

    procedures.c) Prepare background materials and gather

    pertinent information in preparation fornegotiations.

    Section 9. Additional or special committees andsubcommittees maybe constituted by the NationalCouncil, as recommended by the National ExecutiveBoard and the Chapter Presidents. The composition andthe work of each committee shall be duly reported in themeetings of the National Executive Board, the NationalCouncil and the General Assembly and published in theUNIONs official newsletter.

    Section 10 . The General Secretary as head of theUnion Secretariat shall provide support necessary for the

    continued operation of the Union National Committees. Appropriate resources shall be provided, depending onthe availability of UNION funds.

    Section 11. Each Committee shall be headed by aCommittee Chair, assisted by a Vice Chair and

    Section 11 . Each standing committee shall meet atleast twice a year or as often as necessary toaccomplish their tasks, within the resources availableand the agreed timetable, and as convened by theCommittee Chair

    Secretary. The National Executive Board through theNational President , shall designate the CommitteeOfficers and members, within three months after eachGeneral Assembly . Their terms of engagement shall be

    at least for one year. Committee members shall bereconstituted as often as necessary, by the NationalPresident in consultation and approval of the NationalExecutive Board through appropriate resolutions.

    Section 12 . Each standing committee shall meet atleast every quarter, or as often as necessary toaccomplish their tasks, within the resources available andthe agreed timetable, and as convened by the CommitteeChair

    Article X. AFFILIATION

    The All U.P. Workers Union together with the All U.P.Academic Employees Union shall constitute the AllU.P. Workers Alliance to ensure the continuing unitybetween administrative and academic employees ofthe University .

    Chapter X. UNION CHAPTERS

    Section 1 . UNION Chapter Councils shall beorganized in each University campus.

    Section 2 . The Chapter Council is composed of theChapter Officers, and the elected representatives ofmembers from each college or unit within the chapter.For every ten members, at least one college or unitrepresentative maybe elected, and participate in themeetings and activities of the UNION Chapter Council.For PGH there shall have two (2) representatives each

    Article XI . UNION CHAPTERS

    Section 1 . UNION Chapter Councils shall beorganized in each University campus.

    Section 2 . The Chapter Council is composed of theChapter Officers, and the elected representatives ofmembers from each college or unit within the chapter.For every twenty (20) members, one college or unitrepresentative shall be elected, and participate in themeetings and activities of the UNION Chapter Council.

    g) Chapter Directors (3) at large: represent thechapter in meetings, negotiations, asrequested by the chapter president; providesupport in the other areas of cooperation of thechapter.

The ExecutiveBoard shall constitute a Search and Election Committee(SEC) for each chapter when there is a need for anelection. The SEC will set the rules, procedures, date,time, and place for the elections. Qualifications,nominations, rules, procedures and other details shall bedisseminated and posted at least one month before thechapter elections.

    Section 6 . Each chapter may create chaptercommittees in order to carry out plans and programs ofthe UNION.

    Section 5 . The Chapter Officers are directly electedby their members in a regular election.     Article XI. UNION DUES, FEES ANDBUDGET

    Section 1 . A one time membership fee of THIRTYESOS (P30.00) shall be paid by each applicant befores/he becomes a regular member of the UNION.

    Section 2 . Every regular member shall pay regular

    monthly dues to the Union, in the minimum amount ofTHIRTY PESOS (P30.00). (As amended during the 5 th General Assembly last December 03, 2004.) Additionalvoluntary monthly contributions may however beauthorized individually by the UNION member.

    Section 3 . The National Council shall approve theannual budget of the UNION as recommended by the

The Chapters shall alsosubmit a liquidation report by the end of the year, on howthe chapter budget was used.

    Article XII. AMENDMENTS AND REPEALCLAUSE

    Section 1 . Amendments to the Constitution and By-Laws maybe proposed and discussed through aresolution in the General Assembly. A vote of at leasttwo thirds of those present in the General Assembly isnecessary for the ratification of the amendment(s).

    Section 2 . In case any judicial or quasi-judicialbody declares any section of this Constitution and By-Laws as contrary to law, and these are repealed ormodified, the remaining provisions shall continue to be infull force and effect.

    Article XIII. AMENDMENTS AND SAVINGCLAUSE

    Section 1 . Amendments to the Constitution and By-Laws maybe proposed and discussed through aresolution in the General Assembly. A vote of at least twothirds of those present in the General Assembly isnecessary for the ratification of the amendment(s).

    Section 2 . In case any judicial or quasi-judicial bodydeclares any section of this Constitution and By-Laws ascontrary to law, and these are repealed or modified, theremaining provisions that are not effected thereby shallremain in full force and effect.

This Constitution and By-Laws shalltake effect immediately upon its approval by theGeneral Assembly and shall remain in full force andeffect in perpetuity; unless otherwise repealed,declared invalid or ineffective by competentauthority, or the organization have ceased to functionor exist.

    Sect ion 2. Amendments or revisions shalllikewise take effect immediately, unless otherwiseprovided; and approved by two third (2/3) votes of allthose present in the General Assembly.
