Supply of Industrial Controls and Safety Systems
Abstract
In order to be considered as a potential bidder for the forthcoming Invitation
to Tender, the respondent shall be either a single firm (hereinafter referred to
as “the Firm”) or a group of firms (hereinafter referred to as “the Group of
Firms1”).
The Firm or the Group of Firms shall demonstrate that they meet the
applicable qualification criteria by completing this Qualification
Questionnaire and by providing the requested documents and references.

QUALIFICATION CRITERIA
General
2.1.1 CERN will invite to tender those Firms or Groups of Firms that have replied to the present
Market Survey by uploading this document into CERN’s e-survey system and are selected
on the basis of their compliance with the technical, financial and other qualification criteria
provided herein.
2.1.2 In particular circumstances, if CERN’s needs or interests so justify and if CERN considers
that a Firm or Group of Firms would be able to complete and fulfil its obligations under the
contract, CERN may select a Firm or a Group of Firms and invite it to tender even if it does
not fully meet the qualification criteria defined herein. In so doing, CERN will take into
account the provisions set out in the Appendix: “Selection and Adjudication Criteria for
Supply Contracts” and the estimated amount of the contract.
2.1.3 In addition, and with a view to improving the distribution of its purchases among its Member
States3, CERN may not select and invite to tender a Firm or Group of Firms:
according to the number of qualified firms from each Member State, taking into account
the Member State’s contribution to the CERN budget, the relevant industrial return
coefficient for that Member State (as set out in the Appendix: “Selection and
Adjudication Criteria for Supply Contracts”) and the estimated amount of the contract;
on the basis of its previous experience with the Firm or any member of the Group of
Firms;
if the Firm or a member of the Group of Firms has replied “yes” to at least one question
in § 2.2 below;
if the Firm or a member of the Group of Firms has made a false declaration in this
Qualification Questionnaire;
if CERN considers that the Firm or the Group of Firms may be unable to fulfil its
obligations under the contract due to the Firm’s or Group of Firm’s financial situation;
if the Firm or the Group of Firms proposes a Supply originating in an Associate Member
State, or an Associate Member State in the pre-stage to membership and the combined
total value of the commitments for the country concerned for the year in question,
covering all orders, contracts and personnel appointments, including the value of the
contract under consideration, would exceed the size of that country’s financial
contribution to the CERN budget for the financial year concerned (the “ceiling”). If, in
exceptional circumstances, CERN invites to tender a Firm in an Associate Member State
that has reached the ceiling, the Firm concerned shall be considered and treated as a
Firm proposing supplies or services originating in a well-balanced Member State,
irrespective of that Associate Member State’s industrial return coefficient at that stage.

Subcontracting4
Subcontracting is permitted for the execution of the Contract but is subject to CERN’s prior written
approval of each proposed Subcontractor. CERN reserves the right to refuse a Subcontractor and to
carry out verifications concerning the proposed Subcontractor(s).
CERN will be entitled to reject in whole or in part the proposal of a Firm or Group of Firms
concerning the subcontracting of its obligations, it being understood that in any event:
the Contractor shall not subcontract to a single Subcontractor Supplies and activities representing
an amount exceeding 50% of the total contract price; and
the management of the Contract shall not be subcontracted.
In addition, the following parts of the Supply shall not be subcontracted:
Preparation and submission of technical and financial proposals;
Project Management & Scheduling;
User requirements analysis;
Design & Development based on CERN requirements;
Maintenance activities.

except legal entities under its direct control, for the provision of a part of the Supply (including provision of sub-assemblies and
components or any part of the activities forming part of the Supply). The term “Subcontract(s)” shall include sub-subcontract(s).

Country of Origin
For the Supply, the term “Country(ies) of Origin” means the country(ies) of manufacture or last major
transformation of the Supply (including sub-assemblies and components) by the Bidder and its
proposed Subcontractor(s).
In case the Supply includes activities (installation, maintenance, testing, etc…), the Country (ies) of
origin of such activities will be the country in which the firm performing them is established.
The Countries of Origin of the Supply shall be CERN Member States5.
However, for the Associate Member States, there are defined annual ceilings of the value of the
procurement expenditure in those countries (calculated on the basis of the State’s percentage
contribution to the CERN budget).
Therefore, if a Bidder intends to submit a Bid which includes a part of the Supply originating in an
Associate Member State, it must contact CERN forthwith and in any case no later than 14 days before
the submission deadline. CERN will, as soon as possible, inform the Bidder concerned if the proposed
share of the Bid or if the obligations to be allocated in these countries would remain within the defined
annual ceilings. If this would not be the case, the Bidder shall either reconsider the distribution of its
Bid or withdraw from the Invitation to Tender procedure.
It is understood that the above shall have no impact on the submission deadline.

15 engineers in the field of Industrial Controls and Safety Systems and software development,
specialised in functional safety, project management and quality assurance and certification
in the development of safety systems and software application. Including:
o Three engineers specialised in functional safety, of which at least one senior engineer
(with at least five years proven experience);
o Two senior engineers specialised in project management (with at least five years
proven experience);
o Two engineers specialised in quality assurance and certification in the development
of safety systems and software applications;
20 technicians in the field of Industrial Controls Systems and Safety Systems and software
development, specialised in Functional Safety-related studies and projects, mechanical and
electrical design and in the field of software development. Including:
o Five technicians specialised in Functional Safety-related studies and projects;
o Three draughtspersons mechanical and electrical (at least two electrical);
o Ten technical engineers / technicians in the field of software development;

The Firm, or the members of the Group of Firms collectively, shall provide at least three relevant
references delivered over the last five years covering activities similar to those of the future Contract
in terms of scope, complexity and volume, as described in the technical description and consistent
with the competences listed in §2.7 above.
CERN reserves the right to verify and contact the referees provided. In addition, the Firm, or each
member of the Group of Firms, shall arrange a visit by CERN to the premises of any of its referees if
so requested.

and commercial products in the scope of this contract.
