Order Details

Pricing

Discounts and deals must be arranged by your Mezzanine Area Manager. Mezzanine Customer Service representatives are not permitted to negotiate or authorise any discounts with accounts.

Minimum Order Values

National minimum order value of $250.00 in total applies to all sales orders. Higher minimum order values may apply for Regional areas outside of major cities – please consult your Sales Area Manager or contact National Customer Service if required. Broken cases will be sold at our discretion.

Delivery

Customers must allow our drivers a delivery window of at least three consecutive hours between 8.00am and 6.00pm. (Example – “deliver before 11.00am or after 3.00pm” is acceptable. “Deliver before 10.30am or after 3.30pm is not acceptable.”)

A representative of your Company must sign for all deliveries. Your signature is our proof of full delivery. Please check the goods with our driver carefully before signing for accuracy and condition.

Please notify your sales representative or customer service agent of any permanent delivery instructions or re-quirements. Ad hoc delivery instructions will be compiled with where possible.

Our drivers are required to deliver ‘to the door’ of your premises. They may assist further at their own discretion and without placing their own safety at risk. A representative of your Company must sign for all deliveries. Your signature is our proof of full delivery. Please check the goods with our driver carefully before signing for accuracy and condition.

Claims

In the event that a delivery error or damaged stock is identified after the driver has departed you must report such discrepancies to our Customer Service Department within 24 hours of receipt of goods.

Failure to do so will automatically result in your claim being rejected. We do not accept responsibility for stock damaged on your premises by your staff or customers.

Return of Good Stock

Please ensure your orders are considered carefully as Mezzanine cannot accept returned stock due to over ordering. Any good stock to be returned must be approved by your Area Manager in advance and:

– Must be in unbroken cases in original carton

– Must be of current vintage as determined by Mezzanine stock holdings

– Must not have been refrigerated at any time

– Must not have been purchased as part of a bonus offer or all bonus stock must be returned in full.

Any claim you may have concerning incorrect pricing must be advised to our Customer Service department within 24 hours of receipt of the invoice covering the goods.

The above terms assist Mezzanine in providing a high level of customer service to all our customers. Your adherence and understanding is greatly appreciated.

Should you experience any difficulties with your deliveries, contact Customer Service on 1300 780 074.

Orders received by the Mezzanine customer service department prior to 2.00pm will be delivered the next day within the metropolitan area provided the customer is within trading terms. Regional customers deliveries will be in accordance with our current regional delivery schedule.

Orders received after 2.00pm are treated as having been received on the following day.

Urgent orders – Mezzanine can arrange for an external courier service to deliver urgent orders at the customer’s expense.

The Frog

Bonking frogs, or the Western Banjo Frog as it is properly known, are found in WA and inhabit a winery there. Frogs love moisture but can also burrow and live in the ground for six months, almost dormant. When winter rains come, frogs keep bugs at bay in the vineyards and they help to keep soil turned over. Frogs are not just French people.

LUC

means landed unit cost and the basis of calculating the LUC is set out in the terms of trading. For the avoidance of doubt, the LUC is a global charge that includes separate contracts for Goods and the provision of freight, which is at the customer's option.

Wholesale

means the wholesale price of Goods and includes a freight component, calculated as a charge under a separate contract but excludes WET and GST.

WET

means Wine Equalisation Tax as defined and calculated under the tax law.

GST

means Goods and Services Tax as defined and calculated under the tax law.

The Company

means Casama Group Pty Ltd trading as Mezzanine Wine Distribution.

Freight

means, subject to the terms of trading, the charge calculated under a separate contract, that the Customer has not declined and is for the delivery of Goods ex-warehouse to the customer’s specified address. The customer has the option to decline freight, in which case, no charge for freight will apply, and is accordingly deducted from the LUC.

There are certain terms and acronyms used in the Terms and Conditions of Trade which forms part of this price list. The following glossary assists customers in understanding their contractual arrangements with the company, especially in relation to the provision of separate freight services.

Goods

means wine products and any other tangible products provided by the Company in the normal course of trade.

Retention of Property

means ownership of Goods remaining with the Company. Following full payment for the Goods, customers obtain good title to them provided any other conditions specified in the Terms and Conditions of Trade are satisfied. For the avoidance of doubt, the non-payment of freight will not affect title to Goods.

The Sheep

Like young pigs and old boilers, sheep are found in vineyards everywhere. They eat low shoots and leaves, encouraging growth up top and keep grasses between the vines to a minimum. As they bleat around the vineyard, they turn over soil and of course, there is the resultant fertilizer that keeps the soil healthy.

A beacon shining a light on an institution drowning in crepuscularity. Aaron makes fine wine, true… but importantly Aaron stands for all those forgotten masses who wish to potate their libation free from pretence, free from the boorish fustian of those who would decree their knowledge of wine rules us all. Yes, Aaron is bringing wine back to the people. All AAA growers are a shareholder in the wine they grow - a modern co-operative that returns more to those that do the real work. The Sauvignon Blanc is from a single vineyard above Arthurs Creek in the Upper, Upper Yarra Valley. The wine has been wild fermented in a mix of old barrels and stainless steel. It was then raised on lees for nine months prior to bottling with minimal SO2. The Shiraz is from the iconic Lawson Vineyard in Bendigo. The wine was made with a spartan reverence; a long fermentation and minimal handling. After 10 months in tank it was bottled. Pure Shiraz.

The majority of our vineyard area is now certified organic and we seek to extend beyond organic practices by embracing tradi- tional farming techniques and good science.

Since 2014 we have planted over 10,000 trees and we are ready to contribute to a world that demands Carbon Positive from its citizens and businesses. True to this our label is made from post consumer waste recycled paper with only aqueous inks and all packaging is selected to strict environmental standards.

Our truly old vineyards, mostly unirrigated, are sited in unique terroirs favourable tothe production of the highest quality wines. These sites enable a seductive union between passionate viticulture and artistic winemaking.

Whites are produced from our Adelaide Hills vineyard near Lobethal. At over 400m above sea-level, the temperatures are very cool ensuring grapes of intense flavour and elegance.

The reds are all from McLaren Vale, focussing on Blewitt Springs and McLaren Vale itself as sub-regions. The seriously old vines and no irrigation ensures production of wines of supreme concentration and complexity.

It was the first winery in the Southern Hemisphere to specialise in the production of single vineyard wines from the most prestigious winegrowing regions across New Zealand. The Credaro family are pioneers to the Margaret River region, first settling in 1922 after migrating from Northern Italy. Initially involved in farming and the timber industry, small plots of vines were planted to provide the family with table wine. The family have now been commercially involved in the wine industry since the 1980’s. The Credaro family produce all of their own wines, in their winery in Northern Margaret River. Winemaker Dave Johnson enjoys a close working relationship with the Credaro Family in the vineyard and believes that this is crucial to getting the most out of every batch of Credaro fruit.

The princely sum of 1000 crowns secured the pioneering Credaro brothers a future in the New Country, soon after immigrating from Italy in the 1920s. Credaro Family Estate now produces some exceptional fruit with true regional varietal definition, with the quality of their Margaret River wines winning more friends and recognition worldwide. All in all, it was a fortuitous investment that has yielded the fruits for four generations.

Five Tales is the ongoing narrative about the Credaro Family Estate. Formed by one family that traces its early heritage and its strong ties to two countries. The three Italians, Olympio, Cesar and his wife Maria bound by familial loyalty and strength. Now into its fourth generation, the Credaro family are vignerons tending the vines for five Vineyards in the renowned Margaret River Region, so their latest story is in the pouring. Cincin!

On the advice of eminent agronomist Dr. John Gladstones, Dr. Kevin and Diana Cullen planted a trial acre of vines at Wilyabrup, Margaret River in 1966. Commencing in 1971, 18 acres of vines were planted on their sheep and cattle farm, including their first Cabernet Sauvignon vines. Sauvignon Blanc, Chardonnay, Semillon, Merlot and Cabernet Franc were planted between 1976 and 1978. In 2005, the iconic Diana Madeline Cabernet Merlot was elevated to the top of Langton’s classification category of ‘Exceptional’. All Cullen Wines are grown on a certified Biodynamic, Carbon Neutral and naturally powered estate.

After a two year search for the perfect block, Duke and Hilde Ranson planted their 10 hectare block in 1999 with Riesling, Shiraz and Cabernet Sauvignon. The first vintage of Riesling – 2001- won a gold medal and the 2002 vintage was best wine in show at the Sydney Royal Show 2006.

The Magpie Hill (Reserve) label was introduced in 2004 and has won accolades since. The vineyard is Dukes love and while not “organic”, is as close as it can get while still producing the best fruit possible.

The Pawn Wine Co made their 1st vintage of Adelaide Hills Rose after the infamous 2011 'Vintage from Hell'. Since then the brand has become renowned for packing incredible labels, varieties, aromatics, flavours and value into everyone of the El Desperado wines.

Although they did not set out to make the El Desperado before that terrible vintage, when you taste these wines, by hell you will be glad they did.

We aim to make wines that are an honest reflection of this stunning region, wines with elegance, restraint, complexity and balance. We source our Pinot Noir and Chardonnay from three low yielding, premium quality vineyards. The vineyards are predominantly from the upper Yarra Valley due to the cooler micro climate that helps us capture the elegance and finesse of these noble varieties. We are focused on allowing the vineyards to express themselves in the resulting wines, and therefore use traditional winemaking techniques such as small batch fermentation, wild yeast, and delicate use of French oak, in order to achieve this.

Established in 1972 as one of Australia’s pioneer Chardonnay producers, Mountadam was founded by the late David Wynn, without question one of the most significant contributors to the Australian wine industry and an important part of the Mountadam story. In selecting the land for the Mountadam vineyard, Wynn was the first to recognise the potential of a cool, elevated site to produce wines of great elegance and structure, and chose an area high above the Eden Valley, which he named High Eden. At 570 metres above sea level, Mountadam is still to this day one of Australia’s most elevated vineyards.

The Tar & Roses range of wines consists of European varietals and grew out of the desire to make iconic European wines at home in Central Victoria. Don and Narelle have drawn from their extensive overseas experience, particularly in Spain, to craft the range in a style that reflects their interpretation of these classic varieties. Fruit for the range is sourced mainly from the renowned premium wine region of Heathcote as well as from the Alpine Valleys, Strathbogie Ranges, Nagambie and Priorat, Spain. Tar & Roses are the main descriptors for Nebbiolo, the king of red wine in Italy and one of the wines within the range.

Don and Narelle also released their first Riesling under the Tar & Roses brand in November, 2014. This Riesling is named after Don Lewis acknowledging 40 years of award winning Riesling.

The Other Wine Co. aims to make wines from the right grape, grown in the right place. That may sound obvious, but it’s a principal honoured more “in the breach than the observance.” Really good matches of variety and place take a long time to become established, but when they do, the proof is in the glass.

The Other Wine Co. wines are entirely vinified and bottled at Shaw+Smith in Balhannah. The wines are “other” partly because they give the winemakers a chance to play with varieties and regions that don’t fit into Shaw + Smith. They are also an “other” perspective from so many wines that favour over-ripeness and oak instead of freshness and balance, and power over drinkability. These are made to drink and enjoy. That’s it!

Tim Smith Wines is a Barossa based producer focussing on traditional regional varietals with a Rhone Valley influence. The wines are almost invariably made from vines that, according to the Barossa Old Vine Charter, range from Old Vine up to Ancestor Vine classification. While not subscribing to the fashionable ‘minimal input’ descriptor being bandied about by marketing departments, the wines are made from vines that are grown sensitively and what is best described as ‘lo-fi’ wine making. Trust has grown from the strong friendship between Don Lewis and Narelle King – winemakers with a passion for making and enjoying fine wine. Grapes for Trust were harvested from vineyards in Central Victoria, each vineyard selected to add distinctive yet complementary characters. The 2012 shiraz is black cherry red in colour with freshly grated nutmeg, cocoa and mulberries on the nose. The palate is a combination of luscious red berries and sweet roasted beetroot well balanced with fine grained tannins.

The Worm

Next time you open a bottle, after you toast the winemaker, be sure to thank the worms as well. These wriggly and industrious creatures have an important job; cleaning winery wastewater. With around 6 litres of water used to make a single glass of wine, it’s not a small job either. It’s nature at its best – the only thing left over is worm poo which goes back to the vineyard as fertilizer.

Canard-Duchêne is unique in its origins, history and style. The Champagne house has been located in Ludes, in the Montagne de Reims National Park, since 1868.

The Founders, Victor Canard and Leonie Duchêne, both well-known characters in Champagne, were granted the right by the Russian Imperial Family to adopt its coat of arms as the family emblem. The crowned two-headed eagle has thus appeared on every Canard-Duchêne label since the end of the 19th Century.

These authentic, original Champagnes combine fruit, intensity and complexity.

Behind the 1722 entrance, the Domaines Louis-Claude Desvignes’s Cellars unveil 8 centuries of continuous production of Morgon from estate vineyards, 5 ha of which are in the most celebrated Cru of Cote du Py (including some 100 year old vines in Javernieres), and 8 Ha in Douby. Today brother and sister, Louis-Benoit and Claude, together carry forward the familial traditions of the Domaine. The soils are crumbly, crystalline rich in iron oxides, with layers of manganese, schists and ancient volcanic rock. All the wines are vinified and aged in cement tanks, with the aim of accentuating the minerality of the wines of Morgon.

Domaine Jean-Dauvissat Pere & Fils works 22 hectares of vineyard in Chablis across 7 communes with 53 separate parcels across Chablis and Chablis Premier Cru. Fabien took over from his father in 2009, following training in Beaune and Dijon concluding with a Masters on Bordeaux. The Domaine began with Fabien’s grandfather in La Chapelle-Vaupelteigne, but it was Fabien who took up where his grandfather left off in terms of bottling and labeling rather than selling off in bulk. Fabien’s approach is one of respect for the terroir, working each vineyard and parcel individually to express the differences from one site to another; and one of respect for the environment by restricting interventions wherever possible. Vinification is in temperature controlled stainless steel with the total maturation for the premier crus around two years. A young new Chablis producer to watch.

Domaine Garnier is based in Ligny-les-Chatel, on the most northern fringe of the Chablis appellation. Current generation brothers Jerome and Xavier Garnier, have been working together for the past decade or so focusing on extending the vineyard ownership of the Domaine, and on improving the quality and complexity of their range of Chablis. They have constructed a new winery and cellars at their base in Ligny-les-Chatel, and have worked on lengthening the ageing time on lees in stainless steel tank, together with the use of large and small oak from highly regarded Austrian Cooper, Stockinger. New vineyard acquisitions and leases include the small Premier Cru Jouan in Courgis in the south west of the Chablis appellation, and vineyards just to the south of Maligny, for the Village Chablis.

Following a decade working on the family vineyard Florence Heresztyn with her husband Simon Mazzini (from Champagne) decided to create their own Domaine, which today covers 5.5 hectares spread across the villages of Gevrey-Chambertin, Morey-Saint-Denis, and Chambolle-Musigny.

At Domaine Heresztyn-Mazzini, every action is deliberate and thoroughly researched, from the vine to the cellar. Florence and Simon respect the environment and use environmentally friendly pest control, and spend a lot of time out amongst the vines, carefully monitoring their growth.

With the experience of six winemaking seasons behind them, they have chosen whole bunch fermentation to give both structure and texture to the wines, which are matured for 12-16 months in barrels from carefully selected coopers. The wine is bottled on the estate, according to the lunar calendar. Florence and Simon are focused on achieving the best from their vineyards in the Cote de Nuits, the elegance of Chambolle-Musigny, the depth of Gevrey-Chambertin, and the complexity of Clos-Saint-Denis.

Alexander Laible’s vineyards lie in the Durbach valley. Alexander graduated as an enologist from the Lehr-und Versuchsanstalt Weinsberg and then worked for several years in the Mosel before returning to his hometown of Ortenau in 2004. Three years later at the young age of 29, Alexander, son of renowned Durbach winemaker Andreas Laible, took control of his own vineyards on the edge of the village.

The vineyards, with Riesling making up approximately 50% lie mainly in the surroundings of Baden-Baden whilst those planted to both white and red Burgundy varieties, as well as a small vineyard to Lemberger, are found mainly near Lahr in Breisgau. Laible cultivates the grapes according to biodynamic methods and ferments exclusively with wild yeasts. In the last few years, the young winemaker has been awarded with numerous prizes for this wines and was awarded Best New Winemaker in Germany in 2010. Alexander’s wines combine minerality with pure, expressive fruit.

Fattoria di Bagnolo is located in the Impruneta Hills just to the south of Florence in Tuscany, within the Chianti Colli Fiorentini appellation. It is an agricultural holding with 10 hectares under vine plus olive groves and a wooded forest. The beautifully restored main villa dates back to the 15th century and was once home to the Machiavelli family. The Cellar and other farm outbuildings date back to the 17th century. The owner, Marco Bartolini Baldelli lives on the estate with his American born wife and family and he is responsible for the winemaking and viticulture. His son shares his passion and will go onto study oenology and eventually take over from Marco.

The technical team is led by Elvio Forato (Director & Oenologist) and Luca Tessaro (Oenologist) in the winery, with Alberto Brazzale (Viticulturalist) working closely with the co-op members in the vineyards, including the organization of study trips to leading European wine regions.

Rocco Pasetti was for many years the Chief winemaker of the Roxan Cooperative in Abruzzo and is one of the most dynamic and talented producers in the region. More recently Rocco, with his wife Patrizia and children Franco, Ugo and Perla, has purchased his own estate, Vigna Corvino, with 30 hectares outside Pescara, planted to montepulciano and pecorino. The vinesare planted on gentle hills between the Appennine Mountains and the Adriatic sea, at 250 metres above sea level. The climate and rainfall is moderate and combined with the clay soils, produces fragrant, quite rich wines. Rocco has abandoned weed killers and pesticides in favour of more natural methods.

The cellar, completed in 2004, has been carved into the hillside amongst the vines. The fermentations occur in temperature controlled stainless-steel tanks, and the maturation of the reds occurs in traditional Slavonian oak botte.

Contesa means ‘argument’ in Italian and is a salute to Rocco’s winemaking great grandfather, who fought a hard battle with a local landowner to preserve his own vineyards back in 1903.

Borgo Maragliano’s 25 hectares of vineyard sit 450 metres above sea level, in the heart of Loazzolo on a natural terrace in the Langhe hills. In the spring a gentle sea breeze called the Marin crosses Loazzolo, tempering the night time temperatures, favouring the developing of the grapes’ perfumes. The wines are vinified and packaged by members of the Galliano family, who maintain a high respect for tradition but at the same time employ the most modern vinification techniques, methods and equipment. This Moscato d’Asti is the result of careful and meticulous labour, representing the highest expression of this distinctive territory and of its soil.

In the late 1950s, Bruno Rocca’s father Francesco, and his wife Maria Adelaide purchased a vineyard in Rabajà and moved there from the centre of Barbaresco. This marked the beginning, in particular for Bruno, who from a very early age began to view the grapes as the true expression of the land. In 1978 Bruno decided to carve out a new direction, rather than selling the grapes to large barbaresco producers, Bruno began to sell bottled wine on the Italian and world stage.

The philosophy of wine as the natural expression of the Barbaresco territory was widely appreciated, and with the estate’s gradual growth came the purchase of new plots of land and the expansion of the cellar, which continues to today with Bruno’s children Francesco and Luisa now both closely involved in all aspects of the wine production and sales. The Bruno Rocca company philosophy is clear, as Rocca himself affirms: Wine is the mirror and soul of the ground, and the territory, if protected and defended, it will never let you down.

Bodegas Patrocinio, the producer of ‘Zinio’ is based in the town of Urunuela in Rioja Alta, the classic region in Northern Spain renowned for its Tempranillo-based wines. In 1986 a group of grape-growers decided to combine their production to form Bodegas Patrocinio and make branded wines. Until then all the product of the vineyard was sold to other wineries in Rioja. Zinio has been one of their most successful brands.

The Zinio sees 6 months in oak while the Zinio Crianza is aged in oak for 14 months. The Gran Zinio Cava originates in Penedes, the home of Cava and is made by the traditional method from the classic Cava varieties, Xarel-lo, Macabeo and Parellada.

The Cooper

In a world of his own, the cooper’s craft is almost as old as wine itself. Coopers worked with hoopers, who made the round metal hoops to secure the staves of the barrel. There are few master coopers remaining but it is a craft continually handed down to young coopers who are now also hoopers. Confused? As long as we make wine to age in oak, this age old tradition will continue to flourish.

In dense, lush forests, the cork grower plies his trade with patience and finesse. As more and more wines are secured under screw caps, the cork growers are becoming a little redundant. Cork trees live up to 250 years and so cork growing is a generational employment. They’ve been around for centuries.

MINIMUM ORDER

National minimum order value of $250.00 in total applies to all sales orders. Higher minimum order values may apply for Regional areas outside of major cities – please consult your Sales Area Manager or contact National Customer Service if required.

PAYMENT TERMS

Nett all purchases and freight – Payable by the 14th day of the month following the month of invoice. Payment to the company, without any right of set-off or for part payment, shall be made in cash with the Customer’s order. This is unless the Customer completes the company’s Application for Credit and the company approves that Application and any conditions relating to that approval are satisfied by the Customer. Whereupon such “Account Customers” can make full payment for all invoiced items in any manner stipulated by the company. Full terms and conditions of sale and supply of services apply as per the company’s Price List and as per the company’s Application for Credit forms. Payments shall be made payable to the company. Payments by cheque shall not be deemed made until the cheques have been cleared.

PAYMENT BY CREDIT CARD

Notwithstanding the required arrangements for payment above, if, after ordering and being invoiced for the agreed prices for the goods and freight, an Account Customer wishes to pay by credit card , a separate service fee will be charged by the company. Such service fee will have no bearing on the rights of customers in respect of claiming title in the goods whether customers pay for the goods in their own right. Such service fee will be separate from the contract for the sale of goods and from any contracted freight services and will not form any part of the LUC prices stated. Customers are not obliged to pay by credit card. As noted above the service fee is only chargeable if an Account Customer wishes to pay by credit card after ordering and being invoiced. Therefore if an Account Customer pays by credit card when ordering, no such service fee will be charged.The service fee for payments made by credit card (Visa and Mastercard) will be on charged as 1.5% of the amount invoiced. These percentages are subject to change from time to time at the company’s discretion. These service fees are to recover the average cost incurred by the company in accepting payments by credit cards. These service fees comply with the Reserve Bank of Australia Surcharging Standard issued in March 2013.

CLAIMS

All Goods will be at the Customer's risk ex-warehouse. The company can arrange freight (including any additional services) for the Customer unless declined by the Customer. If freight is declined, the Customer must make its own arrangements for delivery of Goods at its own cost. In order to recognise a claim for damage or loss during freight by the company’s arranged carriers, the company must be notified at the time of delivery. Claims of any other nature will not be accepted unless made within 24 hrs of delivery. The company reserves the right to refuse any claim.

CHANGE OF OWNERSHIP

The Customer agrees to notify the company in writing of any change to ownership of the Customer within 7 days of such change, and indemnifies the company against any loss or damage incurred by it as a result of the Customer’s failure to notify the company of any change. The company also reserves the right to withdraw the Customer's approved credit status in relation to the sale of Goods, and all outstanding amounts will become immediately due and payable and future deliveries can only be made by payment of cash on delivery.

OVERDUE ACCOUNTS

If the Customer fails to make any payment (whether for Goods or separately, for the provision of freight) by the due date, the company may, in addition to taking any other action: (a) charge interest on all overdue payments at two percent (2%) per month from the due date until the date of payment (or otherwise as allowed under the law), and (b) suspend all further delivery of Goods or further performance of any other contract with the Customer.

PRICES FOR GOODS AND OPTIONAL PREMIUM FREIGHT SERVICES

The company provides only one kind of delivery service. This is an optional premium freight service designed to provide a minimum turnaround where customers require their goods to be delivered. Accordingly customers who require such services are advised that the respective freight price is comparable with other major independent provider’s rapid turnaround service prices. Prices for Goods and optional freight services are subject to alteration without notice. The wholesale price stated in the price list excludes Wine Equalisation Tax (WET) but includes a component for freight arranged by the company under a separate contract, unless the freight service is declined by the Customer. The LUC price includes amounts for the following separate charges: (i) goods and WET under a

separate contract; and (ii) the freight service under another separate contract. All Goods and freight services (unless declined) are subject to GST. WET is calculated on the price of wine only unless exempt. Freight services will be arranged by the company under a separate contract (at the customer's option) and be charged to the Customer’s account such costs are included in the LUC price unless declined by the customer, in which case no charge for freight services will apply. The freight service charge (excluding GST) is calculated for equalisation purposes at 9.75% of the LUC price plus GST unless otherwise agreed. Where the customer declines the freight service, the customer must advise the company beforehand so that arrangements can be made for reasonable access for the customer to pick up the goods at the company’s warehouse and/or offices. In these circumstances the freight service charge will not apply and will be deducted from the LUC price. Freight service charges above are calculated as a flat-rate ex-warehouse but only for minimum quantities of 5 cartons. Any fees payable in respect of overdue accounts and subsequent optional credit card arrangements are the subject of separate contracts and do not form any part of the consideration payable for goods and freight services within the LUC price. Any rebates (whether monthly, quarterly or annually) provided to customers under ongoing or special arrangements are totally referable to discounts on goods only notwithstanding how such rebates might be calculated. These rebates are not a discount on any freight services that might be required.

RETENTION OF PROPERTY

Property in goods sold by the company will not pass to the Customer until the earlier of:-Payment in full of the price of the goods inclusive of any GST (excluding any freight charge and other fees, where applicable); and sale by the Customer to a bona fide purchaser in the ordinary course of the Customer's business. The Customer acknowledges and agrees that a continuing purchase money security interest is created by this retention of title provision granted by the Customer to the company, as the secured party, over the goods sold to the Customer. Where the Customer sells the goods to a bona fide purchaser in the ordinary course of Customer’s business the Customer acknowledges and agrees the continuing purchase money security interest extends to all and any proceeds of the goods and this continuing purchase money security interest attaches to the goods and all and any proceeds of the goods as at the date the Customer signs this Application for Credit Account. The Customer will continue to ensure the company’s priority against any subsequent security interest and/or purchase money

the discretion of the company or in any specific agreement with the Customer. Such promotional goods may be disposed of by sampling, tasting, exhibitions or as otherwise agreed and includes those promotionals used on behalf of the Customer by the company. The cost of promotionals shall be recovered in the price of other goods sold and invoiced on an equalisation basis, notwithstanding variation in actual physical provision, and they shall still be regarded as being sold to the Customers, even if not fully recovered in the specific invoice price. The promotionals can be provided at any time, not necessarily at the time of the invoice of other goods and the company reserves the right to recover stocks of such from the Customer's premises if amounts owed are unpaid within the specified time.

GENERAL

Irrespective of any terms and conditions in the Customer’s order form, or irrespective of the Customer not reading the Terms and Conditions of Trade, acceptance (by retaining the Goods or any other method) of the Goods ordered by the Customer will be conclusive acceptance of the Terms and Conditions of Trade contained herein. These Terms and Conditions of Trade may only be changed either by a written agreement signed by both the Customer and the company or by the company noting an amendment to these Terms and Conditions of Trade on the company’s website or in the company’s updated price lists. Any failure by the company to insist on strict compliance with any term of these Terms and Conditions of Trade or any delay by the company in exercising its rights under these Terms and Conditions of Trade will not constitute a variation or waiver of any term of these Terms and Conditions of Trade or any right available to the company. These Terms and Conditions of Trade will be governed by and construed in accordance with the laws in force in the State of Victoria, Australia and the company and the Customer submit to the exclusive jurisdiction of the courts of that State.

The above retention of title clause is subject to the following conditions:- i) The Customer, for the purposes of preserving the company’s interests, will on receipt of its goods ensure such goods are kept separate from that stock fully paid (the “other stock”) where the Customer has clear property or title in the goods; (ii) Such demarcation of stocks shall continue until the company’s stock has been fully paid for by the Customer; (iii) Subsequently, the Customer can transfer goods separately held to the “other stock” when the goods are fully paid for; (iv) All "unpaid stock will not only be kept separate by the Customer from the “other stock”, but also sufficiently identified to enable the company to readily repossess such should the Customer not fulfil the terms for full payment within the required time; (v) In the event that the Customer defaults in the payment of any monies owing or an insolvency event occurs in respect of the Customer (meaning any step is taken for the liquidation or administration of the Customer or the appointment of a receiver, receiver and manager or other controller to any of the Customer’s assets), then the company and its employees or agents shall have the right to enter without notice, upon the Customer’s premises or any premises where the goods are known to be stored to repossess the goods and for this purpose, the Customer grants reasonable access rights to the company and its employees or agents shall be entitled to do all reasonable things necessary to secure re-possession; (vi) In the event the company ‘s goods are ordered and delivered to the Customer’s premises and then subsequently mixed in with the “other stock”, or if the Goods are "used" (as interpreted under the tax law), the Customer will forfeit ownership in the “other stock” and title will revert back to the company for such stock until full payment is received by the company.

SECURITY FOR PAYMENT

This clause will only apply to present or future goods sold by the company to the Customer which are in the possession or control of the Customer and in respect of which property has passed to the Customer (“the Customer’s goods”). The Customer grants a continuing security interest in the Customer's goods, and all and any proceeds thereof, to the company as the secured party, which attaches to the Customer’s goods in favour of the company with due and punctual payment by the Customer of all indebtedness (present or future, actual or contingent) of the Customer to the company... The Customer will continue to ensure the company’s priority against any subsequent security interest of any kind

over the Customer’s goods and/or proceeds thereof where the Customer is the grantor of that security interest.

PERSONAL PROPERTY SECURITIES ACT 2009 (PPSA)

If Chapter 4 of the PPSA would otherwise apply to the enforcement of a security interest in connection with these Terms and Conditions of Trade, the Customer agrees that the following provisions of the PPSA will not apply: section 95 (notice of removal of accession), to the extent that it requires the company to give notice to the Customer, section 96 (when a person with an interest in the whole may retain an accession) subsection 121(4) (enforcement of liquid assets – notice to grantor); section 125 (obligation to dispose of or retain collateral); section 130 (notice of disposal), to the extent that it requires the company to give a notice to the Customer; paragraph 132(3)(d) (contents of statement of account after disposal); subsection 132(4) (statement of account if no disposal); section 135 (notice of retention) and section 143 (reinstatement of security agreement). Notices or documents required or permitted to be given to the company for the purposes of the PPSA must be given in accordance with the PPSA. The Customer consents to the company affecting a registration on the PPSA register in relation to any security interest in connection with these Terms and Conditions of Trade and the Customer agrees to provide all assistance reasonably required to facilitate this. The Customer waives the right to receive notice of a verification statement in relation to any registration on the register. In these Terms and Conditions of Trade, the following words have the respective meanings given to them in the PPSA: account, proceeds, purchase money, register, registration, security interest and verification statement.

PROMOTIONAL AND BONUS GOODS

All Goods (including bonus Goods) provided in samples, tastings or exhibitions or in promotional campaigns (hereafter referred to as ‘promotionals’ ) in any form directly or indirectly to Customers for their own use or as giveaways or own sale are sold in conjunction with product invoiced, notwithstanding any reference to or otherwise in Customer orders. The cost of promotionals, unless otherwise agreed, shall be included in the selling price of any Goods invoiced. Invoices for specified orders shall be issued by the company showing a composite price for the products, including the cost of any promotionals provided. There is no requirement to itemise separately the amount for the promotionals, nor make any specific reference in invoices or in any other documents. All promotionals provided may be supplied in any form at

The only thing a pig won’t eat is teeth, so it makes sense to have a few employed for waste management in the vineyards. Pigs are smart and they are fun to have around – and less needy than a dog. They aerate the ground, fertilise it and the sweet grapes that end up on the ground make the piggies taste oh so good.
