We have audited the accompanying Statement of financial results of Diamines and ChemicalsLimited ("the Company") for the year ended]31~i March, 2019 ("the Statement"), being submitted bythe Company pursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations andDisclosure Requirements) Regulations, 2015, as amended.

This Statement, which is the responsibility of the Company's Management and approved by the Boardof Directors, has been compiled from the related financial statements which has been prepared inaccordance with the Indian Accounting St~ndards (Ind AS) specified under section 133 of theCompanies Act, 2013 (''the Act") read with relevant rules issued thereunder and other accountingprinciples generally accepted in India. Our responsibility is to express an opinion on the Statementbased on our audit of such financial statements.

We conducted our audit in accordance with the Standards on Auditing issued by the Institute ofChartered Accountants of India. Those Standards require. that we comply with ethical requirementsand plan and perform the audit to obtain reasonable assurance about whether the Statement is free ofmaterial misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and thedisclosures in the Statement. The procedures selected depend on the auditor's judgment, including theassessment of the risks of material misstatement of the Statement, whether due to fraud or error. Inmaking those risk assessments, the auditor considers internal control relevant to the Company'spreparation and fair presentation of the Statement in order to design audit procedures that areappropriate in the circumstances, but not for the purpose of expressing an opinion on the effectivenessof the Company' s internal control. An audit also includes evaluating the appropriateness of theaccounting policies used and the reasonableness of the accounting estimates made by the Management,as well as evaluating the overall presentation Of the Statement.

We believe that the audit evidence obtained b~ us is sufficient and appropriate to provide a basis forour audit opinion.

OpinionIn our opinion and to the best of our information and according to the explanations given to us, theStatement:

(1) is presented in accordance with the requirements of Regulation 33 of the SEBI (ListingObligations and Disclosure Requirements) ReguJations. 2015, as amended; and

(ii) gives a true and fair view in conformity with the aforesaid Indian Accounting Standards (lndAS) and other accounting principles generally accepted in India of the profit (financialperformance including other comprehensive income) and other financial information of theCompany for the year ended 31$I March 2019.

The comparative financial information of the Company for the corresponding quarter and year ended31SI March, 2018 included in these financial results, are based on the previously issued financial resultsprepared in accordance with the Indian Accounting Standards and other accounting principles generallyaccepted in India and audited by the predecessor auditors who expressed unmodified audit opinion videtheir audit report dated 4th May, 2018.

Further, the figures of the Financial Results as reported for the quarter ended 31SI March 2019 beingthe balancing figure between audited figures in respect ofthe full financial year and the published yearto date figures up to the third quarter of the current financial year which were subjected to limitedreview by us except in respect of previously issued financial results for the quarter ended 30th June,2018 which were reviewed by the predecessor auditors who expressed unmodified review opinionvide their review report dated 6th August, 2018.

Our opinion is not modified in respect of these matters.
