competent General Insurance companies Public Sector / Private Insurance
Companies /Agencies who are Licensed and Registered with IRDA dealing with
Health insurance and having introduced Insurance Policies for “Providing Medical
Facilities to the retired employees of KIOCL Limited and their spouses under Group
Insurance Mediclaim Policy”.
Bidders can collect the tender documents on all working days from the office of the
DGM (CP&TS), KIOCL Limited, Bangalore from 04/10/2018 to 25/10/2018 till 02.30
PM on payment of a non-refundable tender document fee of Rs.3,000 /- (Rupees
Three Thousand only) in the form of Demand Draft from any Nationalized Bank,
Scheduled Bank or any other Bank acceptable by company in favour of “KIOCL
LIMITED” payable at Bangalore.
The tender documents are also available on our website www.kioclltd.in and on
central public procurement portal www.eprocure.gov.in. The same can be
downloaded from the website and the tender document fee has to be submitted
along with the offer.

Quotations shall be submitted in accordance with the tender terms and in
accordance with the specified format. KIOCL Limited reserves the right to reject any
or all the bids without assigning any reasons whatsoever and without any liability.
A pre-bid meeting has been scheduled on 11/10/2018, 11.00 AM at KIOCL Limited,
Koramangala 2nd Block, Bengaluru.
Clarifications required may be forwarded in advance and clarifications issued
during the pre-bid meeting, amendments to NIT terms, if any, shall be uploaded in
the form of Bulletins on the KIOCL’s website only and the same will not be published
in the Newspaper. Any changes will be notified only on KIOCL’s website. Offers
shall be submitted in accordance with the tender terms and conditions and the
amendments issued, if any. The last date for submission of bids is 25/10/2018,
5.00 PM. Bidders are requested to check KIOCL website from time to time before
submitting their bids.

2. Qualifying Requirements for the Insurance Companies: 1.
2.1 The bidder should be a registered Indian Insurer in accordance with the
Insurance Act, (registered and licensed by IRDA (Insurance Regulatory
Development Authority) as Medical/Health Insurer and should have a license to
carry out Medical insurance business on a Pan India basis.
Guideline issued by IRDA/TAC from time to time with regard to Insurer’s
responsibility & liability towards insured, shall be automatically applicable to this

Insurance contract to the extent stipulated by KIOCL LIMITED.
2.2 The Insurance Company shall be in the Medical Insurance business in India at
least for ten years as on scheduled date of tender opening.
2.3 The turnover in the medical insurance business during any of the last three
financial years (FY 2014-15 to FY 2016-17) should have been Rs. 5000 crore or
higher.
2.4 The Insurance Company should be having Medical insurance participation in
a minimum of three major companies/institutions/ organizations etc. Major
Institutions here implies at least 1500 insured employees or more. (Documentary
evidence to be furnished).
2.5 Tenderer has to submit declaration along with unpriced technical bid
(Part-1) stating that they have not been Black-Listed/De-listed or are put to any
holiday by any Indian Institutional Agency/Government Department/Public Sector
Undertaking in the last three years. In case they have been black listed by any of the
Institutions, details of the same be furnished. Moreover, no restraint order has been
passed by the competent court of law.
2.6 For financial bid it is mandate for the companies that they must submit the
quotation for Rs. 4.00 Lakh, Sum assured for primary members and Spouse. i.e., the
quotation should be specific w.r.t. age of retired employees of KIOCL LIMITED.
2.7 Bidder shall have established office in Bangalore to liaise with KIOCL as when
required. Details shall be enclosed.

4. Sealed bids shall be submitted in the manner as mentioned below:
I. First sealed Envelope superscribed as: “Un priced – Providing Medical
Facilities to the retired employees of KIOCL and their spouses under Group
Insurance Mediclaim Policy” shall contain TWO (2) sets of all the tender
documents listed at sl.no 3 above, duly filled-in and pre-qualification details,
Technical Details, Declarations & Annexure and other relevant certificates
documents in support of your bid with official seal & signature on all pages but
without any mention of rates & prices.
First envelope shall also contain “EARNEST MONEY” and “COST OF
TENDER”(If tender documents are down loaded from company website) in the
form of Demand draft as per clause- 5 below.
II. Second sealed Envelope superscribed as: “Priced – Providing Medical
Facilities to the retired employees of KIOCL Limited and their spouses under
Group Insurance Mediclaim Policy” shall contain prices filled in strictly as per
price Bid format at Section – B with official seal & signature and no other
additional papers to be enclosed there in. The price quote shall be exclusive
of applicable GST.
III. Both the above envelopes should be kept in another cover and sealed and
superscribed as: “Bid – Providing Medical Facilities to the retired employees
of KIOCL and their spouse under Group Mediclaim Insurance Policy” shall be
addressed to the Deputy General Manager (CP&TS), KIOCL Limited, Bangalore
– 560 034.
5. The bid shall be accompanied by an Earnest Money Deposit of Rs. 3,00,000/-
(Rupees Three Lakh only) and cost of the Tender document Rs. 3,000/- (Rupees
Three Thousand only) in the form of;
i. Demand draft from any Nationalized Bank in favour of “KIOCL LIMITED”
payable at Bengaluru.
ii. Pay Order in favour of “KIOCL LIMITED” payable at Bengaluru.

Bank Guarantee (BG): The BG towards EMD shall be from any Nationalised Bank/

liable for rejection.
6. EMD shall be returned without interest, after completion of the Medical Insurance
services as per the LOI/ Work Order, in the case of successful bidder. However,
the same shall be returned to the unsuccessful bidders immediately after the
award of work to the successful bidder without interest.
7. FORFEITURE OF EMD: EMD will be forfeited, if the tenderer withdraws or
alter/modify the tender terms in any respect within the period of validity
specified in the tender document after the due date of submission of bids.
Tenders submitted without EMD will not be considered. The EMD shall be
forfeited if they withdraw their bid or raise the price of their offer within the
validity period.
8. The sealed bids shall be submitted to Technical Services Department, KIOCL
Limited, II Block, Koramangala, Bangalore – 560 034 till 05.00PM on 25/10/2018.
9. Further to the submission of the bids, un-priced bids will be opened on the next
day in presence of the tenderers who wish to be present to witness or their
authorized representatives. After ascertaining the techno-commercially
suitability of the offers, the price bids of techno-commercially acceptable bids
will be opened on a specified date which will be communicated to the bidders
for participation to witness the same.
10. Bidders are advised to participate in the opening of Technical Bid and also price
Bid. In the event, bidders or their authorised representatives are unable to
witness the same, shall have to inform KIOCL in advance by letter / mail / fax.
11. In case the date of opening of tender becomes a holiday, the Tenders will be
opened on the next working day.
12. All those techno-commercially acceptable bidders who have accepted business
rules provided by our service provider would be required to participate in the
online bidding cum e-auction, on a date and time to be intimated by service
provider. After the online bidding cum reverse auction, KIOCL will collect final
price bid comparative statement from service provider.
13. After the receipt of the price comparative statement from the service provider,
the price-bids of the bidder(s) who meet the techno-commercial terms and other
evaluation criteria would be opened separately and the eligible bidders
would be intimated about place, date and time of opening of the price
bids. The opening of the price bids can be witnessed by the bidder or his
authorized representatives at the place, time and date of opening of the price-
bid.
14. Acceptance of the bid will be intimated to successful bidder through a Letter of

Intent (LOI) and this letter will be treated as authorization for award of work. The
bidder shall sign with seal the said copy of LOI and send to KIOCL within Ten
days (10) from the date of receipt of the same. In the event of failure on the part
of the bidder to sign and return the LOI within the specified time, the EMD shall
be liable to be forfeited at the sole discretion of KIOCL Ltd.
15. Bidders shall abide by all the details of “Instruction to Tenderers” enclosed with
the tender documents.
16. The detailed work order shall be issued after the acceptance of the Letter of
Intent.
17. The Bids shall be valid for acceptance by KIOCL for a period of three months
from the due date of submission of the bid.
18. KIOCL reserves the right to reject any or all the tenders without assigning any
reason.

ANNEXURE - I
TERMS & CONDITIONS

Sub: “Providing Medical Facilities to the retired employees of KIOCL Limited and
their spouses under Group Insurance Mediclaim Policy”.

1. DEFINITION:
1.1 Title: The scheme is called as “Group Insurance Mediclaim Policy for the
retired employees of KIOCL Limited and their spouses” aimed at providing
Medical facilities to retired employees and their spouses of the Company for In
Patient treatment through Group Insurance Mediclaim Policy.
1.2 Insurer: Insurance company.
1.3 Company / Organisation : means KIOCL Limited.
1.4 Locations: Retired employees of KIOCL Limited settled at different location
across India as would be indicted by KIOCL from time to time.
1.5 “Retired Employee”: An retired employee means any person retired from
the services of the company excluding a casual employee.
1.6 Family/ Spouse: means retired employee’s wife/ husband (one only).
1.7 Competent Authority: means the Chairman – cum- Managing Director or any
other authority prescribed by the Chairman – cum – Managing Director.
1.8 Controlling officer: means the officer who may be delegated powers as
Controlling Officer in respect of these rules by the Competent Authority.
2. Offers shall be submitted with proper documentary evidence to substantiate
fulfillment of the qualifying requirements as specified above.
3. Notwithstanding anything stated above, KIOCL LIMITED reserves the right to
assess the Medical Insurer’s capacity and capability to perform the Medical
Insurance business should the circumstances warrant or such an assessment is
thought to be in the overall interest of KIOCL LIMITED. If required, the past
performance of the insurers may be taken into consideration for evaluation of offers
to award & distribute the medical insurance business.
4. KIOCL LIMITED shall have absolute right to consider or not consider any of the
offerer / Insurance Company.

5. Incomplete offers would be summarily rejected.
6. No extension of time shall be permitted for the collection of Tender Documents
and/or Tender opening date.
7. Any cutting or overwriting should be attested by the tenderer with full signature
and seal.
8. Offers submitted against tender documents only will be considered and the offer
shall be in the name of the insurer on whose behalf the tender document has been
issued. The insurer has to give an undertaking they have submitted their bid as a
single entity only and have not formed a consortium for the scheme.
9. Any request for clarification received after the stipulated date and time will not be
considered. KIOCL LIMITED will issue clarification in writing only if deemed fit.
10. While submitting the bid, tenderers are requested to ensure that bids are in
compliance to the regulations applicable under various statutes. Any fine, penalty
or expenses due to breach arising thereon will be borne by the tenderer, KIOCL
LIMITED will bear no financial implication on this account.
11. KIOCL LIMITED takes no responsibility for delays, loss or non-receipt of tender
documents or any letters sent by post/courier either way and also reserve the right
to reject any offer in part or full without assigning any reasons thereof.
12. KIOCL LIMITED shall always be at liberty to reject or accept any offer or offers or
part thereof at its sole discretion. The submission of offer shall have no cause of
action or claim against KIOCL LIMITED for rejection of offer. The Insurer, whose
offer is not accepted shall not be entitled to claim any costs, charges and expenses
incidental to or incurred in connection with submission of offer or its consideration
by KIOCL LIMITED, even though KIOCL LIMITED may opt to modify/withdraw the
Invitation to Tender or does not accept the offer or cancel the tender as a whole.
13. Canvassing, Fraud and Corrupt practices:
Bidders are hereby informed that canvassing in any form for influencing the process
of notification of award would result in disqualification of the Bidder. Further, they
shall observe the highest standard of ethics and will not indulge in any corrupt,
fraudulent, coercive, undesirable or restrictive practices, as the case may be.
“Corrupt practice” means the offering, giving, receiving or soliciting of anything of
value to influence the action of the public official. “Fraudulent practice” means a
misrepresentation of facts in order to influence Tender process or an execution of a
contract to the detriment of the scheme and includes collusive practice among
bidding Insurers/Authorized Representative (prior to or after bid submission)
designed to establish bid prices at artificially non-competitive levels and to deprive
the scheme the benefit of free and open competition;

KIOCL will reject a proposal for award if it determines that the Insurer/Insurers have
engaged in corrupt or fraudulent practices.
KIOCL will declare a firm ineligible, either indefinitely or for a stated period of time,
to be awarded a contract if it at any time determines that the bidding
Insurer/Insurers have engaged in corrupt and fraudulent practices in competing for,
or in executing, a contract.
14. Any conditional bid or a bid that is not in the prescribed Performa will not be
accepted.
15. Each paper of Bid Document must be signed by the competent authority of the
Bidder. Any document/ sheet not signed shall tantamount to rejection of Bid.
16. The salient feature of the policy is as per Annexure-II enclosed.
17. The Premium to include cost of services offered by Third Party Administrator (TPA)
for all claims settled by the insurance company. For claims prepared by insurance
company but to be reimbursed by KIOCL due to exhaustion of buffer amount, fee
per transaction for preparation of claim can be quoted.
18. During the validity of the current policy, no revision in premium shall be
considered by KIOCL on the basis of actual claim ratio or any enhancement in the
premium pointed out by any statutory or other authority.
19. Period of Contract: The period of insurance contract will be for one year from the
effective date of commencement of contract which may further be extended for a
period upto three years (additional two years) on the discretion and review of the
KIOCL, depending upon the performance.
20. In case the insurance company wants to modify the premium for the extended
period i.e., beyond one year, it has to give a notice of at least 4 months prior to the
expiry of the current contract period. The terms and conditions regarding the
premium may be reviewed in parlance with the norms applicable and enforced by
IRDA and regulatory bodies.
21. Premium shall be paid on quarterly basis. Insurance company should raise an
invoice for every quarter in advance and KIOCL would make the payment within
30 days of raising of the invoice. This invoice should be accompanied by an
electronic list (soft copy) of all the insured with their employee code number as
well as age. Adjustments to the premium for the previous quarter due to
additions/deletions should be invoiced separately. Reconciliation of the premium
paid to the insurance company would be carried out at the end of the contract
period.

22. The insurance company will have no right to reject membership of a retired
employee and their spouse as defined by KIOCL whose membership has been
approved by KIOCL.
23. Once assigned the medical insurance for any given period, the insurance company
shall have no right to unilaterally terminate the operation of the policy during this
period. In case the insurance company fails to provide the service (implying
reimbursements) to the community at large (not referring to odd individual
disputed claims) for a period of time of say two months as per the terms of this
agreement, KIOCL reserves the right to levy a penalty of 100% on all premiums
paid.
24. Bid Evaluation Process:
24.1 The financial bids must be furnished only as per Price – Bid format. All the
bids should be unconditional. Conditional bids would be summarily rejected.
24.2 KIOCL may opt for any or none of the policy based on the premium quotes
received. The evaluation of financial bids shall be done on L-1 basis among all the
companies that qualify the technical bid. Rates to be quoted are exclusive of all
applicable taxes.
24.3 Technical bids would be evaluated by a committee constituted for this
purpose. Whether a bidder qualifies or not would depend on the following eight
factors:
i. Panel of recognized hospitals including all major specialties throughout INDIA
(List of hospitals recoganised by bidder to be provided )
ii. All India coverage in terms of recognized hospitals, i.e., All Hospitals of
State/ CGHS recognized/ public undertaking/ autonomous bodies/municipal
bodies/private hospitals etc across India shall also be eligible for
reimbursement/settlement.
iii. Coverage of ailments/surgeries etc. requiring one day or more of hospitalization.
iv. Coverage of other procedures/surgeries/ailments etc that require one day or less
of hospitalization.
v. Exclusions (if any) from the reimbursable expenses.
vi. Ceilings (if any) within the insured amount under individual expense heads (like
room rent etc.) including the minimum period of pre and post hospitalization
expenses covered in the scheme. Note that the pre and post hospitalization
reimbursement shall be for a minimum of 30 and 60 days respectively.

vii. Nature of non-empanelled hospitals where expenses are reimbursable in case
of emergency treatment and ceiling if any.
viii. Any other terms & conditions not included in the factors listed above but looks
significant to the committee once technical bids are opened.
25. KIOCL Limited retains the right to seek clarification after the technical bids are
opened. A pre-bid conference is scheduled to clarify the tender document clauses.
The bidders may also be asked to make presentations. Each of the technical bids
after opening would be evaluated by a committee and marked “acceptable” or
“unacceptable” for each of the above mentioned factors (item 13.3). Only those
bids that score “acceptable” on all the factors would be considered to have
passed the technical screening. The decision of the evaluation committee in this
regard would be final.
26. Notwithstanding anything contained in this document, the acceptance of tender will
rest with KIOCL Limited and KIOCL Limited reserves full right to reject any or all
tenders without assigning any reason whatsoever.
27. The tenderers are not entitled to any compensation for the expenses incurred in
connection with the preparation and submission of tenders.
28. Currency for financial bids and payments shall be made in Indian Rupees only.
29. Action against the Tenderer
Furnishing incorrect information in the offer, failure to act according to tender
condition, non-fulfillment of any or whole of the contract may entail black listing of
Insurer in addition to taking other appropriate action against the Insurer.
30. General
31.1 Each page of the bid shall be signed by a representative legally authorized to
enter into commitment on behalf of the bidder. Tenders received without
signatures shall be summarily rejected.
31.2 Insurer/Bidder/Tenderer shall mean the company who submits the tender
and enters into contract with KIOCL Limited and shall include their executors,
administrators, and successors and permitted assignees.
31.3 It may be noted that no advisor/broker is involved in the tender.
31. TPA services being offered by the Insurance Co. should be able to provide a 24x7
telephone facility to cater to all the members.
32. Confidentiality of all KIOCL Limited information/documents to be ensured at all
times.

33. EVALUATION AND COMPARISON OF BIDS: The detailed process for BID Evaluation
is as follows:
a) First Stage : Techno-Commercial Bid Evaluation :
The techno-commercial offers received from the bidders will be
evaluated as per the tender terms and conditions of the NIT. The
Tender Committee may call the bidders/bidders representatives for
detailed techno-commercial discussions, clarifications, presentation if
required. The names of techno-commercially qualified vendors will
be intimated for participation in the online price bidding cum reverse
action and for opening of the Price bids (i.e., sealed price bid
received along with the bid).
b) Second Stage : Online Price bidding cum Reverse Auction and
Collection of online final price bid history from service provider:
As per prevailing guidelines, KIOCL shall be conducting Online Price
bidding cum Reverse Auction prior to opening of price bids. All
techno-commercially acceptable bidders those who have accepted
business rules provided by our service provider are eligible to
participate in the online price bidding cum reverse auction.
After the online price bidding cum reverse auction, KIOCL will collect
the final price comparative statement from service provider.
Note: All Techno-commercially qualified bidders are required to
submit the Process Compliance form duly singed prior to online
bidding and reverse auction to the service provider. However, please
ensure that the price-bid shall not be submitted alongwith the process
compliance form before start of auction.
c) Third Stage : Composite price comparative statement
After the receipt of final online price bid cum reverse auction
comparative statement from the service provider, the sealed price
bids of all the Techno-commercially acceptable tenderers,
irrespective of whether they have participated in the Online price
bidding cum Reverse Auction or not, shall be opened within a short
duration i.e., within 2 to 4 working days.
Based on the prices so received, through Online price bidding cum
Reverse Auction and the Sealed price bids received along with the
techno-commercial offer, a composite price comparative statement
shall be made considering the lower of the prices (i.e., sealed price
bid prices & final online prices) of all the tenderers. Placement of the
order shall be considered on the L1 price so arrived.

ALL PRICE BIDS WILL BE EVALUATED BASED ON THE TOTAL AMOUNT AT
SL.NO.1 QUOTED BY THE BIDDER AT SECTION–“B” THE PRICE BID
EXCLUDING GOODS AND SERVICE TAX (GST). ONLY LOWEST BIDDER
WOULD BE CONSIDERED FOR AWARD OF WORK.
Note:
a) During the online price bidding cum reverse auction, if no bid is received
within the specified time, then KIOCL, at its discretion may scrap the online
price bidding cum reverse auction process and open only sealed price bids
of those bidders who are techno-commercial qualified for opening of Price
bids.
b) In case of offers which contain price details / partial price details of the prices
in the Techno-Commercial bid, sealed price offer only shall be considered for
evaluation.
c) In case two or more firms quote exactly same rates in e-reverse action; In such
cases, the firm who has quoted the lowest price in the hard copy of the price bid
shall be considered as L1.
d) If no participation for online price bidding :
(c) In case if, no bidders participate in the online price bidding cum reverse
auction within the specified time & duration, only `Sealed Price Bid’ received
along with techno-commercial bid will be opened and Price bids will be
evaluated.
(d) In case of Reverse auction is conducted, where there is a response from
bidders, composite price comparative statement shall be made.
34. PENALTY FOR NON-COMPLIANCE; In the event of Non-Performance of the
contractor, KIOCL Limited reserves the right to avail the services from alternate
source at the bidder risk and cost apart from recovery / encashment of EMD/
SD/BG.
35. BREACH OF CONTRACT: KIOCL may, without prejudice to any other remedy for
breach of contract, by written notice of default sent to the contractor terminate this
contract in whole or part thereof;
a) If the contractor fails to provide any or all of the services within the period(s)
specified in the Contract, or within any extension thereof granted by the KIOCL.
b) If the contractor fails to perform any other obligation(s) under the contract.
c) In the event of KIOCL terminates the contract in whole or in part, it may procure,
upon such terms and in such manner as it deems appropriate, service similar to

those un-delivered, and the contractor shall be liable to KIOCL for any excess
costs for such similar services. However the contractor shall continue
performance of the contract to extent not terminated.
36. TERMINATION OF CONTRACT: KIOCL shall exercise the option to terminate
the contract within one month notice in the event of Non-Performance/ Poor
Performance and en-cash the EMD. KIOCL also reserves the right to review and
modify the contract at any point of time during the contract period.
37. OBLIGATION OF THE INSURANCE COMPANY: The Insurance Company shall
perform the Services and carryout their obligations with all due diligence,
efficiency, and economy in accordance with generally accepted professional.
38. CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT: Each party shall
not without prior written consent of the other party at any time divulge or disclose
to any person or use for any purpose unconnected with the implementation of the
Policy, any information concerning the policy, the services, Proprietary Material
except to their respective officers, directors, employers, agents, representatives
and professional advisors on a need to know basis or as may be required by any
law, rule, regulation or any judicial process.
This clause shall not apply to information;
i. Already in the public domain, otherwise than by breach of this Agreement.
ii. Already in the possession of the receiving party before it was received from
the other party in connection with this agreement and which was not obtained under
any obligation of confidentiality; or
iii. Obtained from a third party person who is free to divulge the same and which
was not obtained under any obligation of confidentiality.
The Insurance Company shall obtain KIOCL’s prior approval in writing wherever
necessary.
Documents prepared by the Insurance Company on the subject to be the property
of KIOCL. All plans, charts, specifications, design, reports, and other documents and
software submitted by the Insurance Company shall become and remain the
property of KIOCL, and the Insurance Company shall, not later than upon
termination or expiration of this contract, deliver all such documents and software to
KIOCL, together with a detailed inventory thereof. The Insurance Company may
retain a copy of such documents and software provided the future use of these
documents, if any, shall be subject to the prior written approval of the KIOCL.
39. OBLIGATIONS OF KIOCL: KIOCL shall provide the Insurance Company such
reasonable assistance as may be required in order to carryout the assistant.

40. FRAUD PREVENTION POLICY: Fraud Prevention Policy is being followed at
KIOCL, which provides a system for prevention / detection / reporting of any fraud.
It also forbids everyone from involvement in any fraudulent activity and that where
any fraudulent activity is suspected by anyone, the matter must be reported to the
‘Nodal Officer’ (Chief Vigilance Officer) as soon as he / she comes to know of any
fraud or suspected fraud.
41. CORRUPT OR FRAUDULENT PRACTICES: KIOCL strictly follows and expects
the highest standard of ethics during the selection and executions of such contracts.
In pursuance to this objective, the following defines, for the purposes for this
provision, the terms set forth below as follows;
42. “Collusive Practice” means a scheme or arrangement between two or more
Insurance Company, with or without the knowledge of KIOCL (prior or after
proposal submission ) designed to establish bid prices at artificial non-competitive
levels
43. “Coercive practice” means harming or threatening to harm, directly or indirectly,
persons or their property to influence their participation in a procurement process,
or affect the executive of conduct.
44. Elements of proof:
i. An arrangement between two or more parties: An “arrangement” means an
agreement, explicit or implicit, based o the conduct of the parties. The parties can
be private or public entities, companies, individuals, or public officials. A company
and its employees are considered to be one party and cannot collude with
themselves.
The arrangement can be proven directly through witness statements or
incriminating documents that record the illicit agreement, or circumstantially
through, for example, evidence showing the rotation of winning bidders in a
collusive bidding scheme, which indicates concerted action by more than one party.
ii. Designed to achieve an improper purpose: An “improper purpose” means a
purpose prohibited by law, regulation, procurement or International Financial
Institutions (IFI) Guidelines, and includes attempts as well as completed offenses.
More specific examples of an improper purpose include efforts to defeat
competition and artificially raise prices in a collusive bidding scheme.
The design to achieve an improper purpose, like the arrangement between two or
more parties, can be proven by direct evidence or inferred from the circumstances,
such as unusual bidding patterns, the exclusion of other bidders or the quotation of
unreasonably high bid prices.
iii. Including to influence improperly: Covers agreements to pay bribes or

commit other offenses, such as fraudulent or collusive practices, even if not
successful.
iv. The actions of another party: The other party can be a company, individual,
government agency or other entity.
It is further provided that KIOCL will reject the proposal and band the Insurance
Company as per KIOCL policy, if it is found that the Insurance Company of has
engaged in corrupt or fraudulent activities in competing for the contract in
question. KIOCL shall be free to take any other action also.
45. SECURITY DEPOSIT: The successful bidder has to furnish 10% of the order value
as Security Deposit as specified by way of payment of DD or by way of Bank
Guarantee from Indian Nationlised Banks/ Scheduled Banks in favour of KIOCL
Limited within 15 days from the receipt of order. The Bank Guarantee shall be
strictly as per KIOCL format. Bank Guarantee should be valid for the specified
period. Bank Guarantee issued by Co-operative Banks and Gramin Banks will not
be accepted.
The Security Deposit shall be released after successful completion and obligation
of Work Order.
46. JURIDICATION: Only courts in Bangalore shall have jurisdiction regarding the
matters relating to this Contract.
47. INTEGRITY PACT(IP) will also be part of this contract document. Copy of
Integrity Pact Agreement format is enclosed at Section – D. This agreement duly
signed needs to be submitted along with the bid documents. The following
Independent External Monitor (IEM) is nominated for the above job.

SALIENT FEATURES OF THE MEDICAL SCHEME FOR KIOCL RETIRED

Sub: “Providing Medical Facilities to the retired employees of KIOCL Limited and
their spouses under Group Insurance Mediclaim Policy”.

1.0 Objective of the Scheme: To extend the Medical Benefits to the retired
employees and their spouses.
2.0 DEFINITIONS:
2.1 HOSPITAL/NURSING HOME means any institution in India
established for indoor care and treatment of sickness and injuries and
which has been registered either as a Hospital or Nursing Home with
the local authorities and is under the Supervision of a registered and
qualified Medical Practitioner.
Note: The term “Hospital” shall not include an establishment
which is a place of rest, a place for the aged, a rehabilitation centre
for the drug addicts or alcoholic, a hotel or a similar place.
2.2 SURGICAL OPERATION means manual and operative procedures for
correction of deformities and defects, repair of injuries, diagnosis and
cure of diseases, relief of suffering and prolongation of life.
2.3 HOSPITALISATION (Inpatient):
a) Hospitalization facility can be availed from any hospital or
Registered Nursing Home in India. However, the Mediclaim
member can avail Cashless Facility under Hospitalization only in
Hospitals empanelled by the Insurance Company for the purpose.
b) When treatment such as Dialysis, Chemotherapy, Cataract,
Lithotripsy, Angiography, Radiotherapy and Microsurgery is
taken in the Hospital/Nursing Home and the insured is discharged
on the same day, the treatment will be considered to be taken
under Hospitalization Benefit Section.
2.4 REGISTERED MEDICAL PRACTIONNER: Means a person who holds
a minimum degree in allopathic medicine of a recognized institution and
is registered by Medical Council of respective state in India. The term
Registered Medical Practitioner would include Physician, Specialist
Surgeon.
2.5 QUALIFIED NURSE: Means a person who holds a certificate of
recognized Nursing Council and who is employed on recommendations
of the attending Medical Practitioners.
2.6 ANY ONE ILLNESS: Any One illness will be deemed to mean continuous
period of illness and it includes relapse within 45days from the date of last

consultation with the Doctor/Hospital/Nursing Home/Clinic. Occurrence
of same illness after lapse of 45days as stated above will be considered as
fresh illness for the purpose of the mediclaim policy.
3.0 TYPES OF RISKS COVERED :
Hospitalization, Pre & Post hospitalization, pre-existing diseases will be
covered from the day one of members joining initially and also joining later
date, with floater facility to the member & spouse.
4.0 SCHEME:
The Scheme will be managed by a Trust with the approval of CMD
The beneficiaries will be covered through Group Insurance Mediclaim Policy
operated through General Insurance Company [Public/Private Sector] with a
Third Party Administrator (TPA) registered with IRDA. The insurance agency
will be selected through transparent tendering process.
5.0 PERIOD OF COVERAGE:
The period of coverage of the policy is one year with effect from xx/xx/2018
with a provision to extend for a period(s) of six months on satisfactory
performace.
6.0 POLICY COVERAGE:
The Policy covers reimbursement of Hospitalization charges/expenses within
the prescribed limits under the policy for illness/diseases contracted or injury
sustained by the insured person. In the event of any claim becoming
admissible under the policy, the Insurance Company will pay to the insured
member/Corporate Hospital/any other Hospital (as mutually agreed) in which
the insured member is admitted, the amount of such expenses as reasonably
and necessarily incurred anywhere in India, but not exceeding, in any one
period of insurance, the amount under the respective category in the
BENEFITS mentioned at Clause-9. The Policy coverage will be subject to
review and modifications, every year.
Thus the policy covers the following:
a) Hospitalization :
In-patient Benefits: The Insurance Scheme shall pay all expenses in
course of medical treatment availed of by the beneficiaries in an
empanelled Hospitals/ Nursing Homes (24 Hrs. admission clause)

within the country, arising out of either illness / disease / injury and or
sickness. This also includes daycare procedures.
Day care Procedure: Given the advances made in the treatment
techniques, many medical treatments, formerly requiring
hospitalization, can now be treated on a day care basis. The scheme
would also provide for day care facilities (less than 24 hours
hospitalization) for such identified procedures.
Note: In the case of organ transplant, the expenses incurred for the
donor are also payable under the scheme.
(c) Pre & Post Hospitalization Benefit:
Benefit up to 30 days Pre Hospitalization & up to 60 days Post
Hospitalization respectively which would cover all expenses related to
treatment of sickness for which hospitalization was done.
c) Treatment of pre- existing diseases :
All diseases under the scheme shall be covered from day one. A person
suffering from any disease prior to inception of the policy shall also be
covered.
7.0 MEDICAL/ HOSPITALISATION BENEFIT
Sum assured would be Rs.4,00,000/- per family (i.e. Rs.2,00,000/- per
person)with floater facility.
8.0 Medical Expense Limit:
Treatment expenses of actual charges upto Rs.2,00,000/- per member and
Rs.4,00,000/- per family (with clubbing facility between employee & spouse)
per policy period incurred towards following:
8.1 Hospitalization(IP): Room rent, IC Unit, Nursing expenses, Surgeon &
Anesthesia charges, Consultation fee, Diagnostic investigations
(Laboratory & Radiological), Cost of blood, Blood transfusion,
Oxygen/Gas, Operation theatre charges, Surgical appliances/implants,
Medicines & Drugs, Dialysis, Chemotherapy, Radio-therapy, Cost of
pace maker, Artificial limbs and similar other expenses is permissible.
Claim under hospitalization benefit shall be admissible only when the
patient is admitted in a hospital for a minimum period of 24 hours.
8.2 Day Care Procedure : When treatment/surgeries such as Dialysis,

Any other surgeries / procedures agreed to by KIOCL Ltd., / TPA
requiring less than 24 hours hospitalization will also be considered
under Hospitalization.
8.3 Pre-hospitalization: Relevant medical expenses incurred during the
policy period upto 30 days prior to the hospitalization specifically for
that particular disease/illness, for which hospitalization has taken place,
shall be considered as part of claim under hospitalization.
However, during pre-hospitalization period, medicines prescribed
under regular treatment for diseases/illness not related to the said
hospitalization, shall not be reimbursable under hospitalization claims.
8.4 Post-hospitalization: Relevant medical expenses incurred during the
policy period, upto 60 days after the hospitalization, specifically for that
particular disease/illness for which hospitalization had taken place,
shall be considered as part of claim under hospitalization.
However, during post-hospitalization period, medicines prescribed
under regular treatment for diseases/illness not related to the said
hospitalization, shall not be reimbursable under hospitalization claims.
8.5 Cashless: Insurance Company shall offer Cashless Service to the
Insured, where treatment can be obtained without payment, subject to
the terms and conditions of the policy, from empanelled hospitals.
Insurance Company to settle the hospital bills directly on behalf of
Insured.
8.6 In cases where the beneficiary is admitted in a hospital during the
current policy period but is discharged after the end of the policy
period, the claim has to be paid by the insurance company under
operating policy in which beneficiary was admitted.

MANDATORY CLAIM INTIMATION / SUBMISSIONS:-
11.1 Claim Intimation for Hospitalization treatment on Cashless/
Reimbursement basis.
a) The Mediclaim member shall be required to inform/intimate, in writing,
the Insurance Company at least 48 Hrs prior to any elective/planned
Hospitalization/ Admission.
b) In case of Emergency Admission/Hospitalization, the Insurance
Company to be informed by the Mediclaim member in writing
within 24 hrs of such hospitalization.
c) The Claim Intimation by the Mediclaim member is mandatory for both
Cashless & Reimbursement claims.
d) Claim Intimation can be sent via Letter/Email/fax / personally
delivered at the office of the Insurance Company.
The above must be adhered to, so that the claims are not rejected.
11.2 Claim Submission for Hospitalization treatment on Cashless/
Reimbursement basis
a) The reimbursement claims with respect to IP/Hospitalization to be
submitted to the Insurance Company within 30 days from the date of
discharge from the Hospital.
b) The reimbursement claims pertaining to Post Hospitalization (IP
treatment), to be submitted to the Insurance Company within 30 days
after the completion of permissible post Hospitalization treatment
period of 60 days.
The above must be adhered to, so that the claims are not rejected.
12.0 CAPPINGS IN MEDICLAIM SCHEME:
Capping in the area of room rent charges, the Implants/Stents used
under various procedures like cataract surgery, coronary angioplasty
and joint related disorder requiring knee/hip joint replacement
excluding the associated procedure charges under the Scheme will be
as given below:
12.1 Maximum entitlement of room to be restricted to:
• For Metro Cities (Hyderabad, NCR, Bengaluru, Mumbai, Chennai,
Kolkata) – Ceiling of 2% of the sum insured per member or a single
AC non-deluxe room per day, whichever is lower,

• For non-metro cities which are State capitals – Ceiling of 1.5% of
the sum insured per member or a single AC non-deluxe room per
day, whichever is lower,
• For rest of the country – Ceiling of 1% of the sum insured per
member or a single AC non deluxe room per day, whichever is
lower,
In case a member goes for a higher category room, the consultation
charges/investigationcharges/proceduralCharges/surgical
Charges/package rates etc. shall be limited to ctual or as per their
corresponding rates for single AC non-deluxe room of the concerned
hospital, whichever is lower.
12.2 Ceiling rates for different types of Intra Ocular Lens (IOL) Implants to
be as per actual or Rs.10,000/- whichever is lower and shall be
reimbursable in addition to the package rates for cataract surgery
procedure. It should be mandatory for the operating surgeon of all
hospitals to attach the empty lOL sticker, bearing the signature and
stamp of the operating surgeon on it along with the bill in support of the
type of IOL used containing its batch number. In case the same is not
followed, the claim with regards to IOL implant may be rejected.
12.3 Ceiling rates for different types of Coronary Stents to be as per the
actual or the rates as mentioned below, whichever is lower.

12.4 A maximum of three Coronary Stents shall be permitted on the advice
of the specialist, of which not more than two shall be of Drug Eluting
Stents (DES). However, DES shall be permitted only for patients where
restenosis will involve high risk to patient’s life i.e
a) Osteal/Proximal LAD lesions;

b) Stenosis of a coronary artery, which is giving collaterals to
another blocked artery, thus supplying a large area of
myocardium; and,
c) Stenting of restenotic lesions after previous angioplasty.
It is essential for the hospital to quote the batch number when a
Coronary Stent of any type (ordinary metal/Drug Eluting Stent) is
implanted in the case of a beneficiary. In addition to this, the outer
pouch of the Stent packet along with the sticker on it on which the
details of the stent are printed shall also be enclosed with the medical
bill for claiming reimbursement In case hospital has not given the batch
number and/or outer pouch of the stents in a particular case, the claim
with regards to the implant, may be rejected.
12.5 Ceiling rates for different types of Knee and Hips implants, to be as per
the actual rates or the rates as mentioned below, whichever is lower.
i. Maximum ceiling for Knee implant to be Rs.75,000/-
(including cost of Bone cement)
ii. Maximum ceiling for Hip implant to be Rs.75,000/-
(including cost of Bone cement)
12.6 In addition to the aforementioned cappings on Implants / Stents,
cappings on procedures/packages as given below, shall also be a
applicable:

Medical Treatment availed in other than empanelled / approved
hospitals of Insurance Company.
13.0 IMPORTANT EXCLUSIONS:
Under Medical Scheme for Retired Employees, the Insurance Company shall not be
liable to make any payment in respect of any expenses whatsoever incurred by the insured
person in connection with:

i) Any Disease / complication caused due to alcohol intake.
ii) Any disease / injury caused by War / Nuclear Weapons / Radiations.
iii) Circumcision, cosmetic or Plastic Surgery unless necessitated by an
accident or as a part of any disease / illness.
iv) All health check – ups, routine eye examinations and cost of glasses
and contact lenses.
v) Cost of dentures, hearing aid, spectacles etc.
vi) Convalescence, general debility, “Run-down” condition or rest cure,
congenital diseases or defects, sterility, venereal diseases, intentional
self injury and use of intoxicating drugs.
vii) The Hospitalization charges in which Radiological / Laboratory
investigations/ other diagnostic studies have been carried out which
are not consistent with or incidental to the diagnosis of treatment of
positive existence or presence of any ailment, sickness or injury for
which confinement at any Hospital / Nursing Home, has taken place.
viii) Expenses on vitamins and tonics unless forming part of treatment for
injury or disease as certified by the attending physician.
ix) Treatment traceable to pregnancy/ child birth, voluntary medical
termination of pregnancy during first 12 weeks of conception.
x) Naturopathy Treatment.
xi) External and/ or durable Medical/ Non-Medical equipment of any kind
used for diagnosis and/ or treatment including CPAP, CAPD, Infusion
pump etc. Ambulatory devices, i.e. walker, crutches, belts, collars,
caps, splints, slings, braces, stockings etc., of any kind. Diabetic foot
wear, Glucometer / Thermometer and similar related items etc., and
also any medical equipment which subsequently used at home etc.
xii) Any kind of service charges, attendant food charges, surcharges,
admission fees/ registration charges & Non-Medical expenses levied
by the Hospital.
xiii) Treatment for age related Macular degeneration with Injection Avastin/
Lucentis / Macugen.
xiv) Cytotron Therapy
xv) Ozone Therapy
xvi) Rejuvenation Therapy
xvii) Enhanced External Counter Pulsation Therapy (EECP)
xviii) Any unproven therapy
The above exclusions are only indicative and not exhaustive. However,
exclusions will be discussed with the Insurance and additions/ deletions will
be made while finalizing the Policy.

14.0 PROCEDURE FOR SETTLEMENT OF CLAIMS:
On receipt of complete Claim Form along with relevant documents &
discharge voucher, the insurance company shall process the claim. If the
documents are found to be in order and other relevant information is
complete, the claim is to be settled and the payment is to be made through
RTGS/NEFT as early as possible but within 15 days of receipt of all claim
documents mentioned by the insurance company.
16.0 15.0 It is expected that Insurance Company will have arrangements with
an extensive network of reputed Hospitals all across the country for treatment
with cashless facility.
17.0 The number of retired employees and their spouse, may change over
time and thus the quotation should clearly indicate the premium for different
age groups.
18.0 For the new member who may join the Scheme from time to time, identical
coverage has to be made available from the day one of joining though the premium paid may be based on the fractional period involved.
19.0 In case the insured obtains treatment from a non-network hospital during
emergency, the claim shall be reimbursed as per terms of the contract.

ANNEXURE – (A) BUSINESS RULES FOR ONLINE BIDDING CUM e-REVERSE AUCTION
GENERAL TERMS AND CONDITIONS:
1) Against this Enquiry for the subject item/system with detailed scope of supply as
per our specification, KIOCL Limited, hereinafter referred to as KIOCL, may resort
to “REVERSE AUCTION PROCEDURE” i.e. ON LINE BIDDING CUM e-REVERSE
AUCTION on INTERNET.
2) For the proposed reverse auction, technically and commercially acceptable
bidders only shall be eligible to participate.
3) KIOCL will engage the services of a service provider who will provide all
necessary training and assistance before commencement of on line bidding on
Internet.
4) Business rules like event date, time, bid decrement etc. also will be communicated
through service provider.
5) Vendors have to fax the process compliance form in the prescribed format provide
by KIOCL, before start of online bidding cum e-Reverse auction. Without this the
vendor will not be eligible to participate in the event.
6) Online bidding cum e-Reverse auction will be conducted on schedule date & time.
7) At the end of reverse auction event, the lowest bidder value will be known on the
network.
8) The lowest bidder has to fax the duly signed filled-in offered price in the
prescribed format as provided on case-to-case basis to KIOCL through service
provider within 24 hours of action without fail.
BUSINESS RULE FOR FINALIZATION OF THE PROCUREMENT:
KIOCL shall finalize the procurement of the item against this Tender through reverse
auction mode. KIOCL has made arrangement with M/s BOB eProcure Solutions Pvt.
Ltd., (hereinafter referred to as M/s BOB eProcure ) who shall be KIOCL’s authorized
service provider for the same. Please go through the guidelines given below and
submit your acceptance to the same along with your Techno Commercial Bid.
1. Computerized Online bidding cum e-reverse auction shall be conducted by KIOCL,
on pre-specified date, while the vendors shall be quoting from their own offices/
place of their choice. Internet connectivity shall have to be ensured by vendors
themselves. In extreme case of failure of Internet connectivity, (due to any reason
whatsoever may be) it is the bidders’ responsibility / decision to send fax
communication immediately to M/s. BOB eProcure Solutions Pvt. Ltd., Furnishing
the price the bidder wants to bid online with a request to the service provider to
upload the faxed price on line so that the service provider will up load that price on
line on behalf of the Bidder. It shall be noted clearly that the concerned bidder
communicating this price to service provider has to solely ensure that the fax
message is received by the service provider in a readable / legible form and also
the Bidder should simultaneously check up with service provider about the clear
receipt of the price faxed. It shall also be clearly understood that the bidder shall
be at liberty to send such fax communications of prices to be up loaded by the
service provider only within the closure of Bid time and under no circumstance it
shall be allowed beyond the closure of Bid time / reverse auction. It shall also be
noted that the service provider should be given a reasonable required time by the

bidders, to upload such prices online and if such required time is not available at
the disposal of the Service provider at the time of receipt of the fax message from
the bidders, the service provider will not be uploading the prices and either KIOCL
or the service provider are not responsible for this unforeseen circumstances. In
order to ward-off such contingent situation bidders are requested to make all the
necessary arrangements/ alternatives whatever required so that they are able to
circumvent such situation and still be able to participate in the reverse auction
successfully. Failure of power at the premises of vendors during the Reverse
auction cannot be the cause for not participating in the reverse auction. On account
of this, the time for the auction cannot be extended and neither KIOCL nor M/s. BOB
eProcure Solutions Pvt. Ltd., is responsible for such eventualities.
2. M/s. BOB eProcure Solutions Pvt. Ltd., shall arrange to train your nominated
person(s), without any cost to you. They shall also explain you, all the Rules related
to the online bidding cum e-reverse auction to be adopted along with tender. You
are required to give your compliance on it before start of bid process.
3. BIDDING CURRENCY in INDIAN RUPEES (INR), UNIT OF MEASUREMENT in
LUMPSUM.
4. BID PRICE: in INDIAN RUPEES (INR).
5. The technical & commercial terms are as per KIOCL Tender No.:
KIOCL/TS/MED.INS – RTD.EMP/F-409/215, Date: 04/10/2018 6. VALIDITY OF BIDS: The Bid price shall be firm specified in the tender document
and shall not be subjected any change whatsoever.
7. The detailed process for online bidding cum e-reverse auction is explained
below:
The online bidding cum e-reverse auction event will be conducted in
three stages :-
STAGE -I : Online Bidding
At scheduled time, the screen for On-line bidding will be launched wherein
the techno-commercially qualified bidders will be allowed to submit their
price through online. The bidders would be required to quote price only on the basis of price terms
indicated in their sealed price bid submitted along with techno-commercial bid.
STAGE –II : Start Bid Price for e- Reverse auction After the expiry of the time for submission of Online bidding, the lowest Price will
be frozen by the system as the Start Bid Price (SBP) for Stage – III on line bidding.
Stage – III : e-Reverse Auction
a. In Stage III, computer screen will display Start Bid Price and which shall
be visible to the all vendors participated in the initial online bidding. You
will be required to start bidding after announcement of Start Bid Price
and decrement amount. Also, please note that the start price of an item in
e-reverse auction is open to all the participating bidders. Any bidder can
start bidding, in the e-reverse auction, from the start bid price itself. If
the start bid price is your own price, you still need to bid in the e-
reverse auction. Also, please note that the first online bid that comes in
the system during the e-reverse auction should be lesser than the
auction's start bid price by one decrement or should be lesser than the
auction's start bid price by multiples of decrement and so on.

Those vendors who have participated in the Stage –I Online Bidding
will only be eligible to participate in the subsequent e- Reverse
Auction.
b. Stage –I online bidding will be for 30 minutes and Online e-Reverse (no
ties) Auction shall be for a period of one hour. If a bidder places a bid in
the last 10 minutes of closing of the e-Reverse Auction and if that bid gets
accepted, then the auction’s duration shall get extended automatically for
10 minutes, for the particular Event/Lot. Please note that the auto-
extension will take place only if a bid comes in those last 10 minutes and
if that bid gets accepted. If the bid does not get accepted, the auto-
extension will not take place even if that bid might have come in the last
10 minutes. In case, there is no bid in the last 10 minutes of closing of e-
Reverse Auction, the auction shall get closed automatically without any
extension. However, the bidders are advised not to wait till the last
minute or last few seconds to enter their bid during the auto-extension
period to avoid complications related with internet connectivity, network
problems, system crash down, power failure, etc.
c. The weightage factor (multiplication factor), bid decrement amount shall
be specified by KIOCL before start of online bidding. The bidder can bid
lower than the start bid price in e-reverse auction by a bid decrement or
multiple of Bid decrement.
d. Any commercial loading shall be intimated to bidders in advance and it
shall be added to price during Stage –I online bidding. Only for price
evaluation & Comparison of bids purpose, commercial loading if any,
shall be added to the quoted price of respective bidder. However, while
ordering these commercial loadings will not be considered.
e. Bidder will be able to view the following on your screen along with the
necessary fields in the English Reverse (no ties) {Reverse Auction}:
a) Leading Bid in the Auction (only total price)
b) Bid Placed by you
c) Your Own Rank
d) Start Bid Price & Bid Decrement value.
f. After the completion of e- Reverse (no ties), the Closing Price (CP) shall
be available.
g. At the end of the e-Reverse Auction, Service Provider will evaluate all the
bids (final price) submitted and final price comparative statement will be
forwarded to KIOCL for further processing.
h. The bidders who have participated in the event, shall be required to
submit the final prices, quoted during the e-Reverse (no ties) in
Annexure D Format after the completion of Auction to Service Provider /
KIOCL duly signed and stamped as token of acceptance without any new
condition other than those already agreed to before start of auction.
i. Final price received from bidder will be taken as an offer to supply as
per terms and conditions of tender document. Bids once made by the
bidders, cannot be cancelled / withdrawn.
j. During the Online bidding cum e-reverse auction, if no bid is received in

the auction system/website within the specified time duration, then
KIOCL, at its discretion, may scrap the online price bidding cum e-
reverse auction process and open only sealed price bids of all
technically and commercially acceptable bidders submitted earlier
along with techno-commercial bids.
k. KIOCL shall be at liberty to cancel the reverse auction process / tender at
any time, before ordering, without assigning any reason.
KIOCL’s decision on award of Contract shall be final and binding on all
the Bidders. KIOCL shall be at liberty to cancel the reverse auction
process / tender at any time, before ordering, without assigning any
reason. KIOCL shall not have any liability to bidders for any interruption
or delay in access to the site irrespective of the cause. Other terms and
conditions shall be as per your techno-commercial offers and other
correspondences till date.
Bidders are required to submit their acceptance to the terms/ conditions/
modality given above before participating in the reverse auction.

ANNEXURE- (B) TERMS & CONDITIONS OF ONLINE BIDDING CUM e-REVERSE AUCTION
1) LOGIN NAME & PASSWORD: Each Bidder is assigned a Unique User Name &
Password by M/s. BOB eProcure Solutions Pvt. Ltd., The Bidders are requested to
change the Password after the receipt of initial Password from M/s. BOB eProcure
Solutions Pvt. Ltd. All bids made from the Login ID given to the bidder will be
deemed to have been made by the bidder.
2) BIDS PLACED BY BIDDER: The bid of the bidder will be taken to be an offer to
execute the work. Bids once made by the bidder cannot be cancelled. The bidder
is bound to execute the work the as mentioned above at the price that they bid.
Should any bidder back out and not make the supplies at per the rates quoted,
KIOCL and / or M/s. BOB eProcure Solutions Pvt. Ltd., shall take action as
appropriate.
3) LOWEST BID OF A BIDDER: In case the bidder submits more than one bid, the
lowest bid will be considered as the bidder’s final offer to execute the work
4) AUCTION TYPE: 1). English Reverse No Ties
5) DURATION OF AUCTION: The duration of Reverse Auction will be for one hour. If a
bidder places a bid in the last 10 minutes of closing of the e-Reverse Auction and if
that bid gets accepted, then the auction’s duration shall get extended automatically
for 10 minutes, for the particular Event/Lot. Please note that the auto-extension will
take place only if a bid comes in those last 10 minutes and if that bid gets accepted.
If the bid does not get accepted, the auto-extension will not take place even if that
bid might have come in the last 10 minutes. In case, there is no bid in the last 10
minutes of closing of e-Reverse Auction, the auction shall get closed automatically
without any extension. However, the bidders are advised not to wait till the last

avoid complications related with internet connectivity, network problems, system

6) BID DECREMENT: The minimum Bid decrement shall be available to the Bidders at
the start of the auction. The bidder can view the same by clicking on the Item
details at the start of the auction. The bidder can bid lower than the Lowest Bid in
the auction by a decrement or multiple of the Bid decrement.
7) VISIBLITY TO BIDDER: The Bidder shall be able to view the following on his screen
along with the necessary fields during English Reverse – No ties Auction:

8) PROXY BIDS: Proxy bidding feature is a pro-supplier feature to safe guard the
supplier’s interest of any Internet failure or to avoid last minute rush. The Proxy
feature allows Bidders to place an automated bid against other Bidders in an
auction and bid without having to enter a new amount each time a competing
Bidder submits a new offer.
The bid amount that a Bidder enters is the minimum that the Bidder is willing to
offer. Here the software bids on behalf of the supplier.
The proxy amount is the minimum amount that the Bidder is willing to offer. During
the course of bidding, the Bidder cannot delete or change the amount of a Proxy
Bid.

Bids are submitted in decrements (decreasing bid amounts). The application
automates proxy bidding by processing proxy bids automatically, according to the
decrement that the auction originator originally established when creating the
auction, submitting offers to the next bid decrement each time a competing Bidder
bids, regardless if competing bids are submitted as proxy or standard bids.
This feature can be used only once during a particular Reverse Auction and only
after the L1 rate is equal to or less than the minimum bid amount that the bidder has
put in the system will he get the option to manually bid for the same. In no case
during the bidding till the L1 rate or less is not reached as equivalent to the
minimum bid amount offered by the bidder, will the bidder get the option to
manually bid for the same.
GENERAL TERMS & CONDITIONS: Bidders are required to read the “Terms and
Conditions” section of the auction website (https://eauctions.bobeprocure.in)
using the Login IDs and passwords given to them.
OTHER TERMS & CONDITIONS:
1) The Bidder shall not involve himself or any of his representatives in Price
manipulation of any kind directly or indirectly by communicating with other
suppliers / bidders.
2) The Bidder shall not divulge either his Bids or any other exclusive details of
KIOCL to any other party.
3) KIOCL’s decision on award of Contract shall be final and binding on all the
Bidders.
4) KIOCL along with M/s. BOB eProcure Solutions Pvt. Ltd., can decide to extend,
reschedule or cancel any Auction. Any changes made by KIOCL and / or M/s.
BOB eProcure Solutions Pvt. Ltd., after the first posting will have to be accepted
if the Bidder continues to access the site after that time.
5) M/s. BOB eProcure Solutions Pvt. Ltd., shall not have any liability to Bidders for
any interruption or delay in access to the site irrespective of the cause.
6) M/s. BOB eProcure Solutions Pvt. Ltd., is not responsible for any damages,
including damages that result from, but are not limited to negligence.
M/s. BOB eProcure Solutions Pvt. Ltd., will not be held responsible for
consequential damages, including but not limited to systems problems,
inability to use the system, loss of electronic information etc.
Note
All the Bidders are required to submit the Process Compliance Form duly signed to M/s.
BOB eProcure Solutions Pvt. Ltd., before start of online bidding cum e-reverse auction.
After the receipt of the Process Compliance form, our authorized service provider will
provide the modalities to conduct online bidding cum e-reverse auction and Log in ID &

INTEGRITY PACT
No: KIOCL/TS/MED-INS/F-343/215 Date: xx/xx/2017
Sub: “Providing Medical Facilities to the regular employees of KIOCL Limited and
their and spouses under Group Insurance Mediclaim Policy”.

THIS AGREEMENT is entered into between the following Parties:
KIOCL Limited (KIOCL) hereinafter referred to as “The Principal”,
and
< Name of the Party > hereinafter referred to as “The Tenderer/ Contractor”
Preamble
The Principal intends to award a contract, following its laid-down organizational
procedures, for “Providing Medical Facilities to the retired employees of KIOCL
Limited and their spouses under Group Insurance Mediclaim Policy”. The Principal
values full compliance with all relevant laws and regulations and the principles of
economical use of resources and of fairness and transparency in its relations with its
Tenderer(s) and /or Contractor(s).
In order to achieve these goals, the Principal cooperates with the renowned
international Non-Governmental Organization, "Transparency International" (TI).
Following TI's national and international experience, the Principal will appoint an
External Independent Monitor (EIM) who will monitor the tender process and the
execution of the Contract for compliance with the principles mentioned below.
IT IS AGREED AS FOLLOWS:
Definitions:
a) “Principal” means KIOCL Limited (KIOCL), incorporated under the Companies
Act 1956, having their registered office at Koramangala, Bengaluru – 560 034 and
includes their successors.
b) “Tenderer” means the person, firm or company submitting a tender against the
Invitation to Tender and includes his/ its/ their staff, consultants, parent and
associate and subsidiary companies, agents, consortium and joint venture partners,
sub-contractors and suppliers, heirs, executors, administrators, representatives,
successors.
c) “Contractor” means the Tenderer whose tender has been accepted by the
principal or Company whose tender has been accepted and shall be deemed to

include his/ its/ their successors, representatives, heirs, executors and
administrators unless excluded by the Contract.
d) "External Independent Monitor" means a person, hereinafter referred to as
EIM, appointed, in accordance with clause 8.a below, to verify compliance with this
agreement.
e) "Party" means a signatory to this agreement.
f) “Contract” means the contract entered into between the Principal and
Tenderer/Contractor for the execution of work mentioned in the preamble above.
Commitments of the Parties
Section 1 - Commitments of the Principal:-
The Principal commits itself to take all measures necessary to prevent corruption
(inducement to violate duty assigned to its employees) and to observe the following
principles;
i. No employee of the Principal, personally or through family members or
any third person, will in connection with all stages of tendering or the execution of
Contract, demand or take a promise, or accept, for him/herself or any third person,
any material or non-material benefit which he/she is not legally entitled to;
ii. The Principal will, during the tender process, treat all Tenderers with
equity and reason. The Principal will in particular, before and during the tender
process, provide to all Tenderers the same information and will not provide to any
Tenderer any information/ clarification through which the Tenderer could obtain an
advantage in relation to the tender process or the Contract execution;
iii. The Principal will not take, directly or indirectly, any steps, which could
unduly influence the functioning of EIM.
iv. If the Principal obtains information on the conduct of any of its employees
which is a criminal offence under the relevant Anti-corruption Laws of India/
guidelines of Govt. / guidelines of CVC/ guidelines of Principal, or if there be a
substantive suspicion in this regard, the Principal will inform its Vigilance Office and
in addition can initiate disciplinary actions.
v. If the Principal obtains information of conduct of a bidder, contractor or
sub-contractor or of an employee or a representative or an associate of a bidder,
contractor or sub-contractor, which constitutes corruption, or if the Principal has a
substantive suspicion in this regard, the Principal will inform the Vigilance
Department of the principal.

Section 2 - Commitments of the Tenderer(s)/Contractor(s):-
2.1 The Tenderer /Contractor commits himself to take all measures necessary to
prevent corruption. He commits himself to observe the following principles during
his participation in the tender process and during the Contract execution;
i. The Tenderer / Contractor will not directly or through any other
person(s) or firm, offer, promise or give to the Principal, or to any of the Principal’s
employees involved in the tender process or the execution of the Contract or to any
third person any material or immaterial benefit which he / she is not legally entitled
to in order to obtain, in exchange, an advantage during the tender process or to
vitiate the Principal’s tender process or the execution of the Contract.
ii. The Tenderer / Contractor will not enter with other Tenderers into any
illegal agreement or understanding, whether formal or informal. This applies in
particular to prices, specifications, certifications, subsidiary contracts, submission or
non-submission of bids or actions to restrict competitiveness or to vitiate the
Principal’s tender process or the execution of the Contract.
iii. The Tenderer / Contractor will not commit any criminal offence under
the relevant Anti-corruption Laws of India; further, the Tenderer / Contractor will not
use improperly, for purposes of competition or personal gain, or pass on to others,
any information provided by the Principal as part of the business relationship,
regarding plans, technical proposals and business details, including information
contained or transmitted electronically.
iv. The Tenderer / Contractor of foreign origin shall disclose the name and
address of the agents/representatives in India, if any. Similarly, the Tenderer /
Contractor of Indian Nationality shall furnish the name and address of the foreign
principals, if any.
v. The Tenderer / Contractor will, when presenting his bid, disclose any
and all payments he has made, is committed to or intends to make to agents, brokers
or any other intermediaries in connection with the award of the Contract.
vi. The Tenderer/ Contractor will not take, directly or indirectly, any steps,
which could unduly influence the functioning of EIM.
vii. The Tenderer / Contractor will not instigate third persons to commit
offences outlined above or be an accessory to such offences.
2.2 Obligation to Ensure Compliance
a). Each Party will take all reasonable steps to ensure that the provisions of this
agreement which are binding on it are complied with by all of its staff, consultants,

parent and associated and subsidiary companies, agents, consortium and joint
venture partners, sub-contractors and suppliers.
b). Each Party will appoint an appropriate senior manager with responsibility for
ensuring that the provisions of this agreement are complied with.
Section 3 - Disqualification from tender process and exclusion from future
contracts
a). If the Tenderer, before award of Contract, has committed a transgression through
violation of any of the terms under section 2 above or in any other form such as to
put his reliability or credibility as Tenderer into question, the Principal is entitled to
disqualify the Tenderer from the tender process or to terminate the Contract, if
already signed, for such reason.
b). If the Tenderer / Contractor has committed a transgression through a violation of
any of the terms under section 2 above or in any other form such as to put his
reliability or credibility into question, the Principal is entitled also to exclude the
Tenderer / Contractor from future Contract award processes. The imposition and
duration of the exclusion will be determined by the severity of the transgression.
The severity will be determined by the circumstances of the case, in particular the
number of transgressions, the position of the transgressors within the company
hierarchy of the Tenderer /Contractor and the amount of the damage. The exclusion
will be imposed for a minimum of six (6) months and a maximum of three (3) years.
c). If the Tenderer / Contractor can prove that he has restored/ recouped the
damage caused by him and has installed a suitable corruption prevention system,
the Principal may revoke the exclusion before the expiry of the period of such
exclusion.
d). A transgression is considered to have occurred if, in light of all available
evidence, a reasonable doubt is possible.
Section 4 - Compensation for Damages
a). If the Principal has disqualified the Tenderer from the tender process prior to the
award according to Section 3 above, the Earnest Money Deposit (EMD) furnished, if
any, along with the offer as per the terms of the Invitation to Tender (ITT) shall be
forfeited. This is apart from the disqualification of the Tenderer as may be imposed
by the Principal as brought out at section 3 above.
b). If the Principal has terminated the Contract according to Section 3 above, or if
the Principal is entitled to terminate the Contract according to section 3 above, the
EMD/Security Deposit furnished by the contractor, if any, as per the terms of the
ITT/Contract shall be forfeited. This is apart from the disqualification of the
Tenderer, as may be imposed by the Principal, as brought out at section 3 above.

Section 5 - Previous Transgression
a). The Tenderer hereby declares that no previous transgressions with respect to
provisions of Integrity pact occurred in the last three (3) years with any other
Company in any country or with any other Public Sector Enterprise in India and, as
such, there is no case for his exclusion from the tender process.
b). The Tenderer hereby agrees that if he has made/makes incorrect statement in
regard to this aspect, he can be disqualified from the tender process or the Contract,
if already awarded, can be terminated for that reason.
Section 6 - Equal treatment of all Tenderers/Contractors/ Sub-contractors
a) The Tenderer / Contractor undertakes to obtain from all sub-contractors a
commitment consistent with this integrity pact, and to submit it to the Principal at the
time of seeking approval of the principal for appointment of sub-contractors.
b) The principal will enter into agreements with identical conditions as that of this
Integrity Pact, with all Tenderers / Contractors
c) It is essential for all tenderes / contractors to sign the Integrity Pact with the
company if the value of the transaction is more than 50 lakhs. The principal will
disqualify from the tender process all tenderers/ contractors who do not sign this
Pact or violate its provisions.
Section7 - Breaches of this Agreement
a). In the event that any Party believes that there is prima facie evidence that there
has been a failure by a Party to comply with any provision of this agreement, such
Party will take the following actions:
i. It will report full details of such suspected non-compliance to the EIM and CVO
with copies to the Chief Executives of each of the Parties.
ii. If any such non-compliance has been carried out, or assisted by an individual
who is a member of a professional association, and such non-compliance may
constitute a breach of any disciplinary code of such professional association, such
Party may report such matter to the professional association.
iii. If such non-compliance may constitute a criminal offence, either in the country in
which the Contract is being carried out, or in the home country of the organization or
individual which carried out or assisted such non-compliance, such Party may report
such matter to the appropriate criminal authorities in those territories.
b). In the event that any Party breaches any provision of this agreement, the other
Parties may, in addition to the rights under this agreement, claim damages against
the defaulting Party, and exercise any other rights they may have against the
defaulting Party.
c). The Parties will take appropriate disciplinary or enforcement action against any

of their staff, consultants, parent and associated and subsidiary companies, agents,
consortium and joint venture partners, sub-contractors and suppliers who cause or
assist in any breach of any provision of this agreement.
Section 8 - External Independent Monitor/Monitors (EIM)
a). The Principal, will appoint a competent and credible EIM/Number of EIMs for
the duration of this agreement from the panel of EIMs appointed in consultation with
the Central Vigilance Commission (CVC).
b). The EIM will assess, on an independent and objective basis, the extent to which
the Parties comply with their obligations under this agreement.
c). The Parties will, after submission of a tender; after the award of any contract to
them and for the duration of the contract:
i. allow the EIM unrestricted access to all books, records and staff relevant to such
tender;
ii. ensure that the EIM has unrestricted access to the relevant books, records and
staff of their consultants, parent and associated and subsidiary companies, agents,
consortium and joint venture partners, sub-contractors and suppliers.
d). In the event that the EIM believes that there is prima facie evidence that there is a
violation of this agreement, the EIM will report the same to CEO of the Principal.
e). Upon receipt of a report from the EIM, CEO of the Principal and the Board will
discuss and try to agree upon the appropriate action to be taken in line with sections
3,4 & 5 above to deal with such violation.
f). The EIM has no power to inquire any of the Parties to undertake any actions. No
statement by the EIM, whether oral or in writing, is binding on any of the parties.
Any Party in legal or dispute resolution proceedings can use all reports and other
documentation issued by the EIM. The EIM can be called as a witness in legal or
dispute resolution proceedings.
g). Fee and /or any other incidentals including traveling/conveyance expenses, if
any, payable to EIM shall be borne by the Principal.
h). The EIM can only be removed from his appointment, if:
1. all parties agree in writing to remove him: or
2. he resigns: or
3. he is removed from his office by order of a Court having appropriate
jurisdiction.
i) If the EIM is removed from his appointment, the Principal will appoint another
EIM as per section 8.a above for the remaining duration of this agreement.

Section 9 - Duration of Agreement
a). This agreement comes into force as soon as it has been signed by all the Parties
have signed it. It cannot be terminated or varied except by the written agreement of
all the Parties.
b). This agreement will expire after 12 months from the date of last payment under
the respective Contract for the Contractor, and for all other Tenderers 6 months after
the award of the Contract.
Section 10 - Other Provisions
a). The Principal will disqualify from the tender process all Tenderers who do not
sign this Pact or violate its provisions.
b). Should any occasion arise entailing EIM to undertake any investigation under the
provisions of this agreement, the venue for such investigation shall generally be at
KIOCL Ltd’s Corporate Office, Kormangala, Bangalore –560 034.
c). This agreement is subject to Indian law. Place of performance and jurisdiction is
the corporate office of the Principal. In case of any dispute, the courts at Bangalore
only shall have jurisdiction.
d). Changes and supplements as well as termination notices need to be made in
writing. Side agreements have not been made.
e). Addresses along with other relevant details of the Chief Executives of the Parties
are as given under;
f). Should one or several provisions of this agreement turn out to be invalid, the
remainder of this agreement remains valid. In that case the parties will strive to
come to an agreement to their original intentions.

5.This Guarantee shall not be revocable by us except with the written consent of the
Company and shall continue to be enforceable till …………………… Should it be
necessary to extend this Guarantee beyond the said date, we undertake to extend the
validity of this Guarantee for such further period as may be required by the Company
and such extension shall be given one month before the expiry of this Guarantee,
failing which the amount covered under this Guarantee shall become forthwith

be of the Bidder.
8. In order to give full effect to the Guarantee herein contained, you shall be
entitled to act as if we are your principal debtors in respect of all your claims
against the Bidder hereby Guaranteed by us as. aforesaid and we hereby
expressly waive all our rights of suretyship and other rights, if any, which are
in any way inconsistent with the above or any other provisions of this
Guarantee.

IMPORTANT NOTE

tribunal or other Authority. The payment so made by us under this Guarantee shall be a
valid discharge of our liability for payment there under and the Contractor(s) Supplier(s)
shall have no claim against us for making such payment.

full force and effect during the period that would be taken for the performance of the
contract and that it shall continue to be enforceable till all the dues of the Company under or
by virtue of the said contract have been fully paid and its claims satisfied or discharged or
till the Company certifies that the terms and conditions of the said contract have been fully
and properly carried out by the said Supplier(s) / Contractor(s) and accordingly discharges
this Guarantee. Unless a demand or claim under this Guarantee is made on us in writing on

5. This Guarantee shall not be revocable by us except with the written consent of the

covered under this Guarantee shall become forthwith payable, notwithstanding that the
Contract is continuing and /or the Company has or has not terminated the Contract or
preferred any claim against the Supplier (s) Contractor(s).
6. We................................. further agree with the Company that the Company shall have the
fullest liberty without our consent and without affecting in any manner our obligations
hereunder to vary any of the terms and conditions of the Contract or to extend time or
performance by the said Supplier(s)/ Contractor(s) from time to time or to postpone for any
time or from time to time in exercise of any of the powers exercisable by the Company
against the said Supplier(s) Contractor(s) and to forbear or enforce any of the terms and
conditions relating to the Contract and we shall not be relieved from our liability by reason
of any such variation or extension being granted to the said Supplier(s)/Contractor(s) or for
any forbearance, act or omission on the part of the Company or any indulgence by the
Company to the said Supplier(s)/Contractor(s) or by any such matter or thing whatsoever
which under the law relating to sureties, but for this provision, have effect of so relieving us.
7. This Guarantee shall not in any way be affected due to change in our constitution or by
your taking or varying or giving up any securities from the CONTRACTOR(S)/ SUPPLIERS or
any other person, firm or Company on its behalf or by the change in the constitution,
winding up dissolution, insolvency or death as the case may be of the
CONTRACTOR(S)/SUPPLIER(S).
8. In order to give full effect to the Guarantee herein contained you shall be entitled to act as
if we were your principal debtors in respect of all your claims against the CONTRACTOR(S)/
SUPPLIER(S) hereby Guaranteed by us as aforesaid and we hereby expressly waive all our
rights of suretyship and other rights if any which are in any way inconsistent with the above
or any other provisions of this Guarantee.

except with previous consent of the Company in writing.
