LEAD RETRIEVAL SERVICES


1. DEFINITIONS

The term “Agreement” refers to this NY Tech Summit Exhibitor Agreement. The term “Event” means the NY Tech

Summit conference scheduled to be held June 8-10, 2018 at Turning Stone Resort & Casino in Verona, NY, USA. The

term “Exhibitor” means the party entering into this Agreement with NY Tech Summit for participation in the Event.

2. ACCEPTANCE BY ORGANIZER

NY Tech Summit, in its sole discretion, determines whether a prospective exhibitor is eligible to participate in

the Event. If NY Tech Summit determines that Exhibitor or its product(s) is (are) ineligible, NY Tech Summit may

withdraw its acceptance at any time by refunding the fees paid by Exhibitor to NY Tech Summit as of the date of

withdrawal. NY Tech Summit has sole control over attendance policies. NY Tech Summit makes no representation or

warranties of any kind, express or implied, regarding the Event or the number of persons who will attend the Event.

3. ASSIGNMENT AND USE OF SPACE

a. Benefits and License Grant: NY Tech Summit will provide exhibit space at the Event for Exhibitor to display its

qualified products and services. The Exhibitor fee includes the use of the space and any other benefits as specified

in this exhibitor guide. Exhibitor grants NY Tech Summit the right to use Exhibitor’s name and logo in connection

with the promotion and production of the Event, and to take photographs of its exhibit, booth space, and

personnel, before, during, and after the Event, and use such photographs in connection with its promotion of the

Event and future events.

b. Space Assignment, Use, Occupancy: NY Tech Summit will assign the space, and may reassign the space or

alter the Event layout or venue at any time. The space is for Exhibitor’s use only. Exhibitor may not share, sell, assign,

sublease or charge admission for entry into any portion of the space (including to an affiliated company) without

NY Tech Summit’s prior written consent. NY Tech Summit may refuse permission to exhibit any products or services

NY Tech Summit deems objectionable or unsuitable for the Event.

c. Third-Party Contractors: NY Tech Summit may require Exhibitor to use designated third-party contractors

to provide certain services, and Exhibitor must then use only those designated contractors for such services.

Designated contractors and third-party vendors act solely as independent contractors, and NY Tech Summit is not

responsible for their performance, acts, or omissions.

4. CANCELLATION AND PREEMPTION

If the Event is rescheduled for another date, or moved to another venue, Exhibitor is not entitled to receive any

refund. If the Event does not take place and is not rescheduled, Exhibitor shall be entitled solely to a refund of the

exhibitor fees paid to NY Tech Summit as of the time of such cancellation. NY Tech Summit shall not be liable for

any loss, damage or costs, including lost profits and other incidental and consequential damages, of Exhibitor or

Exhibitor’s employees, agents, or representatives due to such cancellation, rescheduling or change of venue.

5. CANCELLATION BY EXHIBITOR

If Exhibitor desires to cancel its participation in the Event after this Agreement and application is accepted by NY

Tech Summit, Exhibitor may do so only by giving written notice thereof to NY Tech Summit by registered or certified

mail. Exhibitors who cancel on or before December 31, 2017 will be liable for 50% of the exhibitor fee. If cancellation

occurs after December 31, 2017, Exhibitor will be liable for the full amount of the exhibitor fee. In no event will the

cancelling Exhibitor be entitled to a refund or reduction. NY Tech Summit’s subsequent acceptance of an additional

exhibitor to replace an exhibitor that has cancelled does not relieve the cancelling Exhibitor from the obligation to

pay the entire exhibitor fee.

6. DAMAGE TO PROPERTY

Exhibitor will be liable for and agrees to indemnify, defend and hold NY Tech Summit harmless for any damage

caused by Exhibitor or its employees, agents, or representatives to any property at the Event location, and for any

bodily injury to any person at the Event. Exhibitor may not apply paint, lacquer, adhesive or other coatings to any

part of the building. Exhibitor will comply with all location rules and regulations, local, state and federal.

7. INSURANCE

Exhibitor warrants and represents that it shall maintain insurance coverage throughout the Event for its

property, employees, agents, and representatives and for any and all liabilities arising out of or resulting from the

performance of its obligations under this Agreement and the insurance coverage required by the Event facility,

the Turning Stone Resort & Casino (“TSRC”). Exhibitor agrees to purchase and keep in effect during the dates and

times of the Event specified in this Agreement, insurance coverage as follows: (1) employer’s liability, workers’

compensation and unemployment insurance equal to those coverage or liability amounts otherwise required

in the state of New York; (2) personal injury, property damage, and contractual liability coverage, with a broad

form comprehensive general liability endorsement in an amount of at least One Million Dollars ($1,000,000)

per occurrence, Two Million Dollars ($2,000,000) aggregate, for bodily injury and property damage; (3) vehicle

insurance covering each vehicle or truck used or driven on TSRC property with a limit of at least One Million Dollars

($1,000,000) combined single limit bodily injury and property damage. Exhibitor shall provide an original certificate

of liability insurance verifying the minimum coverage set forth above. A copy of each certificate of insurance shall

be sent to NY Tech Summit no later than 30 days in advance of the Event. In addition:

a. Each policy shall contain the provision that there will be thirty (30) days’ prior written notice given to TSRC

and NY Tech Summit in the event of cancellation or of material change in the policy;

b. The insurance companies indicated shall be authorized to do business in the State of New York and shall be

acceptable to TSRC and NY Tech Summit;

c. TSRC and NY Tech Summit shall not be liable for the payment of any insurance premiums;

d. Neither TSRC’s or NY Tech Summit’s approval or failure to disapprove insurance certificates furnished shall

release Exhibitor of full responsibility for all liability as set forth above; and

e. Each insurance policy, other than workers’ compensation and employer’s liability, shall name 1) the Oneida

Nation of New York, its governmental instrumentalities, subsidiaries and affiliates; and 2) NY Tech Summit, its

affiliates, officers and employees; as additional insureds.

8. CONFIDENTIALITY

The parties agree to maintain in confidence the terms and conditions of this Agreement except to the extent that

a proposed disclosure of any specific terms or conditions by either party is authorized in writing, in advance by the

other party.

9. NO JOINT VENTURE OR PARTNERSHIP

This Agreement is not a joint venture and may not be deemed as such, nor may it be deemed a partnership,

principal-agent, employer-employee or similar relationship between NY Tech Summit and Exhibitor.

10. MERGERS

This Agreement shall survive any change of Exhibitor company ownership or merger and shall become the

obligation of the acquiring or merged entity. NY Tech Summit, however, shall have the right in its sole discretion

to terminate this Agreement without penalty if such a change in ownership or merger occurs and to not allow its

transfer or assignment.

11. MISCELLANEOUS

This application and Agreement shall constitute the entire Agreement between NY Tech Summit and Exhibitor.

There are no other representations, understandings or agreements between the parties. This Agreement can only

be changed, amended or modified upon written agreement of the parties. This Agreement shall be governed by

and construed in accordance with the laws of the State of New York, without giving effect to its conflict of laws

principles or rules. Each Party hereby agrees to the jurisdiction and venue of the courts of the State of New York

located in the County of Onondaga. In the event that any litigation arises out of this Agreement, the prevailing

party shall be entitled to attorneys’ fees.

AUTHORITY AND ACCEPTANCE

The persons signing this Agreement on behalf of Exhibitor and NY Tech Summit each warrant that they are duly

authorized to execute this Agreement and to bind the respective party to this Agreement. This Agreement shall

be deemed accepted after it has been signed by Exhibitor and then by a representative of NY Tech Summit.
