2 OBJECTIVE Through this contract agreement, CORITS intends to deliver expert and professional services for the JSIS Water Treatment Plant that includes multiple Scope of Work on the MMF vessels including start-up and performance verifications.
3 SCOPE OF SUPPLY AND SERVICES 3.1 Decommissioning Activities
1. Clearing of MMF vessels area to insure safe working conditions. 2. Posting of necessary safety signs in the working area. 3. Erecting of scaffolding, ladders and other safety harnesses as required to safely carryout the
necessary tasks. 4. Insure that all 4 MMF vessels are fully drained from water. 5. Insure that all 4 MMF vessels are fully vented and there is no presence of H2S or other
dangerous gases. 6. Removing all securing bolts on all necessary man-ways and further venting of the vessels. 7. Installation of blowers and fans during man-entry into the vessels. 8. Removal of all Medias ( except Gravel) using vacuum truck and shovels. 9. Water and Chlorine High Pressure flushing of the MMF vessels and Gravel with Pressure Pump (
supplied by CORITS) for the proper cleaning and removal of possible bacteria buildup on the vessel's walls and internals.
10. Thorough inspection/replacement of raisers/pipelines/laterals and suggestions in case of any
damage.
11. Signing off from JSIS plant manager of this milestone and loading of new media can proceed
3.2 Commissioning Activities 1. Introduction and loading of new Media as stated below:
Coarse Sand 1-5 mm : 100 (Bed Height) X 6500 (Length) X 3000 (Dia) mm Fine Sand 0.6 1 mm : 700 (Bed Height) X 6500 (Length) X 3000 (Dia) mm Anthracite :150 (Bed Height) X 6500 (Length) X 3000 (Dia) mm
2. Reinstallation and bolting of the man-ways. 3. Slow introduction of water to compress the Media for further settling. 4. Carryout all necessary procedures to introduce water into the system. 5. Carryout water quality to insure that it meets the NTU requirements. 6. Carryout water flow testing to make sure that vessel(s) are accepting the full flow rate 7. Cleaning of the area as satisfactory to the plan manager 8. Signing off from JSIS plant manager of this milestone.

4 MANPOWER & RESOURCES Through this contract agreement, CORITS intends to provide the following manpower & resources:

5 PACKAGE BATTERY LIMITS 1. The indicated 4 MMF vessels only.
6 MMF PERFORMANCE 1. Continuous quality water production at full rate at the specifications.

9 DURATION Agreement Duration
Its expected the complete scope of work will be completed in approximate 8 to 12 days depending on various parameters adn cooperation with the client. All efforts will be made to complete the work in the shortest amount of time possible, but yet adhering to the highest level of safety procedures.
10 BASE OFFER WTP MATERIALS AND SERVICES CORITS will be performing all pertaining activities stipulated in this proposal with an adequate manpower, resources and equipments: RO ( to be sent ASAP)
The price above includes manpower supply and with all the required materials and deliverables.
11 COMMERCIAL TERMS & CONDITIONS 11.1 Offer Validity
This offer is valid only up to July 18th, 2013.
11.2 Invoicing and Payment Terms
All prices quoted are in Omani Rials ( Sultanate of Oman). Full Purchase Order acceptance by CORITS is contingent on receipt of the required advance / deposit and
approved by CORITS Finance Department. This proposal and the rates provided herein are subject to final site and environmental due diligence. This proposal supersedes all previous proposals and correspondence. JSIS shall pay CORITS for the Equipment and Services in accordance with the Payment Schedule.

12 GUARANTEES Performance Guarantee
CORITS guarantees that the Services will be performed in a safe, professional and workmanlike manner in strict accordance with this Agreement and with standards and practices which are generally acceptable and normally practiced by firms providing similar services at similar professional facilities.
CORITS will provide the Services such that the Effluent Water meets the specifications for Effluent Water specified in Section 6 of this proposal. CORITSs obligation to meet the Performance Guarantee is contingent upon Client providing Influent Water to be treated by the refurbished equipments that meet the quality and quantity specifications of the Influent as set forth in the Raw Water Analysis provided to CORITS and that does not contain Nonstandard Substances.
In the event that Client provides Influent Water that does not meet such Influent Quality Specifications, CORITS will report such deficiencies to JSIS at the earliest, by email and a prompt call for a meeting with all parties, and CORITS shall use all reasonable commercial efforts to treat such Influent in an attempt to comply with the Performance Guarantee, but CORITS shall have no responsibility or liability whatsoever in the event the Performance Guarantee is not met.
Major Equipment Guarantees
CORITS will use generally accepted business practices to procure major replacement equipment. CORITS will not be responsible to Client for any guarantee in connection with such major replacement equipment. CORITS will assert reasonable efforts to obtain the normal guarantee applicable in the particular industry manufacturing such equipment, and will assign it to Client.
Parts Guarantee
Where parts are supplied under this Agreement, CORITS guarantees these parts to be free from defects in material or workmanship for a period of 12 months from the installation of the parts provided that such parts are used and maintained in accordance with the manufacturers and CORITSs instructions. This guarantee does not apply to normally consumable parts or components such as filter cartridges pump seals, and membranes.
Client undertakes to give immediate written (email) notice to CORITS if parts appear defective and to provide CORITS with reasonable opportunity to make inspections and tests.
Performance
CORITS will make all reasonable effort to deliver parts and services as agreed. CORITS will not be liable in any way for a delay in performance due to causes beyond its control, including, without limitation: strike: lockout; riot; war; acts of terrorism; fire; act of God; accident; failure or breakdown of components; or application of a law, regulation or order, whether valid or invalid, of any governmental body.

The furnishing by CORITS of a part or service to Client will constitute acceptance of that part or service by Client, unless notice of non-acceptance is received by CORITS within 5 days of receipt.
13 LEGAL TERMS No Title
At no time shall CORITS be deemed to have taken title to Effluent Water, Influent Water, sewage sludge, Nonstandard Substances, Hazardous Materials, or any other materials or substances processed at the site or treated by CORITS pursuant to this Agreement. CORITS does not take responsibility for or provide waste characterization, disposal facility selection, or disposal.
Client is responsible for all wastes and waste disposal from the plant. Wastes may include, but are not limited to water system reject waste, used RO or ultra filtration membranes, clean-in-place related wastes and wastewaters, spent media, used granulated activated carbon, cartridge filters, equipment and consumables, lubrication/oil contaminated debris/rags, other maintenance related wastes, lab analysis residuals, and office waste.
Assignment
Client may not assign this Agreement or otherwise transfer its rights or obligations hereunder, in whole or in part, without the written consent of CORITS. CORITS shall have the right to transfer, in whole or in part, by way of assignment or novation, its rights and/or obligations under this Agreement. Client agrees to execute such subsequent documentation, as may be required.
Nothing in this Section shall restrict CORITS from subcontracting portions of its work, provided that CORITS shall remain responsible to Client for performance of subcontracted scope.
Notices
Any notice, approval, consent or other communication under this Agreement shall be in writing and shall be considered given when:
1. Delivered personally, or
2. Mailed by registered or certified mail, return receipt requested, or
3. Received by telecopy with a confirming copy sent by overnight mail or courier service, return receipt requested, or
4. Sent by overnight mail or courier service, return receipt requested, to the Parties at the addresses indicated below (or at such other address as a Party may specify).
