Jhajjar Power Limited (JPL) is wholly owned by CLP India Pvt Ltd, the Indian subsidiary of CLP
Holdings Limited (Listed in Hong Kong). JPL is operating a 1320 MW domestic coal based
power plant at Village: Khanpur in Jhajjar district, Haryana State of India. The power station
is at a distance of 90 Km from Delhi, the National Capital.
Jhajjar Power Limited (JPL) operating it’s both the units (2 x660 MM) by blending of Indian
and imported coal. JPL is interested for the sale of approx. 50,000 MT dry Mill reject coal
from Jhajjar Power plant site.
JPL invites sealed Bids in two parts i.e. (i) Techno Commercial Bid and (ii) Price Bid from
prospective buyers of Mill reject coal (“Bidders”) for “Sale of Mill reject coal”.
1. Tender Documents: The Tender Documents can be obtained from the office of Head-
Procurement (P&I), Jhajjar Power Limited, Village Khanpur, Tehsil Matenhail, Distt
Jhajjar, Haryana, 124142 INDIA or one can download tender document from company
website www.clpindia.in and submit the bid.
2. In case, any date specified for sale/receipt/opening of Tender happens to be a public
holiday/Saturday or Sunday, next working day shall be considered for the same.
3. Bids received by Fax/ open condition shall not be considered.
4. Bid shall be submitted in two parts, details are given in Tender Documents.
5. JPL reserves the right to reject any or all Bids without assigning any reason whatsoever.

A. GENERAL
1. INTRODUCTION
Jhajjar Power Limited (JPL) is wholly owned by CLP India Pvt Ltd, the Indian
subsidiary of CLP Holdings Limited (Listed in Hong Kong). JPL is operating a 1320 MW
domestic coal based power plant at Village: Khanpur in Jhajjar district, Haryana State
of India. The power station is at a distance of 90 Km from Delhi, the National Capital.

1.2 Contract /Agreement Duration
Contract for short term sale of Mill reject coal shall be executed for the period of
one year from the date of award.
2. PROJECT INFORMATION
2.1 Site Location
The power station is situated in Jhajjar District of Haryana at a distance of 90 Km
from Delhi, the National Capital.
2.2 Access to Site
Nearest railway station is Jharli at about 2 km from power plant site. Nearest Airport
is IGI Delhi at a distance of approx. 90 km.
3. QUALIFYING REQUIREMENT
The Bidder must have right / approval for utilisation of Mill reject coal.
Authenticated documents in regards to use of Mill reject coal need to be submitted
along with technical offer.

4. Splitting of Order
JPL reserves the right to split the order as per JPL’s operational and functional requirement and structure provided it is required for timely execution of this project and provided the bidder agrees to come to the highest rate.
5. SCOPE OF WORK
5.1 The work shall be carried out on as per specified terms in the draft agreement and
mutually agreed prices. A Bid not covering the acceptance of scope of work and
services as detailed out in Tender Documents may be liable for rejection.
5.2 The Bidder shall carefully check the enclosed details and terms and shall satisfy
themselves as to the suitability of the work and shall take full responsibility for
executing the work.
6. COST OF BIDDING
6.1 The Bidder shall bear all costs in relation to their Bid and the consequent bidding
process activities. JPL shall in no case be responsible or liable for those costs,
regardless of the conduct or outcome of the bidding process.
7. FAMILIARISATION WITH SITE
7.1 Upon prior notice, the Bidder is advised to visit and examine the site of works,
access to site and its surroundings and obtain for themselves at their own
responsibility all information that may be necessary for preparing the Bid. The costs
of visiting the Site shall be to Bidder's account.
7.2 The Bidder and any of their personnel or agents shall be granted permission by JPL
to enter upon its premises and land for the purpose of such inspection, but only
upon the express condition that the Bidder, his personnel or agents, shall release
and indemnify JPL and their personnel and agents from and against all liability in
respect thereof and shall be responsible for personal injury (whether fatal or
otherwise), loss of or damage to property and any other loss, damage, costs and
expenses however caused, which, but for the exercise of such permission would not
have arisen.
7.3 Failure to visit the Site or failure to study the Tender Documents shall in no way
relieve the successful Bidder from any contractual liability.
7.4 Bidders are requested to contact Head-Procurement (P&I), JPL for their site visit and
site queries and get acquainted with the site conditions.

8. SITE INFORMATION & LOCAL CONDITIONS
8.1 Information regarding the work site, plant capacities, location, approach to site and
metrological condition, work culture etc. as prevailing at the site can be obtained by
the Bidders by site visit and interaction with JPL or others at his own cost/expense.
8.2 Site information
8.2.1 The Bidder shall be deemed to have visited and carefully examined the site and
surroundings, to have satisfied themselves about the nature and details of all
existing structures, if any, and also as to the nature and conditions of the railways,
roads, bridges and culverts, means of transport and communications, whether by
land, water or air and as to possible interruptions there to and the access to and
from the site, to have made independent enquiries, examined and satisfied
themselves as to before submitting the Bid.
8.2.2 Any neglect or omission or failure on the part of the Bidder in obtaining necessary
and reliable information as stated above or on any other matter affecting the Bidder
shall not relieve them from any risks or liabilities or the entire responsibility for
completion of the work in accordance with the Tender Documents.
8.2.3 No verbal agreement or inference from conversation with any officer or employee of
JPL shall in any way affect or modify the terms or obligations herein contained.
8.3 Local conditions
8.3.1 It is suggested that the Bidder visit the site and fully satisfy and acquaint themselves
of the procedure for engagement of labour and collect any other information which
may be required before submitting the Bid. All costs and expenditure associated
with such exercise shall be borne by the bidder.
8.3.2 The Bidder shall be deemed to have acquainted themselves with all laws whether
national or local applicable to the works to be carried out by the Bidder as amended
from time to time. JPL shall not entertain any request for clarifications from the
Bidders regarding such local conditions.
8.3.3 Claims and objections due to ignorance of site conditions will not be considered
after submission of Bid.
8.3.4 The Bidder shall be deemed to have exhaustively examined the Tender Documents
including the General Conditions of the Contract, Technical Specifications to have
obtained all information and clarifications on all matters whatsoever that might
affect the carrying out the work and to have satisfied themselves as to the adequacy
of their Bid . Bidder is deemed to have known the scope, nature and magnitude of
the work and the requirements of materials and labour involved etc. and as to all

work they have to complete in accordance with the Contract whatever be the
defects, omissions or errors that may be found in the Tender Documents.
9. ISSUE OF TENDER DOCUMENTS
9.1 JPL shall issue one set of tender documents which consists of (“Tender
Documents”):
a) Invitation for Bids (“IFB”) and Instructions to Bidders (“ITB”)(Volume I)
b) Formal Instrument of Agreement and General Conditions of Contract (“GCC”)
(Volume II)
10. ADDENDA/ CORRIGENDA
10.1 Addenda / Corrigenda to the Tender Documents may be issued prior to the date of
submission of the Bids to reflect modifications. If such changes are made
subsequent to sale of Tender Documents, extension may be given for submission of
Bid.
10.2 The addenda / corrigenda will be issued / published on JPL’s website / mailed to
each person or organization to which a set of Tender Documents has been issued
and such addenda / corrigenda may be treated as part of original Tender
Documents.
11. CLARIFICATION ON TENDER DOCUMENTS
11.1 Prospective bidders requiring clarification on the Tender documents may notify JPL,
in writing or by email, specified as per IFB.
B. PREPARATION & SUBMISSION OF BIDS
12. LANGUAGE OF BID
12.1 The Bid submitted by the Bidders and all correspondence and documents relating to
the Bid exchanged by the Bidder and JPL shall written the English. Any printed
literature furnished by the Bidder may be written in another language, provided that
this literature is accompanied by an English translation, in which case, for purposes
of interpretation of the Bid, the English translation shall prevail.

13. INFORMATION AND DOCUMENTS REQUIRED IN THE BID
13.1 All Bids shall be prepared by typing, writing or printing with indelible black/blue ink
in the schedules / annexures and enclosed as part of Technical Document. Wherever
required, Bidder may use additional sheets similar to the one submitted as a part of
the Bid Documents.
The Bidder's proposal and the documents attached thereto shall be considered as
forming a part of the Contract. All corrections / and overtyping etc., in the Bid
should be attested.
The Bid documents of the Bids shall be divided into two parts and should be
submitted in two separate sealed covers and named as below:
(i) Sealed Cover - PART I: Techno-commercial Bid (Volume-I & Volume –II),
(ii) Sealed Cover - PART II: Price Bid
and duly super scribe on it the name of work, Tender specification No. and the due
date of Bid with the name of the Bidder and sealed in an overall sealed cover.
13.2 Sealed Cover Part I:
The sealed cover comprising the Techno-Commercial Bid shall contain the following:
13.2.1 Bid security and documents related to pre-qualification of the Bidder.
13.2.2 Singed & stamped copy of the commercial terms and draft agreement.
13.2.3 Deviations, if any, shall be separately indicated in Attachment of deviation sheet
attached hereby. Deviations if any indicated elsewhere in the offer shall not be
considered and shall have to be withdrawn by the Bidder without any financial
implication.
13.2.4 Any other information called for in the specification other than price, consist of but
not limited to below:

The above particulars shall be furnished in the above order in a separate cover super
scribing the headings with the Tender Specification Number for the package as,
enumerated below:

13.3 Sealed Cover - Part II:
Price Bid shall be submitted in a separate Envelop ( as per format attached hereby).
13.4 “Part – I”, and “Part – II” shall be sealed separately. These two covers, along with the
Bid Security and Tender fee, if applicable shall be sealed separately and put in one
separate single cover, superscribed as “Bid Documents for “SALE OF MILL REJECT
COAL” and be sent to the following address on or before the notified time, for the
receipt of the Bid.

13.5 The outside of the cover should also indicate clearly the name of the Bidder and its
address.
13.6 The Bidders have the option of sending the Bid by Registered Post / courier /
submitting the bid in person, so as to ensure that the Bids are received in the
specified office, by the date and time indicated in the IFB.
13.6.1 Bidders sending their Bids by Post/courier are advised to send them sufficiently in
advance, so that the Bids should reach JPL on or before the due date as mentioned
in the IFB.
13.6.2 Bids will not be accepted after the due date and time as mentioned in the IFB and
shall be returned without opening.
13.6.3 JPL shall not be responsible for delayed delivery.

13.6.4 JPL shall not acknowledge the receipt of Bids after due date.
14. BID CURRENCY & PAYMENT
14.1 The Bid shall be quoted in Indian Rupees (INR) and receive the payments in INR only.
15. PRICES / PRICE BASIS:
15.1 The prices shall be quoted in Indian Rupee only, and strictly as per the format given
in Schedule of Prices. The quoted Price shall remain valid, firm and binding on the
Bidder for a period of 180 days from the date prescribed as Due date for submission
of the Price Bid.
15.2 The documents submitted by Bidder including modified prices and terms and
conditions as agreed by JPL pursuant to discussions which are recorded by various
means (minutes of meeting / emails/letters) after the opening of the Bids and
before the award of Contract may form a part of the Contract. The prices and terms
agreed hereto shall remain firm and fixed till the Completion, and neither escalation
in prices nor amendment in terms shall be admissible in the Contract, unless
deviation is accepted in writing by JPL.
15.3 JPL’s obligation shall be limited to the items defined under the Tender Documents.
15.4 The prices quoted shall be in INR only and any impact of foreign exchange rate
variation from the bid until the completion of project shall be to the account of the
Bidder and no claims whatsoever shall be allowed in the Contract price on account
of exchange rate variations.
16. BID VALIDITY
16.1 The Bid shall be accompanied with letter of undertaking on non-judicial stamp paper
of appropriate value in the prescribed format.
16.2 The Bid shall be valid for a period of 180 days from the date of opening of the Bid,
during which period the Bidder agrees not to vary, alter or revoke his Bid either in
whole or in part. If the Bidder however, fails to keep his Bid valid for 180 days or
varies its terms and conditions during the said period, the Bid is liable for rejection
The Bidder shall submit their bid as required in the Tender documents along with
letter of undertaking.
16.3 Bid shall be rejected if:

a) The bid is revoked during its validity period.
b) The prices are increased unilaterally after the Bid opening and during
validity of offer by the Bidder.
c) JPL accepts the Bidder’s bid proposal and the Bidder refuses to enter into
Contract after the Contract is awarded to him.
d) If the Bidder(s) does not accept the arithmetical corrections of its bid
price.
e) If the Bidder(s) refuse to withdraw, without any cost to JPL, any deviation
from their offer.
f) In case of successful Bidder, if the Bidder(s) fails within the specified time
limit to give the acceptance of Contract Document.
g) In the event of the Bidder giving any false declaration, misrepresentation
of facts and information.
17. NO CLAIM OR COMPENSATION FOR SUBMISSION OF TENDER
17.1 Any Bidder shall not be entitled to claim any costs, charges and expenses incidental
to or incurred by them through or in connection with their submission of Bid, even
though JPL may modify / withdraw the Invitation to Bid or does not accept the Bid.
18. PRICE QUOTATION
18.1 The Bidder shall quote their unit rate and lump sum on fixed basic price basis for the
specified scope of work as detailed in the Volume- II and in consideration of all
terms & conditions or Commercial Specifications (Volume- II) both in figures and in
words clearly. No further change in the contract price shall be entertained.
18.2 Rates shall be quoted both in figures and in words in clear legible letters. No
overwriting is allowed. All scoring and cancellation should be countersigned by the
Bidder. In case of any illegibility, the interpretation of shall be final.
18.3 Any request from the Bidder in respect of additions, alterations, modifications,
corrections etc. of either terms and conditions or rates of his Bid after opening of
Bids may lead to rejection of its Bid.
19. DEADLINE FOR SUBMISSION OF BIDS
19.1 Bids must be received by JPL at the address mentioned, not later than Bid
Submission Date and Time as indicated in the ‘INVITATION FOR BIDS (IFB)”.

19.2 JPL may at their discretion extend the deadline for the submission of Bids in which
case all rights and obligation of JPL and Bidders previously subject to the deadline
shall thereafter be subject to the deadline as extended.
19.3 Modification and Withdrawal of Bids
19.3.1 The Bidder may modify or withdraw their bid after submission, provided that written
notice of the modification or withdrawal is received by JPL prior to the deadline
prescribed for submission.
19.3.2 No Bid may be withdrawn in the interval between the last date for submission of
Bids and the Bid validity specified by the Bidder on the Bid Form. Withdrawal or
unsolicited modification of a Bid during this interval shall result in the Bidder's Bid
rejection.
20. NOTE TO PRICE SCHEDULE / SCHEDULE OF QUANTITY
20.1 Price schedule should be read in conjunction with all the other sections and
documents of the Bid.
20.2 Wherever it is mentioned in the specification that the Bidder shall perform certain
work or provide certain facilities, it is understood that the Bidder shall do so at their
own cost.
C. BID OPENING AND EVALUATION
21. BID OPENING
21.1 The Techno-commercial Bids shall be opened as per the stipulation in IFB.
Information provided and documents submitted by the Bidders in Techno-
commercial bid shall be processed, examined, verified and evaluated for
ascertaining the suitability of Bidders to qualify for opening of Price bid.
21.2 The price bids of the technically qualified Bidders shall be opened by JPL personnel..
Successful bidders will be contacted via website/email or letter for price bid
opening
21.3 Only proprietor, partner, director or employees with necessary power of attorney or
authorised letter shall be accepted as authorized representative.
22. OPENING OF BIDS BY OWNER
22.1 Part – I Techno Commercial Bid shall be opened, at the time and date mentioned in
IFB.

Part – II Price Bid - Price bid shall be opened of all technically accepted bidders.
23. RIGHT OF JPL TO ACCEPT OR REJECT BID
23.1 The right to accept the Bid rests with JPL. JPL further does not bind itself to accept
the lowest Bid and reserves the authority to reject any or all the Bids received
without assigning any reason whatsoever. The decision of JPL in respect of the above
shall be final and binding on the Bidders.
23.2 Canvassing in connection with Bids is strictly prohibited. The submitted Bids of the
Bidders who resort to canvassing are liable for rejection. Bidders containing uncalled
remarks or any additional conditions are liable to be rejected.
24. EVALUATION
24.1 JPL wishes to finalise the Contract covered under this Tender Documents within a
limited time schedule. Hence the Bidders, in their own interest, are advised to
submit their Bids complete in all respects conforming to all terms and conditions of
the Tender Documents.
24.2 Bids shall be evaluated based on the information/documents available in the Bid.
Hence, Bidders are advised to ensure that they submit complete, appropriate and
relevant supporting documentation along with their proposal in the first instance
itself. Bids not complying with the requirements of Bid documentation are liable to
be rejected.
24.3 Apart from commercial and technical requirements set forth in the qualifying
criteria, the evaluation of bids shall be carried out on the basis of bid evaluation
criteria detailed hereunder in clause 24.4.
24.4 Techno-Commercial Bid Evaluation
24.4.1 JPL will examine the Bids to determine whether they are complete, whether the
documents have been properly signed, and whether the Bids are generally in order.
24.4.2 JPL may waive any minor informality, nonconformity or irregularity in a Bid that does
not constitute a deviation and that does not prejudice or affect the relative ranking
of any Bidder, as a result of the technical and commercial evaluation.
24.4.3 Prior to the detailed evaluation, JPL will determine whether each Bid is of acceptable
quality, is generally complete and is responsive to the Bidding documents. For the
purposes of this determination, a responsive Bid is one that conforms to all the
terms, conditions and specifications of the bidding documents without material
deviations, objections, conditionality or reservations.

24.4.4 Rejection Criteria
Bids may be considered non-responsive and shall be liable for rejection on the
following grounds:
a) Bid validity shorter than specified under the Tender Documents.
b) Price change on account of technical/commercial clarification by JPL other than
deviations taken by the Bidder.
c) Incomplete scope of Work.
d) NFailure to furnish all information required under the Bid Documents or submission
of Bid not substantially in line with the Bid Documents.
24.5 On detailed review of the Bid, JPL may seek clarifications on technical as well as
commercial aspects. Bidder shall reply to the clarifications sought by JPL with in the
notified period or within such period JPL may specify. JPL may call for a Bid meeting,
if found necessary, and Bidder shall participate in such meeting at his own cost. Date
and venue of such Bid meetings will be intimated to the Bidders well in time.
Any modification in a Bid (including a modification which has the effect of altering
the value of his offer) after opening of Techno-commercial Bids without specific
reference by the JPL shall render the Bid liable for rejection without notice and
without further reference to the Bidder.
24.6 Price Bid Evaluation
Part – II Price Bid - JPL will review and decide highest price bid of technically
qualified bidder.
24.7 REVISED PRICE BID
24.7.1 In case of any deviation proposed by any of the Bidders and accepted by JPL during
evaluation of Technical Bid, the same shall be intimated to all technically qualified
Bidders. The Bidders shall submit only their price implication bid to the extent of the
deviations agreed which shall be added /reduced (as the case may be) from the
Original price quoted along with the Bid.
25. FRAUDULENT PRACTICES
25.1 The Bidders may please note that JPL shall not entertain any correspondence or
queries on the status of the offers received against this Bid Documents. Bidders are

advised not to depute any of their personnel or agents to visit JPL office for making
such inquiries.
25.2 Any effort by a Bidder to influence JPL at any stage may result in the rejection of the
Bid.
D. AWARD OF CONTRACT
26. AWARD CRITERIA
26.1 Subject to clause 24 above, JPL shall award the contract to the successful Bidder
whose Bid has been determined to be substantially responsive, meeting qualifying
requirements, techno-commercially acceptable and evaluated to be the highest,
further provided that the Bidder is determined by JPL to be qualified to perform the
contract satisfactorily. The successful bidder shall be required to furnish a letter of
acceptance within 7 days of issue of Sale Order by JPL. Validity of this Contract shall
be for one year from the date of placement of Sale Order.
100% advance payment to be made in favour of Jhajjar Power Limited. Contractor shall submit
advance payment within a week of receipt of Sale Order. Delay in submission of advance
payment may lead to cancellation of Sale order. Cancellation of Sale Order shall be sole
desecration of JPL only.
Except for the deviations specifically brought out and accepted by JPL, the Bidder
shall be required to comply with all requirements of the Tender documents without
any extra cost to JPL, failing which the advance payment will be retained accordingly
after considering all the aspects on non-performance or non- compliance by the
successful bidder.
27. EXECUTION OF CONTRACTS
27.1 Contract will be executed by and between JPL and the successful Bidder. If not
mentioned specifically, date of issue of Notice to Proceed/ agreement shall be date
when work can be commenced.
28. ISSUE OF CONTRACT DOCUMENT
The Contract Document shall be released as per the agreed prices and terms and
conditions. Contract Document shall be accepted by the Bidder by endorsement and
returned in duplicate as an unconditional acceptance of prices and terms and
conditions.
