DISCUSSION

In February 2010, the Los Angeles Police Department (LAPD) entered into a cooperativeparticipation arrangement utilizing City Attorney's Office Contract No. C-116888 for servicesoffered by Contractor, to provide computer assisted legal research services to assist the LAPD'sMajor Crimes Division and the Office of the Inspector General in the performance of theirfunctions and duties.

It is recommended that the Chief of Police review, approve and transmit to the Board of PoliceCommissioners (Board) the attached First Amendment to Professional Services Agreement(C-117765) between the City of Los Angeles and LEXISNEXIS for computer assisted legalresearch services. It is also requested that subject to review by the Mayor, the Chief of Policeexecute the Agreement.

FIRST AMENDMENT TOPROFESSIONAL SERVICES AGREEMENT

TO CONTRACT NUMBER 117765BETWEEN

THE CITY OF LOS ANGELESAND

LEXISNEXIS

FIRST AMENDMENT to Contract Number 117765, between the City of LosAngeles, a municipal corporation (hereinafter referred to as the "City"), acting throughthe Los Angeles Police Department, (hereinafter referred to as the "LAPD"), andLexisNexis, a division of Reed Elsevier, Inc.(a Massachusetts Corporation, hereinafterreferred to as "Contractor"), is entered into with reference to the following:

WHEREAS, on February 23, 2010, the LAPD entered into a cooperativeparticipation arrangement utilizing City Attorney's Office Contract No. 0-116888 forservices offered by Contractor, to provide computer assisted legal research services toassist the LAPD's Major Crimes Division and Office of the Inspector General in theperformance of their functions and duties: and

WHEREAS, the Contract provides for amendments; and

WHEREAS, the LAPD and Contractor are now desirous of amending ContractNo. 0-117765 for the purposes of (a) extending the term of the Contract for anadditional one year, and

WHEREAS, the amendment is necessary and proper to continue or completecertain activities authorized under the Contract.

NOW THEREFORE, the City and Contractor agree that the Contract beamended as follows:

Section 3.0 - Term of Agreement, is hereby modified to read as follows:

The term of this Agreement will begin on September 1, 2009and will expire on August 31, 2011 unless terminated earlieras provided herein. The City, at its sole discretion, has theoption to extend the term of this Agreement for oneadditional year.

Ratification - Contractor continued to provide services after the expirationof the Agreement and prior to the execution of theAmendment Such services were satisfactorily performedand are hereby ratified.

Section 6.1 - Compensation, is hereby modified to read as follows:

The City will pay the Contractor for complete and satisfactoryservices rendered in an amount not to exceed One HundredTwenty Nine Thousand and Twenty Dollars ($129,020.00)based on the rates specified in Schedule A — Accurint forLaw Enforcement Plus and LexisNexis Subscription PlanAmendment, which is attached and made a part thereof.

3. In the event of an inconsistency between any of the provisions of this FirstAmendment, Contract No. C-117765, all prior/current attachments, theinconsistency shall be resolved by giving previous attachment(s) and/oramendment(s) precedence in the following order:

1) First Amendment,2) LAPD Contract No. C-117765,3) Standard Provisions for City Contracts (Rev. 03/09).

Except as amended by this First Amendment, all other terms andconditions of Contract No. 117765 shall remain in full force and effect.

5. This amendment is executed in three (3) duplicate originals, each of whichis deemed to be an original. This amendment consists of three (3) pages.

This Schedule A sets forth additional or amended terms and conditions for the use of the Accurint for LawEnforcement Plus and Accurint for Law Enforcement services ("LN Services"), as set forth in the servicesagreement between Customer and LN or LN's affiliate(s) for the LN Services ("Agreement"), to which thisSchedule A is incorporated by reference. The LN Services herein shall be provided by LexisNexis RiskSolutions FL Inc. ("LN"). The services set forth in this Schedule A are non-FCRA Services.

1. SCHEDULE A TERMThe term of this Schedule A will be 12 months beginning 09/01/2010 (the "Initial Term").

User Fees shall bedue each month for: (i) any user ID upon which any search occurs during a calendar month; and (ii) any user IDactivated on Customer's account which was not used to perform any searches and is not suspended orterminated by the close of business on the last day of such month.

2.2 Transactional Fees: Unless otherwise selected in the Price Table, the following Features shall be chargeda transactional fee (the "Transactional Fees") as specified in the attached Price Schedule: Advanced SexualOffender, Aerial Imaging, Bankruptcy Documents, Delaware Corporation Search and Report, Dun andBradstreet Search, MVR, News Searches, Court Search Wizard, Phones Plus, Property Deed Image, Real TimeMVR, Real Time Person Search, Real Time Phones, Sexual Offender Alerts, XML, Smart Jury and BatchingService. Features with Transactional Fees will be disabled when account is set up. Please contact your accountmanager at any point to have these features with Transactional Fees enabled.

2.3 Payment Amount: Customer shall pay to LN each month the greater of (i) total User Fees and applicableTransactional Fees or (ii) the total monthly minimum amount(s) as specified in the Price Table.

2.4 Annual User Fee Adjustment: At the end of the Initial Term and any Renewal Term, User Fees will beincreased 0%.

3. EXPIRATIONUnless otherwise accepted by LN, the terms herein are valid if the Schedule A is signed by the Customer andreceived by LN on or before 12/31/2010.

4. CONFIDENTIAL INFORMATIONThis Schedule A contains confidential information of LN. Customer acknowledges that the disclosure of suchinformation could cause competitive harm to LN, and as such, Customer agrees to maintain Schedule A in trustand confidence and take reasonable precautions against such disclosure to any third party.

This Subscription Plan Amendment ("Amendment") amends and supplements the terms of the Subscription Agreement eitherpreviously entered into or executed simultaneously herewith between LN and Subscriber (the "Agreement"). This Amendmentshall also serve as Subscriber's acceptance of the new General Terms & Conditions for Use of the Online Services effectiveSeptember 1, 2009 set forth at www.lexisnexis.com/terms/general.1. TERMThe term of this Amendment will begin (a) on the date Subscriber's billing account (a "Billgroup") is activated ("Activation") ifSubscriber is a new LN customer, or (b) subject to Section 7, on the first day of the calendar month immediately following theexecution of this Amendment and delivery of it to LN if Subscriber is an existing LN customer, and will continue until the lastday of the final Commitment Period referenced in Section 5.1 (the "Term").2. AUTHORIZED USERSThis Amendment relates only to the Subscriber's Billgroups and locations (the "Participating Billgroups") set forth below andthe Authorized Users under the Participating Billgroups. "Authorized User" shall have the meaning set forth in the Agreement.

3. CERTIFICATIONSubscriber certifies that on the date this Amendment is signed by Subscriber there are judges and attorneys, andgovernment professionals for a total of users (the "Reference Number") in Subscriber's organization. Throughout the

-erm, Subscriber will immediately notify LN in writing of any change in the Reference Number if the total number of judgesand attorneys falls below 11. Upon the request of LN, Subscriber will recertify to the Reference Number.

4. MONTHLY SUBSCRIPTION CHARGEDuring the Term, the Monthly Subscription Charge in Section 3 of the then-current applicable price schedule (the "PriceSchedule") will be waived.5. PREFERRED PRICING MATERIALS AND CHARGES5.1 In consideration of Subscriber's payment to LN of the monthly commitment amounts specified below (the "MonthlyCommitment"), the Participating Billgroups will be provided access to and use of certain Materials, products, services andfeatures, identified below by source/menu number (the "Preferred Pricing Materials"), available in the /exis.com sm service orthe LN Online Services accessed via proprietary software (the "Classic Online Services"). If Subscriber is an existing LNcustomer and this is a revision to Subscriber's Preferred Pricing Materials and Monthly Commitment, fees will be prorated forthe month in which the change becomes effective if the change occurs other than on the first day of the month. At noadditional charge, the Participating Billgroups may do offline printing, online printing and saving to disk of Preferred PricingMaterials. If your subscription includes Research Advantage, then your access to and use of Research Advantage shall besubject to and governed by the additional terms and conditions set forth in the software media at the time of its installation.

5.2 During the Term, the Monthly Commitment will be billed in lieu of the Information Charges specified in Section 1 of thePrice Schedule for all access to and use of the Preferred Pricing Materials, except as otherwise provided in Section 5.3 andSection 6 (if elected) below.5.3 The following Materials accessible from, but not included as part of the Preferred Pricing Materials, will be subject tomonthly billing at the then-current standard undiscounted rates in accordance with the Price Schedule: (a) selected Images(those that include a charge in the Price Schedule); (b) Dun & Bradstreet Reports; and (c) Risk Solutions.

If Subscriber so elects by initialing below, or by notifying LN at a later date,Subscriber will have access through the Alternate Pricing Materials at then-current undiscounted rates in accordance with thePrice Schedule in addition to the Monthly Commitment.

7. CLOSED OFFERThe offer of LN contained herein is valid until December 31, 2010. In order to implement this Amendment by the first day of acalendar month, LN must receive this signed Amendment by the 20th day of the preceding month.

8. CONFIDENTIAL INFORMATIONSubject to any state open records or freedom of information statutes, this Amendment contains confidential pricinginformation of LN. Subscriber understands that disclosure of the pricing information contained herein could cause competitiveharm to LN, and will receive and maintain this Amendment in trust and confidence and take reasonable precautions againstsuch disclosure to any third person. This Section 8 will survive the termination or expiration of this Amendment.

9. MISCELLANEOUS

9.1 During the Term, use by and charges to the Participating Billgroups will not be eligible for other discounts or aggregationwith the use of or charges for other billgroups.9.2 During the Term, Subscriber may not terminate the Agreement. This Amendment may be terminated by Subscriberafter the first Commitment Period on the last day of any calendar month upon at least 30 days prior written notice to LN.This Amendment may also be terminated by Subscriber on 10 days prior written notice to LN in the event of any increasein the Monthly Commitment, excluding any increases listed in Section 5.1. To be effective, notice of termination pursuantto the preceding sentence must be given within 90 days of the increase.

9.3 UPON TERMINATION OR EXPIRATION OF THIS AMENDMENT, CONTINUED USE OF THE ONLINE SERVICESBY SUBSCRIBER IS GOVERNED BY THE AGREEMENT AND WILL BE BILLED IN ACCORDANCE WITH THE PRICESCHEDULE.9.4 All capitalized terms not defined herein will have the meanings ascribed to them in the Agreement, including the Price;chedule.

9.5 Except as expressly modified by this Amendment, all other terms and conditions of the Agreement will remain in full forceand effect and unaffected by this Amendment. In the event of a conflict or inconsistencies between the Agreement and thisAmendment, this Amendment will control.
