Section B - Supplies or Services and Prices/Costs

B.1. Descriptiona. This Basic Ordering Agreement (BOA) is issued to simplify and expedite the purchase ofthe items or services specified in Section C - "Specifications/Statement of Work."

b. The Seller agrees to provide such quantities of the items or services as specified inSECTION C - "Specifications/Statement of Work," as the Company may order in accordance withthe provisions of this Agreement.

c. This BOA is one of multiple BOAs awarded by the Company as a result of Solicitation6400014842. All BOAs awarded will share an estimated ceiling of $To Be Determined. Thetotal amount of Task Orders issued under the multiple BOAs will not exceed this estimatedceiling capacity. For purposes of contract administration, each individual BOA will have aceiling of $To Be Determined; however, this does not infer that the Seller will be awardedthe full amount. Task Orders issued under these BOAs may be issued competitively ornon-competitively based on programmatic needs.

d. Work to be performed under this Agreement will be more specifically defined in writtenTask Orders issued by the Company to the Seller. Task Orders may be fixed-price,labor-hour, or time-and-material types and may be fully or incrementally funded. All TaskOrders will include:

1. A technical description of the work.2. The BOA number and the Task Order number.3. The fixed or ceiling price of the Task Order.4. The period of performance for the Task Order.5. The Task Order type.6. Clauses applicable to the Task Order.7. Other pertinent information.

e. No funds are being obligated under this Agreement. The Company is not obligated torelease any funds or issue any Task Orders under this Agreement.

B.2. Ordering Proceduresa. The Company will begin the Task Order process by issuing a solicitation to the Seller,describing the service to be ordered, setting forth a performance schedule, and identifyingclauses that will be applicable to the Task Order.

b. The solicitation will indicate the date the Task Order proposal is due. Seller'sproposal shall contain the information and be in the format required by the solicitation.Costs or prices shall be proposed using the hourly rates specified in "Price Information"in Section B. Task Orders will be issued on the Company's Task Order form.

c. Task Order solicitations will be issued at the Company's discretion on a competitive ornon-competitive basis. Seller's performance of previous Task Orders may be considered whenmaking this determination.

B.3. Price InformationThe basis for the Task Order prices shall be established by using the labor categories andqualifications contained in Attachment A-Labor Categories and Job Descriptions/Experience/

C.1. Statement of WorkThe Seller shall furnish the services specified in this Section:

STATEMENT OF WORKAugust 23, 2017

JavaScript Web Application and Java Web Services Development

UT-Battelle, LLC (Company), Geographic Information Science and Technology (GIST) Grouprequires assistance from an outside subcontractor for the purpose of providing technicalsupport in the area of web-based application development, web services development,software development, and user experience in support of multiple projects.

The Seller will provide software design and development support to augment an existingCompany team currently working to enhance existing, and develop new, web-based, datamanagement, and visualization systems. The Seller will be required to perform softwaredevelopment, database development, create technical documentation, define technicalspecifications of general task assignments, assist in designing system components,collaborate with team members in moving toward common best practices for developing anddeploying systems, work with an established team, and provide guidance in building Java andJavaScript based web applications. The Seller will also be required to assist inapplication layout and information architecture for displaying complex information withinan intuitive user interface. The Seller must be familiar with standard web and mobiledesign concepts and be able to provide custom, unique solutions to the development team.

The Seller will be involved in software development using Java, PostgreSQL, SQL, JavaScriptLibraries (including, but not limited to, ExtJS, AngularJS, OpenLayers, Leaflet, D3),Apache Solr, GDAL, MyBatis, Continuous Integration Platforms (such as Jenkins), andfamiliarity with containerization (such as Docker).

The Seller will participate in web application design and development, database developmentand design, web services development, and AJAX application design. The JavaScript UIlibraries will be used extensively in this development effort, and the Seller must havesome project experience using this or similar development library. Some work will involveweb-based GIS development and spatial data manipulation. The Seller will workindependently on tasks defined by the Company's team leadership. These tasks will bedefined in the form of functional requirements with some technical specifications. TheSeller will be responsible for outlining the technical requirements for each task,producing a design document and coordinating with the Company's team leadership on thatdesign, and managing the development work associated with these tasks. The Seller willalso be responsible for technical documentation and other deliverables associated with thetasks that they undertake.

PersonnelThe BOA Manager and proposed personnel will be listed as Key Personnel in the BOA.Proposed personnel will also be listed as Key Personnel in any resultant Task Orders thatthey support.

Citizenship RequirementU.S. citizenship is a requirement for all staff and management working on these projects.

Clearance RequirementIt is anticipated that some of the work will require a Top-Secret Security Clearance.Having the ability to obtain a Top-Secret Security Clearance is a requirement for all staffand management working on these projects.

Work LocationWork requiring a Security Clearance will be performed on-site at ORNL. All other work willbe performed off-site; however, Seller's personnel must be able to attend weekly meetingson-site at ORNL, as well as meetings that may be scheduled with as little as one day'snotice.

Computers, Network AccessWork requiring a Security Clearance will be performed on Company-provided computers. Allother work will be performed on Seller-provided computers, which will be given access tothe portions of the Company's internal network that are required to perform the work. Thiswill be managed by existing Company information technology procedures.

Labor CategoriesThe direct labor categories, required experience, educational requirements, and jobdescriptions that the Company anticipates will be required for performance of the work arelisted on Attachment A-Labor Categories and Job Descriptions/Experience/EducationalRequirements to this agreement.

Section F - Performance Period and Payment Information

F.1. Performance Period.a. The period of performance under the Agreement shall begin on 11/13/2017 and end on11/12/2022.

b. Seller agrees to accept task orders issued during the performance period. Seller shall complete work on task orders issued before the performance end date even though the task order performance period extends beyond that date. The rights and obligations of the parties respecting those orders shall be governed by this BOA to the same extent as if completed during its term.

F.2. Payment Terms. The terms of payment shall be Net 30.

F.3. Electronic Funds Transfer (EFT). Electronic Funds Transfer (EFT) expedites paymentsto subcontractors and is our preferred method of payment. A remittance notification (emailor fax) is automatically generated to you at the time of payment. The Company will not reimburse living expenses under this Basic Ordering Agreement or anyresultant Task Orders.

The following Invoicing clause will apply to fixed-price Task Orders issued under this BOA:InvoicingThe Seller shall submit a proper invoice for payment in accordance with the negotiatedterms to the address shown in the block titled "Send Invoices To" on the first page of thisdocument. Each invoice shall reflect milestones or services complete and billable underthe Agreement. All payments will be made in U.S. Dollars.

The following clauses will apply to labor-hour and time-and-material Task Orders issuedunder this BOA:Invoicing

(a) Invoices shall be submitted to the address shown in the block titled "SendInvoices To" on the first page of this document.

(b) The Seller shall invoice as shown below for direct labor performed in accordancewith Part 1.11(b)(1) of the Payment clause of the General Terms and Conditions of thisAgreement. Invoices (including any subcontractor hours at the hourly rate in theAgreement) must be supported by evidence of actual payment and by individual daily jobtimecards, records that verify the employees meet the qualifications for the laborcategories specified in the Agreement, or other substantiation approved by the Company.

Travel - Paid by The Company (Jun 2012)There is no allowance for travel in this Agreement.

Prior to any travel under this Agreement, the Seller shall submit an email identifyingtheir travel needs, the purpose of travel, and all traveling participants to the TechnicalProject Officer (TPO) for approval.

Once the travel is approved, the TPO or their designee will input the travel request intothe ORNL Travel Reservation System to start the reservations process. Approved travelexpenses will be paid by ORNL and will not be reimbursed via this Agreement.

Foreign travel (outside of the United States), requires that the Seller send the emailrequesting travel to the TPO at least 35 days prior to the scheduled departure date for

H.1. BOA Program ManagerThe Company's Program Manager for this BOA is To Be Determined. The responsibilities ofthe Program Manager include ensuring Task Orders are within the scope of the BOA's generalStatement of Work and monitoring use of the BOA so that the cumulative sum of all TaskOrders stays within the ceiling limits of the BOA.

H.2. Key Personnel - BOA(a) The following personnel are considered to be essential to the work being

performed in this BOA:

(b) The Seller must notify the Company before diverting any listed person(s) toanother program, providing justification (including proposed substitutions) in sufficientdetail to permit evaluation of the impact on the program. No diversion shall be madewithout the consent of the Company; provided, that the Company may ratify a diversion inwriting and the ratification shall constitute consent. The list of key personnel may berevised by mutual agreement during the period of this Agreement.

H.3. Key Personnel - Task OrdersPersonnel considered to be essential to the performance of a Task Order may be named as KeyPersonnel in that Task Order. This preceding clause shall apply to those Key Personnelduring performance of the Task Order.

H.4. Technical DirectionThe clause, "Technical Direction (Jan 2006)," is incorporated by reference. Any resultingTask Order may also have a Technical Project Officer (TPO) who will be identified in theTask Order. If so identified, this clause will apply to the performance of the Task Order.

In addition to the provisions of the clause referenced herein, the Task Order TPO shall beresponsible for providing a Statement of Work specific to the Task Order, approving TaskOrder proposals, committing funding, reviewing deliverables, and approving payment for workaccomplished by Seller.

Restriction on Performance of Work under Agreements Subject to 10 CFR 707

(a) Until the Seller has been notified in writing that theWorkplace Substance Abuse Program submitted by the Sellerhas been approved by the Company for this Agreement, nowork shall be performed under this Agreement thatinvolves the use of individuals in Testing DesignatedPositions as described in 10 CFR 707.7(b) and (c).Testing Designated Positions include, but are not limitedto, individuals that have Q and L security clearances.If any work violates this provision, the Seller shallimmediately stop work and notify the ProcurementOfficer.

(b) Upon notification that the Seller's Workplace SubstanceAbuse Program has been approved by the Company for thisAgreement, this restriction shall no longer apply.

(c) In the event Seller is an individual or a company whereinthe DER (Designated Employee Representative) is also amember of the testing pool, the Seller shall request tobe included in the Company's WSAP. The Company will havesole discretion as to whether or not Seller mayparticipate in the Company's WSAP.

(b) The technical evaluation process consists of the proposals being reviewed,evaluated and rated using a graded system that assesses the degree of compliance with theTechnical Criteria requirements and the level-of-performance risk.

(c) The Technical Criteria are listed below:

Criterion 1: Technical Qualifications, Certifications, and Past Experience/PastPerformance of Personnelo The Company will evaluate the degree to which your proposal demonstrates the requisiteskills, technical qualifications, certifications, and experience of the proposed personnelnecessary to successfully perform, and as required by, the Statement of Work.

o The Company will evaluate the quality of performance by individuals on past projects of asimilar nature, expertise and accomplishments of the proposed personnel in other similarwork environments, and proven ability to provide the development work required.

(e) An overall Technical Rating will also be assigned based on the individual ratingsand their relative importance. The overall color rating may include increments representedas plus (+) or minus (-).

(f) In addition to the evaluation of technical criteria, cost/price will also beevaluated. In determining the best value, the total cost/price, including options (ifapplicable) and other cost factors, is considered to be less important than technicalmerit.

If applicable, a determination of total cost/price will include, but not be limited to: (1)transportation, (2) travel, (3) coordination of contract performance, and (4) technicalinterface challenges.

(g) We may solicit information concerning your record of performance and all otheraspects of your proposal and use it in evaluation.

The Technical Proposal should not exceed 10 pages(excluding cover page, table of contents, personnel resumes, and letters of commitment).You must provide technical information in sufficient detail to allow the Company to fullyevaluate your proposal against all evaluation factors. The Company may assume that theOfferor fails to comply with the Statement of Work if this section is incomplete.

(1) Table of Contents. Provide a table of contents with page numbers for eachchapter or section and subsections.

(2) The following information is mandatory:

Section 1: Technical Qualifications, Certifications, and Past Experience/Past Performanceof Personnelo This section must contain complete and accurate resumes of each of the proposedpersonnel. A minimum of two resumes for each labor category must be submitted.Information in each resume must be in sufficient detail to facilitate evaluation againstall criteria.

o This section should contain a discussion of each proposed person's relevantcertifications, as well as any other information necessary to effectively demonstrateknowledge of the technologies listed in the Statement of Work.

o For each proposed personnel, the Offeror must provide a brief description of a minimum oftwo projects that the individual supported, including the company name and any relatedproblems and resolution.

o This section should also confirm that all proposed personnel are U.S. citizens andinclude a list of proposed personnel possessing an active security clearance and the typeof clearance held.

o Information regarding the status, availability, and commitment of the proposed personnelshould be included. Letters of commitment are required from any proposed personnel notcurrently employed by the Offeror. Proposed personnel will be listed as BOA Key Personneland as Key Personnel in any resultant Task Orders that they support.

o This section shall also identify the Offeror's proposed BOA Manager, who will serve asthe primary interface with the Company, facilitate the day-to-day administration of theBOA, and be responsible for the execution of Task Orders issued under the BOA. Thissection must confirm that the Offeror's proposed BOA Manager is a U.S. citizen and includea discussion of the proposed BOA Manager's experience and expertise relevant to serving asthe BOA Manager. Section 3: Ability to Recruit and Retain Staffo This section should discuss the Offeror's ability and commitment to staff the project.

o The Offeror should demonstrate their ability to recruit and retain qualified individuals.

o Include the strategy for recruiting individuals that possess the personnel qualificationslisted in Attachment A of the Solicitation as may be required to replace personnel.

(c) Format for the Business Management Proposal. The Business Management Proposalmust be in the following format:

(1) A completed, signed copy of the Solicitation and Offer and BOA forms.

(2) Price Information.

(A) Price Proposal. You must include your Price Proposal in this section.

(B) You must use the format indicated on the pricing spreadsheet attachedto this Solicitation, Attachment B-Price Proposal, submitted as an Excel document. Proposeonly one on-site rate and one off-site rate per labor category per year.
