Guidelines for the Shareholders of IDBI Bank Limited

A. General Information :

1. All the correspondence relating to Equity Shares may be addressed to the Registrar and Share Transfer Agents (RTAs) at the following address –

2. While sending their queries/grievances, Shareholder(s) should invariably quote the Folio no., Certificate no., Client Id, DP Id, Subject matter, etc. They should also indicate their full

address including Pin code, Telephone no. / Fax no./ e-mail id, if any.

3. The communication should be legible and preferably in capital letters.

4. In case of valuable documents, the same may be sent by Registered Post /Speed Post.

5. Please always keep photocopies of Application, Share Certificates, Transfer Deed and Postal Registration slip/Acknowledgement, etc., and / or other documents, if any, attached to the

application. This would facilitate future queries, if any.

6. NRI Shareholder as a transferor and NRI as a transferee must furnish RBI approval wherever applicable. He shall also give NRO/NRE bank account number, IFS Code, 9 digit

MICR Code with name and address of the bank to enable remittance of future dividend, if

any. Please enclose cancelled cheque or legible photo copy of the cheque.

7. While requests are generally processed within 10 days from the date of receipt, matters like Transmission/ Transfer, etc. may take more time. However, documents complete in all

respect will be processed in compliance with the Regulatory / Statutory time limits.

8. In the case of issue of Duplicate Share Certificate(s), since the procedure involved is elaborate, it may take some more time. However, they are issued within Regulatory/

Statutory time limits fixed for the purpose.

9. The standard forms on which shareholders are required to apply for various matters are given in the Annexures.

B. Transfer of Shares :

1. While sending the shares for transfer, please ensure that the Securities Transfer Form (Form

no. SH.4) is complete in all respects particularly the Buyer‟s and Seller's Signature and

requisite Share Transfer Stamp duty paid through franking which is specifically marked as

Share Transfer Stamp duty or by affixing Share Transfer Stamps.

2. Ensure that the buyers and sellers have signed at appropriate places and the buyer's address

is given in full including Pin Code, Telephone number, Fax number, e-mail id, if any.

3. The following documents are required to be sent along with the Securities Transfer Form –

i) Original Share Certificate(s);

ii) Self attested copy of Passport or AADHAAR Card or Voter ID or Driving

Licence of Buyer(s);

iii) Self attested copy of PAN Card of Buyer(s) and Seller(s);

iv) Bank Mandate authorizing Bank to credit the dividend, if any, directly to the

Bank account and cancelled blank cheque leaf of the account of Buyer wherein

dividend is required to be credited. Please ensure that transferee has provided his

bank details, i.e., Account number, IFS Code, 9 digits MICR Code with name

and address of the bank branch to enable remittance of future dividend, if any,

directly to the mandated bank account.

4. Ensure that transferor(s) has / have put his/her/their signature(s) on Securities Transfer Form

(SH.4), as recorded with the Bank.

i) In case Transferor is Company:

Please ensure to enclose following:

a) Attested copy of Memorandum and Articles of Association b) Copy of PAN card of the Company duly attested by authorized signatory of

the Company;

c) Board Resolution authorizing sale of shares and nominating a person to sign on behalf of the Company OR

d) Duly attested Copy of Power of attorney; e) Self attested copy of PAN card of Authorised Signatory(ies);

ii) In case Transferor is Co-op Society:

Please ensure to enclose the following:

a) Attested copy of Bye laws b) Copy of PAN card of Co-op. Society duly attested by authorized

signatory(ies) of Co-op. Society;

c) Committee Resolution for sale of Shares and authorizing persons to sign on behalf of the Co-op. Society;

d) Self attested copy of PAN card of Authorised Signatory;

Further, the signature of transferor(s) on Securities Transfer Form (SH.4) should be duly

witnessed. In case, the transferor(s) has/have put his/her/their thumb impression, it should

be duly attested by Magistrate or Notary Public or Special Executive Magistrate or Manager

of the Transferor‟s Bank. The attesting authority should invariably mention his Name, Full

Address, Contact Number etc.

5. If the Securities Transfer Form is signed by the constituted Attorney of transferor(s), please

ensure that registration number of the Power of Attorney registered with RTAs / IDBI Bank

Ltd. is mentioned on the Securities Transfer Form (Form no. SH.4). Otherwise, the

transferor(s) should register the Power of Attorney immediately with RTAs / IDBI Bank

Ltd., before approaching for transfer. In case, a transferee wishes to have the Securities

Transfer Form (Form no. SH.4) signed by his/her/their constituted Attorney, kindly attach

the necessary Power of Attorney duly notarized. (In case the transferee is acting through his

constituted Attorney, and his/her/their Power of Attorney is already registered with IDBI

Bank Ltd., please note to quote the registration number at appropriate place.)

6. In case there are joint holders as transferee(s), self attested copy(ies) of PAN card(s) should

be submitted for all such joint holders along with the Securities Transfer Form (Form no.

SH.4).

7. In case the purchaser i.e. transferee is already having an existing folio number in similar

name(s) and order thereof, please quote the same in the Securities Transfer Form (Form no.

SH.4) to enable the Bank to register new shares in the same folio number.

8. Please mention CIN of the Bank on Securities Transfer Form (Form no. SH.4) at the place

provided therein. CIN of the Bank is L65190MH2004GOI148838

9. Sale and Purchase of shares (Physical mode) may be done through the SEBI registered

C. Transmission of shares:

1. Transmission of shares arises in case of death of the registered shareholder(s) holding shares in their name.

2. As per SEBI circular no. CIR/MIRSD/10/2013 October 28, 2013, the following Documents are required for transmission of securities held in physical mode -

I. For securities held in single name with a nominee:

i) Duly signed transmission request form by the nominee; ii) A copy of the death certificate of deceased shareholder duly attested by

competent authority(ies) (Magistrate or Notary Public or Gazetted Officer or

Manager of Nationalised Bank or official of IDBI Bank Ltd.);

iii) Self attested copy of PAN card of the nominee. (Copy of PAN card may be substituted with ID proof in case of residents of Sikkim after collecting address

proof) ;

iv) Self attested copy of Address proof i.e. AADHAAR Card or Passport or Driving Licence or Voter ID;

v) Bank Mandate Form. (Please click here for format) vi) Original Share Certificate(s)

II. For securities held in single name without a nominee :

Following documents in addition to the documents at ( I ) above are required:

i) Affidavit executed on non judicial stamp paper of appropriate value – to the effect of identification and claim of legal ownership to the securities;

ii) For value of securities of the Bank upto Rs. 2,00,000 (Rupees Two lakh only) as on date of application, one or more of the following documents:

a) No objection certificate from all legal heir(s) who do not object to such transmission (or) copy of Family Settlement Deed duly notarized or attested

by a Gazetted Officer and executed by all the legal heirs of the deceased

holder.

b) Indemnity executed on non judicial stamp paper of appropriate value – indemnifying the Bank.

iii) For value of securities more than Rs. 2,00,000 (Rupees Two lakh only) per issuer company as on date of application following document is required to

be submitted:

a) Succession certificate (or) Probate of will (or) Letter of Administration (or) Court decree.

3. Please also ensure to enclose following documents of person(s) in whose names the shares are to be transmitted –

i. Self attested copy of PAN card;

ii. Self attested copy of Passport or AADHAAR Card or Driving Licence or Voter ID;

iii. Cancelled Blank cheque of the account where future dividend, if any, is

to be credited in order to capture accurate details viz., Bank IFS Code,

MICR Code, Account number etc.

D. Name deletion :

If the shares are held in joint names, only the deceased shareholder's name is deleted. A

copy of the death certificate of deceased shareholder duly attested by competent

authority(ies) (Magistrate or Notary Public or Gazetted Officer or Manager of

Nationalised Bank or official of IDBI Bank Ltd.) is to be sent alongwith the following

documents –

i) Original Share Certificate(s); ii) Self attested copy(ies) of PAN card(s) of surviving Joint Holder(s) iii) Bank Mandate Form (Click here for Format) iv) Self attested copy of Passport /AADHAAR Card/Driving Licence/Voter ID

Please ensure that the attesting authority should mention his / her Name and address in

full.

E. Transposition (change in the order of holders) :

1. Transposition can be resorted to change the order of holders of the shares inter-se, i.e., the

first holder may become second holder or third holder and vice versa. All requests for

transposition should be sent to Registrar & Transfer Agents (RTAs) on a plain paper on the

prescribed form. (Click here for Format)

2. Following documents are required to be enclosed to application for Transposition :

i. Self attested copy of PAN card of all joint holders;

ii. Self attested copy of Voters ID or Passport or AADHAAR Card or Driving Licence of all joint holders;

iii. Bank Mandate Form alongwith Cancelled Blank cheque of the account

where future dividend, if any, is to be credited in order to capture

accurate details viz., Bank IFS Code, MICR Code, Account number etc.

iv. Original Share Certificate(s)

F. Issue of duplicate share certificate :

Duplicate share certificate(s) will be issued only after necessary notification regarding

loss/non-receipt of the original share certificates is published in the newspapers and no

objections to the issue of duplicate share certificates have received in that regard.

1. In case of defaced / damaged share certificate(s) :

Duplicate share certificate(s) can be issued in lieu of defaced/ damaged share certificates or

incase of Full of cages provided for endorsement. The defaced / damaged share certificate(s)

may be sent to Bank‟s RTAs – Karvy Computershare Pvt. Ltd., on their address given with a

request along with relevant information in order to issue duplicate certificate(s)

2. In case of theft or loss (other than postal loss) of certificate(s) :

a) The loss of share certificate(s) shall be reported immediately to Bank‟s RTAs – Karvy

Computershare Pvt. Ltd., or Board Department of IDBI Bank Ltd., at address given,

informing Certificate nos./ Folio no. and Distinctive nos. in order to enable the

Bank/RTA to note stop transfer of such shares.

b) A complaint shall be lodged with the local police station about the loss of certificate(s)

and a copy of the FIR shall be obtained.

c) Simultaneously, Competent Court should be approached for obtaining an order

restraining RTAs / IDBI Bank Ltd. from transferring such shares.

d) The request for issue of Duplicate Share Certificate(s) shall be sent to RTAs / IDBI

Bank Ltd., along with –

i. Questionnaire form;

ii. Indemnity Bond in the prescribed form duly executed on Non-Judicial

Stamp Paper of appropriate value;

iii. Letter of Surety alongwith self attested copy of his PAN Card, Self

attested copy of Passport or Voter ID or Driving Licence or AADHAAR

Card;

iv. Affidavit duly executed on Non-Judicial Stamp Paper of appropriate

value;

v. Bank Mandate Form alongwith the documents mentioned therein.

3. In case of postal loss of certificate(s) :

In case, the share certificate(s) have been lost in postal transit, the request for issue of

duplicate share certificate(s) shall be sent to RTAs / IDBI Bank Ltd. alongwith –

i. Questionnaire form;

ii. Indemnity Bond in the prescribed form duly executed on Non-Judicial

Stamp Paper of appropriate value;

iii. Letter of Surety alongwith self attested copy of his PAN Card, Self

attested copy of Passport or Voter ID or Driving Licence or AADHAAR

Card;

iv. Affidavit duly executed on Non-Judicial Stamp Paper of appropriate

value;

v. Bank Mandate Form alongwith the documents mentioned therein.

G. Issue of duplicate dividend warrant(s) :

1. Dividend warrants are dispatched within 30 days of declaration of Dividend, if any, in the Annual General Meeting (AGM). Statutory time limits are adhered to by Bank.

2. Shareholders who have not received the dividend warrants within a reasonable time after the conclusion of AGM, shall have to apply for duplicate warrant(s) alongwith a Indemnity duly

filled in as per the prescribed format only if the dividend amount is above Rs. 1500/-.(Click

3. Duplicate Dividend warrant shall be issued after reconciling the Bank statement and only if it is found that the said warrant(s) have not been encashed.

H. Revalidation of dividend warrant :

Dividend Warrant is valid for 3 months from the date of issue. On expiry of the validity period,

the Original Dividend Warrant(s) alongwith the request letter for revalidation of Dividend

Warrant(s), need to be sent to RTAs – Karvy Computershare Pvt. Ltd., / IDBI Bank Ltd.

However, it is suggested to get the Bank Mandate details recorded with the RTA- Karvy

Computershare Pvt. Ltd., / IDBI Bank Ltd., -Equity Cell, in order to receive credit of the

dividend, if any, directly to the mandated Bank Account.

I. Correction of mistakes in share certificate(s)/dividend warrant(s) :

Requests for correction in share certificates/dividend warrants duly signed by all the holders

may be sent alongwith the original share certificate(s) / Dividend warrant(s).

In case, the shares are held in demat mode under DP ID / CL ID, before sending request for

correction on dividend warrant(s), to RTA / Bank, please ensure to get the correction done on

Master record maintained at Depository Participant (DP). After due correction in the records of

DP, request for correction on Dividend Warrant may be addressed & sent to RTA or Bank at

the address provided alongwith corrected Client Master Report.

J. Change of address/Bank Mandate details :

1. If the shares are in physical form, request in writing for change of address shall be sent to RTAs –Karvy Computershare Pvt. Ltd., /IDBI Bank Ltd., indicating the folio no. alongwith

self attested copy of PAN card and Residence proof (i.e. Passport/Driving Licence/

AADHAAR card/Voter ID). If the shares are in electronic form, the request should be

forwarded to the Depository Participant in the format prescribed by DP.

2. If the shares are in physical form, request in writing for change / updating of Bank details shall be sent to RTAs –Karvy Computershare Pvt. Ltd., /IDBI Bank Ltd. indicating the folio

no. alongwith -

i) self attested copy of PAN card, ii) self attested copy of Residence proof (Passport or AADHAAR card or Voter ID

or Driving Licence);

iii) Bank Mandate Form alongwith cancelled blank cheque.

If the shares are held in electronic form, the request in prescribed format of DP should

be forwarded to the Depository Participant.

K. Change in the names of shareholders :

1. Change in the names of Individuals : a) Requests for change of names shall be made together with original Share Certificate

alongwith a copy of notification in Official Gazette issued or a newspaper publication

OR an affidavit executed on stamp paper of requisite value applicable in their state, duly

notarized.

b) Fresh specimen signature(s) duly attested by a banker shall also have to be submitted to RTAs / IDBI Bank Ltd. Bank‟s Attesting authority shall give full name, address and

Employee ID/Code while attesting the signature.

2. Change in the name consequent upon marriage/divorce :

a) For effecting the change of name consequent upon marriage/divorce, etc., the original share certificate(s) together with a copy of marriage certificate / decree of divorce duly

attested by competent authorities (Magistrate, Notary Public, Gazetted Officer, Manager

of Nationalised Bank or Officials of IDBI Bank Ltd.) shall have to be forwarded to RTA

/ IDBI Bank Ltd. (Please click here for FORMAT) alongwith –

i) self attested copy of PAN card, ii) self attested copy of Residence proof (Passport or AADHAAR card or Voter ID

or Driving Licence);

iii) Bank Mandate Form alongwith cancelled blank cheque.

b) Fresh specimen signature duly attested by a banker shall also have to be submitted to Registrar / IDBI Bank Ltd. Bank‟s Attesting authority shall give full name, address,

contact details and Employee ID/Code while attesting the signature.

3. Change in the name of Companies :

Companies desirous of changing the name in which the share certificate has been

issued shall have to furnish the following documents alongwith Original Share

certificate(s)-

i) a certified copy of the fresh Certificate of Incorporation issued by the Registrar of Companies along with attested copy of duly changed Articles of

Association, Memorandum of Association;

ii) Certified copy of Board Resolution; iii) Certified copy of Shareholders Resolution; iv) Scheme of Amalgamation/ Demerger as approved by Competent Court, etc.,

if any.

v) Court Order /decree, if any.

L. Split and Consolidation :

Shareholders desirous of split / consolidation of the share certificate, may forward the Original

Share Certificates with written request duly signed by all the holders. (Click here for FORMAT-

M. De-materialisation of shares :

a) Shares can also be held in dematerialized (demat) form in National Securities Depository Ltd. (NSDL) or Central Depository Services India Ltd. (CDSL). NSDL and CDSL are

depositories where the securities of an investor are held in electronic form through the

medium of Depository Participants (DPs). This facility obviates the difficulties of loss,

fraud, signing of Securities Transfer Form (SH.4) or delays in transfer, etc. and enables

paperless trading.

b) The shareholders have to open a Demat Account with a Depository Participant (DP) and surrender the Original Share Certificate(s) alongwith Demat Requisition Form to the RTAs

through their DP, which will be verified and if found in order, the shares will be

dematerialised and equivalent number of shares will be credited to the Demat account of the

shareholder.

c) Advantages to shareholder on holding demat shares :

i. No damage or loss of certificate, e.g. Loss in postal transit; ii. Cases of forgery or tearing or mutilation of share certificate(s) are eliminated;

iii. Once a demat account is opened with a DP, shareholder can buy or sell shares in electronic form without any paperwork and without paying stamp duty as

applicable to physical share certificate based transaction(s).

N. Re-materialisation of Shares :

Shareholders who hold shares in dematerilised form and wish to hold shares in Physical Form,

are required to submit the documents required by the Depository Participant (DP), where demat

account is maintained. Duly filled in Remat Request Form(RRF) alongwith the documents is

required to be submitted to concerned DP.

O. Unclaimed Shares Demat Suspense Account :

In compliance of Clause 5A of the Listing Agreement, Bank has opened an Unclaimed Shares

Demat Suspense Account, in which all unclaimed shares are credited. As per the said clause, as

and when the Shareholder approaches the Bank claiming his shares, the Bank shall credit the

shares lying in the Unclaimed Shares Demat Suspense Account to the Demat account of the

concerned Shareholder to the extent of the Shareholders entitlement after proper verification of

the identity of the claimant/Shareholder. For the purpose, following documents are required to

be submitted.

P. Nomination :

a) Individual Shareholder holding shares of the Bank in physical mode can nominate a person to whom his / her shares shall vest in event of his / her death.

b) Only one person can be nominated for a given folio.

How to apply for nomination:

In case of individual shareholders holding shares in physical mode, nomination can be noted

by sending the prescribed nomination form (Click Here for format) duly filled in, in

duplicate, to the Bank‟s RTA.

In case of individual shareholders holding shares in dematerialised form, Nomination has to

be recorded with the respective Depository Participant with whom the Demat account is

maintained.

Q. Payment of Dividend through Electronic Mode :

SEBI has vide Circular No. CIR/MRD/DP/10/2013 dated 21.03.2013, directed that, for

making cash payments, if any, to investors, Listed Companies shall use, either directly or

through their RTA, any Reserve Bank of India (RBI) approved electronic mode of payment

such as ECS [LECS (Local ECS) /RECS (Regional ECS) / NECS (National ECS)], NEFT

etc., In view of this, we appeal to all shareholders of the Bank to furnish the Bank account

details in the form provided in Annexures, to facilitate prompt, safe and correct payment of

the dividend, whenever declared.

Please ensure that the Bank details submitted by you to the Registrars are clear and correct,

as any error therein could result in the dividend amount being credited to wrong account.

In case of shareholders holding shares in dematerialized form, please send the request to

Depository Participant (DP) with whom the demat account is maintained.
