Bylaw1–Name&TerritorySection1:ThisorganizationshallbecalledtheIIBA®PhoenixChapter(hereinafter“theCHAPTER”).ThisorganizationisaChaptercharteredbytheInternationalInstituteofBusinessAnalysis,(hereinafter“IIBA”)andseparatelyorganized.WherethereisreferencetotheBoard,theboardconsistsoftheappointedofficersfortheirrespectiveterms.ThisdocumentisthegeneralbylawsoftheChapterwhichregulatetheoperationofthisorganization.
Section2:TheprincipalofficeoftheCHAPTERshallbelocatedinthePhoenixMetropolitanareaintheStateofArizona.Theprincipleofficeistobethesecretary’shomeaddressandfallstopresidentintheeventthereisnosecretary.
Section3:TheChapterisresponsibletothedulyelectedIIBA®BoardofDirectorsandissubjecttoallIIBA®policies,procedures,rulesanddirectiveslawfullyadopted.
Section4:TheChaptershallmeetalllegalrequirementsinthejurisdictioninwhichtheChapterconductsbusinessorisincorporatedand/orregistered.
Section5:TheBylawsoftheChaptermaynotconflictwiththecurrentIIBA®’sBylawsandallpolicies,procedures,rulesordirectivesIIBA®.ThetermsoftheCharterexecutedbetweentheChapterandIIBA®,includingallrestrictionsandprohibitions,shalltakeprecedenceovertheseBylawsandotherauthoritygrantedhereunder.
Bylaw2–ObjectiveSection1:ThepurposeoftheChapteristopromotethepracticeofbusinessanalysis,raisetheprofileofthebusinessanalystrole,andlocallyrepresentIIBA.
Section2:TheobjectivesoftheChapterareto:
• AdvancetheroleoftheBusinessAnalystasarecognizedprofession;• Supportopportunitiesformemberstonetworkwith,andgainknowledgefrom,seasonedBusinessAnalystpractitionersaswellaswithindustryandgovernmentleaders;• Provideaccessformemberstoaformal“knowledgebase”aswellasforumsforsharingexpertise,expressingprofessionalopinionsandbuildingareputationwithintheindustry;
• Providepathwaystolearnaboutbusinessanalysisbestpractices;• Obtainandsustainaleveloffinancialsecurity,sustainabilityandautonomyattheChapterlevel.• CreatecorporatesupportfortheIIBAwithinthelocalmarketbysuperiormarketing/awarenessprogramsthatdemonstratethevalueofbusinessanalysisandtheIIBA;
• LiaisewithindustryandassociationpartnerstoincreasetheawarenessandbenefittoChaptermembers.

Bylaw3 CompositionSection1:TheChaptershallconsistofanelectedPresidentandBoardofDirectorsandshallnotbeusedforthepromotionofcandidacyofanypersonseekingpublicofficeorprefermentorthepromotionofanycommercialenterprise.
Bylaw4–MembershipSection1:Membershipinthisorganizationisvoluntaryandshallbeopentoanyeligiblepersoninterestedinfurtheringthepurposesoftheorganization.Membershipshallbeopentoalleligiblepersonswithoutregardtorace,creed,color,age,sex,maritalstatus,internationalorigin,religion,orphysicalormentaldisability.
Section2:MembershipintheChapterrequiresmembershipinIIBAandtheChapter.TheChaptershallnotacceptasmembersanyindividualswhohavenotbeenacceptedasIIBAmembers,andshallnotcreateitsownmembershipcategoriesthatexcludeIIBA.
Section3:“MembersinGoodStanding”canvoteinChapterelectionsandholdoffice.MembersingoodstandingshallbedefinedasChaptermemberswhohavepaidbothIIBAandChapterdues,asverifiedbytheVicePresidentMembershiporotherboardmember.
Section4:MembersshallbegovernedbyandabidebytheIIBABylawsandbytheBylawsoftheChapterandallpolicies,procedures,rulesanddirectiveslawfullymadethereunder.
Section5:AllmembersshallpaytherequiredIIBAandChaptermembershipdues.Intheeventthatamemberresigns,membershipduesshallnotberefundedbyIIBAortheChapter.
Section6:Chapterduesandfeesarenon-refundableandnottransferable.
Section7:AnindividualapplyingtobealocalchaptermembermustbeanIIBAmemberingoodstanding.ChaptermembershipwillbeeffectivewhentheduesarepaidtotheChapter.RenewaldatesforchaptermemberswillcorrelatewiththeIIBAInternationalmembershipdate.
Section8:MembershipintheChaptershallterminateuponthemember’swrittenresignation,failuretopaydues,orexpulsionfrommembershipforjustcauseasdefinedwithintheIIBAbylaws.TheserulesapplytoChapterBoardmembersaswellasthegeneralmembership.
Section9:TheChapterBoardofDirectorswillexercisetherighttovotetoterminatemembershipbasedonjustcause.Theremustbea100percentagreementofthedecisionfromallboardmembers.ThemembermayappealthedecisiontotheChapterBoardofDirectorsorelevateittotheIIBABoardofDirectorsinwriting.TheeffectivedateofterminationwillbedeterminedbytheChapterBoardofDirectorsandwillbeformallycommunicatedinwritingtotheterminatedmember.
Section10:Memberswhofailtopaytherequiredlocalchapterduesandaredelinquentover90dayswillhavetheirnamesremovedfromtheofficialChaptermembershiplist.Adelinquentmembermaybe

reinstatedbymakingpaymentinfulltoIIBAofallunpaidduesforIIBAandtothelocalChapterifapplicable.
Section11:UponterminationofmembershipintheChapter,themembershallforfeitanyandallrightsandprivilegesofmembershiptotheChapter.
Section12:ThemembershipdatabaseandlistingsprovidedbyIIBAtotheChaptermaynotbeusedforcommercialpurposesandmaybeusedonlyfornon-profitpurposesdirectlyrelatedtothebusinessoftheChapter,consistentwithIIBApolicies.

Section2:ThePresidentshallbethechiefexecutiveofficerfortheChapterandoftheBoard,andshallperformsuchdutiesasarecustomaryforpresidingofficers,includingmakingallrequiredappointmentswiththeapprovaloftheBoard.ThePresidentshallalsoserveasamemberex-officiowiththerighttovoteonallcommittees.
Section3:TheSecretaryshallkeeptherecordsofallbusinessmeetingsoftheChapterandmeetingsoftheBoard.TheSecretarywillalsomanageallcommunicationreceivedbythechapter.
Section4:TheTreasurershalloverseethemanagementoffundsfordulyauthorizedpurposesoftheChapterandprepareandfileanyrequiredStateorFederaltaxreportsasrequiredbylaw.
Section5:TheVicePresidentMarketingisresponsibleforthepromotionincludingbutnotlimitedtolocalChapterevents,PDM’sandIIBAtosponsorsandprospectivepartners,andtomembersandpotentialmembers.
Section6:TheVicePresidentProfessionalDevelopmentwillberesponsibleforpromotingBusinessAnalysisprofessionalismthroughtheorganizationanddeliveryofeducationalpublications,seminars,workshops,andCBAP®andCCBA®StudyGroupsdesignedtohelpBusinessAnalystsachievecertification.
Section7:TheVicePresidentProgramsisresponsibleforthedevelopmentanddeliveryofprogramsrelatingtobusinessanalysisforeachscheduledChaptermeeting.ThecontentoftheseprogramsistobeconsistentandinaccordancewiththeobjectivesoftheChapterandwithapprovaloftheChapterBoard.
Section8:TheVicePresidentMembershipwillberesponsiblefortheChapter'sdevelopmentandmaintenanceofaChaptermembershipplan,maintainingaccuraterecordsofallmembersandotherparticipantsintheChapter.
Section9:TheVicePresidentofTechnologywillmaintainallnecessarytechnologypertainingtotheoperationoftheChapter.TheVicePresidentofTechnologywillalsoberesponsiblefordevelopingandmaintainingatechnologyplan,andresearchingandrecommendingtotheboardofdirectorsoptionsforimprovementoradditionstothetechnologyplatform.TheVPTechnologyisresponsibleformaintainingtheChapter’swebsite.
Section10:TheVicePresidentofVolunteersisresponsiblefortherecruitmentandon-boardingofallChaptervolunteers.TheVicePresidentofVolunteerswillalsoberesponsibleforconductingNewVolunteerOrientation,andtransitionplansforoutgoingBoardMembersandothervolunteerpositions.
Section11:TheVicePresidentofCommunicationsisresponsibleforthetimelydisseminationofinformationtoandfromtheChaptermembershipalignedwithapprovedpoliciesandprocedureforthechapterandinternationalbody.

Section12:TheDirector-At-LargewillmanageandexecutespecialprojectsthattheBoardofDirectorsdeemsimportantforthebenefitofthechapter.ProvideassistancewiththeresponsibilitiesofotherBoardmembers.Section13:ThePastPresidentshallassistthePresidentasliaisonwithIIBAifandwhenrequired.

Bylaw7–BoardofDirectorsResponsibilitiesSection1:TheChaptershallbegovernedbytheBoardofDirectors.TheBoardshallberesponsibleforcarryingoutthepurposesandobjectivesoftheChapter.
Section2:TheBoardshallconsistoftheofficersoftheChapterelectedbythemembership.AllOfficersshallbemembersingoodstandingofIIBAandoftheChapter.
Section3:TheBoardshallexerciseallpowersoftheChapter,exceptasspecificallyprohibitedbytheseBylaws,theIIBABylawsandpolicies,andthelawsofthejurisdictioninwhichtheorganizationisincorporated/registered.TheBoardshallbeauthorizedtoadoptandpublishsuchpolicies,proceduresandrulesasmaybenecessaryandconsistentwiththeseBylawsandIIBABylawsandpolicies,andtoexerciseauthorityoverallChapterbusinessandfunds.
Section4:TheBoardshallmeetatthecallofthePresident,oratthewrittenrequestofthree(3)membersoftheBoarddirectedtotheBoardSecretary.Aquorumshallconsistofnolessthanone-halfofthemembershipoftheBoardatanygiventime.Eachmembershallbeentitledtoone(1)vote.Atitsdiscretion,theBoardmayconductitsbusinessinperson,teleconference,emailorotherlegallyacceptablemeans.MeetingsshallbeconductedinaccordancewithparliamentaryproceduresdeterminedbytheBoard.
Section5:TheBoardofDirectorsmaydeclareanofficerpositiontobevacantwhereanofficerceasestobeamemberingoodstandingofIIBAoroftheChapterbyreasonofnon-paymentofdues,orwheretheofficerfailstoattendthree(3)consecutiveBoardmeetingsorfive(5)boardmeetingwithinoneyear.AnofficermayresignbysubmittingwrittennoticetothePresident.UnlessanothertimeisspecifiedinthenoticeordeterminedbytheBoard,theresignationshallbeeffectiveuponreceiptbytheBoardofthewrittennotice.
Section6:Anofficermayberemovedfromofficeforjustcauseinconnectionwiththeaffairsoftheorganizationbyatwo-thirds(2/3)voteofthememberspresentandinpersonatanofficialmeetingofthemembership,orbyatwo-thirds(2/3)voteoftheBoardafterquorumisreached.
Section7:Ifanyofficerpositionbecomesvacant,theBoardmayappointasuccessortofilltheofficefortheunexpiredportionofthetermforthevacantposition.IntheeventthePresidentisunableorunwillingtocompletethecurrenttermofoffice,anInterimPresidentwillbeappointedbytheremainingBoardmembers.Thisappointmentshallbeineffectfortheremainderofthatterm.AnyBoardpositionthatiscompletingtheunexpiredportionofavacatedpositionmustbeopentore-electionatthenextAGM.AnynewpositioncreatedbytheBoardandfilledbyappointmentofthe

Section8:Ifandwhentheboardcanconveneaquorumtheboardhasthepowerto:
• AmendChapterbylaws• AmendChapterobjectives• CommittheChaptertocontractualarrangements• TerminateanyindividualmemberforviolationofaChapterbylaworanIIBAbylaw•CreateNewBoardpositionsdeemedmissioncriticalandarejustifiedwithabusinesscase.
Section9:Ifthemembershipisdissatisfiedwithactionstakenbytheboard,apetitionsignedbysixtypercent(60%)ofthemembership,canbesubmittedtothePresidentandtheissue(s)willbetabledforactionataspecialmeetingofthemembersorthenextscheduledProfessionalDevelopmentMeeting.
Bylaw8–NominationsandElectionsSection1:ANominatingCommitteeconsistingofthree(3)ChaptermembersingoodstandingandoneBoardMember,shallprepareaslatecontainingnomineesforeachBoardpositionandshalldeterminetheeligibilityandwillingnessofeachnomineetostandforelection.CandidatesforBoardpositionsmayalsobenominatedbypetitionprocessestablishedbytheBoard.
Section2:Electionsshallbeconducted:
• DuringtheAnnualGeneralMeeting,or• Byballottoallvotingmembersingoodstanding.Thecandidatewhoreceivesasimplemajorityofvotescastforeachofficeshallbeelected.BallotsshallbecountedbytheNominatingCommitteeorbytellersdesignatedbytheBoard.IntheeventofatievotethewinnerwillbedeterminedbyavoteoftheexistingBoardofDirectors.
Bylaw9–CommitteesSection1:TheBoardmayauthorizetheestablishmentofcommitteestoadvancethepurposesoftheorganization.TheBoardshallestablishacharterforeachcommittee,whichdefinesitspurpose,authorityandoutcomes.CommitteesareresponsibletotheBoard.
Section2:ThePresidentwiththeapprovaloftheBoardshallappointallcommitteemembersandachairpersonforeachcommittee.Committeemembersmustbeappointedfromthemembershipoftheorganization.

Bylaw10–FinanceSection1:ThefiscalyearoftheChaptershallbefrom1Julyto31June.Section2:AnnualChaptermembershipduesshallbesetbytheChapterBoardandcommunicatedtoIIBAinaccordancewithpoliciesandproceduresestablishedbytheIIBABoardofDirectors.
Section3:TheBoardshallestablishpoliciesandprocedurestogovernthemanagementofitsfinancesandshallsubmitrequiredtaxfilingstoappropriategovernmentauthorities.
Section4:Alldues,billings,duescollectionsandduesdisbursementsshallbeperformedateithertheIIBAorChapterlevel.
Section5:AuditofrecordsandaccountingpracticemaybeperformedattherequestoftheChapterBoardorawrittenrequestofsixtypercent(60%)ofcurrentmembershipandwillbeperformedbyanindependentthirdparty.
Bylaw11–RatificationandAmendmentsSection1:InpursuanttoBylaw7,Section8theBoardcanamendbylaws.Noticeofsuchproposedchangesshallbesentinwritingtothemembershipatleastfifteen(15)daysbeforesuchmeetingorvote.
Section2:AmendmentsmaybeproposedbytheBoardonitsowninitiative,oruponpetitionbytenpercent(10%)ofthemembersingoodstandingaddressedtotheBoard.AllsuchproposedamendmentsshallbepresentedbytheBoardwithorwithoutrecommendations.
Section3:AllamendmentsmustbeconsistentwithIIBA’sBylawsandthepolicies,procedures,rulesanddirectivesestablishedbytheIIBABoardofDirectors,aswellaswiththeChapter’sCharterwithIIBA.
Bylaw12-DissolutionSection1:ShouldtheChapterdissolveforanyreason,itsassetsshallbedispersedtoacharitableorganization,tobedeterminedbyamajorityvoteoftheBoard,afterthepaymentofjust,reasonableandsupporteddebts,consistentwithapplicablelegalrequirements.
Appendix1–BoardofDirectorsJobDescriptionsThefollowingChapterjobdescriptionswillbeassumedbytheelectedofficeronJanuary1stfollowingelectionbythemembership.

RequirementsofBoardmembershipinclude:
• CommitmenttotheworkoftheIIBA.• MembershipintheIIBAandlocalchapter.• KnowledgeandskillsinoneormoreareasofBoardgovernance:policy,finance,programs,personnel,andadvocacy.
• Willingnesstoserveoncommittees.• AttendanceatBoardmeetings.• Attendanceatmeetingsofassignedcommittees.• AttendanceattheAnnualGeneralMeeting.• Attendanceatmembershipmeetings.• AttendanceatProfessionalDevelopmentMeetings.• Supportof,andparticipationin,specialevents.
BoardmembersareelectedbythemembershipattheAnnualGeneralMeeting.Officersserveforatwo-yearterm,excepttheDirector-At-Largewhoservesforoneyear.Officersmaybereleasedattheendoftheelectedterm,byresigning,oraccordingtotheChapterbylaws.
ABoardmemberisfullyinformedonorganizationalmatters,andparticipatesintheBoard’sdeliberationsanddecisionsinmattersofpolicy,finance,programs,personnel,andadvocacy.
TheBoardMembershall:
• Approve,whereappropriate,policyandotherrecommendationsreceivedfromtheBoardoritsstandingcommittees.
• MonitorallBoardpolicies.• ReviewtheChapterbylawsandpolicymanual,andrecommendbylawchanges.• ReviewtheBoard’sstructure,approvechangesandpreparenecessaryChapterbylawamendments.• ParticipateinthedevelopmentoftheChapter’sorganizationalplansandannualreview.• ApprovetheChapter’sbudgetforfiscalyear,withquarterlyreviews.• SupportandparticipateinevaluatingBoardmemberperformance.PerformanceisevaluatedannuallybasedontheperformanceofassignedBoardrequirementsandduties.
• AssistindevelopingandmaintainingpositiverelationsamongtheBoard,committeesandthecommunitytoenhancetheChapter’smission.
DutiesofthePresident• ProvideleadershiptotheBoardofDirectorsoftheChapter.
