• The Bank also established a rural (Gramin) bank Mewar Anchlik Gramin Bank in Udaipur District in Rajasthan on 26th January, 1983.• The bank's central office is located at

Jaipur. • Although its registered office is in Udaipur. • the bank was having 463 branches,in 24

states, with 294 of the branches being in Rajasthan.

ICICI Bank• ICICI Bank was established in 1994 by the

Industrial Credit and Investment Corporation of India

• It is the second largest bank in India by assets and third largest by market capitalization.

• It offers a wide range of banking products and financial services to corporate and retail customers.

• The Bank has a network of 2,888 branches and 10021 ATM's in India, and has a presence in 19 countries, including India.

PROCESS OF MERGER

• BoR Managing Director G Padmanabhan said after the board meeting that Haribhakti & Co has been appointed jointly by both the banks to assess the valuation.

• ICICI paid Rs.3000 Crores for it.• Each 118 shares of BOR will be converted into

25 shares of ICICI Bank• Swap ratio 1:4.72

Merger motive Since 1997,ICICI Bank has acquired smaller

banks to increase its reach.• 1997 - Acquired ITC Classic Finance• 1998 - Acquired Anagram Finance• 2000 - Acquired with the Bank of Madura• 2005 - Acquired Russia's Ivestitsionno

Kreditny Bank• 2007 - Acquired Sangli bank• 2010 - Acquired Bank of Rajasthan

Why Bank of Rajasthan

• ICICI Bank Ltd, larger private sector bank,said it agrees to acquire smaller rival Bank of Rajasthan Ltd to strengthen its presence in northern and western India.

• Deal would substantially enhance its branch network and it would combine Bank of Rajasthan branch franchise with its strong capital base.
