Step 1: Pick What Kind of Company You Want

Option 1 Private Company Limited by Shares These are the most common type of company and are what most people mean when they talk about a limited company. They can be started by 1 or more people and can trade for profit.

Option 2 Private Company Limited by Guarantee Although they can be used for profitable purposes these are normally used for non-profit purposes such as charitable companies.

Option 3 Public Company Limited by Shares These are the companies which are listed on the stock exchange. Their shares can be bought and sold by anyone who wants them. There are relatively few of these.

Use Companies House WebCHeck to see whether your company name is already being used. Check to see if the Domain Name you would like is already being used.

Step 4: Check your company name does not contain 'sensitive words'.

There are over 400 words and phrases which are classed as 'sensitive' you can only use these with permission, or in certain circumstances. For instance you cannot use the word 'Bank' without permission from the FSA. Companies House have a list of these words and conditions.

Step 5: Check your Company Name is not a Trade Mark

You need to check with the Intellectual Property Office that your idea for a company name has not been registered as a trade mark.

Step 6: Pick a Company Address

Every company needs a registered address. This is publically available to anyone who wants it. If you are starting your new business from home it may be a good idea to use a Registered Office Service instead.

The board of directors are the people who are legally responsible for running a company. They can appoint managers to do the day to day running of the business if they want to. In small companies the directors and managers are often the same people.

Company Shareholders are the ones who own a company. You will need to decide who is going to be a shareholder and how many shares they are going to have each. Shareholders have a lot of power in a company so pick carefully!

You need a Memorandum Of Association which says you intend to form a company. Then you need the Articles of Association which are the rule book for your company. They say what the company can do and who gets a say in what decisions. There are Model Articles of Association available or you can write your own.
