Để ngày càng hội nhập và hướngtới các thông lệ và chuẩn mựcquốc tế, HOSE luôn nỗ lực trongviệchoànthiệncơsởhạtầng.DựánmangtínhchiếnlượccủaHOSElàdựánThiếtkếgiảipháp,cungcấplắpđặtchuyểngiao hệ thống Công nghệ thông tin (Dự ánCôngnghệthôngtintổngthể)đãđượcBộTàichínhphêduyệtthiếtkếvàdựtoánvàotháng10/2015vàđangđượcgấprútđẩymạnhtiếnđộ.Saukhihoànthành,dựánnàysẽtrangbịđồngbộcơsởhạtầngcôngnghệthôngtincókhảnăngđápứng,đónđầusựpháttriểncủa thị trườngchứngkhoánchocácđơnvịthụhưởng(HOSE,HNXvàVSD),baogồmcácnghiệpvụgiaodịch, giámsát, thông tin thịtrường,lưuký,đăngkývàthanhtoánbùtrừ…gópphầngiúpcácđơnvịnângcaonănglựctổchức,quảnlývàvậnhànhthịtrường,tốiưuhóachiphí,hướngtớicácthônglệvàchuẩnmựcquốctế.

Ngoàira,trongnăm2015,HOSEcũngđãtriểnkhaidựánXâydựnghệthốngquảnlýthôngtin doanh nghiệp (ECM) nhằm tối ưu hóacôngtácquảnlýthôngtin,tàiliệunộibộ.CácdựáncôngnghệthôngtinnàyhoànthànhsẽgópphầnđưaHOSEbước lênmột tầmcaomớitrongcôngcuộcpháttriểnvàhộinhập,vươn lên là Sở Giao dịch Chứng khoán cópháttriểnmạnhtrongkhuvực.

Cụthể,trongnăm2015,vớinhữngchỉđạosátsaocủaBộTàichính,HOSEđãhoàn thiện cơ cấu tổ chức, phânđịnh rõ chứcnăngđịnhhướngchiếnlượcvàchứcnăngđiềuhànhnhằmtáchbạchvànângcaovaitròquảntrịcôngtytốttạiHOSE.Bêncạnhđó,cácchươngtrìnhkiểmsoátnộibộtrongnămđượcxâydựngkếhoạchlàmviệcrõràng,tậptrungvàotoànbộcácmặthoạtđộngnhằmđảmbảoviệctuânthủcácquyđịnhcủaphápluật,cácquychế,quytrìnhnghiệpvụ,quyđịnhnộibộcủaHOSE.Quađó,nhữngtồntại,saiphạmtrongmọihoạtđộngnghiệpvụđượcpháthiện,ngănngừavàkịpthờikiếnnghịxửlý.VớiviệctiếptụcduytrìhệthốngquảnlýchấtlượngtheotiêuchuẩnISO9001:2008hướngđếnchuyểnđổiápdụngtiêuchuẩnISO9001:2015trongnhữngnămtiếptheo.Trongnăm2015,HOSEđãthựchiệnQuychếBảomậtthôngtinthôngquaviệctổchứctậphuấnchocánbộcôngnhânviênnhằmnângcaokhảnăngnhậnthứcvềquảnlýrủiro;XâydựngChươngtrìnhhànhđộngthựchànhtiếtkiệm,chốnglãngphí,nângcaoýthứccủatậpthể,cánhânmanglạihiệuquảtronghoạtđộngcủađơnvị.

Ngày18/05/2015,HOSEchínhthứctrởthànhđốitáccủaSángkiếnSởGiaodịchChứngkhoánpháttriểnbềnvững(SSEInitiative).3. Ngày 30/07/2015, Thủ tướng Vương quốc Liên hiệp Anh và BắcAi-LenDavidCameron thamdựHộinghịgiữacácdoanhnghiệpVươngquốcAnhvàViệtNamdiễnratạiHOSE.4. Ngày07/08/2015 ,HộinghịTổngGiámđốccácSởGiaodịchChứngkhoánkhuvựcASEAN(ASEANExchanges)lầnthứ23tạiTP.HồChíMinh.

Bên cạnh tín hiệu tích cực về sự phục hồi và tăng trưởng của nền kinh tế, cải cách về chính sách đối với sự tham gia của nhà đầu tư nước ngoài, thị trường chứng khoán cũng chịu ảnh hưởng từ sự suy giảm mạnh của giá dầu thế giới và sự phá giá liên tục của đồng nhân dân tệ.

Trongbối cảnh đó, nền kinh tế Việt Nam vẫn tiếp tục tăngtrưởng,môitrườngđầutưđượccảithiệnvớinhiềuvănbảnluật,quyđịnhđượcsửađổivàbanhànhcùngvớisựđộtphátrongquanhệkinhtếmớiđặcbiệtlànhữngkếtquảtrongđàmphánHiệpđịnhđốitácxuyênTháiBìnhDương(TPP)đãgiúpthịtrườngchứngkhoánViệtNamnăm2015vẫnduytrìđượcsựpháttriểntươngđốiổnđịnh,hấpdẫndòngvốnđầutưgiántiếpnướcngoàivàtrởthànhđiểmsángnổibậttrongkhuvực.

Trong năm 2015, HOSE tiếp tục tăng cường phát triển các sản phẩm đầu tư và phòng ngừa rủi ro mới trên thị trường. Bộ chỉ số HOSE-Index được hoàn thiện với sự ra mắt của chỉ số Tổng thu nhập TRI vào tháng 7/2015 và dự kiến bộ chỉ số ngành theo chuẩn phân ngành quốc tế GICS® sẽ được triển khai vào Quý I năm 2016.

Các hoạt động nâng cao chất lượng quản trị công ty và phát triển bền vững đã được HOSE chú trọng đẩy mạnh. Các buổi hội thảo, tập huấn về quản trị công ty cùng với giải thưởng báo cáo thường niên, báo cáo phát triển bền vững vinh danh các doanh nghiệp niêm yết hàng năm đã thu hút sự quan tâm ngày càng lớn của doanh nghiệp nói riêng cũng như của toàn thị trường nói chung.

Tínhđếnhếtngày31/12/2015, trênHOSEcó307cổphiếu,1chứngchỉquỹETF,39tráiphiếudoanhnghiệpđangđượcniêmyếtvàgiaodịchvớitổnggiátrịniêmyếtđạt434.072tỷđồng,tăng28,4%sovới2014.

Trong năm 2015, HOSE tiếp tục tăng cường phát triển các sản phẩm đầu tư và phòng ngừa rủi ro mới trên thị trường. Bộ chỉ số HOSE được hoàn thiện với sự ra mắt của chỉ số Tổng thu nhập TRI vào tháng 7/2015 và dự kiến bộ chỉ số ngành theo chuẩn phân ngành quốc tế GICS® sẽ được triển khai vào Quý I năm 2016.

Năm 2015 được xem là năm tái cấu trúc mạnh mẽ của các công ty chứng khoán, HOSE đã thực hiện chấm dứt thành viên bắt buộc đối với 05 Công ty Chứng khoán, chấm dứt thành viên tự nguyện đối với 05 công ty chứng khoán, đồng thời chấp thuận thành viên đối với 01 trường hợp hợp nhất.

TRONG NĂM 2015, CÁC HOẠT ĐỘNG ĐOÀN THỂ CỦA HOSE DIỄN RA RẤT SÔI NỔI

Câu lạc bộ thể dục thể thao nhưbóngđá,cầulông,bóngbàn,đồngthờihỗtrợchocáccôngđoànviênchi phí sân bãi để luyện tập. Đặcbiệt, trong dịp kỷ niệm 15 năm hoạt độngcủaHOSE,CôngđoànHOSEđãphốihợpvớiĐoàn thanh niênHOSE tổ chức các giải thiđấu,giaolưuthểthaonhư:bóngđá,bowling,bóng bàn, cầu lông, quần vợt với sự thamgiacủacácđơnvị trongvàngoàingành; tổchứcHộidiễnvănnghệ trongngànhchứngkhoánđã tạokhôngkhíphấnkhởi, vui tươicũngnhư tăngcường sựkếtnối giữa tất cảcácthànhviênthịtrường.

Công đoàn HOSE đã xây dựng nhiều chính sách chăm lo đời sống vật chất và tinh thần, duy trì thực hiện chương trình khám sức khỏe cho các công đoàn viên;

KẾ THỪA NỀN TẢNG – KẾT NỐI TƯƠNG LAIAs the operator and manager of a concentrated stock market with 90% of the total market capitalization, HOSE has been putting many efforts to perfectise towards international practices, corresponding to the needs of the market as well as strictly following economic policies of the Government.

STANDARDIZING SYSTEMS – DEALING WITH MULTI-CONNECTIONS


AND DEEPER PARALLELY WITH

HOSE has been accelerating infrastructure upgrade to be increasingly integrated and aligned with international standards and

practices for the HOSE’s strategic project "Designing, Procuring and Installing with Technology Transfer a Complete Solution for IT System" (Integrated IT Project), the design and estimated budget were approved in 10/2015 by The Ministry of Finance. The project has been pushed up aggressively. After completion, this project will equip synchronous technology infrastructure which facilitates the stock market development for the beneficiaries (HOSE, HNX and VSD), including trading, surveillance, market information, custody, registration and clearing services, supporting the beneficiaries in improving the capacity of market, optimizing cost, moving towards international standards and practices.

HOSE also implemented Enterprise Content Management (ECM) Project for optimization of managing internal information and documents. These information technology projects will bring HOSE to a new level in growth and integration, becoming a highly developed stock market in the region.

Specifically, under the careful guidance of the Ministry of Finance, HOSE has completed the organizational structure, clearly defined the strategic direction functions to the management functions for enhancing the role of corporate governance in HOSE.

Besides, internal management was clearly planned, focusing on all aspects of operations in order to ensure the compliance with the laws, regulations, procedures and internal regulations. Therefore, weaknesses and violations in all activities were prevailed, prevented and timely handled. The exchange continued maintaining the quality management system in accordance with ISO 9001:2008 standard towards transformation into the implementation of ISO 9001:2015 standard in the future. In 2015, HOSE implemented the Information Confidentiality Regulation through internal trainings to enhance the staff’s understandings of risk management; developed Action Program in order to save costs and raise staff concenciousness for operational effectiveness of the organization.

1. HOSE Representative Delegation participated in the 55th General Assembly and Annual Meeting of the World Federation of Exchanges (WFE) held in Doha, Qatar, 19/10/2015.

2. HOSE officially became a partner of The Sustainable Stock Exchanges Initiative (SSE Initiative), 18/05/2015.

3. The Prime Minister of United Kingdom of Great Britain and Northern Ireland, David Cameron, presented in the Conference between Enterprises of United Kingdom and Vietnam held at HOSE, 30/07/2015.

4. The 23rd ASEAN Stock Exchanges CEOs Meeting (ASEAN Exchanges) in Hochiminh City, 07/08/2015.

ON THE MARKETof VND 487 trillion. Average trading volume reached 113.7 million securities per day, equivalent to the average of VND 1,965 billion a day (decreased 7.87% in volume and 9.51% in value compared to 2014). Foreign investors had another net buy year with net value over VND 2,000 billion.

Although total trading volume and value were lower than that of 2014, at year end 2015, VN-Index reached 579.03 points, increased 33.4 points compared to the year end 2014, equivalent to an increase of 6.12% and was in the top 5 gaining indices in Asia. Market capitalization on 31/12/2015 reached VND 1,147 trillion, increased VND 161,667 billion from 2014 (16.41% increased).

In addition, the Total Return Indices (TRI) was added into the HOSE Index Series on 27/07/2015, providing better evaluation of investment funds growth by accounting both dividends and price factors. On 31/12/2015, VN30 Index closed at 595.57 points, decreased by 0.69%, while VNMidcap and VNSmall increased 17.19% and 2.18% respectively compared to year end 2014.

2015 marked the 15 year anniversary development of

Vietnam stock market.

MOVEMENTS

Besides the positive effects from the recovering and growth of the economy and the easing of policy on foreign investors, the stock market was also impacted by the sharp decline of world

oil prices and the devaluation of the Chinese Yuan. In summary, the year 2015 has marked the following points:

ACTIVE IN THE LAST MONTHS OF THE YEAR

Following the new policies and regulations accelerating SOEs equalization and divestment according to the Government orientation, in 2015, HOSE conducted

successfully 50 auctions, increased 11% compared to 2014. However, total volume and value of shares sold reduced by 36.1% and 37.6% respectively due to the missing of large scale auctions such as the ones of Vietnam Airlines, Vinatex or Vocarimex in 2014.

Also in this year, a number of new policies were issued such as Decree No. 116/2015/NĐ-CP dated 11/11/2015 amending , supplementing a number of articles of the Decree No. 59/2011/NĐ-CP dated 18/6/2015 of the Government on transformation of enterprises with 100% state capital into joint-stock companies; Decree No.60/2015/NĐ-CP dated 26/6/2015, amending decree No. 58/2012/ND-CP on providing specific provisions for the implementation of certain articles of the law on

securities and the law on amending and supplementing a number of articles of the law on securities, Decision No. 41/2015/QĐ-TTg dated 15/9/2015 on selling shares in batches. The policies has boosted share auctioning activities in the last months of the year, in which, for the first time, 2 auctions in batch were conducted, breaking a new ground for auctioning activities.

Recognizing the importance of complete, accurate and timely information disclosure, in 2015, HOSE has conducted many activities to expand the media's understanding on stock

market operation.

Simultaneously with quarterly press meetings to provide timely information on market activities, HOSE has been actively created many opportunities and forums for the journalists and media, thereby enhancing the accuracy in media coverage between HOSE and the media, supporting the investors to get useful information and data for their investments. Inheriting the achievements in 2015, along

with Vietnam stock market development strategies in the period of 2016 - 2020, HOSE will continue to focus on promoting the following key actions.

In 2015, HOSE continued to enhance development of investment and risk management products. HOSE-Index Series was finalized with the launch of Total Return Index (TRI) in July and, the international standardized industry classification GICS® is scheduled to be launched in the first quarter of 2016. Besides, HOSE is actively coordinating with the State Securities Commissions in finalizing the drafted Circular providing guidance on issuance and trading of covered warrant which is expected to be promulgated at the beginning of 2016, paving the way for deployment of new products in the next year.

Increasing market scale as well as enhancing product quality is the major focus of HOSE throughout 15 years of development. In order to create a base for sustainable

development of enterprises and enhance transparency towards the target of upgrading Vietnam Stock Market, HOSE has been strengthening management and communication on corporate governance, information disclosure, corporate risk management … The efforts of HOSE in enhancing quality of products have had a ripple effect with the initial results of 5 companies listed on HOSE awarded the ASEAN Corporate Governance Scorecard this year. Besides, violation of information disclosure requirements has reduced significantly. As a partner of Sustainable Stock Exchanges Initiative (SSE Initiative) since 2015, HOSE expected to have many more opportunities in promoting environmental, social and corporate governance (ESG) issues among enterprises, engaging sustainable development.

In addition, ultilsing performance of the Exchange Tower, completing the Disaster Recovery Center and accelerating the implementation of the IT project of a modern and synchronised trading system for the whole market have been HOSE’s main focuses within the year.

Along with the events celebrating 15 years of operation, the year 2015 has closed, marking the encouraging results of HOSE in operating and developing the stock market. The year has opened a new stage of development with the key objective for the year 2016: continuing to increase scale and liquidity of the market, developing corporate bond market, implementing covered warrant, creating ESG Indices, enhancing corporate governance; accelerating the progress of IT projects and exploiting effectively the cooperation with other Stock Exchanges as well as the international financial, institutions.

In the year 2015, the global economy was more volatile, especially, the recent fall of China stock market and the Chinese Yuan devaluation has led to withdrawal effects and the sharp decline

of indices on many major stock markets. In that context, Vietnam’s economy still continues to growth. The investment environment has been reinforced with more laws and regulations amended and promulgated along with many breakthroughs in special economic relations, particularly the results in negotiating partnership agreements across the Pacific (TPP) had helped Vietnam's stock market in 2015 maintained a relatively stable development, attracting foreign inflows and becoming a bright spot in the region.

Vietnam Stock Market has been the top growing market within the region. VNIndex increased 6.2% compared to the end of 2014 while many other markets had negative growth, for example, the market in Indonesia, Singapore, Thailand with the main indices decline of over 10%. Total market capitalization at 31/12/2015 reached VND 1.14 quadrillion, increased 16.41% compared to 31/12/2014, approximately 27.3% of 2015 estimated GDP. Opposite to the wave of divestments in regional markets, foreign investors, on the other hand, remained net buyers in Vietnam stock market. Foreign trading value took 14% of total trading value. Maintaining the results in a volatile market has been the efforts of Hochiminh Stock Exchange (HOSE) for 15 years in diversifying listed products, organising market structure and transparency,

QUALITY OF LISTED COMPANIES WERE IMPROVED

Listing in 2015 was more active and vigorous than that of 2014. To be more specific, 19 companies and 1 corporate bond were approved for listing, increased by 73% compared to last year. The

number of listing registrations went up dramatically by 148.5%, reaching 7.78 billion in additional shares, mobilizing VND 29,340 billion, increased by 61.02% compared to 2014. The exchange of ETF was made daily (ETF VFMVN30 of VietFund Management), with the total of 22,500,000 certificates were successfully exchanged in 2015.

During the year, HOSE conducted diverse activities to support corporate governance and sustainable development for listed companies including workshops, trainings and awards for best annual reports and best sustainability reports, raising awareness among listed companies and the whole market.

There were 17 delistings in 2015 (compared to 5 cases in 2014), mainly due to exceeded loss because of business difficulties and voluntary delisting to restructure the company. The total delisted volume was 517,080,271 shares, increased by 116.6%. By December 31st 2015, 307 stocks, 1 ETF, 39 corporate bonds were listed and traded with total listing value increased by 28.4% compared to 2014, reached VND 434,072 billion.

Violation of information disclosure requirements was decreased in 2015, in which, number of warnings and violations reduced by 21% and 24.9% respectively. All the 5 awarded companies of Vietnam at ASEAN Corporate Governance Scorecard Award were listed on HOSE.

Apparently, both quantity and quality of listed companies were improved, helped to increase market confidence.

consultancy, auctioning consultancy, and expanding of investors network. The appearance of new securities firms on the list of honors showed that not only did the securities firms maintain stable operation, but also focused on depth, towards professional services.

Besides, in response to the launch of new products, HOSE focused on the preparation of the necessary conditions to deploy Covered Warrant, such as trading system; operating, listing and information disclosure requirements; regulations on the market makers… in which the securities firms are issuers and market makers. This would be a challenging playground for securities firms in the near future.

As of 31/12/2015, there were 79 member securities firms (decreased by 09 members compared to 2014), with the total capital of over VND 38,862 billion, increased by VND

2,705 billion, equivalent to 7.48% risen compared to 2014. Although the market was considered to be difficult, there were 57 securities firms reported gainings with total accumulated profits of VND 3,341 billion. The number of trading accounts at the end of 2015 increased by 6.19% over 2014. The violations of reporting and information disclosure requirements have significantly reduced (of 70%) compared to last year. Moreover, 2015 was the third year that HOSE honored securities firms for the best performance in brokerage, SOEs equitization

The year 2015 was considered to be a strong restructuring year of securities firms. During the year, HOSE proceeded 05 voluntary and 05 compulsory terminations of membership, as well as approved membership for one consolidated securities firms.

The HOSE-Index Series was finalized with the launch of the Total Return Index (TRI) in 07/2015, providing additional reference for evaluating more accurately the performance of

investment funds.HOSE also concentrated on preparing conditions to deploy the Covered Warrant. The exchange has been actively collaborating with the State Securities Commission to complete the legal framework and the drafted circular on issuing and trading of the Covered Warrant. The drafted circular collected market opinions in the end of 11/2015, expected to be promulgated in the first quarter of 2016. HOSE also held meetings with potential securities firms to introduce the products, as well as assessed the demand on issuance of the product. The preparation on the procedures and trading system have been carefully planned for the launch of the product at the end of 2016.

One year after listing the first ETF VFMVN30 on HOSE, the listing scale has increased nearly 90% with improved liquidity, gaining interest from many foreign investors and institutions. In order to bring ETF closer to the investors, HOSE held a series of ETF knowledge disseminations with active participation from securities firms and investors.

In 2016, the HOSE’s main products will be Covered Warrant, ESG Indices and High Dividend Index. In addition, HOSE will conduct research technical proposals and policy solutions to enhance corporate bonds market as well as ETF market.

Introducing GICS® Industry Classification System and HOSE Sector Indices on November 27th, 2015.

Besides, HOSE also signed contract with MSCI for applying the Global Industry Classification Standard (GICS®), providing an international standard sector classification to the listed companies on HOSE in accordance with the launch of the Sector Indices in the beginning of the 2016. Sector indices would be the supporting tool for investors to monitor growth trends of different sectors before making investment decisions, facilitating foreign investors in accessing the market, towards the market upgrade for Vietnam.

In the trend of international economic integration with many Free trade agreements, as the bridge to connect businesses,

HOSE will promote activities providing information, increasing competitiveness and connecting companies between markets, supporting capital mobilization for Vietnamese enterprises in international markets and foreign enterprises in Vietnam market.

IMPROVING

INTEGRATING WITH INTERNATIONAL PRACTICES

From the beginning of the year, the new HOSE’s website came into operation. Transaction data and market information was fully updated and more diverse

through the new interface and modern features, providing investors more accesses to information. Besides, foreign investors could easily refer to the information disclosed on the market using the English version of the website: www.hsx.vn.

Simultaneously with disclosing listed companies on HOSE in compliance with the Global Industry Classification Standard (GICS®) on the website, the sector indices and information related to the HOSE Index series were also diversified for investors’ reference, facilitating the development of investment products assigned to the indices. Besides, HOSE also focused on researching, building and providing services, information products following the international practices, suiting different customer groups or special demands.

The year 2015 marked the 15-years-journey in development and integration of Vietnam Stock Market. HOSE has been always striving to adopt international practices to support investors in making the best investment

decisions.

COMPLETING TRADING SURVEILLANCE SYSTEM

STRENGTHENING MARKET TRANSPARENCY

In the near future, following the growing market demand and the launch of new products, HOSE will continue to develop and complete the surveillance system and the related regulations, contributing to the solid foundation of the stock market and enhancing investors’ confidence.

In 2015, the Trading Surveillance System was upgraded based on the new Surveillance Criteria which is in line with market movements and scenarios. Input

database was also standardized and trading surveillance software was supplemented more functions in order to enhance the effectiveness of supervision and contribute to the market transparency.

Violations to the compliance of disclosing information of major shareholders, internal shareholders and related persons increased by 5.43% compared to 2014. The number of suspicious transactions decreased compared with previous year.

IN 2015, THE HOSE UNION ACTIVITIES WERE VERY ACTIVE

Operating sport Clubs such as football, badminton, table-tennis, while supporting training facility fees for the union members. Especially,

in the 15 Years of Operation Ceremony, HOSE Union has collaborated with HOSE Youth Union to organise sport exchanges with other organisations such as: football, bowling, table tennis, badminton, tennis tournaments; organising Musical Contest within the stock market, creating exciting and fun atmosphere as well as increasing connection between all market participants.

HOSE union took a good care of the union members in physical and spiritual life, maintaining to perform health screening program for the union members;

As for Community activities, HOSE Union contributed for building a concrete bridge in Duc Hoa district, Long An province; contributed a day of actual wages for building Kintergarden in Noong Khat, Yen Minh district, Ha Giang province; donated rice to help poor ethnic communities in Binh Phuoc province; contributed to support poor local people and students; contributed to the Ministry of Finance Union charity fund. Besides, HOSE Union and HOSE Youth Union attended “Mua xuan bien gioi” program to visit, give medical examinitions and Tet gifts for ethnic communities in the borders of Gia Lai, Kon Tum provinces.

UNION ACTIVITIES AND COMMUNITY RESPONSIBILITIES


In the year 2015, the global economy was more volatile, especially, the recent fall of China stock market and the Chinese Yuan devaluation has led to withdrawal effects and the sharp decline

of indices on many major stock markets. In that context, Vietnam’s economy still continues to growth. The investment environment has been reinforced with more laws and regulations amended and promulgated along with many breakthroughs in special economic relations, particularly the results in negotiating partnership agreements across the Pacific (TPP) had helped Vietnam's stock market in 2015 maintained a relatively stable development, attracting foreign inflows and becoming a bright spot in the region.

Vietnam Stock Market has been the top growing market within the region. VNIndex increased 6.2% compared to the end of 2014 while many other markets had negative growth, for example, the market in Indonesia, Singapore, Thailand with the main indices declined of over 10%. Total market capitalization at 31/12/2015 reached VND 1.14 quadrillion, increased 16.41% compared to 31/12/2014, approximately 27.3% of 2015 estimated GDP. Opposite to the wave of divestments in regional markets, foreign investors, on the other hand, remained net buyers in Vietnam stock market. Foreign trading value took 14% of total trading value. Maintaining the results in a volatile market has been the efforts of Hochiminh Stock Exchange (HOSE) for 15 years in diversifying listed products, organising market structure and transparency,

consolidating and developing techonology infrastructure, and ensuring an effective market in both scale and quality.

In 2015, HOSE continued to enhance development of investment and risk management products. HOSE-Index Series was finalized with the launch of Total Return Index (TRI) in July and, the international standardized industry classification GICS® is scheduled to be launched in the first quarter of 2016. Besides, HOSE is actively coordinating with the State Securities Commissions in finalizing the drafted Circular providing guidance on issuance and trading of covered warrant which is expected to be promulgated at the beginning of 2016, paving the way for the deployment of new products in the next year.

Increasing market scale as well as enhancing product quality is the major focus of HOSE throughout 15 years of development. In order to create a base for sustainable

development of enterprises and enhance transparency towards the target of upgrading Vietnam Stock Market, HOSE has been strengthening management and communication on corporate governance, information disclosure, corporate risk management … The efforts of HOSE in enhancing quality of products have had a ripple effect with the initial results of 5 companies listed on HOSE awarded the ASEAN Corporate Governance Scorecard this year. Besides, violation of information disclosure requirements has reduced significantly. As a partner of Sustainable Stock Exchanges Initiative (SSE Initiative) since 2015, HOSE expected to have many more opportunities in promoting environmental, social and corporate governance (ESG) issues among enterprises, engaging sustainable development.

In addition, ultilsing performance of the Exchange Tower, completing the Disaster Recovery Center and accelerating the implementation of the IT project of a modern and synchronised trading system for the whole market have been HOSE’s main focuses within the year.

Along with the events celebrating 15 years of operation, the year 2015 has closed, marking the encouraging results of HOSE in operating and developing the stock market. The year has opened a new stage of development with the key objective for the year 2016: continuing to increase scale and liquidity of the market, developing corporate bond market, implementing covered warrant, creating ESG Indices, enhancing corporate governance; accelerating the progress of IT projects and exploiting effectively the cooperation with other Stock Exchanges as well as the international financial, institutions.

On behalf of HOSE, we would like to thank the regulators, investors, market participants and multimedia partners for accompanying with HOSE during the development path. Listing in 2015 was more active and vigorous than that of 2014. To be more specific, 19 companies and 1 corporate bond were approved for listing, increased by 73% compared to last year. The

number of listing registrations went up dramatically by 148.5%, reaching 7.78 billion in additional shares, mobilizing VND 29,340 billion, increased by 61.02% compared to 2014. The exchange of ETF was made daily (ETF VFMVN30 of VietFund Management), with the total of 22,500,000 certificates were successfully exchanged in 2015.

During the year, HOSE conducted diverse activities to support corporate governance and sustainable development for listed companies including workshops, trainings and awards for best annual reports and best sustainability reports, raising awareness among listed companies and the whole market.

There were 17 delistings in 2015 (compared to 5 cases in 2014), mainly due to exceeded loss because of business difficulties and voluntary delisting to restructure the company. The total delisted volume was 517,080,271 shares, increased by 116.6%. By December 31st 2015, 307 stocks, 1 ETF, 39 corporate bonds were listed and traded with total listing value increased by 28.4% compared to 2014, reached VND 434,072 billion.

Violation of information disclosure requirements was decreased in 2015, in which, number of warnings and violations reduced by 21% and 24.9% respectively. All the 5 awarded companies of Vietnam at ASEAN Corporate Governance Scorecard Award were listed on HOSE.

Apparently, both quantity and quality of listed companies were improved, helped to increase market confidence.

oN THE mArKETof VND 487 trillion. Average trading volume reached 113.7 million securities per day, equivalent to the average of VND 1,965 billion a day (decreased 7.87% in volume and 9.51% in value compared to 2014). Foreign investors had another net buy year with net value over VND 2,000 billion.

Although total trading volume and value were lower than that of 2014, at year end 2015, VN-Index reached 579.03 points, increased 33.4 points compared to the year end 2014, equivalent to an increase of 6.12% and was in the top 5 gaining indices in Asia. Market capitalization on 31/12/2015 reached VND 1,147 trillion, increased VND 161,667 billion from 2014 (16.41% increased).

In addition, the Total Return Indices (TRI) was added into the HOSE Index Series on 27/07/2015, providing better evaluation of investment funds growth by accounting both dividends and price factors. On 31/12/2015, VN30 Index closed at 595.57 points, decreased by 0.69%, while VNMidcap and VNSmall increased 17.19% and 2.18% respectively compared to year end 2014.

Following the new policies and regulations accelerating SOEs equalization and divestment according to the Government orientation, in 2015, HOSE conducted

successfully 50 auctions, increased 11% compared to 2014. However, total volume and value of shares sold reduced by 36.1% and 37.6% respectively due to the missing of large scale auctions such as the ones of Vietnam Airlines, Vinatex or Vocarimex in 2014.

Also in this year, a number of new policies were issued such as Decree No. 116/2015/NĐ-CP dated 11/11/2015 amending , supplementing a number of articles of the Decree No. 59/2011/NĐ-CP dated 18/6/2015 of the Government on transformation of enterprises with 100% state capital into joint-stock companies; Decree No.60/2015/NĐ-CP dated 26/6/2015, amending decree No. 58/2012/ND-CP on providing specific provisions for the implementation of certain articles of the law on

securities and the law on amending and supplementing a number of articles of the law on securities, Decision No. 41/2015/QĐ-TTg dated 15/9/2015 on selling shares in batches. The policies has boosted share auctioning activities in the last months of the year, in which, for the first time, 2 auctions in batch were conducted, breaking a new ground for auctioning activities.

consultancy, auctioning consultancy, and expanding of investors network. The appearance of new securities firms on the list of honors showed that not only did the securities firms maintain stable operation, but also focused on depth, towards professional services.

Besides, in response to the launch of new products, HOSE focused on the preparation of the necessary conditions to deploy Covered Warrant, such as trading system; operating, listing and information disclosure requirements; regulations on the market makers… in which the securities firms are issuers and market makers. This would be a challenging playground for securities firms in the near future.

As of 31/12/2015, there were 79 member securities firms (decreased by 09 members compared to 2014), with the total capital of over VND 38,862 billion, increased by VND

2,705 billion, equivalent to 7.48% risen compared to 2014. Although the market was considered to be difficult, there were 57 securities firms reported gainings with total accumulated profits of VND 3,341 billion. The number of trading accounts at the end of 2015 increased by 6.19% over 2014. The violations of reporting and information disclosure requirements have significantly reduced (of 70%) compared to last year. Moreover, 2015 was the third year that HOSE honored securities firms for the best performance in brokerage, SOEs equitization

THE mArKET’s dEmANd for dEvElopmENT

The HOSE-Index Series was finalized with the launch of the Total Return Index (TRI) in 07/2015, providing additional reference for evaluating more accurately the performance of

investment funds.HOSE also concentrated on preparing conditions to deploy the Covered Warrant. The exchange has been actively collaborating with the State Securities Commission to complete the legal framework and the drafted circular on issuing and trading of the Covered Warrant. The drafted circular collected market opinions in the end of 11/2015, expected to be promulgated in the first quarter of 2016. HOSE also held meetings with potential securities firms to introduce the products, as well as assessed the demand on issuance of the product. The preparation on the procedures and trading system have been carefully planned for the launch of the product at the end of 2016.

One year after listing the first ETF VFMVN30 on HOSE, the listing scale has increased nearly 90% with improved liquidity, gaining interest from many foreign investors and institutions. In order to bring ETF closer to the investors, HOSE held a series of ETF knowledge disseminations with active participation from securities firms and investors.

In 2016, the HOSE’s main products will be Covered Warrant, ESG Indices and High Dividend Index. In addition, HOSE will conduct research technical proposals and policy solutions to enhance corporate bonds market as well as ETF market.

Besides, HOSE also signed contract with MSCI for applying the Global Industry Classification Standard (GICS®), providing an international standard sector classification to the listed companies on HOSE in accordance with the launch of the Sector Indices in the beginning of the 2016. Sector indices would be the supporting tool for investors to monitor growth trends of different sectors before making investment decisions, facilitating foreign investors in accessing the market, towards the market upgrade for Vietnam.

In the near future, following the growing market demand and the launch of new products, HOSE will continue to develop and complete the surveillance system and the related regulations, contributing to the solid foundation of the stock market and enhancing investors’ confidence.

In 2015, the Trading Surveillance System was upgraded based on the new Surveillance Criteria which is in line with market movements and scenarios. Input

database was also standardized and trading surveillance software was supplemented more functions in order to enhance the effectiveness of supervision and contribute to the market transparency.

Violations to the compliance of disclosing information of major shareholders, internal shareholders and related persons increased by 5.43% compared to 2014. The number of suspicious transactions decreased compared with previous year.

From the beginning of the year, the new HOSE’s website came into operation. Transaction data and market information was fully updated and more diverse

through the new interface and modern features, providing investors more accesses to information. Besides, foreign investors could easily refer to the information disclosed on the market using the English version of the website: www.hsx.vn.

Simultaneously with disclosing listed companies on HOSE in compliance with the Global Industry Classification Standard (GICS®) on the website, the sector indices and information related to the HOSE Index series were also diversified for investors’ reference, facilitating the development of investment products assigned to the indices. Besides, HOSE also focused on researching, building and providing services, information products following the international practices, suiting different customer groups or special demands.

“Introduction of Global Industry Classification Standard (GICS®) & HOSE Sector Indices”, 27/11/2015.


HOSE has been accelerating infrastructure upgrade to be increasingly integrated and aligned with international standards and

practices for the HOSE’s strategic project "Designing, Procuring and Installing with Technology Transfer a Complete Solution for IT System" (Integrated IT Project), the design and estimated budget were approved in 10/2015 by The Ministry of Finance. The project has been pushed up aggressively. After completion, this project will equip synchronous technology infrastructure which facilitates the stock market development for the beneficiaries (HOSE, HNX and VSD), including trading, surveillance, market information, custody, registration and clearing services, supporting the beneficiaries in improving the capacity of market, optimizing cost, moving towards international standards and practices.

HOSE also implemented Enterprise Content Management (ECM) Project for optimization of managing internal information and documents. These information technology projects will bring HOSE to a new level in growth and integration, becoming a highly developed stock market in the region.

Specifically, under the careful guidance of the Ministry of Finance, HOSE has completed the organizational structure, clearly defined the strategic direction functions to the management functions for enhancing the role of corporate governance in HOSE.

Besides, internal management was clearly planned, focusing on all aspects of operations in order to ensure the compliance with the laws, regulations, procedures and internal regulations. Therefore, weaknesses and violations in all activities were prevailed, prevented and timely handled. The exchange continued maintaining the quality management system in accordance with ISO 9001:2008 standard towards transformation into the implementation of ISO 9001:2015 standard in the future. In 2015, HOSE implemented the Information Confidentiality Regulation through internal trainings to enhance the staff’s understandings of risk management; developed Action Program in order to save costs and raise staff conscientiousness for operational effectiveness of the organization.
