Nobles: As my year as Potentate of Mahi Shriners winds down I would take this opportunity to thank those Nobles and La-dies that have contributed to my successful year. Most of all my First Lady Emily for her support and continued ef-forts made my year and the year of Mahi one of the best. To our Broward Shrine Club President JR and Pattie, you two are to be congratulated for your continued efforts to keep our club in great shape and all your personal support to me. Our Director’s Staff President Ken Asburry and Brother Dennis along with Powell, you Nobles are the best. All the Nobles in the Directors Staff, thank all of you. The Nobles and ladies of the Homestead Shrine Club I thank all of you for your support as well. And we can’t forget our Keys Nobles and the wonderful job that they do. South Florida Parade season comes alive BY JOHN W. BORSA JR.

If you’re a parade lover then you’re

in high cotton in November and Decem-

ber in South Florida. Mahi Shriners has

participated or was scheduled to partici-

pate in eight different parades during

the holiday season.

Things got rolling (literally) on No-

vember 11 for the Homestead Veteranʹs

Day Parade. Next was the “it’s a Won-

derful Life Parade” in Plantation on No-

vember 21. Next was the Junior Orange

Bowl Parade in Coral Gables on Novem-

ber 29. Mahi won 1st Place in this parade

for the organization that best exempli-

fied the Miami Hometown Spirit. Next

was the Holiday Parade in Islamorada

and this is when the problems started.

Beginning the mid to late week of No-

vember 30 South Florida experienced

record rainfall. Over 11 inches fell in

some areas. This cancelled the Islamora-

da, Davie and South Miami Holiday Pa-

rades. However, the Hollywood Candy

cane Parade on December 5 went ahead

as scheduled. A large contingent of No-

bles, Ladies and friends showed up and

paraded through the wind and rain

along the Broadwalk. Although it was a

bit uncomfortable, everyone ended up

having a great time. Finally the season

wrapped up with the Holiday Parade at

North Lauderdale on December 12. This

was a new parade for us and turned out

really well.

If you didn’t participate in these pa-

rades you are really missing out on a

few things. First, you would have had a

lot of fun. Shriners feed off the energy of

the crowd and you can tell that most of

them are glad you’re there. Secondly

there’s the humanity factor. There’s no

feeling like hearing a child yell “Merry

Christmas” or an adult call out “God

Bless you guys for what you do”. This is

the work that gets our name out there.

Membership on the upswing with new Nobles BY JOHN W. BORSA JR.

Mahi has created 44 new No-

bles of Shriners International in

2015. That is more than double

the number of creations over the

past two years. “We have been

slowly re-building our commit-

ment to membership and the re-

sults are really starting to show”

said Potentate Jerry Sherman.

The biggest gain has been re-

alized through Mahi’s work in

Nassau, Bahamas. A shrine Club

was established there in 2013 and

has grown steadily. Thanks to the

work of Noble Mitchell Thurston

and others interest is high and

continues to swell. There are now

24 Mahi Nobles in the islands. Newly created Noble Henry DeGuzman receives a “warm” welcome from Potentate Illustrious Sir Jerry

Kids Party brings out the cheer of the season BY JOHN W. BORSA JR.

Mahi hosted a Christmas party at the

Broward Shrine Club for the Shriners Hos-

pital Patients within its jurisdiction in De-

cember. Over 100 patients, siblings, par-

ents, Nobles and ladies filled the hall to

enjoy the happy faces of the children that

we help each day.

The dining hall at the club was festive-

ly decorated with much holiday fare in-

cluding Christmas trees, wreaths, rein-

deer, lights, toy trains, snowmen and oth-

er cartoon like figures. Everything looked

beautiful and brought a smile to each per-

son that entered. Lots of good food and

deserts were available at and the lounge

was lined up with games. The Mahi

Clowns were present and entertaining all

while the Director’s Staff had the fire-

trucks outside for everyone to admire.

Later, it was time for the big event, the

arrival of Santa Claus on a firetruck. He

made a grand entrance and sat with all the kids, and some

adults, who wanted to tell him what they wanted for Christ-

mas. Photos were taken of everyone on his lap and captured

what might have been some of the biggest smiles of the day.

The event ended with satisfaction with all who participated.

Sherman’s Committee, the Clowns, Director’s Staff, Broward

Shrine Club and Santa Claus, Noble Ken Asburry Jr.

Past Potentate Lenny Ettinger passes away BY JOHN W. BORSA JR.

Illustrious Lenny L. Ettinger,

Potentate of Mahi Shriners in 1992,

passed away on October 29, 2015.

Ettinger had suffered a fall in his

home and never regained con-

sciousness. He was 91 years old.

He was born on October 23,

1924 in New York City. When he

was 4 years old his family moved

to Monticello, NY in the Catskill

Mountains. After his schooling he

enlisted in the US Navy and was

stationed at Plymouth, England.

There he was part of the US Naval

Amphibious Force and worked in

the base operations office. The

unit’s primary mission was to coor-

dinate preparations for the inva-

sion at Normandy, France. In fact,

Ettinger was the sailor who deliv-

ered the Sailing Orders for the 1000

plus vessels the night before the

invasion.

After the war he returned to

the states and settled in Brainerd,

Minnesota. He went to work as an

auto mechanic and opened his own

shop by 1952. Success came quickly

and he soon expanded the business

by becoming an American Motors

Corporation dealer. The dealership

did well and Ettinger soon became

a well known name in the auto in-

dustry.

By 1969 it was time for a

change and Ettinger decided to

relocate to Miami and join his

brother Phillip in the portable x-ray

business. This unique service

caught on quickly as it was the per-

fect solution for nursing homes and

home bound persons. Home X-Ray

was one of the founding and lead-

ing companies in this new indus-

try. Through the ensuing years the

company grew to have locations in

seven states with over 80 employ-

ees and 55 mobile x-ray units.

It was while trying to sell his x-

ray services that Ettinger tried to

sell his own services to a Nursing

Home executive named Jackie

Hawkins. He liked the fact that she

owned a chain of facilities across

the Midwest but soon found out he

liked her even more. The two be-

gan seeing each other and married

in 1981. In addition to joining forces

as husband and wife, the couple

united in their business interests,

pushing their success to new

heights. By the 1990’s they decided

to cut back and sold their interests

to become consultants in the

healthcare field.

Masonically, Ettinger began his

journey by being raised a Master

Mason in Aurora Lodge No. 100 in

Brainerd. This was followed by his

initiation into the York Rite Bodies

and Aad Shrine Center in Duluth,

Minnesota where he found his pas-

sion for the Shrine. He became very

active and joined the Oriental Band,

later serving as that Unit’s presi-

dent. He also worked on special

events for the temple such as wres-

tling shows and rodeos.

After moving to Florida

Ettinger demitted to Mahi and soon

joined the Mahi Oriental Band.

This was an era when the unit

was tops in the nation winning

trophy after trophy at competi-

tions. He served as President

in 1974 and later served as

President of the Florida Orien-

tal Bands Association.

Ettinger was active in the

Mariners, IASYC, Director’s

Staff and all of Mahi’s Shrine

Clubs as well as serving in var-

ious appointed positions

through the years. He joined

the Miami Scottish Rite Bodies

in 1982.

He was elected Oriental

Guide in 1988. Four years later

he assumed the office of Poten-

tate. Little did he know that his

year would be disrupted by

the unforgettable Hurricane

Andrew that August. A good

deal of Mahi’s nobility were

directly affected by the storm

including Ettinger whose

South Miami-Dade home was

heavily damaged. Although he

enjoyed unprecedented suc-

cess in the first half of the year,

it was difficult to overcome the

obstacles following Andrew.

However, the determined Po-

tentate put his personal hard-

ships aside, reuniting and rein-

vigorating the Mahi nobility to

pick up the pieces and move

forward.

After serving as Potentate

Lenny and Jackie could be

counted on at almost any Mahi

event. In 2002 he was named

to the Board of Governors of

the Tampa Shriners Hospital

and served for nine years.

Even after moving to West

Palm Beach and the passing of

Jackie in 2013, he remained

very active in Mahi activities.

Deed Restriction kills Okeechobee Road site BY JOHN W. BORSA JR.

The proposed property for a

new Mahi Shrine Center on Okee-

chobee Road in Hialeah Gardens

has been cancelled due to the emer-

gence of a deed restriction. When

the site was platted almost 25 years

ago, a declaration of restriction was

placed on the parcel in question. It

stated that only a warehouse or

retail showroom can be built at the

site. This precedent obviously

meets with the adjacent buildings

which are a Bluebell Ice Cream dis-

tribution center and a Home Depot

retail center. The restriction could

be lifted with the approval of the

adjacent landowners and the City

of Hialeah Gardens but such action

was not advisable considering the

costs involved and uncertainty of

success in the matter.

December 2015 Nobles, Since April 2014 Mahi Shriners has been leasing two warehouse condominium units from Illustrious Sir Lenny Ettinger, P.P. As you know Ill. Ettinger passed away recently and Mahi has been informed that the estate wishes to sell the two units occupied by Mahi as well as an adjacent third unit. On short notice the Mahi Divan agreed to in-form the nobility of the situation at the November Stated Meeting to see what popular opinion was as how to pro-ceed. A discussion ensued which yielded mostly positive comments about the advantages of Mahi purchasing the three units as an investment rather than face an increase in rent by new owners or having to find new quarters. A motion was then made by Illustrious Sir Joseph Brownlow, P.P. to proceed with the purchase process of the three warehouse units at a negotiated price to be determined. This was seconded by Noble Ernie Lara and passed by a majority. The day after the meeting a price of $275k per unit was negotiated by Noble Ron Kopplow. THEREFORE, be it resolved that on behalf of Mahi Shriners the Mahi Shrine Holding Corporation purchase three (3) 2,400sqft warehouse condominiums located at 5524, 5526 and 5528 NW 72 Avenue in the Miami Air West Trade Center Condo (Miami-Dade County Folio #: 30-3023-039-0600, 30-3023-039-0590 and 30-3023-039-0580) in the amount of $825,000 plus any applicable closing costs as an investment property. In compliance with §334.9 of Shriners International By-Laws it is being included in the Holidays 2015 issue of the Mahi Magazine, distributed by U.S. Mail to every member of Mahi Shriners with 20-30 days notice of a Summons Meeting to be held on January 14, 2016 at which time a vote for final adoption, requiring a 2/3 majority to approve, will be held. Upon approval by the nobility to move forward on November 12, 2015 the Mahi Elected Divan will conduct due diligence on the units to determine the feasibility of purchase. This information will be presented at the January 14, 2016 meeting. THEREFORE, be advised that you are hereby summoned to be present at the January Stated Meeting on Thursday January 14, 2016 when a vote for FINAL adoption or rejection will be taken on the purchase of the proposed prop-erties. In accordance with the Stated Meeting Rotation System, the meeting will be held at Broward Shrine Club. 2900 Taylor Street, Hollywood, FL 33020. Dinner will be served at 6:30pm and the meeting will begin at 7:30pm. IMPORTANT: Should this proposal pass let it be known that the purchase of these warehouse condominiums does not constitute the establishment of a Shrine Center nor does it any way serve as a replacement facility for the Miami River proper-ty that we sold last year. The intention is merely to provide office and storage space in the interim while a new Shrine Center is searched for. Important Dues Information To: Nobles of Mahi Shriners By now all of you should have received your 2016 Dues Notice. Please be aware of the following: 1. PER CAPITA INCREASE At the Imperial Council Session held in Houston this past July the delegates passed a Per Capita Tax increase of $15 per mem-ber. This means every Shriner now pays $30 per capita per year instead of the previous amount of $15. The Per Capita Tax is used to run the day to day operations of Shriners International and to fund member relations such as the national magazine, public relations materials and Imperial Council Session expenses. For all regular Mahi Nobles this means your total dues remit-tance has increased by $15 to $115. The breakdown is as follows: $80 = Mahi Shriners Dues (no change) $30 = Shriners International Per capita Tax (increase of $15) $5 = Shriners Hospitals for Children Assessment (no change). This increase was levied by Shriners International, not Mahi Shriners. In fact your four Mahi representatives to the session vot-ed against this measure. 2. DUES NOTICE AND CARD ADMINISTRATION For the first time in history, the 2016 Dues Notices have been formulated, processed, printed and distributed by Shriners Inter-national in Tampa rather than sent out by my office in Miami. This is a new process and somewhat out of my control. Conse-quently I am anticipating many mistakes, the biggest of which will be dues balances. If you receive a dues notice showing that you had not paid your 2015 dues and you are, in fact, in possession of a 2015 card please disregard the past due balance and simply remit your 2016 dues. If you feel there has been a mistake on your dues notice and want to discuss it please contact me at [email protected] or (305) 883-9766. Headquarters will also be sending out your Dues Card. It will now be a plastic, permanent card updated with stickers each year. I will not be in possession of dues cards. Again this is new this year. 3. COMMENTARY

Keys Shriners Most of you may

not realize it, but

Mahi has some

very special Nobles, Clubs and Units in the Flor-

ida Keys. For those of us who live on mainland

South Florida and other urban areas, we are

used to “city life” and the hustle and bustle, and

maybe even traffic, that comes with it. But down in

tropical locales like Tavernier, Marathon and

Key West, life is different. There is almost a

small town feel along the island chain, that old

timey “everyone knows each other” type feel.

These are small communities where the public,

private sector, fraternities, and local government

all work in unison to make life better for all. It is

easier is to walk into a local retailer, bank or

company and solicit a donation. It is easier to be

included in community events. It is easier to get

press coverage in the newspaper or a spot on the

radio or television station. These “easiers” are

readily utilized by the three Shrine Clubs Mahi

has in the Keys; Upper Keys, Marathon an Key

West. Not only do these Nobles appear in pa-

rades but they support as many community pro-

jects as they can. There are partnerships with the

Sherriff’s Office, Fire Department, Monroe Coun-

ty Schools, and each of the incorporated cities. If

there is a youth activity, the Shriners are on it.

The clubs give monetary support and many

times just plain old hard labor. Oh and when

they are not helping their community they are

out raising money for Shriners Hospitals. A lot of

money. More money than anyone. The work

never stops. Unlike most places, people DO

know who the Shriners are and what they do.

That’s due to the fine work of our Keys’ nobility.

Let’s do two things. First, let’s thank these No-

bles for all they do to give us a good name and

raise money for our kids. Secondly let’s take a

lesson from them and try to implement their cul-

ture here on the mainland. Is it possible?????????

A LOOK BACK INTO MAHI’S HISTORY…..

HOLIDAY FARE AT FAIR Shriners and circuses/

carnivals have always been synonymous with each other. In

many small towns across America the Shrine Circus was some-

times the biggest event of the year in that community. Mahi

began holding carnivals as far back as the 1920’s. In late Novem-

ber/early December of 1945 Mahi sponsored a “Thrill Circus and

Exposition” to kick off the holiday season. The event was held

on the property where the Miami Baseball Stadium would be

built four years later. Nobles David and Ralph Endy of Mahi,

who had winter homes in Miami, were brothers and owners of

the circus company. This was an advantageous situation.

THE LOSS

OF A

LEADER Noble Roy A. John-

son was, quoting

from his eulogy, “a

man who was mod-

est and unassuming

who was always his

natural self. A man

of firm convictions

who lived according

to his beliefs. “ These

words sum up what

all of us hope to be

as masons, but John-

son lived it everyday. The local realtor and businessman had

worked his way up through Mahi as a President of the Mahi Pa-

trol and was later elected to the Divan. On November 18, 1955,

while serving as Assistant Rabban, Johnson passed away sud-

denly after a brief illness. The Nobility was shocked and sad-

dened by the loss of such a dear brother. He did leave a legacy

though in the form of his son, the beloved Noble Lyle Johnson of

Miami who shares many of his late father’s qualities and is

counted among the most respected Masons in the area.

FINDING A FOUR LEAF CLOVER Oh to

reminisce about the days when a Mahi dance meant big name

entertainment. Mahi was definitely on the Big Band circuit in the

1960’s and 1970’s being visited by names like Guy Lombardo,

Vaughn Monroe, Sammy Kaye, Wayne King and countless oth-

ers. On the November 1975 evening shown above it was none

other than Bandleader Art Mooney in attendance at the Mahi

Auditorium. Mooney was best known for his hits “I’m Looking

Over a Four Leaf Clover”, “Babyface”, “Nuttin’ for Christmas”

and “Honey-Babe”. The popular entertainer, who performed at

Mahi many times, later retired to South Florida, living in Holly-

wood. He passed away in 1993 at age 82. Pictured above are (L-R)

Otto Cipra, John Kennedy, Mooney, Wendy Mykytka and Eric

Fiege. Mykytka is the first cousin of 2006 Potentate Stan Mykytka.

PUBLIC RELATING There was a time when Nobles

were ready and willing to venture out into the community and

spread the word about Shriners and Shriners Hospitals for Chil-

dren. Seen above in November of 1995 is a booth sponsored by

the Hollywood Shrine Club at a festival held at Young Circle

commemorating the 65th Anniversary of the City of Hollywood.

Shriners Hospitals for Children® - Tampa hosted its Holiday 'Be Burn Aware' event this week in an effort to keep all our patients and families safe throughout the season. Patients, their siblings and employees all had the opportunity to climb aboard a real Tampa Fire Rescue fire truck. Visitors who stopped by the event got the chance to take home a fire hat, a flying disc, burn awareness activity books and safety tip sheets. To all Nobles of Mahi Shriners: This past summer it was suggested to the Divan that safeguards should be put in place to prevent the ap-proval of significant non-budgeted expenditures at Stated Meetings without proper notice to the entire No-bility. In an effort to accommodate that request a By-Laws change was drafted. However, during that pro-cess the entire current By-Laws were reviewed and found to be in disorder, repetitive, and outdated in some instances. This led the Divan to update and streamline the By-Laws to address inconsistencies and to con-form to By-Laws of Shriners International. What follows is a copy of the Existing Mahi By-Laws followed by the proposed Mahi By-Laws. The pro-posed By-Laws are hereby presented in this publication and will be voted upon at the February Stated Meeting to be held at the Homestead Shrine Club. As per Shrine law, disseminating the existing and pro-posed By-laws in the official temple publication is sufficient notice to the Nobility in regards to the pro-posal. This is also necessary because of the monumental paperwork and postage that would be involved in providing a copy of the existing and proposed By-Laws to each Noble by mail. Additionally, this is con-sistent with previous proposed By-Laws changes throughout the history of Mahi Shriners which were also disseminated via the Mahi Magazine. THEREFORE, be advised that the proposed By-Laws of Mahi Shriners will be voted on at the February Stated Meeting to be held at the Homestead Shrine Club on Thursday February 11, 2016. Fraternally,

BY-LAWS UPDATE Nobles—In an effort to update and streamline what your Divan felt was an outdated and disor-ganized set of by-laws the following is offered for your consideration to be voted on at February 2016 Stated Meeting. Below are the existing by-laws followed by the proposed by-laws.

Existing By-Laws BYLAWS OF MAHI SHRINERS Preamble This temple is governed by the articles of incor-poration and bylaws of The Imperial Council, A.A.O.N.MS. for North America, and Iowa corpo-ration and the following bylaws not inconsistent therewith. ARTICLE I Name, Seal & Jurisdiction §1.1 Name. The name and style of this temple shall be known as Mahi Shriners. It was granted a charter on June 15, 1922 by The Imperial Council. §1.2 Location. It shall be located in Miami, County of Miami-Dade, Florida. §1.3 Seal. The seal of Mahi Shriners shall con-sist of two concentric circles between the circum-ferences of which are the words Mahi Shriners, Miami, Fl. An impression and facsimile shall be deposited with the Imperial Recorder. § 1.4 Flag. The official flag of this temple shall be described by the bylaws of The Imperial Council. §1.5 Jurisdiction. Unless otherwise decreed by the Imperial Council, MAHI Shriners has exclu-sive jurisdiction in Broward, Miami-Dade and Monroe Counties, State of Florida. ARTICLE 2 Temple Membership §2.1 Prerequisites. A CANDIDATE MUST BE IN GOOD STANDING. A Shriners Temple may not accept a petition from a candidate unless he is in good standing as a Master Mason of a lodge recognized by or in amity with the Conference of Grand Masters of North America. Membership in this temple, in-cluding a candidate’s petition and balloting there-on, is governed by the bylaws of The Imperial Council. PETITIONS. Each application for the Order shall be made upon the form of petition provided by The Imperial Council and each applicant for the Order must be recommended by at least two (2) Nobles of this shrine temple. A petitioner must be an actual resident for at least six (6) months in the jurisdiction of MAHI shrine temple. b. The temple may receive and act upon

the petition on one whose residence is not in the jurisdiction of another shrine temple. Any member of the armed forces or diplo-matic service of the United States, Canada, or Mexico, may petition this Shrine temple if stationed within the jurisdiction of Mahi Shrine temple at the time without reference to his actual place of residence, and there-upon, after election may be initiated by and become a member of MAHI Shriners. 3. BALLOTING. Favorable. Subsequent to a report on a candidate’s petition, the ballot is passed, and, if less than 3 black balls appear, he is elected. Adverse. If the ballot reveals 4 or more black balls, the candidate is rejected. If the ballot reveals 3 black balls, another ballot is passed immediately. If 3 black balls appear a second time, the candidate is rejected. §2.2 Affiliation. A petition for affiliation must be accompanied by the applicant’s demit from the Shrine temple of which he was last a member. The ballot shall be taken in the same manner as an application for initia-tion, but no dues shall be collected for the current year provided the applicant holds a current card from the Shrine temple from which he demits. §2.3. Associate Membership. Any Noble may apply for membership by affiliation in a second Shrine Temple, and, if accepted by the second, thereafter hold associate mem-bership subject to the provisions of this section. Good Standing. The applicant need not hold a demit to make an application for Associate membership. However, an appli-cation for associate membership must be accompanied by written evidence that the applicant is in good standing and eligible for a demit. Shrine Notification. Upon election of an applicant for associate membership, the Second Shriners temple shall notify the other of which the Noble is a member that he has associate membership; and thereaf-ter he shall be considered an active member of both Shrines.

§2.4. Retention of Membership. Prerequi-site. In order to maintain membership in a Shriners Temple, a Noble must maintain good standing as a Master Mason of a lodge recognized by or in amity with the Conference of Grand Masters of North America. §2.5. Demit. A demit shall be granted provided that at the time of its issue the Noble is: In good standing, Free from charges, Free from indebtedness, assess-ments and voluntary obligations to the temple. §2.6 Suspension or Termination of Mem-bership. The temple may not carry a mem-ber on the books who is more than two years in arrears. The temple must either suspend him or remit his dues. Whenever adopted, any order of suspension shall be effective as of December 31st of the last year of the delinquency. A Noble may be suspended for nonpayment of dues in the following manner: He must be notified by first class mail that he is in arrears; He must be given an opportunity to be heard; He must be admitted to the temple for this pur-pose even though he is in arrears; and A majority of members present at a stated meeting must vote to suspend him. One who has been suspended for nonpayment of dues may be restored in the following manner; Written application for restoration must be made, accompanied by written Evidence that he is in good standing in his prerequisite body. No vote is required. The restoration must be reported to the temple at its next stated meeting and recorded in the minutes. Suspension of a Noble holding associate membership for nonpayment of dues to the second temple shall not affect his member-ship in the temple to which he first be-longed; but his suspension for nonpayment of dues to the first temple shall ipso facto affect his suspension in the second. His suspension for any other cause or his ex-pulsion from either temple shall ipso facto affect his suspension or expulsion, as the case may be, from the other. Immediate notice of his suspension or expulsion by either Temple shall be given to the other Temple and to the Imperial Recorder.

Termination. Associate membership is terminated by: Voluntary resignation upon payment of all indebtedness, assessments and Voluntary obligations to the temple by an associate member who is in good stand-ing and free from charges. Expulsion. Death. §2.7 Perpetual and Life Memberships. A Noble who has been a member of this tem-ple for fifty years (50) and has paid dues consecutively for that period of time shall be exempt from annual dues and assess-ments levied by The Imperial Council or by this temple, and shall be amendable to the Laws, Rules, and Edits of The Imperial Council and the Bylaws of this temple. Upon approval of the Nobility all Past Po-tentates of MAHI Shrine shall become Life Members. Election of an Associate Member to life membership in one temple does not constitute his election to life membership in the other. §2.8 Honorary Membership. Honorary membership may be conferred by this tem-ple upon any member of the Order, as a compliment, but such membership confers no rights or privileges. The issuing of year-ly membership cards to honorary members is prohibited. §2.9 Discipline. Should it be necessary to discipline a Noble of this temple for any cause other than nonpayment of dues, procedure shall be as provided in the Impe-rial Council Bylaws. §2.10 Complaints to Imperial Potentate. Complaints or correspondence to the Impe-rial Potentate are governed by be bylaws of The Imperial Council. §2.11 Copies of Temple Bylaws and Imperi-al Bylaws. A copy of the Bylaws of this Shriners Temple shall be given to each Noble at the time of his initiation or affilia-tion; and the recorder of the Shriners Tem-ple shall allow each member access to a copy of the Imperial bylaws so that they may be read and understood. ARTICLE 3 Temple Meetings & Ceremonials §3.1 Stated Meetings. A stated meeting shall be held on the second Thursday even-ing of each month (except July and Au-gust.) The exact hour of all meetings, in-cluding the annual meeting, shall be desig-nated by the Potentate.

December Meeting. At the December stat-ed meeting, the officers and representa-tives for the ensuing year shall be elected. Annual Meeting. The annual meeting of this temple shall be held on the second Thursday in January of each year. At this meeting the reports of the Treasurer, Re-corder and Finance Committee shall be received. §3.2 Ceremonial Sessions. Ceremonial sessions may be held at any time on the call of the Illustrious Potentate, provided one week’s notice is given to all members of this temple. The Illustrious Potentate may hold a Ceremonial session at any of the Stated Sessions. The temple may not initiate or obligate a candidate except at a stated meeting or ceremonial session, unless a special dis-pensation is granted by The Imperial Poten-tate. Application for special dispensation is to be used and must also be accompanied by a full statement of the facts and circum-stances justifying the issuance. Any petitioner failing to present himself within twelve (12) months after his election may forfeit all rights under the same, and the said applicant can be re-proposed and reelected before he may receive the Order. Any advance fee paid by the applicant who fails to present himself for initiation within the above twelve (12) months shall be returned to the petitioner. §3.3 Special Meetings. Special sessions of this temple may be called by the Illustrious Potentate at any time. One week’s notice of each special session shall be given to each member stating the business to be considered, and no other business than that specified in the call or summons shall be transacted. §3.4 Sunday Meetings. No business meet-ing or ceremonial session shall be held on Sunday, except upon special dispensation of the Imperial Potentate for good and suffi-cient cause. §3.5 Place of Meetings. The place of all meetings shall be determined by the Poten-tate except as may be otherwise required or restricted by the bylaws of The Imperial Council. §3.6 Notice of Meetings. At least one week’s notice must b given of the time and place of all meetings and ceremonial ses-sions. The notice may be given in the

official temple publication or by letter. §3.7 Rules of Order. Unless otherwise provided by the bylaws of The Imperial Council, the Shriners Temple bylaws or resolution, parliamentary procedures shall be governed by Robert’s Rules of Order. §3.8 Admission. A Noble may not be ad-mitted to this temple unless he exhibits to the temple an official Shrine card for the current year. §3.9 Quorum. A quorum shall consist of seven (7) members entitled to vote, one of whom shall be the Illustrious potentate, chief rabban, assistant rabban, or a past potentate of the temple. §3.10 Order of Business. The order of business shall be as follows: Opening ceremony Reading of minutes of preceding session Reading of communications Reading of financial statements Reading of petitions for membership Balloting upon candidates Reports of standing and special committees Unfinished business New business Conferring the ceremonial Closing ceremony The order of business may be changed or suspended by the presiding officer whenev-er it is for the interest of the temple to do so. ARTICLE 4 Officers §4.1 Officers. THE NAMES OF THE OF-FICERS OF MAHI SHRINERS SHALL BE AS FOLLOWS: 1.Illustrious Potentate 2.Chief Rabban 3.Assistant Rabban 4.High Priest and Prophet 5.Oriental Guide 6.Treasurer 7.Recorder 8.First Ceremonial Master 9.Second Ceremonial Master 10.Director 11.Marshal 12.Captain of the Guard 13.Outer Guard No Noble may serve in two (2) of the fore-going elected offices at the same time. 1-7 officers shall constitute the official Di-van and they shall be elected annually by ballot; the remaining officers are to be ap-pointed by the Illustrious Potentate. foregoing offices at the same time. A Noble may not serve as Potentate of any temple for more than 2 years. A noble may not serve as Potentate of any temple unless he shall have first served at least one term as either chief rabban or assistant rabban of a temple. The Illustrious Potentate shall as soon as possible after his election, and installation, and not later than the next meeting, announce his selection of the appointed officers. The Temple shall elect annually a representative or representa-tives to The Imperial Council in such num-ber as provided by the Laws of The Imperi-al Council of the Ancient Arabic Order, Nobles of the Mystic Shrine for North Amer-ica. §4.2 Nomination. Candidates for elective office and Representative must be placed in nomination from the floor. There shall not be more than on nomination speech for a candidate and the speech may not ex-ceed three minutes. Seconding speeches are not required or permitted. §4.3 Election and Appointment. The annu-al election of Officers and Representatives shall be held on the second Thursday in December of each year. The election of Officers shall be by written ballot and by a majority vote in each case. Each elective Officer shall be elected sepa-rately by a separate and distinct ballot. The use of a blanket ballot for the election of Officers is prohibited. Representatives shall be balloted for on one written ballot and each member voting must vote for the total number of Representatives to be elected, otherwise his ballot cannot be considered as a vote. A majority vote of those present and voting shall be necessary to elect each Representative. If on the first ballot one or more candidates shall receive a majority vote of those present and voting, he or they, shall be declared elected. A ballot shall then be taken in the same manner until all the representatives are elected. In the event more candidates shall receive a majority vote of those present and voting than the number of Representatives to be elected, then the Candidates among those receiving a majority vote of those present and voting, receiving the greatest number of votes, shall be declared elected. Blank ballots are not voted and shall not be con-sidered as such. The printing, publication, circulating or dis-tribution of resolutions, letters, telegrams, tickets, email or other devices, by a Noble, suggesting, recommending, opposing or

containing the names of proposed candi-dates for office in the temple is prohibited. For any violation of (3) the Imperial Poten-tate may suspend any offending Noble, and he may declare the election of the officers void an order a new election. At least one week prior to the date of the Annual Elec-tion of Officers or any election , the Record-er of the temple shall mail or cause to be printed in the Shriners Temple Bulletin and mailed to all members of the temple a no-tice of the annual meeting and election of Officers. §4.4 Duties of Officers. POTENTATE. Chief Executive Officer. He is the chief executive officer of the Shriners Temple and he shall exercise general su-pervision over the Shriners Temple. Responsible. He is responsible to The Imperial Council for the government of his temple. Observation of Law. He shall require his temple, its officers and Members, to ob-serve Shrine law and the temple bylaws at all times. Appointments. He shall appoint the temple officers and committees to be appointed. Records. He shall require that accurate records are kept and just accounts ren-dered. Returns. He shall require that regular re-turns are made to The Imperial Council and that candidate fees, annual per capita tax-es, hospital levies and assessments are promptly paid. Meetings. He shall require that the requi-site stated meetings are held annually, of which one shall be held in January. Orders. He may issue orders to Nobles, clubs, units and organizations within his jurisdiction to comply with matters over which he has authority. All such orders shall be confirmed in writing and mailed to the affected Noble or Nobles. Temple Attorney. He shall, with the ap-proval of the official Divan, appoint a Shriners Temple attorney. The temple attorney shall be a Noble and a member of the Bar who is learned and experienced in the law. 2. CHIEF RABBAN. Duties. In addition to his other duties, the Chief Rabban, in con-junction with the board of directors, must

prepare and complete the proposed annual budget of the Shrine Temple required by Imperial bylaws for the ensuing year in time for submission at the Shriners Temple meeting at which the budget is to be ap-proved. Acting Potentate. If the office of potentate becomes vacant for any reason, the Chief Rabban shall act as potentate until a spe-cial election is held and the office thereby filled. 3. RECORDER. Duties. It is the duty of the Recorder to: Keep accurate minutes of the proceedings of the temple. issue notice to the members of each meeting. Keep a just and true account of each member of the temple. Present his books and papers to the auditor whenever require. Keep a register of the members of the Temple showing the name, age, occupation, date of creation and address of each member, and any withdrawal, death, suspension, or ex-pulsion, as the case may be. Furnish his facsimile signature to the Imperial Record-er. Unless otherwise provided in the bylaws of the temple, he may, with the consent of the official divan, hire employees or inde-pendent contractors for the Temple. At the annual meeting, render a complete report of the finances, investments, membership and other matters of interest in which his office is concerned. Before January 15th of each year, transmit to the Imperial Record-er in the form prescribed, the annual re-turns for the temple. Arrange to remit to The Imperial Council the annual per capita tax as follows: i. Before March 31st, 50% ii. Before June 1st, 35% and iii. Before October 1st, the remaining 15% Arrange to remit $2.50 for the initiation fee for every initiate immediately after the initiation to The Imperial Council, upon receipt of which the Imperial Recorder shall issue a diploma of The Imperial Council to each candidate initiated. Issue official Shrine cards to mem-bers entitled to the same. Affix the official seal of the temple to and attest official doc-uments. Report and remit as required by ‘ 332.3, ‘ 332.4, and ‘ 332.5 of Imperial by-laws. Additional Duties. Unless the temple by-laws specifically assign the following duties to another officer; it is the duty of the Re-corder to: Receive all funds accruing to the Shriners Temple and promptly deposit them to the credit of the Shriners Temple in ap-proved depositories. Keep the books of account and records of the temple. Carefully preserve and file his memoranda of payment of obligations of the temple.

Draw checks, vouchers, or orders for the payment of obligations of the temple, any sums due The Imperial Council, or other authorized disbursements. Report the amount of all funds received and disburse-ments thereof as often as the temple or the Potentate may require. Submit to the mem-bers of the temple at each annual meeting a complete report of the receipts and dis-bursements for the preceding fiscal year. Keep the budget control records. 4. TREASURER. Duties. It is the duty of the treasurer to: Act as the chief financial officer of the temple, under the general supervision of the potentate. Act as custodi-an of all funds. Sign or countersign all checks for the withdrawal of funds, unless provided otherwise in the temple bylaws. Examine as often as necessary the finan-cial reports and books of account of the temple. When requested at any meeting of the temple, give a financial report of the income and expenditures of the temple since the last report. Prepare the books and records of the Temple and submit at its annual meeting the following information: i. An annual statement of the financial condition; ii. An annual operating state-ment; and ii. Any other or supplementary report or statement necessary to disclose the true financial condition, the nature and current value of the assets, the operating results, the income and sources thereof, of the temple and any affiliated, subsidiary or appendant corporation or fund. Present his books and papers to the auditory when-ever required. 5. OTHER OFFICERS. Director. The Director, under the direction of the Potentate, shall have charge of the second section of ceremonials of initiation. Remaining Officers. The remaining officers shall perform the Duties appropriate to their several stations and those assigned to them by the Potentate or the temple. §4.5 Enthronement and Installation. OBLI-GATION FOR ELECTED OFFICERS. The officers of every temple before entering upon the discharge of their respective du-ties must take the following obligation: I (name In full) do solemnly promise and vow that I will faithfully, and to the best of my ability, discharge the duties of the office to which I have been elected, and that I will strictly conform to the requirements of Shrine law and the bylaws of my Shrine. ADDITIONAL OBLIGATION FOR POTEN-TATE. Previous to the enthronement of a Potentate he must assent to the following

ordinances: DO YOU SOLEMNLY VOW, UPON YOUR HONOR: That you will exert your best endeavors to promote the true happiness of your brother Nobles of the Mystic Shrine? That you will endeavor to promote the general good of the Order and observe the solemnity of the ceremonies with profound respect and reverence? That you will not acknowledge or have social intercourse with any Shrine which does not work under constitutional authority as rec-ognized by The Imperial Council? That you will ever maintain and support the authority of The Imperial Council, and enforce obedi-ence to Shrine law? Do you submit to all these ordinances and promise to observe and practice them faithfully? Answer: INSTALLATION. Date and Ritual. The officers shall be installed during the month of January at a temple or public ceremony as prescribed by temple resolution. Such installation shall be in accordance with the ceremony of installation prescribed by The Imperial Council. Duties. They shall assume the duties of their respective offices upon installation. §4.6 Vacancies. An office becomes vacant in the event an officer or representative dies, resigns, moves and resides perma-nently outside the jurisdiction of the Imperi-al Council, is suspended, is expelled, is adjudged mentally incompetent, is physical-ly incompetent, is convicted of a felony or of any criminal offence involving moral turpi-tude. FILLING VACANCIES IN GENERAL. Spe-cial Election. A special election may be held without a dispensation to fill a vacancy in elective office; and if the vacancy occurs before July 1st a special election t fill it shall be held within sixty days after it occurs, unless a special dispensation for a later election is granted by the Imperial Poten-tate. a. Advancement. Any vacancy that may occur by the promotion of any officer at any special election may also be filled at that election. Appointive office. Vacancies in appointive office shall be filled by the Potentate. Declining. A Noble cannot be compelled to accept an election or appoint-ment to office. FILLING VACANCIES IN PARTICULAR OFFICES. Representative. If the vacancy is in the office of an elected Representative and time is not sufficient to call a special election, the Potentate shall appoint a Rep-resentative and notice of the appointment by letter or telegram, must reach the

Imperial Recorders office before 9:00 a.m. on the 5th day preceding the next opening session of the Imperial Council, in order to qualify the representative. Treasurer or Recorder. If the vacancy is in the office of Treasurer or Recorder and results from any of the causes stated in Imperial Bylaws ‘325.13 the Potentate shall appoint a member to fill the vacancy until a successor has been elected and installed. REPORT OF ELECTION. The result of any election shall be reported forthwith to the Imperial Recorder. §4.7 Delivery of Records. Each officer shall deliver all books, papers and other property of the temple in his hands to his successor in office, or to such person and at such time as the Shriners Temple may direct. §4.8 Board of Directors. The Board of Di-rectors consists of the temple official divan. Quorum. Three directors constitute a quor-um of the board. Meetings. The board of directors shall meet on the call of the Potentate, who shall be its chairman. He must call the meeting when required by three directors. Meetings may be conducted in person or by tele-phone or other means of communication by which all parties may be connected and all comments and conclusions, as well as, the vote on any resolution may be heard and/or observed by all members present. Notice. The recorder shall give not less than three (3) days written notice each director of the time and place of the meet-ing. Notice may be waived in writing prior to or subsequent to such meeting. Budgets. The Chief Rabban, in conjunction with the board of directors, shall prepare and complete the propose temple budgets for the ensuing year. The board of direc-tors shall: Report or cause to be reported to the ap-propriate stated meeting of the temple any proposals for amendments to or departures from the budgets and the reasons there-fore, and Cause copies of the complete budgets for the succeeding year to be made available upon request to each mem-ber at least seven (7) days prior to the meeting which it is to be considered. The proposed budgets shall be in detail and in accordance with the Uniform Chart of Ac-counts prescribed by The Imperial Council together with the amount budgeted for the preceding year.

Multiple Budgets. A temple may be its bylaws: Provide for both an operating budg-et and a capital budget, and Impose other conditions for the management of its finan-cial affairs not inconsistent with ‘ 327.5 of Imperial bylaws. Unauthorized Acts. Except as specifically provided by the Bylaws of The Imperial Council, or the temple or resolution of the board of directors ratified by the temple, no unit, shrine club, group of persons, or per-son has the authority, express or implied, to act as the agent of, to act on behalf of, or its act or omission to obligate or bind the temple. ARTICLE 5 Initiation Fees, Dues, Per Capita, Hospi-tal Levy §5.1 Initiation Fee. The Order of A Noble of the Mystic Shrine, and member of MAHI Shriners shall be conferred upon the pay-ment of an initiation fee of not less than Fifty ($50.00) dollars. Dues, hospital as-sessments, per capita tax, regalia, etc. shall be in addition thereto. The full amount of the above fee shall be paid before the Or-der is conferred. No portion of said fee in any manner is to be rebated and/or refund-ed Either in money or material, after the Order is conferred. §5.2 Dues. The annual dues shall be de-termined at a stated or special meeting of the temple after notice has been given to each member stating the proposed amount of the annual dues. The annual dues shall not be less than prescribed by the bylaws of The Imperial Council. The annual dues do not include the hospital levy or the annu-al per capita tax required by the bylaws of The Imperial Council, each of which shall be added to the annual dues. This temple may, by affirmative vote, remit dues of a member for good cause shown either to the temple or a committee selected for that purpose. Candidates admitted and members reinstated in this Shriners Temple shall pay dues for the current year in the following proportions: Candidates admitted and members reinstated between January 1st and March 31st, 100 percent; between April 1st and June 30th, 75 percent; be-tween July 1st and September 30th, 50 percent; between October 1st and Decem-ber 31st, 25 percent, which proportionate amounts shall constitute the dues to De-cember 31st of the current year. §5.3 Perpetual and Life Memberships. A member may be granted a perpetual or life

Membership in this temple as prescribed by the bylaws of The Imperial Council. A member may purchase life membership in the Shriners Temple for 20 x the current dues amount, and receive a certificate thereof from the recorder of his temple and be exempt from further dues levy. §5.4 Per Capita Tax. Each member of the temple, other than life per capita members and associate members, shall pay The Imperial Council per capita tax as pre-scribed by the bylaws of The Imperial Council. §5.5 Life Per Capita. A Noble may pay the shrine temple recorder a sum equal to 30 times the current per capita tax and, there-after, he is exempt from the annual per capita tax. The temple recorder shall promptly remit the per capita payment to The Imperial Council, with the name and address of the member. The temple record-er shall enter the exemption on the temple records and, thereafter, shall not include such exempt member when computing and paying the annual per capita tax to The Imperial Council. §5.6 Hospital Levy. Each member of this temple, other than Permanent Contributing Membership purchasers, shall pay the hos-pital levy as prescribed by the bylaws of The Imperial Council. This temple may remit the hospital levy of a member whose es have been remitted because of hardship and so advise the Imperial Treasurer. §5.7 Permanent Contributing Membership. A member may purchase for $150.00 a Permanent Contributing Membership in the hospitals, receive a Certificate thereof from the Recorder of the temple and be exempt from any further hospital levy. §5.8 Assessment. A temple contemplating an assessment must first submit the pro-posal to the Imperial Potentate requesting his approval. The Imperial Potentate shall receive the advice of the chairman of the Jurisprudence and Laws Committee and the chairman of the Finance and Audit Committee prior to the issuance of his deci-sion. If the temple receives the written approval of the Imperial Potentate it may levy an assessment on its members, includ-ing life members if specifically provided, for purposes general to the membership by resolution adopted at a stated meeting of the Shriners Temple, if it is approved by 2/3rds of the members present and voting, and in the following manner: One week’s notice in writing must be given, stating the

amount of the proposed assessment and the time and place when action will be tak-en. Upon approval, the assessment is bind-ing on all Shriners membership as of the date of passage of the temple resolution levying the assessment and must be paid as dues are paid or as provided in the reso-lution. All funds received by virtue of a spe-cial assessment shall be maintained in a separate and special account and shall be disbursed exclusively for the purpose for which the said assessment was made. A dues card may not be issued to a mem-ber if any voluntary obligation due from him to his Shriners Temple, or any installment is in arrears unless he is exempt from the payment thereof. ARTICLE 6 Fiscal §6.1 Budget. The Elected Divan (Board of Directors) in compliance with § 327.5 and § 327.8 of Imperial Bylaws shall constitute the Finance Committee. It shall be the duty of this committee to: Analyze and make recommendations as to the financial affairs of the temple; To examine the proposed major financial obligations and expendi-tures before such obligations or expendi-tures are incurred or made; Review all nec-essary current expenses; See that no of-ficer, department, committee, organization, unit or individual having authority to incur expenditures shall exceed the appropria-tions set out in the budget; Supervise the system under which the financial affairs of the temple, and every subordinate body thereof, are administered, and make such recommendations from time to time as may be deemed for the good of the temple or any subordinate body thereof and make investment for the temple. Aside from re-viewing the regular fraternal funds the Fi-nance Committee is hereby empowered and directed to receive and hold all assets now or hereafter belonging to said Mahi Shriners A.A.O.N.M.S. Investment Trust Fund and which may have or may hereafter be given, devised or bequeathed to or for the benefit of the Mahi Shriners A.A.O.N.M.S. investment Trust Fund, to invest and reinvest from time to time all moneys and assets in the said capital fund in securities listed on recognized stock exchanges in the United States of America, or in bonds of the United States Govern-ment, or in direct obligations of The United States Government, or agencies which are fitly guaranteed by the United States Gov-ernment, or in securities issued by instru-mentality of the United States Government, or in corporate bonds having a rating

institution, or in the deposit of a banking institution insured by the United States. The temple Finance Committee may em-ploy the services of Investment Advisors and make investments on the advice of such Investment Advisors and by majority approval of the Finance Committee and Provided further that the expressed wish of every donor as to the type or kind of invest-ment shall be followed. The Finance Com-mittee is hereby authorized to retain any property acquired by gift, bequest or other-wise, for as long as is deemed advisable, even though such property may not quality under the above and foregoing provisions for investment of capital and/or principal constituting such Fund. The Finance Com-mittee shall receive the income from said Fund on or before the close of the year and pay over said income in an amount ap-proved by the adopted budget annually to the Recorder to be used for the Budget of Mahi Shriners. Funds not budgeted shall be returned to the Trust Fund as principal. The Finance Committee may authorize the Investment Advisors selected as advisor or advisors by them to act as custodian or custodians of said Fund and all capital and/or principal belong to said Fund may be delivered to said Investment Advisors as custodian or custodians and said Invest-ment Advisors so authorized shall proceed to keep the assets of said Fund in Trust holding all assets in the name of it nominee and be authorized by reason thereof to execute all stock powers, proxies and other instruments pertaining to said assets and held by such Investment Advisors. The Finance Committee may authorize the In-vestment Advisors selected as financial advisor or advisors to make sales and pur-chases of securities according to pre-scribed limitations and guidelines. The Finance Committee shall meet immediately after close of the calendar year and may employ the financial advisor or advisors above provided for and shall meet quarterly thereafter and at such other times as called by the Potentate or by a majority of the members of the Finance Committee. With-drawal of any and all monies from the Trust Fund whether designated as income or principal, except as specifically provided for in Article 6.1 (8,9) herein for use in the annual budget for Mahi Shriners, shall be done only with the recommendation of the Finance Committee and the approval by the Nobles of the temple. Said approval by the Nobles shall be as provided for in Article 6.5b of the Bylaws of Mahi Shriners A.A.O.N.M.S. with the same procedures as the sale of temple assets. The terms A: Principal, as used herein for the Mahi

temple A.A.O.N.M.S. Investment Trust Fund is hereby defined as: All net proceeds deposited into said Trust Fund from any source whatsoever. The term A Income, as used herein for the Mahi Shriners A.A.O.N.M.S. Investment Trust Fund is hereby defined as: All net proceeds from the investment and/or reinvestment of the principal of the Mahi Shriners A.A.O.N.M.S. Trust Fund, including but not limited to interest and dividends as calculated on an annual basis. §6.2 Payments and Obligations. All checks shall be signed by the Potentate and either the Chief Rabban or Treasurer. In the event the Potentate contemplates being absent from the Temple jurisdiction, he may designate one of the aforementioned offic-ers to cosign checks in his stead. All checks shall be supported by voucher or requisitions. §6.3 Monthly Reports. The Potentate shall cause a financial statement containing a detailed report of receipts and expenditures of funds by the temple and all corporations and organizations operating under authority of the temple to be made quarterly and available to the Nobility at the stated meet-ing immediately following said quarterly report. Each Noble, committee, unit or other organization of the temple, authorized to incur indebtedness or to disburse or collect funds, shall make a detailed financial re-port, accompanied by receipts or vouchers to the Finance and Accounts Committee and to the Potentate monthly and at such other times as may be requested. Expenditures by the Potentate shall not exceed the approved budget except when resubmitted to the finance committee and approved by said group, as well as, two-thirds vote of the voting nobility at any stat-ed meeting or special meeting called for that purpose; however, he shall be permit-ted to expand funds from non-budgeted income such as special events, etc. §6.4 Construction Program and Secured or Long Term Obligations. Prior to commenc-ing a construction program or incurring a secured or long-term debt, as defined by the bylaws of The Imperial Council, the temple must follow the bylaws the The Imperial Council. §6.5 Sale of Temple Assets. The net pro-ceeds from the sale of and/or all of Mahi Shriners A.A.O.N.M.S. assets and/or prop-erty of any kind whatsoever, including property acquired by gift, bequest, or other-wise shall be deposited directly into the

Mahi Shriners A.A.O.N.M.S. investment Trust Fund immediately upon receipt of same by Mahi Shriners A.A.O.N.M.S. The Mahi Shriners A.A.O.N.M.S. Invest-ment Trust Fund is hereby designated and dedicated as a sacred trust fund, the princi-pal amount whereof may not be expended for any purpose or purposes whatsoever save for investment and reinvestment, the income there from to be expended for uses and purposes of Mahi Shriners A.A.O.N.M.S. and for no other purpose whatever save the payment of unexpended balances of such income into the Mahi Shriners A.A.O.N.M.S. Investment Trust Fund to further increase the said Fund prior to this temple, or any of its affiliated, selling, leasing, exchanging, mortgaging, pledging or otherwise disposing of all or substantially all of its property of assets, it must follow the bylaws of The Imperial Council 334.9. §6.6 Fidelity Bond. The temple must pro-cure a corporate fidelity bond as prescribed by the bylaws of The Imperial Council. The Potentate, Chief Rabban, recorder and Treasurer shall be required to Fidelity bond. The Finance Committee at its discretion may require any other member or employ-ee of the temple to furnish a Fidelity bond. The premium for any Fidelity bond shall be paid by the MAHI Shriners A.A.O.N.M.S. §6.7 Insurance. This temple must procure insurance policies, and the Potentate must appoint an insurance advisory committee. §6.8 Fiscal Year. This temple must arrange its books of account, annual report and audit to conform to the calendar year. §6.9 Indemnification. The official divan, committee members, officers and employ-ees shall be indemnified by the temple for all expenses reasonably incurred by them in defending themselves from any proceed-ings instituted or threatened against them provided the temple votes that they have acted within the scope of their authority and are not guilty of misfeasance or malfea-sance. §6.10 Audit. The Potentate shall, on or before February 1st of each year appoint an Auditor who shall be a Certified Public Accountant, to audit the books and financial records of the Temple and who shall re-ceive proper compensation for this service. The Auditor shall make an annual audit and such other financial affairs of the temple and shall file his annual report in such time as will permit same to be presented to the

temple not later than the February stated session of the succeeding year. ARTICLE 7 Committees §7.1 Leadership Search Committee. This temple shall have a Leadership Search Committee. Its appointment and duties are governed by the bylaws of The Imperial Council. §7.3 Finance Advisory Committee. This temple shall have a Finance Advisory Com-mittee. Composition. It shall consist of four at-large members of this temple. Two of the four at-large members are to be elected each year at the annual meeting for a term of two years. Duties. It shall: Analyze and make recommendations as to the financial affairs of the temple. Examine the proposed major financial obligations and expendi-tures before such obligations or expendi-tures are incurred of made. Review all nec-essary current expenses. Examine whether any officer, department, committee, organi-zation, unit or individual having authority incurs expenditures that exceed the appro-priations set out in the budget. Examine the system under which the financial affairs of the temple, an every subordinate body thereof, are administered and make such recommendations from time to time as may be deemed for the good of the temple or any subordinate body thereof. Review any bill for travel, hotel, or entertainment ex-pense of any officer or representative to determine if it is reasonable and necessary and within the budget. Have access to all financial books, papers ad accounts of the officers and review them on a periodic ba-sis, and recommend certified public ac-countants for examination and audit. Review the financial institutions in which the funds of the temple are to be, or already are, deposited. Investigate suitable invest-ments and investment institutions for the funds of the temple. Evaluate the proper coverage and limits of the bonds for the treasurer and recorder, and any other offic-ers required to be bonded. Reports. This committee shall issue its findings, recom-mendations and reports to the board of directors of this temple. Quorum. Three members of this committee shall constitute a quorum for the transaction of business. §7.4 Other Committees. The Potentate shall appoint such other committees as may be required for the operation of the temples affairs. Their duties and responsi-bilities shall not conflict with any provisions of the bylaws of The Imperial Council or

these bylaws. ARTICLE 8 Prohibited Practices §8.1 Unlawful Activities. It is unlawful for any temple or any unit or club under its control, or any group of its members, or any member acting for or on behalf of the tem-ple to promote or take part in any engage-ment or enterprise prohibited by the law of the land. §8.2 Shrine Law. A Shriners Temple or Noble may not violate Shrine Temple law. Improper Advertising. Prior Approval-The use of the word A Noble, or A Shriner, or any variation thereof, or any term, sign or symbol of the Order, for Commercial or other business enterprises, is prohibited unless specifically approved by: A majority vote of the Representatives present during the annual session of The Imperial Council; and any proposal to allow the use for such purpose shall first be sent by a Representa-tive to the Imperial Recorder, in writing, and in the form to be proposed, at least sixth (60) days before the session of the Imperial Council at which it is to be submitted; and every such proposal shall be published with the notice of the session; or A majority vote of the board of director of the Imperial Council. Exemption. This section does not apply to those who are regularly engaged in dealing in standard Shriners Temple sup-plies, uniforms, regalia and emblems. USE OF NAME A SHRINERS HOSPITAL FOR CHILDREN. The use of the name A Shriners Hospital for Children or reference to the Hospital in connection with any fund-raising activity by a temple or Noble without the written consent of The Imperial Poten-tate and the chairman of the board of trus-tees of the Hospital is prohibited. HOSPITAL OPERATION. Prior Approval. A Shriners Temple OR Noble may not solic-it funds or accept real estate, money, secu-rities or other property for purpose connect-ed with the building, launching, mainte-nance, or operation of hospitals for chil-dren, or similar projects, without first obtain-ing permission from the board of directors. Exemption. This section does not apply to existing projects supported and operated by subordinate temples on January 1, 1948. INITIATION CEREMONIES. Prohibition. All immoral and vulgar practices or allu-sions in the initiation of candidates or in the printed notices issued by a temple are pro-hibited. Responsibility. The Potentate or

any officer presiding at the time shall be personally responsible for failure immedi-ately to arrest any act of vulgarity or ob-scenity. FURNISHING LIST OF NAMES. A Shriners Temple or Noble: May furnish a list of members of the temple to national Shriners Temple magazines for the sole purpose of soliciting subscriptions. May furnish a list of members of the temple to others solely for fraternal purposes for the benefit of the temple and then only upon such terms and conditions as directed by a resolution duly adopted by the Shrine. Shall furnish a list of members of the Shriners Temple to the Imperial Recorder, annually, as they appear on the temple records as of the last day of each year; to be used for the sole purpose of disseminat-ing information about our Hospitals, and encouraging gifts, contributions, and be-quests thereto, and then only upon such terms and conditions as directed by a reso-lution duly adopted by the board of direc-tors of the Hospitals. May not furnish a list of members for the Shrine to anyone to Be used to circularize or solicit the mem-bers for business purposes except as here-in mentioned. Imperial Council. The Imperi-al Council, its officers and Employees: May furnish a list of members of a temple to the Shrine to which those listed are mem-bers. May furnish lists of Imperial repre-sentatives, officers, committee members and similar lists for Shriners Hospitals for Children. May furnish a list of members of the temple to others, after obtaining the consent of the Shriners Temple, solely for fraternal purposes for the benefit of the Order and then only upon such terms and conditions as directed by a resolution duly adopted by the board of directors of The Imperial Council. May not furnish a list of members of temples to anyone to be used to circularize or solicit the members for business purposes except as herein mentioned. APPEALS FOR AID A Shriners Temple may not appeal to Nobles not members of that temple for aid unless the appeal bears the endorsement of The Imperial Potentate. PAID ADVERTISEMENTS Restrictions. A Shriners Temple may not issue with or as a part of any official notice any announce-ment or paid business advertisement. Allowance. Shriners Temple, which issues at regular intervals an official publication containing paid advertisements, may issue its official notices in that publication.

DIVISION OF FEES A Shriners Temple may not set aside any part of the fees col-lected for initiation or affiliation or annual dues or assessments for the exclusive use of any unit or any subordinate club or or-ganization in the Shrine Temple. FEMALE ORGANIZATIONS Prohibition. A Shriners Temple may not organize, or sponsor a female unit or any uniformed body of women. Restrictions. A Shriners Temple may not organize, or sponsor, any body of women, or men and women, pur-porting to be an organization connected with the Order composed of Nobles and female relatives or requiring such relation-ship as the prerequisite for membership in the organization. FEMALE IMPERSONATION All females and impersonators of females are prohibit-ed from participation in any public function of the Order. Appropriate participation by females is permitted in public functions exclusively devoted to the Hospitals. DEVIATION FROM RITUAL A Shriners Temple may not deviate from the ritual as promulgated The Imperial Council. The Imperial Council may authorize the ritual to be translated in any foreign language it deems necessary to accommodate a cere-monial held in foreign countries. The trans-lation requires approval of The Imperial Council and shall be used in an appropriate foreign country without deviation. PUBLIC CONDEMNATION The appear-ance in public of candidates or Nobles in costume or attire, or publicly engaging in activities which bring reproach upon the Order, is prohibited. FURNISHING ELECTION RESULTS A Shriner or Noble may not furnish to any news media the name of any candidate for t Shrine or Shriners club office, nor any infor-mation regarding the ballot count at any temple or Shriners club election. Infor-mation given to news media shall consist solely of the names and biographical mate-rial of officers elected and appointed. CORPORATIONS No corporation may be organized for any purpose related to any activities of the Order or the Hospitals, except upon compliance with either ‘ 334.9 or ‘ 337.7 of Imperial Bylaws unless the express written consent of the Imperial Potentate be first obtained. RECORDING SHRINE MEEETINGS There shall be no audio, video, or other

recording, taping or filming of a tile temple meeting or ceremonial without the prior consent of the temple or potentate. Any authorized recording, taping or filing shall become the property of the temple and may not be heard or viewed except by Nobles. ARTICLE 9 Temple Units And Shrine Clubs § 9.1 Government. Shrine temple units and shrine clubs are governed by the provisions of the bylaws of The Imperial Council. Personal property, equipment, files, rec-ords, uniforms and other assets in the custody of Nobles, Units, Clubs or other organizations of the temple, shall remain the property of Mahi and shall be surren-dered or accounted for upon the demand of the Potentate or his duly designated repre-sentative. The Potentate may appoint a Noble, to be designated as the Quarter Master to maintain a record of such proper-ty. ARTICLE 10 Temple Publication § 10.1 Official Publication. Unless other-wise provided in Imperial Council bylaws these bylaws, a magazine or newsletter may be established as the official publica-tion of this temple. It shall be proper to publish all official calls and notices therein. § 10.2 Advertising. All advertising accept-ed for the official publication shall be non-offensive an in compliance with the bylaws of The Imperial Council and these bylaws. § 10.3 Staff. The potentate shall appoint the editor and approve the appointment of staff members by the editor. The ownership of all property, whether real of personal acquired or purchased for or in behalf of this Shrine, shall remain under the control of MAHI Shriners. Real Property, even though the title be vested in a subordi-nate corporation of MAHI Shriners, shall not be sold, exchanged or encumbered except upon resolution approved by a majority vote of the Nobles of MAHI Shriners at a regular or special meeting and after not less than thirty (30) days notice thereof. Personal property, equipment, files, records, uni-forms and other assets in the custody of Nobles, Units, Clubs or other organizations of the Shrine, shall remain the property of MAHI Shrine and shall be surrendered or

accounted for upon the demand of the Potentate or his duly designated repre-sentative. The Potentate may appoint a Noble, to be designed as the Quarter Mas-ter to maintain a record of such property. ARTICLE 11 Amendments § 11.1 Amendments. This Temple shall be governed by these bylaws, rules regula-tions, and decisions of the Imperial Council when not in conflict herewith. Proposed Bylaws or amendments must be presented in writing in the form of a resolution at a stated meeting. Action of the resolution shall be deferred to the next stated meeting or to a special meeting called for this pur-pose, by not less than seven (7) days no-tice to each member reciting the text or substance of the proposed Bylaws or amendments. Affirmative vote of two-thirds of the members voting shall be required for approval. All existing Bylaws, resolutions, orders, rules or regulations, conflicting with these Bylaws are hereby repealed. § 11.2 Inconsistencies. When a change or revision has been authorized by the Imperi-al Council affecting the laws and such change or revision affects the Bylaws of this Shriners Temple so affected are, ipso facto, changed and/or revised so as to conform with those of the Imperial Council. In the event of an inconsistency between these bylaws and the bylaws of The Imperi-al Council, the bylaws of The Imperial Council supersede these bylaws.

Proposed By-Laws PROPSED BYLAWS OF MAHI SHRINERS Changes indicated in italics. Preamble This temple is governed by the articles of incorporation and bylaws of Shriners Inter-national, an Iowa corporation and the fol-lowing bylaws not inconsistent therewith.

ARTICLE I Name, Seal & Jurisdiction §1.1 Name. This temple shall be known as Mahi Shriners. It was granted a charter on June 15, 1922 by Shriners International. §1.2 Location. It shall be located in Miami, County of Miami-Dade, Florida. §1.3 Seal. The seal of Mahi Shriners shall consist of two concentric circles between the circumferences of which are the words Mahi Shriners, Miami, Florida. An impres-sion and facsimile shall be deposited with the Imperial Recorder. § 1.4 Flag. The official flag of this temple shall be described by the bylaws of Shriners International. §1.5 Jurisdiction. The territorial jurisdic-tion of this temple is governed by the provi-sions of the bylaws of Shriners International under which Mahi Shriners has exclusive jurisdiction in Broward, Miami-Dade and Monroe Counties in the State of Florida, The Commonwealth of the Bahamas and the Republic of Cuba. ARTICLE 2 Temple Membership §2.1 Prerequisites. 1. A CANDIDATE MUST BE IN GOOD STANDING. Mahi Shriners may not ac-cept a petition from a candidate unless he is in good standing as a Master Mason of a lodge recognized by or in amity with the Conference of Grand Masters of North America. Membership in this temple, in-cluding a candidate’s petition and balloting thereon, is governed by the bylaws of Shriners International. 2. PETITIONS. Each application for the Order shall be made upon the form of peti-tion provided by Shriners International and each applicant for the Order must be rec-ommended by at least two (2) Nobles of

this temple. a. A petitioner must be an actual resident for at least six (6) months in the jurisdiction of Mahi Shriners. b. The temple may receive and act upon the petition on one whose residence is not in the jurisdiction of another shrine temple. c. Any member of the armed forces or dip-lomatic service may petition this temple if stationed within the jurisdiction of Mahi Shriners at the time without reference to his actual place of residence, and thereupon, after election may be initiated by and be-come a member of Mahi Shriners. 3. BALLOTING. a. Favorable. Subsequent to a report on a candidate’s petition, the ballot is passed, and, if less than 3 black balls appear, he is elected. b. Adverse. If the ballot reveals 4 or more black balls, the candidate is rejected. If the ballot reveals 3 black balls, another ballot is passed immediately. If 3 black balls appear a second time, the candidate is rejected. §2.2 Affiliation. A petition for affiliation must be accompanied by the applicant’s demit from the Shrine temple of which he was last a member. The ballot shall be taken in the same manner as an application for initiation, but no dues shall be collected for the current year provided the applicant holds a current card from the Shrine temple from which he demits. §2.3. Associate Membership. Any Noble may apply for membership by affiliation in a second Temple, and, if accepted by the second, thereafter hold associate member-ship subject to the provisions of this sec-tion. a. Good Standing. The applicant need not hold a demit to make an application for Associate membership. However, an appli-cation for associate membership must be accompanied by written evidence that the applicant is in good standing and eligible for a demit. b. Shrine Notification. Upon election of an applicant for associate membership, the Second temple shall notify the other of which the Noble is a member that he has associate membership; and thereafter he shall be considered an active member of both temples. §2.4. Retention of Membership. Prereq-uisite. In order to maintain membership in a

Temple, a Noble must maintain good stand-ing as a Master Mason of a lodge recog-nized by or in amity with the Conference of Grand Masters of North America. §2.5. Demit. A demit shall be granted provided that at the time of its issue the Noble is: a. In good standing b. Free from charges c. Free from indebtedness, assessments and voluntary obligations to the temple. §2.6 Suspension or Termination of Mem-bership. The temple may not carry a mem-ber on the books who is more than two years in arrears. The temple must either suspend him or remit his dues. a. Whenever adopted, any order of suspen-sion shall be effective as of December 31st of the last year of the delinquency. b. A Noble may be suspended for nonpay-ment of dues in the following manner: 1. He must be notified by first class mail that he is in arrears; 2. He must be given an opportunity to be heard; 3. He must be admitted to the temple for this purpose even though he is in ar-rears; and 4. A majority of members present at a stated meeting must vote to suspend him. c. One who has been suspended for non-payment of dues may be restored by filling out a petition for restoration accompanied by written evidence that he is in good standing in his prerequisite body and by paying the current year’s dues. No vote is required. d. Suspension of a Noble holding associate membership for nonpayment of dues to the second temple shall not affect his membership in the temple to which he first belonged; but his suspension for nonpay-ment of dues to the first temple shall ipso facto affect his suspension in the second. His suspension for any other cause or his expulsion from either temple shall ipso facto affect his suspension or expulsion, as the case may be, from the other. Immediate notice of his suspension or expulsion by either Temple shall be given to the other Temple and to the Imperial Recorder. e. Termination. Associate membership is terminated by: 1. Voluntary resignation upon payment of

of all indebtedness, assessments and Vol-untary obligations to the temple by an asso-ciate member who is in good standing and free from charges. 2. Expulsion 3. Death §2.7 Life and Perpetual Memberships. 1. Life Membership a. A Noble who has been a member of this temple for fifty years (50) and has paid dues consecutively for that period of time shall be exempt from annual dues and as-sessments levied by Shriners International or by this temple, and shall be amendable to the Laws, Rules, and Edicts of Shriners International and the Bylaws of this temple. All Past Potentates of Mahi Shrine shall become Life Members. The temple shall pay that Noble’s Hospital and Per Capita assessment to Shriners International until the termination of his membership.

b. Election of an Associate Member to life membership in one temple does not consti-tute his election to life membership in the other. 2. Perpetual Membership a. A Noble may voluntarily become a Per-petual member by paying to Mahi Shriners the sum of twenty (20) times the annual dues. He may also purchase a Permanent Contributing Membership in Shriners Hospi-tals for Children (thirty (30) times the annual fee) and a Life Per Capita membership in Shriners International (thirty (30) times the annual fee).

b. Mahi Shriners shall purchase a Perpetual Membership, Permanent Contributing Mem-bership and Per Capita Membership for all Past Potentates of Mahi Shriners. §2.8 Honorary Membership. Honorary membership may be conferred by this tem-ple upon any member of the Order, as a compliment, but such membership confers no rights or privileges. The issuing of year-ly membership cards to honorary members is prohibited. §2.9 Discipline. Should it be necessary to discipline a Noble of this temple for any cause other than nonpayment of dues, procedure shall be as provided in Shriners International Bylaws. §2.10 Complaints to Imperial Potentate. Complaints or correspondence to the

Potentate are governed by the bylaws of Shriners International. §2.11 Copies of Temple Bylaws and Im-perial Bylaws. A copy of the Bylaws of this Temple shall be given to each Noble at the time of his initiation or affiliation; and the recorder of the temple shall allow each member access to a copy of the Imperial bylaws so that they may be read and under-stood. ARTICLE 3 Temple Meetings & Ceremonials §3.1 Stated Meetings. A stated meeting shall be held on the second Thursday even-ing of each month (except July and Au-gust.) The exact hour of all meetings, in-cluding the annual meeting, shall be desig-nated by the Potentate. A. December Meeting. At the December stated meeting, the officers and representatives for the ensuing year shall be elected. B. Annual Meeting. The annual meeting of this temple shall be held on the second Thursday in January of each year. At this meeting the reports of the Treasurer, Re-corder and Finance Committee shall be received. §3.2 Ceremonial Sessions. Ceremonial sessions may be held at any time on the call of the Illustrious Potentate, provided one week’s notice is given to all members of this temple. The Illustrious Potentate may hold a Ceremonial session at any of the Stated Sessions. The temple may not initiate or obligate a candidate except at a stated meeting or ceremonial session, un-less a special dispensation is granted by The Imperial Potentate. Application for spe-cial dispensation is to be used and must also be accompanied by a full statement of the facts and circumstances justifying the issuance. Any petitioner failing to present himself within twelve (12) months after his election may forfeit all rights under the same, and the said applicant can be re-proposed and reelected before he may receive the Order. Any advance fee paid by the applicant who fails to present himself for initiation within the above twelve (12) months shall be returned to the petitioner.

§3.3 Special Meetings. Special sessions of this temple may be called by the Illustri-ous Potentate at any time. One week’s notice of each special session shall be given to each member stating the business to be considered, and no other business than that specified in the call or summons shall be transacted. §3.4 Sunday Meetings. No business meeting or ceremonial session shall be held on Sunday, except upon special dispensa-tion of the Imperial Potentate for good and sufficient cause. §3.5 Place of Meetings. The place of all meetings shall be determined by the Poten-tate except as may be otherwise required or restricted by the bylaws of Shriners Interna-tional §3.6 Notice of Meetings. At least one week’s notice must be given of the time and place of all meetings and ceremonial ses-sions. The notice may be given in the offi-cial temple publication, by email or by letter. §3.7 Rules of Order. Unless otherwise provided by the bylaws Shriners Interna-tional, the Shriners Temple bylaws or reso-lution, parliamentary procedures shall be governed by Robert’s Rules of Order. §3.8 Admission. A Noble may not be ad-mitted to this temple unless he exhibits to the temple an official Shrine card for the current year. §3.9 Quorum. A quorum shall consist of seven (7) members entitled to vote, one of whom shall be the Illustrious Potentate, Chief Rabban, Assistant Rabban, or a Past Potentate of the temple. §3.10 Order of Business. The order of business shall be as follows: Opening ceremony Reading of minutes of preceding session Reading of communications Reading of financial statements Reading of petitions for membership Balloting upon candidates Reports of standing and special committees Unfinished business New business Conferring the ceremonial Closing ceremony The order of business may be changed or suspended by the presiding officer whenev-er it is for the interest of the temple to do so.

ARTICLE 4 Officers §4.1 Officers. THE NAMES OF THE OF-FICERS OF MAHI SHRINERS SHALL BE AS FOLLOWS: Illustrious Potentate Chief Rabban Assistant Rabban High Priest and Prophet Oriental Guide Treasurer Recorder First Ceremonial Master Second Ceremonial Master Director Marshal Captain of the Guard Outer Guard

No Noble may serve in two (2) of the fore-going elected offices at the same time.1-7 officers shall constitute the official Divan and they shall be elected annually by ballot; the remaining officers are to be appointed by the Illustrious Potentate. No person may hold more than one of the foregoing offices at the same time. A Noble may not serve as Potentate of any temple for more than 2 years. A noble may not serve as Potentate of any temple unless he shall have first served at least one term as either Chief Rabban or assistant Rabban of a temple. The Illustrious Potentate shall as soon as possible after his election, and installation, and not later than the next meeting, an-nounce his selection of the appointed offic-ers. The Temple shall elect annually a rep-resentative or representatives to The Impe-rial Council in such number as provided by the Laws of the Imperial Council Shriners International §4.2 Nomination. Candidates for elective office and Representative must be placed in nomination from the floor. There shall not be more than one nomination speech for a candidate and the speech may not exceed three minutes. Seconding speeches are not required or permitted. §4.3 Election and Appointment. The annual election of Officers and Representa-tives shall be held on the second Thursday in December of each year. 1. The election of Officers shall be by writ-ten ballot and by a majority vote in each case. Each elective Officer shall be elected separately by a separate and distinct ballot. The use of a blanket ballot for the election

of Officers is prohibited. If there is no con-test for an elected office a motion may be made for the Recorder to cast a unanimous ballot thereby eliminating a written ballot. 2. Representatives shall be balloted for on one written ballot and each member voting must vote for the total number of Repre-sentatives to be elected, otherwise his bal-lot cannot be considered as a vote. A ma-jority vote of those present and voting shall be necessary to elect each Representative. If on the first ballot one or more candidates shall receive a majority vote of those pre-sent and voting, he or they, shall be de-clared elected. A ballot shall then be taken in the same manner until all the representa-tives are elected. In the event more candi-dates shall receive a majority vote of those present and voting than the number of Rep-resentatives to be elected, then the Candi-dates among those receiving a majority vote of those present and voting, receiving the greatest number of votes, shall be de-clared elected. Blank ballots are not voted and shall not be considered as such. 3. The printing, publication, circulating or distribution of resolutions, letters, tele-grams, tickets, email or other devices, by a Noble, suggesting, recommending, oppos-ing or containing the names of proposed candidates for office in the temple is prohib-ited. 4. For any violation of (3) the Imperial Po-tentate may suspend any offending Noble, and he may declare the election of the offic-ers void an order a new election. 5. At least one week prior to the date of the Annual Election of Officers or any election , the Recorder of the temple shall mail or cause to be printed in the Shriners Temple Bulletin and mailed to all members of the temple a notice of the annual meeting and election of Officers. §4.4 Duties of Officers. 1. POTENTATE. Chief Executive Officer. He is the chief executive officer of the Shriners Temple and he shall exercise gen-eral supervision over the Shriners Temple. a. Responsible. He is responsible to the Imperial Council Shriners International for the government of his temple. b. Observation of Law. He shall require his temple, its officers and Members, to

observe Shrine law and the temple bylaws at all times. c. Appointments. He shall appoint the tem-ple officers and committees to be appoint-ed. d. Records. He shall require that accurate records are kept and just accounts ren-dered. e. Returns. He shall require that regular returns are made to The Imperial Council and that candidate fees, annual per capita taxes, hospital levies and assessments are promptly paid. f. Meetings. He shall require that the requi-site stated meetings are held annually, of which one shall be held in January. g. Orders. He may issue orders to Nobles, clubs, units and organizations within his jurisdiction to comply with matters over which he has authority. All such orders shall be confirmed in writing and mailed to the affected Noble or Nobles. h. Temple Attorney. He shall, with the ap-proval of the official Divan, appoint a Shriners Temple attorney. The temple attorney shall be a Noble and a member of the Bar who is learned and experienced in the law. 2. CHIEF RABBAN. Duties. In addition to his other duties, the Chief Rabban, in con-junction with the board of directors, must prepare and complete the proposed annual budget of the Shrine Temple required by Imperial bylaws for the ensuing year in time for submission at the Shriners Temple meeting at which the budget is to be ap-proved. a. Acting Potentate. If the office of poten-tate becomes vacant for any reason, the Chief Rabban shall act as potentate until a special election is held and the office there-by filled. 3. RECORDER. Duties. It is the duty of the Recorder to: 1. Keep accurate minutes of the proceed-ings of the temple. 2. Issue notice to the members of each meeting. 3. Keep a just and true account of each member of the temple. 4. Present his books and papers to the auditor whenever require.

5. Keep a register of the members of the Temple showing the name, age, occupa-tion, date of creation and address of each member, and any withdrawal, death, sus-pension, or expulsion, as the case may be. 6. Furnish his facsimile signature to the Imperial Recorder. 7. Unless otherwise provided in the bylaws of the temple, he may, with the consent of the official divan, hire employees or inde-pendent contractors for the Temple. 8. At the annual meeting, render a complete report of the finances, investments, mem-bership and other matters of interest in which his office is concerned. 9. Before January 15th of each year, trans-mit to the Imperial Recorder in the form prescribed, the annual returns for the tem-ple. 10. Arrange to remit to The Imperial Council the annual per capita tax as follows: i. Before March 31st, 50% ii. Before June 1st, 35% and iii. Before October 1st, the remaining 15% 11. Arrange to remit $2.50 for the initiation fee for every initiate immediately after the initiation to The Imperial Council, upon re-ceipt of which the Imperial Recorder shall issue a diploma of The Imperial Council to each candidate initiated. 12. Issue official Shrine cards to members entitled to the same. 13. Affix the official seal of the temple to and attest official documents. 14. Report and remit as required by ‘ 332.3, ‘ 332.4, and ‘ 332.5 of Imperial bylaws. a. Additional Duties. Unless the temple bylaws specifically assign the following duties to another officer; it is the duty of the Recorder to: 1. Receive all funds accruing to the Shriners Temple and promptly deposit them to the credit of the Shriners Temple in ap-proved depositories. 2. Keep the books of account and records of the temple. 3. Carefully preserve and file his memoran-da of payment of obligations of the temple. 4. Draw checks, vouchers, or orders for the payment of obligations of the temple, any sums due to Shriners International, or other authorized disbursements. 5. Report the amount of all funds received and disbursements thereof as often as the temple or the Potentate may require. 6. Submit to the members of the temple at each annual meeting a complete report of the receipts and disbursements for the pre-ceding fiscal year. 7. Keep the budget control records.

4. TREASURER. Duties. It is the duty of the treasurer to: 1. Act as the chief financial officer of the temple, under the general supervision of the potentate. 2. Act as custodian of all funds. 3. Sign or countersign all checks for the withdrawal of funds, unless provided other-wise in the temple bylaws. 4. Examine as often as necessary the finan-cial reports and books of account of the temple. 5. When requested at any meeting of the temple, give a financial report of the income and expenditures of the temple since the last report. 6. Prepare the books and records of the Temple and submit at its annual meeting the following information: i. An annual statement of the financial con-dition; ii. An annual operating statement; and iii. Any other or supplementary report or statement necessary to disclose the true financial condition, the nature and current value of the assets, the operating results, the income and sources thereof, of the temple and any affiliated, subsidiary or append ant corporation or fund. 7. Present his books and papers to the auditory whenever required. 5. OTHER OFFICERS. a. Director. The Director, under the direc-tion of the Potentate, shall have charge of the second section of ceremonials of initia-tion. b. Remaining Officers. The remaining offic-ers shall perform the Duties appropriate to their several stations and those assigned to them by the Potentate or the temple. §4.5 Enthronement and Installation. OBLIGATION FOR ELECTED OFFICERS. The officers of every temple before entering upon the discharge of their respective du-ties must take the following obligation: I (name In full) do solemnly promise and vow that I will faithfully, and to the best of my ability, discharge the duties of the office to which I have been elected, and that I will strictly conform to the requirements of Shrine law and the bylaws of my Shrine.

ADDITIONAL OBLIGATION FOR POTEN-TATE. Previous to the enthronement of a Potentate he must assent to the following ordinances: DO YOU SOLEMNLY VOW, UPON YOUR HONOR: That you will exert your best endeavors to promote the true happiness of your brother Nobles of the

Mystic Shrine? That you will endeavor to promote the general good of the Order and observe the solemnity of the ceremo-nies with profound respect and reverence? That you will not acknowledge or have so-cial intercourse with any Shrine which does not work under constitutional authority as Recognized by The Imperial Council? That you will ever maintain and support the au-thority of The Imperial Council, and enforce obedience to Shrine law? Do you submit to all these ordinances and promise to ob-serve and practice them faithfully? Answer:

INSTALLATION. Date and Ritual. The officers shall be installed during the month of January at a temple or public ceremony as prescribed by temple resolution. Such installation shall be in accordance with the ceremony of installation prescribed by the Shriners International. a. Duties. They shall assume the duties of their respective offices upon installation. §4.6 Vacancies. An office becomes vacant in the event an officer or representative dies, resigns, moves and resides perma-nently outside the jurisdiction of the Imperial Council, is suspended, is expelled, is ad-judged mentally incompetent, is physically incompetent, is convicted of a felony or of any criminal offence involving moral turpi-tude. FILLING VACANCIES IN GENERAL. Special Election. A special election may be held without a dispensation to fill a vacancy in elective office; and if the vacancy occurs before July 1st a special election to fill it shall be held within sixty days after it oc-curs, unless a special dispensation for a later election is granted by the Imperial Potentate. a. Advancement. Any vacancy that may occur by the promotion of any officer at any special election may also be filled at that election. b. Appointive office. Vacancies in appoin-tive office shall be filled by the Potentate. c. Declining. A Noble cannot be compelled to accept an election or appointment to office. FILLING VACANCIES IN PARTICULAR OFFICES. Representative. If the vacancy is in the office of an elected Representative and time is not sufficient to call a special election, the Potentate shall appoint a Rep-resentative and notice of the appointment by letter or telegram, must reach the

Imperial Recorders office before 9:00 a.m. on the 5th day preceding the next opening session of the Imperial Council, in order to qualify the representative. a. Treasurer or Recorder. If the vacancy is in the office of Treasurer or Recorder and results from any of the causes stated in Imperial Bylaws ‘325.13 the Potentate shall appoint a member to fill the vacancy until a successor has been elected and installed. REPORT OF ELECTION. The result of any election shall be reported forthwith to the Imperial Recorder. §4.7 Delivery of Records. Each officer shall deliver all books, papers and other property of the temple in his hands to his successor in office, or to such person and at such time as the Shriners Temple may direct. §4.8 Board of Directors. The Board of Directors consists of the temple official divan. a. Quorum. Three directors constitute a quorum of the board. b. Meetings. The board of directors shall meet on the call of the Potentate, who shall be its chairman. He must call the meeting when required by three directors. Meetings may be conducted in person or by tele-phone or other means of communication by which all parties may be connected and all comments and conclusions, as well as, the vote on any resolution may be heard and/or observed by all members present. c. Notice. The recorder shall give not less than three (3) days written notice each di-rector of the time and place of the meeting. Notice may be waived in writing prior to or subsequent to such meeting. d. Budgets. The Chief Rabban, in conjunc-tion with the board of directors, shall pre-pare and complete the propose temple budgets for the ensuing year. The board of directors shall: 1. Report or cause to be reported to the appropriate stated meeting of the temple any proposals for amendments to or depar-tures from the budgets and the reasons therefore, and 2. Cause copies of the complete budgets for the succeeding year to be made availa-ble upon request to each member at least seven (7) days prior to the meeting which it is to be considered. The proposed budgets shall be in detail and in accordance with the

Uniform Chart of Accounts prescribed by The Imperial Council together with the amount budgeted for the preceding year. a. Multiple Budgets. A temple may be its bylaws: 1. Provide for both an operating budget and a capital budget, and 2. Impose other conditions for the manage-ment of its financial affairs not inconsistent with ‘ 327.5 of Imperial bylaws. a. Unauthorized Acts. Except as specifical-ly provided by the Bylaws of Shriners Inter-national, or the temple or resolution of the board of directors ratified by the temple, no unit, shrine club, group of persons, or per-son has the authority, express or implied, to act as the agent of, to act on behalf of, or its act or omission to obligate or bind the tem-ple. g. Temple Holding Corporation. The board of directors and the immediate past potentate shall be the board of directors of any temple holding corporation. ARTICLE 5 Initiation Fees, Dues, Per Capita, Hospital Levy

§5.1 Initiation Fee. The Order of a Noble of Shriners International and member of Mahi Shriners shall be conferred upon the payment of an initiation fee of not less than Twenty Five ($25.00) Dollars. Dues, hospi-tal assessments, per capita tax, regalia, etc. shall be in addition thereto. The full amount of the above fee shall be paid before the Order is conferred. No portion of said fee in any manner is to be rebated and/or refund-ed either in money or material, after the Order is conferred. §5.2 Dues. The annual dues shall be de-termined at a stated or special meeting of the temple after notice has been given to each member stating the proposed amount of the annual dues. The annual dues shall not be less than prescribed by the bylaws of Shriner International. The annual dues do not include the hospital levy or the annual per capita tax required by the bylaws of The Imperial Council, each of which shall be added to the annual dues. This temple may, by affirmative vote, remit dues of a member for good cause shown either to the temple or a committee selected for that purpose. a. Candidates admitted and members rein-stated in this Temple shall pay dues for the

current year in the following proportions: Candidates admitted and members reinstat-ed between January 1st and March 31st, 100 percent; between April 1st and June 30th, 75 percent; between July 1st and September 30th, 50 percent; between October 1st and December 31st, 25 100 percent which shall include the following year’s dues, which proportionate amounts shall constitute the dues to December 31st of the current year. §5.3 Perpetual and Life Memberships. A Perpetual and Life memberships shall be governed by §2.7 of these by-laws. §5.4 Per Capita Tax. Each member of the temple, other than life per capita members and associate members, shall pay Shriners International per capita tax as prescribed by the bylaws of Shriners International. §5.5 Life Per Capita. A Noble may pay the shrine temple recorder a sum equal to 30 times the current per capita tax and, there-after, he is exempt from the annual per capita tax. The temple recorder shall promptly remit the per capita payment to Shriners International, with the name and address of the member. The temple record-er shall enter the exemption on the temple records and, thereafter, shall not include such exempt member when computing and paying the annual per capita tax to Shriners International. §5.6 Hospital Levy. Each member of this temple, other than Permanent Contributing Membership purchasers, shall pay the hos-pital levy as prescribed by the bylaws of Shriners International This temple may remit the hospital levy of a member whose Dues have been remitted because of hard-ship and so advise the Imperial Treasurer. §5.7 Permanent Contributing Member-ship. A member may purchase for $150.00 a Permanent Contributing Membership in the hospitals, receive a Certificate thereof from the Recorder of the temple and be exempt from any further hospital levy. §5.8 Assessment. A temple contemplat-ing an assessment must first submit the proposal to the Imperial Potentate request-ing his approval. The Imperial Potentate shall receive the advice of the chairman of the Jurisprudence and Laws Committee and the chairman of the Finance and Audit Committee prior to the issuance of his deci-sion. If the temple receives the written approval of the Imperial Potentate it may

levy an assessment on its members, includ-ing life members if specifically provided, for purposes general to the membership by resolution adopted at a stated meeting of the Shriners Temple, if it is approved by 2/3rds of the members present and voting, and in the following manner: a. One week’s notice in writing must be given, stating the amount of the proposed assessment and the time and place when action will be taken. b. Upon approval, the assessment is bind-ing on all Shriners membership as of the date of passage of the temple resolution levying the assessment and must be paid as dues are paid or as provided in the reso-lution. All funds received by virtue of a spe-cial assessment shall be maintained in a separate and special account and shall be disbursed exclusively for the purpose for which the said assessment was made. A dues card may not be issued to a member if any voluntary obligation due from him to his Shriners Temple, or any installment is in arrears unless he is exempt from the pay-ment thereof. ARTICLE 6 Fiscal

§6.1 Fiscal Year. This temple must ar-range its books of account, annual report and audit to conform to the calendar year. § 6.2 Budget. This temple must adopt an annual budget, which must be in accord-ance with the Uniform Charts of Accounts prescribed by Shriners International. Its preparation, inspection, presentation, adop-tion, appropriations, amendments, temple reports and Imperial Recorder filing are governed by the bylaws of Shriners Interna-tional. There shall be no expenditure of funds except as authorized by the budget or voted on by the Nobility at a stated meet-ing. 1. The proposed budget of Mahi Shriners for the ensuing year shall be distributed at the January Stated Meeting and held over until the February Stated Meeting where it shall be discussed and voted upon. 2. Adjustments to the budget can be made during the year by a vote of the Nobility at a stated meeting. 3. A non-budgeted expenditure may be proposed by a Noble at a Stated Meeting. Any such non–budgeted expenditure ex-ceeding $10,000 shall be proposed in the form of a motion, held over until the next Stated Meeting and the nobility informed by

U.S. mail to be present to vote on the ex-penditure. §6.3 Review. This temple is required to have its financial statements and those of its affiliated and appendant corporations, including Shrine club holding companies, reviewed, unless an audit is required pursu-ant to Shrine law, by a certified or chartered public accountant, or the equivalent in the state in which the temple is located, select-ed by the temple at the close of each year. A copy of the accountant’s report and ac-companying financial statements must be filed with the Imperial Recorder. §6.4 Personal Benefit. No part of the assets or funds may inure to the benefit of individuals personally except in payment for services actually received or performed. §6.5 Checks and Payment or Transfer of Funds. Transfers of funds and payment of obligations of this temple shall be made into and from depositories approved by the board of directors, pursuant to procedures adopted by the board of directors, and as otherwise governed by the bylaws of Shriners International. § 6.6 Required Signatures. Signatures are required to transfer funds and pay obli-gations of this temple, in accordance with a resolution adopted by the board of direc-tors, and as otherwise governed by the bylaws of Shriners International. One of the authorized signatures must be the treasur-er. All checks and payments must be sup-ported by vouchers or requisitions. § 6.7 Monthly Reports. The Potentate shall cause a financial statement containing a detailed report of receipts and expendi-tures of funds by the temple and all corpo-rations and organizations operating under authority of the temple to be made available to the Nobility at all stated meetings or upon request of a noble. Each Noble, committee, unit or other organization of the temple, authorized to incur indebtedness or to dis-burse or collect funds, shall make a detailed financial report, accompanied by receipts or vouchers to the Finance and Accounts Committee and to the Potentate monthly and at such other times as may be request-ed. § 6.8 Construction Program and Se-cured or Long Term Obligations. Prior to commencing a construction program or incurring a secured or long-term debt, as

defined by the bylaws of Shriners Interna-tional, this temple must follow the bylaws of Shriners International. §6.9 Sale or Purchase of Temple Assets. Prior to this temple, or any of its affiliates, purchasing, selling, leasing, exchanging, mortgaging, pledging or otherwise dispos-ing of all or substantially all of its property or assets, it must follow the bylaws of Shriners International. Any proposed sale (or pur-chase) of real property must be read in the form of a resolution at a stated meeting, sit over for a minimum of 20 days and be vot-ed on at the next stated meeting. All Nobles of Mahi Shriners shall be notified by U.S. Mail a minimum of 20 days in advance of the meeting at which the resolution will be voted on. If passed the net proceeds from the sale of and/or all of Mahi Shriners real property shall be deposited directly into (or withdrawn from) the Mahi Shriners Endow-ment Investment Fund immediately upon receipt of same by Mahi Shriners. §6.10 Fidelity Bond. The temple must procure a corporate fidelity bond as prescribed by the bylaws of Shriners Inter-national. §6.11 Insurance. The temple must procure insurance policies, and the potentate must appoint an insurance advisory committee, as prescribed by the bylaws of Shriners International. §6.12 Indemnification. The official divan, committee members, officers and employ-ees shall be indemnified by the temple for all expenses reasonably incurred by them in defending themselves from any proceed-ings instituted or threatened against them provided the temple votes that they have acted within the scope of their authority and are not guilty of misfeasance or malfea-sance. §6.13 Mahi Shriners Endowment Invest-ment Trust Fund. Mahi Shriners shall have an endowment investment trust fund to hold monies derived from the net proceeds of the sale of real property and/or any other significant income designated by the board and is hereby designated and dedicated as a sacred trust fund. 1. The term “Principal” is hereby defined as: All net proceeds deposited into said Trust Fund from any source whatsoever. The principal amount whereof may not be ex-pended for any purpose or purposes

whatsoever save for investment and rein-vestment, including real property. Any ex-penditure of principal must be in the form of a resolution to be read at a stated or called meeting. A copy of the resolution must then be sent by U.S. Mail to the entire nobility notifying them of the time and location of the stated or called meeting at which the resolution will be discussed and voted up-on. The Finance Committee shall review the proposed expenditure and make its recommendation to the nobility prior to the vote. A 2/3 majority will be required for adoption. 2. The term “Income” is hereby defined as: All net proceeds from the investment and/or reinvestment of the principal of the Trust Fund, including but not limited to interest and dividends as calculated on an annual basis. The income there from to be expend-ed for uses and purposes of Mahi Shriners, fraternal and charitable, and for no other purpose whatever save the payment of unexpended balances back into the fund to further increase the said fund. 3. The Trust Fund shall be managed by the Finance Committee who will determine how the fund is invested.

a. They shall have the right to invest and reinvest from time to time all moneys and assets in the said capital fund in securi-ties listed on recognized stock exchanges in the United States of America, or in bonds of the United States Government, or in direct obligations of The United States Gov-ernment, or agencies which are fitly guaran-teed by the United States Government, or in securities issued by instrumentality of the United States Government, or in corporate bonds having a rating institution, or in the deposit of a banking institution insured by the United States.

c. The Finance Committee shall direct that the income from said Fund shall be transferred to Mahi Shriners on a quarterly basis, or as necessary, to fund the annual budget. All remaining income not trans-ferred to Mahi Shriners shall be reinvested into the fund as principal.

d. The Finance Committee shall meet immediately after close of the calendar year and may employ the financial advisor or advisors above provided for and shall meet quarterly thereafter and at such other times as called by the Potentate or by a majority of the members of the Finance Committee. ARTICLE 7 Committees §7.1 Leadership Search Committee. This temple shall have a Leadership Search

Committee consisting of the Elected Divan and two other Nobles appointed by the Potentate. Its appointment and duties are governed by the bylaws of Shriners Interna-tional.

§7.3 Finance Committee. This temple shall have a Finance Committee. 1. Composition. In compliance with § 327.5 and § 327.8 of Imperial Bylaws the Finance Committee shall consist of the Elected Di-van (Board of Directors) and two at-large members of this temple. The at-large mem-bers are to be elected each year at the annual meeting for a term of two years. 2. Duties. It shall: a. Analyze and make recommendations as to the financial affairs of the temple. b. Examine the proposed major financial obligations and expenditures before such obligations or expenditures are incurred of made. c. Review all necessary current expenses. d. Examine whether any officer, depart-ment, committee, organization, unit or indi-vidual having authority incurs expenditures that exceed the appropriations set out in the budget. e. Examine the system under which the financial affairs of the temple, and every subordinate body thereof, are administered and make such recommendations from time to time as may be deemed for the good of the temple or any subordinate body thereof. f. Review any bill for travel, hotel, or enter-tainment expense of any officer or repre-sentative to determine if it is reasonable and necessary and within the budget. g. Have access to all financial books, pa-pers ad accounts of the officers and review them on a periodic basis, and recommend certified public accountants for examination and audit. h. Review the financial institutions in which the funds of the temple are to be, or already are, deposited. i. Investigate suitable investments and in-vestment institutions for the funds of the temple. Evaluate the proper coverage and limits of the bonds for the treasurer and recorder, and any other officers required to be bonded. j. Reports. This committee shall issue its findings, recommendations and reports to the Nobility at a stated meeting. 3. Quorum. Five members of this commit-tee shall constitute a quorum for the trans-action of business. 4. In addition to the regular duties outlined the Finance Committee shall manage the Mahi Shriners Endowment Investment Fund

Mahi Shriners Endowment Investment Fund and adhere to the duties outlined in §6.13. §7.4 Other Committees. The Potentate shall appoint such other committees as may be required for the operation of the temples affairs. Their duties and responsibilities shall not conflict with any provisions of the bylaws of The Imperial Council or these bylaws. ARTICLE 8 Prohibited Practices §8.1 Unlawful Activities. It is unlawful for any temple or any unit or club under its control, or any group of its members, or any member acting for or on behalf of the tem-ple to promote or take part in any engage-ment or enterprise prohibited by the law of the land. §8.2 Shrine Law. A Shriners Temple or Noble may not violate Shrine Temple law. 1. IMPROPER ADVERTISING. Prior Ap-proval-The use of the word A Noble, or A Shriner, or any variation thereof, or any term, sign or symbol of the Order, for Com-mercial or other business enterprises, is prohibited unless specifically approved by: a. A majority vote of the Representa-tives present during the annual session of The Imperial Council; and any proposal to allow the use for such purpose shall first be sent by a Representative to the Imperial Recorder, in writing, and in the form to be proposed, at least sixth (60) days before the session of the Imperial Council at which it is to be submitted; and every such pro-posal shall be published with the notice of the session; or b. A majority vote of the board of direc-tor of the Imperial Council. c. Exemption. This section does not apply to those who are regularly engaged in deal-ing in standard Shriners Temple supplies, uniforms, regalia and emblems. 2. USE OF NAME A SHRINERS HOSPI-TAL FOR CHILDREN. The use of the name A Shriners Hospital for Children or reference to the Hospital in connection with any fund-raising activity by a temple or Noble without the written consent of The Imperial Potentate and the chairman of the board of trustees of the Hospital is prohibit-ed. 3. HOSPITAL OPERATION.

a. Prior Approval. A Shriners Temple OR Noble may not solicit funds or accept real estate, money, securities or other property for purpose connected with the building, launching, maintenance, or operation of hospitals for children, or similar projects, without first obtaining permission from the board of directors. b. Exemption. This section does not apply to existing projects supported and operated by subordinate temples on January 1, 1948. 4. INITIATION CEREMONIES. a. Prohibition. All immoral and vulgar practices or allusions in the initiation of candidates or in the printed notices issued by a temple are prohibited. b. Responsibility. The Potentate or any officer presiding at the time shall be personally responsible for failure immedi-ately to arrest any act of vulgarity or ob-scenity. 5. FURNISHING LIST OF NAMES. A Shriners Temple or Noble: 1. May furnish a list of members of the tem-ple to national Shriners Temple magazines for the sole purpose of soliciting subscrip-tions. 2. May furnish a list of members of the tem-ple to others solely for fraternal purposes for the benefit of the temple and then only upon such terms and conditions as directed by a resolution duly adopted by the Shrine. 3. Shall furnish a list of members of the Shriners Temple to the Imperial Recorder, annually, as they appear on the temple records as of the last day of each year; to be used for the sole purpose of disseminat-ing information about our Hospitals, and encouraging gifts, contributions, and be-quests thereto, and then only upon such terms and conditions as directed by a reso-lution duly adopted by the board of directors of the Hospitals. 4. May not furnish a list of members for the Shrine to anyone to Be used to circularize or solicit the members for business purpos-es except as herein mentioned. a. Imperial Council. The Imperial Council, its officers and Employees: 1. May furnish a list of members of a temple to the Shrine to which those listed are members. 2. May furnish lists of Imperial representa-tives, officers, committee members and similar lists for Shriners Hospitals for Chil-dren. 3. May furnish a list of members of the tem-ple to others, after obtaining the consent of the Shriners Temple, solely for fraternal

purposes for the benefit of the Order and then only upon such terms and conditions as directed by a resolution duly adopted by the board of directors of Shriners Interna-tional. 4. May not furnish a list of members of tem-ples to anyone to be used to circularize or solicit the members for business purposes except as herein mentioned. 6. APPEALS FOR AID A Shriners Temple may not appeal to No-bles not members of that temple for aid unless the appeal bears the endorsement of The Imperial Potentate. 7. PAID ADVERTISEMENTS a. Restrictions. A Shriners Temple may not issue with or as a part of any official notice any announcement or paid business adver-tisement. b. Allowance. Shriners Temple, which is-sues at regular intervals an official publica-tion containing paid advertisements, may issue its official notices in that publication. 8. DIVISION OF FEES A Shriners Temple may not set aside any part of the fees collected for initiation or affiliation or annual dues or assessments for the exclusive use of any unit or any subordinate club or organization in the Shrine Temple. 9. FEMALE ORGANIZATIONS a. Prohibition. A Shriners Temple may not organize, or sponsor a female unit or any uniformed body of women. b. Restrictions. A Shriners Temple may not organize, or sponsor, any body of women, or men and women, purporting to be an organization connected with the Order com-posed of Nobles and female relatives or requiring such relationship as the prerequi-site for membership in the organization. 10. FEMALE IMPERSONATION All females and impersonators of females are prohibited from participation in any pub-lic function of the Order. Appropriate partic-ipation by females is permitted in public functions exclusively devoted to the Hospi-tals. 11. DEVIATION FROM RITUAL A Shriners Temple may not deviate from the ritual as promulgated The Imperial Council. The Imperial Council may author-ize the ritual to be translated in any foreign language it deems necessary to accommo-date a ceremonial held in foreign countries. Shriners International and shall be used in an appropriate foreign country without devi-ation. 12. PUBLIC CONDEMNATION The appearance in public of candidates or Nobles in costume or attire, or publicly en-gaging in activities which bring reproach upon the Order, is prohibited. 13. FURNISHING ELECTION RESULTS A Shriner or Noble may not furnish to any news media the name of any candidate for Shrine or Shriners club office, nor any infor-mation regarding the ballot count at any temple or Shriners club election. Infor-mation given to news media shall consist solely of the names and biographical mate-rial of officers elected and appointed. 14. CORPORATIONS No corporation may be organized for any purpose related to any activities of the Or-der or the Hospitals, except upon compli-ance with either ‘ 334.9 or ‘ 337.7 of Imperi-al Bylaws unless the express written con-sent of the Imperial Potentate be first ob-tained. 15. RECORDING SHRINE MEEETINGS There shall be no audio, video, or other recording, taping or filming of a tile temple meeting or ceremonial without the prior consent of the temple or potentate. Any authorized recording, taping or filing shall become the property of the temple and may not be heard or viewed except by Nobles.

ARTICLE 9 Temple Units and Shrine Clubs

§ 9.1 Government. Temple units and shrine clubs are governed by the provisions of the bylaws of Shriners International. 1. Personal and or real property, equip-ment, files, records, uniforms and other assets in the custody of Nobles, Units, Clubs or other organizations of the temple, shall remain the property of Mahi and shall be surrendered or accounted for upon the demand of the Potentate or his duly desig-nated representative. The Potentate may appoint a Noble, to be designated as the Quarter Master to maintain a record of such property. 2. Upon the surrender of the charter of a Shrine Club the real property of said club shall be assigned to another shrine club or

unit, leased for income to the temple or sold and the net proceeds there from deposited into the Mahi Shriners Endowment Invest-ment Fund as principal. 3. Real Property, even though the title be vested in a subordinate corporation of MAHI Shriners, shall not be sold, ex-changed or encumbered except upon reso-lution approved by a majority vote of the Nobles of MAHI Shriners at a regular or special meeting and after not less than twenty (20) days notice thereof. ARTICLE 10 Temple Publication § 10.1 Official Publication. Unless other-wise provided in Shriners International by-laws these bylaws, a magazine or newslet-ter may be established as the official publi-cation of this temple. It shall be proper to publish all official calls and notices therein. § 10.2 Advertising. All advertising accept-ed for the official publication shall be non-offensive an in compliance with the bylaws of The Shriners International and these bylaws. § 10.3 Staff. The potentate shall appoint the editor and approve the appointment of staff members by the editor.

ARTICLE 11 Amendments § 11.1 Amendments. This Temple shall be governed by these bylaws, rules regula-tions, and decisions of the Imperial Council when not in conflict herewith. 1. Proposed Bylaws or amendments must be presented in writing in the form of a res-olution at a stated meeting. Action of the resolution shall be deferred to the next stat-ed meeting or to a special meeting called for this purpose, by not less than seven (7) days notice to each member reciting the text or substance of the proposed Bylaws or amendments. Affirmative vote of two-thirds of the members voting shall be required for approval. 2. All existing Bylaws, resolutions, orders, rules or regulations, conflicting with these Bylaws are hereby repealed. § 11.2 Inconsistencies. When a change or revision has been authorized by Shriners International affecting the laws and such

change or revision affects the Bylaws of this Shriners Temple so affected are, ipso facto, changed and/or revised so as to conform with those of the Imperial Council Shriners International. In the event of an incon-sistency between these bylaws and the bylaws of The Imperial Council Shriners International, the bylaws of Imperial Council Shriners International supersede these bylaws.

Motor Corps making huge difference—The Mahi Motor Corps, Mahi’s newest Unit, is coming

along nicely. During the recent parades Nobles Jeff Goins, Steve Rushefsky and Phil Jones have led the procession with

their impressive Harley Davidson motorcycles, even doing some formation drills. The bikes are white, red and yellow

and are lettered with the Mahi Shriners name. The three guys are dressed alike and the uniformity is outstanding. What

a wonderful site to see the bikes back in action after a long absence. It’s been many years since there have been multiple

motorcycles in our parades and it is hoped that this will continue and grow. They definitely make a fantastic lead in for

the units that follow them. If you are interested in joining up with this group see their ad below.

City of Miami Mayor honors Grand Master BY JOHN W. BORSA JR.

MW Steven P. Boring, Grand Master of the

Most Worshipful Grand Lodge of Free and Accept-

ed Masons of Florida was recently honored by the

City of Miami during his official visit to the 34th

and 35th masonic districts. At a public gathering

on the steps of the historic Scottish Rite Masonic

Center, Miami Mayor Tomas Regalado presented

the Grand Master with a proclamation declaring

October 21, 2015 as “Steven P. Boring Day” in the

city. An impressed crowd cheered as the visibly

moved honoree accepted the certificate. “This type

of honor is not always easily obtained and speaks

volumes of the influence of Masonry in our city”

said Tali Atala, District Deputy Grand Master of

the 35th District.

The ceremony was followed by the official visit

activities which included a tiled meeting, ladies’

program and luncheon. Florida Grand Master Steven P. Boring receives a handsome proclamation from Mayor

Tomas Regalado on behalf of the City of Miami amidst the cheers of 200 masons and guests.

dedicated the new City of Lauderhill Fire Station on

October 29, 2015. About 40 masons were in attend-

ance and the ceremony was quite impressive to by-

standers. The new state-of-the art facility at NW 31

Avenue and NW 12 Place will include three fire

truck bays, a living quarters for fire rescue staff,

offices, storage rooms, a stand-by emergency gener-

ator, a police sub-station, and a medical triage room

on the first floor. The second floor will include a

multi-purpose room and serve as the City’s back-up

Emergency Operations Center.

“‘Twas the Night Before Christmas Down at the Lodge” by Clayton L. Wright

Twas the Night before Christmas, and down at the Lodge, Not a gavel was stirring; And in the hodge-podge of aprons and jewels and chairs East and West, you could savour the silence, most gladly divest; All metal and mineral, it mattered not, since Christmas was nigh and the coals were still hot; In the hearth of your homestead, all Masons abed, as visions of trestle boards danced in their head; When up on the roof there arose such a clatter, our Tyler jumped up to see what was the matter!; He picked up his sword and ran fast to the door, three knocks shook the panels - he wondered ‘What for?'; He answered the knocking with, raps of his own, and once the door opened he saw, with a moan; Of delight it was Santa, all jolly and red, except for one notable feature In-stead!; Upon his large finger lie wore what we knew, was compass and square on a background of blue!; “Why San-ta!” he shouted and lowered his blade, “I see you’re a Ma-son!” the Tyler relayed; He looked toward the Master’s most dignified chair and said, voice near trembling, “Most Wor-shipful there Is a Gentleman properly clothed at the gate!” The Master replied, ‘Let’s allow him - but wait!; You tell me a Gentleman, but I don’t see his apron beneath that red suit, can it be our visitor hasn’t been properly raised? Must we offer a test that is suitably phrased”; “I do beg your pardon,” ol’ Santa said quick, as he pulled up his coat and displayed not a stick; But a cane with, engraving, two balls did appear, and oh, what an apron, he wore and held dear!; Adorned like the Master, complete with a sign, of “Lodge Number One, the North Pole” on one line!; “Now let man enter,” the Master declared, and once in the Lodge room the Brethren all stared; For Santa was wearing a jewel not seen for many a century - there in between the fur of his coat and the splen-did red collar gleamed two golden reindeer that shone like a dollar!; “It’s Donner and Blitzen, who, I must confess are actually images brought from the west; By my Warden, a craftsman like none in the world!”; And with a great laugh from his bag he unfurled, an ear of fine corn, and some oil from the east, “My friend I have plenty, tonight we will feast; On all that is good! We are Masons, kind sir!” A murmur went throughout the Lodge, quite a stir; As presents and promises flew from his sack, this Santa, a Mason, showed he had a knack; For making this Christmas the best you could glean, and soon even Deacons were laughing, they’d seen; On this very night only happiness reigned! This jolly Saint Nicholas quickly explained; That only a Mason could be so inclined to make all kids happy, make all people find, a Christmas so special, yes, Santa was right! Merry Christmas to all, and to all a good night!

K    N —JIMMY SNYDER 

If there was ever a Noble who’s

always got a positive attitude and a

smile on his face it is Jimmy Snyder,

one of the most active members of

the Broward Shrine Club.

James R. Snyder was born to

Bruce and Lois Snyder on October 9,

1956 in Pittston, Pennsylvania. He is

one of ten children and comes from

a long line of Masons and Shriners,

including a Great Great Grandfather

who served in the Civil War. The

family moved to the Carol City of

area Dade County, Florida in the

late 1950’s, later settling in Planta-

tion in Broward County where

Snyder was in the first graduating

class at South Plantation High

School. He then attended Sheridan

Technical College where he studied

and excelled in the paint and auto

body program. He was the first stu-

dent from that school to compete in

paint and body at the state level. His

tremendous success in school got

him a job with the Massey Yardley

family of dealerships and in 1977 he

opened his own business, Tiger Au-

tomotive, in Oakland Park. Snyder

has built a solid reputation in the

auto industry and is the preferred

repair shop of many South Florida

masons and Shriners.

When not at work Snyder con-

tinues to focus on cars. He attended

NASCAR Driving School in Char-

lotte and has driven his Sunbeam

Tiger on the famous track at the In-

dianapolis Motor Speedway; He ex-

cels at restoring cars and has shown

many at the numerous car shows he

attends. In fact his Sunbeam Tiger is

a 1st Place Restoration winner at

many Florida car

shows.

A natural sports-

man, his participation

in sports is varied. He

played and coached

men’s softball in

Plantation for eight

undefeated seasons.

He is an avid golfer

who plays a mini-

mum of once a week

and has even attend-

ed the PGA Masters

Tournament in Au-

gusta, Georgia. He

has a Harley Da-

vidson motorcycle that he and wife

Becky have ridden through 40 U.S.

states and Canada. He loves skiing

and snowmobiling, especially

through Yellowstone National Park

in Wyoming. He frequently goes

fishing and diving. He is a devoted

lobster season participant around

South Florida and the Bahamas. He

likes both salt and fresh water fish-

ing. Snyder might be found trying

to hook a trout in a Canadian river,

a bass in a Florida lake or sailfish in

the Caribbean Sea.

Snyder was raised to the sub-

lime degree of Master Mason in

2007 at Doric Lodge in Ft. Lauder-

dale. He has remained active in the

lodge and attends regularly. After

much lobbying from his brethren,

he was created a Noble of Shriners

International on June 26, 2009. He

immediately became active with

the Mahi Clowns, a role he truly

loves. His clown name is

“Buttercup” and even appeared in

a Hollywood Candy Cane Parade

segment on the formerly national-

ly syndicated Anderson Cooper

Show. He has often paraded in a

customized auto rickshaw that

plays the Bridal Chorus song. A

good cook, he has prepared and

donated many of the meals for the

Broward Shrine Club fundraisers.

Snyder married Rebecca Han-

nah in 1980. Together they have

two children and five grandchil-

dren. The couple still resides in

Plantation and enjoy family time

and travelling together. Outside of

Masonry Snyder is very involved

in Plantation Presbyterian Church

where he serves as a deacon.
