We request to consider adding a liability cap section in the RFP as under: "The
sole liability of SI (whether in contract, indemnity, tort, negligence, strict liability
in tort, by statute or otherwise) for any claim in any manner related to this

under this Agreement shall in no event in the aggregate exceed the yearly fees.

online and offline) at the police location should be digitally signed and
encrypted before it is sent from one location to other / central data center.
Appliance based FIPS certified Hardware Security module shall help in security
of the signing key, key management and multifactor authentication to access
the key and
most significantly it will enhance the performance of the complete system by
offloading the complete cryptography. All data interchanged among various
police offices and between the users of an application interface, Core
application, Police agencies and CCTNS databases should be digitally signed and
encrypted using the PKI infrastructure. Hardware Security Module should be
used to provide a higher level of security. The PKI public and private keys will be
stored inside the hardware module thus making it inaccessible, tamper proof
and highly secure.

Either party may request a change order (“Change Order”) in the event of
actual or anticipated change(s) to the agreed scope, Services, Deliverables,
schedule, or any other aspect of the Statement of Work. Bidder will prepare a
Change Order reflecting the proposed changes, including the impact on the
Deliverables, schedule, and fee. Absent a signed Change Order, Bidder shall not
be bound to perform any additional services. The parties agree to negotiate in
good faith all Change Order proposals. The parties further agree that Bidder
may undertake and accomplish tasks of a de minimis nature necessary to
perform its obligations under any Statement of Work at no additional cost and
without requiring the execution of a Change Order.

Each party owns, and will continue to own all rights, title and interests in and to
any inventions however embodied, know how, works in any media, software,
information, trade secrets, materials, property or proprietary interest that it
owned prior to this Agreement, or that it created or acquired independently of
its obligations pursuant to this Agreement (collectively, “Preexisting Works”).
All rights in Preexisting Works not expressly transferred or licensed herein are
reserved to the owner.

harmless the other party (the “Indemnified Party”) and its officers and
directors, employees, agents, and representatives from and against any losses,

(collectively, “Losses”) associated with any third party claim against the
Indemnified Party connected with (i) death, or (ii) injury to persons or property,
in each case resulting from the acts or omissions of the Indemnifying Party, its

Wipro shall not be liable for any indirect, punitive, consequential or incidental
loss, damage, claims, liabilities, charges, costs, expense or injury, including,
without limitation, loss of use, data, revenue, profits, business interruption, and
loss of income or profits, that may arise out of or result from this Agreement,
irrespective of whether it had an advance notice of the possibility of any such
damages. Subject to the above and notwithstanding anything to the contrary
elsewhere contained herein, the maximum aggregate liability of Wipro for all
claims under or in relation to this Agreement, shall be, regardless of the form of
claim(s), the consideration actually received by Wipro under this Agreement.

526 Wipro’s failure to perform its contractual responsibilities, to perform the
services, or to meet agreed service levels shall be excused if and to the extent
Wipro’s non-performance is caused by Customer’s omission to act, delay,
wrongful action, failure to provide inputs, or failure to perform its obligations
under this Agreement.
