SUMMARY This report covers soil sampling work completed by Paragon Minerals from May 24th to June 1st, 2012 near the Southeast side of Lake Ambrose. A total of 269 soil samples were collected during the program. The sampling was designed to follow-up on the results of an airborne survey flown in the winter 2011 and prospecting during the summer of 2011 on the Gills Pond Block. The Gills Pond Block is part of the South Tally Pond VMS (volcanogenic massive sulphide) Project and is located on NTS map sheet 12A/10 and 12A/07 in the Lake Ambrose Area of Central Newfoundland. The South Tally Pond Project is located 110 kilometres southwest of the town of Grand Falls-Windsor, NL and 35 kilometres south of the community of Millertown, NL. The properties cover rocks of the Tally Pond Volcanics that are being explored for base metal VMS deposits within the same geological environment as the nearby Duck Pond Mine and Lemarchant Deposit. The Property consists of five, contiguous 100% controlled properties or blocks including the Harpoon Block, Gill’s Pond Block, Higher Levels Block, South Tally Pond Block and the South Tally Pond Extension Block. The aggregate land position comprises 8 map-staked mineral licences (856 claims) covering 21,400 hectares immediately southwest of the Duck Pond Mine. Paragon Minerals Corporation has a 100% interest in the mining and mineral rights to the Property.

The South Tally Pond Project area has been explored intermittently since the late 1960’s for precious metal-rich polymetallic volcanogenic massive sulphide deposits. The bulk of the historic exploration work in the area was completed by Noranda and its various partners between 1973 and 1998. This exploration work resulted in the discovery of the Duck Pond and Boundary deposits. In addition, Noranda discovered numerous other prospects including the Lemarchant, Rogerson Lake, Bindon’s Pond, Higher Levels, Spencer’s Pond and Beaver Lake Prospects through geochemical and geophysical surveys. Each of these areas has seen limited to no drilling underscoring the underexplored nature of the western half of the Tally Pond Volcanic belt. The South Tally Pond Project is underlain by rocks of the Victoria Lake supergroup which consists of a structurally complex, composite collage of bimodal Neoproterozoic to Ordovician arc-related magmatic and sedimentary rocks. The Victoria Lake supergroup hosts numerous base metal-bearing VMS deposits, showings and extensive alteration zones, and several gold deposits and showings. This mineralization is distributed throughout all of the lithotectonic assemblages, including the Tally Pond Volcanic Belt, that comprise the supergroup. The Tally Pond Volcanic Belt consists of Cambrian-aged volcanic, volcaniclastic and sedimentary rocks that extend from Victoria Lake northeast to Burnt Pond. The South Tally Pond Project is situated in the same volcanic belt and to the immediate southwest of Teck Resources Limited’s Duck Pond Copper-Zinc Mine (5.1 million tonnes averaging 3.6% Cu, 6.3% Zn, 1.0% Pb, 64 g/t Ag and 0.9 g/t Au for both the Duck Pond and Boundary deposits). Soil sampling on other prospects of the Tally Pond Volcanic Belt (i.e. Lemarchant, Beaver Lake) has shown that anomalous trends of base and precious metals exist over known mineralized horizons. Trends are best observed using the 90th to 95th percentile rank of data to distinguish anomalous trends from background values. The soil sampling program conducted by Paragon

Minerals in May 2012 over a broad airborne EM anomaly at the Southeast end of Lake Ambrose has also produced some interesting base metal trends such as anomalous copper and zinc along the strike of the EM anomaly and 3 elevated gold values of 18, 78, 1113 ppb that coincide with elevated As values at the west end of the soil grid. Previous mapping has shown that the EM anomaly is likely underlain by a mafic volcanics and this may explain the higher copper values in soils but the anomalous gold values are not easily explained and require follow up work such as additional soil or lake sediment sampling as well as ground geophysical surveys suitable for detection of conductive bodies at depth.

1.0 INTRODUCTION This report documents a soil sampling program completed by Paragon Minerals Corporation (“Paragon”) on mineral licences 013583M and 019631M of the South Tally Pond Project area from May 24th to June 1st, 2012. The soil sampling was designed to follow-up on the results of an airborne electromagnetic (EM) and magnetics survey and prospecting completed by Paragon in 2011. A total of 269 soil samples were collected and analyzed for copper, lead, zinc, gold, silver, and arsenic. All data and work presented in this report are presented in UTM NAD27, Zone 21U, unless otherwise stated. 2.0 LOCATION, ACCESS AND PHYSIOGRAPHY The South Tally Pond Project (“Property”) is located in central Newfoundland, approximately 110 kilometres southwest of Grand Falls-Windsor and 35 kilometres south of Millertown (Figure 1). The property is located near Rogerson Lake and Lake Ambrose on NTS map sheets 12A/10 (Lake Ambrose) and 12A/07 (Snowshoe Pond) centred at approximately 521000E/5375000N (Figure 1). The property has excellent, year-round road access from well-maintained logging/mining roads originating from the paved highway at Millertown. Access to the South Tally Pond Project area is gained by travelling south from Millertown on a gravel road maintained by Teck Resources Limited and Newfoundland Hydro to Lake Ambrose. Secondary logging roads and trails provide good truck and/or ATV access to most parts of the Property. The physiography of the Victoria Lake-Millertown region as summarized by Klassen (1994) can be divided into three areas geographically defined as the northwestern, southern and central areas, as follows: the northwestern area is underlain by gabbros and diorites forming the high (400-600 m) northeast-southwest trending ridges of the Annieopsquotch Mountains. The southern area, south of Victoria Lake, is a barren, gently undulating, peneplane of approximately 350-400 m elevation, which extends to the south coast of Newfoundland. The central area consists of the gently undulating and hummocky, heavily forested valleys of the northeast flowing Victoria and Tulks River systems. On a property scale, the area has a mean elevation of about 300 meters and is characterized by low, rounded hills. Second growth forest cover is interspersed with cut-over areas, several bogs and a few medium sized ponds and small to medium-sized lakes (Rogerson Lake, Lake Ambrose and Quinn Lake). The property is drained by small brooks which flow northeast to Harpoon Brook. Bedrock exposure is generally less than 1%. The region is covered with a thin veneer of Pleistocene glacial till and outwash deposits typically 2-10 meters thick, but reaching up to 20 meters thick locally. The glacial cover is composed of as many as three separate till sheets. An earlier southerly ice flow direction (140o-170o) and a later northeast one (40o-60o) have been identified (Kean and Jayasinghe, 1980 and Klassen, 1994).

payable to the vendors of which Paragon can purchase 1.0% for $1.0 million. Paragon has the right of first refusal on the remaining 1.0%. 4.0 EXPLORATION HISTORY The South Tally Pond Project area has been intermittently explored since the late 1960’s for base metal massive sulphide mineralization following cursory exploration work by Asarco during the 1960’s and 1970’s. Asarco drilled a total of 3 holes testing relatively long strike length EM conductors resulting in the presumed intersection of largely thick sequences of black, graphitic shale, in the Beaver Lake and Rogerson Lake areas. The lack of drill logs, orientation, and length and location information for these holes precludes any significant interpretation of what results may have been obtained. The earliest preserved record of diamond drilling within the property is from 6 drillholes completed in 1975 by Labrador Mining and Exploration Co. Ltd. in the Harpoon Brook area (Tuffy, 1975). The bulk of the exploration work was undertaken by Noranda and its various partners from 1973 to 1998. Systematic exploration work by Noranda resulted in the discovery of several base metal VMS deposits and occurrences in the area (e.g. Duck Pond, Boundary, Moose Pond, and Lemarchant). In addition, geological, geochemical and geophysical surveys conducted by Noranda in other areas throughout the Tally Pond Belt resulted in the discovery of several areas of anomalous geochemical signatures that are coincident with zones of altered volcanic stratigraphy with geophysical conductors. Altius optioned the South Tally Pond Block from Noranda in 2000. From 2001-2005, Altius completed comprehensive geological mapping, re-logging and re-sampling of 14 diamond drill holes from the Lemarchant prospect (currently known as the Lemarchant Deposit) and lithogeochemical sampling which resulted in better definition of the extents of the Lemarchant and Spencer’s Pond prospects (Barbour and Churchill, 2002; 2003; 2004; 2005) Altius also conducted an 844.9 line kilometre airborne HTEM survey covering the Rogerson Lake, Spencer’s Pond and Lemarchant areas that confirmed known conductors and outlined new conductors in all three alteration zones outside areas of previous geophysical surveying. Paragon optioned the South Tally Pond Block from Altius in December 2006. In 2007, Paragon successfully intersected massive sulphide at the Lemarchant Deposit in drill hole LM07-13. Through continued drilling, massive sulphide was encountered over a 500 metre strike length (Section 101N to Section 106N) and has lead Paragon to focus most of its exploration efforts on increasing and expanding the Lemarchant Deposit. Paragon has covered the entire South Tally Pond Project area with AeroTEM airborne EM and magnetics and has completed 21,259.1 metres of diamond drilling in 60 holes, soil sampling, linecutting, ground EM geophysical surveying (20.725 line kilometres) and ground Titan 24 survey (14.4 line kilometres) and borehole pulse EM geophysics (19 holes; 8,855 metres) at the Lemarchant Deposit (Copeland et al., 2008a, b, Copeland et al., 2009; Copeland, 2010; Copeland and Devine, 2011; Devine et al., 2011; Fraser et al., 2012).

Although most of the focus has been on Lemarchant, Paragon has also completed work on several alteration zones including prospecting, soil sampling, and short drill programs on the Beaver Lake, Duckworth and Cookstown prospects. Details of previous exploration work and the location of prospects and mineral occurrences in the South Tally Pond Project area are presented in Appendix I. 5.0 REGIONAL GEOLOGY AND MINERALIZATION The island of Newfoundland covers the northern extremity of the Appalachian Orogen. Four major tectonostratigraphic zones have been identified in this segment of the orogen. From west to east, these are the Humber, Dunnage, Gander, and Avalon zones (Figure 3). These zones record the opening and closing of the Iapetus Ocean in the late Precambrian and early Palaeozoic (Williams, 1979). The Dunnage Zone has been subdivided into the Notre Dame and Exploits subzones, representing volcanic belts that formed on the Laurentian and Gondwanan sides of the Iapetus Ocean, respectively (van Staal et al., 1998). These subzones are separated by an extensive fault system termed the Red Indian Line (Figure 3, 4). The South Tally Pond Project area is situated within the Exploits subzone which includes volcanic and sedimentary rocks of back-arc and island-arc (e.g. Tally Pond Volcanic Belt) affinity, associated intrusions, and ophiolitic rocks. The area is underlain by the Victoria Lake supergroup (Evans and Kean, 2002; Rogers and van Staal, 2002). The Victoria Lake supergroup consists of a structurally complex, composite collage of bimodal Neoproterozoic to Ordovician arc-related magmatic and sedimentary rocks (Figure 5). The Victoria Lake supergroup has been subdivided into a northern and southern terrane (Evans and Kean, 2002) that is separated by the Rogerson Lake Conglomerate. The northern terrane consists of 6 distinct lithologic assemblages, bounded by the Red Indian Line to the northwest and the Victoria Lake Shear Zone to the southeast, with the volcanic packages defining an overall northwest younging arrangement (Rogers and van Staal, 2002; Valverde-Vaquero and van Staal, 2002; Zagorevski et al., 2003). From west to east the assemblages include: the Pats Pond assemblage (488Ma?), the Tulks Hill assemblage (498 +6/-4Ma; 495 ± 2 Ma), the Long Lake assemblage (~505 Ma), Harpoon Brook assemblage (pre-Caradocian clastic sedimentary rocks), the Tally Pond assemblage (513 ± 2 Ma, 509 ± 1 Ma, 512 ± 2 Ma, 514 ± 7 Ma), and the Burnt Pond/Spencer’s Pond assemblage (~563 Ma, 572 ± 4 Ma). The contacts between the different assemblages are high-strain zones, and are generally interpreted to be thrust faults. The Victoria Lake supergroup hosts numerous base metal-bearing volcanogenic massive sulphide (VMS) deposits, showings and extensive VMS alteration zones, and several gold deposits and showings (Figure 5). This mineralization is distributed throughout all of the lithotectonic assemblages that comprise the supergroup. The Tulks Hill assemblage contains eight known sub-economic massive sulphide deposits, including the Boomerang deposit of Messina Minerals which has an estimate (using a 1% zinc cut-off grade) of an indicated mineral resource totalling 1,364,600 tonnes grading 7.09% zinc, 3.00% lead, 0.51% copper, 110.43 g/t silver, and 1.66 g/t gold, and an inferred mineral resource of 278,100 tonnes grading 6.72% zinc,

Figure 4. VMS Deposits and volcanic belts of central Newfoundland (after NL Dept. Mines and Energy). 2.88% lead, 0.44% copper, 96.53 g/t silver, and 1.29 g/t gold. Domino, adjacent to Boomerang and thought to be the same mineralized horizon, hosts another 411,200 tonnes inferred mineral resource grading 6.3% zinc, 2.8% lead, 0.4% copper, 94 g/t silver and 0.6 g/t gold (Messina Minerals press release, June 21, 2007). The Tally Pond Assemblage contains five massive sulphide lenses at the Duck Pond and Boundary deposits, with calculated proven and probable reserves of 5.48 million tonnes grading 3.3% copper, 5.8% zinc, 0.9% lead, 59 g/t silver and 0.8 g/t gold. Teck Resources Limited is currently mining the Duck Pond Deposit with the Boundary Deposit slated for later production. Similar VMS-style alteration assemblages associated with disseminated and stringer base metal sulphide mineralization have been located elsewhere in the Tally Pond Belt. The most notable of these are the Burnt Pond Prospect about 20 kilometres northeast of Duck Pond, and at the Lemarchant Deposit about 25 kilometres to the southwest of Duck Pond (Collins, 1994).

The Lemarchant Deposit alteration zone has been outlined over a strike length of 4 kilometres and consists of silicified, chloritized or sericitized rhyolite with abundant disseminated and stringer sulphide mineralization. The altered rhyolite has a very similar alteration signature to felsic units that host the Duck Pond and Boundary deposits to the northeast. The majority of the historical drilling on Lemarchant (14 holes, 3,018 metres) concentrated on an 1100-metre section within the central portion of this alteration zone and tested the stratigraphy to a depth of 160 vertical metres. Since acquiring the South Tally Pond property in 2006, Paragon has focused much of its effort on the Lemarchant Deposit. Following-up anomalous base and precious metal results from drilling by Noranda (4.5% Cu, 5.7% Zn, 273 g/t Ag, 1.06 g/t Au over 0.30 m in hole LM92-7), Paragon intersected 0.77% Cu, 7.49% Zn, 2.13% Pb, 40 g/t Ag, 0.21 g/t Au over 5.05 m in their first hole LM07-13. This hole is some 140 m down dip of LM92-7 and at a depth of only 160 m below surface. Since the discovery, Paragon has completed over 21,259.1 metres of diamond drilling in 60 holes at Lemarchant and has outlined a zone of significant sulphide mineralization over a 500 m strike length based on widely spaced and infill drilling (> 50 to 100 m centres) (Copeland et al., 2007, 2008a, 2008b; Copeland, 2010; Devine et al., 2011). In early 2012, Paragon released an initial resource estimate on the Lemarchant Deposit with an Indicated Mineral Resource of 1.24 million tonnes grading 5.38% Zn, 0.58% Cu, 1.19% Pb, 1.01 g/t Au and 59.17 g/t Ag and an Inferred Mineral Resource of 1.34 million tonnes grading 3.70% Zn, 0.41% Cu, 0.86% Pb, 1.00 g/t Au and 50.41 g/t Ag (7.5% Zn equivalent grade cut-off) (Fraser et al., 2012)

These VMS accumulations are associated with extensive hydrothermal alteration zones, which may be used as a guide to exploration in this environment. The felsic volcanics in the vicinity of the Duck Pond and Boundary deposits were subjected to pervasive vein silicification and sericitization. Within about 100 meters of the sulphide bodies the main alteration is strong to intense chloritization, with disseminated, stringer and semi-massive pyrite. A late stage carbonate alteration halo occurs, replacing chlorite alteration, immediately above, below and for 200 meters laterally from the Duck Pond deposit. The alteration consists of contorted calcite veins. Noranda discovered the Duck Pond deposit through follow up of alteration along the favourable felsic volcanic horizon. Lithogeochemical sampling by Noranda of the alteration zones associated with the Duck Pond and Boundary deposits has led to the recognition of a geochemical pattern which they termed the “Duck Pond Signature”. The Duck Pond alteration signature is characterized by plotting log(Hg/Na2O) versus log(Ba/Sr) (Collins, 1989a). 6.0 PROPERTY GEOLOGY The South Tally Pond Project area occurs within the Tally Pond assemblage (informally renamed Tally Pond group by Pollock et al. (2002); Figure 5 and 6). They define the Tally Pond group as the assemblage of volcanic, volcaniclastic and sedimentary rocks that extend from Victoria Lake northeast to Burnt Pond. These rocks are sub-divided into four sequences: the Lake Ambrose, Boundary Brook and Burnt Pond formations, and the black shale mélange. The Lake Ambrose formation consists of variably amygdaloidal, locally porphyritic, pillowed to massive mafic flows, with lesser breccias, autoclastic, hyaline and reworked tuffs, and dikes. These rocks are compositionally sub-alkalic basalts or basaltic andesites with a depleted island-

arc tholeiitic signature (Figure 5; Pollock and Wilton, 2001). The mafic volcanics are intricately intermingled and interlayered with felsic rocks of the Boundary Brook formation, indicating synchronous deposition. These rocks are host to numerous volcanogenic massive sulphide deposits and occurrences within the Tally Pond volcanic belt (e.g. Duck Pond, Boundary, Lemarchant). The Boundary Brook formation consists of felsic flows that are variably massive to pseudo-brecciated and locally flow banded, breccias, tuffs and quartz porphyry with rhyolitic to dacitic composition and arc geochemical signatures. The Burnt Pond formation is an extensive unit of epiclastic sedimentary rocks comprised of greywacke, conglomerate, argillite, siltstone and minor chert. The sedimentary rocks contain dominantly volcanic detritus, with pyroclastic content and clast size increasing with proximity to the volcanic rocks, suggesting derivation from the adjacent volcanics. However, the sedimentary rocks are very rarely in direct contact with the volcanics, generally being separated by an extensive black shale mélange. Based on scant fossil data the mélange is tentatively correlated with the regional Caradocian black shale, although minor black shale layers are interfingered with the volcanic rocks of the Lake Ambrose and Boundary Brook formations. These interfingering black shale sequence commonly occur at the contact between the mafic Lake Ambrose formation and felsic Boundary Brook formation contacts and in places comprise massive bedded pyritic mudstone that is intimately associated with base metal massive sulphide mineralization (e.g. Duck Pond, Lemarchant).

7.0 2012 EXPLORATION From May 24th to June 1st, 2012, Paragon Minerals Corporation completed a program of soil sampling on the Harpoon Properties that was designed to follow-up on the results of an airborne survey flown in the winter 2011 and prospecting completed in the summer of 2011. A total of 269 B-horizon and till (minor humus) soil samples were collected during the program. 253 of these samples were taken on licence 013583M and 16 samples on licence 019631M. The work was completed by Paragon staff as presented in Appendix II. Soil sample locations and descriptions are presented in Appendix III with analytical certificates presented in Appendix IV. A summary of the analytical procedures used is presented in Appendix V. 7.1 Lake Ambrose South East Area (Licences 013583M and 019631M) Prospecting over a broad (1.1 km) and extensive (3.5 km) airborne EM conductor at the southeast end of Lake Ambrose was the primary target for follow-up soil sampling. The broad EM conductor may represent a flat-lying horizon below surface such as a mudstone horizon at a mafic-felsic contact (Figure 7). Prospecting in 2011 comprised the collection of 10 rocks samples (RNF21774 to 21782 and RNF39802) which resulted in the discovery of disseminated base metal sulphides within altered felsic volcanic rocks to the south of a long (4 kms) airborne conductor with assays up to 770 ppm Zn (RNF21775) (Figure 8). The soil grid lines were laid out perpendicular to the strike of the EM conductor to cover the highest conductivity and most accessible part of the anomaly and to cover anomalous Zn in rock samples. The grid consists of 8 lines (300E to 1700E) of varying lengths that are spaced at 200 metres and 25 metre sample station spacing along the line for a total of ~6.7 line kilometers of grid. No grid lines were established for the soil sampling, all samples were taken along a GPS (NAD 27) grid. Samples were collected with a standard soil auger and were placed in brown paper kraft bags. Samples were then shipped to Eastern Analytical and analyzed by ICP-11 (Aqua-Regia) which provides Fe, Mn, Pb, As, Sb, Zn, Co, Cu, Ni, Mo and Ag. Au was analyzed with fire assay. The results of the analyses were ranked as a percentage of the data set (using only samples plotting above the detection limit) to provide background and anomalous trends. Samples have been bubble plotted and those in the 90th to 95th percentile are considered anomalous. Several maps are plotted with Zn, Cu. Pb, Ag, As (ppm), and Au (ppb) overlying the EM conductor and are presented at the end of this report. Anomalous Cu (Figure 9) best represents the strike of the EM conductor with higher than background values distributed through the highest conductance part of the EM anomaly. The anomalous Cu trend could be attributed to more of a mafic component to the rocks which are mapped through the area. Pb has anomalous clusters over the northeast end of the conductor and an anomalous trend over the southern edge of the EM anomaly (Figure 10). Anomalous Zn (90 to 95th percentile) also represents a subtle trend along the strike of the EM conductor (Figure 11). There are no significant Ag trends or clusters (Figure 12). Only 3 samples analyzed for Au measure over the detection limit so Au is plotted as ppb and has not been percentile ranked. While only 3 samples are anomalous in Au (18, 78, 1113 ppb), interestingly, they all occur at southeast end of the EM anomaly and the presence of a 1.113 g/t

Au sample may suggest the presence of visible gold. A subtle trend of anomalous As exists along the northeast part of the conductor and a more obvious trend exists along the last line on the west end of the soil grid. Coincidentally the elevated Au values on line 300E correlate with the anomalous As values suggesting the Au values are real and not an analytical error

APPENDIX V- ANALYTICAL PROCEDURES

Sampling Soil samples are typically in the range 0.2 to 0.3 kg in size with a soil auger. Samples are placed in paper kraft bags together with a waterproof paper ticket depicting a unique sample number. Each bag is labelled with permanent marker. Samples were stored under the supervision of the sample’s collector (Paragon geologist) and were sent to Eastern Analytical in Springdale, NL and analyzed by ICP-11 (Aqua-Regia) which provides Fe, Mn, Pb, As, Sb, Zn, Co, Cu, Ni, Mo and Ag. Au was analyzed with fire assay. Sample Preparation Eastern Analytical All sample preparation is completed by Eastern Analytical of Springdale to the following specifications. Samples are dryed at 60oC and sieved up to 100g to -80mesh (up to ½ kg). Sample Analyses by Eastern Analytical Limited Fire Assay and Sample Digestion (Au):

A 30 g sample is weighed into an earthen crucible and mixed with PbO fluxes. Silver nitrate is then added and the sample is fused in a fire assay oven to obtain a liquid which is poured into a mold and let cool. The lead button is then separated from the slag and cupelled in a fire assay oven which contains a silver bead which contains the gold. The silver is removed with 1 ml nitric acid and then 3 ml hydrochloric acid is added to bring the Ag and Au into solution. After cooling, deionized water is added to bring the sample up to a desired volume. Then the sample is analyzed one at a time by the Atomic Absorption method (in batches of 24) with a value obtained by taking the average of three readings per sample. Unit is checked with a calibration solution after every 12 samples. Inductively Coupled Plasma optical emission spectrometry ICP OES (Fe, Mn, Pb, As, Sb, Zn, Co, Cu, Ni, Mo and Ag): Samples are arranged into racks of 36 samples + 2 duplicates + blank and 1 CANMET standard to make a rack of 40 total test tubes. This information is recorded on an assay sheet with the corresponding rack #. 2. 0.5 g of sample is weighed into each test tube. 3. Concentrated Nitric acid and Hydrochloric acid is added to each test tube. 4. The racks of samples are then gradually heated on a hot plate to aid in dissolution of the elements to be tested. 5. Samples are then cooled to room temperature and topped to volume with deionized water and stirred to homogenize.

6. After an hour to settle the sediments, the samples are analysed by Inductively Coupled Plasma (ICP). Each package, ICP-9, ICP-11, ICP-30 are analysed separately, but all elements within each package are read at the same time. Sample results are recorded manually and transferred to the manual data entry person where assay data is remerged with PGR sample number and tabulated into reports for certificates. Reports and standards are checked by the Chief Assayer before the certificates are release to the client.
