ANNEXURE-A

PRE-QUALIFCATION AND GENERAL TERMS AND CONDITION OF TENDER

A. Instruction for submission of bid

1. PLANT SYNOPSIS

Gujarat Industries Power Company Limited (GIPCL) (henceforth be named OWNER), is a premier power utility in the state of Gujarat with an installed capacity of 815 MW. Surat Lignite Power Plant (SLPP) with Four units of 125 MW capacities each is located at village Nani-Naroli, Taluka Mangrol, District Surat in Gujarat. GIPCL has also developed its own lignite and Lime stone mines close to the Power Plant. The plant is based on Circulating Fluidized Bed Combustion technology for the boilers where lignite is burnt along with limestone in the furnace of the boiler. GIPCL has also commissioned a 5 MW photovoltaic Solar Power Station at Vastan Mines of Surat Lignite Power Station in January 2012.

2. LOCATION OF THE PLANT

Surat Lignite Power Plant is accessible by road from Kim and Kosamba, which are on Bombay -Ahmadabad NH-8. From Kosamba, site is around 32 kms, out of which 27 kms is part of the National and state highway and balance 5 kms is district road. From Kim, the site is around 18 kms, out of which 13 kms is the state highway and balance 5 kms is district road. The nearest broad gauge railway line is at Kim, which is around 21 kms from the power plant. Surat is approximately 50 km from the plant.

3. TENDER FEE:

Rs.5,000/- (Rupees Five Thousand Only) by demand draft drawn in favour of Gujarat

Industries Power Company Limited payable at Bank Of Baroda, Mosali (Dist: Surat),

SBI, Nani Naroli (Dist: Surat) or any other bank payable at SURAT.

4. EMD

Bidder has to submit an EMD of Rs. 2,50,000/- (Rupees Two Lacs Fifty Thousand Only) along with tender. The EMD shall be in the form of either –

a. A crossed bank Demand Draft in favour of Gujarat Industries Power Co.

Ltd. payable at Bank Of Baroda, Mosali (Dist: Surat), SBI, Nani Naroli (Dist: Surat) or any other bank payable at SURAT.

Or

b. An irrevocable Bank Guarantee drawn on any Nationalized Bank including public sector bank, ICICI Bank, HDFC Bank, IDBI, KALUPUR Commercial Co-operative Bank, Kotak Mahindra Bank, Yes Bank, Ratnakar Bank, Induslnd Bank, Karur Vysya Bank, DCB bank, ING Vyasya Bank, Rajkot Nagrik Sahakari Bank Ltd, The Ahmedabad Mercantile Co-operative Bank Ltd, The Mehsana Urban Co-operative bank Ltd or Nutan Nagrik Sahakari bank ltd in favour of Gujarat Industries Power Company Ltd. Proforma of BG is enclosed herewith as ANNEXURE-D.

c. Incase EMD is paid in the form of BG, it should be valid for 180 days from the due date of submission of offer. The EMD of the unsuccessful bidders will be returned to them after the award of the work order to the successful bidder. Any bid not accompanied with EMD will be rejected. In case, any Bidder withdraws the bid within the validity period, the EMD of the bidder will be forfeited.

d. No interest shall be payable on EMD.

5. PRE-QUALIFCATION CRITERIA a) The Minimum Turnover of bidder should be Rs 30.00 Lakhs

during the last two financial years(Year 2012-13 & year 2013-14). You shall submit documentary evidence for the same.

b) Bidder should have minimum two numbers of tractors with trailer or otherwise should have tie up for the same. Documentary evidence to be submitted.

c) Bidder should provide copy of service tax registration and PAN card copy.

d) The bidder should possess valid license under the Contract Labour

(Regulation and Abolition Act) 1970. Copy of Labour License should be submitted.

e) The bidder should possess PF Code Number under Employees

Provident and Miscellaneous Provisions Act 1972. Copy of PF registration should be enclosed.

6. PRE-BID MEETING

7. SUBMISSION PROCEDURE:

You shall submit your offer through GIPCL e-tender system only. Physical bid shall be not be considered/accepted/entertained.

I. Part-I Technical/Pre-qualification Bid should contain:

a) Documents related to pre-qualification criteria specified in the point number 5 of this annexure.

b) Scan copy of tender duly singed and stamped for acceptance of all terms & condition of contract.

c) If any deviation with respect to our technical or commercial terms and conditions to be indicated clearly in the Schedule of Deviation (Annexure-C). If all terms and conditions are acceptable and there is no deviation, “NIL” deviation to be indicated in the annexure C

d) Tender fee and EMD

II. Part 2 : Price Bid:

You shall submit price bid in prescribed format (Annexure – B) against our e-tender . All the prices offered should be inclusive of PF, minimum labour wages and should be exclusive of all taxes and duties etc.

8. Contract period:

The contract will be initially for a period of 2 years from the date of actual commencement of operation of the contract. GIPCL reserves right to extend this contract for further 3 month.

9. Contract Performance Guarantee:

As a Contract Security, the successful bidder to whom work is awarded should furnish a contract Performance Guarantee / Security Deposit in the form of BG as per the attached Proforma (Annexure - E). The Guarantee amount shall be equal to 10% of the total contract value. The guarantee can be furnished in the form of DD in favour of GIPCL. No interest shall be payable on the Performance Guarantee. In case it is submitted in form of BG, the same should be from any Nationalised OR IDBI BANK/AXIS BANK/HDFC BANK/ICICI bank/ Kalupur Commercial Bank only in the prescribed format of GIPCL and has to be submitted by contractor within 21 days of contract and valid up to three months from the date of completion of contract.

10. Detail Scope of work

The detailed scope of work/Various heads of Materials handling contract/Price Bid is as per Annexure-B.

11. Provision of Uniform and PPES for safety to persons employed

The contractor should provide 3(three) pair of uniform once in a year to the persons employed as per the GIPCL approved quality and shades and safety PPES to their person employed

12. Variation in Minimum Wage rate;

(i) The contractor shall quote rate in Price-bid based on prevailing rate notified the government of Gujarat as per minimum wage act 1948, applicable on the date of submission of tender.

(ii) The contractor shall quote the rate in price-bid inclusive of all statutory

payment like PF, Bonus and leave on prevailing rate notified by government of Gujarat as per minimum wage Act,1948 and difference due to any increase/decrease will be reimburse subject to successful compliance for all obligations under this contract and submission of proof on actual basis.

(iii) Rates quoted should be firm and final except for statutory variation which will

be separately reimbursed.

(iv) While calculating rate for the price-bid no assumption will be made for anticipated rise in the basic/sp. allowances during the contract period as per Minimum wage act, 1948.

(v) The increase or decrease in sp. Allowances as per minimum Wage Act,

notification by the government will be compensated at the end of the contract period on actual basis separately, subject to successful compliance for all obligation under this contract.

(vi) The increase or decrease in basic rate as per Minimum Wage Act, by the

Government will be calculated and effect will be given with effective date as per Government notification.

(vii) The difference in Minimum Wage, either on account of Basic rate/Sp.

Allowance as the case may be paid/reimburse for all categories i.e. Daily Rated workmen as deployed by the contract in line with actual increase or decrease

13.General Safety Clauses

I. Personal Protective Equipment(PPEs):

a) Contractor shall issue safety helmet of YELLOW COLOUR ONLY of IS standard and the safety shoes having IS marks to all their workers. Contractor shall emboss their firm name on the helmet for identification. Contractor shall issue proven quality and reputed make of safety shoes having IS marks and IS Certificate for quality assurance. Contractor shall issue safety shoes every year.

b) It is responsibility of contractor to ensure that his workers are wearing

required PPES as per work requirement throughout the contract period. c) Contractor will reissue/replace these PPES in case of damage of the PPEs.

Replacement shall be made immediately. Damaged helmet and shoes shall be submitted by worker.

d) If it is observed that contractor is not issuing required PPEs timely and that of

required quality, GIPCL will issue the required PPEs to contract workers and actual cost plus 25% overhead charge on total value will be deducted from the contractor’s bill.

e) All PPEs and other safety gears/safety related equipments shall be made as

per relevant Indian standard. A copy of the certificate of the make of the PPEs shall be submitted to safety department.

f) Contractor shall procure and use special personal protective equipments like

heat resistance clothing, leather apron and suit, acid/alkali proof apron and suit as per the work requirement and to attend any emergency job.

g) Contractor shall issue safety shoes to all their workers within 15 days time

after awarding of work order and other safety gears like safety helmet, ear plug, dust mask, hand gloves, safety goggles, gum boot, full body safety belts

, face shield etc to all their workers before commencement of the work at site as per the nature of the job.

h) Contractor shall maintain a PPE issue register with signature of each and every workman and same to be submitted to GIPCL/Safety in charge

II. Lifting Tools & Tackles:

a) All lifting tools and tackles brought by the contractor for his use shall be duly certified by competent person and certificate in form NO.10 as per rule 60 of Gujarat Factories Rules 1963 and section 29 of Factories Act-1948 shall be submitted to safety department every year before using such tools and tackles. In case of purchase of new lifting tools and tackles, form No. 10 as per the said rules shall be submitted to safety department before taken into use. All lifting tools and tackles shall be of proven quality and reputed make of & relevant standard and to be maintained properly and functional (i.e. free from any defect.).Record of all these equipments to be maintained as per the rules.

b) For entry of any new lifting tools and tackles which includes chain pulley

blocks, D-Shackles, wire ropes winch machines, mobile crane, Hydra etc shall be checked and certified from safety department for statutory compliance before taken into plant side. These will be allowed after production of prescribed form as per the factories Act.

III. Working At Height

When it is to work on height where proper footrest is not provided or working on ceiling or roof covered with fragile materials, full body harness safety belt, ladders and crawling boards shall be used to prevent fall of persons as per the work requirement. Further, during working on height, contractor will arrange proper scaffolding of steel pipes as per the relevant standards. He shall further arrange for safety net, full body safety belt, fall arrestor system etc. Advice and instructions of engineer in charge/ safety in charge has to comply strictly in this regard. All necessary safety precautions shall be taken by the contractor to prevent accident and personnel injuries while working at height. IV. Gas Cylinders: Contractor shall ensure that all gas cylinders used by him shall be free from any defect, shall be of good condition, duly tested and having embossed on it as per legal requirement. Further, contractors shall follow standard and safe procedure while handling and storing the gas cylinders. Flash back arrestors made of reputed manufacturer shall be provided on cutting torch, on DA cylinders and on O2 cylinder

V. Vehicle Movement: All vehicles owned by contractor shall be operated by licensed drivers only. PUC of such vehicles to be maintained and produced by the contractors before entering into the company premises. VI. Electrical Tools: All electrical tools & equipments shall be of good and healthy condition and free from any defect and periodically checked by contractor. Contractor shall ensure that no defective equipment shall be taken in use. VII. Hot Work: During hot work, contractor will procure and use fire curtains like fire blankets etc. to prevent falling and spreading of sparks and hot material on and around the work area where ever it is possible to use. Contractors also procure and use cordoning tape for area cordoning where ever it is required. VIII. Contractor shall obey and follow all the safety and security rules &

regulations present in forth and other rules /instructions /notices etc. come from time to time.

IX. Any contractor engineer/supervisor /workman repeatedly found violating safety rules like not wearing of the PPEs etc, contractor shall take disciplinary action as directed by the GIPCL/ Safety incharge.

X. Contractor shall ensure that his workmen/supervisors/site incharges are getting fire and safety awareness training arranged by GIPCL time to time.

14. Freight Payment: The freight payment has to be made by contractor to the lorry office for release of consignment and put up for reimbursement. GIPCL shall in turn make the reimbursement to the contractor at actual against freight bills. For carrying out this job contractor may quote a service charge in percentage of the freight amount paid by him. The service charge shall be certified along with the other payments at the end of every month and payment shall be released along with other service charges. Average monthly payments shall be approximately Rs 40,000.00.

We shall give you a separate sheet for collection of materials along with the original LRs and you shall to fill all the details along with the original money receipt for reimbursement of freight payment.

The rate for transportation of material from KIM, Surat, Kosamba and Ankleshwar should be quoted in price schedule. The trips for handing over LR to contractor shall done by purchase department according to the requirement and freight bills should be submitted at the same office for reimbursement.

15. Terms Of Payment: i. The contractor shall raise the invoice after completion of every month

and the payment for the same shall be made within 21 days thereafter as per the following terms of payment-

ii. 100% Payment on monthly basis against the work executed duly certified by GIPCL.

iii. Income Tax (IT) will be deducted at source from monthly RA bills as per the rules in force.

iv. Following documents has to be submitted once the order is issued to you.

Submission of copy of Registration Certificate issued by Service Tax Authority (to be furnished only once)

Citing the Service Tax Registration No. And the date of issue of registration certificate on invoices.

Claim of Service Tax amount with percentage (%) separately shown on the invoices.

The contractor along with monthly invoice shall submit PF Challan, statement indicating the employee and employer’s P.F contribution of previous month with respect to the employees employed by him for the contract at owner’s site.

The contractor shall submit along with first monthly RA Bill a certificate from Engineer In Charge regarding availability of tractor-trailer at site and other tools and tackles.

Contractor shall submit indemnity bond along with the last monthly bill of the contract.

B. General Conditions of the Contract and Statutory Requirements & Compliance to Labour Laws

1. General Condition of Contract:

a. Tractor-trailer availability: The contractor should provide at least two tractor-trailer. At any point of time during the Contract Period, the contractor shall make available at least one tractor-trailer at site for all the tractor-trailer related works.

b. Supervisor Availability: At least one supervisor should be available at site for various works. As it is not possible to judge when any work would arise, the presence of your supervisor at site is absolutely essential.

c. Night/Sunday/Holiday Shift The contractor shall depute qualified and adequate manpower in night shift/Sundays/holidays for any emergency job, which may come up at night/Sunday/holiday.

d. Recovery Clause

In case any damage of equipment/ machinery due to negligence of contractor or any other reasons attributed to contractor the decision of Engineer In Charge regarding the amount of recovery shall be final and binding subject to a maximum of 10% of contract value. Recovery will be affected from the monthly bills and or retention money / security deposit.

If the contractor fails to execute the work as per directions of Engineer In Charge within the time frame given, GIPCL shall get the work done by third party at the risk and cost of the contractor.

e. Assignment & subletting of contract:

The contractor shall not assign or sub-let any part of the contract to any other party or agency without the written consent of GIPCL.

f. Deduction from Contract Price All costs, charges or expenses which owner may have paid, for which, under the contract the contractor is liable, shall be recovered by the owner. The contractor shall pay all such claims within 15 days of claim failing which the same shall be deducted from the contractor’s RA bills.

g. Termination of Contract by GIPCL

GIPCL may terminate the contract after due recoveries for pending jobs/ damages after giving 15 days notice to the contractor if any of the following event occurs.

(i) Contractor is adjudged as Insolvent. (ii) Contractor has abandoned the contract. (iii) Contractor fails to proceed with the work with due diligence as per

requirements of the contract. (iv) Contractor has neglected or failed persistently to observe or perform

any of the acts, matters or things, which as per the contract are to be observed and performed by the contractor.

(v) Any major contradiction of applicable labour laws. (vi) Any major deviations from the contractual terms and conditions

including quality of the job.

h. Settlement of disputes: Any disputes or difference between OWNER and contractor arising out of the contract shall be settled to the extent possible amicably between the parties. If amicable settlement cannot be reached, all such disputed issues shall be resolved through Arbitration according to the provisions of Indian Arbitration Act 1996. The place of Arbitration shall be Surat.

Work under the contract shall be continued by the contractor during arbitration proceedings unless OWNER shall order suspension thereof or any part thereof in writing or unless the matter in such work cannot possibly be continued unless the decision of the Arbitration proceedings is obtained.

i. Interpretation of Clause: In case of disputes as regards interpretation of any clause or specification, the decision of GIPCL will be final and binding on the contractor.

j. Facilities to be provided by GIPCL.

GIPCL shall provide lifting arrangements if the weight cannot be normally be lifted by two labourers. Apart from this, no other facility will be provided by GIPCL.

2. Statutory Requirements & Compliance to Labour Laws

a. The contractor shall be solely responsible for any accident caused to his

workers and should adhere to all rules/ regulations as per labour laws of Government and other statutory laws as applicable.

b. The contractor should register himself under the Contractor Labour Act, Employee Compensation act and PF Act (Code No to be mentioned) and submit the copy of registration certificate and should possess the same from the date of commencement of work, failing which the contract is liable to be cancelled. The EC policy copy should be submitted to the owner before commencement of the work, failing which the contract is liable to be cancelled. The E.C. Policy copy should be submitted to the owner before commencement of the work and labour licence should be obtained within one week from the date of issue of form-V. Contractor should apply for Form V immediately after receipt of LOI. A Copy of labour licence shall be submitted to GIPCL, H.R&A Department.

c.

The Contractor shall be responsible for compliances of all statutory rules, regulation, act enforced from time framed by the Government such as Factory Act, Employee Compensation act, Payment of ‘Wages Act’, ‘Minimum Wages

Act’, Provident Fund Act, Payment of Bonus Act, Labour Law Act, Maternity Benefit Act in respect of Employees engaged by him for the work and shall have to maintain necessary records. In case any amount becomes due to be payable by him to his employees or the Government under the above rules, regulation, Acts, GIPCL reserves the right to recover the same from the contractor and pay to the concerned employee. Documentary evidence of deposit of PF paid in the preceding month shall have to be produced by the contractor along with the monthly RA bill of succeeding month. Records as per the provisions of various statutory acts will have to be maintained by the contractor and submitted as and when required.

d. All contractor’s employees should maintain due discipline and respect to local sentiments. OWNER reserves the right to direct the contractor to remove any such person who does not comply with it.

e. All other Acts, Rules/Bye-Laws, Orders, Notifications etc. present of future applicable to the contractor from time to time for performing the contract job.

f. The Contractor shall provide and be responsible for payment of Wages, Salaries, Bonus, Social charges, Insurance, Food, Accommodation, Transport, Medical and Canteen facilities and other statutory privileges and facilities to his personnel as per law/rules/regulations and orders of the Central Government, State Government, Local Authorities or other authorities as are in force from time to time. All employees of the Contractor shall be employee of the Contractor.

g. The contractor shall have a valid license obtained from Licensing Authority under the Contract Labour (Regulation & Abolition) Act-1970 at the time of execution of the contract covering all his employees working at SLPP site and furnish the same failing which GIPCL may terminate the contract at its sole discretion.

h. The Contractor shall at the time of execution of the contract have a EPF Code Number obtained from the Authorities concerned under the Employees Provident & Miscellaneous Provisions Act, 1972 and remit contributions in respect of the employees employed by him at SLPP Site to the P.F office concerned every month failing which GIPCL will recover from the outstanding payment to the contractor from GIPCL.

i. The Contractor shall maintain all records/registers required to be maintained by him under various labour laws mentioned above and produce the same before the Statutory Authorities whenever required.

j. The Contractor shall also submit periodical reports / returns to the various statutory authorities such as the Contract Labour (Regulation & Abolition) Act-1970, Employees Provident Fund Act etc. under intimation to HR& Admn. Dept.

k. The Contractor shall not pay less than the Minimum Wages notified by the Government from time to time to his employees of corresponding categories.

l. The Contractor shall be responsible for payment of overtime wages to his workmen, if any, in case they are required to work beyond the prescribed hours under law as per applicable rates.

m. The contractor shall take Workmen Compensation Insurance Policy for all his employees working at SLPP. The contractor shall indemnify the company against any liability due to any work injury or accident to any of its employees.

The Contractor shall in the event any of his workmen / employee sustains any

injury or disablement due to an accident arising out of and in the course of his employment, provide necessary medical treatment and pay compensation as applicable, required under the Workmen’s Compensation Act, 1923.

If any of the persons engaged by the Contractor misbehave with any of the officials or the Company or commit any misconduct with regard to the property of the Company or suffer from any serious communicable disease, the Contractor shall replace them immediately.

The Contractor shall not engage / employ persons below the age of 18 years. Employment of women shall be strictly according to applicable laws.

GIPCL will have right to deduct and disburse the claims of the individual / parties being a principal employer on any account whatsoever in relation to their employment with the contractor. The Security deposit will be released to the contractor at the end of the contractual tenure subject to an undertaking by the contractor that in the event any of his Employee or the heirs of employee puts up a claim for recovery of money due to him from the contractor before the appropriate authority under the I.D.Act 1947 or under any other labour laws or for compensation under the Employee’s Compensation Act, 1923 and the appropriate authority has given a direction for making payment the contractor will meet the same or indemnify GIPCL if in the event GIPCL pays it as Principal Employer.

The contractor shall make payment of wages to his employees on fixed date within the period specified under the applicable Law, in presence of representative of the company. He will submit a true copy of wage sheet; attendance register and P.F. remitted challans on monthly basis to HR&A dept. for verification and record.

The Contractor shall provide Safety items / kits to his employees such as safety shoes, goggles, ear plugs, hand gloves, safety belts etc., if any, required under the law.

The contractor shall conduct pre-induction and periodic medical checkup of his workmen as per applicable laws.

The list is indicative in nature and not an exhaustive one. Any amendment/alteration/Notifications or addition to the existing Law or a new statute shall automatically and immediately become applicable.

the fullest liberty, without affecting this guarantee, to postpone from time to time the exercise of any powers vested in them or of any right which they might

have against the CONTRACTOR, and to exercise the same at any time in any manner, and either to enforce or to forbear to enforce any convenants, contained or implied in the Order between the Purchaser and the

CONTRACTOR or any other course of or remedy or security available to the Purchaser. The Bank shall not be released of its obligations under these presents by any exercise by the Purchaser of its liberty with reference to the

matter aforesaid or any of them or by reason or any other acts of omission or commission on the part of the Purchaser or any other indulgence shown by the
