GRANT OF PERPETUAL ACCESS EASEMENT
This Grant of Access Easement (“Easement”) is made by and between _______________ (“the Grantor”) and the City of Thornton, a Colorado home rule municipality, located at 9500 Civic Center Drive, Thornton, Colorado 80229 (“Grantee”), hereafter referred to collectively as “Parties” and individually as “Party.”
WITNESSETH
For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Grantor does hereby grant, sell and convey unto the Grantee, a Colorado home rule municipal corporation located at 9500 Civic Center Drive, Thornton, Colorado 80229, a permanent, non-exclusive, access easement for purposes of ingress and egress through, on, over, across and along and in all of the property situated in the County of Adams, State of Colorado, being described more fully on Exhibit A attached hereto and incorporated herein by this reference (“the Property”) subject to the following terms and conditions.
1. The right herein granted to use this Easement shall belong to the Grantee.
a) To have a right of entry and access in, to, through, on, over, under, and across the Property at any and all times deemed necessary by the Grantee for all purposes necessary and at all times convenient and necessary to exercise the rights granted to it by this Easement.
b) The Grantee shall not be responsible for routine maintenance or
repair associated with said Easement.
2. No building, structure, or other above or below ground obstruction that may interfere with the purposes for which this Easement is granted may be placed, erected, installed or permitted upon the Property. In the event the terms of this paragraph are violated, such violation shall immediately be eliminated by the Grantor upon receipt of written notice from the Grantee or in the event the corrections have not been made within 10 days of receipt of such violation notice the Grantee shall have the immediate right to correct or eliminate such violation at the sole expense of the Grantor, who shall promptly reimburse the Grantee for any expense related thereto. The Grantor shall not, in any manner, interfere in any manner with the purposes for which the Easement is granted however the Grantor reserves the right to grant access easement to others without the permission f the Grantee. The Grantee shall cooperate with all other easement holders on the Property.
3. The Parties agree to execute any additional documents or take any additional action that is necessary to carry out this Grant of Easement.
4. The benefits and burdens of this Easement shall be binding upon and shall inure to the benefit of the Grantee and the Grantor and both of their assigns and successors.

5. The provisions of this Easement, including all benefits and burdens, shall run
with the land.
6. The signatories hereby warrant that they have full and lawful authority to grant this Easement and the Grantor hereby agrees to defend the Grantee in the exercise of its rights hereunder against any defect in the Grantor’s title to the Property.
7. This Easement represents the entire agreement between the parties and there are no oral or collateral agreements or understandings. This Agreement may be amended only by an instrument in writing signed by the parties. If any other provision shall be affected by such holding, and all of the remaining provisions of this Agreement shall continue in full force and effect.
8. This Easement shall be governed by the laws of the State of Colorado. Dated this _____ day of _________________, 20___.
