Quotations are invited for licences for the use of two car parking spaces at Blocks 41, 42, 43 and 44, Baguio Villa, No. 550 Victoria Road, Hong Kong (which Blocks are hereinafter collectively referred to as “the Buildings”) described in the Particulars of the Car Parks hereunder (hereinafter collectively referred to as “the Car Parks” and each one of them as the “Car Park”) which are for identification purpose only shown coloured pink on the plan (Drawing No. GPA ADD 5/CP/19) (hereinafter referred to as “the said plan”) annexed to the form of Licence Agreement annexed hereto (hereinafter referred to as “the Form of Licence Agreement”) for a term on monthly basis subject to a maximum term of two years commencing on such date to be specified by the Government Property Agency for the purpose of parking of private cars (which are currently licensed by the Commissioner for Transport for use on public streets and roads under the provisions of the Road Traffic Ordinance (Cap. 374), any regulations made thereunder and any amending legislation) only and on such terms and conditions as set out in this Quotation Notice and in the Form of Licence Agreement.

2. The Financial Secretary Incorporated (hereinafter referred to as “the FSI”) does not bind itself to accept the highest quotation or any quotation submitted. The FSI reserves the right to negotiate with any bidder about the terms and conditions of the offer. The FSI will consider the past or current performance of the bidders as licensees of the FSI both in examining any quotation submitted and in deciding whether or not to award the quotation. The decision of the FSI whether or not to award the quotation shall be final.

Bidders MUST state in the Form of Quotation annexed hereto the FIXED monthly licence fee (inclusive of management fee but exclusive of rates, charges and any other outgoings whatsoever) they are prepared to offer to the FSI for the above licence. Each bidder shall submit only one quotation for a Car Park. If any bidder submits more than one quotation for a Car Park, all the quotations submitted by him in respect of that Car Park will not be accepted. Any quotation submitted which is not in conformity with the requirement contained in this Paragraph will not be considered by the FSI. 4. Bidders and their directors, employees and agents shall not offer any advantage (as defined in the Prevention of Bribery Ordinance (Cap. 201)) to any employee of the Government Property Agency as an inducement to or reward for or otherwise on account of such employee’s giving assistance or using influence in, or having given assistance or used influence in the quotation exercise. If a bidder commits any offence under the said Ordinance in relation to the quotation exercise, the Government Property Agency may invalidate its quotation without payment of any compensation. The bidder will also be liable for all expenses including but not limited to the Government Property Agency’s costs and expenses in the present quotation and any subsequent quotation(s) arising from or incidental to the invalidation. 5. Quotations should be : (a) made in the Form of Quotation annexed hereto; and (b) enclosed in a sealed envelope addressed to “The Chairman, Quotation

Opening Committee, Government Property Agency”, and clearly marked : “Quotation for a Licence of a Car Park at Blocks 41, 42, 43 and 44, Baguio Villa, No. 550 Victoria Road, Hong Kong (Quotation Reference No. : GPA ADD 5/CP/19)” on the outside of the envelope.

6. (a) Quotation MUST be placed in the Government Property Agency Quotation

Box placed at the reception foyer of Government Property Agency, 31/F., Revenue Tower, No. 5 Gloucester Road, Wan Chai, Hong Kong before 12:00 noon on the 19th day of September 2019. In case a black rainstorm warning or a tropical cyclone signal No. 8 or higher is hoisted between 9:00 a.m. and 12:00 noon on the 19th day of September of 2019, the quotation closing time will be extended to 12:00 noon on the next working day PROVIDED THAT if the extended quotation closing day falls on a Saturday, then the quotation closing time will be extended to 12:00 noon on the next working day. Any quotation submitted which is not in conformity with the requirement contained in this Paragraph 6(a) will not be considered by the FSI.

(b) Late quotations will not be accepted.

(c) Save and except the insertion of the requisite information and particulars at the spaces as indicated in the Form of Quotation, there shall be no insertion, deletion or alteration of or to any terms or conditions in this Quotation Notice or in the Form of Quotation or in the Form of Licence Agreement. For quotations submitted with any insertion, deletion or alteration of or to any terms or conditions in this Quotation Notice or in the Form of Quotation or in the Form of Licence Agreement, the FSI may not consider or assess any quotations submitted which did not comply with the requirement contained in this Paragraph 6(c).

7. All bidders should submit all the required information and documents including but not limited to the documents as referred to in Paragraph 12 of this Quotation Notice and Paragraph 6 of the Schedule hereto before closing of the quotation. The FSI may not consider or assess any quotations submitted which did not comply with all the terms and requirements of this Quotation Notice. The FSI reserves the right to seek clarification on the required information and documents after closing of the quotation and request the bidder to submit such information and documents to the FSI within a stipulated period. Quotation evaluation would be conducted on the basis of available information and documents if the required information and documents were not submitted. 8. All quotations submitted shall remain valid from the closing date of the quotation until the 19th day of November 2019 and shall remain binding upon the bidders and may be accepted by the FSI at any time up to the expiry of the said validity period. The FSI will consider and assess all quotations submitted which comply with all the terms and requirements of this Quotation Notice. 9. Quotations will only be accepted from bidders who will occupy the Car Park for their own use, and no assignment, sub-licensing, sharing or parting with the possession of the Car Park or any part thereof or any interest therein will be permitted. 10. BIDDERS SHALL FORWARD WITH THEIR QUOTATIONS A CHEQUE OR A CASHIER’S ORDER for an amount in Hong Kong currency equivalent to one month’s licence fee offered made payable to “The Government of the Hong Kong Special Administrative Region” and issued by a bank which shall be a bank duly licensed under Section 16 of the Banking Ordinance (Cap.155). If a cheque is submitted, it must be good for payment up to the 19th day of November 2019. All cheques and cashier’s orders will be retained uncashed until a decision has been made on the quotations submitted. The successful bidder is required to pay the security deposit for an amount in Hong Kong currency equivalent to one month’s licence fee offered as referred to in Clause 5(c) of the Form of Licence Agreement. If a quotation is accepted, the cheque or cashier’s order submitted therewith will be treated as part payment of the security deposit as required. All other cheques and cashier’s orders will be returned to the unsuccessful bidders at the addresses shown on their quotations. 11. (a) Bidders when submitting their quotations by way of a subsidiary company

should clearly state the names of their holding companies and their correspondence addresses, the names of their contact persons, their telephone numbers and facsimile numbers.

(b) The person who signs a quotation as bidder shall be deemed to be acting as a

principal unless he discloses therein that he is acting as an agent only, in which case he shall also disclose therein the name, address and the name(s) of the contact person(s) of his principal in Part C of the Form of Quotation.

(c)

(i) If the bidder is a person, the Form of Quotation must be duly signed by

such person. (ii) If the bidder is a corporate body, the Form of Quotation must be duly

executed by the corporate body. (iii) The Form of Quotation must be signed/ executed by the bidders to the

satisfaction of the Government Property Agency. Any quotation submitted which is not in conformity with the requirement contained in

this Paragraph 11(c) will not be considered by the FSI.

(d) After the award of the quotation, the identity of the successful bidder and its holding company (if any) and the amount of bid by the successful bidder would be disclosed by the FSI to the unsuccessful bidders and in response to public/media enquiries. The FSI reserves the right to announce the quotation results without the need to seek the prior agreement of the successful bidder or its holding company (if any).

12. Bidders when submitting their quotations by way of a corporate body should submit one copy each of the valid Business Registration Certificate, the Certificate of Incorporation, the Articles of Association, the Incorporation Form (where the first Annual Return of the Corporation has not been filed with the Companies Registry as at the date of quotation submission), the latest Annual Return (if any), Notice of Change of Company Secretary and Director (if any) and Notice of Change in Particulars of Company Secretary and Director (if any) filed with the Companies Registry giving details of its current shareholders and directors. 13. If a quotation is accepted, the successful bidder shall be the Licensee and he shall be notified of the acceptance of his quotation by a letter posted to him at or delivered to the address stated in his Form of Quotation. The successful bidder shall within 7 days of being called upon by the Government Property Agency so to do sign or in the case of a corporate body duly execute under its common seal and in accordance with the laws of its place of incorporation or otherwise in accordance with the applicable law to the satisfaction of the Government Property Agency a Licence Agreement, and shall pay to the FSI the balance of security deposit and first month’s licence fee due under the said Licence Agreement. Where the successful quotation has been made on behalf of a principal, the principal shall himself sign or execute the said Licence Agreement. If the successful bidder shall fail to sign or execute the said Licence Agreement or pay the balance of security deposit and first month’s licence fee to the FSI within the time limit as aforesaid, the FSI may either enforce or cancel the quotation. On cancellation, the sum forwarded with the successful quotation as part payment of security deposit shall, without prejudice to the FSI’s right of action for damages for breach of contract, be wholly and absolutely forfeited to the FSI as liquidated damages and not as a penalty and the FSI shall be at liberty to grant the above licence to other parties or invite quotations or otherwise deal with the Car Park at such time and in such manner as the FSI shall deem fit. All payments shall be made payable to “The Government of the Hong Kong Special Administrative Region”. 14. Subject to the due signing or execution of the said Licence Agreement, and to the payment of the balance of security deposit and first month’s licence fee as hereinbefore provided and, subject further to paragraph 7 of the Schedule hereto, possession of the Car Park will be given to the successful bidder within one calendar month of the date on which the said Licence Agreement is signed or executed. The successful bidder will be notified by a letter from the Government Property Agency of the date on which possession will be so given and the date from which the term of the licence shall commence. 15. The successful bidder shall accept the Car Park in such state and condition as existing on the date on which the possession of the Car Park is given. All bidders are advised to inspect the Car Park and conduct a survey of the Car Park at their own costs to ascertain the physical condition or state or safety of the Car Park prior to submitting their quotations. 16. Bidders shall note the additional terms and conditions, if any, as specified in the Schedule hereto.

17. (a) Bidders and their directors, employees and agents should not communicate to any person other than the Government Property Agency the amount of licence fee offered, adjust the amount of licence fee offered by arrangement with any other person, make any arrangement with any other person about whether or not he or that other person should or should not bid or otherwise collude with any other person in any manner whatsoever in the quotation process until the quotation is awarded. If a bidder is in breach of or fails to comply with this Paragraph or is in breach of his warranty given in Paragraph 7 of the Form of Quotation, without affecting his liability for such breach or non-compliance, the Government Property Agency may invalidate his quotation without payment of any compensation. The bidder will also be liable for all expenses including but not limited to the Government Property Agency’s costs and expenses in the present quotation and any subsequent quotation(s) arising from or incidental to the invalidation.

(b) Paragraph 17(a) hereof shall have no application to the bidder’s communications in strict confidence with his own insurers or brokers to obtain an insurance quotation for computation of the licence fee offered and communications in strict confidence with his consultants or contractors to solicit their assistance in preparation of quotation submission.

18. The result of the quotation will be known on or before the 19th day of November 2019. Bidders who do not receive any notification from the FSI of the acceptance of their offers by the said date may consider their offers not being accepted. 19. (a) In addition to name and address, the bidder should provide his telephone

number, facsimile number, and identity document number in case of an individual, or Business Registration Certificate Number and Company Registration Number in case of a corporate body. If he fails to provide the above data, it may not be possible for the FSI to consider his quotation;

(b) The above data collected by the Government Property Agency are to be used for the consideration of this quotation by the FSI and may be used by the FSI and the Government Property Agency for such purpose and may be transferred to other Government departments to be used for such purpose. The above data may also be used for the consideration of other quotations by the FSI at any time and the above data may be used by the Government Property Agency for such purpose and may be transferred to other Government departments to be used for such purpose; and

(c) Individuals have a right to request access to and correction of his personal data in the Form of Quotation pursuant to the Personal Data (Privacy) Ordinance (Cap. 486). Any such request shall be made to the Personal Data (Privacy) Officer of the Government Property Agency at the address stated in Paragraph 20 of this Quotation Notice.

21. It is hereby specifically declared by the FSI that any statement, whether oral or written, made and any action taken by any Government officer in response to any enquiry made by a prospective bidder shall be for guidance and reference purposes only. Any statement shall not be deemed to form part of this Quotation Notice and any such statement or action shall not and shall not be deemed to amplify, alter, negate, waive or otherwise vary any of the terms or conditions as are set out in this Quotation Notice or the Form of Licence Agreement. 22. A Chinese translation of this Quotation Notice and Form of Quotation is attached. In the event of any doubt or dispute in the interpretation of this Quotation Notice and the Form of Quotation, the FSI’s intention as expressed in the English version shall prevail.

The Schedule 1. Bidders are advised to note that: (a) The Licence Agreement may be terminated in the events as stipulated in Clause 3 of

the Form of Licence Agreement.

(b) (c)

The FSI shall have the full right to terminate the Licence Agreement under Clause 5(n) of the Form of Licence Agreement in the event of the Licensee, his employees or agents being found to have been convicted of an offence under the Prevention of Bribery Ordinance (Cap. 201) or any subsidiary legislation made thereunder or under any law of similar nature in connection with the procurement of the licence. The term of the licence is on monthly basis subject to a maximum term of two years commencing on such date to be specified by the Government Property Agency and until such time as the licence is determined in accordance with the terms and conditions of the Form of Licence Agreement. At the expiration or sooner determination of the licence, the Licensee shall vacate and deliver vacant possession of the Car Park to the FSI in accordance with the terms and conditions contained in the Form of Licence Agreement and in all respects to the satisfaction of the FSI under Clause 4(n) of the Form of Licence Agreement. Upon the termination of the licence in whatsoever manner, the Licensee shall have no right whatsoever to claim compensation in any form or reprovisioning of car parking space from the FSI.

2. Bidders MUST be a resident of the Buildings. The Car Park is restricted for use by residents of the Buildings. If the Licensee shall cease to be the resident of the Buildings at any time after the grant of the licence for the use of the Car Park, he shall give not less than seven working days’ (excluding Saturdays, Sundays and public holidays) prior notice in writing to the FSI and irrespective of whether such notice shall have been given to the FSI, it shall be lawful for the FSI to terminate the licence forthwith and the licence shall automatically and forthwith determine notwithstanding that the licence fee for a period thereafter shall have been paid in advance by the Licensee to the FSI and without prejudice to the remedies of the FSI in respect of any outstanding breach of the terms and conditions of the licence. 3. Bidders MUST state in Paragraph 1 of the Form of Quotation annexed hereto the Car Park Number they intend to bid for. 4. Each Form of Quotation MUST only be used for the licence for the use of one Car Park only. 5. Any quotation submitted which offers a monthly licence fee below the disclosed reserve monthly licence fee (inclusive of management fee but exclusive of rates, charges and any other outgoings whatsoever) of the Car Park as described in the Particulars of the Car Parks hereinbefore will not be considered by the FSI. 6. Bidders MUST be the registered owner of the private car to be parked on the Car Park and should submit their Form of Quotation together with the following documents to the Government Property Agency:

(a) A copy of documentary proof of residency of the bidder at the Buildings; and

(b) A copy of the Vehicle Registration Document of the private car showing the full

name of the registered owner and the registered vehicle number of the private car which will be parked on the Car Park and to which the manager of the Buildings will issue a parking permit (if applicable).

7. Notwithstanding anything provided to the contrary in this Quotation Notice, the FSI hereby advises and all bidders for the Car Parks hereby acknowledge and unconditionally agree that: (a) the Car Parks are each subject to a subsisting licence and notices to quit in writing

will be served by the FSI on the existing licensees (each existing licensee is hereinafter referred to as the “Outgoing Licensee");

(b) notwithstanding the due execution of the said Licence Agreement, in the event that the relevant Outgoing Licensee fails to deliver vacant possession of the relevant Car Park to the FSI upon the termination date as specified in the notice to quit served by the FSI on the relevant Outgoing Licensee for whatever reason, the commencement date of the licence of that relevant Car Park shall be the day after the FSI has regained legal and physical vacant possession of that relevant Car Park from the relevant Outgoing Licensee. The date of commencement of the licence set out in the said Licence Agreement shall be adjusted accordingly but all other terms and conditions stated in this Quotation Notice and the said Licence Agreement shall remain unchanged Provided that where possession of that relevant Car Park cannot be given to the Licensee within two calendar months from the date on which the said Licence Agreement is signed by both parties, either party may give the other notice in writing to terminate the licence forthwith, whereupon the deposit and any licence fee paid to the FSI shall be refunded to the Licensee in accordance with Clause 5(c)(ii) of the said Licence Agreement but without any interest or compensation whatsoever, nor shall either party have any further claims against the other in relation to or in any way arising from that relevant Car Park or the said Licence Agreement; and

(c) the FSI has the right (but is not obliged to) not to demand the Licensee to make payment of the licence fee as hereinbefore provided until the FSI shall have given a notice for such payment. The Licensee shall make payment of the licence fee as hereinbefore provided on or before the time limit as specified in the notice.

8. The successful bidders for the Car Parks hereby further accept and agree that paragraph 7 of this Schedule shall remain in full force and effect notwithstanding the due execution of the Licence Agreement.

3 . 競投人必須在夾附的報價表格內,填寫為承投上述牌照而提議向財

政司司長法團繳付的固定牌照月費 (包括管理費,但不包括差餉、收費及

任何其他支出 )。競投人只可就每個停車位遞交一份報價書。任何競投人如就任何停車位遞交多於一份報價書,其遞交的所有有關該車位報價書將不 獲 接 納。不 符 合 本 段 所 載規 定的 報 價 書 ,財 政司 司 長 法 團一 概不 予 考慮。

4 . 競投人、其董事、僱員及代理人不得向政府產業署任何僱員提供任何利益 (如《防止賄賂條例》 (第 20 1 章 )所界定 ),作為該僱員在報價事宜上給予協助或運用影響力,或曾經給予協助或運用影響力的誘因或報酬,或由於該僱員在報價事宜上給予協助或運用影響力,或曾經給予協助或運用影響力而向他提供任何利益 (如《防止賄賂條例》所界定 )。倘競投人在與報價有關的事宜上觸犯該條例下所訂的任何罪行,政府產業署可把其報價書作廢而不作出任何補償。競投人亦須承擔因報價書作廢所引致或附帶引起的一切費用 (包括但不限於政府產業署是次報價工作或日後進行任何報價工作的費用 )。

5 . 報價書應:

( a ) 採用夾附的報價表格填寫;以及

6 . ( a ) 報價書必須在二零一九年九月十九日正午十二時前,放入香港

灣仔告士打道 5 號稅務大樓 31 樓政府產業署接待處的政府產業署 報價書 收集箱內 。若二 零一九年 九月十 九日上午 九時至 正午

十 二時期 間正發出 黑色暴 雨警告或 懸掛八 號或以上 熱帶氣 旋警告 信號, 遞交報價 書的截 止時間將 延至下 一個工作 天正午 十二時 。倘延 遲後的遞 交報價 書截止日 期為星 期六,遞 交報價 書的截止時間將再延至下一個工作天正午十二時。不符合本 6(a )段所載規定的報價書,財政司司長法團一概不予考慮。

( b ) 逾期遞交的報價書概不受理。

7 . 所有競投人應在遞交報價書截止日期前遞交全部所需資料及文件 (包括但不限於本報價公告第 1 2 段及附表第 6 段所指的文件 )。未符合本報價公 告 所 載 全部 條款 及 規 定 的報 價書 , 可 能 不獲 財政 司 司 長 法團 考慮 或 評審。政府有權在遞交報價書截止日期後,要求競投人就所需的資料及文件作補充說明,並要求競投人在指定期間內向政府遞交該等資料及文件。如報價書未有提供所需的資料及文件,財政司司長法團會按所收到的資料及文件評審報價書。

8 . 所 有 報 價 書 由 遞 交 報 價 書 截 止 日 期 起 至 二 零 一 九 年 十 一 月 十 九 日 有效。在上述期限屆滿前,報價書對競投人具有約束力,並可能隨時獲財政司司長法團接納。財政司司長法團會考慮並評審所有符合本報價公告所載全部條款及規定的報價書。

9 . 競投人必須把停車位自用,財政司司長法團才會考慮接納其報價書。財政司司長法團亦不會准許成功競投人把停車位或其中任何部分或任何權益轉讓、轉授、與人分攤或放棄其管有權。

1 0 . 競投人遞交報價書時,必須附上面額等於一 個月牌照費 (按 報價

書所提議牌照費計算 )的港幣支票或銀行本票,支付予「香港特別行政

區政府」,而該支票或銀行本票須由根據《銀行業條例》 (第 15 5 章 )第 16

條的規定獲妥為發牌的銀行發出。如遞交支票,須保證直到二零一九年十一月十九日可獲兌現。財政司司長法團對報價書作出決定前,所有支票及銀行本票均不會兌現。成功競投人必須按發牌協議大綱第 5 (c )條規定,繳交 以 港 幣 計 算 相 當 於 一 個 月 牌 照 費 (按 報 價 書 所 提 議 牌 照 費 計 算 )的 保 證金。如報價書獲接納,隨報價書附上的支票或銀行本票將視作所規定的部分保證金。所有其他支票及銀行本票將按報價書所載地址退回落選的競投人。

( b ) 以 競 投 人身 分 簽署 報 價 書的 人 ,將 被 視 作以 主 事人 身 分 行事 ,除 非 他 在報 價 表格 內 聲 明僅 為 代理 人 。 代理 人 須同 時 在 報價 表格 C 部,說明主事人的姓名/名稱、地址及聯絡人的姓名。

( c ) ( i ) 如競投人為個人,報價表格必須由該人妥為簽署。

( i i ) 如競投人為法團,報價表格必須由該法團妥為簽立。

( i i i ) 報 價 表 格必 須 由競 投 人 簽署 / 簽立 , 並 須令 政 府產 業 署 滿意。不符合本 1 1 (c )段所載規定的報價書,財政司司長法團一概不予考慮。

( d ) 報 價 書 批出 後 ,財 政 司 司長 法 團可 應 公 眾/ 傳 媒的 查 詢 ,披 露成功競投人及其控權公司 (如有 )的身分,以及其出價。財政司司長 法 團 保留 公 布報 價 結 果的 權 利, 而 無 須事 先 獲得 成 功 競投 人或其控權公司 (如有 )的同意。

1 2 . 競投人如以法團身分提交報價書,須附上以下文件副本各一份:有效商業登記證、公司註冊證明書、組織章程細則、法團成立表格 (如在提交報價書當日仍未把法團的首份周年申報表送交公司註冊處存檔 ),以及送交公司註冊處存檔載有公司全部現任股東及董事詳情的最近期周年申報表(如有 )、更改公司秘書及董事通知書 (如有 ),以及更改公司秘書及董事詳情通知書 (如有 )。

人。成功競投人須於政府產業署發出通知後七日內,簽署或 (成功競投人如屬法團 )以法團印章並根據成功競投人成立為法團所在地方的法律或另按適用的法律 (須令政府產業署滿意 )妥為簽立發牌協議,並向財政司司長法團繳付根據上述發牌協議應付的保證金餘數及首月牌照費。如報價書由代理人代主事人提交,主事人須親身簽署或簽立上述發牌協議。如成功競投人未有在上述限期內簽署或簽立上述發牌協議,或未有在上述限期內向財政司司長法團繳付保證金餘數及首月牌照費,則財政司司長法團可依照是次報價的規則辦理或取消報價書。若取消報價書,成功競投人隨報價書附上作為部分保證金的款項,將全數充公,作為協定賠償金而不是作為罰款,但此舉不影響財政司司長法團因成功競投人違約而向其提起損害賠償訴訟的權利。同時,財政司司長法團有權把上述牌照批予他人,或邀請報價,或在其認為適當的時候,以其認為適當的方式處置停車位。所有付款須註明付予「香港特別行政區政府」。

1 4 . 成功競投人妥為簽署或簽立上述發牌協議,並繳付前述規定的保證金餘數及首月牌照費,以及遵照本公告附表第 7 段所述後,停車位的管有權將於上述發牌協議簽署或簽立當日起計一個曆月內移交成功競投人。政府產業署會發信通知成功競投人移交管有權及牌照生效的日期。

1 5 . 成功競投人須按移交停車位管有權當日,停車位的情況及狀況接收停車位。所有競投人請於遞交報價書之前,自費到停車位視察,並對停車位進行勘測,以確定停車位的實際情況、狀況或穩固安全程度。

1 6 . 競投人須察悉本公告附表所述的額外條款及條件 (如有 )。

1 7 . ( a ) 報 價書 批出 前,競 投人 、其 董事、 僱員 及代 理人不 得向 政府產業 署以 外的 任何人 傳達 報價 書所提 議牌 照費 的款額 、與 任何其他 人安 排調 整報價 書所 提議 牌照費 的款 額、 與任何 其他 人就本人 或該 其他 人應否 競投 訂立 任何安 排, 或在 報價過 程中 以任何方 式與 任何 其他人 串通 。倘 競投人 違反 或未 有遵守 本段 規定,或違反在報價表格第 7 段所作的保證,在不影響競投人因該項違 反或 未有 遵守規 定而 負上 法律責 任的 原則 下,政 府產 業署可把 其報 價書 作廢而 不作 出任 何補償 。此 外, 競投人 亦須 承擔因報價書作廢所引致或附帶引起的一切費用 (包括但不限於政府產業署是次報價工作或日後進行任何報價工作的費用 )。

( b ) 第 1 7 ( a )分段不適用於競投人為索取保險報價以計算報價書所提議 牌照 費而 向其承 保人 或保 險經紀 發出 受嚴 格保密 的通 訊,以及 為獲 得顧 問或承 辦商 協助 編製報 價書 而向 他們發 出受 嚴格保密的通訊。

1 8 . 報價結果將於二零一九年十一月十九日或之前公布。競投人如在該日仍未收到財政司司長法團通知說明其報價書已獲接納,則是次報價可視作落選論。

附表

1 . 競投人請注意:

( a ) 一旦發生發牌協議大綱第 3 條所訂明的情況,發牌協議可予終止。

( b ) 倘持 牌人、其 僱員或 代理人在 與取得 本牌照有 關的事 宜上,被裁定觸犯《防止賄賂條例》 (第 20 1 章 )或其下任何附屬法例或任何性 質相近的 法例所 訂的罪行 ,財政 司司長法 團有全 面的權利根據發牌協議大綱第 5 (n )條終止發牌協議。

( c ) 牌 照 期 按 月 計 算 , 最 長 兩 年 , 由 政 府 產 業 署 指 定 的 日 期 起 生效, 直至按照 發牌協 議大綱所 載的條 款及條件 終止牌 照為止。根據發牌協議大綱第 4 (n ) 條,在牌照期滿或提早終止時,持牌人須 按照發牌 協議大 綱所臚列 的條款 及條件, 清空和 向財政司司長 法團交出 該等停 車位在空 置情況 下的管有 權,並 在各方面令財 政司司長 法團滿 意。不論 牌照以 何種形式 終止, 持牌人均無權 向財政司 司長法 團申索任 何形式 的補償或 要求財 政司司長法團重配停車位。

2 . 競 投 人 必須 是 該 等 樓 宇 的 住 客 。 該 停 車 位 只 限 該 等 樓 宇 的 住 客 使

用。如持牌人在批出使用該停車位的牌照後的任何時間不再是該等樓宇的住客,必須事先給予財政司司長法團不少於七個工作天 (不包括星期六、星期日及公眾假期 )的書面通知;不論競投人是否已向財政司司長法團給予該通知,財政司司長法團可藉給予持牌人書面通知,即時終止牌照,而該牌照將自動即時終止,儘管持牌人已向財政司司長法團預繳其後一段期間的牌照費,終止牌照並不影響財政司司長法團就任何違反牌照條款及條件但尚待解決的事宜申索補償。

3 . 競投人必須在夾附的報價表格第 1 段註明擬競投的停車位編號。

4 . 每份報價表格只可用於競投使用一個停車位的牌照。

5 . 倘報價書所建議的牌照月費低於上文停車位詳情所述有關停車位已公開的最低牌照月費 (包括管理費,但不包括差餉、收費及任何其他支出 ),該等報價書將不獲財政司司長法團考慮。

6 . 競 投人必須為擬停 泊於該 等停車位 的私家 車登記車 主。競 投人應把

報價表格連同下列文件一併遞交政府產業署:

( a ) 競投人居於該等樓宇的證明文件副本;以及

( b ) 將會停泊於該停車位及將會獲管理公司向該私家車簽發泊車許可證 (如適用 )的私家車的車輛登記文件副本,文件須展示私家車的登記車主姓名和車輛登記號碼。

7. 即使本報價通告有任何相反規定,財政司司長法團謹此告知下述事項,而該等停車位的所有競投人須確認知悉及無條件同意:

( a ) 該 等 停 車 位現 時均 受 存 續 牌照 規管 , 財 政 司司 長法 團 將 會 向 現有持牌人 (以下簡稱「退出的持牌人」 )發出離開通知書;

( b ) 即 使 上 述 發牌 協議 已 妥 為 簽立 ,如 在 財 政 司司 長法 團 向 退 出 的持 牌 人 發 出的 離開 通 知 書 上所 定終 止 日 期 ,退 出的 持 牌 人 因 任何原因而未能向財政司司長法團交出該等停車位在空置情況下的管 有 權 , 相關 停車 位 牌 照 的開 始生 效 日 期 ,即 為財 政 司 司 長 法團 從 有 關 退出 的持 牌 人 重 新取 得有 關 停 車 位的 法律 及 在 空 置 情況 下 的 管 有權 當日 的 後 一 日。 上述 發 牌 協 議所 述的 牌 照 開 始 生效 日 期 將 相應 調整 , 但 本 報價 公告 及 上 述 發牌 協議 所 有 其 他 條款 及 條 件 維持 不變 , 唯 如 在雙 方簽 署 上 述 發牌 協議 日 期 起 計 的兩 個 曆 月 內, 相關 停 車 位 的管 有權 仍 未 交 予持 牌人 , 任 何 一 方可 向 另 一 方給 予書 面 通 知 終止 牌照 , 屆 時 已向 財政 司 司 長 法 團繳付的保證金及任何牌照費,須按上述發牌協議第 5 ( c ) ( i i )條退回 持 牌 人 ,並 不包 括 任 何 利息 或補 償 , 而 任何 一方 不 得 向 另 一方 就 該 相 關停 車位 或 上 述 發牌 協議 或 任 何 因而 引起 的 情 況 提 出進一步申索;以及

(b) I/We consent that the FSI and its officers may use the data collected pursuant to

Paragraph 19(a) of the said Quotation Notice together with any information of my/our performance or breach of any terms and conditions of the licence of any Government sites or premises, whether past, current or future, for consideration of this quotation by the FSI, and the Government Property Agency may use the data and information for such purpose and may transfer the data and information to other Government departments to be used for such purpose; and that the data and information may also be used for consideration of other quotations by the FSI at any time, and that the data and information may be used by the Government Property Agency for such purpose and may be transferred to other Government departments to be used for such purpose.

(c) I/We also confirm that for the avoidance of doubt and for the purposes of the Personal

Data (Privacy) Ordinance (Cap. 486) or otherwise, the provisions in Paragraph 19 of the said Quotation Notice and the provisions in Paragraph 5 of this Form of Quotation including the consent stated therein shall remain in full force and effect notwithstanding that this quotation is not accepted by the FSI. Where the quotation is accepted by the FSI, the said provisions and consent shall survive the execution of the Licence Agreement and the licence, and shall remain in full force and effect notwithstanding the expiry or termination of the licence.

(d) I/We also understand that if I/we cease to be the resident(s) of the Buildings at any time

after the grant of the licence, I/we shall give not less than seven working days’ (excluding Saturdays, Sundays and public holidays) prior notice in writing to the FSI and irrespective of whether such notice shall have been given to the FSI, it shall be lawful for the FSI to terminate the licence forthwith and the licence shall automatically and forthwith determine notwithstanding that the licence fee for a period thereafter shall have been paid in advance by me/us to the FSI and without prejudice to the remedies of the FSI in respect of any outstanding breach of the terms and conditions of the licence.

(e) I/We also understand that the licence is subject to termination by either party of the

Licence Agreement by one month’s prior written notice.

6. I/We agree to keep my/our offer open for acceptance by the FSI until the 19th day of November 2019 and to be bound by the terms and conditions of the said Quotation Notice. 7. (a) I/We warrant that up to the date hereof, other than the Excepted Communications

(i) communicate to any person other than the Government Property Agency the amount of licence fee offered;

(ii) adjust the amount of licence fee offered by arrangement with any person; (iii) make any arrangement with any person about whether or not I/we or that other

person should or should not bid; or (iv) otherwise collude with any person in any manner whatsoever.

(c) The expression “Excepted Communications” means my/our directors’, employees’ and

agents’ communications in strict confidence with:

(i) my/our own insurers or brokers to obtain an insurance quotation for computation of the licence fee offered; and

(ii) my/our consultants or contractors to solicit their assistance in preparation of quotation submission.

THIS LICENCE AGREEMENT made this day of Two Thousand and BETWEEN THE FINANCIAL SECRETARY INCORPORATED a corporation sole incorporated under and by virtue of the Financial Secretary Incorporation Ordinance (Cap. 1015) of the laws of the Hong Kong Special Administrative Region, care of the Government Property Agency, 9/F, South Tower, West Kowloon Government Offices, 11 Hoi Ting Road, Yau Ma Tei, Kowloon (hereinafter referred to as “the Licensor”) of the one part; and (hereinafter referred to as “the Licensee”) of the other part WHEREBY IT IS AGREED AS FOLLOWS : 1. The Licensor hereby grants to the Licensee a non-exclusive licence for

the use of Car Parking Space No. (hereinafter referred to as “the Car Park”) situated on the Upper Ground Floor of Blocks 41, 42, 43 and 44, Baguio Villa, No. 550 Victoria Road, Hong Kong (which Blocks are hereinafter collectively referred to as “the Buildings”) shown for identification purpose only coloured pink and marked with number “[ ]” on the plan (Drawing No. GPA ADD 5/CP/19) annexed hereto for the purpose as specified in Clause 4(h) hereof TOGETHER WITH such rights of ingress and egress thereto and therefrom within the Buildings for the term on a monthly basis commencing on the day of (hereinafter referred to as “the Commencement Date”) and thereafter from month to month determinable as hereinafter provided subject to a maximum term of two years at the monthly licence fee as specified in Clause 2 hereof and subject to the Government Grant as described in the First Schedule hereto (hereinafter referred to as “the Government Grant”) and the Deed of Mutual Covenant as described in the First Schedule hereto (hereinafter referred to as “the DMC”) and on such terms and conditions as are hereinafter contained.

3. This Agreement shall remain in force until:-

(a) terminated by either party on giving not less than one calendar month’s notice in writing to the other party to that effect to expire at any time;

(b) terminated by the Licensor in accordance with the provisions herein contained;

(c) terminated automatically in accordance with Clause 5(j) hereof; or

(d) terminated automatically on the day before the second anniversary of the Commencement Date.

4. The Licensee hereby agrees with the Licensor as follows:-

(a) To pay the Licence Fee on the days and in the manner as specified in Clause 2 hereof.

(b) To pay and discharge all existing and future rates, taxes, assessments, charges, duties and any other outgoings whatsoever (Government Rent excepted) which are now or during the term of this licence hereby granted shall be imposed, assessed or charged upon the Car Park or any part thereof or upon the Licensee in respect thereof.

(c) Not to do, cause, permit or suffer anything to be done at any time in or upon the Car Park or any part thereof which in the opinion of the Licensor may be or become a nuisance or annoyance or which may cause damage, danger or inconvenience to the Licensor or to the other lessees, licensees or occupiers of the Buildings or any adjoining or neighbouring

premises.

(d) Not to use or cause, permit or suffer the use of the Car Park or any part thereof for gambling or for any illegal, immoral or improper purposes or for any activity or purpose of whatsoever kind connected or associated in any way which affects the images of the Government of the Hong Kong Special Administrative Region (hereinafter referred to as “the Government”) and the determination of the Licensor as to what constitutes gambling, illegal, immoral or improper purposes and what affects the images of the Government shall be final, conclusive and binding on the Licensee.

(e) To notify the Licensor of the registration number of the private car which will be parked at the Car Park at least five working days (excluding Saturdays, Sundays and public holidays) before the Commencement Date and of any subsequent changes in the registration number of the private car to be parked at the Car Park. Only one private car which registration number has been notified to the Licensor under this Clause 4(e) is permitted to park at the Car Park at any one time (hereinafter referred to as “the Licensee’s private car”). The Licensee acknowledges that the parking of the Licensee’s private car at the Car Park is subject to the issue of a parking permit by the manager of the Buildings (hereinafter referred to as “the Manager”), if any. The Licensee is not entitled to claim any compensation in whatever nature from the Licensor or apportionment or abatement of the Licence Fee, due to the delay caused by or refusal of the Manager to issue a parking permit (if any) to the Licensee.

(f) Not to assign, sub-license, share or part with possession of the

Car Park or any part thereof or otherwise dispose of any of the benefits, rights or interests hereby granted or enter into any agreement so to do.

(g) To maintain and keep at the Licensee’s own expense and in all respects to the satisfaction of the Licensor the Car Park in good clean and substantial repair and condition and to hand

over the same to the Licensor on the expiration or sooner determination of this Agreement.

(h) Not to use or permit or suffer the use of the Car Park or any part thereof for any purpose other than for parking of one private car (which is currently licensed by the Commissioner for Transport for use on public streets and roads under the provisions of the Road Traffic Ordinance (Cap. 374), any regulations made thereunder and any amending legislation).

(i) Not to store or permit or suffer to be stored any articles, goods or chattels in, on or over the Car Park.

(j) To comply with and observe all Ordinances, regulations, bye-laws, rules and requirements of any Government department or other competent authority relating to the use and occupation of the Car Park and the exercise of the rights herein granted or any rules and regulations as may be made by the Manager insofar as they affect the Car Park and to indemnify and keep indemnified the Licensor against all actions, costs, claims, demands, losses, damages whatsoever arising out of or in connection with the non-observance of and non-compliance with this provision.

(k) To indemnify and keep indemnified the Licensor, its officers, contractors and workmen from and against all actions, suits, liabilities, losses, costs, expenses, claims, and demands (whether financial or otherwise) whatsoever and howsoever brought, incurred or taken in respect of any damage, injury, loss or costs (including but not limited to any legal expenses that may be incurred by the Licensor or that may be awarded against the Licensor or the Licensor agrees to pay) or anything that the Licensor may be obliged to do arising directly or indirectly out of any breach of the terms and conditions of this Agreement or out of or in connection with the use or occupation of the Car Park or the exercise of any of the rights herein granted by the Licensee including but not limited to:

(i) all liabilities arising out of the negligence of any person not a party to this Agreement; and

(ii) all liabilities on the part of the Licensor under the

Occupiers Liability Ordinance (Cap. 314).

(l) Not to erect, install or build in on or over the Car Park any structure, fixture, canopy or addition whatsoever and not to fence off or enclose the Car Park.

(m) Not to sub-divide or partition the Car Park or permit or suffer any obstruction to be placed in, on or over the Car Park.

(n) To vacate and deliver vacant possession of the Car Park to the Licensor in accordance with the terms and conditions herein contained and in all respects to the satisfaction of the Licensor at the expiration or sooner determination of this Agreement.

(o) To forthwith surrender the parking permit (if any) issued by the Manager to the Licensor upon determination of this Agreement.

(p) Not to store allow or suffer to be stored at, in or upon the Car Park any dangerous goods as defined in Section 2 of the Dangerous Goods Ordinance (Cap. 295), any regulations made thereunder and any amending legislation or permit any vehicle carrying dangerous goods parked at the Car Park.

(q) To bring to the attention of all persons authorised and

permitted by the Licensee to park the Licensee’s private car at the Car Park of all terms and conditions under which this Agreement is held and for which the Licensee is personally responsible and of all the rules and regulations which may apply (inter alia) to the use of the Car Park by virtue of this Agreement.

(r) Without limiting the generality of this Clause to observe and comply or to ensure that such persons authorised by the Licensee to park the Licensee’s private car at the Car Park to

observe and comply with any speed limit imposed for circulating traffic within the car parking areas or common areas of the Buildings and to obey instructions given by the Licensor’s officers, agents or servants or by the Manager. The failure to observe or comply with such speed limit or instructions by the Licensee or its authorised persons shall be construed as a breach of the terms and conditions of this Agreement by the Licensee. In the event that the person authorised by the Licensee to park the Licensee’s private car at the Car Park fails to observe or comply with the terms and conditions hereunder, the Licensor may in its discretion require the Licensee to revoke the authority for such person to park the Licensee’s private car at the Car Park and if the Licensee shall fail to observe or comply with the Licensor’s request, it shall be lawful for the Licensor at any time thereafter to revoke and determine the licence hereby granted by written notice to the Licensee but without prejudice to the Licensor’s right of action in respect of any antecedent breach by the Licensee of the terms and conditions herein contained.

(s) To ensure that the Licensee’s private car or any vehicle parked at the Car Park shall not have oil, water or hydraulic fluid leaks whereby the access, circulating routes, the Car Park or the Buildings or any part thereof shall or may be stained, damaged or become dangerous.

(t) Not to do or permit or suffer to be done any repair or

maintenance work on the Licensee’s private car or any vehicle parked at the Car Park or to fill or permit or suffer to be filled any tanks of the Licensee’s private car or any vehicle parked at the Car Park.

(u) To observe and perform all the terms and conditions of this

Agreement.

(v) To be liable for any act, default, negligence or omission of the Licensee’s contractors, employees, agents, occupiers, invitees or licensees as if it were the act, default, negligence or omission of the Licensee and to indemnify and keep

indemnified the Licensor, its officers, contractors and workmen from and against all costs, claims, demands, expenses and liabilities to any third party in connection therewith.

(w) To accept the Car Park in such state, condition and

measurement as existing on the date on which possession of the Car Park is given.

(x) The security of the Car Park and the Licensee’s private car

and any vehicle parked thereon, including any property therein, shall be the sole responsibility of the Licensee.

5. IT IS HEREBY AGREED BY AND BETWEEN THE LICENSOR

AND THE LICENSEE AS FOLLOWS:-

(a) That in case the Licence Fee or other charges hereby reserved or any part thereof shall be in arrears and unpaid for fifteen days next after the same shall have become due (whether formally demanded or not) or if there shall be any breach, non-performance or non-observance of any of the terms and conditions to be performed or observed by and on the part of the Licensee herein contained or if the Licensee shall become bankrupt, or being a company shall enter into liquidation whether compulsory or voluntary, or shall enter into any composition with his creditors or suffer any distress or execution to be levied upon his goods, then, and in any of such cases, it shall be lawful for the Licensor at any time by notice in writing to the Licensee to determine this Agreement forthwith and thereupon this Agreement shall be absolutely determined, but without prejudice to any right of action of the Licensor in respect of any antecedent breach, non-performance or non-observance of the terms and conditions herein contained and in the event of such termination, any of the Licence Fee and other charges already paid or any part thereof shall not be refunded and no compensation whatsoever shall be payable to the Licensee by the Licensor.

(b) That in the event of the Licence Fee or other charges hereby

reserved or any part thereof not being paid on the due date or dates for payment thereof (whether formally demanded or not), the Licensee shall pay interest to the Licensor on such amount of the Licence Fee or other charges hereby reserved as is unpaid on the due date or dates calculated from the day immediately following the due date or dates until payment of all the Licence Fee or other charges due and interest thereon have been paid by the Licensee to the Licensor, such interest to be at a rate of two per centum (2%) per annum above the prevailing Best Lending Rate of The Hongkong and Shanghai Banking Corporation Limited, but without prejudice to the Licensor’s rights herein contained.

(c) (i) The Licensee shall on or before the signing or execution of this Agreement, deposit with the Licensor the sum of Hong Kong Dollars only (HK$ ) as security for the due payment of the Licence Fee, rates, taxes, assessments, charges, duties and outgoings payable by the Licensee and the due performance and observance by the Licensee of all and singular the several provisions, conditions, terms and stipulations herein reserved and contained. The said deposit shall remain deposited with the Licensor throughout the term of this Agreement free of any interest to the Licensee.

(ii) At the expiration or sooner determination of this

Agreement if the Licensee shall have paid all the Licence Fee, rates, taxes, assessments, charges, duties and outgoings payable herein contained and any interest payable under Clause 5(b) hereof and if there shall be no breach of any of the terms and conditions herein contained on the Licensee’s part to be observed and performed the Licensor shall refund the said deposit to the Licensee without interest thereon after the Licensee shall have duly delivered vacant possession of the Car Park to the Licensor in

accordance with the provisions herein contained but if there shall be any of the Licence Fee, rates, taxes, assessments, charges, duties or outgoings and any interest payable under Clause 5(b) hereof in arrears the Licensor may apply such deposit towards payment of such arrears of the Licence Fee, rates, taxes, assessments, charges, duties or outgoings and any interest payable under Clause 5(b) hereof and the Licensor shall be entitled to deduct the amount(s) from the said deposit for payment of any rates or other charges in arrears to the Government or other corporation (as the case may be) or if there shall be any breach of provisions, conditions, terms or stipulations herein contained on the part of the Licensee the Licensor may apply such deposit towards remedying such breach (in so far as this may be possible) without prejudice to any other claim or remedy that the Licensor may have against the Licensee by reason of the breach and shall only pay the balance (if any) of the said deposit to the Licensee.

(iii) In the case of the Licensor exercising its right to

determine this Agreement under Clause 5(a) hereof by reason of the default on the part of the Licensee in payment of the Licence Fee and the rates, taxes, assessments, charges, duties and outgoings and any interest payable under Clause 5(b) hereof as aforesaid or in performance or observance of any of the provisions, terms, conditions and stipulations on the Licensee’s part herein contained, the Licensor shall without prejudice to its other rights and remedies herein contained be entitled to forfeit the whole of the said deposit as and for liquidated damages and not as penalty.

(iv) Nothing herein contained shall be so construed as

preventing the Licensor from recovering from the Licensee damages in respect of such default over and above the said deposit PROVIDED that the payment of

the said deposit shall not be deemed or considered as a payment of the Licence Fee or any other charges in advance and accordingly in any action for recovery of possession for non-payment of the Licence Fee, rates, taxes, assessments, charges, duties and outgoings and interest thereon payable by the Licensee hereunder, the Licensee shall be deemed to be in default if the same are not paid in accordance with the terms and conditions herein contained.

(d) If the Car Park or any part thereof shall at any time during the

continuance of this Agreement be destroyed or damaged by fire, typhoon, flood, landslide or otherwise so as to be unfit for use as a car parking space, then the Licence Fee hereby reserved or a proportionate part thereof according to the nature and extent of the damage sustained shall abate and cease to be payable until the Car Park shall be rendered fit for such use provided always that the Licensor shall not be required to reinstate the Car Park if by reason of its condition or any other circumstances beyond the control of the Licensor it is not in the Licensor’s opinion practicable or reasonable so to do.

(e) The Licensor shall not be liable to the Licensee for any personal injury, damage, loss or inconvenience howsoever or wheresoever caused to the Licensee, members of his family, invitees, or employees arising out of the use of the Car Park or to the Licensee’s private car or any vehicle parked at the Car Park, or to any goods or chattels placed or stored in on or over the Car Park and the Licensee hereby agrees to indemnify the Licensor, its officers, agents and servants against all actions, claims, demands, expenses whatsoever brought or made against the Licensor, its officers, agents and servants on account thereof.

(f) The Licensor shall not be under any liability (including negligence liability) to the Licensee or to any other person in respect of any loss or damage to person or property sustained by the Licensee or any such other person caused by or through

or in any way owing to the overflow of water or waste or the escape of fumes, smoke, fire or any other substance or thing from the Buildings or any part thereof.

(g) During the continuance of this Agreement, the exclusive possession of the Car Park shall remain with the Licensor.

(h) Acceptance of the Licence Fee by the Licensor shall not be deemed to operate as a waiver by the Licensor of any right to proceed against the Licensee in respect of any breach non-observance or non-performance of any of the terms and conditions herein contained on the Licensee’s part.

(i) The Licensor shall be entitled from time to time and by notice in writing to the Licensee to make, introduce and subsequently amend, adopt or abolish if necessary such regulations as the Licensor may consider necessary for the proper operation, maintenance or management of the Buildings or any part thereof. The Licensee shall observe and comply with the said regulations as may from time to time be made or adopted by the Licensor.

(j) The Car Park is restricted for use by residents of the Buildings. If the Licensee shall cease to be the resident of the Buildings at any time after the grant of this Agreement, he shall give not less than seven working days’ (excluding Saturdays, Sundays and public holidays) prior notice in writing to the Licensor and irrespective of whether such notice shall have been given to the Licensor, it shall be lawful for the Licensor to terminate this Agreement forthwith and this Agreement shall automatically and forthwith determine notwithstanding that the Licence Fee for a period thereafter shall have been paid in advance by the Licensee to the Licensor and without prejudice to the remedies of the Licensor in respect of any outstanding breach of the terms and conditions of this Agreement. The determination of the Licensor as to whether the Licensee is a resident of the Buildings shall be final, conclusive and binding on the Licensee. In the event of such termination, the Licence Fee or other charges already paid or any part thereof

shall not be refunded and no compensation whatsoever shall be payable to the Licensee by the Licensor.

(k) The Licensor may upon reasonable notice allocate on a

temporary basis an alternative car parking space for the Licensee’s use within the car parking areas of the Buildings during any period when possession of the Car Park is required for the repair or maintenance of the Car Park or the car parking areas of the Buildings or any other necessary purpose. The Licensor may also request the Licensee to remove the Licensee’s private car or any vehicle from the Car Park if the presence of the Licensee’s private car or the said vehicle may interfere with repairs or maintenance required to be carried out by the Licensor to the Car Park or the car parking areas of the Buildings. Under any such circumstances, the Licence Fee or other charges already paid or any part thereof shall not be refunded and no compensation whatsoever shall be payable to the Licensee by the Licensor.

(l) The Licensor shall arrange for the stamping of this Agreement and its counterpart, and the Licensee shall pay the adjudication fee and fifty per centum (50%) of the stamp duty (if any) chargeable on this Agreement and its counterpart pursuant to Section 13 and the provision deemed to be contained in this Agreement by virtue of Section 42(2) of the Stamp Duty Ordinance (Cap. 117).

(m) Should the Licensee require that one additional private car (hereinafter referred to as “the additional private car”) be parked at the Car Park, an application in writing shall be made by the Licensee to the Licensor who shall have absolute discretion as to whether or not to grant the application for the parking of the additional private car at the Car Park. In the event of the Licensor agreeing to the parking of the additional private car, the Licensee shall notify the Licensor of the registration number and details of the additional private car which will be parked at the Car Park, and all references in this Agreement to “the Licensee’s private car” shall where the context so admits include the additional private car. However

nothing in this Clause shall be construed as permitting, and the Licensee shall not permit, more than one private car to be parked at any one time at the Car Park.

(n) The Licensor shall have the full right to terminate this Agreement if the Licensee, his employees or agents shall be found to have been convicted of an offence under the Prevention of Bribery Ordinance (Cap. 201) or any subsidiary legislation made thereunder or under any law of similar nature in connection with the procurement of the licence hereby granted.

(o) Upon the termination of this Agreement in whatsoever manner the Licensee shall have no right whatsoever to claim compensation in any form or reprovisioning of car parking space from the Licensor.

(p) The benefit of this Agreement is personal to the Licensee and is not transferrable or assignable and the rights given in and the benefits of this Agreement may only be exercised by the Licensee and, without in any way limiting the generality of the foregoing, any of the following acts and events shall be deemed to be a breach of this sub-clause:- (i) in the case of a Licensee which is a body corporate, any

take-over, reconstruction, amalgamation, merger, voluntary liquidation or change in the person who owns a majority of its voting shares or who otherwise has or have effective control thereof;

(ii) the giving by the Licensee of a power of attorney or similar authority whereby the donee of the power obtains the right to use the Car Park;

(iii) the change of the Licensee’s business name without

the prior written consent of the Licensor; and

(iv) the holding on trust by the Licensee of the rights to use the Car Park.

(q) No storage, display or exhibiting of motor vehicles for sale or

lease or hire or otherwise shall be allowed on the Car Park or any part thereof.

(r) Each party shall bear its own costs in connection with the preparation of this Agreement.

(s) Any notice required to be served by the Licensor or its officers on the Licensee under the terms and conditions of this Agreement shall be deemed to be sufficiently served on the Licensee if left addressed to him at the Car Park or forwarded to him by post or left at his last known address or in the case of a corporation forwarded to it by post or left at its registered office, and such notice, if sent by post, shall be deemed to be delivered in due course of post at the address to which it is sent.

(t) Any notice to be served by the Licensee on the Licensor under this Agreement shall be addressed to the Chief Property Manager, Government Property Agency for and on behalf of the Licensor and served on the Licensor by post or by leaving the same at the address of the Government Property Agency mentioned hereinbefore or any other address as may be notified to the Licensee.

(u) Words importing the masculine gender shall be deemed to include females and corporations and words in the singular shall be deemed to include the plural and vice versa in each case.

(v) Nothing herein contained shall create the relationship of landlord and tenant as between the parties hereto or give the Licensee any estate or interest in the Car Park other than that of a licence.

(w) Notwithstanding any other provisions of this Agreement

including any provision which purports to confer a benefit on a person who is not a party to this Agreement, this Agreement

is not intended to and does not give any person who is not a party to this Agreement any right to enforce any provisions of this Agreement under the Contracts (Rights of Third Parties) Ordinance (Cap. 623), and a person who is not a party to this Agreement shall not have any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any provisions of this Agreement.

(x) (i) The Licensee shall at all times comply with the house

rules or building rules (if any) provided in or made pursuant to the DMC and shall ensure that all such rules are observed by his agents, servants, visitors, guests and licensees. The Licensor shall not be responsible for or under any liability to the Licensee for the non-observance or violation of such house rules or building rules by any other tenants, licensees or occupiers of the Buildings or any other persons.

(ii) The Licensee shall not do or permit or suffer any act to

be done which may amount to a breach of any of the conditions or non-observance of any negative or restrictive covenants contained in the Government Grant or the DMC.

(iii) The Licensee shall observe and comply with all the

terms and conditions contained in the Government Grant and the DMC so far as they relate to the Car Park and shall indemnify and keep indemnified the Licensor against any breach, non-observance or non-compliance thereof.
