OverviewIntroductionSurroundingpicturesqueGlenFalls,GlenPark(“the“park”)isjointlyownedbytheVillageofWilliamsville(VoW)andtheTownofAmherst(ToA).Theparkwasbuiltin1976withfundsobtainedfromafederalgrant.Ledbyacitizensgroupdeterminedtosavethelandfromcommercialdevelopmenttheparkwasenvisionedasaserenenaturalhabitatinthemidstofasuburbancommunity.Theparkincludesmanyscenic,naturalareaswithinterconnectingstreamsandponds,pathways,scenicoverlooksandwoodedareas.Thisdocument,producedbyacollaborativeeffortofthemembersofthe2012/2013GlenParkJointBoard(GPJB)willcontinuethevisionoftheoriginaladvocatesforthepark.ThegoalofthisdocumentistoprovideplanningguidancetotheTownoftheAmherstandtheVillageofWilliamsvilleonthepark’scurrentoperation,futureplanningandtoensuretheparkmaintainsit’streasuredpresenceinthecommunity.PurposeofthisGlenParkJointBoardGlenParkGuidanceDocument(GPGD)ThisGlenParkJointBoardGlenParkGuidanceDocument(GPGD)istheformaldocumenttobeusedbytheGlenParkJoinBoard(GPJB)toguidethestewardshipofGlenPark.ThisGPGDprovidesthecurrentconditionofthepark,maintenancerequirements,responsibilities,currentandfutureprojectsintheparkandthepark’splacewithinthebroaderWilliamsvilleandWesternNewYorkcommunity.TheGPGDincludesdescriptionsanddirectionforparkoperations,maintenance,plannedparkelements,naturalandculturalresourcemanagement,sustainability.TheGPGDdoesnotcontainnorisitintendedtocontaindetailsrelatedtospecificsofengineeringorexecutionsteps.TheGPGDprovidesaframeworkfortheGPJBtoaddressoperationalmattersofconcernwithinparkconsistentwiththehistoryandoverallspiritofthepark’soriginaldesign.TheGlenParkJointBoardshouldusethisplanasatooltoguidetheparks’operation,maintenance,growth,useandplaceinthecommunitytoensureitsfuturevitality.Theplanshouldbereferencedcontinuallytoguidethemaintenance,operationandfutureneedsofthepark.Itshouldundergoconstantreferenceanduse,regularmonthlymaintenanceduringtheGPJBmeetingsorspecialmeetingsandaformalreviewandupdateyearlybytheGPJB.ThespecialreviewshouldensuretheBackgroundandExistingConditionssectionisaccurateanduptodate,theOperationssectionoutlinesproperresponsibilitiesandtheFutureDevelopmentsectioncontainstheupdatedcapitalplans,specificactivitiestoundertakeinthecomingyearandfutureplansforthepark.Itisrecommendedthismeetingtakeplaceinthelastquarterofthecalendaryear.TheGPGDshouldbeupdatedatwillandastheneedarises.GlenParkVisionGlenParkinspiresandsustainsthecommunity’spassionforpassive,scenic,leisure,natural,outdoorexperiencesinthesurroundingvibrantsuburbanareawhileenhancingqualityoflifethroughitsnon-commercialized,undevelopedstateandwillremainassuchforallfuturegenerationstoenjoy.GlenParkMissionProvidepassive,scenicandnaturaloutdoorpublicparkspaceforcitizenstoenhancetheirwell-being,environmentalvaluesandnaturalrecreation.Provideadiversityofnaturalhabitats,anundisturbedwildlifesettingandanesteemedculturalheritageinapassive,nature-basedsetting.Providequalityfacilitiesandactivitiesforeducation,communitybenefitandenhancedqualityoflifeintegratedseamlesslyintothepark’spassive,naturalsetting.EnsureGlenParkremainsthecradleofGlenFallsstewardingthisrare,naturalwonderforallfuturegenerationstoenjoyfreeofdevelopment,encroachmentorcommercialuseandbenefit.Guaranteeallparkresourceswillbeavailabletobothpresentandfuturegenerationsandremainunencumberedbynon-passiveelementsordevelopment.

HistoryofGlenParkBeautifulGlenParkwithitspicturesquewaterwaysandruggedstonewallsisthesettingwhichbestinspiresaremembranceofthepeopleandeventswhicharetheessenceofourlocalvillageheritage:primitivesealifeandprehistorichunters;Indianencampmentsandcanoes,thepowerandallureofEllicottCreekanditsfalls;thenoiseandenergyofbusymillsandquarries;popularswimmingholesandquietfamilypicnics;thecrowdsandgaietyoftheGlenCasinonightclubandtheamusementpark;andthecharredandtwistedruinsleftbyaseriesofdestructivefires.Theunsightlylandscapeleftbythefiressparkedaprolongedcommunitycontroversybetweenthosecommittedtocommercialdevelopmentofthehistoricsiteandthoseinspiredbythevisionofanaturalpark.Ultimately,thedecisionwasmadeinthepoliticalarenaandin1976,theawardofafederalgranthasteneddevelopmentofthepark.AcontractfordesignanddevelopmentwasgrantedtoGreverandWard,landscapearchitectsandalocalnurseryexecutedtheplan.Theconceptforthe9.7acreparkincorporatedpathways,asleddinghill,anice-skatingrink,afishingbridge,pools,pondsandcascadesandanaturecenter.ThesignificanceoftherestorationiscapturedbythededicationstoneattheMainStreetentrancetotheparkwhichreads“GlenPark,siteofWilliamsville’sbirth,preservedinnaturalbeautifyinhonorofAmerica’sbicentennial.”TheVillageofWilliamsvilleandtheTownofAmherstjointlyownGlenPark.ThebeautyandpopularityoftheparkhasgrownascommunitygroupsandtheGlenParkJointBoardhaveworkedtodevelopandmaintainthepark.ThethoughtfuladministrationbytheGlenparkJointBoardandownersandtheprideandrespectshownbythosewhousetheparkhashelpedtomakethislivingtributetothepastalastinggifttothefuture.

o Trimmingaroundallobstaclesmustbecompletedonthesamedayasmowing.Obstaclesincluderocks/boulders,trees,benches,wastereceptacles,non-mowableareas,edges,walls,railings,paths,landscaping,landscapingbeds,buildingsandanyotherobstaclewheregrass,weedsorunintendedplantsmaygrow.Thegeneralruleisnoareaofunintendedgrowthshouldbehigherthanthelawnareasatanytime.
o Trimmingofareasincludesremovingofallunintendedfoliagesuchasvines,weeds,shrubs,scrubbyundergrowth,groundcover,weedsandotherplantgrowth.“Unintendedareas”includethosewithin,adjacenttoorremovedfrommowedlawnareas.
o Thesegeneralguidelinesaremeanttoprovideminimumstandardsforlawnandareamaintenance.Shouldadditionalmaintenanceberequiredbeyondthisminimum,itshouldbetakenatthediscretionoftheVoWDPWCrewChiefandtheGPJBandreportedtotheGPJB

Theextensivetreeplantingsintheparkrequireregularmaintenanceincluding“trimmingandpruning”toensuretheirutilityandbeautyaswellasmaintainasafeandsceniclandscape.“Trimmingandpruning”includesshapingandremovingofovergrownordeadbranchesandtrunks.Anyconsiderationofnew,changedorreplacementtreesmustconsultGlenPark’soriginallandscapingdesigntoensurethelocation,size,scaleandspeciesofanyplannedchangesremainconsistentwiththespiritoftheoriginaldesign.o TrimmingandpruningarerequiredquarterlyfromApril1throughOctober31o Treesshouldbeexaminedquarterlyo TreesindistressshouldbepresentedtotheGPJBforconsiderationofremoval.The

APPENDIX1.GlenParkAgreementAGREEMENTFORTHEOWNERSHIP,FINANCING,IMPROVEMENTANDMAINTENANCEOFGLENPARK AGREEMENTbetweentheVillageofWilliamsville,amunicipalcorporationoftheStateofNewYorkwithofficesat5565MainStreetintheVillageofWilliamsville,TownofAmherst,ErieCounty,NewYorkhereinaftercalledthe"Village"andTownofAmherst,amunicipalcorporationoftheStateofNewYorkwithofficesat5583MainStreetintheVillageofWilliamsville,TownofAmherst,ErieCounty,NewYork,hereinaftercalledthe"Town".
WITNESSETH:WHEREAS,theVillageandtheTownhaveenteredintoanagreement("Original
Agreement")forthejointownershipofGlenParkdatedthe11thdayofJuly1977;andWHEREAS,theOriginalAgreementcreatedtheGlenParkJointBoard("GPJB")
toadvisetheVillageandTownwithrespecttothedevelopment,improvementandmaintenanceofGlenPark;and WHEREAS,theVillageandTownenteredintoanotheragreementdatedthe2ndofSeptember,1980("AmendedAgreement"),amendingArticle4oftheOriginalAgreementtoprovidethattheVillageTreasurershallactasthesoledepositoryforallmoniesappropriatedbytheVillageandTownforGlenParkandshallbethesingleindividualtoberesponsibleforthedisbursementoffundsasprovidedintheAgreement;and WHEREAS,theVillageandTownwishtocontinuetheirjointownershipandfinancingofGlenParkbuttoalsoclarifytherespectiverolesoftheVillage,TownandtheGPJBinmanagingthemaintenanceandoperationsofGlenParkandtoensureconsistencyandpredictabilitywithrespecttoappropriationsforGlenPark; NOW,THEREFORE,beitagreed, ARTICLE1--ImprovementandMaintenanceCosts A.TheVillageandtheTownshallshareequallyinallexpensesforthedevelopment,improvementandmaintenanceofGlenPark,includingtheportionsfrontingonthenorthsideofMainStreet.ThetotalannualappropriationforGlenParktocoversuchexpensesshallbeestablishedandremittedasfollows:
1. Eachyear,commencingin2013,theGPJBshallsubmitaproposedbudgetwitha5-yearcapitalplanforthedevelopment,improvementandmaintenanceofGlenParkforthefollowingVillagefiscalyeartotheVillageTreasurerbythe31stdayofJuly.
2. TheVillageBoardofTrusteesshallreviewtheproposedbudgetandprovidetotheTownBoardarecommendationwithrespecttoatotalannualappropriationforGlenParkforthefollowingVillagefiscalyear("GlenParkAnnualAppropriation")bythe1stdayofSeptember.
3. TheTownBoardshallvotetoapprovetheTown'sshareoftheGlenParkAnnualAppropriationbythe31stdayofOctober.
4. TheVillageBoardshallvotetoapprovetheVillage'sshareoftheGlenParkAnnualAppropriation,whichshareshallbeequaltotheshareapprovedbytheTown,bythe30thdayofAprilofthefollowingyear.
5. IntheeventtheTownBoardapprovesanallocationthatislessthanone-halfofthetotalGlenParkAnnualAppropriationrecommendedbytheVillageBoard,theVillageshallhavenoobligationtoallocateanyamountinexcessofthetotalallocationapprovedbytheTownBoard.
6. TheTownshallremititsshareofthetotalGlenParkAnnualAppropriationtotheVillageTreasurerbythe15thdayofJuneintheyearfollowingitsapprovalofsaidappropriation.TheVillageshallhavesolecustodyofallmoniesappropriatedbyboththeVillageandtheTown,andshalldepositsuchmoniesintoaseparateaccount("GlenParkFund").TheVillageshallhavetheresponsibilityformakingallpaymentsforthedevelopment,improvementandmaintenanceofGlenParkconsistentwiththeapprovedGlenParkAnnualAppropriationandtheMasterPlanadoptedpursuanttoArticle2(E)(2),below,andallsuchpaymentsshallbemadeoutoftheGlenParkFund.
7. InconsiderationoftheadministrativeandmanagementfunctionsperformedbytheVillagewithrespecttoitsoversightofGlenParkandinperformingitsobligationsunderthis

Agreement,theVillageshallbeentitledtoreimbursementfromtheGlenParkFundforreasonablemanagementandoverheadcosts.
8. TheTownshallhavetheright,uponrequest,toreceiveperiodicfinancialupdatesfromtheVillageconcerningtheexpenditureoffundsfromtheGlenParkFund.
B.Anygift,grant,aid,orassistancereceivedfromanyoutsidesourceandexpendedbyeithertheTownortheVillageforGlenParkpurposesshallbedeemedreceivedandexpendedbyboththeVillageandtheTownandnocontributionshallberequiredoftheothermunicipalitybecauseofanysuchgift,grant,aidorassistancereceivedandexpendedbyoneofthem. C.TheVillageDepartmentofPublicWorksshallhaveprimaryresponsibilityformaintainingGlenParkandanyinfrastructuretherein.However,theVillagemayrequestthatcertainworkbeperformedbytheTown.IntheeventTownemployeesperformworkinGlenParkattherequestoftheVillage,theTownshallsubmitaninvoiceforsuchlabor,basedontheemployee(s)'normalhourlyrate,totheVillageTreasurer,whoshallreimbursetheTownfromtheGlenParkFund.PaymenttotheTownforservicesshallbemadeannuallyorcreditedtowardtheAnnualAppropriation.
ARTICLE2–GlenParkJointBoard
A.TheGPJB,ascreatedpursuanttotheOriginalAgreement,shallbecontinuedinitspresentform,withnine(9)membersservingthreeyearterms,five(5)tobeappointedbytheVillageandfour(4)tobeappointedbytheTown,althoughthetermsofallcurrentlyservingmembersshallhereafterexpireonthethirtiethdayofJuneoftheyearsuchtermissettoexpire.SubsequentappointmentsorreappointmentsforexpiringtermsshallbeeffectiveonthefirstdayofJulyofeachandeveryyearandthetermsofallsuchappointmentorreappointmentsshallbeforthreeyears.IntheeventthateithertheTownorVillagefailstotimelyappointorreappointanymemberupontheexpirationofanyterm,thetermofsuchmembershallbeextendeduntilasuccessorisappointedorsuchmemberisre-appointed.However,anytermsoextendedshallcontinuetoexpireonthethirtiethdayofJuneoftheyearofexpiration,notwithstandingthedateofappointmentorre-appointment. B.AnnuallyatitsfirstmeetingafterthefirstdayofJuly,theGPJBshallelectachairperson,vicechairperson,secretaryandbudgetmonitor,eachofwhomshallserveone-yearterms.ThechairpersonshallberesponsibleforrunningthemeetingsoftheGPJB.ThevicechairpersonshallberesponsibleforrunningthemeetingsoftheGPJBintheabsenceofthechairperson.ThesecretaryshallberesponsibleforkeepingtheminutesofthemeetingsoftheGPJB.Thebudgetmonitorshallberesponsibleformonitoringandreportingonthebudget. C.TheVillageandTownshalleachappointaliaisontotheGPJB,whoshallregularlyattendmeetingsoftheGPJBandshallberesponsibleforfacilitatingcommunicationwiththeVillageBoardofTrusteesandtheTownBoard,respectively. D.TheGPJBshallmakestudies,themostimportantbeingtheMasterPlan,andadvisetheVillageandtheTownonthedevelopment,improvementandmaintenanceofGlenParkandtheAnnualAppropriationforthesame.TheGPJBmayinitiateitsownstudiesandmakerecommendationsatanytime,buttheBoardshallnotcommiteithertheVillageortheTowntotheexpenditureofanyfunds. E.Initsadvisorycapacity,theGPJBshallhavethefollowingauthorityandresponsibilities:
1. Proposeanannualbudgetand5yearCapitalPlanforGlenPark,asprovidedinArticle1(A)(1)ofthisAgreement.
2. Developandupdateaplanforthelong-termdevelopment,improvementandmaintenanceofGlenPark("MasterPlan").TheinitialadoptionoftheMasterPlanshallbesubjecttotheapprovalofboththeVillageBoardandtheTownBoard.IntheeventeitherboarddisapprovesoftheMasterPlanasrecommendedbytheGPJB,bothboards,withtheadviceoftheGPJB,shallworkingoodfaithtoresolveanydisagreementconcerningthecontentofsaidMasterPlan.TheGPJBshallsubmitacopyoftheupdatedMasterPlantotheVillageBoardandTownBoardyearly,withtheproposedbudget.TheGPJBshallperformacomprehensivereviewandrewriteoftheMasterPlanevery5years.
3. Recruit,coordinateandoverseevolunteersandothergroupsthatworkinGlenPark,althoughthisroledoesnotincludetheauthoritytodirecteitherVillageorTownemployees,ortemporaryemployeesengagedbytheVillageorTown,withrespecttotheirworkwithinGlenPark.TheGPJBmayappointamemberasvolunteercoordinator.
4. UponrequestbytheVillageBoardofTrusteesand/ortheTownBoard,theGPJBshallpreparewrittenreportsconcerningtheoperationandmaintenanceofGlenPark.

ARTICLE3–EffectiveDateofthisAgreement
ThisAgreementshallbecomeeffectiveuponthelastdayofexecutionthereofbyeithertheMayoroftheVillageortheSupervisoroftheTownuponauthorizationfromtherespectivelegislativebodies.
ARTICLE4–SettlementofDisputes
ShouldanydisputesariseastothetermsofthisAgreement,suchdisputesshallbereferredforsettlementtotheTownAttorneyandtheVillageAttorney.IntheeventtherespectiveTownandVillageofficialsarenotabletoresolvethedispute,itshallbereferredtotheMayoroftheVillageandtheSupervisoroftheTownforsettlement.
ARTICLE5–LawsGoverning
ThisAgreementshallbegovernedbythelawsoftheStateofNewYork.Allclaims,disputesandothermattersarisingoutoforrelatingtothisAgreementoranybreachthereof,ifsucharenotresolvedbytheproceduresetforthherein,shallbedecidedbythecourtsandthelawsoftheStateofNewYork.
ARTICLE6–Amendments
ThisAgreementmaybeamendedonlybywritteninstrumentsexecutedbytheMayoroftheVillageandtheSupervisoroftheTownuponauthorizationfromtherespectivelegislativebodies.
ARTICLE7-EntireAgreement
ThisAgreementistheentireagreementbetweenthepartiesheretoand,exceptasexpresslyprovidedherein,supersedesallpriornegotiations,representationsoragreementseitherwrittenororal,includingtheOriginalAgreementandtheAmendedAgreement.
ARTICLE8–InvalidProvisions
Intheeventanycovenant,conditionorprovisionshereincontainedisheldtobeinvalid,unconstitutionalorillegalbyanycourtofcompetentjurisdiction,theinvalidityofanysuchcovenant,conditionorprovisionsshallinnowayeffectanyothercovenant,conditionorprovisionhereincontainedprovidedthattheinvalidityofsuchcovenant,conditionorprovisiondoesnotmateriallyprejudiceeithertheVillageortheTowninitsrespectiverightsorobligationscontainedinthevalidcovenants,conditionsorprovisionsofthisagreementandprovidedthatthisparagraphdoesnotapplytoanyoftheconditionsprecedenttothisagreement.
ARTICLE9–CompliancewithLaws
Thepartiesagreetoabidebyallapplicablefederalandstatelawsandregulationspertainingtodevelopment,operationandmaintenanceofpublicfacilitieswhereinfederalorstatemonieshavebeenprovided.INWITNESSWHEREOF,thepartiesheretohavecausedthisagreementtobeexecutedonthe___dayof________________,2013.
