827 S Main St. Memphis, TN 38106 (901) 278-0087 ext 202 Ghost River Brewing, LLC (Ghost River) is applying for the Storefront Improvement Grant funds for exterior improvements to its building at 827 South Main Street. Ghost River is a microbrewery in the local/regional craft beer market and current operations include brewing, bottling, and retail dock sales. Proposed future uses include a beer tasting room (“tap room”) and associated outdoor seating. Ghost River has been a strong business anchor at the south end of the Central Business Improvement District (CBID) for 10 years. Nearby areas of the SCBID area are slated for significant investment in the coming year(s). It is worth noting that several hundred new residential units are currently planned within 1/2 mile walking distance to the north, and a new mixed use office/residential development is coming to the intersection of E. Carolina and Main Street less than ¼ mile up the road. It is the applicant’s hope and expectation that these factors and the proposed future tap room will increase pedestrian, bicycle, and vehicle traffic on to the southernmost end of South Main. The building is owned by Boscos RE, LLC and as such, there is no lease applicable to the grant application. The current building is 10,600 square feet. The proposed exterior improvements (which are further described in more detail in the attached exhibits) include Exterior Paving (including sidewalk repairs as well as on-premises paving) New Exterior Signage

III. Estimated Costs and Timing
See attached Sources and Use Statement for a summary of project costs. Additionally, contractor cost estimates are included outlining the costs for eligible scope of work items.
IV. Timeline
Estimated time until completion of the project - The project will begin in early May and is estimated to take 2 months to 3 months to complete (completion late summer 2016). Amount and anticipated closing date of the primary loan – The project will financed by a personal loan to Ghost River from a shareholder. Anticipated Lease Execution Date – N/A Anticipated Opening Date – The anticipated opening date is August 15th.

V. Women or Minority Business Enterprise (W/MBE) Participation
Ghost River is not a W/MBE. However, Ghost River is committed to the goals of the Equal Business Opportunity (EBO) Program. In order to comply with these requirements, Ghost River and its agents directly contacted multiple WBEs and MBEs. Additionally, general contractors who bid on the job agreed to comply with program’s best faith effort requirements. Through these efforts, and as outlined in the attached EBO program utilization Plan, Ghost River expects to exceed 20% participation by qualifying W/MBEs.

Equal Business Opportunity Program and Best-Faith Effort to Attain Minority-Owned Business Participation
As further detailed in the Downtown Memphis Commission Affiliated Boards Equal Business Opportunity (EBO) Program, Section 10, the applicant must give minority-owned businesses (W/MBEs) an equal and fair opportunity to receive notice, to bid on, and be considered for selection for all contracting opportunities associated with the professional and construction services in the design and renovation/construction of the project. Applicants are required to take affirmative steps to ensure an open and fair contracting process. While there are no mandated quotas, results achieved may evidence whether a fair process was employed. Applicants shall make a best-faith effort to allot, as a goal, no less than 20% of the professional and construction services to W/MBEs in the design and renovation/construction of the project. Commensurate with the size and scope of the project, specific steps that may be indicative of a best-faith effort to identify and contract with W/MBEs include but are not limited to the following: notice to W/MBEs, soliciting bids/quotes directly from W/MBEs, providing constructive notice, utilizing plan rooms, utilizing the DMC for assistance (W/MBE lists and Project Alerts), and working with applicable minority-owned business support organizations (e.g., Mid-South Minority Business Council, Memphis Area Minority Contractors Association, Memphis Hispanic Chamber of Commerce, National Association of Women Business Owners, etc.) To ensure that the EBO requirements are clearly understood, and antecedent to meeting the goals set forth in the EBO Program, all utilization plans must be coordinated with the DMC staff and submitted with the application. In accordance with the EBO Program, once the incentive application is approved and design/construction commences, the applicant shall provide written documentation of the status of the utilization plan (which shall include any and all changes or modifications) and the applicable amounts spent (or value of the work completed), on a monthly basis. If the requirements of the EBO Program are not met, the CCDC reserves the right to revoke and cancel
the incentive.
