TERMS AND CONDITIONS

1. Jaeger Products, Inc. is referred to herein as "Seller". The person or companypurchasing or to which a Quotation is made is referred to herein as "Buyer".

2. Seller represents that the goods or equipment sold pursuant to this order will befree from defects in workmanship or material. SELLER MAKES NO OTHERW ARRANTIES, EXPRESS OR IMPLIED, WHETHER OF WORKMANSHIP, PERFORMANCE,QUALITY, DURABILITY, MERCHANTABILITY OR FITNESS FOR ANY PARTICULARPURPOSE OR USE OR OTHERWISE WITH RESPECT TO MATERIALS SOLD, OR WITHRESPECT TO ANY PART OR LABOR FURNISHED DURING THE SALE, DELIVERY ORSERVICING OF THE MATERIAL. IN NO EVENT SHALL SELLER BE LIABLE TO BUYER FORANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUTOF, OR AS THE RESULT OF, THE SALE, DELIVERY, SERVICING, USE OR LOSS OF USE OFTHE MATERIAL OR ANY PART THEREOF, OR FOR ANY CHARGES OR EXPENSES OFANY NATURE INCURRED WITHOUT SELLER'S WRITTEN CONSENT, EVEN THOUGHSELLER HAS BEEN NEGLIGENT. THE OBLIGATIONS OF SELLER ARE LIMITED TO REPAIROR REPLACEMENT OF DEFECTIVE MATERIAL OR, AT ITS SOLE OPTION, TO THEREFUND OF THE PURCHASE PRICE. Buyer assumes all risk and liability for results ofusing the material covered by this order, whether used separately or incombination with other products, and agrees to hold Seller harmless for alldamages, direct or consequential, resulting from the use thereof.

3. Any affirmation of fact or promise made by Seller to Buyer which relates to thegoods or equipment sold under this order shall not be regarded as part of thebasis of the bargain and shall not be deemed to create an express warranty thatthe goods or equipment shall conform to the affirmation or promise. Anydescription of the goods or equipment sold under this order shall not be regardedas part of the basis of the bargain and shall not be deemed to create an expresswarranty that such goods or equipment shall conform to the description. Theexhibition of a sample or model shall not be regarded as part of the basis of thebargain and shall not create an express warranty that the whole of the goods orequipment shall conform to the sample or model.

4. The prices stated herein do not include any sale, use or other taxes unless sostated specifically. Such taxes will be added to invoice prices in those instances inwhich Seller is required to collect them from Buyer; provided, however, that ifSeller does not collect any such taxes and is later asked by or required to paysuch to any taxing authority, Buyer will make such payment to Seller or, ifrequested by Seller, directly to such taxing authority. At Seller's option, prices maybe adjusted to reflect any increase in the costs of Seller resulting from state,federal or local legislation, or any change in the rate charge or classification ofany carrier.

5. All sales are based upon price per unit per order placed for delivery at one timeand upon continuous production of the quantity prescribed. The price stated isfirm for thirty (30) days from date of written quotation.

6. All orders, if accepted by Seller, are not subject to cancellation, change,reduction in amount or suspension of deliveries, except with Seller's consent andupon terms which indemnify Seller against direct, indirect, incidental andconsequential loss and damage.

7. All orders are subject to the provision that Seller is not obligated to make deliveryby any specified date, but will use its best efforts to make delivery within the timeshown. Seller assumes no responsibility or liability for any loss or damage occurringby reason of delay or inability to make delivery caused, directly or indirectly, byacts of God; war; force of arms; fire; the elements; riot; labor disputes; picketing orother labor controversies; sabotage; civil commotion; accidents; anygovernmental action, prohibition or regulation; delay in transportation facilities;shortage or breakdown of or inability to obtain or non-arrival of any labor,material or equipment used in the manufacture or fabrication of the materialcovered hereby; the failure of any party to perform any contract with Sellerrelative to the production of the material covered hereby; or from any causeswhatsoever beyond Seller's control, whether or not such cause be similar ordissimilar to those enumerated, and if delays from such causes occur, deliverytime shall be correspondingly extended. In the event that Seller's inability shall bepartial and not complete, Seller may allocate its remaining supplies and deliveriesin any manner that is fair and reasonable among its regular customers, itscontract customers and its own requirements.

8. Delivery of ten percent (10%) more or less than the quantity specified shallconstitute fulfillment of the order and any excess, not exceeding ten percent(10%), shall be taken and paid for by Buyer.

9. Claims for shortage or rejection for defects must be made in writing within ten (10)days after date of shipment. Merchandise shall be returned only upon Seller'swritten authorization. Seller accepts no responsibility for merchandise returnedwithout such authorization. Seller shall not issue credit on any merchandise whichhas been altered or defaced in any way or upon which any additional operationshave been performed. Any lawsuit or other action based upon breach of thiscontract or upon any other claim arising out of this sale (other than any action bySeller for the pur-chase price) must be commenced within one year from thedate of the tender of delivery by Seller.

10. Seller reserves the right at any time to alter or suspend credit or refuse shipment orcancel unfilled orders when in its opinion the financial position of the Buyer, or thestatus of Buyer's account, warrant it, or when delivery is delayed by fault of Buyer,or Buyer is delinquent in any payments.

11. Seller reserves the right to make changes in goods or equipment manufacturedwithout incurring any obligation to make corresponding changes upon goods orequipment previously manufactured or sold.

12. The finish of goods or equipment purchased pursuant to this order includes onlysuch finish as directly obtained from the manufacturing process.

13. Unless otherwise specified by Seller, all material and prices are F.O.B. Point ofOrigin, and payment will be net/cash 10 days form date of invoice. No defermentof ship-ment at Buyer's request will be made except on terms that will indemnifySeller against all loss and additional expense, including, but not limited todemurrage, handling, storage and insurance charges. Identification of the goodsor equipment shall occur when delivered to the shipper by Seller, or ten days afterorder confirmation is sent to Buyer, whichever shall first occur. Risk of loss of thegoods shall pass to the Buyer upon identification. Title to the goods or equipment

shall remain with Seller until Buyer actually receives the goods or equipment. Allsales are final upon delivery of the goods or equipment to the Buyer.

14. No agent, employee or representative of Seller has any authority to bind Seller toany affirmation, representation or warranty concerning the goods or equipmentsold pursuant to this order; and unless an affirmation, representation or warrantymade by an agent, employee or representative is specifically included within thisorder, it has not formed a part of the basis of this bargain and shall not in any waybe enforceable.

15. Any specifications, drawings, plans, notes, instructions, engineering notices ortechnical data of Seller furnished to Buyer shall be deemed to be incorporatedherein by reference the same as if fully set forth. The Seller shall at all times retaintitle to all such documents and Buyer shall no disclose such to any party other thanSeller or a party duly authorized by Seller. Upon Seller's request or upon completionand delivery of the products or services, whichever first occurs, Buyer shall promptlyreturn to Seller all such documents and copies thereof.

16. Neither party may assign any of its rights hereunder without the prior writtenconsent of the other except that Seller shall have the right to assign to anycorporation into which it shall be merged, with which it shall be consolidated, or bywhich it, or all or substantially all of its assets, shall be acquired.

17. If the materials are to be exported, this order is subject to Seller's ability to obtainexport licenses and other necessary papers within a reasonable period. Buyer willfurnish all Consular and Custom declarations and will accept and bear allresponsibility for penalties resulting from errors or omissions thereon.

18. Seller certifies that any materials described on the front hereof which arefabricated by Seller will be fabricated in compliance with all applicablerequirements of Section 12 of the Fair Labor Standards Act, as amended, of Section204(c), (d), 212(b), 301-305, 401-403 and 501 of the Fair Labor StandardsAmendments of 1966, and of regulations and orders of the United StatesDepartment of Labor issued under Section 501 thereof, and of Section 5(a) of theOccupational Safety and Health Act of 1970, as applicable to the fabrication ofsuch materials.

19. This clause applies only in the event that the materials ordered herein are to beused in whole or in part for the performance of government contracts and wherethe dollar value of such materials exceeds, or may in any one year exceed,$10,000:

In connection with the performance of work under this contract, thecontractor (subcontractor) agrees not to discriminate against any employeeor applicant for employment because of race, color, religion, sex or naturalorigin. The aforesaid provision shall include, but not limited to, the following:

The provisions of the Equal Opportunity Clause, as promulgated by ExecutiveOrder 11246 dated September 24, 1965, as amended, are incorporated hereinby reference.

Where the dollar value of said materials exceeds, or may in any one year exceed$50,000, Seller shall attach upon Buyer's request a copy of the complete text of theEqual Opportunity Clause, as promulgated by Executive Order 11246 datedSeptember 24, 1965.

20. This document contains the entire agreement between Seller and Buyer andconstitutes the final, complete and exclusive expression of the terms of theagreement, all prior or contemporaneous written or oral agreements ornegotiations with respect to such terms as are included herein or are the subjectmatter hereof being merged herein. By way of illustration and not limitation, Buyer'sorder shall be deemed to incorporate, without exception, all the terms andconditions hereof notwithstanding any order form of Buyer containing additional orcontrary terms or conditions, unless Buyer shall have expressly advised Seller to thecontrary in a writing apart from the printed provision of such order form, and noacknowledgment by Seller of, or reference by Seller to, or performance by Sellerunder an order of Buyer shall be deemed to be acceptance by Seller of any suchadditional or contrary printed terms or conditions, then such modifications mayonly be made in these terms and conditions by a written instrument signed by oneof Seller's executive officers.

21. In the event that any word, phrase, clause, sentence or other provision hereof shallviolate any applicable statute, ordinance, or rule of law in any jurisdiction in whichit is used, such provision shall be ineffective to the extent of such violation withoutinvalidating any other provision hereof.

22. This document and the sale of any products hereunder shall be governed by andconstrued in accordance with the laws of the State of Texas.

23. Any Quotation furnished by Seller is subject to, and shall not become binding uponSeller until, actual receipt by Seller of Buyer's written order based on all the termsand conditions stated in the Quotation, without qualification. Seller may, at its soleoption, accept a verbal order from Buyer, whether or not Seller has furnished aQuotation. If Seller has furnished a Quotation and Buyer places a verbal order,Seller may rely on such Quotation with respect to the quantity and specifications ofthe material ordered. On all verbal orders, acceptance of delivery of material byBuyer or its agent shall be conclusive evidence against Buyer that such materialconforms to the order. Modifications in Buyer's written confirmation of a verbalorder shall not be binding on Seller unless actually received by Seller prior to thetime Seller places a non-cancellable order for the material or ships the material,whichever occurs first. Buyer agrees to indemnify and hold Seller harmless from anyand all cost and expense (in-cluding without limitation any restocking charges)incurred by Seller as a result of any misunderstanding or errors arising out of averbal order by Buyer.

24. All design data and recommendations provided by Seller are based on specific in-formation provided by Buyer with respect to temperature, operating conditions,and other critical matter. Recommendations are provided at no cost, are notintended to be relied on by Buyer, and do not constitute any warranty, express orimplied by Seller. Buyer agrees to indemnify, defend and hold harmless Seller fromand against any and all liability, cost, damage or expense arising out of or inconnection with the furnishing of design data and recommendations to Buyer bySeller and releases Seller from any liability, cost, damage or expense to Buyer, itsofficers, directors, employees or invitees arising out of or in connection with theprovision of such design data and recommendations by Seller.
