~Notice is hereby given that an Extraordinary General Meeting (EGM) ofElectrosteel Castings Limited (the Company) will be held on Saturday,11 August 2018 at 11.30 a.m. at its Registered Office at Rathod Colony,Rajgangpur, Sundergarh, Odisha 770 017 to transact the businesses asset forth in-the Notice convening the said meeting.Notice convening the EGM has been mailed/despatched through electronicmode (e-mail) to the Members who have registered their e-mail ids withthe Depository Participant(s)/Company and to other Members in physicalmode to their registered address. The Company has completed despatchas well as sending of e-mail of the Notice of EGM on 18 July 2018.In terms of Section 108 of the Companies Act, 2013 (the Act) andRegulation 44 of the Securities and Exchange Board of India (listingObligations and Disclosure Requirements) Regulations, 2015, theCompany is pleased to provide to its Members, the facility to exercisetheir right to vote by electronic means. The Members'may cast their Ii,votes on. electronic voting syst!Jm from any place other than the venueof EGM (remote e-voting). The Company has engaged the services ofNational Securitiell Depository Limited (NSDL) as the Agency to providee-voting platform to the Members of the Company. .The details relating to e-voting in terms of the said Act and the relevantRules are as under:1. All the businesses as set out in the Notice of EGM may be transacted
through remote e-voting.2. The remote electronic voting will commence from 8 August 2018 from
9:00 A.M onwards and shall end on 10 August 2018 at 5.00 P.M. Noremote e-votlng s~all be allowed beyond said date and time.
3. The voting rights of the Members shall be in proportion to the equityshares held by them in the paid up equity share capital of the Companyon 4 August 2018-(cut-<lff date). Any person who acquires shares ofthe Company and becomes a Member of the Company after thedespatch of the Notice of EGM and holding shares as on the cut-<lffdate, may cast their vote through remote e-votlng by obtaining thelogin 10 and password by sending a request to [email protected] [email protected]. However, if such Memberis already registered with NSDL for e-voting, then existing user-id andpassword shall be used for casting vote.
4. The facility for voting through ballot paper shall be made available tothose Members who are present at the EGM, but have not alreadycast their vote by remote e-voting.
5. The cut-<lff date for determining the eligibility to vote by remote e-voting means or through ballot paper at the EGM is 4 August 2018.
6. A Member may participate in the EGM even afterl exercising his rightto vote through remote e-voting, but shall not be allowed to vote againat the EGM.
7. A person, whose name is r8c0rded in the Register of Members or inthe Register of Beneficial Owners maintained by the depositories ason the cut-<lff date only shall be entitled to avail the facility of remotee-voting or voting at the EGM through Ballot Paper.
8. The Notice of EGM is displayed on the website of the Company i.e.www.electrosteelcastings.com and on the website of NSDL:www.evoting.nsdl.com.
