    01. Introductionby the Chair and the Chie Executive

    At St Georges we are dedicated to

    improving the standards o care that we

    provide to all o our patients. As part

    o our ongoing work to modernise St

    Georges we have started a process thatwill lead to us becoming a Foundation

    Trust in 2011.

    Foundation Trusts are a new type

    o NHS trust set up in a way that

    makes them answerable to their local

    community. This means that as we plan

    to develop hospital and community

    services we will need to involve our

    public, patients and sta in the decision

    making process. As Chair o St Georges

    I am committed to ensuring that wedevelop meaningul and productive

    relationships in order that the voice

    o all o our audiences can be clearly

    heard.

    In becoming a Foundation Trust St

    Georges will recruit 4,000 public and

    patient members who, along with

    6,000 sta members, will elect a

    council o governors. The council o

    governors will advise St Georges board

    o directors on how the trust should

    provide and improve services and help

    ensure that it stays true to the core NHS

    values and principles.

    Apart rom increased local involvement

    Foundation Trusts also have greater

    control over their nances. For St

    Georges this will mean more reedom

    to decide on how to invest in services

    that will best meet the needs o its

    patients and public.

    Beore we can become a Foundation

    Trust St Georges must successully

    complete a detailed application process,

    one which will careully examine key

    elements o our work including quality

    o care and nances. Thereore in

    achieving Foundation Trust status St

    Georges will also become stronger as

    an organisation.

    St Georges provides care to the localpopulations o Wandsworth, Merton

    and southwest London with a wide

    range o acute hospital services,

    including accident and emergency,

    maternity services and care or

    women and children.

    As a major acute hospital, St Georges

    also oers very specialist care or

    the most complex o injuries and

    illnesses, including trauma, neurology,

    cardiac care, renal transplantation,cancer care and stroke to the

    populations o southwest London,

    Surrey and Sussex. Our services cover

    a population o 1.3 million in Londonand up to 3.5 million including Surrey,

    Sussex and southeast England.

    During 2010 we will become home to

    a level one Trauma Centre and one o

    eight hyper-acute stroke units serving

    the capital. We are also expanding

    our community services, bringing care

    closer to home, including antibiotic

    home service and dialysis satellite

    units.

    As a leading teaching hospital, thetrust works closely with our academic

    and NHS partners in south London

    and nationally to conduct research.

    We develop innovations in medicinethat improve patient care and the

    health o the communities that we

    serve. We work closely with our

    partners to train doctors, nurses and

    other sta that the NHS will need in

    the uture.

    We are working hard on bringing

    our healthcare services closer to the

    community and it is now time or St

    Georges to take the next step and

    ensure our uture as a FoundationTrust.

    With around 6,000 sta caring or patients around the clock,St Georges Healthcare NHS Trust is one o the countrys largest

    teaching hospitals, treating more than 500,000 patients every

    year at sites in Tooting, Wimbledon and Wandsworth.

    03. What is a Foundation Trust?

    They are very much part o the NHS; they provide their

    services or ree and are not run or prot. Foundation

    Trusts are subject to the same standards and regulations

    as all other NHS trusts. In addition, the government has

    established a regulatory body called Monitor, whose

    unction it is to regulate Foundation Trusts and provide

    assistance i needed.

    Most importantly, Foundation Trusts are accountable to

    the people they serve. Through membership, patients,

    sta and the public are involved in deciding the priorities

    and strategic direction o the organisation.

    Foundation Trusts also have greater independence rom

    government and more nancial reedoms than traditional

    NHS trusts.

    Foundation Trusts have been in place since 2004 and there arecurrently (April 2010) 129 in England.

    04. Why is St Georges applying tobecome a Foundation Trust?

    Our core principle is and will always remain to provide the

    highest quality o healthcare to the communities we serve.

    The current economic challenges or the country willlast or many years and will apply to all populations and

    sectors, including the NHS. We want to work with our

    members and our communities to identiy shared priorities

    and together make the correct and sometimes dicult

    decisions in the interests o our patients and our public.

    The benets o Foundation Trusts have been well

    evidenced where they are well governed, are accountable

    and have a higher degree o engagement with their

    communities. Working with our members, we will deliver

    improved outcomes or our patients and sta.

    We believe that amongst the key benets or our

    patients, sta and community in becoming a Foundation

    Trust will be:

    Higher standards o care

    Improved governance and systems that allow or the

    public and sta to have a say in the trust through

    a structured and regular process

    Re-investment o any surpluses to improving care and

    acilities

    We will deliver these benefts by:

    Giving our local communities a greater say in how St

    Georges is run. This will help us to develop healthcare

    that is more responsive to local needs and priorities and

    deliver these where possible in local settings.

    Developing a council o governors that will strengthen

    local links, helping St Georges to develop existing and

    new relationships and partnerships with organisations

    that can help us deliver better services.

    Our public and moral service to improve the healthcare and

    well-being o our community is at the heart o who we are as a

    healthcare organisation and what we will urther develop as a

    Foundation Trust.

    05. Our vision, missionand strategic aims

    Mission

    In line with our vision our mission as a trust is to improvethe health o our patients and our local community by

    achieving excellence in clinical care, research, education

    and employment.

    Strategic aims

    As part o our preparation or becoming a Foundation

    Trust we have revisited our strategic aims. Our proposed

    strategic aims or the next ve years are:

    We will work in partnership with our patients and

    others to: Provide outstanding quality o care

    Become an exemplary employer

    Strengthen education, research and innovation that

    will benet our patients

    Build a leading integrated healthcare system

    Deliver robust operational and nancial perormance

    Continuously improve our acilities and environment

    We have developed an ambitious set o plans to maintain

    our position as one o Londons and the countrys leading

    Teaching Hospital. We have worked hard in recent yearsto improve both our quality and perormance. This work

    will continue and good progress has been made which

    has been recognised by statutory bodies and independent

    organisations.

    St Georges vision is that by 2015 we will be a thriving Foundation

    Trust at the heart o an integrated healthcare system. One

    that delivers improved patient care in community, hospital and

    specialist settings, supported by a unique and nationally recognised

    programme o research, education and employee engagement.

    06. Our membership plans

    The hallmark o a good Foundation Trust is local ownership and

    involvement in decision making. As a Foundation Trust we will be amembership organisation. This means that local people, sta and

    patients will have the chance to be a member o the trust and elect a

    council o governors who will work with us and oversee what we do.

    Developing an active and engaged membership

    Membership is a very important route through which the

    trust will engage with you. The way which we develop

    a close relationship with our members is by making iteasy and fexible or members to become involved and

    inormed about the work o the trust.

    Membership is ree and oers several opportunities

    to be involved including:

    Helping the trust make the correct decisions on our

    plans and developments to meet the needs o the

    community

    Improving services within the hospital and the local

    health community

    Supporting research to improve outcomes

    Help to raise unds to improve services in the hospitaland the community

    Volunteering in a variety o roles and settings

    Being able to stand or elections to become a governor

    o the trust

    Voting in elections or the council o governors

    Being able to attend a regular cycle o health

    inormation events by leading doctors and clinicians

    Developing a representative membership

    It is important to us that our membership refects

    the diversity o our local community and the largerpopulations covered by our specialist services.

    Through this process, we will ensure that all views o the

    membership are heard and no group orms a majority that

    excludes others.

    Age

    We propose a minimum age o 16 years or patients and

    the public to become members and 21 years or members

    to become a governor.

    We are proposing three categories

    o members:

    A: Public

    As a Foundation Trust, we are required to have at least one

    public constituency. A constituency is a clear geographicarea rom which members can be recruited. We are

    planning to include the public membership rom three

    main areas, based on our local electoral ward boundaries:

    London Borough o Wandsworth: all wards

    London Borough o Merton: all wards

    London Borough o Lambeth, wards are: St Leonards,

    Thornton, Streatham South and Streatham Wells

    Public members from these wards will be able to

    stand as governors.

    B: PatientsSt Georges values the contribution o all our patients. As a

    trust that treats patients rom across the country, we have

    decided to include a patient constituency.

    Because the trust also provides a range o specialist

    services to the population o Surrey (1.2 million people),

    we propose that this patient constituency is urther divided

    into two sub-categories:

    Surrey

    All other patients

    Patients from this group will be able to stand asgovernors.

    C: Sta

    Our sta are the most valuable resource we have to

    deliver care to our patients. It is essential that our sta

    play a strong role in shaping our uture. We propose to

    automatically recruit all o our permanent employees as

    members. Those who do not wish to become a member

    will be able to opt out. Membership will be open to:

    All individuals employed by the trust on permanent

    contracts or on xed term contracts o 12 months ormore

    Volunteers who are registered with the trust through the

    voluntary services manager

    For the purposes o recruitment we plan to divide our sta

    into our distinct classes refecting the proessional groups

    within the trust:

    Medical and dental

    Nursing and midwiery

    Allied health proessionals and other clinical and

    technical sta

    Non clinical sta (including volunteers)

    Staff groups will be able to stand as governors.

    The board o directors:

    The board o directors is legally accountable or the management o the

    Foundation Trust and is responsible or the day-to-day running o the organisation.

    The board will be made up o executive and non executive-directors. We see the

    council o governors as a major benet o Foundation Trust status and we are

    committed to developing ways or the board and council to work together.

    St Georges currently only has a board o directors. Foundation Trust

    members will elect and appoint a council o governors to represent

    the views o our members. The trust Chair will be Chair o the board

    o directors as well as the Chair o the council o governors and

    serves as an important link between both.

    It is our proposal that the council o governors be comprised o

    27 governors in total. The seats allocated to elected governors

    The current non-executive directors, including the Chair,

    should be appointed or a minimum o 12 monthsollowing the establishment o the Foundation Trust, or

    until the end o their current tenure, whichever is longer

    The existing Chief Executive to be appointed by the

    Foundation Trusts board o directors. All other executive

    director positions will continue in post

    The trust secretary, in consultation with the Chair and

    Chie Executive will approve membership applications,

    consult and agree arrangements with our partner

    organisations or the appointment o appointed

    governors, and give a nal ruling on any matters thatarise in relation to membership

    Election process:

    Governors will be elected by their respective

    constituencies. It is proposed that they will hold oce or

    a period o two or three years ater which they will be

    eligible or re-election or re-appointment. Governors can

    serve or a maximum o nine years.

    So that any disruption to the running o the

    trust is kept to a minimum, we are proposing

    to put in a set o transitional arrangements.

    11. Our planned timetable

    Indicative timetable subject to the trust meeting all

    o the requirements by NHS London.

    25th May 2010 - 17th August 2010

    Public consultation on the proposed application.

    1st December 2010

    Formal request to the Secretary o State or support

    to the application.

    By January 2011

    Secretary o States decision whether we are eligible

    to apply to Monitor (the independent regulator) or

    assessment.

    January 2011 - March 2011

    Monitors authorisation process.

    From April 2011

    Authorisation rom Monitor we become a

    Foundation Trust.

    The public consultation period will run rom 25th May

    2010 until 17th August 2010.

    Our ormal application will be submitted to the

    Secretary o State or Health in the autumn.

    12. Frequently asked questions

    A: Are Foundation Trusts the frst steps towards privatisation othe NHS?

    The legal basis or Foundation Trusts was created in 2003 and more

    than hal o all eligible acute and mental health trusts who were

    eligible are now Foundation Trusts.

    We will continue to be subject to the same targets, regulation and

    policies that govern all NHS organisations and all our assets will

    continue to belong to the NHS.

    B: Given the UKs economic situation is it the right time to

    become a Foundation Trust?

    We have been preparing to become a Foundation Trust or many

    years. Our ve-year business plan which outlines our income and

    expenses or the next ve years has been drawn up to what is

    achievable by the trust and will be tested thoroughly during the

    application process by NHS London and Monitor.

    C: Would becoming a Foundation Trust divert resources rom

    patient care?

    Delivering sae and eective healthcare to our local community,

    patient and the public is our core business. To make sure that we do

    this, the independent regulator (Monitor) will ensure that your servicesare maintained and our assets are protected in the best interests o our

    patients and the public. Our members and governors will act as the

    communities eyes and voice and are ree to contact Monitor.

    D: What would happen i St Georges did not become a

    Foundation Trust?

    We believe that this would put us at a disadvantage to other larger

    NHS trusts and reduce the benets that Foundation Trust will bring to

    patients, sta and the public.

    The governance arrangements within a Foundation Trust provide or

    a greater degree o scrutiny and accountability to the public and our

    members.

    Finally, the nancial reedoms o a Foundation Trust allow or

    improved ability to invest in services and in turn to ensure that our

    commissioners get the best value or money in the uture.
