Ovivo MBR is pleased to present this proposal for your project. At Ovivo, our goal is to provide customers
with comprehensive system solutions to meet their unique and specific wastewater needs. MBR systems
have many subsystems, from headworks all the way through permeate discharge that must be integrated
properly to ensure successful long term system operation. Ovivo MBR systems are designed to be
customizable, with the objective of achieving lowest total system cost and are an ideal solution for any
type of project.
As fresh water sources supplies decrease while discharge requirements tighten, MBR does play a critical
role in the future of water. MBRs represent the Best Available Technology (BAT) for municipal wastewater
treatment due to its efficiency, compactness, and unmatched effluent quality. Continual improvements in
the technology have significantly reduced capital and operating costs compared to figures from 10‐15
years ago. No other treatment technology is able to provide the same level of effluent quality in a
compact footprint that MBRs are able to.
As mentioned above, our value is in achieving a properly integrated system with an eye toward lowest
total cost of ownership. Ovivo is perhaps the only full service wastewater equipment manufacturer
responding to this proposal request. Within the Ovivo portfolio, are world‐class technologies such as
screens, clarifiers, biosolids, aeration, biological treatment and membrane filtration.
Having considered the best technical solutions available, we can take full responsibility for supply, or
provide equipment and solutions for the individual elements of your wastewater treatment plant.

Influent wastewater flows or loads are summarized below. In the event that the influent exceeds the
specifications used in engineering this proposal, or the source of influent changes, the ability of the
treatment system to produce the designed treated water quality and/or quantity may be impaired. Ovivo
will provide guidance to overcome characteristic variations, however, if the Owner chooses to continue to
operate the system, they assume the risk or any additional costs associated with biological upset, increased
consumable use or membrane damage.

3.a Warranties
As a multi‐product wastewater treatment system supplier for over 50 years, Ovivo
understands that each system is only as reliable, only as efficient, as the weakest
component. Our commitment is to the complete Ovivo® MBR System. Our multiple
product ownership, strong licensing and OEM agreements allow us to provide for
meaningful warranties and guarantees.
One interesting, differentiating feature of
an Ovivo Membrane Warranty is that the Owner is not required
to monitor, report or record instrument (online) field data for
the purpose of maintaining warranty coverage as long as
WaterExpert™ is maintained. This allows Ovivo and the Owner to
collaborate in managing the data trends and alerts. The Owner
shall be required to maintain a reliable, high‐speed connection
to the processor and to maintain manual records regarding MBR MLSS, CSS and chemical use data. Any
event or instance where connectivity is lost with <10% of data missing or if data conforms with MLSS,
Permeability, TMP and Air Scour the Warranty shall not be reduced or voided.

1.a Pricing, Terms and Conditions of Sale
1. PRICE
Ovivo is pleased to offer the Membrane Bioreactor System equipment and services as detailed in our
Technical Proposal. Please refer to our Technical Proposal for our scope of supply. Unless specifically and
expressly included in this proposal, pricing provided is limited to the Services, Goods, quantities, materials,
and model numbers as per Ovivo’s Scope of Supply.

2. PAYMENT TERMS
Prices and estimated shipping dates are based upon the receipt of a purchase order within sixty (60) days
from the date of this proposal. Prices quoted are firm for delivery within the time frame cited below.
Prices and approval submittals/equipment shipping dates are subject to adjustment if a purchase order is
not received within sixty (60) days from the date of this proposal. Pricing is based on the following terms
of payment:

3. PRICE ESCALATION
The prices submitted are based upon PURCHASER’s acceptance of this proposal by March 21st, 2019.

If the Acceptance Date is exceeded without acceptance of this proposal by Purchaser, all prices and
shipping dates are subject to review and adjustment at Ovivo’s sole discretion. Should shipment dates be
delayed due to actions of parties other than Ovivo, escalation of the selling prices at the rate of 1.5% per
month for each month or partial month of delay shall be applied. The prices submitted in this proposal
shall not be decreased by any amount, nor for any reason, including but not limited to any de‐escalation of
materials prices, without the express prior written consent of Ovivo. In addition, due to fluctuating
material costs, the prices quoted in this proposal may be adjusted at the time of delivery. Only additional
unit material costs will be transferred to the PURCHASER.
4. STEEL, STAINLESS STEEL AND ALUMINUM PRICE ESCALATION
Recently we have experienced sharp increase in various metal prices, we continuously monitor the
markets. To remain competitive, we will not attempt to cover all possible escalations from Bid Date to
steel and aluminum procurement. Due to potential material cost fluctuations, the prices quoted in this
proposal may be increased based on the actual material cost at the time steel fabrication begins. Steel
fabrication generally will begin no later than 3 weeks after submittal approval.
The prices quoted in our proposal are based on the following major cost indexes at the time of our
proposal.

Ovivo reserves the right to re‐quote if these indexes increase from the proposal date to the order date. If
necessary, as an example of the escalation calculation would that assume a proposal made in January for
316/316L steel fabrication with a purchase order placed in March, the surcharge in January, at time of
proposal, was $0.7460 and the surcharge at time of steel fabrication is $0.9460. An additional $0.20/lbs.
would be added. Any additional duties and tariffs invoked after the date of the proposal will be added to
the total proposed price.
5. TAXES
Federal, State or local sales, use or other taxes applicable to this transaction shall be added to the sales
price for PURCHASER’s account.
6. BONDS
Any performance and/or payment bond agreed to be provided by Ovivo will extend to supply of
equipment and services for a period not to exceed the first twenty four (24) months of the service or
warranty period, and for a value not to exceed the total price of this Proposal.

7. BACKCHARGES
In no event shall PURCHASER/Owner do or cause to be done any work, purchase any services or material
or incur any expense for the account of OVIVO, nor shall OVIVO be responsible for such work or expense
until after PURCHASER/Owner has provided OVIVO’s PROJECT MANAGER full details (including estimate
of material cost and amount and rate of labor required) of the work, services, material or expenses and
OVIVO has approved the same in writing. OVIVO will not accept Products returned by
PURCHASER/Owner unless OVIVO has previously accepted the return in writing and provided
PURCHASER/Owner with shipping instructions.
8. FREIGHT
All prices are quoted with freight allowed to readily accessible location nearest to jobsite.
9. WARRANTY
Warranty and service policies are limited to equipment supplied by OVIVO Equipment that is not integral
to OVIVO equipment will be subject to warranty and service policies of the respective manufacturer.
10. ORDERING
All purchase orders tendered on the basis of this proposal shall be issued with statements clearly
indicating what line items are being purchased, the cost of each line item to be purchased, and the total
sell price of all items being purchased. In addition, any special instructions including shipping address,
special or partial shipments, and shipment dates shall be clearly identified. All purchase orders shall be

All correspondence dealing with this project and all payments made for equipment based on this offering
should be mailed to the same address. In the event that a purchase order is issued to OVIVO, this
proposal including the “Terms and Conditions,” “General Terms and Conditions of Sale,” and
“Clarifications” shall be made essential parts of the purchase order. Any order submitted to OVIVO shall
be subject to acknowledgement and acceptance by OVIVO.
9. LIABILITY AND OWNERSHIP
Transfer of liability from OVIVO to OWNER occurs upon delivery to shipping address. Transfer of
ownership occurs after the full purchase price has been paid. OVIVO retains title and right of
repossession to the equipment until the full purchase price has been paid. OWNER or PURCHASER shall
not encumber nor permit others to encumber said equipment by any liens or security instruments until
the full purchase price has been paid.
10. PAST DUE ACCOUNTS
Payment of invoices shall be in compliance with the “Pricing Terms and Conditions” of this proposal.
Amounts past due are subject to a service charge of 2.0 percent per month.

11. APPROVAL OF EQUIPMENT AND DRAWING SUBMITTAL
Detailed equipment and drawing submittals shall be shipped two (2) to four (4) weeks after OVIVO acceptance of purchase order.
OVIVO shall use reasonable efforts to meet the dates specified above for shipment of Approval
Submittals, but such dates are estimates provided only to serve as a guide to the OWNER, and not
guaranteed. No liability, direct or indirect, is assumed by OVIVO for failure to ship on such dates.
12. SHIPMENT
Shipment will be made sixteen (16) weeks to eighteen (18) weeks after OVIVO receives a copy of OWNER‐
approved submittals.
Improvement upon this anticipated shipping schedule is possible, contingent upon the date of submittal
approval. Erection drawings and operating and maintenance instructions shall be forwarded at time of
shipment of equipment.
13. ACCEPTANCE
Should shipment of equipment be delayed because of unreasonable delays in approval of submittals or at
the request of the OWNER beyond nine (9) months after date of purchase order, the selling price shall
escalate at the rate of 1.0 percent per month.
OWNER shall pay for acceptance of partial shipments and proper billings of OVIVO even if the OWNER
does not pay the PURCHASER, provided the reason for such non‐payment by the OWNER is unrelated to
the performance of OVIVO Unauthorized retention of payments by the PURCHASER for any reason shall
be subject to a service charge of 2% per month.
Upon receiving equipment, OWNER shall thoroughly inspect and properly store each shipping item in
accordance with submittal requirements. Any items marked as shipped on the Bill of Material that are
missing or damaged shall be brought to the attention of OVIVO within fourteen (14) days.
The OWNER shall notify the freight company of any crates, boxes, or equipment damaged in transit.
OVIVO shall not be responsible for any damaged or missing items not confirmed in writing by the OWNER
within fourteen (14) days from the shipping date. Any replacement of equipment and material after this
time shall be invoiced.
14. FIELD SERVICE
OVIVO shall provide the service of our Field Service Representative to inspect the installed equipment
and to instruct the OWNER’s personnel in its operation. A specific number of person‐days are shown in
our proposal. No reimbursement to the contractor shall be allowed for unused man‐days or trips.
Warranty of equipment may be affected or voided if the contractor does not allow time necessary to
provide field service by OVIVO’s Field Service Representative.
The PURCHASER shall have all of the equipment ready for operation prior to requesting service by our
Field Service Representative. If the equipment is not ready for operation and field checkout when
OVIVO’s Field Service Representative arrives at the jobsite or if additional time is required, OVIVO shall
bill any delays and/or additional time beyond the scheduled amount indicated above. Billing shall be at
the current field service rates plus incurred travel and living expenses.

Adequate notice, generally two (2) weeks, shall be given when scheduling our Field Service
Representative. OVIVO’s field service and startup of the equipment shall not commence until all
subsequent conditions have been met in accordance with the “Pricing Terms & Conditions” of this
proposal.
15. WARRANTY DISCLAIMER
Ovivo disclaims all other warranties, express or implied in respect to Products delivered hereunder,
including but not limited to implied warranties of merchantability or fitness for a particular purpose. In no
event shall System Supplier be liable for any lost profits, cost for procurement of substitute products and
services, loss of use, or any other special, incidental, indirect, or consequential damages, arising out of or
related to any and all contracts or agreements or the use or the performance of the Products, however
caused and on any theory of liability, whether in an action for contract or tort (including negligence) or
otherwise. System Supplier total aggregate liability arising out of or related to any and all contracts or
agreements shall in no event exceed the amount paid for such products.
Wastewater flows or loads, system operational specifications and parameters are summarized in the
warranty statement. In the event that the operational limits exceeds the specifications used in engineering
this system, or the source of influent changes, the ability of the treatment system to produce the designed
treated water quality and/or quantity may be impaired. Ovivo will provide guidance to overcome
characteristic variations, however, if the Owner chooses to continue to operate the system, they assume
the risk or any additional costs associated with biological upset, increased consumable use or equipment

For claims that are determined to be valid warranty claims the technical assistance will be at no charge to
the Owner. Claims that are not covered under warranty will incur charges for the Technical assistance.
These charges are based on our standard labor rates.
16. CONFIDENTIALITY/INTELLECTUAL PROPERTY RIGHTS
This document and Ovivo’s Technical Proposal, is not to be reproduced or submitted to any third party without the written consent of Ovivo.
This document contains, or Ovivo may have previously disclosed to Purchaser, certain technical and business information of Ovivo and/or Ovivo’s affiliated entities, including certain copyrighted material, which is considered to be confidential. Such information, hereinafter referred to individually and collectively as the “Information”, may include, without limitation, ideas, concepts, development plans for new or improved products or processes, data, formulae, techniques, flow sheets, designs, sketches, know‐how, photographs, plans, drawings (regardless of what name, if any, is stated on the title block), specifications, samples, test specimens, reports, customer lists, price lists, findings, studies, computer programs and technical documentation, trade secrets, diagrams, and inventions, notes, and all information pertaining thereto and/or developed there from.. In the event of a breach of the terms herein, Ovivo maintains the right to seek any and all remedies and damages available to it, including but not limited to the amount, including interest, by which Purchaser profited from the breach, any gains made by Purchaser or any third party who received Information from Purchaser, compensation for all Ovivo loss or injury, and the value of Ovivo's expectation created by the promise of Purchaser. The parties agree Ovivo would suffer irreparable harm in the event of any breach of these terms, and therefore Ovivo shall be entitled to any and all injunctive relief available.

Warranty Coverage 1.1 Warranty performance shall be per Contract Documents including:
1.1.1 Proposal #072616‐1‐AK‐R2 1.2 System Performance is not warranted for pollutant mass loading or concentrations +/‐ 25% of Maximum
Month values unless otherwise noted in Contract Documents.
1.3 For plants not covered by a System Performance Warranty, Membrane Performance can be validated at the module level at specified conditions.
Additional Terms 1.4 Owner shall maintain a reliable, high‐speed connection to the processor. 1.5 Owner shall submit raw (PLC) data for TMP, permeate flow, flux, permeability, water temperature and air
scour on a monthly basis. In addition to instrument readings, Owner shall provide records for: 1.5.1 Membrane cleaning concentrations, volumes, soak times, and fill times. 1.5.2 Mixed liquor suspended solids (MLSS) concentration per MBR 2X/week or more. 1.5.3 Coarse suspended solids (CSS) concentration per MBR 2X/week or more.

1.9 If the MBR System should at any time be unable to meet Warranty requirements, and performance data
indicates operation in accordance with Contract Documents, System Supplier shall supply Technical
Assistance at no cost to the Owner until performance criteria are achieved. The Owner agrees to
implement reasonable operational modifications as requested by System Supplier, and in accordance with
the Reference Documents. System Supplier shall be allowed a minimum of three (3) months to implement
a remedy to operational issues and meet performance criteria

event shall System Supplier be liable for any lost profits, cost for procurement of substitute products and
