Falling Spring Horse Valley Acres Annual Meeting May 7 th , 2016 The 60 th annual meeting of FSHVA was held in the Pavilion at Horse Valley at 6:00pm on May 7 th , 2016 following a covered dish dinner held at 5:00pm. Thirty-three memberships were present for the meeting. Represented by proxy were 15 memberships. Second-generation member, Raun Kercher, also attended (see attached sign-in). President Jerry George called the meeting to order at 6:30pm. Jerry noted the death of long time members John Strickler, Adair Beattie, and Bob Frey. He asked for a moment of silence as we remember them. Jerry announced the addition of two new members, Josh George and Jason & Heather George, both long-time 2 nd generation members. Jerry also noted that we lost by resignation the Guthries, William A. Bates, and Robbie Lesher. Secretary Yoh read the minutes from the 2015 annual Meeting, and they were approved as read on a Doug Butz/ Steve Toddes motion. It was also asked that the minutes from the 2/20/16 director’s meeting be reviewed for the membership, which President George did. Jerry also mentioned a new policy the directors approved last Fall stating that, “Any permanent structure (tree stands, boat docks, boat racks, etc) that a member wishes to construct, not on the member’s lot, from this date forward will require board approval”. Copies of the updated policies were available for the members. Committee Reports Fish & Game- Buck Brindle reported that four antlered and 10 antlerless deer were taken last season, about half of them by junior hunters. Many kids enjoyed the opening day of Trout Season at the Valley, thanks to Sam Hopple and other volunteers. Forestry Committee: Bill Bashor was not able to attend, but Jerry said that he had hit a roadblock because of illness of our forestry consultant. However, Bill thinks that he has an interested party to do the cutting and purchase the wood. Social- Josh George reported that he has had a lot of fun heading this committee. He organized a sledding party and an ice skating party over the winter that did attract several members. He is busy organizing the July 4 th FSHVA 60 th Celebration and asked for volunteers to help with all the preparations for the Bedsprings Beef roast. He is also trying to book some entertainment, possibly the band, Miss Moses, an Americana Band. Josh is also organizing a rappelling trip to the rocks on Memorial Day, lead by Buck Brindle and Aaron Himelfarb. Josh received a big round of applause. Lake- John Kercher reported that the sliding board needs a minor repair before it is put into the water. John also reminded Mike to send post notices via email and facebook when lake treatments are scheduled. John has been tagging fish in order to determine the bass population in the lake. Buildings and Grounds: Steve Toddes gave the B&G report. We did not rent a backhoe this year, as Steve feels he can do what is necessary with the tractor. Corporation is also looking into buying a dump trailer. Buck Brindle has found a new leftover model for a reasonable price. Steve is also installing the playground gym that he obtained in Gettysburg. Long-range Planning Committee- Bob McMinn reported that the Long-Range Planning Committee has recommended to the board that the present term of “2 nd Generation Member” be changed to “Generational Member” to more clearly encompass the make-up of the progressing generations. The definition of a “Generational Member” would be: “ Lineal Descendants of an existing or senior member and of a deceased member whose membership continues to be held by a lineal descendant of that deceased member.” The committee is also proposing that the definition of immediate family, to whom a member

may give a membership or improvement, be broadened, as often children live at long distances or are not as interested in maintaining a property. Eligible Recipients of transfer of membership at lifetime or at death would be as follows: “A member may transfer or bequeath his or her membership, to a spouse, child, grandchild, niece or nephew”. The Board is not asking for a vote by membership, but did want to get opinions from the membership. Duff Rearick thinks this is a great proposal, as he has a niece who lives in the area and his two children are many hours away. Members present seem to agree with proposal. Board is asked to reflect on this proposal by the Committee for discussion and action at next meeting. A few members suggested that the $50 annual dues for this type of membership be raised somewhat, but the consensus appears to be that for what a “generational member” receives, the amount is fine.

New Business

• Raun Kercher made a presentation about the merchandize for the 60th Anniversary of FSHVA. He has setup an online ordering site with mugs, cups, hats, T-shirts, sweatshirts, and hoodies. Orders need to be entered by May31st. Product will be available July 4th weekend. Payment may be made at that time to FSHVA.

• Duff Rearick informed the members that he and Denis Hillwig would be serving as the God Squad for this year’s CFS and that the priority is to leave a cabin better than when they moved in, to assure members hesitant to loan their cabins, that they would be well taken care of. CFS is still in need of two cabins, one for the guest speaker and one for the staff.

• Budget- Donn presented the financial report. Donn cashed out our $10,000 CD and moved it to the regular account. He also closed out the safety deposit box on advice of the board. Because the advance payments on the land would be treated as income for this year, and fully taxed this year under the cash basis of accounting, Ryan Stouffer adviced us to change to the accrual basis of accounting to spread out these payments over the 15 years. Balance sheet beginning of year - $54,524.12 and end of year- $48,685.90. Income for the year was $83,998.02 (including prepaid land assessment). Expenses were $89,836.24. Proposed operating budget for 2016 is $17,295.00 with income projected of $13,400.00. The proposed budget was approved on a Robinson/ D. Butz motion.

• Bunny Toddes asked that we consider keeping cost of Beef roast at cost and not consider it a fund raising opportunity, considering that people with large families may be hard-pressed to attend if price is too high. She also informed membership that the Crab Fest this year will be on August 13th.

• Jerry Nuernberger put forth a proposal to have the corporation consider constructing a bike/hike trail with an emphasis on the east side of the stream that could allow members to explore the boundaries and the new property. This would be cleared and well marked. Interested members are encouraged to pursue this with Jerry if they would like to participate.

• Jerry called for the election of directors. Going off the Board this year are Brad Bates, Bob McMinn, and Steve Toddes. Tracy Baer nominated Bob McMinn, Betsy Schoonover nominated Terry Wagner, and Barb Beattie nominated Steve Toddes. Doug Butz moved that nominations be closed. The three nominated were elected by unanimous consent.

President George thanked the members present for being a great group in working together. There being no further business, the meeting was adjourned at 8:15pm by unanimous consent.
