Pre and Post-Conference Attendee ListsYour company has the opportunity to purchase the pre and post-conference attendee lists in electronic format (one time use only). The pre-conference attendee mailing list costs $300 for exhibitors and $1,000 for non-exhibitors. The pre-conference list is available after August 1, 2018. The post-conference attendee list costs $375 for exhibitors and $1,250 for non-exhibitors and is available after October 7, 2018. Every effort will be made to accommodaterequests for booth assignments. AAMNreserves the right to make changes to thebooth floor plan as may be deemed necessary. LOCATION PREFERENCE

Exhibit Contract AgreementAGREEMENT: This Agreement, properly completed and executed by Exhibitor, upon written acceptance by the AAMN, shall constitute a valid and binding contract between the parties. In its sole discretion, the AAMN may render interpretations and establish further regulations as deemed necessary in the interest of the general success of the Event. Exhibitor shall be bound by all conditions, rules and regulations stated herein or otherwise established by the AAMN.

TERM: The Agreement shall be effective on the date it is signed by the Exhibitor. This agreement shall be in effect only during the dates designated above for the Event. Neither party shall be obligated to extend or review this agreement beyond such dates.

ASSIGNMENT AND USE OF SPACE: In the sole discretion of the AAMN, Exhibitor may be assigned space (“Location”) for the event. The AAMN reserves the right to assign Locations. Exhibitor may not assign, sublet or Apportion to others the whole or any part of space allocated, and may not advertise or display goods or services other than those manufactured or sold by them in the regular course of their business.

CONDUCTING BUSINESS: Exhibitor agrees to use the Location and conduct its business in an orderly and lawful manner and abide by all rules and regulations prescribed by the AAMN.

Exhibit space must be neat and clean at all times. Nothing shall be posted on, or tacked, nailed, screwed or otherwise attached to exhibit columns, walls, floor, or other parts of an exhibit area without permission from the proper building authority. Cleaning of exhibit space shall be the responsibility of the Exhibitor.

Exhibitor literature distributions or other promotional activities must be confined to the space rented to the Exhibitor.

INSTALLATION AND DISMANTLING: Specific requirements as to the time for the installation and dismantling at the Location shall be set forth in an Exhibitor communication supplied to the Exhibitor for the Event. Such requirements shall be binding upon the Exhibitor as though fully set forth therein. Any Location not occupied, by the completion of installation of displays within the specific requirements, will be reassigned at the sole discretion of the AAMN. The AAMN may retain all or part of any deposit or fee paid for an unoccupied Location.

STAFFING: Exhibitor will keep Vendor’s exhibit open and staffed adequately at all times during the Event.

GIFTS AND RAFFLES: No gifts, prizes, tickets, or coupons shall be distributed without prior written Approval of the AAMN; and if Approved, only as provided under local ordinances and state law. No promotion, scheme or device involving the award of a prize, gift, or privilege, determined as the result of any contest, sweepstakes, raffle, promotion, or by chance, shall be under taken by Exhibitor on the premises of the Event or otherwise related to the Event in any way, unless agreed upon by the AAMN.

INSPECTION: Authorized representatives of the AAMN shall have access to the Location for reasonable inspection purposes at any time. In the sole judgment of the AAMN, if an Exhibitor possesses or sells any improper materials, or engages in improper or unlawful conduct at the Event, the AAMN will give the Exhibitor notice to cease and desist such activity. If the Exhibitor does not promptly comply, the AAMN, at its option, and without further notice, may immediately terminate this Agreement and revoke the rights granted hereunder.

PAYMENT: The fee for the purchase must accompany this Application which serves as a contract between the purchasing company and AAMN.

CANCELLATION: All cancellations must be received in writing. If exhibit space is reduced, the net reduction of space will be treated as a cancellation of that space. If Show Management receives a written request for cancellation of space or sponsorship by July 1, 2018, the company will be eligible for a full refund minus a $100 administrative processing fee. No refunds will be provided after July 1, 2018. Companies who cancel after July 1, 2018 are liable for the contracted total.

The AAMN is not liable for the non-delivery of the Location if non-delivery is due to any of the following causes: If the Location is damaged or destroyed by fire, act of God, public enemy, war or insurrections, strikes, the authority of the law, or any other

causes beyond the AAMN’s control. If the AAMN is unable to hold the Event for any of the reasons stated in this paragraph, the AAMN will reimburse the Exhibitor for fees paid to the AAMN for the Event.

LIABILITY, INSURANCE AND IDENTIFICATION: Exhibitor acknowledges that it is an independent contractor and not an agent, servant, employee, co-venturer or representative of the AAMN. Neither of the parties is authorized to contract any debt, liability, or obligation for, or on behalf of, the other party.

Exhibitor must make provisions for the safeguarding of its goods, materials, equipment and display at all times. The exhibit hall will be locked each evening, however the hotel, its agents, representatives, and AAMN will not be responsible for any loss of any material by or for any cause.

Exhibitor accepts full responsibility for all liability or damages to persons or property arising out of Exhibitor’s use and occupancy of the Location, including without limitation the sale or promotion of the Products, and the AAMN assumes no responsibility for damages that might occur to Exhibitor, its employees, agents, customers, licenses, or the property of any such persons by reason of such use, occupancy, or sales.

Exhibitor shall be fully responsible to pay for any and all damages to property owned by the HYATT REGENCY MILWAUKEE, its owners or managers which result from any act or omission of Exhibitor. Exhibitor agrees to defend, indemnify and hold harmless the HYATT REGENCY MILWAUKEE, its owners, managers, officers or directors, agents, employees, subsidiaries and affiliates, from any damages or charges resulting from Exhibitor’s use of the property. Exhibitor’s liability shall include all losses, costs, damages, or expenses arising from, out of, or by reason of any accident or bodily injury or other occurrences to any person or persons, including the Exhibitor, its agents, employees, and business invitees which arise from or out of the Exhibitor’s occupancy and use of the exhibition premises, the Hotel or any part thereof.

TAXES, LICENSES AND PERMITS: Sales and other taxes, when Applicable, are the responsibility of the Exhibitor. Exhibitor will obtain all licenses and permits that are or may be required by any public authority for the sale or display of the products.

AVAILABLE SERVICE: On behalf of the Exhibitor, the AAMN has designated hotel contractors to provide booth tables, chairs, and electricity. The AAMN assumes no responsibility or liability for any of the services performed or materials delivered by the foregoing contractors.

DEFAULT: If Exhibitor is in default under any provisions of the Agreement, or fails to adhere to the standards or supervisory directions established by the AAMN, the AAMN shall notify Exhibitor of such default or failure and Exhibitor shall promptly remedy such default or failure. The parties agree that certain defaults or emergencies may require immediate action. In the event that Exhibitor does not promptly remedy such condition, the AAMN may terminate this agreement, expel Exhibitor from the Location and re-license the Location to another party without further obligation to the AAMN, provided that Exhibitor complies with the terms hereof regarding vacation of the Location.

In the event the AAMN, through a default of its own, is in default of any provision of this agreement, or fails to meet with representations made herein, Exhibitor shall notify the AAMN of such default or failure, and the AAMN shall have a reasonable time to remedy such default or failure. In the event the AAMN does not remedy such conditions within reasonable time, Exhibitor may terminate this agreement and vacate the Location without further obligation to the AAMN, provided that Exhibitor complies with terms hereof regarding vacation of the Location.

If the provisions hereof are declared or adjusted by court of competent jurisdiction to be legal, invalid or unenforceable, it shall be deemed deleted here from without impairing the legality, validity, or enforceability of the remaining provisions hereof.

This agreement represents the entire agreement between the AAMN and the Exhibitor. No promises, covenants, representations, or warranties of any kind, other than those expressly set forth herein, have been made to induce either party to enter this agreement. This agreement is personal to the parties and is not assignable, transferable, or renewable by Exhibitor, without prior written consent of the AAMN.
