    EMPLOYMENT GREEMENT

    C i t y o Carmel by the SeaINFORM TION SYSTEMS NETWORK M N GER

    2 TERM

    A. This Agreement s h a l l commence on J u l y 1 , 2005, andcon t i nue un l e s s t e r m i n a t e d by e i t h e r p a r t y i n a c c o r d a n c e w i t h t hep r o v i s i o n s s e t f o r t h i n A r t i c l e D. o f t h i s Agreement , o r u n t i lt e r m i n a t e d by d e a t h o r permanent d i s a b i l i t y o f EMPLOYEE.

    B. EMPLOYEE ag ree s t o remain i n t h e e x c l u s i v e employ o f t h eCITY d u r i n g t h e t e r m o f t h i s agreement . However, EMPLOYEE mayengage i n o c c a s i o n a l t e ach ing , w r i t i n g , o r c o n s u l t i n g per formed onEMPLOYEE S t ime o f f so long as such a c t i v i t i e s do n o t e i t h e ri n t e r f e r e w i t h EMPLOYEE S p e r f o r m a n c e o f h i s d u t i e s h e r e u n d e r, o rc o n f l i c t w i t h EMPLOYEE 1 S o b l i g a t i o n t o t he CITY. EMPLOYEE a g r e e st h a t such a c t i v i t i e s a r e t o be s u b j e c t t o p r i o r a p p r o v a l o f t h eCITY ADMINISTRATOR.

    3 OURS OF WORK

    A. I t i s r e c o g n i z e d t h a t EMPLOYEE must d e v o t e a g r e a t dea lo f t ime o u t s i d e normal bus ines s hours t o t h e b u s i n e s s o f the CITY,and t o t h a t end EMPLOYEE w i l l be a l lowed t o t a k e r ea s ona b l e l e a vet ime o f f as he s h a l l deem a p p r o p r i a t e dur ing normal b u s i n e s s hours .However, t i s t h e i n t e n t o f t h e CITY ADMINISTRATOR t h a t EMPLOYEEmain t a in , whenever p o s s i b l e , normal CITY bus ines s h o u r s .

    4. RESIGN TION ND TERMIN TION

    A. EMPLOYEE may r e s i g n a t any t ime upon p r o v id in g CITYADMINISTRATOR w i t h a t l e a s t t h i r t y 30) days advance w r i t t e n no t i ceo f t he e f f e c t i v e d a t e o f r e s i g n a t i o n .

    B. CITY ADMINISTRATOR may a t any t ime t e r m i n a t e EMPLOYEEupon t h i r t y 30) days advance w r i t t e n n o t i c e .

    C. The p a r t i e s r e c o g n i z e and a f f i r m t h a t :

    1) EMPLOYEE i s an a t w i l l employee whose employmentmay b e t e r m i n a t e d by t h e CITY ADMINISTRATOR w i t h o u t cause o r r i g h to f appea l ; and

    2) There i s no exp re s s o r imp l i ed promise made t oEMPLOYEE f o r any form o f c o n t i n u e d employment. T h i s Agreement i s

    t h e s o l e and e x c l u s i v e b a s i s f o r an employment r e l a t i o n s h i p betweenEMPLOYEE and t h e CITY.

    EMPLOYMENT AGREEMENT

    A. Except as prov ided i n paragraph S.B. o f t h i s Agreement ,i f EMPLOYEE i s t e rmina ted by t h e CITY DMINISTR TOR while s t i l lw i l l i n g and ab le t o perform t he d u t i e s of In fo rma t ion SystemsNetwork Manager, CITY agrees t o pay EMPLOYEE a cash payment equa lt o four months o f t h e t hen c u r r e n t aggrega te s a l a r y. Said cashpayments may be pa id , a t t h e op t ion o f t h e EMPLOYEE in : 1) lumps ~ r upon d a t e o f t e r m i n a t i o n ; 2) lump sum on January 1 o f t heca lendar year fo l lowing t e rmina t ion ; o r 3) fou r equa l monthlyi n s t a l l m e n t s . Such s h a l l r e l ease the CITY from any f u r t h e ro b l i g a t i o n s under t h i s Agreement .

    B. In t he event EMPLOYEE i s t e rmina ted because o f h i sconv ic t ion o f any f e lony, o r any crime i nvo lv ing moral t u r p i t u d eo r o ff e n s e i nvo lv ing a v i o l a t i o n o f h i s o f f i c i a l d u t i e s o r i

    t h e CITY ADMINISTRATOR de te rmines t h a t t h e EMPLOYEE has : 1)misappropr i a t ed p u b l i c funds; 2) commingled p u b l i c funds with h i spersona l funds ; 3) engaged i n w i l l f u l cor rup t conduct i n o f f i c e ; or4) conducted h imse l f i n a manner t o be determined as w i l lconduct t h a t c o n s t i t u t e s misconduct accord ing t o t h e CITY'Spersonne l r u l e s t h e CITY s h a l l have no o b l i g a t i o n t o con t inueemployment o f EMPLOYEE o r t o pay seve rance as s e t f o r t h i nparag raph 5.A. o f t h i s Agreement.

    6 S L RY

    A. E f f e c t i v e J u l y 1, 2005, the CITY agrees t o pay EMPLOYEE96,864.00 i n s a l a r y p e r annum f o r h i s s e r v i c e s .

    B. Sa la ry i s payable i n i n s t a l lmen t s a t t he same t ime as o t h e remployees o f t h e CITY a r e pa id , and s u b j e c t t o cus tomarywi thho ld ing .

    A The CITY s h a l l p rov ide EMPLOYEE with t he same t y p e ande x t e n t o f b e n e f i t s a s p r o v i d e d t o t h e CITY S o t h e rmanagement employees as such b e n e f i t s may be amended fromt ime t o t ime e x c e p t f o r t h e f o l l ow ing :

    1 . The CITY s h a l l c o n t r i b u t e an amount not l e s s t h a ne i g h t y - f i v e pe rcen t (85 ) o f t h e f u l l premium onb e h a l f o f t h e EMPLOYEE and h i s q u a l i f i e d dependen tsf o r m e d i c a l i n s u r a n c e a v a i l a b l e th rough t h e CalPERSCHOICE program f o r t h e t e rm o f t h i s Agreement u n t i land u n l e s s o the rw i se amended between EMPLOYEE ANDCITY.

    2. The CITY s h a l l con t i nue t o p ro v ide d e n t a l and v l s l o ncove rage th rough t h e CITY S c u r r e n t s e l f - f u n dprograms , u n t i l and u n l e s s o the r w i s e amended betweent h e EMPLOYEE and t he CITY.

    14 ARM S LENGTH NEGOTI TIONS

    A. This Agreement has been n e g o t i a t e d a t a r m s l eng th andbetween p e r s o n s s o p h i s t i c a t e d and knowledgeable i n t h e m a t t e r sd e a l t with i n t h i s Agreement . Accord ing ly, any r u l e o f law( i nc lud ing C a l i f o r n i a C i v i l Code 1654) o r l e g a l dec i s ion t h a t

    would r e q u i r e i n t e r p r e t a t i o n o f t h e ambigu i t i e s i n t h i s Agreementa g a i n s t t he p a r t y t h a t has d r a f t e d t i s n o t a p p l i c a b l e a n d i sh e r e b y waived.
