An Indian summer is regarded as a period of autumnal

weather that is hotter than the usual temperatures expected for

that time of year. The phrase is believed to have originated

from North American Indians. Those living on the Eastern

seaboard used to depend on extended periods of fine quite

sunny weather in the autumnal months when the heat was not

so debilitating and before the onset of harsh winters. This time

was spent diligently completing the harvest and making the

most of the benign conditions to complete projects and

prepare for the winter.

So, what has this got to do with the property market I hear you

ask? Well we believe that this period of better weather so far

this autumn will kick-start a serious increase in viewings that

were woefully lacking throughout our traditional summer.

Viewings have already picked up after the school holidays and

good weather always brings with it a sense of optimism. The feel

good factor from our successful Olympic Games and the tentative

news that the property market is starting to encourage higher

levels of interest is very much welcomed into the Sales market.

Our view is that our autumn campaign could easily surpass our

performance throughout the summer and therefore we are looking

for more properties to come on to the market at this time.

As the level of enquiries starts to climb our thoughts turn to

completions before Christmas and with clever marketing at

this time we believe you could be in your new home before the

Partnership AgreementsWhen you think of the popular 1980s band The Smiths, a numberof things may spring to mind. Perhaps it’s the famous picture ofthe band outside the Salford Lads Club or the image ofMorrissey swinging a bouquet of gladioli in a half-buttoned shirt.

What you are unlikely to be thinking of, however, is a highlysuccessful and profitable business partnership. Yet this isexactly what The Smiths became. So successful and profitablein fact that, in the mid-nineties, the band members becameembroiled in a heated and expensive legal battle over royaltiesthat went as far as the second highest court in England andWales - the Court of Appeal.

The claimants in the case were the drummer and bassist of theband, Mike Joyce and Andy Rourke, with the defendants beingthe remaining and most famous members, Johnny Marr andMorrissey. Joyce's and Rourke's claim was simple. Theybelieved they were entitled to an equal proportion of theroyalties of the band with Morrissey and Marr. Leading up to thecase, Morrissey and Marr each took 40% of The Smiths'royalties, allowing 10% each to Joyce and Rourke. Joyce'sbarrister argued in court that the bassist and drummer wereunfairly treated as "mere session musicians, as readilyreplaceable as the parts in a lawnmower".

The whole legal battle would have been avoided if the fourmembers had done one simple thing at the start of their careeras a band - entered into a simple written agreement as to how

they would share the profits of their work. Morrissey and Marraccepted that Joyce and Rourke were their business partners inThe Smiths. However, in the absence of a written agreement,the partnership was left to be governed by a piece of legislationthat is now over 120 years old - the Partnership Act 1890. TheAct is simple in its treatment of how profits are to be sharedbetween partners - in the absence of a clear agreement to thecontrary, all partners of a business are entitled to an equalshare of that business’s profits. At the end of the case thereforeit was decided that, as there was no clear agreement governingthe partnership, each band member was entitled to an equalsplit of the band’s earnings. Rourke, who was in debt, had infact settled with Morrissey and Marr for a lump sum before trialand so Joyce was the sole beneficiary from the judgement.

This case highlights the importance of entering into a writtenagreement with your business partners at the outset of yourventure. One of the main reasons which attract people to apartnership business structure rather than, say, a companystructure is the lack of formalities involved. There is no need forincorporation at Companies House, nor is there a need to keepstrict records of membership and file annual accounts. A group ofpeople are in business as a partnership simply by doing somethingin common to make a profit. With this informality, however, thereare perils, as The Smiths’ case illustrated all too well.

There are a number of questions that should be addressed at thestart of any business venture. What are the roles of each of the

partners? How much time should each be devoting to theproject? How much money should each person be contributing atthe outset? What is to happen if a partner wishes to retire? And,of course, how are the profits to be split between the partners?

A well thought-out and well drafted partnership agreement atthe beginning of a business venture will not only serve to answerthese questions. It will focus the minds of each person involved,clarify what each individual’s role is within the partnership, givethe business a clear structure and objective and significantlyreduce the chance of a later dispute between partners that canprove so costly, both financially and to friendships. Highlights from the Oak-Tree SchoolsAs we begin the new academic year, the Oak-Tree Group of Schools are

delighted at the level of success enjoyed up until July 2012 and are looking

forward to another successful year in 2012-2013.

For Loughton’s Oaklands School, the Summer Term saw over 300 ex pupils

and staff celebrating the School’s immense achievement reaching its 75th

Anniversary in a large Marquee in the main field. Old Oaklandians enjoyed a

champagne reception, an innovative picnic lunch, key speeches and extensive

memorabilia as the new Alumni Association was formed. The Oaklands Speech

Day had Eleanor Laing MP as Guest of Honour, who spoke to guests and

presented the prizes. An ambitious building project was completed in a very

short summer break, further enhancing the provision for pupils. The new

facilities can be viewed at the next Open Morning on Thursday 4 October.

Normanhurst School in North Chingford also had a high-profile politician as

guest of honour at their Prize Day as the Rt Hon Iain Duncan Smith MP

continued his long-standing association with the School by presenting over 100

cups, shields and prizes to the pupils in recognition of their many achievements.

During the summer, a state-of-the-art Science Lab was installed and many areas

in the Main Building were renovated in order to provide an even higher level

of facilities and resources for the pupils. Headmistress Claire Osborn is looking

forward to showing off the many developments at the Open Evening on

Thursday 4 October.

At Coopersale Hall School in Epping, a new parent reception area was installed

in the main building over the summer break. Last academic year saw the

completion of a new classroom block that was opened by Mr and Mrs Rod

Stewart. The children have been very happy in their new surroundings since

occupying the new facilities, which will be available to view at the Opening

Morning on Friday 5 October. The School was delighted to welcome Mr Brad

Friedel, ex-Olympian and premiership Goalkeeper, to give out the prizes and

speak at the annual Prize Giving at the end of the Summer Term.

Matthew Hagger, Managing Principal of the Oak-Tree Group of Schools,

commented, “We were fortunate to attract such prominent special guests to

our Prize Days. We’re looking forward to our Open Days in October to show

off our new facilities as there’s been some considerable investment in the

schools over the summer break.”

Being an architect is a passion, not a job. Well it is for me, Melanie Clear, founder of clear. (formerly cleardesigns). Those who study architecture need such passion to help them through the tough, very long days of study. 7 years, equivalent to a lawyer or doctor for those of you who don’t know.

Studying for 7 years and finally being able to call yourself an ‘architect’ is no mean feat and when you can call yourself an architect it’s a privilege. Architecture has been implanted within me since I was a fourteen-year-old schoolgirl in South London. Having forged my career in commercial and design-led practices in Central London, in 2005 I set up clear. based in Loughton.

The driving force behind this move was that I felt that there were no other practices that appeared to encompass my passion and thought for the ‘design’ combination of architecture and interiors. My philosophy is that architects are designers, so who better to carry out the interior of a building as well as the exterior?

so that clients can converse with them and, most importantly, be able to guide clients in creating a building that is the best it can be. That’s not just pure design, it’s design within a budget or design that will comply with the vast plethora of planning and building regulations alike.

To me an architect creates buildings which in turn create the environment we live in. It is my belief that, to be truly successful, you must have passion for architecture. Every project my team and I work on is carefully considered from its inception to realisation.
