MAP (Minimum Advertised Price) Policy

Revised March 2015

This Policy replaces and supersedes all prior Minimum Advertised Price policies (“MAP” or “Policy”) issued by Wolf Steel USA Inc., Wolf

Steel Limited and Napoleon Appliance Corporation, (collectively, the “Company”) applies to all Company distributors, wholesalers,

retailers, dealers and other resellers located in the United States and Canada (collectively, the “Resellers”).

This Policy has been implemented in order for the Company to better compete against established brands in the market for

premium widgets and accessories. In particular, the Company has determined that adoption of this Policy is a necessary

component of its strategy to reduce or minimize distribution channel conflicts and to ensure that the Company’s line of products is

supported with aggressive marketing, prominent merchandising and product displays, pre‐sale and post‐sale customer service, education

and stocking of sufficient product inventories to adequately service

the local market.

POLICY APPLICATION This Policy applies to all dealers, distributors or retailer’s (“Reseller”)

of the Company products.

POLICY The Minimum Advertised Price (“MAP”) for the Covered Products

shall be: Indoor and outdoor Fireplaces: 10% off the MSRP as listed in

price book Grills, Outdoor Heating and Furniture: 10% off the MSRP as

listed in price book

Furnaces and Cooling Products: 10% off the MSRP as listed in price book

This policy is unilateral, non‐negotiable and will not be altered for

any Reseller. The Company will not ask, nor will we accept from any Reseller an agreement as to retail prices or an agreement regarding

compliance with this Policy. The Company’s Reseller has the legal right to set their own retail prices on our products. However, we

have independently and unilaterally determined that advertised

discounting and price promotions associated with the Company’s products weaken and diminish their value and image.

MAP (Minimum Advertised Price) Policy

Advertising such as print, radio and television fall under this policy. Should a reseller wish to sell product on the internet via website or

third party sellers such as ebay, Kijiji or any other marketplace the reseller must follow the IMAP policy.

Permitted under this MAP policy is NO Tax , FREE delivery, FREE

Installation and any gift with purchase. The value of this “gift with

purchase” cannot be displayed or called out as a savings unless it is a Wolf Steel driven event. Anything misleading to the customer

deemed by Wolf Steel will also be a violation.

Should the Reseller have 2 or more violations exceeding this 48 hour period, Napoleon reserves the right to no longer ship product

to the Reseller and may terminate the partnership without any liability to Napoleon.

Napoleon will monitor Reseller’s pricing. Should there be a

violation of the MAP Policy; Napoleon will give either a verbal or

written notice to a representative of the Reseller. There is no

response needed to this notice. If the advertised pricing has not been corrected in 48 hours of notification the Reseller will forfeit any

rebates (thus being co op, damage allowance for volume rebates) earned during the period of violation and will not be eligible for any

specials or promotional discounting.

Reoccurring violations will result in the following penalties:

First – 48 hour written notice Second – Lose of co op during the period of violation

Third – Possible lose of partnership with Wolf Steel and their products.

This Policy applies to all first‐quality products and accessories

manufactured and distributed under the Company’s (the “Covered

Products”). It does not apply to discontinued, closeout or distressed merchandise, or to special over‐stock promotions as announced by

the Company.

The Company may also, from time to time, announce promotional periods during which the Policy will not apply with respect to all or

some Covered Products.

IMAP (Internet Minimum Advertised Price) Policy

Revised March 2015

Effective January 2013, the Napoleon IMAP Policy will be effective

to all Internet resellers of Napoleon Products. This Policy replaces

and supersedes all prior Internet Minimum Advertised Price policies (“IMAP” or “Policy”) issued by Wolf Steel USA Inc., Wolf Steel

Limited and Napoleon Appliance Corporation, (collectively, the “Company”) applies to all Company distributors, wholesalers,

retailers, dealers and other resellers located in the United States

and Canada (collectively, the “Resellers”).

Resellers who advertise any or all of Napoleon products must

comply with this IMAP Policy. This policy is independent from any

other agreements or contracts with Napoleon. Napoleon reserves

the right to discontinue doing business with any reseller without

liability in the event of violations of the IMAP Policy. There will be no communication between Napoleon and a reseller about any

other Reseller’s advertised price and Napoleon will strictly enforce

this policy should there be violations.

The Reseller is solely responsible for their compliance to the IMAP

Policy. There will be no such warnings or negotiation between Napoleon and the Reseller on this matter. Any website that

features Napoleon products with advertised pricing must not be

advertised below the IMAP list price as stated on the Napoleon

Price List. These prices include areas such as the “shopping cart” and hyperlinks that take the consumer to another website. Coupons

for additional savings, call for price, contact us, and emailed quotes are also not permitted.

Violations of the IMAP Policy include and are not limited to internet advertisements; emails, banner ads, third party sites either

sponsored or paid by the Reseller, unauthorized couponing and hyperlinks to any other shopping carts. Napoleon must be excluded

from any and all coupons and discounts unless authorized and promoted by Napoleon.

Permitted under this IMAP policy is Free shipping, Free installation,

NO Tax and any gift with purchase. The value of this “gift with purchase” cannot be displayed or called out as a savings. Anything

misleading to the customer deemed by Wolf Steel will also be a violation.
