Product Sales. This division of EDGE Energy provides product sales to multiple Project Developers, EPC Contractors and Solar Energy Distributors as well as Federal, State and Municipal governments.
Solar Modules & Packaged Systems ‐ EDGE is partnering with the U.S. Repre‐sentative of NexPower, a division of United Micro Semi Corporation of Korea, the third largest Semiconductor Manufacturer in the world, and manufacturer of thin‐film amorphous modules to clients throughout the world. NexPower modules are rated the second highest output in kwh/kw installed on the well known and highly respected California Energy Commission’s (CEC) list of en‐ergy output for hundreds of mono, poly and thin‐film modules manufactured worldwide.
EDGE now also offers BYD mono and polycrystalline modules to Distributors, Wholesale Developers and EPC Contractors throughout North America. BYD is the largest automotive manufacturer in China will be distributing the BYD Elec‐tric Sedan in North America starting in 2012.. They are also the largest manu‐facturer of Computer, Cell‐phone, Electric Automotive and Energy Storage batteries in the world as well as the company where Warren Buffett/Berkshire Hathaway and Bill Gates recently purchased a 10% stake .

FINANCING ADVANTAGES
With established relationships with both traditional and non‐traditional lend‐ers, EDGE Energy is able to pursue financing for its clients’ renewable energy systems. Depending on the capital and cash flow needs of the client, financing options are customized for each project. Typical financing options available through EDGE Energy fall into three categories:

Direct System Purchase
Some clients are interested in purchasing a renewable energy system outright. Federal, state and utility company incentives can offset as much as 90% of the cost of a system. In addition, once commissioned, the system begins paying for itself immediately by reducing the amount of energy purchased from the utility company. Finally, solar energy systems typically increase the market value of buildings based on the decreased capitalization rate of the property, based on the decreased annual energy costs. Depending on the creditworthi‐ness of the borrower, lenders are able to provided financing with little or no money down. Power Purchase Agreement
A Power Purchase Agreement (PPA) is one method of financing a solar project where the party that would like to have electricity savings is not interested in doing a direct system purchase or an equipment lease. In this arrangement, the building or property owner allows a system to be installed on their property at no cost to them and the building owner agrees to buy the power the system generates from the third‐party system owner. The PPA is usually structured to have a start rate below the current utility company rate, which then escalates between 1.5‐3.5% annually over the 15 or 20 year life of the PPA. The escalator compares favorably with U.S. Department of Energy estimates of future elec‐tricity rates, and results in creating a partial energy hedge which can amount to many thousands of dollars in energy savings for the building/property owner over the life of the PPA. System purchase options can be included in a PPA.

Solar Equipment Lease
Businesses with little to no tax income tax burden and non‐profit organizations that cannot utilize the income attributes generated through the ownership of the system can utilize an equipment lease. Leases are typically structured with 10 to 20 year terms and may be designed to have the lease payments be equal to or less than the current electrical power costs being displaced. Lease pay‐ments can remain static or may be structured to reset the payments in 5 year intervals. Equipment leases usually include a buyout option that can typically be exer‐cised after seven (7) years. With a buyout option, businesses can choose to own the system anytime after the seventh year of the lease based on a pre‐determined schedule of residual values. Comparison of Financing Options

Hawkins has successfully completed over 6000 projects with leading compa‐nies such as McDonalds Corporation, Quik Trip Corporation, United Parcel Service, and La‐Z‐Boy. Hawkins also has experience and expertise in performing "Green Build‐ing" work and has participated in many LEED building projects.
J2 Innovative Concepts / EDGE Energy introduces to the market an Inte‐
grated Energy Management System from J2 Innovative Concepts. This suite of ser‐vices includes Automated Energy Management Systems to Measure, Manage and Monitor small to large facilities. In partnership with J2 Innovative Concepts, EDGE En‐ergy/WNS has designed, developed and deployed this real‐time cloud‐based Energy Management System with Demand Response options that measure, monitor and manage devices with the most advanced visualization tools in the marketplace, featur‐ing near‐real time data capture from multiple sensors and information emitting de‐vices. A Web/Cloud based tool that provides information related to the Energy/Carbon usage footprint and usability is designed to suit multiple industry and regula‐tory needs. PCG can provide advanced real time “Dashboards” for personal, on‐line communication interface. Usage Reports provide curves for electricity, gas, steam, chilled water, and oil consumption and compares multiple locations or the same loca‐tion for different time periods. EDGE Energy is currently working with a select group of highly qualified EPC / General Contractors & Electrical Contractors to build renewable energy and En‐ergy Improvement projects. The EDGE Energy two‐part operating model consists of an EDGE Development Services Contract provided to the project owner and a Construction Build Contract provided by the Preferred Construction Partner to the client. Unless otherwise brought to us by another contractor, EDGE Energy will utilize the services of its preferred contractor, Parsons Electric, for most pro‐jects.
Parsons Electric is located in Phoenix, Arizona, and is one of the country’s leading Electrical Contractors. Parsons has the ability to staff, license, permit and build projects in all 50 U.S. states. They have a wealth of experience as national Electrical and EPC General Contractors. Parsons Electric runs the company’s Re‐newable Energy Solutions Center from Phoenix and has installed Solar PV pro‐jects throughout the country. EDGE Energy, acting as the Solar Developer, part‐ners with Parsons as the EPC Contractor, where Parson’s will build a majority of EDGE Energy’s renewable projects and be the principal contractor for the Imple‐mentation of the Energy Management improvements proposed after Energy Au‐dits are completed for corporate clients..
Metal Foundations of Ambridge, Pennsylvania, is an EPC Contractor that pro‐
vides cost effective proprietary foundation structures for ground mounted fixed and single axis tracking solar arrays. Metal Foundations structures have been used extensively for federal (FHA, FAA, and Homeland Security) and state con‐struction projects including Washington‐Dulles International Airport, Structacom Tower (Nigeria), New York Gas & Electric and the federal U.S./Mexico border fence and many state highway projects around the United States. Metal Founda‐tions is now using their expertise to enter into the construction of renewable en‐ergy projects. EDGE Energy acts as a representative to bring large utility scale construction opportunities to build pile‐driven foundations for large, mostly CSP projects in the western United States.

ENERGY MANAGEMENT AND RENEWABLES EVALUATION PROCESS
EDGE offers a comprehensive energy solution that integrates both Renewable
Energy solutions for private and public facilities with Advanced Energy
Management Systems (EMS). EDGE clients benefit from a robust Energy
Management solution within a demand response framework, which consists of
both the process and technology required to manage Energy Efficiency (EE)
and a more sophisticated management of Renewable Energy portfolios.
Phased Approach
Our service offering is a phased approach starting with a small pilot program
that maximizes energy efficiency and identifies the best renewable energy
options. This enables the effective management of utilities by extending the
energy management strategy in a single facility or across multiple locations
(often multiple locations can number in the hundreds for an office facility,
university or school campus). An enterprise application aggregates KW usage
across a pre‐defined region or group of facilities. When a utility provider is
operating at peak capacity, it notifies participating customers that it is time to
reduce the load. The customers trigger routines that apply to the region,
initiating simultaneous shed strategies in multiple facilities. This enables the
utility company to avoid bringing additional generating capacity online (less
efficient & more costly), avoiding a significant expense. In return, the utilities
offer significant savings or rebates to participating customers.
Incorporating Renewable Solar Energy
Using industry standard solar sizing guidelines, EDGE will evaluate the areas
available on‐site for a renewable solar energy solution. We will identify the
available areas for rooftop, ground‐mounted, or parking shade structure for
solar arrays. Using these available areas and an analysis of the client’s energy
usage, EDGE will design the most appropriate renewable energy system.
When combined with the integrated EMS/DR portfolio, the client will realize
the optimal energy solution for their facility or facilities.

ENERGY MANAGEMENT AND RENEWABLES EVALUATION PROCESS
Analysis of Displacement and Project Modeling
EDGE will perform a complete site assessment, identify opportunities for energy efficiencies and calculate the optimal size of the renewable solar energy system for the client. First, we identify opportunities that will give our clients the best methods and tools that will reduce their present energy consumption. Once we have programmed and set the facility to operate most efficiently, we next calculate the displacement of kilowatt hours by the solar system. EDGE will prepare a preliminary financial analysis based on the savings of electricity, federal, state and utility incentives, and tax advantages from the MACRS accelerated depreciation schedule. EDGE will include a spreadsheet and computation showing these benefits and an unlevered IRR over a 20‐year timeframe. This modeling will also include solar irradiation available for the site.
Presentation of System Proposal
The complete system with an applicable financial analysis will be presented to the client in a preliminary proposal. The financing alternatives will include in‐depth comparisons of the direct system purchase, solar equipment lease and power purchase agreement options. With a selection of the preferred financing alternative and a submittal of financials by the client, EDGE will assist the client in its application for utility company incentives and prepare a financing proposal to be submitted to our network of preferred lenders.

Robert E. Kennedy, Managing Partner ‐ Robert brings over 20 years of executive and board level experience to the EDGE team. Previously, Rob co‐founded Apthera, Inc., where he served as board director and CFO. Rob’s prior experience in‐cludes serving as CFO of Blue Dot Services, Inc., a $470M national HVAC and plumbing company; and Managing Director of Koch Ventures, Inc., a $160M Venture Fund of Koch Industries, Inc. Rob serves on the boards of Arizona BioIndustry Association and Immunologix, Inc., is a member of ASU’s Technopolis and is a member of AICPA and the Arizona Society of CPA’s. Rob earned a BBA degree from Wichita State University.
Tim A Owens, Managing Partner ‐ Tim started his tenure in the solar indus‐try in 1982 as Marketing Director of Arco Solar’s largest North American Distributor (now Kyocera Solar) and, later, as VP Marketing for a leading cell and module manu‐facturer, Solec International. He brings over 30 years of career experience in Sales, Sales Management, Strategic Market, Product and Partner Development as well as marketing, advertising and public relations disciplines. Tim serves on multiple commit‐tees as a member of the United States Green Building Council (USGBC) Arizona Chap‐ter. Tim attended Cal Poly, San Luis Obispo with an emphasis on Agri‐Business and a minor in Journalism. He is also an honorary member of the Thunderbird, Global School of Management’s Phoenix Alumni Chapter.
Keith C Miller, Managing Partner ‐ Keith has experience with numerous
start‐up companies in a variety of management and executive positions and indus‐tries. Most recently he served as President of Southwest Insurance Services, a consult‐ing, risk management and insurance firm in Scottsdale, Arizona. Previously, Keith served American Family Insurance for 20 years in a number of management and line positions. He has also held the title of Executive Director of several non‐profit organi‐zations. Keith’s expertise is in the areas of risk management, operations manage‐ment, marketing, training, and sales. Keith earned a degree with honors in Environ‐mental Resources Administration from George Williams College.
Edward “Ted” Kurtz, Managing Partner ‐ Ted has many years of experi‐
ence with a number of Fortune 500 companies. Most recently Ted spent 15 years as a Team Lead Manager for the Boeing Company, Mesa, Arizona developing and execut‐ing a number of business initiatives. While at Boeing, Ted developed several innova‐tive sustainable programs using his expertise in project management, quantitative analysis and strategic planning. Ted earned both undergraduate and graduate busi‐ness degrees form Carnegie Mellon University and a Mechanical Engineering degree from the University of Arizona.

Sherm Cawley, President & Co‐Founder, Cawley Architects, Inc.
Sherm’s excellent project leadership skills have been focused on developing an industry leading Design Build Architecture firm. Since forming the company in 1992, he has developed the procedures required to direct a large team of con‐sultants, contractors and owners in the completion of over 400 buildings and 10 million square feet of commercial and industrial structures. He received his Bachelor’s Degree in Architecture at Cornell University and has been registered with the AIA in Arizona for over 25 years. He is responsible for client develop‐ment, design, corporate management, and the ultimate development of a total team approach to Design Build architecture.
Clint Rapier, Vice President, Hawkins Design Group, Inc.
Clint is recognized as a leader in solar/photovoltaic electrical design. He and Hawkins are able to provide full service electrical design and consulting for re‐newable energy projects in most western states. Hawkins services include elec‐trical engineering for Commercial and LEED buildings and renewable energy designs for solar and wind generation for commercial, institutional and residen‐tial installations. Clint is a licensed Professional Engineer & Electrical Engineer (PE, EE) in many states and received his BS in Electrical Engineering from Ari‐zona State University.
Prakash Menon, Sr VP Utilities, WNS Global Solutions
WNS is a company involved in developing and delivering advanced solutions and technology to support the needs of the utility enterprise to meet the de‐mands of the marketplace. Prakash has over 25 years of industry experience and held leadership positions in leading consulting firms, advising large Energy, Oil & Natural Gas companies in design and implementation of new technology and business process to meet the changing business needs. Case Study
HUMAN SERVICES CAMPUS, PHOENIX, AZ Client The non‐profit Human Services Campus in Phoenix, Arizona. The Campus accommodates the combined facilities for the Central Arizona Shelter Services and four other non‐profit homeless services providers. It is located on a 7 acre parcel in downtown Phoenix, Arizona owned and leased by Maricopa County. Objective The project objective is to permanently reduce the total energy costs of the five Human Services Campus organizations. Every dollar saved by the non‐profit campus is one that does not have to be raised. Finance The proposal is a lease provided by a 3rd party ownership group to take advantage of available tax and utility company incentives. Lease payments to the facility are proposed to be lower than the utility costs. System EDGE Energy proposed to install a 769 kilowatt photovoltaic system using a combination of fixed‐tilt roof‐mounted arrays and solar powered parking shade structure arrays. Additional energy savings are accomplished by the installation of a water‐cooled chiller to replace the air‐cooled chiller presently in use. These systems will decrease the current energy use profile and provide an average 80% electric load displacement factor. The PV system will produce approximately 1,789,300 kilowatt hours per year. Status Project put on hold. NPO’s trying to figure out how to accommodate the project through the five NPO boards and the Maricopa County Supervisors.

BELL FORD AUTOMOTIVE, PHOENIX, AZ
Client Bell Ford Automotive North West Phoenix Dealership off of I‐17 in North West Phoenix, Arizona. Objective To shave peak loads for the dealership and help lower utility bills for the dealership. Finance Bell Road purchased and owns this system. System A Solar Electric 78 kW PV Array consisting of 418 Suntech Poly Crystalline 175 watt modules, a 75 kW PV Powered Inverter, and roof‐mounted on the Bell Ford Main Showroom building in Phoenix , Arizona. Status This system was designed, built and commissioned in April 2010.

PECOS RV & BOAT STORAGE, PHOENIX, AZ Client Pecos Storage is an RV and Boat storage facility located at East 32nd Street and East Pecos Road in Ahwatukee (Phoenix), Arizona. Objective To provide shade cover for client’s customers by installing Large Solar Carport parking structures for parking recreational vehicles and/or boats on site and to increase operating profits. Finance 1st Phase system owned by 3rd party Equity Group. Utility pays PBI’s and all net‐metered power back to the grid. System Developer EDGE Energy managed the design and installation of a 300 kilowatt (kW) solar electric PV power‐integrated roof‐top system, including the fabrication of large RV parking structures for the Pecos “Deluxe Storage Area.” The system, utilizing over 2000 NexPower Double Junction Amorphous Silicon 145 Wp modules, will displace many times the company’s electric load. All the excess energy will be sold back to the utility Salt River Project (SRP) over a 20 year period, along with the purchase of the project REC’s. Status 1st of two phases is pending financing approvals.

VICTORY PACKAGING, PHOENIX, AZ Client Victory Packaging, Phoenix, Arizona. Objective Partial displacement of utility power in client’s 153,000 West Phoe‐nix warehouse. Finance Client decided to purchase system directly based on financial model‐ing showing a robust Internal Rate of Return and short payback period. System Developer Solar Direct managed the installation of this 75 kilowatt (kW) solar electric PV power‐integrated roof‐top system for Victory’s warehouse facility. This system utilizes over 225 NexPower Double Junction Amorphous Silicon 145 Wp modules . Status System installed and commissioned during the 4th quarter, 2010.

Client Pacific Manufacturing, Phoenix, Arizona. Objective Displacement of approximately 60% of client utility load in client’s 21,000 square foot Downtown Phoenix manufacturing facility. Finance Client decided to purchase system directly based on financial model‐ing showing a robust Internal Rate of Return and short payback period. System Developer EDGE Energy managed the design and installation of this 25 kilowatt (kW) solar electric PV power‐integrated roof‐top thin‐film system. This system is powered by 180, 136 watt Uni‐Solar amorphous thin‐film lami‐nates. Each module is burnished directly to a new Cool Roof membrane roof that acts as a support structure for the solar laminates. Status System installed and commissioned during March, 2011.
