Government of Gujarat has setup Gujarat Council of Science City (GCSC) under the aegis ofDepartment of Science & Technology for developing Gujarat Science City project atAhmedabad. The Science City is working for promoting Science.

Management & Administration:

The Gujarat Council of Science City is headed by the Chief Secretary to the Government ofGujarat, as the Chairman & the Secretary Science & Technology Department functions asMember Secretary. The other Members of the Governing Body include Senior Officials of theGujarat Government, Scientists, Technocrats, etc from the renowned institutions. INSTRUCTIONS TO THE BIDDERS:

Down Loading of Tender document:

1. This being E-Tender, Tender document can be downloaded online fromfollowing websites by the interested Contractors /Agencies. Down loadedtender will form part of Technical bid and tenderer has to submit thisdownloaded tender document to Gujarat Council of Science City (Hereafter toreferred as GCSC) duly stamped and signed along with the Technical Bid. Bid Submissions:

2. This is a two bids tender which requires technical submission and financialoffer (online submission of the bids). The Financial offer of successful bidderwould be opened only if the bidder has qualified the Technical submissioncriteria.

Tender Fee:

3. Rs. 2,000/- (Rs. Two Thousand only) Non-Refundable in the form of Crossed DD /banker’s cheque in the name of Gujarat Council of Science City payable atAhmedabad.

The Earnest Money Deposit:

4. Rs. 1, 50, 000/- (Rs. One Lac Fifty Thousand only) is the Earnest Money Deposit(EMD) for this tender. Earnest Money mentioned above should be paid by CrossedDemand Draft / Bankers' Cheque in favour of Gujarat Council of Science City,payable at Ahmedabad. No interest is payable on the Earnest Money Deposit.

Method of submission of Tender Documents.

5. Tender Documents submitted without the requisite EMD and tender fee shall not beconsidered for evaluation and will be rejected out rightly. On acceptance of the tender,the Earnest Money will be treated as Security Deposit. 5% Retention money plus5% performance guarantee will be deducted from each monthly bill and will bereleased only after three months of expiry of the contract with out any interest.For other details, please go through the tender document carefully.

Method of submission of Tender Documents:-

1. The Contractor / Agency is required to submit the technical bid envelope and it shouldbe super scribed with Technical Bid. The name of the Contractor /Agency andaddress, Contact no. should also be mentioned on each envelope.

2. Cover No.1 Unconditional acceptance certificate of GCSC’s tenderconditions in its entirety duly signed by the Contractor / Agency as given on page No25. This acceptance letter shall be submitted in this sealed cover along with EarnestMoney and tender fee in the name of Gujarat Council of Science City in the form ofDD / Bankers’ Cheque payable at Ahmedabad.

3. Cover No.2 Technical bid will be put in this envelope, Super scribed asTechnical Bid (duly signed and stamped on each page by the tenderer). All supportingdocuments for the bid shall be placed in this cover.

4. Cover No.3 All the above envelopes should be put in the third largerenvelope which should be super scribed with – “E-Tender for Garden & Landscapemaintenance work at Gujarat Science City, Ahmedabad” along with the name,contact numbers and address of the Contractor /Agency. It should be sent throughspeed Post or Courier.

NO PRICE BID SHOULD BE PLACED IN ANY OF COVERS AS IT HAS TOBE FILLED ON LINE AS PER WEBSITE AND FORMAT OF n-Procure.

5. Corrections or over writing, if any, must be signed and stamped by the tenderer.

6. At the stipulated time of opening, cover No.1 shall be opened first. The offers fromthose tenderer’s who are unable to unconditionally accept GCSC’s tender conditionsor who fail to deposit the required E.M.D & Tender fee will be rejected and Cover No2 containing technical bid documents shall not be opened. The technical bid of all theContractor /Agency will be first opened and evaluated. The financial bid of onlytechnically qualified Contractor /Agency will be opened (on-line).

7. Once the tenderer has given unconditional acceptance certificate to GCSC’s tenderconditions in its entirety, they are not permitted to put any remarks/conditions (exceptunconditional rebate on quoted rates).

8. In case the conditions mentioned above are found violated after opening the Cover No2, the tender shall be summarily rejected. GCSC shall without prejudice to any otherremedy be at liberty to forfeit the full said earnest money absolutely.

PREQUALIFICATION CRITERIA:

2 Solvency Certificate and Single work order

Rs. 25 Lacs (Rupees Twenty Lacs) Solvency from specified bankand agency should submit single work order with completioncertificate amounting to not less than Rs. 50 lacs (Rupees FiftyLacs only) of reputed client within last 5 years.

3 Experience &certification

Company/Partnership registration certificate is essential criteria withExperience in Gardening works of similar nature of not less than 3years and should have all Gardening machineries and equipment oftheir own as per attached list in this document and well trained staffwith certification. (Supported by work orders).

4 Bringing of Machinery andequipment

Bidder shall bring all the Machinery and equipment as specified inthe tender within 7 days from the start of the contract date.

5 Criteria Bidders have to fulfil all the above criteria failing which they will bedisqualified. Decision of GCSC shall be final and binding on allconcerned.

6 Uniform and Identity- Cards

Complete workforce should be in proper uniform (Approved by theGCSC Authorities and wear I-Card during working hrs at ScienceCity. Any one not complying the order will be panelised as per thistender document.

2) Above mention quantity of pipes are tentative the actual quantity may vary as per the re-quirement

3) Above mention manpower have to be deployed by the agency with required tools for above mentioned work to each person at various pavilions, parking and other mentioned areas.

4) In case of different seasons the workman ship and manpower will be diverted to other work as per the requirement of work at the site.

5) Agency has to diploid the expert manpower for trimming/pruning and lawn cutting work so the proper procedure and shape of hedge, shrub and trees will be maintain.

6) Agency has to work as per the workman ship given in the Annexure-B and Annexure-D in which detailed scope of work is mentioned and which is strictly follow regularly failing of which will be liable to penalty as per penalty clause of this Tender.

7) Agency has to deploy total 70 labors (mali) and 2 Supervisor, total 72 persons manpower atthe site daily.

GENERAL CONDITIONSScope of Work:

GCSC requires carrying out various Landscaping and Maintenance of Gardens works byengaging “Contractor /Agency” for the Landscaping and maintenance of Gardens at Sciencecity site. The indicative schedule for work is given on page no. 35 of this tender document.

The Contractor /Agency shall carry out this work in areas as per square meter basis to GCSCat its site in Ahmedabad at the above address at page No.1. Following terms & conditionsare applicable for GCSC site.

Terms and conditions:

(1) The Agency / Contractor/ tenderer are advised to inspect and examine the site andsatisfy themselves about the nature of work before submitting their tender. Atenderer shall be deemed to have full knowledge of the site, whether they inspect ornot and no extra charges consequent on any misunderstanding or otherwise shall beallowed/paid.

(2) The Contractor / Agency has to make sure that He or some of his representative shallmeet the authorized person of GCSC taking in all the instructions from GCSCOfficials, submitting the daily activity report (Annexure – C), have knowledge ofplants, fertilizers and manure, knows horticultural works in detail, has an experienceof horticultural development and maintenance.

(3) The “Contractor /Agency” shall agree to engage and carry out maintenance worknecessary for the science city at various locations, under the directions of “GCSC”officials.

(4) The Contractor /Agency shall engage Supervisors / Mali / labours based on therequirements of “GCSC” on day-to-day basis as accepted by GCSC.

(5) The Contractor /Agency shall agree for the scrutiny of the Supervisors / Malis / laboursengaged by him for “GCSC” and engage only the staff acceptable to “GCSC” Thescrutiny may include police verification at the discretion of “GCSC”.

(6) The Contractor /Agency shall be responsible for the conduct and workmanship of the staffengaged by him. “GCSC” is entitled to take legal action, including termination ofcontract on account of omission, misconduct, negligence etc of the personnel engagedby him.

(7) The Contractor /Agency is responsible for the supervision of the work and adequacy foroutput by its staff and loss of material due to negligence and wilful wastage. The“Contractor /Agency” is liable for penalty in such cases.

(8) The Contractor /Agency shall be responsible for payment of the Supervisors / Malis /labours at regular intervals not exceeding a fortnight.

(9) The Contractor /Agency will have to maintain the Garden as per the given Workperformance schedule as Annexure –B (page no. 10-17) and for the same theagency have to provide necessary machineries, consumables & manpower (Totallabours/mali 70+2 supervisor =72 nos.) at the site. These maintenance jobs

include cutting of shrubs and stooping branches of trees, lawn mowing, weeding,pesticide spray, watering, cleaning of garden waste and soil working etc.

(10) Agency will have to deploy two persons as a supervisor (compulsory) and fixmanpower pavilion/Area wise as mentioned in Annexure-B to achieve workperformance at the site.

(11) Supervisors as defined shall have to remain present at GCSC site throughoutthe day. If the Supervisor/s is/are not present at the site, GCSC shall deduct Rs.500 per Supervisor and Rs.100 per labour per day separately.

(12) Agency has to provide one Tractor with trolley on daily basis and one watertanker for four months during Summer & as & when required at the site and therequired fuel and other repairing charges will not be provided by the GCSC.

(13) There should be dedicated workers on each site/area of GCSC, who will be fullyresponsible for above mentioned maintenance job of that area.

(14) All days are working days including holidays & Sundays. In case of specialoccasion/program in the campus on Sundays, agency shall maintain the staff asdirected by GCSC. In case of programme or extra work and during festivalslike Diwali, the agency has to deploy 20% more labours at the site as perrequirement.

(15) Agency has to maintain Compost Pit for preparation of Fertilizer at the Site andagency has to dump all the Garden wastes & debris collected from the site and dumpthe same to the Compost Pit as directed by the GCSC officials.

(16) The work force provided by the Contractor /Agency shall have to be properly dressedin uniform and shoes / chapels authorised by the agency at all the time when workingwithin GCSC. The colour code of the uniform has to be approved by GCSC. Inabsence of the uniform the labours / worker of the agency shall not be allowed toenter in the GCSC site. (Should be strictly followed)

(17) The Contractor /Agency shall take full responsibility for the strict adherence of safetyregulations by the staff and agrees to pay any liabilities that may arise under theprovision of workman compensation Act 1923 or under any other applicable laws.The Contractor /Agency shall not claim any compensation on this account formGCSC.

(18) The tender for work shall remain open for acceptance for a period of 90 days fromthe date of opening of tenders or as decided by GCSC. If any tenderer withdraws histender before the said period or makes any modification in the terms and conditionsof tender, which are not acceptable to GCSC. GCSC shall without prejudice to anyother right or remedy shall forfeit full or part of the earnest money.

(19) Contractor /Agency should have had average annual turn over of Gardening worksminimum of Rs. 1 (One) Crore in any three years of last five years ending 31st

March, 2016.

(20) Contractor/ Agnecy shall submit Valid Bank Solvency certificate @ Rs. 25 Lacsissued by nationalized bank.

(21) The notice of tender shall form part of the contract document. The successfultenderer or Contractor /Agency on acceptance of his tender by accepting authorityshall within 15 days from the stipulated date of start of the work sign the contractagreement consisting of Notice Inviting tenders, General conditions of the contract asissued at the time of invitation of tender and acceptance thereof together with anycorrespondence thereto and this tender document.

(22) The contract agreement shall be executed on a non-judicial stamp paper ofappropriate value and the cost of the same shall be borne by the Contractor /Agency.

(23) The Contractor /Agency shall be responsible for settling any claim/compensationagainst all damages and accidents caused due to negligence on the part of hisemployees and keep GCSC indemnified from any compensation / liability.

(24) Any other tax, if any, in respect of this contract shall be payable by the Contractor/Agency and GCSC will not entertain any claim whatsoever in this respect. TDS asper rules of Income tax shall be deducted from the bill paid to the agency.

(25) Sub-Contracting is not being permitted at all.

(26) The successful tenderer must submit copy of the labour license from Asst. LabourCommissioner with in seven days from the date of issue of work order / Award letter.

(27) Work shall commence from the 7th day after the date from the date of issuing writtenorders to commence work or from the date of handing over of site whichever is later.If the Contractor /Agency commit default in commencing the work as aforesaid,GCSC shall without prejudice to any other right or remedy is at liberty to forfeit theearnest money absolutely or fine the agency at its discretion.

(28) If any information furnished by the applicant is found incorrect at a later stage,contractor / agency shall be liable to be debarred from tendering/taking up of work inScience City. Science City reserves the right to verify the particulars furnished by theapplicant independently.

(29) Canvassing in connection with tenders is strictly prohibited and the tenders submittedby the tenderer who resort to canvassing will be rejected.

(30) The Management will not have any employee – employer relations with workersengaged by the Contractor.

(31) Completion / Performance Certificate issued by an Officer not below the rank ofExecutive Engineer / Senior Manager or an Equivalent Officer and all otherparticulars as sought in the notice inviting tender as per press notification shall bepart of the contract.

(32) Contractor /Agency should have valid registration and licenses with all concernedLabour Authorities and also have valid ESI & PF registration. Proof of up to dateremittances to ESI & PF to Authorities should be produced with monthly bill of theagency.

(33) The Contractor /Agency shall comply with various labour laws such as contractlabour (Regulation and Abolition) Act 1970, Employees (Provident fund and othermiscellaneous deposits) Provisions Act 1952, Maternity benefit Act 1961, Minimumwages Act 1948, Payment of Bonus Act 1965, Payment of Gratuity Act 1972,Payment of wages Act 1936, Public liability insurance Act1991, Workman’sCompensation Act 1923 and such other laws as may be applicable form time to time.Moreover Contractor /Agency shall comply with payment of wages Act and shall beresponsible for payment of wages to worker in presence of authorized person ofGCSC. Contractor /Agency will obtain signature of each personnel in a salary /payment statement and shall submit the same to GCSC. In case of default GCSC canrecover such short payment to workers.

(34) Contractor /Agency shall file return of provident fund under the provision of theemployees (Provident fund and miscellaneous) Provident Act 1952 and rules thereunder. The Contractor /Agency will deduct the contribution of employee andemployers and also deposit the same with the competent authority. Contractor/Agency will submit a copy of challan evidencing the payment made to thecompetent authority. Contractor /Agency also agree to provide necessary recordsmaintained by him to the GCSC as and when required.

(35) The Contractor/Agency is responsible if any court case is launched for paymentunder Minimum wages act for any matter. On execution of contract, labour licenceshall have to be obtained.

(36) The Contractor /Agency is responsible for the compliance of income tax Act 1962and rules made hereunder, as may be applicable while making payment toSupervisors / Mali / labours engaged as per this agreement.

(37) It is compulsory for Contractor /Agency to provide, maintain and replenish necessarytools, tackles and accessories including equipment and their spares, including GardenHose Pipes, Lawn Mowers, necessary pumps and all garden tools, tackles etc. asrequired for the day-to-day working. In case of theft or any kind of loss; GCSCwould not be responsible for the same. The list of tools and equipment, to be kept /made available at site are as follows: The indicative list is tentatively made. Agencyshall deploy more nos. if required at site as per the actual requirement.

(38) The Contractor /Agency shall withdraw all staff engaged under this contract on expiry /termination of the contract. GCSC shall not accept any responsibility including theiremployment thereafter.

(39) In case of unsatisfactory work progress, GCSC may execute the work through any otherContractor /Agency or get the work done departmentally at the risk and cost of theContractor /Agency. GCSC shall also impose Penalty after observing the site whichis unmaintained.

(40) GCSC is entitled to extend the contract for a period of two months from the date of expiryof the contract or till the new agency is appointed by GCSC, without any changes inthe terms and conditions. Agency has to continue the work under this clause.

(41) The Contractor /Agency shall agree and undertake to take responsibility of Supervisors /Mali / labours for injury or disease or snake bite that may be suffered by themduring course of their duty with GCSC.

(42) GCSC is authorised to adjust from Contractor /Agency’s dues in case of violation ofterms and conditions of this contract or violation of any statutory Act and / orenactment, regulations notifications, clarification issued by the competent authorityform time to time. In case Contractor does not make payment to labours, GCSC maymake direct payment as appropriate such payments from dues of Contractors.

(43) The Contractor /Agency shall agree that necessary registers and records maintained underlabour laws will be handed over to GCSC upon completion / termination of thiscontract.

(44) The Contractor /Agency shall not sub-let or assign the contract whether partly or fully toany other party. GCSC is entitled to cancel this contract in case of violation of thisclause.

(45) GCSC reserves the right to distribute the work among several Contractor /Agency, ifrequired.

(46) Water and Electricity shall be provided by GCSC at source. Distribution shall be entirelyunder the scope of Contractor /Agency that includes all necessary arrangements forthe same.

(47) GCSC shall not be responsible for the quantity & quality of the water available at site. Inthe event of unacceptable quality of water for landscaping, insufficiency or non-availability of water at site, the Contractor /Agency shall arrange for delivery ofwater from external water suppliers with prior approval from GCSC. Further GCSChas three bore wells; The Agency needs to get empty water tanker from outside, getit filled inside and distribute the same. Distribution of the water is the responsibilityof the Contractor /Agency. In case of failure of the bore wells the Agency needs toinform GCSC in writing within one hour. If GCSC fails to repair the same, theAgency needs to repair the same with prior approval from GCSC. The cost for thesame shall be reimbursed by GCSC. The Contractor /Agency needs to make surethat watering are done to the soft landscape by all means. The cost for the use ofwater tanker will be reimbursed by GCSC but provided a prior approval of GCSCwas obtained before procurement of water tanker.

(48) Contractor /Agency shall take all necessary precautions to prevent or eradicate any outbreak of disease or insect attack. However the required pesticides etc shall beprocured by you; with prior intimation / permission of GCSC. The same shall bepaid by GCSC and applied by you at no extra cost.

(49) Any damage to lawn or the plants due to construction activities, negligence of otherContractor /Agency, the same shall be brought in notice of GCSC in writing notlater than 6 hours of the incidence.

(50) Disposal of surplus material should be removed to the destination and disposed asdirected. The disposal of material can be in any of the following ways as directed byGCSC officers. No dumping within hexagons shall be permitted. GCSC shallpenalize for such dumping of cut grass and other waste of leaves/soil etc that is

defined to be garden waste at rate certified by GCSC. Such waste shall be disposedat lead up to 1.5 KM from the site as directed by GCSC.

(a) Filling in low-lying areas with approval of GCSC.

(b) Filling in at place of filling such as mounds, ground cover etc if directed byGCSC.

(c) Staking of material in pre designated staking yard.

(d) Removal of material outside the plot for disposal at the discretion of theContractor /Agency.

(51) The Contractor /Agency undertaking the work is expected to visit the site and satisfyhimself with the conditions that are prevailing regarding approach to site, soilcondition, water source and its location etc. before submission of their bid. TheOwner on the basis for any claim for compensation will not accept ignorance of siteconditions.

(52) All Plants shall be supplied by GCSC. The maintenance for the same shall be theresponsibility of the Contractor /Agency. The Contractor /Agency has to make surethe plants remain in good condition. Any kind of negligence by the Contractor/Agency would not be acceptable to GCSC. All damage to plants, because ofnegligence of the Contractor /Agency, penalty at the rate of 20%, shall be imposedto the Contractor /Agency, until the Contractor /Agency has made good the loss ofthe plants by replacing the same of same age and health.

(53) Site Office Stores, Etc,: Contractor /Agency shall make his own administrativearrangement for the work. GCSC may allow certain site facilities to theContractor /Agency. The Contractor /Agency shall dismantle and remove from siteall such temporary structure on the completion of the contract.

(54) Gujarat Council of Science City (GCSC) reserves the right to accept /reject any or allapplications without assigning any reasons, as also ordering part of work as per theirsole discretion.

(55) Jurisdiction of this contract shall be the competent court at Ahmedabad, Gujarat Only.

WHERE AS

1. The Agency has offered to execute the work of Landscape maintenances at Science

City Via Sola Under bridge, Sola Santej Road, Off Sarkhej Gandhinagar Highway,Ahmedabad, for GCSC and GCSC has accepted its tendered offer for the execution ofthe above mentioned Works.

2. GCSC desires to obtain the services of the Agency more specifically stated in theTender Documents from the Agency.

3. The Agency is engaged in the business of Landscape maintenances and as such hasthe experience in providing the aforesaid services.

4. The parties are desirous of recording the terms and conditions of the appointment ofthe Agency and the performance of various obligation of the Agency in terms of thisAgreement.

Now this Agreement entered into between the parties hereto witnessed as follows:

1. In this Agreement, words and expressions as agreed have the same meanings as arerespectively assigned to them under the general conditions of the contract.

2. The following documents have to be deemed to form an integral part of thisAgreement and to be construed as part of this Agreement. All the documents mentioned hereunder have to be read cumulatively in order toascertain the entire provisions, terms and conditions of this Agreement.

The documents are as follows:-

(i) Notice inviting Tender and Instructions to Tenderers(ii) General & special conditions of contract(iii) Technical specifications(iv) Acceptance of works in accordance with the Form of acceptance(v) Bill of quantities(vi) Performance & Guarantee bond(vii) Work order by GCSC no……….dated……..(viii) Exchange of letters & written correspondence

Now withstanding anything contained in this contract or other document, if any deviations orinconsistency, with or repugnant to the provisions contained in above documents has agreedbe deemed to be amended to the extent required to bring it to the compliance of statutoryprovisions & the provision or clause mentioned in the latest document and as agreed to befinal & acceptable.

Now it is hereby agreed between the parties as under:

SCOPE OF WORK:

The detailed scope of work as agreed to be as specified in the Tender Document and has to bestrictly abide by the specifications mentioned therein and as informed / directed by GCSCfrom time to time during the course of execution. The areas of landscape as agreed are handedover to the Agency by GCSC. The detail specification for workmanship shall be as perAnnexure A; forming part of the contract.

CONTRACT RATE:

The Maintenance rate, as agreed to be and as specified in the Letter of Intent, shall beRs. ............................../- Square meter per Month (Rupees …………………. Only). Totalarea of Landscape maintenance is 76,872 square meter, so the Contract cost per month is Rs................................./- Square meter per Month (Rupees …………………. Only). The ratesare inclusive of all expenses incurred towards all material, labour, tools and tackles,equipment, services, supervision, replacement of all dead plants by your negligence, all

applicable taxes and management required for the maintenances of the awarded works, as perthe tender document.

The Agency has to quote their rates including all type of taxes (Service tax & othertaxes). GCSC will not pay any type of taxes in monthly bill submitted by the agency.

PENALTY: It shall be applied by following method. The amount of deduction from thepayable monthly bill shall be greater of following two amounts.

(a) If the presence of labourers is less than the stipulated number as defined in thisdocument at site (as per the Annexure A), GCSC shall deduct an amount of Rs.200/- per labour per day towards such absence.

Or

(b) Deduction in the payment shall be made on the basis of unmaintained area bythe contractor at site as defined/certified by GCSC. Such areas shall be measuredand deducted from the payable monthly amount at the tender rates.

VALIDITY OF TENDER:

(a) All the bids shall be valid for acceptance without any change in prices and ratesfor a period of 90 days from the date of submission of bids.

(b) Owner reserves the right to accept or reject any bid without assigning anyreasons whatsoever.

(c) The Owner is not bound to accept the lowest bid.

(d) The Tender is valid for one year from the date of award of work. The same maybe renewed if found fit by GCSC. The Contractor /Agency has to put arequisition for its renewal two months prior to its expiry date. GCSC reservesthe right to renew the same on same terms and conditions.

TERMINATION:

GCSC reserves the right to terminate the contract any time during the currency of the contractby giving one month notice, without assigning any reason.

THIRD PARTY INSPECTION:

GCSC shall have right to undertake, at its own cost, continuous Third Party Inspection duringthe work and up to the completion of the contract works, and the Contractor shall take allnecessary corrective measures as may be instructed by GCSC.

DEFECT LIABILITY:

The Contractor would be responsible to correct the defects found, if any, within TwelveMonths from the date of virtual completion as certified by the GCSC.

RIGHTS OF GCSC:

1. GCSC reserves the right to delete or postpone or include any of the item(s) from thecontractor’s scope of work at any stage without any consequential liabilities. Further,for any reasons, if required, GCSC can get it executed by any otheragency/organization and the contractor shall not claim for any compensation for thesame.

2. GCSC also reserves right to recover loss of revenue due to defects in execution ofworks by the contractor.

MEASUREMENT OF WORK

GCSC shall pay to the contractor on Sq. Meter basis of work done by the contractor. Theareas not taken care of or with poor workmanship shall be deducted from the payable sum atthe tender rates. The decision of Executive Director shall be final and binding to all. Themeasurement shall be on Sq. M. basis as per BOQ.

CONTRACT PERIOD

The Contract will be for a period of one year from the date of award of work. However, thesame can be extended by further period, if satisfactory work is found, on the same terms andconditions with mutual agreement between GCSC and the contractor, on yearly basis up tothree years.

WORKFORCE

1 The contractor shall provide well-trained, disciplined, honest and sincere workforce,which shall be maintained throughout the contract period. The Contractor shall make asite visit and satisfy himself regarding the requirements of work. No additionalpayments will be made if Contractor needs to increase the workforce, equipment,material at a later stage to meet the requirements of the work.

2 The contractor shall ensure that the supervisors and labours are all mentally stable,youthful and are able to communicate properly. They should possess good etiquettesand shall not pose any hazard to the general public.

3 The supervisor shall have to be experienced, competent and authorized by the contractorto take decisions, which are mutually agreeable at site. Such supervisor shall be deemedto have full authority of the contractor and any instructions given to him by the ownershall be deemed to have been given to the contractor. The supervisor should be easilyaccessible at all times at site and should have a mobile phone in person at all times.

4 The supervisor shall intimate the owner immediately in case of defects, irregularities, orcomplaints, in case noticed during the cleaning operations. The supervisor shallimmediately report to the GCSC of any unusual event.

5 The Contractor, may, at his own cost and responsibility, consider increasing hisworkforce, equipment, material for working in order to meet the requirements of thework. Contractor has to ensure presence of adequate Workforce to carry out the taskeffectively to the satisfaction of the owner.

6 The contractor shall be solely responsible for the behaviour and honesty of itsworkforce, since the public shall, in no way, be affected because of the same.

7 The GCSC reserves the right to ask for the replacement of the personnel not found fitenough for the want of discipline, honesty, sincerity or quality. The same shall have tobe replaced by the contractor without any extra cost to the owner.

8 The work force provided by the contractor shall have to be properly dressed in uniformand shoes, all the time. Each person provided by the contractor shall have to display theIdentity Card on the uniform, with photo. Each person provided by the contractor shallhave to obtain a Police Verification certificate, before the identity card is issued by thecontractor.

TERMINATION OF CONTRACT

1 The Contract shall stand terminated at the end of the Contract period as specified, unlessextended by the owner in writing.

2 GCSC can terminate the Contract by giving prior written Notice of 30 days.

3 Not withstanding the above provision, the Contract is also subject to Termination by theowner without giving any advanced notice on account of continuation of Deficiency ofService by the Contractor or any other default of the Contractor.

EMPLOYER ENTITLED TO RECOVER COMPENSATION PAID TO WORKMEN

If, for any reason, the Employer is obliged, by the virtue of the provision of the Workmen’sCompensation Act, 1923, or any Statutory modification or re-enactment thereof to paycompensation to a workman employed by the Contractor in execution of the works, theEmployer shall be entitled to recover from the Contractor the amount of compensation sopaid, and without prejudice to the rights of the employer, under the said Act. The employershall be at liberty to receive such amount or any part thereof by deducting or from theSecurity Deposit or from any sum due to the Contractor under this contract or otherwise. TheEmployer it under the said Act, except on the written request of the Contractor and upon hisgiving to the Employer full security to the satisfaction of the Employer for all costs for whichthe Employer might become liable in consequence of contesting such claim.

RIGHTS OF EMPLOYER TO TERMINATE CONTRACT IN EVENT OF DEATH OF CONTRACTOR IF INDIVIDUAL: -

Without prejudice to any of the rights or remedies under this contract, if the Contractor, beingan individual dies, the Employer shall have the option of terminating the Contract withoutincurring any liability for such termination.

ARBITRATION:

Any dispute arising out of this contract shall be referred to arbitration tribunal as mentionedbelow.

Settlement of disputes by arbitration: -

(1) Disputes to be referred to Tribunal :

The disputes relating to this contract, so far as they relate to any of the matter of this tender,Whether such disputes arise during the progress of the work or after the completion orabandonment thereof, shall be referred to the Arbitration Tribunal, Gujarat State.

(2) The provision of Section-21 of the GPWD dispute Arbi. Tribunal Act –92 & order issuedby the Govt. in connection with this Act will now apply for Arbitration. (As per Governmentin N. & W.R.D. letter No. SUT/1090/2679/K2 dtd. 9/2/94)

(3) The provision of Arbitration Act .,shall in so far as they are inconsistent with theprovision of this act cease of to apply to any dispute arising from a works contract and allarbitration proceedings in relation to such dispute before an arbitrator, court of authority shallstand transferred to the Tribunal.

(4) The awards declared by the arbitrator should be speaking award, giving reasons andcalculations for every item of claims. The decision will have to be implemented by all thedepartments of the State Government and Public Sector Enterprises of Gujarat. (ResolutionF. D. No. PB/1088/735/KT/Sachivalaya/Gandhinagar 5th October 1988.)

(5) Incase of dispute leading to the contractor or Government of Gujarat approaching to Courtof Law, it shall be within the jurisdiction where the site of work is situated.

(6) The reference to arbitration proceeding under this clause shall not

(i) Affect the right of both the parties under the contract to take possession of allor any tools plants materials and stores in or upon the works of site thereof belonging to thecontractor or procured by him and intended to be used for the execution of the work or anypart thereof.

(ii) Preclude the Engineer-in-charge from utilizing the materials purchased by thecontractor in any work or from removing such materials to other places, during the period thework is stopped or suspended in pursuance of notice given to the contractor.

(iii) Entitle the contractor to stop the progress of the work or the carrying out theadditional or altered work in accordance with the provisions of clause 14.

RIGHTS OF TECHNICAL SCRUTINY OF FINAL BILL: -

The Employer shall have right to cause a technical examination of the works and the final billof the Contractor including all supporting vouchers abstracts, etc., to be made at the time ofpayment of the final bill. If as a result of this examination or otherwise any sum is found tohave been overpaid or over certified, it shall be lawful for the Employer to recover the same.GCSC shall carry out third party inspection of the final bill.

FORCE MEJAURE:

This contract shall be subject to force majeure events such as riots (otherwise than in amongcontractors, labour/employees) and civil commotions (in so far as both these are uninsurable),wars (whether declared or not), invasions, act of foreign enemies, hostilities, civil warrebellion, insurrection, military or usurped power, any act of governments, damage fromaircrafts, acts of God such as earthquake, Lightening, drought & unprecedented floods andother causes over which the contractor has no control and accepted as such by GCSC.

JURISDICTION:

The jurisdiction for this contract will be the competent court at Ahmedabad, Gujarat only.In witness thereof the parties have here to set their respective hands and seal the day and year firsthere in above mentioned.

SPECIFICATION FOR WORKMANSHIP

Maintenance should include pesticide spraying, regular watering, trimming, shaping, grasscutting and keeping the area clean in all aspects and to the satisfaction of the GCSC. Duringthe summers the soil is to be mulched on top with straw and leaves to retain the humidity ofthe soil, for all kinds of lawns, tree pits, shrub beds etc. In case of all shade loving plantsarrangement for shade, till the tree grow to form a canopy, using 50% shade green net to bemounted on poles. Plant is to be staked with a strong bamboo stake of size 2" dia to hold theplant straight against wind and size of stake should be bigger by 2' more than the plant height.

THE SCOPE OF WORK FOR MAINTENANCES INCLUDES (Annexure-E)

(a) Watering the lawn and plants.(b) Maintenance of the Lawn (cutting at regular interval, rolling with roller,

keeping weed free, ensuring the lawn without any patches and withoutweeds).

(c) Maintenance of the Planted Shrubs and Trees in the ground.(d) Maintenance of the Potted plants in Earthen Pots and Polybags.(e) Maintenance of the plants inside the pool area.(f) Application of pesticides etc. to prevent or eradicate any outbreak of disease

or insect attack.(g) Application of manures, fertilizers etc. to ensure healthy growth of plants.(h) Adequate protection to existing landscaped areas and safety of the plants.(i) Keeping all paved surfaces used by you in a clean and tidy condition. The

area between road dividers (central area over precast covers) shall beresponsibility of garden contractor to keep it clean all time.

(j) Removing all surplus excavations and debris produced by your operations atsite.

(1) Maintenance Of Lawn Areas

1.1 The Contractor /Agency shall mow all lawn areas using approved cuttingequipment to maintain a close sword to a height of 30 mm for all grass type.Mowing shall be carried out weekly except in dry weather and grass shall notbe allowed to flower between cuts.

1.2 All grass areas are to be watered during dry weather, as often it is required tokeep the grass green and soil moist. The Contractor /Agency shall providehoses / sprinklers for use from water points provided by us. In each winterseason, lawn must be dressed with good earth and manure mixture in specifiedproportion (25 mm over the surface)

1.3 Chemical fertilizer, etc. Urea must be sprinkled over the lawn area regularlywhen directed / desired.

(2) Maintenance Of Planted Areas – Trees, Shrubs And Ground Covers

2.1 The Contractor /Agency shall water all trees, shrubs, ground cover and otherplanting areas as often as necessary to keep the ground mist all around and to

the full depth of the roots of the plants. Watering should be done everyday andsoil working shall be done twice a week.

2.2 Water shall be applied using an approved hose or sprinkler so as not to causecompaction or washouts of the soil or loosening of plants.

2.3 All plant beds to be kept in a weed free condition with a weeding operationonce a month. The Contractor /Agency shall remove all the weeds, stones andrubbish collected from this operation from the site.

2.4 After weeding, the soil surface is to be lightly broken up between plants usinga pronged fork at least once a month, taking care not to disturb the rootsystems.

2.5 All shrubs and ground cover has to be pruned as and when required during themaintenance period to promote bushy growth and good floweringcharacteristics.

2.6 Selective pruning of flowering plants shall be done where special floweringcharacteristics are required and experienced workers must do this operation.

2.7 The Contractor /Agency shall allow for regular fertilizer operation. Onlyapproved slow release fertilizer / organic fertilizer shall be applied as per therequirement of different plants.

2.8 The Contractor /Agency shall make regular checks to ensure that the plantmaterial is insect, pest and fungus free. No pesticides may be used unlessprior approval is taken.

(3) Maintenance of Hedges Hedge is to be maintained at a proper height andcleaning of hedge bed is necessary every month. During rainy and winter season,manure is to be poured into hedge beds. Regular and necessary clipping is needed asand when required.

(4) Replacement Planting If during the course of the maintenance period trees orshrubs or other plants die because of the negligence by the Contractor /Agency, theContractor /Agency shall replace the plants at no cost to the Owner.

(5) Preparation Of Seasonal Beds Before the onset of each seasons, thebeds shall be prepared, seeds, as provided by GCSC planted, proper shade area madewith agronet and dry grasses, watered twice everyday and finally saplings transferredto respective gardens / places as instructed by GCSC and maintained by applyingproper fertilizer, watering, etc.

(6) Nursery Upkeepment The existing nursery is required to be maintainedproperly by watering the same, weeding, shifting of bags every two weeks, change ofbags from smaller bags to bigger bags, as provided by GCSC, cleanliness of thenursery area. You shall also be required to assist GCSC in the development of anynew nursery by all means.

(7) Final Handover

7.1 Two weeks before the end of the maintenance period, a joint inspection shallbe held to review the requirements for alteration or replacement in order togain approval for final handover.

7.2 At the time of final inspection, all areas under the Contractor /Agency shallbe free of weeds, neatly cultivated and raked and all plants shall be in goodorder. Grass shall be neatly cut and all clipping removed. No bare patch ofearth shall be visible in turf or planting areas unless specified (e.g., Ringsaround tree trunks).

(B) Similar Clients handling experience details:

(i) List of reputed Clients (clients from similar background, public places/ publicparks, Institutions, Industries etc.)

(ii) Completion / performance certificate issued by Govt./Semi govt./Reputedclients mentioning nature of work, value of contract, start and completion date.
