    ARTICLE INAME AND OFFICE1The name of this Fellowship shall be PHILIPPINES GENERAL COUNCIL OF THE ASSEMBLIES OF2

    GOD, INC.3

    The principal office of the corporation shall be located in Metro Manila, Philippines.4ARTICLE IINATURE5

    The Philippines General Council of the Assemblies of God, Inc. is a national movement of6

    Pentecostal churches and credentialed ministers who voluntarily enter into mutual agreement to form a7

    cooperative fellowship based upon the values of unity and Christian love. This movement shall express8

    its cooperation9

    ARTICLE III - STATEMENT OF PURPOSE 10

    The purposes for which the corporation is formed are those set forth in the Articles of11

    Incorporation, and as impliedly set forth in the following statements:12

    That it is the express purpose of God, our heavenly Father, to call out of the world a saved13

    people, who shall constitute the body or church of Jesus Christ, built and established upon the14

    foundation of the apostles and prophets, Jesus Christ Himself being the chief cornerstone.15

    That the members of the body, the church (ecclesia) of Jesus Christ, are enjoined to assemble16

    themselves for worship, fellowship, counsel, and instruction in the Word of God, the work of the17

    ministry and for the exercise of those spiritual gifts and offices provided for New Testament Church18

    order.19

    That it is evident that the early apostolic churches came together in fellowship as a20

    representative body of saved, Spirit-filled believers, who ordained and sent out evangelists and21

    missionaries and who, under the supervision of the Holy Spirit, set over the church, pastors and22

    teachers.23

    That the priority reason-for-being of the Philippine General Council of the Assemblies of God,24

    Inc. (PGCAG) is to be an agency of God for evangelizing the world, to be a corporate body in which man25

    may worship God, and to be a channel of Gods purpose to build a body of saints being perfected in the26

    image of His Son.27

    That the Philippines General Council of the Assemblies of God, Inc. (PGCAG) exists expressly to28

    give continuing emphasis to this reason-for-being in the New Testament apostolic pattern by teaching29

    and encouraging believers to be baptized in the Holy Spirit with accompanying supernatural signs,30

    adding necessary dimension to worshipful relationship with God, and enabling them to respond to the31

    full working of the Holy Spirit in expression of fruit and gifts and ministries as in New Testament times32

    for the edifying of the Body of Christ.33

    That the Philippine General Council of the Assemblies of God, Inc. (PGCAG) is a body of34

    Pentecostal, Spirit-baptized saints from local Pentecostal congregations and churches of like precious35

    faith throughout the Republic of the Philippines and foreign lands to be known as the Philippines36

    General Council of the Assemblies of God, Inc. whose purpose is neither to usurp authority over the37

    various local Assemblies, nor to deprive them of their scriptural and local rights and privileges but to38

    lead, supervise and give direction over them; to recognize and promote scriptural methods and order of1

    worship, unity, fellowship, work and business for God; and to disapprove unscriptural methods,2

    doctrines and conduct, endeavoring to keep the unity of the Spirit in the bond of peace Till we all3

    come in the unity of faith, and of the knowledge of the Son of God, until a perfect man, until the4

    measure of the stature of the fullness of Christ (Ephesians 4:3,13). (Add a statement on Church5

    planting)6

    ARTICLE IVPREROGATIVES7

    1. To encourage and promote the worship God.8

    2. To encourage and promote the evangelization of the Philippines and the world.9

    3. To encourage and promote the edification of the believers.10

    4. To provide a basis of fellowship among Christians of like precious faith.11

    5. To respond to human need with ministries of compassion.12

    6. To approve scriptural teachings and practices; and to disapprove unscriptural teachings and practices.13

    7. To establish and maintain such departments or ministries and institutions as may be necessary for the14

    propagation of the gospel of Jesus Christ and the work of this Pentecostal fellowship.15

    8. To govern itself according to the rules set forth in the constitution and bylaws of this corporation.169. To have the right to own, hold in trust, use, sell, convey, mortgage, lease or otherwise dispose of such17

    property, real or chattel, as may be needed for the propagation of its work.18

    ARTICLE V - PRINCIPLES FOR FELLOWSHIP19

    The Philippines General Council of the Assemblies of God, Inc. shall represent as nearly as20

    possible in detail, the Body of Christ as described in the New Testament. It shall recognize the principles21

    inherent in the Body as also inherent in this Fellowship, particularly the principles of unity, cooperation22

    and equality. It recognizes that these principles will enable it to achieve its priority reason-for-being as23

    an agency of God, and as channel of Gods purpose to build a body of saints being perfected in the24

    image of His Son, and to be a people who demonstrate Gods love and compassion for the entire world.25

    ARTICLE VI - STATEMENT OF FUNDAMENTAL DOCTRINES

    The Bible is our all sufficient rule for faith and practice. This Statement of Fundamental Truths is26

    intended simply as a basis of fellowship among us (i.e.; that we all speak the same thing, 1 Corinthians27

    1:10 ; Acts 2:42). The phraseology employed in this Statement is not inspired or contended for, but the28

    truth set forth is held to be essential to a full Gospel ministry. No claim is made that it contains all29

    Biblical truth, only that it covers our need as to these Fundamental Doctrines.30

    1. THE SCRIPTURES INSPIRED.31

    The Scriptures both the Old and New Testaments are verbally inspired of God and are the revelation of32

    God to man, the infallible, authoritative rule of faith and conduct (2 Timothy 3:15-17 ; 1 Thessalonians33

    2:13 ; 2 Peter 1:21).34

    2. THE ONE TRUE GOD.35

    The one true God has revealed Himself as the eternally self-existent I AM, the Creatorof heaven and36

    earth and the Redeemer of mankind. He has further revealed Himself as embodying the principles of37

    relationship and association as Father, Son, and Holy Spirit (Deuteronomy 6:4 ; Isaiah 43:10,11; Matthew1

    28:19 ; Luke 3:22).2

    THE ADORABLE GODHEAD3

    a. Terms defined4

    The terms Trinity and Persons as related to the Godhead, while not found in the Scriptures,5are words in harmony with Scripture, whereby we may convey to others our immediate6

    understanding of the doctrine of Christ respecting the Being of God, as distinguish from gods7

    many and lords many. We, therefore, may speak with propriety of the Lord our God, who is8

    One Lord, as Trinity or as one Being of three persons, and still be absolutely scriptural9

    (examples, Matthew 28:19 ; 2 Corinthians 13:14 ; John 14:16,17).10

    b. Distinction and Relationship in the Godhead11

    Christ taught a distinction of Persons in the Godhead which He expressed in specific terms of12

    relationship, as Father, Son, and Holy Spirit, but that this distinction and relationship, as to its13

    mode is inscrutable and incomprehensible, because unexplained (Luke 1:35 ; 1 Corinthians 1:24;14

    Matthew 11:25-27 ; 28:19 ; 2 Corinthians 13:14 ; John 1:3,4).15

    c. Unity of the One Being of Father, Son, and Holy Spirit16

    Accordingly, therefore, there is that in the Father which constitutes Him the Father and not the17

    Son; there is that in the Son which constitutes Him the Son and not the Father; and there is that18

    in the Holy Spirit which constitutes Him the Holy Spirit and not either the Father or the Son.19

    Wherefore, the Father is the Begetter; the Son is the Begotten; and the Holy Spirit is the One20

    proceeding from the Father and the Son. Therefore, because these three Persons in the21

    Godhead are in a state of unity, there is but one Lord God Almighty and His name one (John22

    1:18; 15:26 ; 17:11,21 ; Zechariah 14:9).23

    d. Identity and Cooperation in the Godhead24

    The Father, the Son, and the Holy Spirit are never identical as to Person; nor confused as to25relation; nor divided in respect to the Godhead; nor opposed as to cooperation. The Son is in the26

    Father and the Father is in the Son, as to relationship. The Son is with the Father and the Father27

    is with the Son, as to fellowship. The Father is not from the Son, but the Son is from the Father,28

    as to authority. The Holy Spirit is from the Father and the Son proceeding, as to nature,29

    relationship, cooperation, and authority. Hence, no Person in the Godhead either exists or30

    works separately or independently of the others (John 5:17-30, 32, 37 ; 8:17,18).31

    e. The Title, Lord Jesus Christ32

    The appellation Lord Jesus Christ is a proper name. It is never applied in the New Testament33

    either to the Father or to the Holy Spirit. It therefore belongs exclusively to the Son of God34

    (Romans 1:1-3,7 ; 2 John 3).35

    f. The Lord Jesus Christ, God With Us36

    The Lord Jesus Christ, as to His divine and eternal nature, is the proper and only Begotten of the37

    Father, but as to His human nature, He is the proper Son of Man. He is, therefore, acknowledged38

    to be both God and Man; who because He is God and Man, is Immanuel, God with us39

    (Matthew 1:23 ; 1 John 4:2, 10, 14 ; Revelation 1:13, 17).40

    g. The Title, Son of God1

    Since the name Immanuel embraces both God and Man, in the one Person, our Lord Jesus2

    Christ, it follows that the title Son of God describes His proper deity, and the title Son of Man,3

    His proper humanity. Therefore, the title Son of God belongs to the order of eternity, and the4

    title Son of Man to the order of time (Matthew 1:21-23 ; 2 John 3 ; 1 John 3:8 ; Hebrews 7:3 ;5

    1:1-13).6

    h. Transgression of the Doctrine of Christ7

    Wherefore, it is a transgression of the doctrine of Christ to say that Jesus derived the title Son of8

    God solely from the fact of the Incarnation, or because of His relation to the economy of9

    redemption. Therefore, to deny that the Father is a real and eternal Father, and that the Son is a10

    real and eternal Son, is a denial of the distinction and relationship in the Being of God; a denial11

    of the Father and the Son; and a displacement of the truth that Jesus Christ is come in the flesh12

    (2 John 9 ; John 1:1, 2, 14, 18, 29, 49 ; 1 John 2:22,23 ; 4:1-5 ; Hebrews 12:2).13

    i. Exaltation of Jesus Christ as Lord14

    The son of God, our Lord Jesus Christ, having by Himself purged our sins, sat down on the right15

    hand of the Majesty on high, angels and principalities and powers having been made subject16 unto Him. And having been made both Lord and Christ, He sent the Holy Spirit that we, in the17

    name of Jesus Christ, might bow our knees and confess that Jesus Christ is Lord to the Glory of18

    God and Father until the end, when the Son shall become subject to the Father that God may be19

    all in all (Hebrews 1:3 ; 1 Peter 3:22 ; Acts 2:32-36 ; Romans 14:11 ; 1 Corinthians 15:24-28).20

    j. Equal Honor to the Father and to the Son21

    Wherefore, since the Father has delivered all judgment unto the Son, it is not only the express22

    duty of all in heaven and on the earth to bow the knee, but it is unspeakable joy in the Holy23

    Spirit to ascribe unto the Son all the attributes of Deity, and to give Him all the honor and the24

    glory contained in all the names and titles of the Godhead except those which express25

    relationship (see paragraphs b, c, and d), and thus honor the Son even as we honor the Father26

    (John 5:22,23 ; 1 Peter 1:8 ; Revelation 5:6-14 ; Philippians 2:8,9 ; Revelation 7:9, 10 ; 4:8-11).27

    3. THE DEITY OF THE LORD JESUS CHRIST.28

    The Lord Jesus Christ is the eternal Son of God. The Scriptures declare:29

    a. His virgin birth (Matthew 1:23 ; Luke 1:31, 35).30

    b. His sinless life (Hebrews 7:26 ; 1 Peter 2:22).31

    c. His miracles (Acts 2:22; 10:38).32

    d. His substitutionary work on the cross (1 Corinthians 15:3 ; 2 Corinthians 5:21).33

    e. His bodily resurrection from the dead (Matthew 28:6 ; Luke 24:39 ; 1Corinthians 15:4)34

    f. His exaltation to the right hand of God (Acts 1:9,11 ; 2:33 ; Philippians 2:9-11 ; Hebrews 1:3).35

    4. THE FALL OF MAN.37

    Man was created good and upright; for God said, Let us make man in our image, after our likeness.38

    However, man by voluntary transgression fell and thereby incurred not only physical death but also39

    spiritual death, which is separation from God (Genesis 1:26,27 ; 2:17 ; 3:6 ; Romans 5:12-19).40

    5. SALVATION OF MAN.41

    Mans only hope of redemption is through the shed blood of Jesus Christ the Son of God.42

    a. Conditions to Salvation.1

    Salvation is received through repentance toward God and faith toward the Lord Jesus Christ. By2

    the washing of regeneration and renewing of the Holy Spirit, being justified by grace through3

    faith, man becomes an heir of God according to the hope of eternal life (Luke 24:47 ; John 3:3;4

    Romans 10:13-15 ; Ephesians 2:8 ; Titus 2:11 ; 3:5-7).5

    b. The Evidences of Salvation.6

    The inward evidence of salvation is the direct witness of the Spirit (Romans 8:16). The outward7

    evidence to all men is a life of righteousness and true holiness (Ephesians 4:24 ; Titus 2:12).8

    6. THE ORDINANCES OF THE CHURCH.9

    a. Baptism in Water.10

    The ordinance of baptism by immersion is commanded in the Scriptures. All who repent and11

    believe on Christ as Savior and Lord are to be baptized. Thus, they declare to the world that they12

    have died with Christ and that they also have been raised with Him to walk in newness of life13

    (Matthew 28:19 ; Mark 16:16 ; Acts 10:47,48 ; Romans 6:4).14

    b. Holy Communion.15

    The Lord's Supper, consisting of the elements - bread and the fruit of the vine - is the symbol16

    expressing our sharing the divine nature of our Lord Jesus Christ (2 Peter 1:4); a memorial of His17

    suffering and death (1 Corinthians 11:26); and a prophecy of His second coming (1 Corinthians18

    11:26); and is enjoined on all believers "till He come!"19

    7. THE BAPTISM IN THE HOLY SPIRIT.20

    All believers are entitled to and should ardently expect and earnestly seek the promise of the Father, the21

    baptism in the Holy Spirit and fire, according to the command of our Lord Jesus Christ. This was the22

    normal experience of all in the early Christian Church. With it comes the enduement of power for life23

    and service, the bestowment of the gifts and their uses in the work of the ministry (Luke 24:49; Acts24

    1:4,8 ; 1 Corinthians 12:1-31). This experience is distinct from and subsequent to the experience of the25new birth (Acts 8:12-17 ; 10:44-46 ; 11:14-16 ; 15:7-9). With the baptism in the Holy Spirit come such26

    experiences as an overflowing fullness of the Spirit (John 7:37-39 ; Acts 4:8), a deepened reverence for27

    God (Acts 2:43 ; Hebrews 12:28), an intensified consecration to God and dedication to His work (Acts28

    2:42), and a more active love for Christ, for His Word, and for the lost (Mark 16:20).29

    8. THE INITIAL PHYSICAL EVIDENCE OF THE BAPTISM IN THE HOLY SPIRIT.30

    The baptism of believers in the Holy Spirit is witnessed by the initial physical sign of speaking with other31

    tongues as the Spirit of God gives them utterance (Acts 2:4). The speaking in tongues in this instance is32

    the same in essence as the gift of tongues (1 Corinthians 12:4-10, 28), but different in purpose and use.33

    9. SANCTIFICATION.34

    Sanctification is an act of separation from that which is evil, and of dedication unto God (Romans 12:1,35

    2; 1 Thessalonians 5:23 ; Hebrews 13:12). The Scriptures teach a life of "holiness without which no man36

    shall see the Lord" (Hebrews 12:14). By the power of the Holy Spirit we are able to obey the command:37

    "Be ye holy, for I am holy" (1 Peter 1:15, 16).38

    Sanctification is realized in the believer by recognizing the identification with Christ in His death and39

    resurrection, and by faith reckoning daily upon the fact of that union, and by offering every faculty40

    continually to the dominion of the Holy Spirit (Romans 6: 1-11,13 ; 8:1,2,13 ; Galatians 2:20 ; Philippians1

    2:12,13 ; 1 Peter 1:5).2

    10. THE CHURCH AND ITS MISSION.3

    The Church is the Body of Christ, the habitation of God through the Spirit, with divine appointments for4

    the fulfillment of her Great Commission. Each believer, born of the Spirit, is an integral part of the5General Assembly and Church of the firstborn, which are written in heaven (Ephesians 1:22,23 ; 2:226

    Hebrews 12:23).7

    Since God's purpose concerning man is to seek and to save that which is lost, to be worshipped by man,8

    to build a body of believers in the image of His Son, and to demonstrate His love and compassion for all9

    the world, the priority reason-for-being of the Assemblies of God as part of the Church is:10

    a. To be an agency of God for evangelizing the world (Acts 1:8 ; Matthew 28:19,20 ; Mark1116:15,16).12

    b. To be a corporate body in which man may worship God (1 Corinthians 12:13).13c. To be a channel of God's purpose to build a body of saints being perfected in the image of14

    His Son (Ephesians 4:11-16 ; 1 Corinthians 12:28 ; 14:12).15d. To be a people who demonstrate Gods love and compassion for all the world (Psalm 112:9;16

    Galatians 2:10 ; 6:10 ; James 1:27).17

    The Assemblies of God exists expressly to give continuing emphasis to this reason-for-being in the New18

    Testament apostolic pattern by teaching and encouraging believers to be baptized in the Holy Spirit. This19

    experience:20

    a. Enables them to evangelize in the power of the Spirit with accompanying supernatural signs21(Mark 16:15-20 ; Acts 4:29-31 ; Hebrews 2:3,4).22

    b. Adds a necessary dimension to a worshipful relationship with God (1 Corinthians 2:10-16:231 Corinthians 12-14).24

    c. Enables them to respond to the full working of the Holy Spirit in expression of fruit and gifts25and ministries as in New Testament times for the edifying of the Body of Christ and care for26

    the poor and needy of the world (Galatians 5:22-26 ; Matthew 25:37-40 ; Galatians 6:10 ;27

    1 Corinthians 12:28 ; 14:12 ; Ephesians 4:11, 12 ; Colossians 1:29).28

    11. THE MINISTRY.29

    A divinely called and scripturally ordained ministry has been provided by our Lord for the fourfold30

    purpose of leading the Church in:31

    a. Evangelization of the world (Mark 16:15-20).32b. Worship of God (John 4:23,24).33c. Building a Body of saints being perfected in the image of His Son (Ephesians 4:11-16).34d. Meeting human need with ministries of love and compassion (Psalm 112:9 ; Galatians 2:10;35

    6:10 ; James 1:27).36

    12. DIVINE HEALING.37

    Divine healing is an integral part of the Gospel. Deliverance from sickness is provided for in the38

    Atonement and is the privilege of all believers (Isaiah 53:4,5 ; Matthew 8:16, 17 ; James 5:14-16).39

    13. THE BLESSED HOPE.1

    The resurrection of those who have fallen asleep in Christ and their translation together with those who2

    are alive and remain unto the coming of the Lord is the imminent and blessed hope of the Church3

    (1 Thessalonians 4:16,17 ; Romans 8:23 ; Titus 2:13 ; 1 Corinthians 15:51,52).4

    14. THE MILLENNIAL REIGN OF CHRIST.5

    The second coming of Christ includes the rapture of the saints, which is our blessed hope, followed by6

    the visible return of Christ with His saints to reign on the earth for one thousand years (Zechariah 14:5;7

    Matthew 24:27,30 ; Revelation 1:7 ; 19:11-14 ; 20:1-6). This millennial reign will bring the salvation of8

    national Israel (Ezekiel 37:21,22 ; Zephaniah 3:19,20 ; Romans 11:26,27) and the establishment of9

    universal peace (Isaiah 11:6-9 ; Psalm 72:3-8 ; Micah 4:3, 4).10

    15. THE FINAL JUDGMENT.11

    There will be a final judgment in which the wicked dead will be raised and judged according to their12

    works. Whosoever is not found written in the Book of Life, together with the devil and his angels, the13

    beast and the false prophet, will be consigned to everlasting punishment in the lake which burneth with14fire and brimstone, which is the second death (Matthew 25:4-6 ; Mark 9:43-48 ; Revelation 19:20 ;15

    20:11-15 ; 21:8).16

    16. THE NEW HEAVENS AND THE NEW EARTH.17

    "We, according to His promise, look for new heavens and a new earth, wherein dwelleth righteousness"18

    (2 Peter 3:13 ; Revelation 21, 22).19

    ARTICLE VIIRELATIONSHIPS20

    The Philippines General Council of the Assemblies of God, Inc. shall maintain fraternal relationships with21

    other Assemblies of God organizations around the world.22The PGCAG shall maintain its activities through its general offices.23

    The General Council in session is the highest governing body of the PGCAG.24

    The District Councils are established under the authority of the General Council and operates25

    according to the PGCAG Constitution and Bylaws and the District Bylaws. District Councils shall be26

    amenable to the General Council.27

    ARTICLE VIIIMEMBERSHIP28

    Section 1. THE GENERAL COUNCIL29

    The membership of the Philippine General Council of the Assemblies of God shall consist of all30

    ordained and licensed ministers holding a current fellowship certificate and churches holding a31

    Certificate of Affiliation issued by The Philippines General Council of the Assemblies of God.32

    Section 2. ASSEMBLIES OF GOD33

    The membership of the Assemblies of God shall consist of all ministers of the Philippine General Council34

    of the Assemblies of God and all other persons who are members of churches affiliated with Philippine35

    General Council of the Assemblies of God and its District Councils.1

    Section 3. VOTING MEMBERS2

    The voting members at a General Council shall consist of all ordained ministers holding a current3

    fellowship certificate who are present and registered and those delegates chosen by churches affiliated4

    with the Philippine General Council of the Assemblies of God who are present and registered, each5church being entitled to one delegate.6

    Section 4. NON-VOTING MEMBER7

    The non-voting members at a General Council shall consist of all non-ordained ministers,8

    churches-in-fellowship, para-church organizations, ministries, mission agencies, duly appointed9

    missionaries from other Assemblies of God General Councils doing regular missionary service in the10

    Philippines, endorsed or recognized by the Philippine General Council of the Assemblies of God or its11

    District.12

    ARTICLE IX - MEETINGS OF MEMBERS13

    Section 1. REGULAR MEETING14

    The regular meeting of the Philippines General Council of the Assemblies of God, Inc. shall be15

    held biennially, at a time and place determined by the National Council of Elders.16

    Section 2. SPECIAL MEETING17

    Special meetings of members may be called by the General Superintendent upon approval by18

    the National Council of Elders whenever they shall deem it necessary.19

    Section 3. RIGHT OF INITIATIVE20

    It shall be the duty of the National Council of Elders and the General Superintendent to call a21special General Council meeting when presented with a written statement signed by at least 10% of the22

    voting members of the Philippine General Council of the Assemblies of God setting forth the reasons for23

    such special session.24

    ARTICLE XOFFICERS25

    Section 1. CORPORATE AND EXECUTIVE OFFICERS26

    a. Corporate and Executive Officers and Terms of Office. The Philippine General Council of the27Assemblies of God corporate officers shall consist of the President whose title shall be General28

    Superintendent, Vice President whose title shall be Assistant General Superintendent, Corporate29Secretary, and Corporate Treasurer. They shall serve as the officers of the corporation. The term of30

    office of the General Superintendent and the Assistant General Superintendent shall begin 30 days31

    after the date of General Council election, and shall continue for four years or until their successors32

    qualify. The Philippine General Council of the Assemblies of God Corporate Secretary and Corporate33

    Treasurer shall be elected by the National Council of Elders from among its members. These two34

    offices shall not carry executive function. The term of office of the Corporate Secretary and35

    Corporate Treasurer shall begin 30 days after the date of election, and shall continue for four years1

    or until their successors qualify. In case of vacancy in either or both of the said offices, the National2

    Council of Elders shall meet to elect a successor(s) who shall serve the unfinished term.3

    The General Superintendent may serve only for a maximum of two terms (8 years, cumulative)4

    and shall not, thereafter, qualify for any elective executive position in the General Council5

    b. Executive Leadership Committee. The General Superintendent and the Assistant General6Superintendent of the Philippine General Council of the Assemblies of God along with the Director7

    of Operations and Finance and the Director of Ministries and Development shall constitute an8

    Executive Leadership Committee. The Director of Operations and Finance and the Director of9

    Ministries and Development shall be appointed by the General Superintendent and shall serve a10

    term of office that is co-terminus with the appointing officer. The General Superintendent may,11

    however, rescind said appointment at any time for cause. Members of the Executive Leadership12

    Committee shall be amenable to the actions of the Council of Elders within duties prescribed in the13

    Constitution.14

    Section 2. NATIONAL COUNCIL OF ELDERS15

    a. Composition and terms of office. The National Council of Elders shall consist of 15 representatives16

    from the 3 different regions. Six (6) members shall be elected from Luzon, five (5) from the Visayas and17

    four (4) from Mindanao. After the Council of Elders is composed, it shall meet to elect a Chairman, a18

    Corporate Secretary and a Corporate Treasurer. The General Superintendent and the Assistant General19

    Superintendent shall serve as members of the body. The Council of Elders shall be the official policy-20

    making body of the Philippine General Council of the Assemblies of God when the General Council is not21

    in session. It shall be composed of persons of mature experience and ability, whose life and ministry are22

    above question. Their integrity and competence in leadership must be evident to all. In relation to the23movement, they must have proven themselves to be loyal and cooperative and their record showing24

    they are fully supportive of the movement. The term of office for all members of the Council of Elders25

    shall begin 30 days after date of election and shall continue for 4 years or until their successors qualify.26

    b. Board of Trustees. The National Council of Elders shall constitute the Board of Trustees of The27

    Philippine General Council of the Assemblies of God, performing such functions as are usual and28

    customary for a board of Trustees. National Council of Elders and Board of Trustees shall be29

    interchangeable terms.30

    Section 3. NATIONAL JUDICIAL COUNCIL31

    The National Judicial Council shall be composed of qualified Ordained Ministers of mature32

    experience and ability, whose life and ministry are above question. Their integrity and competence in33

    leadership must be evident to all. In relation to the movement, they must have proven themselves to be34

    loyal and cooperative and their record showing they are fully supportive of the movement. They must35

    have served the Philippine General Council of the Assemblies of God for the last Ten (10) consecutive36

    years. They shall be at least (40) years old and not more than Seventy-five (75) year years old.37

    The National Judicial Council shall be composed of seven (7) members: Three (3) from Luzon,1

    two (2) from the Visayas, and two (2) from Mindanao. They shall be appointed by the General2

    Superintendent and said appointments shall be ratified by the National Council of Elders.3

    It shall be the highest ecclesiastical judicial, grievance and appeals body of the Philippine4

    General Council of the Assemblies of God, Inc. It shall be an independent body. Any member who is5subsequently elected General Council official or District Superintendent shall be automatically6

    considered resigned from the Judicial Council.7

    ARTICLE XI - NATIONAL LEADERSHIP ASSEMBLY8

    Section 1. COMPOSITION9

    There shall be a National Leadership Assembly composed of duly elected General Council10

    Executives, National Council of Elders, National Judicial Council, District Council Executives,11

    Ministry/Department Heads, President of the Regional Bible Colleges, Heads of Ministries that are duly12

    recognized by the Philippine General Council of the Assemblies of God, Executives of Overseas13Missionary Fellowships that has entered into a covenant ministry relationship with the Philippine14

    General Council of the Assemblies of God. The National Leadership Assembly shall convene annually15

    pursuant to the call of the General Superintendent and/or the Council of Elders. The date and place shall16

    be specified in the notice of meeting.17

    ARTICLE XII - DISTRICT COUNCILS18

    Section 1. MEMBERSHIP19

    The membership of each District Council shall consist of all ordained and licensed ministers20

    holding a current fellowship certificate currently ministering within the territorial jurisdiction of the21

    District; and churches holding Certificates of Affiliation issued by either the Philippine General Council of22

    the Assemblies of God or the District in which the church is located. Foreign missionaries, para-church23

    organizations, ministries, including churches in fellowship which are granted recognition by the district24

    shall be considered non-voting members.25

    Section 2. AREAS OF SUPERVISION26

    The district council shall have supervision over all the ecclesial and sacerdotal activities of the27

    Assemblies of God in its prescribed area of Jurisdiction.28

    The district council shall have the authority to examine and endorse candidates who qualify as1

    licensed ministers, or ordained ministers in accordance with Article VII of the Bylaws. The applications2

    for ordinations and applications for renewal thereof shall be forwarded to the General Council office for3

    final review and issuance of the ministerial credential if the qualifications prescribed byArticle VII of the4

    Bylaws are satisfied. Any level of formal academic achievement (diploma or degree) shall not be a5

    requirement for credentials, but it shall be required of applicants that they take such courses and pass6

    examinations as shall be prescribed by the National Council of Elders unless an exception is provided for7

    in the Bylaws.8

    Section 5. AREAS OF AUTHORITY9

    The district council shall elect its own officers and arrange for its own meetings.10

    Section 6. RELATIONSHIP WITH THE GENERAL COUNCIL11

    The District council is an integral part of and a fully cooperating entity with the Philippines12

    General Council of the Assemblies of God. They are formed under the authority of the General Council13as territorial, supervisional, jurisdictional and organizational subdivisions of the Philippine General14

    Council of the Assemblies of God, to carry out its purpose, exercise its prerogatives, and realize its15

    principles and foster fellowship among its constituents. The district council shall not violate the16

    Constitution or Bylaws of The Philippine General Council of the Assemblies of God. In the17

    implementation of its work the district council must keep vigilant watch against any violation of the18

    principles of spiritual unity and cooperative fellowship to which the Assemblies of God Fellowship is19

    unalterably dedicated. Every District shall implement the General Council programs and policies --20

    maintaining a united stance together with all the other Districts of the PGCAG in the exercise of its21

    prerogatives. It shall be amenable to the PGCAG in matters of doctrine and the discipline of ministers.22

    ARTICLE XIII- LOCAL ASSEMBLIES23

    Section 1. GENERAL COUNCIL AFFILIATED ASSEMBLIES24

    A General Council affiliated assembly is one that has applied for and has received a Certificate of25

    Affiliation from the Philippine General Council of the Assemblies of God.26

    a. Requirements for Affiliation. Churches desiring to be affiliated with the Philippine General Council27of the Assemblies of God shall meet the following requirements. They shall:28

    1. Accept the tenets of faith of the Assemblies of God;292. Adopt a standard of membership that may be determined either by the local assembly or by30

    agreement with the district council;31

    3. Have a minimum active voting membership of 20persons who shall accept responsibility to32maintain scriptural order in the local body;33

    4. Adopt a constitution and bylaws compatible with models recommended by the district34council, or district approved governance models that provide for adequate accountability,35

    amenability, and safeguards so that a pastor and/or governing body cannot directly or1

    indirectly exert dictatorial control over a church;2

    5. Make provision in the local church code for a pastor who is a credentialed minister (licensed3or ordained) in good standing with the General Council and a district council;4

    6. Have an adequate number of spiritually qualified members to fill the offices of the church5called for in its constitution or bylaws.6

    7. Be able to provide regular financial support to the pastor. It should be enough to enable the7minister to live a decent life among the people in the community.8

    b. Relationship to and Support of the General Council and District Council. A General Council9affiliated assembly should cooperate in the work and support the programs of the General Council10

    and District Councils and send delegates to the General Council and District Council meetings.11

    c. Right of Self-Government (sovereign rights). Each General Council affiliated assembly has the right12of self-government under Jesus Christ, its living Head, and shall have the power to choose or call its13

    pastor, elect its official board, and transact all other business pertaining to its life as a local unit. It14shall have the right to administer discipline to its members according to the Scriptures and its15

    constitution or bylaws. It shall have the right to acquire and hold title to property, either through16

    trustees, such as the PGCAG or if incorporated, in its corporate name as a self-governing unit . It is17

    also under obligation to underwrite its own operations and to provide regular support to its own18

    pastor and workers in a manner that is consistent with the scriptural mandate to generously support19

    ministers of the gospel. The fact it is affiliated with the Philippine General Council of the Assemblies20

    of God shall in no way destroy its rights as above stated or interfere with its sovereignty. The21

    governance model adopted by the local assembly shall conform to the guidelines of Constitution,22

    Article XIII, Section 1, paragraph a, subparagraph (4).23

    d. Subordinate in Matters of Doctrine and Conduct. A General Council affiliated assembly shall24recognize that a district council or the Philippine General Council of the Assemblies of God has the25

    right to approve scriptural doctrine and conduct and to disapprove unscriptural doctrine and26

    conduct and the authority to withdraw its Certificate of Affiliation if deemed necessary. (See Article27

    V Section 4 of the Bylaws.)28

    e. Right of Appeal.When in need of counsel or advice, the General Council affiliated assembly may29appeal to the district officers for help. It may appeal from a decision by the district officers to the30

    National Council of Elders when there is a question whether or not the assembly has received31

    proper help from the district. When exceptions are taken to the decisions of the National Council of32

    Elders, either by the General Council affiliated assembly or by the District Council of Elders, appeal33

    may be made to the National Judicial Council.34

    Section 2. DISTRICT COUNCIL AFFILIATED ASSEMBLIES35

    Provision shall be made by the district councils for district council affiliated assemblies which36

    shall be under the supervision of the district council, in accordance with the provisions of the district37

    council constitution and bylaws. These assemblies which are not yet able to satisfy the requirements for1

    a General Council affiliated assembly as provided for in Article VIII Section 1 paragraph a, shall be2

    encouraged to work towards the status of sovereign General Council affiliated assemblies.3

    Section 3. PARENT AFFILIATED CHURCHES4

    Provision shall be made by district councils for parent affiliated assemblies which shall be under5

    the supervision of a parenting church, in accordance with the parenting churchs constitution and6

    bylaws.7

    Section 4. COOPERATING ASSEMBLIES8

    Provision may be made by the National Council of Elders for the status of a cooperating9

    assembly, which would allow churches that subscribe to Article VI.Statement of Fundamental Truths of10

    the General Council Constitution to enter into a cooperative status with a district and the General11

    Council on a temporary basis (4-year term, renewable by the request of the local church congregation at12

    the discretion of the district council in cooperation with the General Council Executive Leadership13Committee) before officially affiliating with the district council and the General Council.14

    Section 5. PGCAG FINANCIAL PROGRAM15

    All local assemblies are expected to participate, and contribute regularly to, the PGCAG financial16

    program as laid out by the General Council and/or the National Council of Elders.17

    ARTICLE XIV - DISSOLUTION18

    The assets of the Philippine General Council of the Assemblies of God, a Philippine Corporation,19

    are irrevocably dedicated to religious and charitable purposes as stated in this Constitution. In the event20of the dissolution of the corporation, and after providing for the payment of its debts and obligations,21

    the remaining assets will not inure to the benefit of any private person or persons but will be distributed22

    to one or more nonprofit organizations which are organized and operated exclusively for religious23

    purposes.24

    ARTICLE XV - AMENDMENTS25

    Amendments to the Constitution may be made at any regularly called session of the General26

    Council provided that the proposed amendments have been submitted in writing at least 6 months in27

    advance to the National Council of Elders. Before the National Council of Elders may submit proposed28

    amendments for consideration by a session of the General Council, it shall provide written notice of the29

    proposed amendments by regular mail to the office of each district superintendent, and by electronic30

    mail or media to all voting members of the Philippine General Council of the Assemblies of God not later31

    than 30 days prior to said session. Amendments to the Constitution shall require a two-thirds vote of all32

    members present and voting.33

    ARTICLE I - PARLIAMENTARY ORDER1

    For an orderly conduct of the work of the General Council, its meetings shall be governed by2

    accepted rules of parliamentary procedures, in keeping with the spirit of Christian love and fellowship.3

    ARTICLE II - ELECTION OF OFFICERS4

    Section 1. QUALIFICATIONS OF OFFICERS5

    The officers of the Philippines General Council of the Assemblies of God, Inc. shall be ordained6

    ministers holding certificate of fellowship for four (4) consecutive years prior to the date of election.7

    They shall be persons of mature experience and ability, whose life and ministry are above question.8

    Their integrity and competence in leadership must be evident to all. In relation to the movement, they9

    must have proven themselves to be loyal and cooperative, fully supporting the fellowship as shown by10

    the record of their giving of tithes and other dues payable to their Districts and the General Council.11

    Such qualities shall determine their eligibility.12

    Section 2. NOMINATIONS AND ELECTIONS13

    a. General Superintendent and Assistant General Superintendent. All candidates for the offices of14General Superintendent and Assistant General Superintendent shall be nominated in writing,15

    through postal mail or electronic mail, by any voting member of the Philippine General Council of16

    the Assemblies of God (See Article VIII Section 3 of the Constitution). Nominations must be received17

    by the National Judicial Council serving as the Committee on Elections not less than three months18

    prior to the commencement of the General Council. The National Judicial Council shall be entrusted19

    with the responsibility of making careful investigation concerning the qualifications and general20

    fitness of the candidates for these offices as specified in Article II, Section 1 of this Bylaws. All21qualified nominees shall then be notified by the National Judicial Council and the same shall be22

    given the chance to either accept or decline the nomination in writing through postal mail or23

    electronic mail. Only nominees qualified by the Judicial Council and has consequently assented to24

    their nomination shall be presented to the General Council in session for election. They shall be25

    candidates for either or both the positions of the General Superintendent and Assistant General26

    Superintendent.27

    The candidates presented to the General Council in session shall be voted upon by secret28

    ballot. A two-thirds vote of all votes cast shall be necessary to constitute an election. If no election29

    has been declared after the first ballot, the 5 candidates having the highest number of votes in the30

    last ballot cast shall be nominees to be further voted upon, and all other names shall be eliminated.31

    If no election has been declared after the second ballot, the three candidates having the highest32

    number of votes in the last ballot cast shall be nominees to be further voted upon, and all other33

    names shall be eliminated. In the event that no election has been declared after the third ballot, the34

    candidate who receives the highest number of votes on the fourth ballot shall be declared elected.35

    b. National Council of Elders. The nominations and election for 15 members of the National Council of1Elders shall be made as follows: At its annual meeting prior to the General Council session each2

    District with a combined membership of 400 or less ordained ministers and affiliated churches shall3

    nominate one minister from its district, while each district council with a combined membership of4

    401 or more ordained ministers and affiliated churches, shall nominate two ministers from its5

    district, none of whom shall be an elected district official. They shall be presented to and be balloted6

    upon by the General Council in session categorizedby region (i.e. Luzon, Visayas, and Mindanao).7

    From the nominees, each voting member shall select 5 from Luzon, 4 from the Visayas and 4 from8

    Mindanao. The first 5 candidates from Luzon, first 4 candidates from the Visayas and the first 49

    candidates from Mindanao who receive the highest vote shall be declared elected members of the10

    National Council of Elders. The General Superintendent and the Assistant General Superintendent11

    are automatic members of the National Council of Elders by virtue of their office to bring the12

    number to 15 members. At the conclusion of the General Council session, The National Council of13

    Elders shall convene to elect its officers. It shall elect from among its members a chairman, secretary14

    and treasurer who shall serve as such officers of the Philippines General Council of the Assemblies of15

    God, Inc. The General Superintendent is not eligible to serve as officer of the National Council of16

    Elders.17

    c. National Judicial Council. Members of the National Judicial Council shall be appointed by the18General Superintendent and ratified by the National Council of Elders as provided for in Article X19

    Section 3 of the Constitution.20

    Section 3. VACANCIES21

    a. Executive Officers. In the event of death, incapacity or disqualification for cause of the General22Superintendent, the Assistant General Superintendent shall succeed to the office of General23Superintendent until the next General Council. In the event the offices of General Superintendent24

    and Assistant General Superintendent both become vacant, the National Council of Elders shall fill25

    the offices by appointment until the next meeting of the General Council. If the unserved term of26

    both officials shall be 2 years or more, the National Council of Elders, through its chairman, shall call27

    a special session of the General Council to elect a General Superintendent and Assistant General28

    Superintendent, following the provisions set forth inArticle II, Section 2 paragraph aof the Bylaws.29

    They shall serve the unfinished term of the former officers of the General Council.30

    b. Council of Elders. In the event a member of the Council of Elders moves to a location outside of the31boundaries of the region he or she is representing, the Council of Elders shall declare a vacancy in32

    that office.33

    Once a vacancy shall occur, for the above or for any other reason, in the Council of Elders,34

    the council/corporate secretary shall request the district councils within the region in which the35

    previous Elder is a member, to elect and submit nominees for the office not later than 45 days after36

    receipt of said request (See Article II, Section 2b for the number of ministers a District may nominate37

    and Article II Section 1 of the Bylaws for qualifications ). The Council of Elders shall, at its next38

    meeting, elect one minister from among the nominees submitted to fill the vacancy until the next39

    meeting of the General Council. Two-thirds of all votes cast by the Council of Elders shall be required1

    to elect a new member.2

    Section 4. REMOVAL FOR CAUSE3

    The Council of Elders by two-thirds vote may remove an executive officer from office prior to4

    the end of a term if, in its judgment, there is clear and convincing evidence of incapacity, inefficiency,5

    incompetence, or other grounds, not constituting a basis for formal discipline pursuant to Article VIII of6

    the Bylaws, that renders the officer unfit for office and compromises the mission of the Philippines7

    General Council of the Assemblies of God. Such a decision by the Council of Elders shall not be effective8

    unless and until it is ratified by the National Judicial Council by two-thirds vote.9

    ARTICLE III - DUTIES OF OFFICERS10

    Section 1. DUTIES OF THE GENERAL SUPERINTENDENT11

    The General Superintendent is the Chief Operating Officer of the Philippines General Council of12the Assemblies of God and shall have the following duties:13

    a. Emphasize and implement the fourfold mission of the church: the evangelization of the14world, the worship of God, the building of a body of saints being perfected in the image of15

    His Son, and to demonstrate His love and compassion for all the world; and promote and16

    coordinate efforts directed toward the fulfilling of that mission.17

    b. Superintend all work of the Philippines General Council of the Assemblies of God.18c. Act as president of the corporation in all legal matters, and be an ex officio member of all19

    committees and boards.20

    d. Develop and cast a strategic vision along with the other executive officers, to guide the21movement toward completing its goals in a timely and resourceful manner.22

    e. Preside at the sessions of the General Council and the National Leadership Assembly.23f. Preside at all meetings of the General Council Credentials Committee and sign all24

    credentials.25

    g. Preside at all meetings of the Executive Leadership Committee and receive all26communications directed to the body.27

    h. Be a member of the National Council of Elders.28i. Administer discipline in all cases when requested to do so by the National Judicial Council.29j. Sign all official and legal documents (see Section 5 of this Article).30k. Provide spiritual oversight to leadership and personnel of the PGCAG.31l. Give consultation in hiring staff at departmental level of leadership or above.32m. Appoint District Superintendents pursuant to the provisions of Article IV Section 933

    subsection c if the Bylaws34

    n. The General Superintendent may, by resolution signed by a majority of all ordained and a35majority of all licensed ministers of the district, intervene in the management and affairs of36

    that District for such period as it determines or if the situation warrants a removal of the37

    District Superintendent, the General Superintendent shall notify the erring leader in writing38

    regarding the revocation of his/her appointment and a replacement shall be appointed in1

    accordance to the provisions inArticle IV Section 8c of this Bylaws.2

    o. Suspend or remove a District Superintendent for cause other than the reason stated in3subsection 14 of this section.4

    p. Strategically network with other fellowships.5q. Perform any other functions usual and customary as presiding officer or such as may be6

    directed by the General Council, the National Council of Elders, or by the Executive7

    Leadership Committee.8

    Section 2. DUTIES OF THE ASSISTANT GENERAL SUPERINTENDENT9

    The Assistant General Superintendent shall have the following duties:10

    a. Assist the general superintendent.11b. Serve as vice-president of the corporation.12c. Serve as member of the National Council of Elders and Executive Leadership Committee.13d. In the absence of the General Superintendent, the Assistant General Superintendent shall14

    preside as chair at meetings of the General Council, Executive Leadership Committee and15

    other bodies in which such absent officer would otherwise preside.16

    e. Perform such other functions under the supervision of the General Superintendent, or such17as may be directed by the General Council, the National Council of Elders, or the Executive18

    Leadership Committee.19

    f. Succeed to the office of the General Superintendent immediately after that office becomes20vacant through incapacity, leave of absence, resignation or death; or by declaration of the21

    National Council of Elders with concurrence from the National Judicial Council that the office22

    of the General Superintendent is vacant for any reason.23

    Section 3. DUTIES OF THE CORPORATE SECRETARY24

    The Corporate Secretary is the Chief Governance Officer of the Philippines General Council of the25

    Assemblies of God and shall have the following duties:26

    a. Make and keep true records of the proceedings of the General Council and shall publish the27same as approved and directed by the National Council of Elders.28

    b. Serve as the custodian of the official seal and issue credentials under the direction of the29General Council Credentials Committee and shall keep a record of all ordained, licensed, and30

    certified ministers, and assemblies of the Fellowship.31c. Sign all official and legal documents.32d. Serve as secretary of the National Council of Elders and the General Council Credentials33

    Committee,and keep accurate minutes of the deliberations of this body.34

    e. Edit and prepare for distribution the minutes of the meeting of the General Council and the35National Council of Elders after examination and approval thereof by that body.36

    f. Perform such other functions as are customary under the supervision of the general1superintendent, or such as may be directed by the General Council, the General Presbytery,2

    or the Executive Presbytery.3

    Section 4. DUTIES OF THE CORPORATE TREASURER4

    The Corporate Treasurer is the chief finance oversight officer of the Philippines General Council of the5

    Assemblies of God and shall have the following duties:6

    a. Responsible for coordinating and ensuring the financial oversight and financial health of the7movement.8

    b. Work with the General Superintendent and with the Operations and Finance Director to9ensure that appropriate financial reports are given to the National Council of Elders and/or10

    to the General Council on a timely basis.11

    c. Give the National Council of Elders a periodic analysis of the financial condition of the12movement, taking into consideration whether the income and the spending pattern is13

    consistent with the vision and goals of the PGCAG.14

    d. Present the General Council annual budget for board approval,15e. Provide oversight of an internal auditor, who shall be appointed by the National Council of16

    Elders and shall be directly accountable to the Executive Leadership Committee and the17

    National Council of Elders.18

    f. Make sure basic and standard procedures are put in place to maintain integrity in the19management of funds.20

    g. Find ways to safely get a return on liquid assets.21h. Ensure PGCAG's financial integrity, by conducting a thorough review of the independent22

    annual audits performed by a CPA. This should never be done, however, by approaching any23

    of the members of the PGCAG office staff for financial information without the direction of24

    the General Superintendent.25

    i. Be involved in discussions about capital purchases, loans, and any contract that requires an26outlay of significant funds, whether purchasing consulting services, renting office space, or27

    leasing equipment.28

    j. Serve as chairperson of the finance committee of the National Council of Elders29k. Perform such other functions as may be directed by the General Council or the National30

    Council of Elders.31

    Section 5. DUTIES OF THE NATIONAL COUNCIL OF ELDERS32

    The National Council of Elders serves as the Board of Trusteesof the Philippine General Council33

    of the Assemblies of God. It is authorized to perform the following functions and duties:34

    a. They shall have general oversight of all departments and/or ministries, including internal35operations of the national offices of the Philippine General Council of the Assemblies of36

    God.37

    b. Act for the corporation in all matters that affect its interests while the General Council is not38in session.39

    c. Be the policy-making body when the General Council is not in session.40

    d. Interpret policy originating in the legislation of the General Council. Such interpretations1shall be final unless reversed at the next meeting of the General Council.2

    e. Buy, take, lease, or otherwise acquire, own, hold in trust, use, sell, convey, mortgage, lease,3or otherwise dispose of real property, personal and mixed, tangible and intangible of4

    whatsoever kind; to borrow monies as deemed necessary and to issue bonds of whatsoever5

    kind, trust deeds, mortgages, debentures, and notes; and to enter into contracts; all as may6

    seem expedient and proper in the furtherance of the work of the Philippine General Council7

    of the Assemblies of God.8

    f. Purchase or dispose of securities as need requires in an effort to strengthen the financial9position of the corporation.10

    g. Hold in trust such funds as may be committed to them as trustees, or to dispose of the same11as may be directed.12

    h. Authorize the General Superintendent to enter into any contract for and in behalf of the13Corporation.14

    i. All properties of the corporation shall be bought, taken, held, sold, transferred, mortgaged,15leased, assigned, or conveyed in the corporate name upon authorization by the National16

    Council of Elders, as trustees thereof, and the president and the corporate secretary shall be17

    authorized and they hereby are authorized to execute all documents pertaining to such18

    transactions.19

    j. Review and approve the annual or supplemental budget that shall be submitted by the20General Superintendent.21

    k. Determine the salaries and allowances of all elected officers of the General Council and all22the staff in the national offices. A committee of five Elders shall be appointed annually by23

    the National Council of Elders for the purpose of making a review of such salaries and24

    allowances. It shall present its recommendations to the whole body for final action.25

    l. Approve the schedule of meetings of the General Council, with consideration for the26interests of the Fellowship as a whole.27

    m. Make a report to the General Council of their activities on behalf of the Fellowship as may28be directed.29

    n. Implement the decisions of the National Judicial Council when an Executive Officer(s) of the30PGCAG is involved in a case.31

    o. Be amenable to the decisions of the General Council in session in all matters consistent with32the powers vested by the Constitution and Bylaws to the General Council. (See Article VII of33

    the Constitution)34

    p. Protect and enhance the vision of the executive officers . Recognizing that vision and plans35primarily emanate from the executive leadership of the movement, the Council of Elders is36

    mandated to serve as strategic partners of the executive officers of the PGCAG. Not37

    overbearing and in the spirit of teamwork and cooperation, the Council of Elders is tasked to38

    assist the executive officers in developing and clarifying the vision and goals of the39

    movement. This body shall further help create an environment that will pave the way for a40

    successful implementation of plans and programs, based on the vision and direction41

    provided by the executive officers, by ensuring that all available resources necessary for a42

    successful program implementation is provided for. It shall do everything that is within its1

    power to ensure that the Philippine General Council of the Assemblies of God is proactively2

    able to respond to the needs and demands of the ministry by promptly acting on matters3

    that this constitution and bylaws has given the body sole authority to act upon.4

    q. As far as practicable, the National Council of Elders shall meet at least bimonthly. The5Chairman may call for a special meeting after serving notice to all the members of the6

    Council at least five (5) days before the scheduled meeting.7

    r. In the event the Chairman shall determine that circumstances constitute an emergency, the8National Council of Elders shall be authorized to deliberate by means of mail, electronic9

    communications, conference call, or telephone polling conducted by or under supervision of10

    the Chairman or the Corporate Secretary (provided that he/she is authorized by the11

    Chairman). All such discussion, deliberation and action shall be pursuant to the normal rules12

    of parliamentary procedure, except that a two-thirds majority vote shall be required to13

    adopt and the quorum and vote shall be recorded by roll call of individual members. Such14

    action, and all related documentation shall be reviewed by the National Council of Elders at15its next regular or special meeting, and entered into the minutes of that meeting.16

    s. The National Council of Elders may adopt its own rules of procedure with the concurrence of17the majority of its members.18

    Section 6. DUTIES OF THE EXECUTIVE LEADERSHIP COMMITTEE19

    The General Superintendent, Assistant General Superintendent, along with the Operations and20

    Finance Director and the Ministries and Church Development Director shall constitute an Executive21

    Leadership Committee. Members of the Executive Leadership Committee shall be amenable to the22

    actions of the Council of Elders and perform the following functions and duties:23

    a. Serve as the executive arm of the movement.24b. Provide for general services as required for the various operations at the General Council25

    offices.26

    c. Execute those matters delegated to it by the National Council of Elders.27d. Give administrative oversight to all General Council offices.28e. Support the spiritual thrust and vision of the Fellowship.29f. Lead assigned ministries.30g. Manage internal operations of the General Council offices as indicated in the Philippine31

    General Council of the Assemblies of God Operations Manual.32

    h. In the event the General Superintendent shall determine that circumstances constitute an33emergency, the Executive Leadership Committee shall be authorized to deliberate by means34

    of mail, electronic communications, conference call, or telephone polling conducted by or35

    under supervision of the General Superintendent or the Assistant General Superintendent36

    (Provided that he/she is authorized by the General Superintendent). All such discussion,37

    deliberation and action shall be pursuant to the normal rules of parliamentary procedure,38

    Section 7. DUTIES OF THE NATIONAL JUDICIAL COUNCIL5

    The National Judicial Council is authorized to perform the following functions and duties:6

    a. Advance the mission of the Assemblies of God by promoting effective ministry and7harmonious relationships among all churches, credentialed ministers, ministries,8

    institutions, and entities of the Fellowship.9

    b. Act as a court of final appeal for a disciplined minister or a district appealing a decision of10the General Council Credentials Committee.11

    c. Act as a body of appeal to actions taken by the National Council of Elders whenever five12percent or more of the voting members of the General Council so requests.13

    d. Act as a judicial forum to investigate and hear charges brought against any Executive Officer14of the PGCAG and shall receive the reports from other duly appointed committees or15

    officers authorized to investigate allegations and complaints against such officer. The16

    National Judicial Council shall present a report of its findings and decisions to the National17

    Council of Elders which shall be tasked to implement the decisions of the judicial body.18

    e. Act according to the guidelines set forth in Article VIII of the Bylaws and the Code of19Discipline of the Philippine General Council of the Assemblies of God.20

    ARTICLE IV - DISTRICT COUNCILS21

    Section 1. NATURE22

    Although the Philippines General Council of the Assemblies of God is a national movement, it23

    recognizes the necessity of administration of some matters at a district level. The District Councils are24

    territorial, subdivisions of the Philippine General Council of the Assemblies of God, organized to enable25

    the movement to carry out its purposes, exercise its prerogatives, realize its principles and foster26

    fellowship among its constituents in a more efficient way. Each district council is organized and elects its27

    officers consistent with the provisions of this constitution and bylaws and its district by laws.28

    Furthermore, the district council and its officers derive their power and authority from the General29

    Council and General council officers.30

    Section 2. RELATIONSHIP31

    The District is an integral part of the Philippine General Council of the Assemblies of God, is32

    subordinate and amenable to the said General Council as prescribed in its Constitution and Bylaws, and33

    has a cooperative working relationship with other District Councils in matters of mutual concern.34

    a. To the General Council.The District is an integral part of the Philippine General Council of1the Assemblies of God, is subordinate and amenable to the said General Council as2

    prescribed in its Constitution and Bylaws and must always relate to the same as its parent3

    body. As such, districts are mandated to consistently work in accord with the policies and4

    programs of the General Council.5

    b. To Other Districts. Every district shall maintain a cooperative working relationship with6other district councils in order to achieve common objectives and enable the movement to7

    realize the vision and goals set forth by the national leadership.8

    c. To Local Assemblies. The movement acknowledges that the local church is Gods chosen9means of communicating the Gospel and sharing His love and life to both believers and non-10

    believers. One of the districts primary mandates is to encourage and empower local11

    churches to fulfill Christs great commission.12

    Section 3. THE ROLE OF THE DISTRICT13

    The district being a fellowship of local churches in a given geographical area should facilitate a14

    network for resources and relationships and provide training for credentialed ministers and local15

    churches. The district provides ministry events to the local church, such as camps, conferences, and16

    retreats; and relates to the General Council affiliated churches in accordance with provisions of the17

    Articles II and XIII of the Constitution; and Article V of the Bylaws , and the constitution and bylaws of the18

    respective district council. The district oversees district affiliated churches in accordance with its own19

    bylaws, and processes and recommends ministerial credentialing and discipline for its constituents.20

    Every District shall implement the General Council programs and policies ensuring the widest possible21

    participation by its constituents.22

    Section 4. AUTHORITY OF THE DISTRICT COUNCIL23

    The administration of district matters not affecting the General Council shall be vested in the24

    duly constituted district officers. Every District Council through such officers is authorized and25

    empowered to examine, license, mobilize and discipline ministers who are to become members thereof.26

    Through the same officers the District is also authorized and empowered to supervise, regulate and27

    have jurisdiction over the organization and activities of the Assemblies of God churches and ministries28

    operating within its territorial boundaries.29

    Section 5. LIMITS OF AUTHORITY30

    All District council and district officers decisions are required to conform to the decisions of the31General Council and the General Council officers.32

    Section 6. MEMBERSHIP33

    a. Voting Members .The voting members at a District Council shall consist of all ordained and34licensed ministers holding current fellowship certificates and delegates chosen by churches35

    affiliated with the District or the General Council, and such other persons as may be prescribed1

    by the district constitution and bylaws, who are present and registered.2

    b. Non-Voting Member. The non-voting members at a District Council shall consist of all,3cooperating churches, para-church organizations, ministries, mission agencies, duly appointed4

    missionaries from other Assemblies of God General Councils doing regular missionary service in5

    the district, endorsed or recognized by the PGCAG and the District.6

    Section 7. MEETINGS7

    a. Annual Councils. The District Council shall meet annually. The District Executive Committee shall8decide the time and place and cause announcement to be published not later than thirty (30)9

    days prior to the time of meeting.10

    b. Special Councils. Emergencies or other occasions arising within the District which may11necessitate the call of a special session shall be met by the District Executive Committee, who12

    shall be empowered to make such a call when necessary.13

    c. Right of Initiative. The right of initiative shall be granted to any member of the Council, when14occasion demands. A statement setting forth the reason for a special session of the Council,15

    signed by not less than twenty (20) percent of the voting constituency of the last District Council16

    shall be considered sufficient reason to call a special Council.17

    d. Section Meetings. Section Meetings shall be conducted in each Section of the District. The18schedule for such Meetings shall be arranged by the Section Presbyters in coordination with the19

    District Superintendent. The Section Presbyter or authorized appointee shall preside.20

    e. Delegates. Delegates chosen by District Council or General Council affiliated Assemblies to21represent them at District Council Meetings shall be considered members for that council year,22

    with the understanding that the local Church reserves the right to withdraw the appointment of23

    its delegates. Local church representation to District Councils shall be as follows:24

    1) Assemblies with a membership of not less than 12 but not more than 100 shall be25entitled to one delegate.26

    2) Assemblies with a membership of 101 or more shall be entitled to two delegates.27f. Attendance. All members of the District, including the official delegates of affiliated churches28

    are required to attend the regular and special meetings of the District Council.29

    g. Notice. Notice of time and place of any Regular or Special Meeting, shall be sent to each30member - at the address on record with the Secretary of the Corporation or at its last known31

    mailing address, or by distributing the same to such members through the district32

    superintendent and/or the district secretary, or by electronic mail - not later than thirty (30)33

    days prior to the time of meeting. The notice of Special Meetings, shall state the purpose of the34

    meeting and no other business may be considered at such meeting except by consent of the1

    majority of voting members present.2

    h. Quorum. Provided that notice has been given, consistent with Section 6 Paragraph g of this3Article, the voting constituents present at a District Council business session shall constitute a4

    quorum.5

    Section 8. OFFICERS, QUALIFICATIONS, NOMINATION, AND ELECTION6

    a. District Officers. Each District Council shall be headed by a District Superintendent, together7with a Secretary and Treasurer; and with such other officers as may be appointed in the future.8

    Each Section shall be headed by a Sectional Presbyter, together with a Secretary and Treasurer;9

    and with such other officers as may be appointed in the future. They shall be elected in office10

    and serve a term in accordance with the provisions set forth in Section 9, subsections c, d, e,11

    and f of this Article, and the Constitution and Bylaws of the District Council.12

    A District Superintendent may serve only for a maximum of two four-year terms (8 years,13

    cumulative) and shall not, thereafter, qualify for any executive post in the district.14

    b. Qualifications. The executive officers of the District, together with the sectional presbyters shall15be ordained ministers holding certificate of fellowship for four (4) consecutive years prior to the16

    date of election. They shall be persons of mature experience and ability, whose life and ministry17

    are above question. Their integrity and competence in leadership must be evident to all. In18

    relation to the movement, they must have proven themselves to be loyal and cooperative, fully19

    supporting the fellowship as shown by the record of their giving of tithes and other dues20

    payable to their respective District and the General Council. Such qualities shall determine their21

    eligibility. For members of the District Judicial Council, additional qualifications shall be that they22

    must be at least thirty five (35) but not more than Seventy-five (75) year years old.23

    c. Nomination and Appointment of the District Superintendent. The District Judicial Council24serving as a screening committee shall be entrusted with the responsibility of making careful25

    investigation concerning the qualifications and general fitness of all possible nominees for the26

    office of the District Superintendent as specified in Section 8 paragraph b of this Article. The27

    committee shall finish the qualifying process and produce the final list of candidates not later28

    than one month prior to the annual meeting of the district. At its annual meeting, the chairman29

    of the District Judicial Council shall present all the qualified candidates to be voted upon by30

    secret ballot. Three balloting shall be conducted and the candidates who shall receive the31

    highest number of votes in each balloting shall be the three nominees to be presented to the32

    General Superintendent. The General Superintendent shall appoint the District Superintendent33

    from among these three nominees.34

    d. Other District Officers. After his/her appointment by the General Superintendent, the District35Superintendent shall appoint a District Secretary and a District Treasurer, who meet all the36

    qualifications set forth in Section 8 Paragraph b of this Article. They shall serve a term of office37

    that is co-terminus with the appointing officer. The District Superintendent may, however,1

    revoke said appointment at any time as may be necessary under the circumstances.2

    e. Nomination and Appointment of Sectional Presbyters. The nominations and appointment of3sectional presbyters shall be made as follows: At the annual meeting of the District Council, each4

    section shall nominate three ministers who meet all the qualifications set forth in Section 85

    paragraph b of this Article. From among the nominees, the District Superintendent shall appoint6

    a Presbyter for each section. They shall serve a term of office that is co-terminus with the7

    appointing officer. The District Superintendent may, however, revoke said appointment at any8

    time as may be necessary under the circumstances.9

    f. Other Sectional Officers. After his appointment by the District Superintendent, the Sectional10Presbyter shall appoint a Sectional Secretary and a Sectional Treasurer. They shall serve a term11

    of office that is co-terminus with the appointing officer. The Sectional Presbyter may, however,12

    revoke said appointment at any time as may be necessary under the circumstances.13

    g. The District Judicial Council. The District Judicial Council shall be composed of 6 regular14members who shall meet the qualifications set forth in Section 9 paragraph b of this Article.15

    They shall be appointed by the District Superintendent and said appointments ratified by the16

    District Leadership Council. . After the Council is composed, they shall meet to elect a Chairman,17

    Vice Chairman, and Secretary. They shall serve a fixed term of 3 years or until their successors18

    are appointed and qualified. The Presbyter of the Section where the minister who is the subject19

    of complaint is ministering shall serve as member of the District judicial Council for that20

    particular case. If the District Leadership Council determines that a members service in the21

    District Judicial Council is no longer tenable, that member may be removed from office by a two22

    thirds vote of the District Leadership Council.23

    Section 9. DUTIES OF OFFICERS24

    a. District Superintendent. The Distinct Superintendent is the Chief Operating Officer of the District25and shall have the following duties:26

    1. Represent the General Superintendent in the District.272. Serve as the overseer of all ministries related to the District, to be the head of the office,28

    and to supervise the work of that office;29

    3. Implement the programs of the General Council in the Districts area of jurisdiction;304. Implement the policies and directives emanating from the General Council;315. Preside at all meetings of the District Council;326. Preside at all meetings of the District Executive Committee and the District Leadership33

    Council, and to receive all communications directed to those bodies;34

    7. Preside in all meetings of the District Credentials Committee and to sign all credentials;358. Investigate alleged offenses, administer disciplinary action in all cases when requested to do36

    so by the District Judicial Council;37

    9. Appoint committees and department/ministry heads from among qualified ministers and/or1lay leaders, subject to the ratification by the District Leadership Council;2

    10.Appoint personnel essential to the efficient operation of the office, subject to the3ratification by the District Leadership Council;4

    11.Revoke any appointment made for whatever cause;512.Be an ex-officio member of all other committees;613. In case of discipline not involving the Superintendent, he/she shall serve as an ex-officio7

    member of the District Judicial Council.8

    14.The District Superintendent may, by resolution signed by the majority of the voting9members of a local assembly and at least one-third of the members of the church board,10

    intervene in the management and affairs of that church for such period as he/she11

    determines. If the situation warrants a removal of the pastor, the District Superintendent12

    shall seek the concurrence of the District Judicial Council. If the latter gives its approval by a13

    majority vote, The District Superintendent shall notify the erring leader in writing regarding14

    the revocation of his/her appointment and a temporary replacement shall be appointed15

    who shall serve as an interim pastor until the time that the local assembly elects a new16

    pastor in accordance to the provisions in the constitution and bylaws of said assembly.17

    15.Arrange for and announce the regular meetings of the District upon approval by the District18Leadership Council;19

    16.Call for special meetings of the District, subject to the approval of the District Leadership20Council;21

    17.Submit progress report at the Annual meeting of the District; and2218.Perform any other function usual and customary for the presiding officer, or such as may be23

    directed by the General Council officers, the District Council or the District Leadership24

    Council.25

    b. District Secretary. The District Secretary is the chief record custodian of the District and shall have26the following duties:27

    1. Be the custodian of the District seal; and, shall sign, seal and deliver all legal documents as28necessary, and when required shall certify the validity of same.29

    2. Make and keep true record of proceedings of the District Council and make a report of the30same as required by the Constitution and Bylaws of the District and as approved and31

    directed by the membership of the District Council or the District Leadership Council.32

    3. Make and keep true record of proceedings of the Executive Committee, Credentials33Committee and the District Leadership Council, and shall make and keep records of the34deliberations of such bodies.35

    4. Endorse and certify all applications for ministerial credentials approved by the District36Credentials Committee as authorized by the General Council Credentials Committee.37

    5. Maintain a continuing record of reception, transfer, discipline, dismissal or withdrawal, and38demise, of all ministers whose ministerial credentials are or have been or shall in the future39

    be registered with this District Council.40

    6. Keep all essential records of the assemblies within the District, and transactions between1the District Council and local churches.2

    7. Compile an official list of all Ordained Ministers and Licensed Ministers; and a list of3churches which must be updated annually and published for the information of the District4

    Council. The office of the General Superintendent must be regularly furnished copies of all5

    these reports.6

    8. Give due notice of all meetings of the District Council.79. In the absence of the District Superintendent, the District Secretary shall preside as chair at8

    meetings of the membership and councils and committees in which such absent officer9

    would otherwise preside.10

    10.Perform such functions as are customary to the office of a secretary and as may be directed11by the membership of the District Council, the District Leadership Council, or the District12

    Executive Committee and is amenable to the District Superintendent in all matters of work13

    and policy.14

    15

    c. District Treasurer. The District Treasurer is the Chief Financial Officer of the District and shall have16the following duties:17

    1. Supervise all District Finances.182. Receive and record all offerings and monies to be used for the work of the Council and pay19

    out the same as directed by the District Council, District leadership Council or the District20

    Executive Committee.21

    3. Be the custodian of all funds of the District and shall initially deposit such funds in the name22of the District Council in banks or other such kind of financial institutions designated by the23

    District Leadership Council.244. Keep an accurate record of all receipts and disbursements of funds of this District Council25

    and administer the work of the office according to acceptable methods of business or26

    accounting procedure.27

    5. Present records of all financial transactions of the District including all pertinent documents28for audit by an external auditor secured by the Executive Presbytery once a year or as29

    required by the body.30

    6. Make monthly financial report to the District Superintendent and to the District Executive31Committee and quarterly to the District Leadership Council and make an annual financial32

    report to the membership at the Annual District Council Convention which shall include a33

    confirming report of a Certified Public Accountant, a copy of which shall be made available34to each member and delegate then present.35

    7. Be bonded through a reputable insurance company in the amount approved by the District36Leadership Council; the cost of the bond to be paid from the general funds of the District37

    Council.38

    8. Supervise the development of comprehensive benevolence and insurance programs for39ministers, and employees, of the District Council.40

    9. Promptly remit or transfer funds due the General Council.110.Be a member of the District Executive Committee and the District Leadership Council.211.Perform such functions as are customary to the office of a chief financial officer and as may3

    be directed by the membership of the District Council or the District Leadership Council or4

    the District Executive Committee, and is amenable to the District Superintendent in all5

    matters of work and policy.6

    d. District Executive Committee. The District Executive Committee is composed of Executive7officers of the District: Superintendent, Secretary, and Treasurer and when need arises, other8

    additional members. It shall have the following duties:9

    1. Serve as the working committee of the District in the management and administration of10the affairs of the District Council.11

    2. The District Executive Committee shall act as the District Credentials Committee in all12matters relating to the execution of policy for ministerial credentials.13

    a) They shall receive and act upon the credentialing recommendations of the sectional14leadership committee, review and act upon applications for life experience and15

    recognition
