INVITATION TO BID 1. PAKISTAN NATIONAL SHIPPING CORPORATION (PNSC) BEING THE STATUTORY CORPORATION (CONSTITUTED UNDER

ORDINANCE XX OF 1979) HAS A FLEET OF FOUR TANKERS & FIVE BULK CARRIERS TRADING WORLDWIDE. THE TANKERS HAVE FIXED ROUTE, I.E LOADING FROM ARABIAN & PERSIAN GULF PORTS AND DISCHARGING AT KARACHI PORT. THE BULK CARRIERS ARE ACTIVELY ENGAGED IN TRADING THE ENTIRE REGION OF THE WORLD.

2. PNSC INVITES SEALED TENDERS UNDER PUBLIC PROCUREMENT RULES 2004 NO. 36 (C) (http://www.ppra.or.pk/rule.asp) FROM REPUTABLE/EXPERIENCED AGENCIES/FIRMS OF INTERNATIONAL FREIGHT FORWARDERS/LOGISTIC SERVICES PROVIDER.

3. THE BIDDERS/FIRMS MUST HAVE INTERNATIONAL NET WORK WHO CAN COLLECT AND DISPATCH SHIPS SPARES

THROUGH “AIR” & “SEA” FROM AROUND THE GLOBE PREFERABLY JAPAN FOR ONWARD DELIVERY TO SHIPS BERTH AT VARIOUS REGIONS EUROPE, MIDDLE EAST, SOUTH ASIA, FAR EAST, AMERICA, SOUTH AMERICA AND AFRICAN PORTS. THE SPECIFIC PORTS FOR DELIVERY OF SPARES INCLUDES:- KARACHI–PAKISTAN, BRISBANE–AUSTRALIA, SUEZ–EGYPT, SINGAPORE, HONG KONG, COLOMBO–SRILANKA, GRISBOURNE–NEWZELAND, CHITTAGONG–BANGLADESH, SHANGHAI, JHINGJIANG, NANTONG, ZHENJIANG–CHINA, DUBAI, FUJAIRAH, JEBEL ALI–U.A.E, NEW ORLEANS–USA, ALGECIRAS–SPAIN, IMMINGHAM PORT- U.K, DURBAN–SOUTH AFRICA.

INFORMATION TO BIDDERS REGARDING PPRA RULE NO. 36 – C

36. Procedures of open competitive bidding.-

(c) Two stage bidding procedure:- First stage (i) The bidders shall first submit, according to the required specifications, a technical proposal without

price; (ii) The technical proposal shall be evaluated in accordance with the specified evaluation criteria and

may be discussed with the bidders regarding any deficiencies and unsatisfactory technical features; (iii) After such discussions, all the bidders shall be permitted to revise their respective technical proposals to meet the requirements of the procuring agency; (iv) The procuring agency may revise, delete, modify or add any aspect of the technical requirements or

evaluation criteria, or it may add new requirements or criteria not inconsistent with these rules: Provided that such revisions, deletions, modifications or additions are communicated to all the bidders equally at the time of invitation to submit final bids, and that sufficient time is allowed to the bidders to prepare their revised bids: Provided further that such allowance of time shall not be less than fifteen days in the case of national competitive bidding and thirty days in the case of international competitive bidding;

(v) Those bidders not willing to conform their respective bids to the procuring agency’s technical requirements may be allowed to withdraw from the bidding without forfeiture of their bid security;

Second stage (vi) The bidders, whose technical proposals or bids have not been rejected and who are willing to

conform their bids to the revised technical requirements of the procuring agency, shall be invited to submit a revised technical proposal along with the financial proposal;

(vii) The revised technical proposal and the financial proposal shall be opened at a time, date and venue announced and communicated to the bidders in advance; and

(viii) The revised technical proposal and the financial proposal shall be evaluated in the manner prescribed above. The bid found to be the lowest evaluated bid shall be accepted: Provided that in setting the date for the submission of the revised technical proposal and financial proposal a procuring agency shall allow sufficient time to the bidders to incorporate the agreed upon changes in the technical proposal and prepare their financial proposals.

TENDER FOR “FREIGHT SERVICES FOR SPARE SUPPLIES” ON PNSC MANAGED VESSELS IN EUROPE,

MIDDLE EAST, SOUTH ASIA, FAR EAST, AMERICA, SOUTH AMERICA AND AFRICA

GENERAL TERMS & CONDITIONS

Pakistan National Shipping Corporation (PNSC) being the statutory corporation (constituted under Ordinance XX of

1979) has a fleet of four tankers & five bulk carriers trading worldwide. The tankers have fixed route, i.e. loading from

Arabian & Persian Gulf Ports and discharging at Karachi Port. The bulk carriers are actively engaged in trading the

entire region o f the world.

1. PNSC invites bids in sealed envelopes on prescribed forms from the reputable National / international firms &

Agencies of International Courier / Freight forwarders service where reputation, capacity and credibility shall be

evaluated before finalizing the bid and signing of contract with the respective Firm(s). The Firm(s)/Agency(s) should

have relevant experience in providing effective freight, Courier / Freight forwarder services throughout the world in

the past and must provide the following documents as a part of the bid.

a) Detailed profile including available technical expertise and the past experience of executing similar types

of providing relevant jobs / services to other Shipping Companies etc.

b) Details of the financial status of the firm / Company.

c) Copies of the contracts executed with other organizations / firms in Pakistan, if any in the past, may be

provided if there is no condition of “Non Disclosure Agreement (NDA)”.

2. The company must have international net work who can collect and dispatch ships spares from around the globe

preferably from Japan for onward delivery to Karachi, Pakistan and various region of world, such as Pacific Ocean,

Atlantic Ocean and Indian Ocean etc

3. Bidders /Firms should have at-least five years experience in the related jobs / service.

4. The bidders /Firms should be registered with taxation authorities, Sindh Sale Tax Registration (S.R.B), Valid Sindh

Professional Sale Tax and must have National Tax Number (N.T.N).

5. The firms should be enrolled / Enlisted on active taxpayers list (A.T.L) OF FBR.

6. Tender documents can be obtained from below mentioned address from Monday to Friday during 9:30 am to 4:30 pm,

and also can be downloaded from PNSC website www.pnsc.com.pk till March 28th

, 2018.

7. Tender documents on prescribed forms accompanied with earnest money PKR. 25,000/= (refundable to unsuccessful

bidders) through pay order / bank draft in favor of Pakistan National Shipping Corporation will be received in Tender

Box Placed at Conference Room, First Floor, PNSC Building up to 11:00 a.m. by March 29th

, 2018. Bids will be opened on

the same day at 11:30HRS.

8. PNSC reserves the right to accept or reject any or all bids strictly as per PPRA 2004 and no claim what so ever in this

reject shall be entertained, PNSC decision in this respect shall be final and binding upon bidders.

9. Informatively around 380/400 parcels containing ship spares parts are dispatched from Japan and around 100/120

consignments dispatched from the all other ports of the world where our bulkers call for trading.

10. Quote your rates as per weight size categorized as under for pick and drop worldwide vide point no.2. The rate quoted

should be based on air freight and sea freight separately.

a) Tariff /KG for shipment weight ranging for 1-19 kg.

b) Tariff /KG for shipment weight ranging for 20-70 kg.

c) Tariff/KG for the consignment weight for 71-200 kg and above

d) Tariff/KG for the consignment weight for 200 kg and above.

11. Interested agencies to submit two sealed envelopes. The sealed cover-I containing “Technical Bid” & sealed cover- II

containing “Financial Bid” along with pay order of earnest money should be placed in a third sealed cover superscripted “Tender for Courier Services”. The Financial Bid must accompany with an earnest money of amount Rs 25,000/- in the form of Demand Draft/Banker’s Cheque in favour of PNSC.

12. The Technical Bid shall be opened first in the above conference room of Pakistan National Shipping Corporation in

the presence of such bidders or their duly authorized representatives, who may like to attend.

13. The contract/Jobs shall be awarded to various bidders who offered lowest rates as per each consignment weight categorized at clause a, b, c, d under para 10 above.

14. The tender document containing eligibility criteria, scope of work, terms & conditions can be obtained from our

PNSC MR & S Department First Floor, PNSC Building. The bidding documents can also be downloaded from the

Website of PNSC: www.pnsc.com.pk.

15. BID VALIDITY. The bid shall be valid and open for the acceptance of the competent authority of PNSC for a period of

60 days from the date of opening of the tenders and no request for any variation in quoted rates and/ withdrawal of tender on any ground by successful bidder shall be entertained.

17. In case any bidder withdraw or alter its bid during validity period (60 days) t[[he Earnest Money shall be forfeited. 18. The rate quoted should be with all applicable taxes, & there should not be any hidden charges other than the

statutory tax during the period of contract for which bidder shall produce documentary evidence. 19. If any unethical practices are adopted for securing the contract, the offer of such a bidder shall be rejected. 20. PNSC reserves the right to accept or reject any or all bids without assigning any reasons.

21. Financial bids of only those agencies will be opened who qualifies in the Technical bids. The information of the

same will be given to firms through phone/email on later date.

22. Any changes/Corrigendum with respect to this tender shall be notified through PNSC website.

23. The period of contract of under the scope of work shall be shall be valid for one year which may be extended by two

years, one year at a time, if the services are found to be satisfactory on the same terms and conditions and at the

discretion of Authority of PNSC.

24. It shall be the responsibility of the courier agency to promptly respond to PNSC calls, Non-tampering of packages

and documentation and ensure safe delivery of the documents/Packages to the destination without any damage. 25. The consignment should specify with minimum details as follows :

a. Consignment No. & date b. Nature of packing & Weight. c. Consignor and Consignee with stamp & Signature. d. Mode of Dispatch e. Any other details.

26. Proof of Delivery (POD) of the materials/packages should be given to PNSC. Please mention whether any other proof of delivery other than POD is available (with supporting document). Two copies POD/Booking to be enclosed with the bill.

27. Facilities to track the courier through website should be available. 28. The Security Deposit shall be released upon successful completion of the contract and no liabilities from the Agency. 29. In case of any changes of constitution of the Agency, the rights of PNSC should not suffer.

30. A local representative of Agency shall be In-charge of the entire contract and shall be responsible for the efficient rendering of the services under the contract and he shall be answerable to PNSC.

31. PNSC may discontinue the services if urgency at any time without assigning any reason whatsoever. 32. A copy of the terms and conditions shall be signed on each page and submitted with the technical bid as token of

acceptance of terms and conditions.

33. As a guarantee towards due performance and compliance of the contract work, the successful Bidder shall deposit an amount Rs 100,000/- towards Security Deposit by way of demand draft/Banker’s cheque in favour of “PNSC”.

34. The Earnest Money Deposits of the unsuccessful will be returned to them immediately.

35. The Earnest Money amount of the successful bidder shall be forfeited, if

a) Fails to furnish the difference amount between Security Deposit and EMD within 15 days after the issue of

letter of award of work.

b) Does not comply with other requirements for start of the contract.

36. Prompt delivery of the consignment is of prime importance and penalty will be levied for delay. Delay in delivery beyond certain time will attract penalty @ 2% per week or part thereof subject to a maximum of 25 % of the total bill against particular consignment.

37. In case the materials are delivered at wrong destination or short delivered it will be the responsibility of the bidders

to collect the material and deliver to the correct place at the risk and expenditure of bidders. 38. It shall be the responsibility and obligation of the bidders to ensure safety and security of the consignment entrusted

to him for carriage and to effect the delivery to the designated place in the same sound condition as received by him and within the time schedule stipulated. Any destruction, deterioration, or damage or breakage caused to the consignment charges will be charged from the bidders

39. While accepting the consignments for delivery the bidders should ensure that necessary documents for clearance are

collected, so that consignment are not detained en route for want of these documents. Any detention or expenses incurred on this account shall be the bidder’s responsibility to get the consignment released and delivered in time.

40. The Agency shall not, in any way, discontinue / withdraw the services on their own during the contract period else

Security Deposit will be forfeited. 41. Good standard of services shall be maintained as indicated. 42. PNSC shall pay the agreed amount on production of monthly bill. No other charges of any kind shall be payable

except as under the contract.

43. Before submission of the bill, the Agency shall ensure that the materials/packages are properly delivered in good conditions.

44. No request for making advance payment on any ground shall be entertained. 45. Under no circumstances Agency is entitled to claim any charges over and above the charges prescribed in the terms

of this contract. 46. The Income tax as applicable shall be deducted from the bill unless exempted by the Income tax Department 47. PNSC shall be the sole authority to decide and judge the quality of the service rendered by the Agency and all other

matters and his decision shall be final and binding. 48. Penalty: In case of non compliance of the terms and condition of the contract the PNSC reserve the right to impose

penalty up-to maximum 10 % of the total annual value of the contract during the period of operation or forfeit the security deposit whichever is higher.

49. Termination: the contract may be terminated by PNSC, giving one month notice, in case the agency:

a. Assigns or sub-contract of this service. b. Violation/ contravention of any of the terms and conditions mentioned herein.

c. Does not improve the performance of the services in spite of instructions. The Competent Authority reserves the rights to cancel any or all the tenders without assigning any reason thereof.

ELIGIBILITY CRITERIA FOR TENDERING.

a) The bidder may be a proprietary firm, partnership firm, Limited Company, Corporate body legally constituted, who possess the required licenses, registrations etc as per law valid/applicable during 12 months from the date of the opening of tender. Copy of certificate should be attached.

b) The Courier Service provider shall have an all International network.

c) The Bidder shall have experience of providing Courier Services for last 05 years.

d) The bidder should not be involved in any major litigation that may have an impact of affecting or compromising

the delivery of services as required under this tender.

e) The Bidder to submit notarized affidavit that they have not been blacklisted or suspended by any international

agency / local or central Government Departments.

f) The bidders shall have all requisite Registrations as required under Para no.4 under the title of General Terms & Conditions.

1. The agencies that fulfill the Eligibility Criteria as mentioned above should submit their two bids as required.

Head Office along with technical bid. The bids received without EMD shall be summarily rejected. 4. The bids shall reach to us latest by March 29

th, 2018 at 11:00 A.M. The late bids (i.e. bids received after the

specified date and time) shall not be considered. PNSC shall not be responsible for the late receipt of bid in any

manner.

M/S_______________________________, a company duly organized and existing under the laws of ___________, having its registered office at ___________________________________ (hereinafter referred to as “Service provider / Contractor” which term wherever it occurs in these presents shall mean and include its successors-in-interest, executors and permitted assigns); party of the SECOND PART.

TERMS AND CONDITIONS:-

WHEREAS PNSC is desirous to engage the Agency who can collect and dispatch ship spares through “air” and “sea” from around the globe preferably “JAPAN” for onward delivery to Karachi and various other regions Europe, Middle East, South Asia ………………….. ………………………………………: on the terms and conditions stated as under:-- 1. Prompt delivery of the consignment is of prime importance for PNSC and the agency needs to

keep liaison with the agents for vessel movement/ schedule at the respective port. Penalty will be levied for delay. Delivery in delay beyond the certain time (on/after vessel departure) will attract penalty @ 5% per week or part thereof subject to maximum of 25% of the total bill value against that particular consignment.

2. The agency shall be solely responsible to ensure safety and security of the consignment entrusted to him for carriage and to effect the delivery to the designated port in the same sound condition as received by him and within the time schedule stipulated.

3. The Agency shall be solely responsible for compliance to provisions of National / International

laws and all statutory / obligations. PNSC shall have no liability in this regard.

4. The Agency shall be solely responsible for any accident/medical/Health related liability/

compensation. The PNSC shall have no liability in this regard. 5. Penalty: In case of non-compliance with the contract, the PNSC reserves its right to: -

(a) Cancel/ revoke the Contract; and/or (b) To impose penalty up to maximum 10 % of the total value of contract during the period

of operation or forfeit the security deposit of Rs ………………./- whichever is higher. 6. TERMINATION FOR DEFAULT:

PNSC, without prejudice to any other remedy for breach of Contract, by giving one month written notice of default sent to the Agency, may terminate this Contract in whole or in part:

(a) If the Agency fails to deliver any or all of the consignment, within the period/s allowed

specified in the Contract or within any extension thereof granted by PNSC: (b) If the Agency fails to perform any other obligation/s under the Contract and/or violation

/contravention of any other terms and conditions mentioned therein; (c) If the Agency assigns or sub-contract any of this service and/or in case of found corrupt or

fraudulent practices in competing for or in executing the Contract. (d) If the Agency does not improve the performance of the services in spite of instruction by PNSC. 7. Security deposit of Rs ……………./- (refundable without interest after one month of termination of the

contract) in the form of pay order/Demand draft shall be payable at the time of signing of the Agreement.

8. There would be no increase in rates payable to the agency for freight services during the contract period. 9. AGENCY’S PERFORMANCE EVALUATION:

Under this Contract, the Agency’s performance will be monitored and evaluated by PNSC on a quarterly monthly basis in order to enable the assessment on the effectiveness, efficiency and/or consistency of services provided. The results of the evaluation will be communicated to the Agency in order to enable the improvements of services. The extension of this Contract for further period will take into consideration the results of the performance evaluation.

10. CONTRACT AMENDMENTS:

No variation in or modification of the terms of Contract shall be made except by written amendment signed by the parties.

11. ASSIGNMENT:

The Agency shall not assign, in whole or in part, its obligations to perform under this Contract to a third party.

12. SETTLEMENTS OF DISPUTE.

a) Any difference of opinion or disputes arising from the execution of or in connection with the Contract shall be settled through amicable consultation by both the parties. In case no settlement can be reached after commencement of such consultation, the disputes shall be submitted before ED (Admin) and his decision shall be final conclusive and binding on both the parties.

b) This Contract shall be governed and construed in accordance with the laws of the Islamic Republic of

Pakistan from time to time in force and the courts at Karachi shall have exclusive jurisdiction.
