M I N U T E S

May 19, 2016 he School Board of the Parish of St. Tammany, State of Louisiana, met in regular session on Thursday, May 19, 2016 at the C. J. Schoen Administrative Complex, 321 North Theard Street, Covington, Louisiana, at seven (7:00) o’clock P.M., (Central Daylight Savings Time).

I. OPENING

A. Roll Call There were present: Board Members Neal M. Hennegan, Michael J. Dirmann, Charles T. Harrell, Michael C. Nation, Willie B. Jeter, Peggy H. Seeley, Sharon Lo Drucker, Ronald “Ron” Bettencourtt, Robert R. “Bob” Womack, Robin P. Mullett, Dennis S. Cousin and Mary K. Bellisario. There was absent: Stephen J. “Jack” Loup, III, Elizabeth B. Heintz and Richard “Rickey” Hursey, Jr.

1. Superintendent’s Award for Outstanding Character and Citizenship

Superintendent Folse said the Superintendent’s Award honors people for showing outstanding character and citizenship. He said the first place winner of the 2015-2016 Superintendent’s Award is Mandy Donegan, teacher at Pontchartrain Elementary. Mrs. Donegan is known for her kind heart inside and outside of the classroom. One of her nicknames is the “Shoe Fairy” because if she sees a child with torn shoes, she will immediately get them a new pair. Channel 13 showed a video highlighting Ms. Donegan. An award and a check from Capital One Bank was presented to Ms. Donegan. Superintendent Folse said the second place winner is Karisa Greenlee, a student from St. Tammany Jr. High School. Superintendent Folse stated that Karisa is known for her friendly personality, initiative and kindness. Channel 13 presented a video about Karisa. Superintendent Folse presented an award and a check from Capital One Bank to Karisa.

2. National Merit Scholars Dr. Regina Sanford, Assistant Superintendent, said the National Merit Scholarship program is an academic competition for recognition and scholarships that began in 1955. High school students enter the National Merit Program by taking the Preliminary SAT/National Merit Scholarship Qualifying Test (PSAT/NMSQT). Of the 1.5 million students taking the qualifying test, some 50,000 students with the highest scores qualify for recognition in the National Merit Scholarship Program. Approximately 16,000 of these high scorers are later identified as being semi-finalists. These students are the highest scorers from each of the respective states. Roughly, 15,000 semi-finalists then receive notification of being a finalist and receive a Merit Scholarship award. From the pool of finalists, 7,500 are then selected to receive National Merit Scholarships and are recognized

as National Merit Scholars. Dr. Sanford stated that she was pleased to announce that St. Tammany Parish has 15 National Merit semi-finalists. From the 15, we have 13 of those who are finalists; and 4 of those are Scholars this school year. Dr. Sanford introduced the finalists, gave an overview of their accomplishments, career interests, community service activities and college plans. She stated that Northshore High School has three finalists: Mason Calico, Maria Lew (unable to attend) and Alexandra Barron (unable to attend). Fontainebleau High School has two finalists: Stephen Kelly and Alan Cuff. Mandeville High School has four finalists: Avery Ferguson, Jacques Guillot, Rebecca McCubbin and Jessica Saeli (unable to attend). Dr. Sanford asked that all national merit finalists, their parents and administrators stand and be recognized. Dr. Sanford introduced the National Merit Scholars. Northshore High School: Dana Park (unable to attend), Benjamin Rowley (unable to attend) and Katherine Simmers. Fontainebleau High School: Matthew Myrtue (unable to attend). Dr. Sanford asked that all National Merit Scholars, their parents and principals stand and be recognized.

3. Recognition of Covington High School 100 Years of AdvancED/SACS Accreditation

Dr. Regina Sanford, Assistant Superintendent, stated and AdvancED is an international accrediting agency dedicated to advancing the quality of education for students worldwide. Maintaining an accreditation status demonstrates to our community, our commitment to excellence, our openness to external review and feedback, and our desire to be the best that we can on behalf of the students that we serve. She shared some highlights of our commitment to this endeavor. In 2005, St. Tammany Parish was one of the first districts in Louisiana to be recognized for System accreditation. That meant all the schools as well as the district office were involved and we met the high quality standards as developed by AdvancED. Re-accreditation was awarded in 2010 and most recently in 2015. Since 1958 until the present day, all of our schools have maintained accreditation. That is extremely noteworthy. Mandeville High School as accumulated 59 years of accreditation. They started in the school year of 1957. In the school year of 1923, Slidell High School first obtained accreditation, and they have 93 years of accreditation. The milestone of achievement is Covington High School. Accreditation for Covington High dates back to school year 1915, and now marks 100 years of continuous accreditation. Covington High is one of only seven schools in the state of Louisiana to have reached this milestone. Dr. Sanford called on Superintendent Folse, and the principal of Covington High, Mrs. Rosalyn Hanson, for a special presentation. Mrs. Hanson stated that it was an honor to receive the recognition on behalf of Covington High School. She stated that she is a graduate and her 4 children are all graduates from Covington High as well. She stated that Covington High meets the needs of a very diverse population and continues to meet the needs of “Every Child Every Day.”

4. United States Presidential Scholars Dr. Regina Sanford, Assistant Superintendent, stated that the United States Presidential Scholars program was established in 1964 by an executive order of the President. This was to recognize and honor some of the nation’s most distinguished graduating high school seniors. The selection of approximately 4,000 original program candidates is made based on SAT and ACT scores. Application is by invitation only; therefore, schools may not individually apply nor may their schools nominate them. A review committee evaluates the candidates based upon their academic achievements, personal characteristics, leadership and service activities as well as an analysis of their essay. Approximately 800 candidates are named semi-finalists and forwarded to the Commission on Presidential Scholars for further review in April. St. Tammany Parish has seven of these students: four from Mandeville High and three from Northshore High. From that pool each year, up to 161 students are named as Presidential Scholars, one of the nation’s highest honors for high school seniors. To commemorate their achievement, the scholars are awarded the

U.S. Presidential Scholars medallion at a ceremony sponsored by the White House. With a grade point average of 4.6, a score of 35 on the ACT, a National Merit finalist, the recipient of a full scholarship to Rice University and one of the nine Louisiana finalists (only two were from public non-selective schools in Louisiana), Dr. Sanford introduced St. Tammany Parish’s U.S. Presidential Scholar, Katherine Simmers from Northshore High School. She asked that Katherine’s parents and principal come to the podium to be congratulated as well. Mrs. Mullett congratulated all the award winners. She stated that this is what makes St. Tammany a “great” School System, and that everyone is focused on the same goal “to meet the needs of every child every day” no matter what those needs are. II. A. To consider and take action with respect to adopting a resolution giving preliminary approval to the issuance of General Obligation School Refunding Bonds, of St. Tammany Parish Wide School District 12 of the Parish of St. Tammany, State of Louisiana; making application to the State Bond Commission for approval of said Bonds; and providing for other matters in connection therewith.

Superintendent Folse stated that this item was discussed at last week’s Committee As A Whole meeting. It was moved by Mr. Bettencourtt, seconded by Mr. Womack to adopt the following resolution:

RESOLUTION A resolution giving preliminary approval to the issuance of not exceeding Eleven Million Five Hundred Thousand Dollars ($11,500,000) of General Obligation School Refunding Bonds, of St. Tammany Parish Wide School District No. 12 of the Parish of St. Tammany, State of Louisiana; making application to the State Bond Commis-sion for approval of said Bonds; and providing for other matters in connection therewith. WHEREAS, pursuant to the provisions of Article VI, Section 33 of the Constitution of the State of Louisiana of 1974, Sub-Part A, Part III, Chapter 4, of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority, St. Tammany Parish Wide School District No. 12 of the Parish of St. Tammany, State of Louisiana (the "Issuer") has heretofore issued $20,000,000 of General Obligation School Bonds, Series 2009, dated May 1, 2009 (the "Series 2009 Bonds"); and WHEREAS, in order to provide debt service savings to the taxpayers of St. Tammany Parish Wide School District No. 12 of the Parish of St. Tammany, State of -Louisiana, the Issuer desires to refund all or any portion of the callable maturities of the Issuer’s outstanding Series 2009 Bonds, pursuant to the provisions of Chapter 14-A of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority (the "Act"), through the issuance of its refunding bonds; and WHEREAS, pursuant to the Act, and subject to the approval of the State Bond Commission, the Issuer desires to accomplish the refunding by authorizing the issuance of not exceeding Eleven Million Five Hundred Thousand Dollars ($11,500,000) of its General Obligation School Refunding Bonds (the "Bonds"), to be payable from unlimited ad valorem taxes; and

WHEREAS, the Issuer desires to make formal application to the State Bond Commission for approval of the issuance of the Bonds; NOW, THEREFORE, BE IT RESOLVED by the Parish School Board of

the Parish of St. Tammany, State of Louisiana (the "Governing Authority"), acting as the

governing authority of St. Tammany Parish Wide School District No. 12 of the Parish of

St. Tammany, State of Louisiana (the "Issuer"), that:

SECTION 1. Preliminary Approval of the Bonds. Preliminary approval is

given to the issuance of not exceeding Eleven Million Five Hundred Thousand Dollars

($11,500,000) of General Obligation School Refunding Bonds (the "Refunding Bonds"), of

the Issuer, to be issued for the purpose of refunding all or any portion of the Issuer’s

outstanding General Obligation School Bonds, Series 2009, dated May 1, 2009, and paying

the costs of issuance of the Refunding Bonds, said Refunding Bonds to be payable from

and secured by unlimited ad valorem taxes now being levied and collected annually in

excess of all other taxes on all the property subject to taxation within the territorial limits

of the Issuer. The Refunding Bonds shall bear interest at a rate or rates not to exceed five

percent (5%) per annum, to be determined by subsequent resolution of this Governing

Authority at the time of the sale of the Refunding Bonds, and shall mature no later than

March 1, 2029. The Refunding Bonds shall be issued in fully registered form, shall be sold

to the purchasers thereof at a price of not less than 97% of par, plus accrued interest, and

shall have such additional terms and provisions as may be determined by this Governing

Authority.

SECTION 2. Employment. This Governing Authority finds and determines

that a real necessity exists for the employment of special counsel in connection with the

issuance of the Bonds, and accordingly, Foley & Judell, LLP, of New Orleans, Louisiana,

as Bond Counsel, is hereby employed to do and perform work of a traditional legal nature

as bond counsel with respect to the issuance and sale of said Bonds. Said Bond Counsel

shall prepare and submit to this Governing Authority for adoption all of the proceedings

incidental to the authorization, issuance, sale and delivery of such Bonds, shall counsel and

advise this Governing Authority as to the issuance thereof and shall furnish their opinions

covering the legality of the issuance of the Bonds. The fee of Bond Counsel for each

series of said bonds shall be fixed at a sum not exceeding the fee allowed by the Attorney

General's fee guidelines for such bond counsel work in connection with the issuance of

each such series of revenue bonds and based on the amount of said bonds actually issued,

sold, delivered and paid for, plus "out-of-pocket" expenses, said fees to be contingent upon

the issuance, sale and delivery of said bonds. That pursuant to instructions from the

Superintendent, Bond Counsel shall cause to be prepared an official statement with respect

to the sale of the Bonds and the costs of the preparation and printing of said official

statement, as approved by the State Bond Commission, shall be paid from the proceeds of

the issue for which it has been prepared. Said Official Statement may be submitted to one

or more of the nationally recognized bond rating service or services, together with a

request that an appropriate rating be assigned. Payment for all ratings shall be made by the

Superintendent upon presentation of appropriate statements from the particular rating

service furnishing the ratings. The Superintendent is hereby authorized and directed to

execute, and this Governing Authority hereby agrees to and accepts the terms of, the

engagement letter of Bond Counsel on file with the Secretary. A certified copy of this

resolution shall be submitted to the Attorney General of the State of Louisiana for his

written approval of said employment and of the fees herein designated, and the

Superintendent is hereby empowered and directed to issue vouchers in payment for the

work herein provided for upon completion of the work herein specified and under the

conditions herein enumerated.

SECTION 3. State Bond Commission. Application is hereby made to the

State Bond Commission, Baton Rouge, Louisiana, for approval of the issuance and sale of

the Refunding Bonds and for consent and authority to proceed with the issuance and sale

of the Refunding Bonds as provided above, and Bond Counsel is directed to make

application to the State Bond Commission in accordance with the foregoing on behalf of

the Governing Authority.

By virtue of applicant/issuer’s application for, acceptance and utilization of

the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth

herein, it resolves that it understands and agrees that such approval(s) are expressly

conditioned upon, and it further resolves that it understands, agrees and binds itself, its

successors and assigns to, full and continuing compliance with the "State Bond

Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative

Products Hedges, Etc.", adopted by the Commission on July 20, 2006, as to the

borrowing(s) and other matter(s) subject to the approval(s), including subsequent

application and approval under said Policy of the implementation or use of any swap(s) or

other product(s) or enhancement(s) covered thereby.

SECTION 4. Appointment of Investment Banker/Underwriter. Raymond

James & Associates, Inc., of New Orleans, Louisiana (the "Underwriter"), is hereby

appointed as investment banker/underwriter in connection with refunding the Series 2009

Bonds, any compensation to be subsequently approved by the Issuer and to be paid from

the proceeds of the Refunding Bonds and contingent upon the issuance of the Refunding

Bonds; provided that no compensation shall be due to said investment banker/underwriter

unless the Refunding Bonds are sold and delivered.

SECTION 5. Sale of Bonds. The Bonds are hereby authorized to be sold to

the Underwriter, and the Superintendent is hereby authorized to execute a Bond Purchase

Agreement with the Underwriter, in form and substance satisfactory to Bond Counsel to

the Issuer, provided the sale of the Bonds produces minimum net present value savings

(after payment of all costs) in excess of the Minimum Present Value Savings to Refund

guidelines of the State Bond Commission.

The foregoing resolution having been submitted to a vote, the vote thereon was as follows:

Mrs. Mullett asked if there were any questions from the Board or comments by the public. There being none, the resolution was adopted. B. Approval of minutes for regular meeting held on April 14, 2016. It was moved by Mr. Cousin, seconded by Mrs. Seeley, to approve the minutes from the regular meeting held on April 14, 2016. C. Appropriate retirement resolutions for the following certificated personnel subsequent to April 14, 2016.

The following resolutions were offered by Mr. Dirmann, with a unanimous second:

WHEREAS, Cathelia Smith, Music Teacher, Boyet Junior High School, retired from the St. Tammany Parish School Board; and WHEREAS, Ms. Smith was an educator for thirty-three and forty-seven hundredths (33.47) years, twenty-seven and forty-seven hundredths (27.47) years in St. Tammany Parish. NOW, THEREFORE, BE IT RESOLVED that the St. Tammany Parish School Board wishes to express its appreciation to Ms. Smith for her many years of service. FURTHER, BE IT RESOLVED that this resolution be spread upon the official minutes of this Board with a copy being sent to Ms. Smith in appreciation for services rendered.

WHEREAS, Carrie B. Mulling, Preschool Early Itinerant Teacher, Cypress Cove Elementary School, retired from the St. Tammany Parish School Board; and WHEREAS, Ms. Mulling was an educator for twenty-seven and ninety-seven hundredths (27.97), fifteen years (15.00) in St. Tammany Parish. WHEREAS, Kristy G. Wylie, Bus Operator, Transportation Center, retired from the St. Tammany Parish School Board; and WHEREAS, Ms. Wylie worked for eighteen and fifty-three hundredths (18.53) years, all in St. Tammany Parish. NOW, THEREFORE, BE IT RESOLVED that the St. Tammany Parish School Board wishes to express its appreciation to Ms. Wylie for her many years of service. FURTHER, BE IT RESOLVED that this resolution be spread upon the official minutes of this Board with a copy being sent to Ms. Wylie in appreciation for services rendered.

E Appointment of Principal at Abney Elementary School Superintendent Folse announced the appointment of Mrs. Stephanie Jackson as Principal of Abney Elementary School. Mr. Cousin presented the book, The Principal: 3 Keys to Maximizing Impact, to Mrs. Jackson.

F. Announcement of Principal at Pontchartrain Elementary School Superintendent Folse announced the appointment of Mr. Henry Thomas Heier as Principal of Pontchartrain Elementary School. Mr. Hennegan presented the book, The Principal: 3 Keys to Maximizing Impact, to Mr. Heier.

G. Announcement of Principal at Sixth Ward Elementary School Superintendent Folse announced the appointment of Mr. Brian Hirstius as Principal of Sixth Ward Elementary School. Mrs. Seeley presented the book, The Principal: 3 Keys to Maximizing Impact, to Mr. Hirstius. Mrs. Mullett congratulated all the new administrators.

H. Consideration of bids for Slidell High School, Renovations & Additions, STPSB Project No. 1430

Superintendent Folse stated that a memo is in the packets explaining that the low bidder did legally notify that their bid was made in error, and they were allowed to remove their bids. The remaining bids are over the projected amount. It is asked that these bids be rejected. He said this is consistent with what has been done in the past.

It was moved by Mrs. Mullett, seconded by Mr. Cousin, to accept the recommendation to reject all bids. Mrs. Mullett asked if there were any questions from the Board or comments from the public. There being none, the motion carried unanimously.

I. Approval of recommendations from the Committee As A Whole Business Affairs and Administrative meeting held May 12, 2016.

Mr. Jeter, Acting Chair of the Committee As A Whole for Business Affairs and Administrative (in the absence of Mr. Dirmann, Chair), brought the following recommendations to the Board from the meeting held May 12, 2016:

1. Recommends acceptance of the revision to the Compliance Notice in the

District Handbook for Parents and Students for the 2016-2017 School Year.

It was moved by Mrs. Seeley, seconded by Mrs. Drucker, to accept the recommendation.

Mrs. Mullett asked if there were any questions from the Board or comments by the public. There being none, the motion carried unanimously.

2. Recommends acceptance of the Cooperative Endeavor Agreement

between St. Tammany Parish Government and St. Tammany Parish School Board regarding generators.

It was moved by Mr. Womack, seconded by Mrs. Drucker, to accept the recommendation.

3. Recommends acceptance of the low base bid submitted by Leon Lowe

and Sons, Inc. in the amount of $835,000.00 for the Water and Sewer Tie-Ins at Boyet Jr. High – Little Oak Middle Schools, STPSB Project No. 1485.

It was moved by Mrs. Bellisario, seconded by Mrs. Seeley, to accept the recommendation.

IV. ANNOUNCEMENTS BY THE BOARD PRESIDENT Mrs. Mullett stated that the Central Office and satellite offices would be closed on Monday, May 30, 2016 in observance of Memorial Day. She said that the next Committee As A Whole meetings would be Thursday, June 2, 2016. Superintendent Folse read a Letter to the Editor that was submitted to local publications and community groups. Superintendent Folse stated that, as has been traditionally done over the past few years, we will close the meeting with a video recap from Channel 13 of all of the high school graduations. V. EXECUTIVE SESSION

A. An Executive Session has been requested pursuant to LRS 42:17A.(2) to discuss the following matters:
