$8 billion dollar merger with Colonial Properties Trust• Closed on October 1, 2013

• Expansive role; worked on every step of the transaction, including the drafting of the Agreement and Plan of Merger, the preparation of the Joint Proxy Statement and Registration Statement, local counsel on the shareholder litigation, delivering tax opinions in connection with the transaction and closing the

transaction

Bond offering• Served as corporate, securities

and deal counsel inaugural public bond offering

• $350M offering closed on October 16, 2013

• Attorneys were responsible for registering the debt, drafting the prospectus supplement, negotiating the covenant package and underwriting agreement, as well as the general closing deliverables
